rv) In case any instailment or part therof is not paid by the due date, then without
prejudice to any action under section 45 of the punjab Regionar and Town pranning

issue of allotment letter. In case the allottee fails to take possession of the site
. within the stipulated period, it shall be deemed to have been handed over on the

6 USAGE AND PERIOD FOR CONSTRUCTION
l) sites shall be used only for the purpose for which they are allotted and not for any
other purposes whatsoever, and no change of land use shall be permitted'
ll) The Food court is offered on "as is where is" basis and the authority will not be
responsible for leveling the site or removing the structures, if any, thereon'
't) The entire project will have to completed within three years from the physically

possession of the site.
The aflottee is liable to pay 1Oo/o p.a. interest, compounded half yearly from the
allottees for delayed payments of extension fees/ non construction fees.
Before occupying the building, allottee would be required to obtain completion
certifi cate/occu patio n'certifi cate from the Estate Offi cer, G MADA.
GENERAL
t) This allotment shall be governed by the provision of Punjab Regional and Town
planning and Devetopment Act 1995, Rules and Regulaticins framed there-under,
as amended from time to time.
il) The allottee shall have no right to transfer by way of sale, gift, mortgage or other
wise, the Food Court or any other rights, title or interest in the said Food Court
except with the prior permission of Estate Officer, GMADA which may be granted
subject to payment of such fee/charges, as may be determined from time to time.
All general and local taxes, rates, fees and cesses, imposed or assessed on the
said ploUbuitding by any Authority under any law shall be paid by the allottee.
GMADA officers at reasonable time and in reasonable manner after giving 24
(twenty four) hours notice in writing, can enter in any part of the site/building
erected thereon for the purpose of ascertaining that the aliottee has duly performed
and observed the conditions of allotment and provisions under prevalent rules, Acts
and regulations as amended from time to time.
GMADA shall have the full right, power and authority at all times to do through its
officers and/or representatives, alt acts and things which may be necessary and
expedient for the purpose of enforcing compliance with all or any of the terms,
conditions and restrictions imposed and to recover from the allottee as first charge
upon the said plot, the cost of doing all or any such act and things and all costs
incurred in connection therewith, or in any way relating therewith.
In case of breach of any conditions of allotment or of regulations or non-payment of
any amount due together with the penalty, the plot or building, as the case may be,
shall be liable to be resumed and in that case 1oo/o of the total price plus interest

DISPUTES
t) In case of any dispute or differences arising cut of the terms & conditions of auction
or altotment letter, the same shall be referred to the Chief Administrator GMADA.
The decision of the Chief Administrator in this regard will be final and binding on all
the parties.

PROCEEDIhIGS OF THE GENERAL MEETING-.
13. subject to the provisic,ns of cornpanies Act, 1956 the first Annual General Meeting of thecompany shall be held within '18 (Eighteen) months from the date of incorooration andthereafter once at least in every oalendar year at such intervals (not being more than fifteenmonths after holding of the preoeding annual general meeting) and at such place, as theDirectors may determine from time to time.
14. No business shall be lransactecl at any General Meeting unless a quorum of members ispresent. At least two members present jn person shall be a quorum for a General Meeting.
15. On a show of hands every member present in person shall have one vote. On a poll thevoting rights of members shall be laid in Section g7 of the Companies Act. 1956.

16. The number of Directors shall not be less than two and not more than ten.

26. PROGEEDINGS OF D IRECTORS
28. The quorum necessary for the transaction of the business of the Directors in thecompany shall be at least two orone third number whichever is higher, subject to Section287 of the Act.
29. Subjectto theprovisions of Section 289 of the CompaniesAct, l956andexcepta resolutionwhich the Act specifically requires to be passed in a Board Meeting, a resolution in writingapproved by a majority of Directors shall be as effective for all purposes as.a resolutionpassed at a meeting of the Drirectors duly called, held and constituted.
CHAIRMAN
30. The Board of Directors may, trom time to time, appoint any Director to be the Chairmanof the Board, for a fixed term. or without any limitatian as to the period for which he is tohold such office.
31. The Chairman of the Board rcf Director shall be subject to the same provisions as toresignation and removal as the other Direclors and he shall ipso facto cases to be theChairman if he ceases to hok, the office of the Director for any cause.

32. Subject to Section 197A and 314 of the Act, the Board may, from time to time, appointany one or more Directors to be the Managing Direc{o(s) of the Company on such terms
and conditions as the Board rnay think fit and for a.fixed terms or without any limitationas to the period for which he is to hold such ofiice, and may, from time to time, (subject
to the provisions of any contract between him and the Company) remove or dismiss hmfrom office and appoint another in his place.
33. A Managing Director shall (sullject to the provisions of any contract between him and the
Company) be subject to the same provisions as to resignation and removal as the otherDirectors and shall, ipso factc, ceases to hold the office, of the Directot'br any cause.
34. A Managing Director shall, in addition to the remuneration payable to him as a Director
ofthe company as sitting fee receive such remuneration as may be sanctioned by the Board,from time to time, and such remuneration as may be fixed by way of salary or commissionor participation in net profit or by any or all these modes.

35, Subject to the provisions of Section 292 of the Act, the Board of Directors may, fromtime to time, entrusit to and confer upon a Managing Director for the time being suchof the powers as are exercisable under these Artiqles by the Board as it may think fitand may entrust or confer such powers for such periods and 6 be exercised for suchobject and purposes, and upqn such terms and conditions and with such restrictions asit may think fit. The Board of Directors may, from time to time, revoke, withdraw alteror vary all or any such powers.
INSPECTION OF ACCOUNTS
36. (i) The Board of Directors shall cause proper books of accounts to be maintained underSection 290 of the Act.
(ii) The Boa.d of Directors shall also, from time to time, determine whether and to whatextent and atwhat times and places and underwhat conditions or regulations accountbooks of the company or any of them, shall be open to the inspection of membersnot being directors.
(iii) No member not being a director shall have any right of inspecting any account bookor document of the company except as conferred by the Act and other laws authorisedby the Board or by the company.in general meetings.
BALANCE SHEET AND PROFIT AND LOSS ACCOUNT
37. Balance Sheet andl Profit and Loss'Account will be audited once in a year by aqualified auditor appointed for the purpose by the company for correctness as perDrovisions of the Ac;t.
AUDIT
The first ?Uditors of the company shall be appointed by the Board of Directors within onemonth of the incorpicration of the Company who shall hold the office till the conclusionof first annual general meeting.
39. The Board of Directors may fill rp any casual vacancy. in the office of the Auditors.
40. The remuneration of the auditbrs.shall be fixed by the company in the annual generalmeeting or in such manner as the Company in the Annual General Meeting may determineexcept that remuneration of the first or any Auditors appointed by the Directors may befixed bY the Directors

S.A.S. Nagar District has been carved out of areas falling in Ropar and Patiala District as 18 th District ofPunjab on 14th April, 2006. Because of its contiguous with the union territory of Chandigarh. POPULATION
As per statistical abstract of the Punjab 2011 the population of the district is 9,94,628 out of which the ruralpopulation is 450017 & population of urban area is 544611. The male population of the district is 529253out of which rural male population is 240984 whereas urban male population is 288269 . The total femalepopulation of the district is 465375 out of which the rural female population is 209033 whereas urbanfemales are 256342. The S.C. population of the district is 216231 out of which rural S.C. population is132713 & S.C. in urban area is 83518.

KHARAR BLOCK
This block consists of 154 villages and 2 towns namely S.A.S. Nagar and Kharar and there 4 un-inhabitedvillages. As per 2011 census the total population of the block is 369798. The rural population of the block is196044 out of which there are 106688 males and 89356 females. The total S.C. Population in the rural areais 55544.
The block is having total area of 411.32 sq.kms. Out of which the rural area covers 383.26 sq.kms.
Under the service area approach, all the villages have been allocated among 17 branches of commercialbanks and 4 branches of RPBs. There are Total 86 branches are functioning in the block which comprisesof 57 commercial banks, 13 private banks. 11 Coop. Banks, 4 Punjab Gramin Banks & 1 AgriculturalDevelopment bank. S.A.S. Nagar has emerged as a Industrial Focal Point and designated as District HeadQuarter. It has become a satellite town of Chandigarh and has registered a fast rate of growth.
MAJRI BLOCK
Majri Block comprises of 116 villages out of which 1 village is un-inhabited. This block forms part of Khararsub division. The total population of the block is 111598 as per 2011 census. The population in rural area is88551, out of which 47892 aremales and 40659 are female. The S.C. population in rural area is rural areais 25531. Kurali is the only town in the block and has population of 23047. This block is spread over anarea 274.84 sq.kms. The block comes under dark category. All the villages numbering 116 have beenallocated among 8 branches of commercial banks and one branch of P.G.B.. There are 16 branchesoperating in this block which comprises of 9 branches of commercial banks. 1 Pvt. Sector Bank, Onebranch of PGB and SAS Nagar central co-operative bank is having 5 branches.
Due to certain incentives being initiated by the - Govt. many large and small scales industrial units havebeen established around Kurali.
DERA BASSI BLOCK
This block consists of 144 villages and 2 towns namely Zirakpur and Dera Bassi and there are 6 un-inhabited villages. As per 2011 census the total population of the block is 216921. The rural population ofthe block is 170192 out of which there are 93116 males and 77076 females. The total S.C. population linthe rural area is 48683.
This block is having total area of 406.48 sq.kms. Out of which the rural area covers 371.17 sq.kms.
Dera Bassi block has a good number of small scale units. Chemical paints, Steel tubes, plywood,handlooms and kntting of daris are some of the industries which have koffered good employment to anumber of persons. The soil of the block is sandy to sandy loam
There are total 25 branches are functioning in the block which comprises of 19 commercial banks, 1 privatebanks, 3 coop. banks, 1 Malwa Gramin Bank & 1 agricultural development bank.

3. City Bird Sanctuary andSukhna Wildlife Sanctuaryare at a distance of approx.5.8 km & 12 km respectivelyfrom the project location.Thus, NBWL application hasalready been filed for CityBird Sanctuary; copy of theacknowledgement hasalready been submitted atAnnexure-3 (Page no. 82)and is again enclosed foryour ready reference.Further, all annexures of theapplication will be submittedalong with hard copy.
4. The project proponent shall submit acopy of acknowledgement alongwithset of application filed to CGWA/Competent Authority for obtainingpermission for abstraction of groundwater.
Not Submitted Water supply will beprovided from GMADA.Permission for Water supplyfrom GMADA is alreadyattached as Annexure-13(Page no. 150). Thus,CGWA application is notapplicable.
5. For expansion projects:i. In case of increase in no. of storey,Structural Safety/ Stability Certificatemay be required from the ApprovedEngineer.

1. Please submit the details of fresh water requirement
for the project till the GMADA lays down the
complete network. Also, submit the proposal for
discharge of treated domestic effluent and the
municipal solid waste to be generated from the
project, till the time GMADA makes adequate
arrangements.
GMADA has already laid water
supply and sewer line in the
nearby project area. Water supply
and sewer connection will be
obtained prior to commissioning
of the project.
2. Please submit proper structural safety certificate
from the Approved Engineer mentioning in detail
about the project and considering the expansion
proposed. Also, submit letter of approval of the
approved engineer.

(a). Further, Certificate of the
Structural Engineer is enclosed as
Annexure 14 (b).

Description EDS Reply
1. Submit concrete proposal for fresh water requirement for the
project, discharge of treated domestic effluent and the municipal
solid waste to be generated from the project, till the time GMADA
makes adequate arrangements, as per letter from GMADA.
2. In the absence of proposal, please submit proper timelines in
which GMADA provides the arrangements for the sewer, water
supply and MSW.
3. In the absence of 1 and 2, Submit an affidavit to the effect that
no sale deed will be executed till the time no adequate arrangement
have been provided by GMADA.
Affidavit stating that no sale deed will be executed
till adequate arrangement is provided by GMADA
for water supply, excess treated sewage, storm and
solid waste disposal is enclosed as Annexure 15.
