Directors of Altar Auto Industries Limited (Formerly known as Akar Tools Limited) (“TheCompam ”l as a scrutinizer for the purpose of scrutinizing the e-voting process and for conducting the

ballot process at the Annual General Meeting and ascertaining the requisite majority on voting carried

out as per the provisions of Section 108 ofthe Companies Act. 2013. read with Rule 20 (4) (ix) ofthe

Companies (Management and Administration) Rules. 2014 as amended. on the resolutions contained

2. The notice dated 14‘" August. 2018 convening the 29111 AGM of the Company along with the

statement setting out material facts under Section 102 of the Companies Act, 2013 was sent to the

shareholders in respect ofthe resolutions to be passed at the said AGM ofthe Company.

.3. The management ofthe Company is responsible to ensure the compliance with the requirements of

the Companies Act. 2013 and Rules relating to voting through electronic means on the resolutions

contained in the Notice to the 29m AGM of the members of the Company. My responsibility as a

scrutinizer for the remote e—voting and for conducting the ballot process at the 29th AGM of the

Company is restricted to make a Scrutinizer’s Report of the votes. cast “in favour” or “against” the

resolutions and "invalid" and "abstained” votes. based on the reports generated from the e-votingprocess system provided by Central Depository Services (India) Limited (CDSL), the authorized

agency to provide e-voting facilities. engaged by the Company. and scrutiny of ballot papers, voted

by the members at the 29‘'1 AGM of the Company.

September. 2018 (end ofthe day). were entitled to vote on the resolutions as set out in the notice

II. The remote e-voting period remained open from Tuesday, 25m September, 2018 (9.00 am.) to

Thursday. 27‘11 September. 2018 (5.00 pm). Thereafter the e—voting facility was blocked.

Ill. Ballot box and physical ballot papers were made available at the 29m AGM of the Company, for

the members to vote on the resolutions set out in the notice of the 29m AGM. Only those

membersvvho did not vote through the remote e-voting facility, were required to vote through

physical ballot papers. After the voting process the ballot box was sealed in the presence of

members.

IV. The votes cast through e-voting were an blocked and the ballot box was opened in the presence of

2 vvitnesses. Mrs. Namrata Agravv al and Mr. Vinod Sharma, who are not in employment of the

Company

V. The e-voting data and the physical ballot papers were scrutinized by me for verification of votes

cast “in favaour" and “against" the resolutions.

Vl. Thereafter. considering remote e—voting and physical ballot paper voting, the combined result of

the voting is annexed. The details containing inter alia. votes put in "for”, “against”, on each of

the resolutions that were put to vote. and votes became invalid and number of votes abstained
