CASE 6: SHOULD MILKINDO ACQUIRE NUTRIJAYA?
I. LATAR BELAKANG
Milkindo Plc adalah perusahaan yang bergerak dibidang industri makanan dan minuman, dimana salah
satu produknya adalah makanan bayi, termasuk kebutuhan sehari-hari. Perusahaan ini berdiri didirikan pada akhir
tahun 1950 an dan go publik pada tahun 1980 an. Produk utama yang terkenal adalah merk Bayi Sehat Indonesia
yang dikenal dikalangan konsumen menegah kebawah.
PT. Nutrijaya adalah perusahaan yang dimiliki oleh PT. Trijaya Sentosa. PT Trijaya Sentosa juga memiliki 70
persen saham Milkindo. Perusahaan ini memiliki kapasitas yang lebih sedikit bila dibandingkan dengan Milkindo
tetapi memiliki teknologi yang sama. Sejak berdiri pada tahun 1970 an perusahaan ini menerima pesanan untuk
membuatkan susu yang berbeda, susu formula bayi, susu ibu hamil, susu ibu menyusui dan bahkan susu untuk
pertumbuhan dan lain sebagainya. PT. Nutrijaya tidak memproduksi produk atau mereknya sendiri.

II. KRONOLOGI KASUS
Karena selama ini target market dari Milkindo adalah menengah kebawah, perusahaan juga memproduksi
beberapa macam merek berdasarkan order selama produknya bukan merupakan kompetitor dari produk miliknya
sendiri. Dengan begitu perusahaan tersebut hanya perlu meminta Milkindo untuk membuatkan produknya dan
membayar “manufacturing fees” kepada Milkindo.
Pada awal tahun 1990 an kebijakan ini menguntungkan perusahaan dengan menciptakan kesetabilan revenue
dan income. Beberapa merek bahkan sangat fanaik meminta Milkindo untuk memproduksi produknya meskipun
banyak perusahaan lain dengan fasilitas yang sama menawarkan dengan biaya lebih rendah. Tetapi ketika
permintaan produk Milkindo sendiri (BSI) meningkat dalam beberapa tahun terakhir, muncullah kompetisi
diantara memproduksi produknya sendiri atau produk yang sudah dipesan. Terlebih lagi pada saat itu kapasitas
penggunaan telah mencapai 80%.
Solusinya sebenarnya sangat mudah yaitu dengan menolak order. Akan tetapi untuk menjaga hubungan yang
baik dengan pemilik merek yang telah menjadi klien yang setia selama puluhan tahun tentu saja tidaklah mudah
untuk memutuskan kontraknya.
Untuk mengatasi permasalahan tersebut maka PT Trijaya Sentosa menyarankan agar Milkindo mengakuisisi
Nutrijaya. Pimpinan Milkindo selaku representatif Trijaya Sentosa memberikan petunjuk bahwa price earning ratio
(PER) yang sesuai untuk mengakuisisi Nutrijaya adalah sekitar 7 sampai 9 kali.

4 The IC and the FD wondered why TS would like to sell NJ although just a few years ago it
injected additional equity capital. Could you identify the reasons?
Dalam pandangan kami, terdapat dua alasan TS menjual saham Nutrijaya seluruhnya meskipun telah
menyuntikkan modal beberapa tahun sebelumnya, yaitu sebagai berikut:
a. Untuk meningkatkan efisiensi produksi. Misalnya, ketika Milkindo selesai memproduksi susu rasa cokelat
kemudian mesin yang sama akan digunakan untuk memproduksi susu pesanan merk lain dengan rasa berbeda,
maka seluruh mesin perlu dibersihkan dari sisa produksi sebelumnya. Dengan mengakuisisi Nutrijaya, maka
Milkindo dapat memfokuskan diri untuk memproduksi merknya sendiri, sehingga dapat memangkas time loss
yang muncul akibat proses pembersihan tadi. Dengan demikian, Milkindo memperoleh waktu tambahan produksi
sehingga peningkatan produksi.
b. Dengan menjual saham Nutrijaya, maka TS akan memperoleh P/E yang lebih tinggi melalui kepemilikan atas
Milkindo yang telah mengakuisisi Nutrijaya.
Dari perhitungan di bawah ini, tampak bahwa P/E Nutrijaya sebelum merger adalah 2x, sementara setelah
merger, tampak bahwa P/E meningkat menjadi 15,22x. Artinya, dengan menjual saham Nutrijaya, maka TS
memperoleh keuntungan yang diindikasikan oleh peningkatan P/E sebesar13,22x.
