That ln the r03rd ERE Board Meeting held on 27.04.2002 it was confirmed by Gov1.of west Bengar that the entire power from the TLDp-IV HEp wourd be absorbed bywBSEB (now WBSEDCL). on the basis of the same, ppA was executed on 176.June 2005 (hereinafter to be referred as ..principal Ageement,,) with NHpCmentioning the commitment of Govt, of west Bengar for purchase of power fromTeesta Low Dam-IV power hoject (40x4=l60MW) (hereinafter collectively referredto as TLDP-IV") of NHpC as per allocation of Govemment of India (In short .GOI,)
with a contract period of5 (Five years) from coD ofthe first unit dated I1.03.2016as per terms and conditions contained in the said ppA.
4. That Hon'ble West Bengal Elechicity Regulatory Commission (hereinafter to bereferred as "commission') vide order dated 30.07.2013 approved the principar

6. That Ministry of power, Govt. of India also issued 100% allocation to WBSEDCL.Therefore, being a State Govt. Enterprise. WBSEDCL is to go by the commitment ofGovt. of West Bengal.
7' That NHpc proposed to extend the ppA up to 18.08.2056 (for entire useful life ofPower Station i.e. 40 years from COD of last unit 19.0g.2016) based on CERCdetermined AFC/ tariff Since, in WBSEDCL,s view, the AFC / tariff approved byCERC for TLDp-lV is found higher, WBSEDCL entered into negotiation with

8' That both the parties for the purpose ofensuring no dispute arisen in future regardingtariffof rLD.-III, entered negotiations and a broad understanding was reached and aMOM dated 6/7e Feb 2020 (Annexure_fl_A) was signed by and between the parties.In line with r,-Dp-rr both the parties have agreed for an artemative tariffmodel forTLDP-IV and deviation from norms specified in cERC TariffRegurations 2019 andthe tariff shall be a single part tariff applicable on the quantum of energy supplied.The tariff agreed in the supplementary agreement is a discounted tariff arrived atafter due negotiation with NHpC compared to the Tariff approved by CERC forTLDP-IV. Board of Directors of WBSEDCL accorded in principle approval of thesame. (copy of resolution is attached as Annexure-Ill)
9. That in exercising the said provision of Article 12.0 this SupplementaryAgreement is being executed to extend/renew/supplement the aforementioned ppAdated 176. June 2005 on expiry of 05 years from the date of commercial operationofthe first unit ofTLDp-lV.
10. That a supplementary Agreement to the principal Agreement is executed on02.09.2021 by and between WBSEDCL & NHPC for purchase of entire power fromTLDP-IV Power project of NHpC Limited at Darjeeling, West Bengal for the periodfrom 01.04.2021 to 31.03.2031. (copy ofthe Supplementary Agreement executed on02.09.2021 is enclosed as Annexure- A).
II. DURATION OFAGREEMENT:
a) The principal Ageement has expired on 11.03.2021 on expiry of05 yearsperiod of commercial operation of the first unit of TLDp_lV, as the COD ofthe first unit of TLDp_lV was 11.03.2016. Both the parties agreed to extendthe ppA dated lTth June 2005 further till 3r.03.202r with the same terms andconditions.

b) The revised,l amended terms and conditions in this Supplementary Ageementshall come into force with effect from 01.04.2021 and shall remain valid till31.03.2031 .
12. The tariffas per modified terms and conditions is single part tariff and fixed for the
period from 01.04.2021 to 3r.03.2026 @Rs. 4.35&wh and for the period 01.04.2026
to 31.03.203 I @Rs. 4.46lkWh.
13. That it is informed that NHpc has submitted an application to Hon,bre centralElectricity Regulatory commission (hereinafter to be referred as ,.GERC") forapproval of the tariff agreed mutually in the Supplementary Agreement dated
02.09.2021.
14. Due to applying negotiated tariff excess amount arready paid by wBSEDCL as per
CERC tariff for energy supplied from 0l .04.202 | calcurated as per the revised terms,
shall be refunded by NHpc within a month of signing of this agreement. No [.ate
Payment Surcharge (LpSC) shall be payable by NHpC for the said period.
WBSEDCL reserves the right to adj ust the amount to be refunded againstoutstanding dues of NHpC.
15. Justification of Power requirement of TLDp IV is already submitted vide memo.no.
REG/SERC/I55 dated 07.07.202r (encrosed as Annexure-IV), considering bothTLDP-III & TLDP-IV in operating condition and as must run power station. Theabove stated document may be considered towards satisrying the requirement ofregulation 7.4.2 (a) of the WBERC Tariff Regulation.
16. Benefits ofthe Agreement:
a) The tariff proposed in the supplementary agreement is a discounted tariffanivedat after due negotiation with NHpC compared to the tariff approved by CERC inthe tariff order of TLDpJV dated 24.0r.202r. Thus as per MoM executed by &between NHPC and WBSEDCL, supplementary agreement has been prepared forfurther l0 years.
b) TLDP-IV FIEp is connected to WBSETCL network directly, hence no CTUcharges and losses is applicable which should also be taken care of duringpurchase power from other sources.

-c) TLDP-IV being a pondage type project (Relevant pages of application submitted
by NHPC to CERC on 17.10.2018 attached as Annexure-V) can meet the peak
requirement of power and also able to provide support during the period of theyear when requirement of power remains higher during March to October.

of order by CERC approving the mutually agreed tariff as per Supplementary
Agreement dated 02.09.2021, in terms of regulation 7.4.1 of the West Bengal
Electricity Regulatory Commission (Terms and Conditions of Tariff)Regulations, 201 I as amended.

II. Teesta Low Dam - IV power station (hereinafter cailed ,TLDp-Iv / ,power station,)(4 x 40 = 160 Mw) located in the state of west Bengal has been decrared undercommercial operation w.e.f r9.0g.2016. The unit wise date of commerciar operationare as under:-

IrI. TLDP-IV power station is located on river Teesta in the district Darjeeling of westBengal. This project was sanctioned by Govt. of India in Sept-2005 at a cost oft1061'38 cr (including IDC & Fc of { 69.7r cr) at March 2005 price levet. Thedesign energy of this project is717.7i.,7 MlJ.

The rated head being 25.05 meters and capacity of each machine 40 MW, rateddischarge is only 174.95 cumecs per unit which enabres the project to supplypeaking power.
The power generated from TLDp-rv power Station is being supplied to westBengal, which is the sole beneficiary of project, i.e. Respondent herein as perPower Purchase Agreement (ppA) / BPSA signed with them.
