Functions The role will require a combination of strong technical solution, commercial skills and business development skills. The Senior Executive (EU Affairs) will report to the Chief Officer - Commercial & Regulatory Affairs to manage the commercial, financing and regulatory aspects of the projects entrusted to Interconnect Malta including EU/national funds, equity/debt financing, EU & Regulatory Affairs and will be the Company’s interface with the EU Commission, the Maltese and Italian Regulators, Competent Authorities, shippers and stakeholders. The Senior Executive (EU Affairs) will aid the Chief Officer - Commercial & Regulatory Affairs in drafting and implementing the initial Company Policies that will enable the company to sustain itself and achieve its long-term objectives. The ideal candidate should demonstrate good problem-solving skills and be able to work on his/her own initiative and has had prior experience in EU Regulatory Affairs, Experience in EU Fund Grant Management, Cost Benefit Analysis, Business Plans and Project Financial Evaluation. 1. Functions The role will require a combination of strong technical solution, commercial skills and business development skills. The Senior Executive (EU Affairs) shall be responsible to:

• Manage and supervise the Commercial & Regulatory Affairs Department by ensuring that long term financial sustainability and growth is achieved in accordance with all applicable national and EU legislation, KPIs, Company policies and procedures;

• Negotiate establish, and administer the major projects and operational contracts;

• Ensure a smooth and efficient operation of the departments under his/her supervision;

• Ensure that all departments under his/her supervision are in line with the pre-defined corporate budget;

• Liaise with his/her superiors, subordinates and external parties to ensure proper communication within the Department;

• Monitor and control capital and operational expenditure vis a vis budgeting with regular reporting;

• Aid in preparing business plans and cost benefit analysis of energy projects;

• Manage support staff within the departments under his/her supervision;

• Provide insight and recommendations for both the short-term and long-term growth plans of the Company;

• Act in accordance to the public procurement regulation;

• Coordinate with teams of professionals and EU and National Regulatory Authorities and stakeholders to setup, implement and operate a national electricity and gas network codes;

• Aid in setting up, operate and/or manage the Company’s dispatching and Capacity allocation sections

• Responsible for the approval of the short-, medium- and long-term strategy and marketing plans;

• Coordinate the preparation of the tariff methodologies, capacity allocation/auctioning mechanisms and liaison with Regulatory Authorities, prospective shippers and stakeholders;

• Follow up on the yearly, quarterly and daily capacity allocation and dispatch requirements and report to the CEO on a regular basis;

• Monitoring policy developments within the European institutions and identifying issues of concern for the Company;

• Apply for EU/national funds and keep the Commission, Regulatory and Competent Authorities and stakeholders constantly informed about the project developments;

• Negotiate the EU Funding Grant Agreement with the EU Commission, National Contact Points and EU funds management authorities and eventually manage the grant obligations. ;

• Draft and review policy proposals, positions, paper, and Presidency Memoranda that may be required from time to time.

• Propose appropriate policy topics for the EU funding work programme.

• Review of energy-related EU and national policies, regulations and directives and specifically in relation to the electricity, gas and hydrogen sectors and prepare positions from the company’s perspective to the relevant Ministry.

2.0 Duties and Responsibilities

The Senior Executive (EU Affairs) will be expected to:

• Assist the CEO, Chief Officers, Managers or other parties as required.

• Setup and administer internal policies and procedures in line with the direction of the Public Administration Act, CEO and BoD.

• Analyse and interpret relevant laws, procedures and regulations that impact the Company.

• Co-ordinate the operations of the departments falling under his/her supervision.

• Relate and liaise with other external organisations such as, but not limited to REWS, ARERA, ACER, TSOs, ENTSOg, ENTSOe and prospective shippers, stakeholders; ;

• Relate and liaise with other Departments and/or Sections within the Company.

• Ensure that all the staff under his/her supervision works towards the objectives assigned.

• Participate actively in the investigation, training and consultancy of the Company;

• Establish clear targets for staff under his/her responsibility, within the context of the Company’s targets and KPIs in collaboration with senior management and colleagues;

• Develop and maintain constantly improving relationships with customers and third parties;

• Facilitate communications with other units in the organisation.

• Foster teamwork and trust while avoiding conflict between staff;

• Carry out any other duty assigned by the CEO/COs or their delegate as required from time to time;

• Ensure proper compliance with internal controls and put forward improvements to current controls;

• Establish Key Performance Indicators (KPIs) and the supervision and monitoring thereof;

• Be familiar and act in accordance to Public procurement regulations, Public Administration act, Public Service Management Code and other related procedures and regulations;

• Working with the Chief Officer - Commercial & Regulatory Affairs to develop an EU Affairs strategy for the organisation;

• Work with the Chief Officer - Commercial & Regulatory Affairs and encourage colleagues to promote the Company as a credible commercial partner;

• Implement a robust new business process across the organization;

• Negotiate and represent the Company in meetings with Shippers, potential clients, NRAs and stakeholders;

• Work with the Chief Executive Officer and Chief Officer - Commercial & Regulatory Affairs to negotiate contracts as may be required from time to time;

• Identifying new commercial opportunities and developing benefits packages;

• Develop financial/business models, Cost Benefit Analysis and Investment Requests

• Develop relationships with existing and potential sponsors and partners through relationship management including regular liaison, provision of information, updating the website, development of an e-newsletter etc;

• Initiation of and hosting hospitality opportunities;

• Raise awareness of sponsor needs/objectives across the Company and amongst other delivery partners;

• Manage sponsorship and partnership relations;

• Liaise with the Regulatory Authorities, shippers and stakeholders on tariffs and capacity allocation

• Manage the expenditure of the commercial budget across the year with the support of the Accounts Section;

• Provide reports and other information that may be required from time-to-time;

• Liaises with the auditors during the audit of the accounts and EU grant audits;

• Develop annual and long term budgets for revenues as well as expenses;

• Assist in the setting of the respective organizational & departmental budgets;

• Monitor capital and operational expenditure;

• Take disciplinary action where and when required;

• Setup and manage thereof the Company’s Procurement Section;

• Plans, Implements and Controls Company’s Budget including the compilation of the Business and Financial Plan;

• Prepares, Implements, Monitors and Provides feedback regarding the Company’s budgetary position;

• Calculate and assess Company’s budgetary allocations, as well as preparing briefs for high level meetings;

• Consolidate input and advise upon revenue forecasts both for the following year and on the basis of a three year Business and Financial Plan, and their continuous monitoring during the course of the year;

• Take action to ensure that all dues to the Company are settled in timely manner;

• Ensure that statistical data and projections are accurate and relevant, and that any identified trends in data are duly analysed, interpreted and reported to senior management together with recommendations for any remedial action required;

• Compile publications and reports, which may stem from internal, national or international requirements. Examples of such reports are Cash flow reports, the Financial Report, P&L Report, Deficit and Debt (Fiscal) Report, reports for the compilation of Financial and non-Financial Accounts, quarterly and annual statutory statements, Parliamentary Questions and so on;

• Take a lead role in the identification of process improvements for simplification, innovation and added value;

• Conduct detailed financial and accounting analysis, evaluation and appraisal of policies and business processes, formulating informed recommendations and action plans;

• Manage the planning and implementation of audits, including the approval of field audits and spot checks and any follow up required. Also contributing to internal and external audits as required;

• Lead teams to carry out financial, performance and value for money reviews;

• Represent the Company in meetings and conferences, both locally and

abroad and participating in working groups;

• Represent the Company in any legal proceedings as required and ensure the correctness and relevance of documentation;

• Ensure that legislation, regulation, policies and internal control procedures are adhered and that monitoring is properly implemented. This also includes working with senior management to ensure adequate risk assessment and risk management processes as well as contingency plans to deal with emergencies;

• Formulate and update policies, processes and procedures of a financial, procurement nature or as directed from the CEO;

• Conduct in-depth analyses, such as analysis of the cost-risk trade-offs of different borrowing strategies, and formulating informed recommendations;

• Keep abreast with accounting standards, financial legislation and Company policies;

• Keep abreast with accounting systems, procedures and applications, and following training as directed. This includes ensuring that any updates are disseminated to staff under his/her supervision;

• Keep abreast with financial techniques such as portfolio management and so on;

• Establish clear targets for staff under his/her responsibility, within the

context of the Company’s targets and in collaboration with senior management and colleagues;

• Provide effective leadership and mentoring staff under his/her responsibility, to ensure good practices, facilitate the retention of knowledge within the Company, encourage personal and professional development, and support collaboration towards the attainment of strategic organisational goals;

• If requested, sets up, assists and monitors the Procurement Section within the Company and assists staff under his/her supervision with the compilation of request for quotations, tender documents and the selection process, together with any other related duties;

• Develop plans for purchasing equipment, services, and supplies;

• Manage and Administer salaries, compensation and benefits, when

requested;

• Manage and/or sets up the drafting of application forms for the tapping of EU Funds, as directed by the CEO, Chief Officers, Director Programme Implementation and the respective applicant;

• Prepares progress reports and any other projects related reports as required to fulfil the grant agreement requirements;

• Performs promotional activities and produce information materials in line with EU Grant Requirements;

• Draws up informed recommendations for the transposition of EU legislation into Maltese legislation as requested;

• Conduct desk-based checks on EU payments and process such payments through the Management Information System

3.0 Training The Senior Executive (EU Affairs) is expected to provide a section specific and personal training plan for the approval of his superiors.

4.0 Organisational Relationships

4.1 Structural

• Responsible to the CEO, CO (Commercial & RA) or Manager as required.

• Directs the activities of the section/s that he/she is/may be responsible for, namely, Executive.

• Interact with other sections and entities outside the organisation as required.

4.2 Authority

• The Senior Executive (EU Affairs) has the authority to take any reasonable action consistent with his/her position objectives and responsibilities and subject to any direction given by the CEO or his/her immediate superior.

4.3 Responsibility

• The Senior Executive (EU Affairs) shall be responsible for the satisfactory performance of all sections under his/her responsibility. All this shall be within the constraints of parameters and performance criteria that exist from time to time.

• The Senior Executive (EU Affairs) shall be willing to travel to meetings/events and work unsocial hours at weekends and evenings

4.4 Accountability

• The Senior Executive (EU Affairs) shall be accountable to the Manager, CO (Commercial &RA) and the CEO.

• The performance and effectiveness of the appointee will be gauged by considering the following: • The achievement of target set in work programmes in the pre-

established time frames

• The successful operation of the above within budgetary constraints;

• The degree of co-ordination between the various sections under his/her responsibility;

• The successful operation of the section under his/her responsibility with particular view to provide all the necessary information required by the CO and CEO and/or auditors in carrying out the audit;

• Initiative and innovation demonstrated;

• Obtainment of EU Funds • Timeliness in the preparation of management accounts and other

statutory reports or other reporting requirements.

4.5 Supervision

• The Senior Executive (EU Affairs) shall be expected to carry out his/her duties with his own initiative and with minimum supervision from his superiors.

• The Senior Executive (EU Affairs) shall be expected to supervise sub-ordinates within his/her section as directed by the immediate superior/s and sub-contractors that may be required to provide services to the Company.

5.0 Qualifications

Possess as minimum a degree at EQF Level 6, or equivalent, in either European Studies or Engineering, or Economics or Law.

6.0 Experience

The Senior Executive (EU Affairs) must hold the following experience:

• Have a minimum of seven (7) years’ post graduate work experience in

Energy Infrastructure Projects

• Have at least five (5) years post-graduate work experience in EU Regulatory Affairs related to the Energy Sector.

• Have at least two (2) years’ experience in interpretations or drafting proposals/modifications of EU regulations, directives and policies

• Have actively participated in projects financed under EU funding programmes and a clear understanding of the EU funding programmes.
