Dear Ms. Anju Deleep,

This has reference to your application and the subsequent interview/s you had with us. We are pleasedto appoint you as ‘Associate Software Engineer’ at RBEI at “Level 50” as detailed below.

1. Training PeriodYou will be on training for a period of 2 months from the date of your joining the organization. Thecompany may periodically evaluate your performance during the training period. If you fail to qualify asper the minimum prescribed performance standards, the company reserves the right to decide on thecontinuance of your employment.

2. Compensation

a. Your annual CTC (Cost to Company) will be Rs.5,50,000/- (Rupees Five Lakhs and FiftyThousand only) per annum. Your CTC will comprise of Basic Salary, Buffet of Benefits (BoB), VariablePay (CPrP) and Retrials benefits. The salary will be governed by the prevailing employment policies ofthe company as in force from time to time.b. The Variable Pay (CPrP - Company Performance related Pay) planned for the year 2020 (payable inApril-2021) at factor EAV 1.0 of company performance is 10% of the Annual Earned Salary (BasicSalary + Buffet of Benefits) for associates at your level. However, the actual amount will depend uponthe company goal achievements. This amount is paid as per section 31-A of the Bonus Act in lieu ofprofit sharing bonus.c. Please refer to Annexure l to know more details about your compensation package.

Your remuneration is strictly confidential between you and the Company. You are obliged to maintainabsolute secrecy of the terms and conditions; failure to do so will invite disciplinary action and may evenresult in termination of your services.

3. Retiral benefits3.1 Company’s contribution towards Provident Fund at 12% of the basic salary per month.3.2 You will be eligible for Gratuity as per the Gratuity Act 1972 and the rules made there under.3.3 You will also be eligible to subscribe under National Pension System (Optional) as per the policy.

4. Extended BenefitsDuring your employment tenure with us, you will be covered under company provided insurance:4.1 Hospitalization Insurance - for self and family (for spouse and children up to the age 23 years).4.2 Personal Accident Insurance - for self only.4.3 Life Insurance - for self only.The aforementioned perquisites are subject to alteration and amendment.

5. Salary Revision and BenefitsSalary shall be reviewed on an annual basis and you shall be notified of the amount of your salaryentitlement for the succeeding year, depending on performance during the year.

6. EligibilityThis offer of employment is valid subject to your scoring a minimum of 70% aggregate with no currentbacklogs in Degree and 70% score consistently from SSLC onwards.

7. RetirementYou will retire from the services of the company on attaining the age of superannuation. The retirementage in Bosch is 60 years.

8. Leave BenefitsYou will be entitled to 18 days of Earned Leave, 12 days of General Leave, subject to the terms andcondition as per the prevailing leave policy.

9. IntegrityEach employee at Bosch is committed to ensure integrity in all aspects of their functioning. You areexpected to comply with the policies as listed in the code of Business Conduct of the company as theyform an integral part of the terms of your employment with Bosch. You are required to read and agree tothe Rules & Regulations of Service and Conduct as listed in the Annexure III.

10. Conditions of Hire

10.1 The assignment offered to you is on a whole time basis. You will not carry on or be concerned withany business of your own or on behalf of anyone else directly or indirectly, nor shall you take up otherbusiness or be associated with any other business with or without remuneration during the course ofemployment with the company. Further, if you have any trade or business interest and have any existingconnection or future connection with the Company as suppliers, dealers, agents or contractors thereof,you are obligated to disclose such connection to the Company at the time of joining, if there is a presentconnection and inform the management of the Company on becoming aware of any proposedtransactions through such relations in the future.

10.2 If the Company sends you on training including research and development activities, to anothercountry or a place in India with a view to benefit the Company in pursuance of its business objectives,which will be at an additional cost to the Company, you agree not to accept employment in a company incompetition with RBEI and/ or undertake a business that is in competition with RBEI. In the event youleave the Company within One Year after such training period, the Company will be entitled to recoverthe costs from you, incurred by the Company towards such training; you may be required to sign a bondto that effect.

10.3 You have to submit a copy of your current Degree certificate / Provisional certificate and allsemester marks sheets / Consolidated mark sheet on your said date of joining.

11. TransferabilityInitially you will be posted at our Bangalore / Coimbatore location, however you may be transferred toprovide your services to any of our existing / future establishments, sister concerns of Bosch or at ourclient location situated within India or abroad depending upon the company’s requirements on the sameterms and conditions of this letter and any additional terms that may be applicable to you as perCompany policies. In case you are deputed abroad, you will be required to fulfil the conditions regardingfinancial security and minimum service subsequent to such deputation as per the Company’s Policy.

12. InformationIn accordance with the provisions of the Companies Act 1956, you are required to disclose your relationsor business connections, if any, with the Directors of this Company. You are required to furnish thesedetails in your job application form and return to us. You are also required to disclose informationregarding any posts held by you including any honorary position.

13. TerminationThe notice period for termination of employment on either side will be Three months. When payment inlieu of notice is offered by the management or the employee, the notice pay shall mean only the basicsalary and does not include cash equivalent of any allowances, etc.

Payment in lieu of notice shall be subject to acceptance of the same by the Company consideringunfinished tasks, projects on hand, work in progress, etc. You shall not be deemed to have beenrelieved of your services except upon issue of a letter to that effect.

14. Medical FitnessThis offer is provisional, subject to you being declared medically fit by our Medical Officer. On the day ofjoining you are required to furnish an eye fitness certificate as mentioned in the Annexure II appendedto this letter.

15. Personal InformationThis employment offer is made based on the information given by you in the RBEI application formsubmitted to us. In case company finds at any time, the information given by you is not correct, untrueor incomplete, the company shall have the right to dismiss you from your employment at any timewithout notice or salary in lieu of notice period.

16. Background Check and ReferencesYour appointment is contingent upon satisfactory report on the background check conducted by ourcompany’s approved agency relating to your education and address.

17. Acceptance and CommencementYour appointment will be confirmed upon receiving your acceptance to this offer letter. Your functionalarea, location and date of joining will be informed later.

To confirm your acceptance, you are requested to communicate the acceptance of this offer within 7days from the date of receiving this letter, to your placement officer.

This offer is based on your profile and performance in the selection process. You have been selected for the position of Assistant System Engineer-Trainee in Grade Y. You will be a part of the application development and maintenance projects across any of the business units of TCSL.

Your gross salary including all benefits will be `3,53,569/- per annum, as per the terms and conditions set out herein. COMPENSATION AND BENEFITS

BASIC SALARYYou will be eligible for a basic salary of `11,000/- per month.

BOUQUET OF BENEFITS (BoB)Bouquet of Benefits offers you the flexibility to design this part of your compensation within the defined framework, twice in a financial year. All the components will be disbursed on a monthly basis.

The components under Bouquet of Benefits are listed below. The amounts given here for each of the components below are as per pre-defined structure. However you may want to re-distribute the BoB amount between the components as per your tax plan, once you join TCSL. To design your Bouquet of Benefits, you may access the link to BoB in the "Employee Self Service" link on "Ultimatix", the internal portal of TCSL. Taxation will be governed by the Income Tax rules. TCSL will be deducting tax at source as per income tax guidelines.

1. House Rent Allowance (HRA)Your HRA will be `4,400/- per month. While restructuring your BoB amount to various components, it is mandatory that at least 5% of monthly basic pay be allocated towards HRA.

2. Leave Travel AllowanceYou will be eligible for annual Leave Travel Allowance which is equivalent to one month's basic salary or a pro-rata amount in case you join during the financial year. This will be disbursed on a monthly basis along with the monthly salary. To avail income tax benefits, you need to apply for a minimum of three days of leave and submit supporting travel documents.

3. Personal AllowanceYou will be eligible for a monthly personal allowance of of `7,640/- per month. This component is subject to review and may change as per TCSL's compensation policy.

4. Food CardYou will be eligible for a Food Card. It can be used to purchase food items at all domestic VISA enabled restaurants and fast food restaurants including TCS cafeterias.As per the Pre-Defined structure you will be eligible for a Food Card with an amount of `500/-

being credited to this card per month. However you may want to re-distribute the BoB amount between the components as per your tax plan, once you join TCSL.

PERFORMANCE PAY

Monthly Performance PayYou will receive a monthly performance pay of `1,700/-. The same will be reviewed on completion of your first Anniversary with the company and will undergo a change basis your own ongoing individual performance.

Quarterly Variable AllowanceYour variable allowance will be `600/- per month, and will be paid at the closure of each quarter based on the performance of the company and your unit and to the extent of your allocation to the business unit.

Quarterly Variable Allowance is subject to review on your first anniversary and may undergo a change based on the actual performance of the Company, your business unit and your own ongoing individual performance. The payment is subject to your being active on the company rolls on the date of announcement of Quarterly Variable Allowance.

This Pay/Allowance shall be treated as productivity bonus in lieu of statutory profit bonus.

Performance Pay will be effective upon successful completion of the TCS Xplore Programme.

CITY ALLOWANCEYou will be eligible for a City Allowance of `200/- per month. This is specific to India and is linked to your base branch. In the event of a change in your base branch this amount may undergo a change. It will stand to be discontinued while on international assignments. This allowance is fully taxable and subject to review.

XPLORE/ LEARNING INCENTIVESYou will be eligible for Readiness Incentive AND/ OR Competency Incentive, basis your performance in TCS Xplore Program. The incentives gives you an additional earning potential of upto Rs.60,000 over and above your CTC during the first year.

OTHER BENEFITS

Health Insurance SchemeTCSL brings the benefit of health insurance cover to you and your dependants under the company's Health Insurance Scheme(HIS).

HIS offers the following benefits:

1. Basic Coveri. Entitlement - Includes domiciliary expenses up to `6,000/- per insured person per annum and basic hospitalization expenses up to `2,00,000/- per insured person per annum.

ii. Premium - Basic premium for self, spouse and three children is entirely borne by TCSL, provided these members are explicitly enrolled by you under the scheme. Additionally, if you wish to cover dependent parents/parents-in-law or remaining children, the applicable premium per insured person is to be borne by you.

2. Higher HospitalisationCoverage under Higher Hospitalisation is mandatory. Under this scheme, you and your enrolled dependents will be automatically covered under Higher Hospitalisation benefits.

i. Entitlement - You and your enrolled dependants will be entitled for `12, 00,000/- as a family floater coverage towards hospitalisation expenses, over and above the individual basic coverage.

ii. Premium - For Higher Hospitalisation, a part of the premium will be recovered from your salary and the differential premium will be borne by TCSL.

Maternity LeaveWomen employees are eligible to avail maternity leave of twenty six weeks. Adopting or commissioning mother,may avail maternity leave for twelve weeks. For more details on the benefits and eligibility, once you join, please refer TCS India Policy - Maternity Leave.

Tata Sons and Consultancy Services Employees' Welfare Trust (TWT)You will become a member of the TWT, on completion of continuous association of one year from the date of joining TCSL. A nominal annual membership fee of `250/- will be recovered from you for the same. The Trust provides financial assistance by way of grants/ loans in accordance with the rules framed by the Trust from time to time for medical and educational purposes and in case of death of members while in service.

LoansYou will be eligible for loans, as per TCSL's loan policy.

Professional MembershipsYou will be eligible for reimbursement of expenses towards professional membership as per TCSL's policy.

RETIRALS

Provident FundYou will be a member of the Provident Fund as per the provisions of "The Employees Provident Fund and Miscellaneous Provisions Act, 1952", and TCSL will contribute 12% of your basic salary every month as per the provisions of the said Act.

GratuityYou will be entitled to gratuity as per the provisions of the Gratuity Act, 1972.

TERMS AND CONDITIONS

1. Aggregate Percentage RequirementsYour appointment will be subject to your scoring minimum aggregate (aggregate of all subjects in all semesters) marks of 60% or above (or equivalent CGPA as per the conversion formula prescribed by the Board /University) in the first attempt in each of your Standard Xth, Standard XIIth, Diploma (if applicable) and highest qualif ication (Graduation/ Post Graduation as applicable) which includes successful completion of your final semester/year without any pending arrears/backlogs. As per the TCSL eligibility criteria, marks/CGPA obtained during the normal duration of the course only will be considered to decide on the eligibility.

As communicated to you through various forums during the recruitment process, your appointment is subject to completion of your course within the stipulated time as specified by your University/Institute and as per TCSL selection guidelines.

It is mandatory to declare the gaps/arrears/backlogs, if any, during your academics and work experience. The management reserves the r ight to withdraw/revoke the offer/appointment at any time at its sole discretion in case any discrepancy or false information is found in the details submitted by you.

2. Pre requisites for JoiningTo enable your readiness to work on assignments upon joining, we have put together a comprehensive learning program named TCS Xplore which is made available to you digitally. This foundation program will include Online learning content, Webinars, practice sessions & proctored assessments. Further to accepting this Offer letter, you are required to enroll for the TCS Xplore Program and start your learning journey with TCSL. TCSL will make Xplore program available for you upon your offer acceptance. Please note that your joining is subject to successful completion of your TCS Xplore program including the proctored assessment. 3. Training PeriodYou will be required to undergo class room and on the job training in the first twelve months (including the TCS Xperience Programme as set out herein below), during which period you will be appraised for satisfactory performance during/after which TCSL would normally confirm you.

This confirmation will be communicated to you in writing. If your performance is found unsatisfactory during the training period, the company may afford you opportunities to assist you and enable you to improve your performance. If your performance is still found unsatisfactory, TCSL may terminate your traineeship forthwith.

However, TCSL may even otherwise at its sole discretion terminate the traineeship any time if your performance is not found satisfactory. The terms and conditions of the training will be governed by TCSL's training policy. TCSL reserves the right to modify or amend the training policy.

If you remain unauthorizedly absent for a consecutive period of 3 days during the training programme, you shall be deemed to have abandoned your traineeship and your name will automatically stand discontinued from the list of TCS Xperience trainees without any further intimation/separate communication to you.

4. Working HoursYour working hours are governed by applicable law. You may be required to work in shifts and/or over time depending upon the business exigencies as permitted by law.

5. MobilityTCSL reserves the right to transfer you at any of its offices, work sites, or associated or affiliated companies in India or outside India, on the terms and conditions as applicable to you at the time of transfer.

6. Compensation Structure / Salary componentsThe compensation structure/salary components are subject to change as per TCSL's compensation policy from time to time at its sole discretion.

7. Increments and PromotionsYour performance and contribution to TCSL will be an important consideration for salary increments and promotions. Salary increments and promotions will be based on TCSL's Compensation and Promotion policy.

8. Alternative Occupation / EmploymentEither during the period of your traineeship or during the period of your employment as a

confirmed employee of TCSL, you are not permitted to undertake any other employment, business, assume any public or private office, honorary or remunerative, without the prior written permission of TCSL.

9. Confidentiality AgreementAs part of your acceptance of this appointment as an employee with TCS you are required to maintain strict confidentiality of the intellectual property rights protected information and other business information of TCS and its clients which may be revealed to you by TCS or which may in the course of your engagement with TCS come your possession or knowledge unless specifically authorized to do so in writing by TCS. This Confidentiality Clause shall survive the termination or earlier determination of this Appointment. The detailed Confidentiality related terms and conditions are set out in Annexure 3.

10. Service AgreementAs TCSL will be incurring considerable expenditure on your training, you will be required to execute an agreement, to serve TCSL for a minimum period of 1 year after joining, failing which, you (and your surety) will be liable to pay TCSL `50,000/-towards the training expenditure. Service agreement duration of one year refers to continuous service of 12 months from date of joining TCSL and excludes the duration of Leave without pay (LWP) and/or unauthorized absence, if any.

11. Overseas International Assignment AgreementI f you are on international assignment, you wil l be covered by the TCS India Policy-International Assignments (from India to other Countries) from the date of placement for an international assignment. Accordingly, you will be required to sign the Overseas International Assignment Agreement/s and any other applicable related documents pertaining to the international assignment for which you are being placed In case of every international assignment that exceeds 30 days, you will be required to serve TCSL as per the Notice Period clause mentioned below.

This is to ensure that the knowledge and information gained by you during your assignment is shared and available to TCSL and its associates. This transfer of knowledge and information is essential for TCSL to continue to serve its clients and customers better. If you are deputed internationally for training, you will be required to sign an agreement to serve TCSL for a minimum period of 6 months on completion of training.

12. Terms and ConditionsThe above terms and conditions are specific to India and there can be changes to the said terms and conditions in case of deputation on international assignments.

13. TATA Code of ConductYou are required to sign the TATA Code of Conduct and follow the same in your day-to-day conduct as an associate of TCSL.

14. Notice PeriodDuring your tenure with TCSL, either you or TCSL may terminate your traineeship / employment under this Agreement by providing 90 days written notice. The company reserves the right, to ask you to complete the notice period or adjust the earned vacation in lieu of entire or partial notice period. If your services, behaviour and/ or performance are not found satisfactory, TCSL may terminate your services by giving notice as mentioned herein above. No notice or payment in lieu thereof shall be applicable if your services are discontinued/terminated on account of any misconduct either during your traineeship period or upon completion of the traineeship period.

You will be liable to pay TCSL `50,000/- in case you fail to serve TCSL for a minimum period of 1 year after joining in accordance with the Service Agreement clause.

If you are covered under International Assignment Agreement, either you or TCSL can terminate the traineeship/appointment by giving 90 calendar days written notice as set out in the Separation Policy of TCSL. TCSL reserves the right if it is in the interest of the business and current assignment, to ask you to complete your notice period.

15. RetirementYou will retire from the services of TCSL on reaching your 60th birthday as per the proof of age submitted by you at the time of joining.

16. Pre-employment Medical CertificateYou are required to submit a Medical Certificate of Fitness (in the format prescribed by TCSL) which needs to be verified by a registered medical practitioner having a minimum qualification of MBBS to the Induction Coordinator.

17. Employment of Non Indian CitizensIn case, you are not a citizen of India, this offer is subject to your obtaining a work permit and / or any other permissions and / or documentation as prescribed by the Government of India.

18. Background CheckYour association with TCSL will be subject to a background check in line with TCSL's background check policy. A specially appointed agency will conduct internal and external background checks. Normally, such checks are completed within one month of joining.If the background check reveals unfavourable results, you will be liable to disciplinary action

20. TCS Xperience ProgramOn joining TCSL, you will be given the benefit of formal training (TCS Xperience Program) at our offices, as identified, for such period as TCSL may decide.

The said training forms a critical part of your employment with TCSL and is an ongoing process. TCSL continues to make investment on training and continuing education of its professionals. This will be of immense value to you as a professional and a large part of the ownership and commitment has to come from you.

As TCSL progresses with these initiatives, monitoring performance will be an ongoing process and a formal evaluation will be carried out during the training. Failure to fulfill one or more of the terms and conditions and/or failure to clear one or more tests successfully would entitle TCSL to withdraw this offer letter anytime at its sole discretion.

Confidentiality and IP Terms and Conditions

Confidentiality and IP Terms and Conditions - Annexure 3:

1. Confidential Information"Confidential Information" shall mean all Inventions and Know-how, information and material of TCS (including for avoidance of doubt any Confidential Information of its Clients) that comes into the possession or know of the Associate and shall include the following:

(a) Any and all information processing programs, software, properties, items, information, data, material or any nature whatsoever or any parts thereof, additions thereto and materials related thereto, produced or created at any time by TCS or the Associate in the course of or in connection with or arising out of the Associate's association with TCS. Program/Software shall mean source code and/or machine instructions wherever resident and on whatever media and all related documentation and software,

(b) All other information and material of TCS relating to design, method of construction, manufacture, operation, specifications, use and services of the TCS equipment and components, including, but not limited to, engineering and laboratory notebooks, reports, process data, test data, performance data, inventions, trade secrets, systems, software, object codes, source codes, copyrighted matters, methods, drawings, computations, calculations, computer programs, narrations, flow charts and all documentation therefore and all copies thereof (including for avoidance of doubt any such material belonging to the Clients of TCS).

(c) Corporate strategies and other confidential and proprietary material and information, which could cause competitive harm to TCS if disclosed,

(d) Customer and prospective customer lists, and

(e) All other information and material, which may be created, developed, conceived, gathered or collected or obtained by the Associate in the course of or arising out of the association with TCS or while in or in connection with or for the purposes of his/her association with TCS or any of the operations and entrusted by TCS to the Associate.

2. Associate's ObligationsAssociate agrees to treat the Confidential Information as strictly confidential and a trade secret of TCS. Associate agrees not to use, or cause to be used, or disclose or divulge or part with either directly or indirectly the Confidential Information for the benefit of or to any third parties except for or on behalf of or as directed or authorized by TCS or to a person having a valid contract with or need under TCS, any Confidential Information. Upon termination of employment, the Associate agrees to surrender to TCS all Confidential Information that he or she may then possess or have under his or her control.

3. Intellectual Property RightsAssociate agrees and confirms that all intellectual property rights in the Confidential Information shall at all times vest in and remain with or belong to TCS and Associate shall have no right title or claim of any nature whatsoever in the Confidential Information. Associate shall promptly disclose to an authorized officer of TCS all inventions, ideas, innovations, discoveries, improvements, suggestions, or reports and enhancements made, created, developed, conceived or devised by him or her arising out of his or her engagement with TCS, including in the course of provision of services to the Clients of TCS and Associate hereby agrees and confirms that all such intellectual property rights shall at all times vest in and remain vested in TCS and agrees to transfer and assign to TCS any interests Associate may have in such intellectual property rights including any interest in and to any domestic or foreign patent rights, trademarks, trade names copyrights and trade secret rights therein and any renewals thereof. On request of TCS, Associate shall execute from time to time, during or after the termination of his or her employment, such further instruments, including without limitations, applications for letters of patent, trademarks, trade names and copyrights or assignments thereof, as may be deemed necessary or desirable by TCS to perfect the title of TCS in the intellectual property rights and to effectuate the provisions hereof. All expenses of fill ing or prosecuting any application for patents, trademarks, trade names, or copyrights shall be borne solely by TCS, but Associate shall co-ordinate in filing and / or prosecuting any such applications. Associate hereby expressly waives any "artist's rights" or "moral rights", which Associate might otherwise have in such intellectual property rights.

4. Prior knowledgeAssociate acknowledges that prior to his or her appointment by TCS, he or she had no knowledge of the Confidential Information of TCS and that such Confidential Information is of a confidential and secret character and is vital to the continued success of TCS's business. Associate further acknowledges that he or she is associated with TCS in a capacity in which he or she will become acquainted with all or part of such Confidential Information. In order to safeguard the legitimate interests of TCS in such Confidential Information, it is necessary for TCS to protect such Confidential Information by holding it secret and confidential.

5. Use of third party materialAssociate expressly agrees that it shall not in the course of his or her association with TCS and while working on the premises or facilities of TCS or its Clients or in connection with the development of any intellectual property rights or work for or on behalf of TCS, use any third party material or intellectual property rights except those intellectual property rights provided by TCS or expressly authorised by TCS or without having proper authorisation or license or approval of the respective owner of such intellectual property rights.

6. Security policies and Guidelines.Associate agrees to abide by and be bound by any and all policies, documents, guidelines and processes including IP, Security and Confidentiality of TCS in force from time to time whether expressly endorsed or not.

7. Restriction on Associate's RightsAssociate agrees that he or she shall not make, have made, replicate, reproduce, use, sell, incorporate or otherwise exploit, for his or her own use or for any other purpose, any of the Confidential Information including intellectual properties of TCS that is or may be revealed to him or her by TCS or which may in the course of his or her employment with TCS come into his or her possession or knowledge unless specifically authorized to do so in writing by TCS.

8. No LicenseTCS and Associate agree that no license under any patent or copyright now existing or hereafter obtained by TCS is granted, agreed to be granted, or implied by the terms of this Agreement, or by the disclosure to Associate of the Confidential Information.

9. Equitable RightsAssociate acknowledges that any Confidential Information that comes into the possession and / or knowledge of Associate is of a unique, highly confidential and proprietary nature. It is further acknowledged by Associate that the disclosure, distribution, dissemination and / or release by Associate of the Confidential Information without the prior written consent of TCS or any breach of this Agreement by Associate will cause TCS to suffer severe, immediate and irreparable damage and that upon any such breach or any threat thereof, TCS shall without prejudice to any other remedies available to it, be entitled to appropriate equitable relief including the relief of specific performance and injunctive relief, in addition to whatever remedies it might have at law.

10. General(a) The provisions hereof shall be interpreted, determined and enforced in accordance with the laws of India.

(b) In the event of any dispute or disagreement over the interpretation of any of the terms herein contained or may claim or liability of any party including that of surety, the same shall be referred to a person to be nominated by TCS, whose decision shall be final and binding upon the parties hereto. Subject to the above, the arbitration shall be governed by the Arbitration and Conciliation Act, 1999 or any modifications or re-enactment thereof. Associate confirms that the fact that the arbitrator shall be a nominee of TCS shall not be a ground for objecting to such arbitration or challenging the decision of the arbitrator. The venue of arbitration shall be Mumbai. Subject to the above arbitration clause, the Parties agreed to the binding jurisdiction of the Courts at Mumbai under the laws of India.

(c) If any provision hereof shall be found by a judicial tribunal to be contrary to governing law, it shall be deemed null and void without annulling or rendering invalid the remainder of the Agreement and if the invalid portion is such that the remainder cannot be sustained without it, the Parties herein shall find a suitable replacement to the invalid portion that shall be legally valid.

(d) This Confidentiality clause along with other documents executed by Associate or referenced in any such documents constitutes the entire understanding between the parties and supersedes all prior agreements and understandings pertaining to the subject matter thereof. No delay of omission of either Party in exercising or enforcing any of their rights or remedies hereunder shall constitute a waiver thereof.

(e) This Confidentiality clause may not be amended except in writing signed by authorized representatives of both parties.

(f) The obligations of Associate in terms of this Confidentiality clause shall continue during the term of or in the course of the employment of the Associate with TCS and shall continue thereafter in perpetuity.

INTERNSHIP OFFER LETTER

Dear Nirmal K. A.,

We have great pleasure in inducting you in our company, Ignitarium Technology Solutions Pvt. Ltd. as Intern – Embedded Software for an internship assignment at Kochi.

1. INDUCTION

a. Your internship start date is effective your date of reporting at Ignitarium office for internship.

b. You will be working on your project from the date of your induction. An internship topic would be chosen after mutual consultation and Ignitarium would guide you through the assignment. At the end of your assignment your project report will be certified as mandated by the college.

c. Induction to this internship need not result in permanent employment with Ignitarium.

2. COMPENSATION

a. During the internship, in order to take care of your expenses, you will be compensated

by a stipend starting from Rs. 15,000/-per month (Rs. Fifteen Thousand Only). The payment shall be pro-rated based on the number of days worked in a month, subsequent to commencement of internship.

b. You are entitled to a maximum of 1-day leave per month, subject to your Supervisor’s approval. This leave does not accrue or carry forward beyond the end of each month.

c. You will not be eligible for any benefits that the Company offers its employees, including,

but not limited to, health benefits, vacation pay or sick leave.

3. WORKING HOURS

a. The regular work week consists of 5 days, each 8 hours long (excluding lunch break),

Monday to Friday. The standard office hours are from 9:00 am to 6:00 pm. It is mandatory that employees spend 8 hours [excluding lunch break] in office for work. Lunch break is not stipulated; however, 1 hour between 12:30 – 2:30pm is encouraged.

b. The Company reserves the right to alter or modify the working hours or holidays temporarily or permanently.

c. The Company does not encourage overtime work and accordingly does not have a policy for payment of overtime.

4. RESPONSIBILITIES

While performing the internship, you agree to:

a. Comply with all lawful and reasonable directions and instructions given to you by the employees of the Company during the course of the Internship.

b. Comply with any and all Company policies and procedures that apply, or may apply, during the course of the Internship.

c. Utilize the internship diligently, and ensure successful accomplishment of the specific internship objectives.

d. Not engage in any activity that is in conflict of interest to the company. Activities such as and not limited to working or liasoning with another competing company shall be construed as conflict of interest.

e. At all times comply with any and all, codes or guidelines of the Company, in

whatever form, that are applicable.

f. Not indulge in any criminal activity, acts of fraud or other illegal activity that are punishable under the Indian Penal Code. Any evidence of the above shall result in immediate termination.

5. CONFIDENTIALITY

a. During your internship and thereafter, you agree to keep strictly confidential all trade secrets and information that the Company holds proprietary or confidential. You also agree that as a condition of your internship, you will sign a company-standard Non-Disclosure Agreement (NDA) with Ignitarium and you are expected to comply with all clauses of the NDA.

b. Through this internship assignment, the company is investing time and resources to impart specialized knowledge. Any inventions including but not limited to tools, ideas, enhancements, processes, formulas, source codes, data, programs, designs, intellectual property, and techniques, copyrights, or patents created or obtained, in part or whole, by you during the course of this internship will be sole property of Ignitarium.

6. TERMINATION

a. At the end of the assignment based on your performance and requirements, Ignitarium may offer you permanent employment. Details of employment contract would be henceforth discussed and would be de-linked with the internship assignment.

b. If any violation of the terms of the contract, such as and not limited to Intellectual Property rights violation, NDA violation or gross misconduct is noticed, Ignitarium reserves the right to terminate the contract immediately without further notice.

5. PLACE OF WORK

Your place of work shall be ATEES Industrial Training or that as directed by the Employer.

6. DAYS AND HOURS OF WORK

Your normal working days and hours are Monday to Saturday from 9am to 05:30 pm andYou are entitled to one hour of lunch break every day.

The Employer reserves the right, at its sole discretion, to revise, amend or extend theworking hours should the need arise.

You are obliged to commit beyond the normal working days and hours stipulated in clause

5.1 if the Employer so requires, and you will be entitled to additional remuneration orovertime pay in line with the company policy of the Employer or the requirements of law.

Whenever you are unable to attend work you must telephone the Employer or yourdesignated supervisor to communicate the reason for absence by 12PM on the first day of yourabsence.

Where you are absent from work due to medical reasons you must notify the Employerand/or your immediate supervisor as soon as practicable. Such notice shall be given by 12PMon the first day of your absence. You must also obtain a medical certificate proving suchmedical reasons and provide a copy to the Employer and/or your immediate supervisor as soonas practicable.

7. REMUNERATION

During the probationary period, you are entitled to as a trainer After the end of theprobationary period where your employment is confirmed, you shall be entitled to a basicmonthly remuneration of Rs 10000/- per month , subject to further reviews and adjustmentsby the Employer.

The employee�s basic salary shall be paid in cash/by cheque or through on or before 15th ofevery month.

The Employer shall deduct from your remuneration all such sums it is authorised to deductunder the laws of India, whether for your share of Central Provident Fund Contributions,withholding tax or otherwise.

Bonus remuneration may be paid to you at the end of each calendar year, subject to thesole and absolute discretion of the Employer.

You shall be entitled to the following allowances/payment in kind (if any):

Amonthly performance grant based on the of targets achieved.

The employee shall also be paid the overtime (OT) for work beyond 8 hours in a day or 44hours in a week. The total amount of OT paid every month will be made on 15th of trailingmonth.

8. CONFIDENTIALITY

Without the prior written consent of the Employer, you must not at any time disclose anyconfidential information obtained in the course of your employment with the Employer.

Confidential information generally refers to information not available to the public, andincludes:

Trade secrets;

Business plans;

Financial information;

Employee lists and details;

Information known to the Employee to be confidential;

Information which may affect the competitive position of the Employer; and

Any information the Employer is obligated not to disclose.

You acknowledge and agree, having had the opportunity to take legal advice thereon, thatthis clause 8 is reasonable and necessary to protect the interests of the Employer.

9. INTELLECTUAL PROPERTY RIGHTS

All intellectual and industrial property rights arising out of or in connection with youremployment with the Employer shall immediately be assigned to and vest in the Employer orany other persons or entity as appointed by the Employer.

All materials, tangible or intangible, produced by you arising out of or in connection withyour employment with the Employer shall be the sole and exclusive property of the Employeror any other persons or entity as appointed by the Employer.

You are hereby obligated to execute all documents and do all such acts and such things asmay be necessary or requested by the Employer in order to ensure that all property rights vestexclusively in the Employer or any other persons or entity as appointed by the Employer

10.NO COMPETITION

Without the prior written consent of the Employer, you must not, during the course of youremployment with the Employer, directly or indirectly engage in any other businesses which isthe same as, similar to, or competes with the current or contemplated business of the

Employer, in any capacity which includes positions such as an advisor, volunteer, employee,agent, partner, director, principal, shareholder, or contractor.

Without the prior written consent of the Employer, you must not, for a period of3 Yearfrom the last day of your employment with the Employer:

Entice, induce or encourage a client of the Employer to transfer or remove business fromthe Employer;

Solicit or accept business from a client of the Employer for a business which is the same as,similar to, or competes with the current or contemplated business of the Employer;

Entice, induce or encourage an employee of the Employer to terminate the employee�semployment with the Employer; and

Directly or indirectly interfere or seek to interfere with the continuance of goods or servicessupplied to the Employer.

You must not at any time use any name in such a way that causes confusion in the name orgoodwill of the Employer, in relation to any trade, business, or corporation.

You acknowledge and agree, having had the opportunity to take legal advice thereon, thatthis clause 10 is reasonable and necessary to protect the interests of the Employer.

11.DUTIES WHEN SOLICITED

If at any time during the term of employment, you are directly or indirectly approached orsolicited by a person, with a view to or with the intention of taking up employment or enteringinto some other business relationship, whether directly or indirectly, with any person who isinvolved in a business which is the same as, similar to, or competes with the current orcontemplated business of the Employer, you are hereby obligated to disclose that fact and thenames of the parties involved immediately to the Employer.

You are hereby obligated to disclose to the person who solicited you that you are currentlyunder the employment of the Employer and are bound by the terms of your employment, andin particular, the restrictions within clause 8, 9, and 10 of this employment agreement.

12.TERMINATION

During the probationary period, either the Employer or you may terminate youremployment by giving the other party written notice of 14 Days or 14 Days salary in lieu ofnotice.

After the end of the probationary period where your employment is confirmed, either theEmployer or you may terminate your employment by giving the other party written notice of 3Months or 3 Months salary in lieu of notice.

The Employer is not obliged to give any reasons for termination.

Your employment may be terminated by the Employer without notice or compensation,without prejudice to and in addition to any other remedy available to the Employer, if you arefound to be:

Negligent or incompetent in his or her work;

Guilty of insubordination;

Incompliant with reasonable requests or instructions from the Employer, the managementof the Employer, or the designated supervisor; or

In breach of the terms of this offer of employment.

13.RETURN OF EMPLOYER MATERIALS AND HANDOVER

Upon termination of your employment, you are required to return to the Employer or itsauthorized representatives, all materials in your possession relating to the business of theEmployer and/or belonging to the Employer or its clients. You are obligated not to retain anycopies of the materials in any form. You are obliged to ensure a smooth transition of yourduties and responsibilities.

14.ENTIRE AGREEMENT AND MODIFICATION OF AGREEMENT

This employment agreement constitutes all the terms of your employment with theEmployer and supersedes all previous representations, statements, understandings andcontracts between the Employer and you.

The Employer reserves the right to modify the terms of this offer of employment by givingwritten notice to you, but any modification will be subject to your giving consent.

15.GOVERNING LAW AND JURISDICTION

This offer of employment shall be governed by and construed in accordance with Indian law.

1. COMMENCEMENT OF EMPLOYMENTa. Subject to you obtaining the necessary employment or visa approvals, if any, from the relevant government authorities for your employment with the Company, your employment will commence on 23-Sep-2020.b. Your employment is intended to be for an indefinite term, subject to:

the Company’s satisfaction, in its sole discretion, with the results of a background and reference check and verification ofyour salary and employment history; your successful completion of an initial six (6) month probationary period. 2. TERMS AND SCOPE OF EMPLOYMENTa. You will be employed in the position of ENGINEER.II.SOFTWARE ENGINEERING.CISCO-701122 , grade level 006. Youwill initially report to the DIRECTOR.ENGINEERING or such other person as required by the Company from time to time.b. Your place of work will be in BANGALORE, KARNATAKA, INDIA . The Company may change your place of work, in itsabsolute discretion, to another location at which the Company maintains premises.c. You agree, as a condition of your employment and prior to the date of your commencement, that you will execute theCompany’s “Proprietary Information and Inventions Agreement”.d. You agree that during your employment with the Company, you will comply with the Company's policies and procedures inplace from time to time including Cisco’s Code of Business Conduct. These policies and procedures form part of your contractof employment (and the Company may adopt, vary or rescind these policies from time to time in its absolute discretion andwithout any limitation (implied or otherwise) on its ability to do so). DUTIESa. You agree that, during your employment with the Company you must:

i. perform to the best of your abilities and knowledge the duties assigned to you by the Company from time to time,whether during or outside Business Hours and at such places as the Company requires;ii. serve the Company faithfully and diligently to the best of your ability;iii. use all reasonable efforts to promote the interests of the Company;iv. act in the Company’s best interests;v. comply with the Company’s policies and procedures in place from time to time;vi. comply with all law applicable to your position and the duties assigned to you; andvii. report to the person or persons nominated by the Company from time to time.

b. Without limiting your duties to the Company, you must not:i. act in conflict with the Company’s best interests; orii. compete with the Company, Cisco Commerce Private Limited or any of their respective subsidiaries and affiliates(together, the “Cisco Group”).

c. You agree that, the Company may assign you additional tasks or to a new manager; modify or remove your assignedduties; or change the place of your employment without additional compensation to you, in accordance with the Company’sneeds. 4. SALARYYour fixed salary of INR 1,200,000.00 will be split equally (i.e. 50%:50%) into two components:a. basic salary which is fully taxable and may not be changed; andb. flexible compensation: This component is flexible and you may structure it by allocating it among the following, which apply

in accordance with Company policy and relevant laws as established and amended from time to time:i. house rent allowance (HRA).This allowance is exempt from tax to the extent permitted by income tax laws and isbased on the actual rental amount paid. ii. leave travel allowance (LTA): This is an allowance of up to INR 1,00,000 per annum, which is subject to applicableincome tax laws;iii. food coupons: These are exempt from tax up to a maximum of INR 13,200 per annum; andiv. flexible allowance: this is the residual balance (if any) after allocating your Flexible Compensation amongst theabove. This amount is taxable.

Your basic salary will be paid according to local payroll practices, subject to any tax or other deduction provided or permittedby law in force from time to time, such as the employee’s share of provident fund contributions, as well as such other sums asmay be agreed with you from time to time. Your fixed salary may be reviewed from time to time in accordance with Companypolicy but will not necessarily be increased and is paid in satisfaction of all services rendered by you under this agreement,including overtime, to the extent permitted by law.You are encouraged to independently verify the tax implications on your salary. The taxable and non- taxable components ofyour salary may vary based upon the prevailing law as amended from time to time. 5. PROVIDENT FUND CONTRIBUTIONS AND GRATUITYThe Company shall make contributions of 12% of basic salary towards the provident fund. Gratuity will be paid in accordancewith prevailing statutory requirements and your tenure of employment on India payroll.For the employee holding foreign passport (International Worker), the Company shall make contributions of 12% of basic plusflexible allowance towards the provident fund.

6. DISCRETIONARY BENEFITSIn addition to your salary, the Company may, at its absolute discretion, provide you with other benefits. Unlike your salary, theCompany may cease providing these benefits, or change the basis on which it provides them, from time to time at its absolutediscretion. Such benefits include, without limitation, the benefits set out in the remainder of this paragraph.

You will be paid a post-tax notice period reimbursement amount as mutually agreed with the Company, in recognition of youincurring a financial cost in lieu of giving your notice period at your previous workplace. If you give notice of your resignationprior to the completion of one (1) year of service, you must return and repay to the Company the amount of the notice periodreimbursement paid to you, the amount of which will be reduced on a pro-rata basis for each completed month of service. Thisrepayment obligation will not apply if your employment terminates for any other reason other than your giving notice to resign. You authorise the Company to withhold from your final pay, to the extent permitted by law, any notice period reimbursementdue to the Company as described above and you agree to sign whatever further authorization may be required by theCompany at the time to give effect to this. In the event the amount you owe the Company is greater than the amount withheld,you must pay the balance in full to the Company within thirty (30) days of the date your employment terminates.

You may be eligible to participate in any bonus scheme applicable to your position that the Company has in place from time totime. You acknowledge any bonus shall be at the absolute discretion of the Company, and you agree that as a condition ofparticipating in any such scheme that you will not make, and do not have, any legal claim to expect or be entitled to a bonus,even if such payment was made repeatedly and without any explicit acknowledgment on each occasion as to its voluntaryand/or discretionary nature.

You may be entitled to participate in the Company’s benefits plans as operated from time to time, at such times as you qualifyfor them or, as the case may be, as you are selected, at the Company’s absolute discretion, for participation in them. Theseinclude insurance benefits, additional leave entitlements such as maternity leave, marriage leave and bereavement leave, andother benefits.

7. VACATION ENTITLEMENT AND PAID HOLIDAYSa. You will be entitled to privilege leave in accordance with the Company’s leave policy in place from time to time, subject toapplicable law.b. You are entitled to public holidays in accordance with the laws of the state in which you work.c. Privilege leave and public holidays will be paid as actual workdays.d. Upon termination of your employment for any reason whatsoever, any outstanding accrued vacation shall be paid to you.

8. HOURS OF WORKYou are expected to work during the Company’s normal business hours (Business Hours). The normal working days will befive days a week. However, you may be required to work in excess of the Business Hours or outside normal working days asnecessary to perform your duties and responsibilities. The salary payable to you hereunder is adequate compensation in caseyou are required to work for any additional hours and you shall not be entitled to any additional payment in this regard.

9. BUSINESS TRAVELYour duties may require you to engage in travel on behalf of the Company including travel outside India. As a consequence,you must work any additional hours as required. The salary payable to you hereunder is adequate compensation in case you

are required to travel and work for any additional hours while traveling and you shall not be entitled to any additional paymentin this regard.

10. EXPENSESAuthorized Company expenses will be reimbursed to you in accordance with Company policy in place from time to time, uponyour presentation of documentary evidence of each expense acceptable to the Company.

11. DISABILITY AND SICK LEAVEa. You will be entitled to paid sick leave in accordance with the Company’s policy in place from time to time, subject toapplicable law. You will not be entitled to any payment in respect of such leave on termination of your employment.b. You are required to notify the Company immediately of every absence from work and its probable duration. Upon requestby the Company, you must promptly provide the Company with reasons for the absence.c. If you are unable to attend work due to illness or injury, you are required upon request or as set out in the Company’s policyto provide a medical certificate from a registered medical practitioner confirming the illness or injury and stating its probableduration. In the case of any illness exceeding the stated probable duration, you will provide a further medical certificate from aregistered medical practitioner within three (3) days after the expiry of the previous medical certificate.d. The Company may require that you undergo a thorough medical examination by a doctor approved by the Company, at theexpense of the Company, for any absence from work due to an illness or injury. The Company will be provided with the resultsof the examination and you agree to complete any additional authorization necessary to enable the results of the examinationto be shared with the Company.

12. TERMINATION OF EMPLOYMENT RELATIONSHIPa. Notwithstanding anything herein contained, your employment may be terminated immediately by the Company at any timewithout notice or payment in lieu thereof or any compensation whatsoever, if, among other things:

i. you disobey a lawful direction of the Company;ii. you are guilty of any other serious misconduct;iii. you commit any serious or persistent breach or non- observance of the terms, conditions or stipulations contained inthis agreement, or are guilty of any negligence or misconduct in connection with or affecting the business or affairs ofthe Company;iv. you breach your obligations under the paragraph headed NO CONFLICT OF INTEREST or any other materialprovision of the agreement set out in this letter, including under the paragraph headed TERMS AND SCOPE OFEMPLOYMENT;v. you commit an act or acts in breach of the “Proprietary Information and Inventions Agreement” that you are requiredto sign in connection with your employment with the Company or “The Cisco Code of Business Conduct” as each mayexist from time to time;vi. you engage in conduct that could bring you or the Company into disrepute;

b. During the probationary period, your employment may be terminated at any time:i. by you giving to the Company 15 days’ written notice; or by paying an amount equal to 15 days' fixed salary; orii. by the Company giving you 15 days’ written notice or by paying you an amount equal to 15 days’ fixed salary, lessany applicable or required tax or other deduction, unless otherwise restricted by any state specific legislation.

c. After the successful completion of the probationary period, your employment may be terminated at any time:i. by you giving to the Company 60 days’ written notice; or by paying an amount equal to 60 day's fixed salary; orii.by the Company giving you 60 days’ written notice or by paying you an amount equal to 60 days’ fixed salary, less anyapplicable or required tax or other deduction, unless otherwise restricted by any state specific legislation.

d. You acknowledge and agree that such notice (or payment in lieu thereof) is reasonable notice of termination and no othernotice requirements express or implied shall apply.e. Upon the effective notice of termination of your employment by either party, the Company shall have the right to relieve youfrom the performance of any and all duties of the position upon the continued payment of your salary and compensation, asthen in effect, for the duration of the notice period. During such notice period, you may be required to not attend for work, atthe Company’s absolute discretion. However, you must not take up any alternate employment until the expiration of suchnotice period.f. The termination of your employment howsoever arising shall not affect such of the terms hereof as are expressed tooperate or have effect thereafter and shall be without prejudice to any right of action already accrued to the Company inrespect of any breach or default by you.g. If your employment is terminated for any reason:

i. the Company may off-set amounts you owe the Company against any amounts the Company owes you at the date oftermination except for amounts the Company is by law not entitled to set-off;ii. you must return all the Company’s property (including property leased by the Company) to the Company ontermination including all written or machine readable material, software, computers, credit cards, mobiles, laptops, keysand vehicles;iii. your obligations contained within the “Proprietary Information and Inventions Agreement” that you are required tosign in connection with your employment, continue after the termination of your employment; andiv. you must not record or retain any confidential information in any form after termination.

13. RETIREMENTYou will retire on the completion of the Sixtieth year of your age i.e. day before your 60th Birthday. For the purpose ofcounting age, the date of birth recorded in the Cisco records as provided by you, shall be the conclusive proof.

14. NO CONFLICT OF INTERESTa. You warrant that:

i. you have not entered into any other agreement or arrangement which may be in conflict with the terms and conditionsof your employment with the Company, or which would preclude you from fully performing your job responsibilities forthe Company; andii. your performance of your duties for the Company does not and will not breach any obligation you have to keep inconfidence: proprietary information; knowledge or data acquired by you in confidence or in trust prior to youremployment by the Company; and you will not disclose to the Company or induce the Company to use any confidentialor proprietary information or material belonging to any previous employers or others.

b. During your employment with the Company, you agree not to become associated as an owner, employee, agent,consultant, officer or partner or in any other capacity with any business which furnishes services or products similar to those ofany member of the Cisco Group or which in any way otherwise competes with any member of the Cisco Group. While you areemployed by the Company, you also agree not to become a director of any company or business, without the Company’sprior written consent. 15. APPLICABLE LAWThis agreement is to be governed and construed by the laws of India.

16. NO WAIVERThe failure by the Company at any time to insist on performance of any provision of the agreement set out in this letter is not awaiver of its right at any later time to insist on performance of that or any other provision of the agreement set out in this letter.

17. REFERENCE OR BACKGROUND CHECKSThis offer of employment and any consequent employment relationship is contingent upon satisfactory reference and/orbackground checks as well as verification of your employment and salary history. Any false information provided by you or atyour request may result in immediate termination of your employment with no compensation to you.

18. SEVERABILITYThe Company and you mutually agree that the provisions of this agreement are severable, and if any one provision is found tobe invalid or unenforceable in whole or in part, the remainder of the agreement will remain valid and enforceable. TheCompany and you further agree that the court may modify any provision to make it valid and enforceable.

19. SUCCESSORS AND ASSIGNSThe Company will have the right to transfer and assign this agreement and all covenants and agreements herein will inure tothe benefit of and be enforceable by such successors and assigns. This agreement is personal to you and you will not beentitled to transfer or assign it in whole or in part.

20. VARIATIONAny variation to this agreement must be in writing and agreed by both parties. The exercise of any right or discretion by theCompany under the agreement set out in this letter or in connection with your employment is in its absolute discretion and isnot subject to any implied restrictions (including any implied term of mutual trust and confidence).

21. MISCELLANEOUSHeadings are for ease of reference only and do not affect the meaning of the agreement set out in this letter. Unless expresslyindicated otherwise, references to monetary amounts are references to an amount expressed in the currency of India.

22. TIME FOR ACCEPTANCE OF OFFERBy accepting this offer, you acknowledge and agree that this offer letter and the terms and conditions set forth in themaccurately describe the employment relationship that you are willing to enter into with the Company and you agree that theterms and conditions of the employment are fair and reasonable. To accept the terms of this offer, you must do the followingon or before the acceptance deadline of seven days following the date of this letter:a.
