Contract Proposal

Kronos is submitting its proposal with the terms and conditions of the Kronos Sales, Software License and Services Agreement (SSLSA) attached to this proposal and hereby incorporated by reference (the “Kronos Agreement”). Kronos recognizes that some of the terms and conditions in the Kronos Agreement vary from those contained in this RFP, and understands that the County of Hanover (the “County”) may have certain statutory mandates that could affect the terms of the Kronos Agreement. If awarded business by County, Kronos is willing to negotiate necessary and reasonable changes to its standard terms and conditions to address such statutory mandates that would be acceptable to both parties. Notwithstanding the terms of the RFP, Kronos expects that certain portion of the RFP and of the Kronos’ proposal may be incorporated into the definitive agreement, but such agreement will address the topics in the RFP and Kronos' proposal and supersede both. The implementation scope and time frame is an estimate only and will be subject to a final Statement of Work to be mutually agreed upon by County and Kronos prior to finalizing the contract.

Kronos as a Company

Kronos is very proud of our long track record of financial performance and are well positioned financially to continue to invest in our products to better service our customers.

Kronos has been in business for over 36 years, focused solely on assisting entities with their workforce management. Through 2007, Kronos was a publically traded company on the NASDAQ stock exchange and were second only to Microsoft for the longest track record of profitable revenue growth (-20 years) among all publically traded software companies. In 2007, Kronos went private through a leveraged buyout led by the top tier private equity firm of Hellman & Friedman. It is very important to note that since going private we have continued to grow our revenues to $968M in our most recent fiscal year that ended on September 30, 2013. This is while also increasing our investment in product development each year including $90M in fiscal 2012 and $101M in most recent FY2013.

Kronos Offering

Kronos is offering herein its comprehensive Human Resources and Payroll modules of its Workforce Central (WFC) solution. The WFC solution is built around a single database model where the full featured HR, Payroll, and Timekeeping modules are all using a single database. This single database HRMS solution reduces the need for interfaces and allows for easier workflow notifications and processes between various

departments within your organization (e.g. effortless onboarding and termination processes). Therefore, we answered this RFP as if you were planning on purchasing WFC Timekeeper Module separately and implementing it in parallel. (RFP Section 3.2 C #1 & #2)

In order to meet your budgetary requirements, we were able to obtain approval for a one-time 75% Discount of the WFC HR and Payroll Modules and First Year Maintenance. You will notice in our Pricing Proposal that we did not skimp on implementation or training hours. We know the complications of implementing in an environment where some of the departments are disparate (i.e. Human Resources) and where there are so many different work and pay rules (i.e. K-12 vs Municipal vs Public Safety). We are intimately familiar with them all and feel that implementation, training, and change management need to be the focal point of this project in order to guarantee a successful project.

Another added advantage is that Kronos has over 40,000 clients and has partnered and integrated with thousands of third party vendor solutions over the past 36 years. We even provide a unique module (Workforce Central Integration Manager) that provides the availability of integrating any two solutions together in a way that makes it simple to upgrade and doesn’t lock you into a one-time integration. We even have specific relationships with organizations like Aesop; please see Attachment 2, Aesop Integration Datasheet.

I would sincerely suggest that you reach out to Bradley Orth, CIO at City and Schools of Salem, Virginia (contact info under references). They have recently completed the replacement of their legacy AS/400 solution. Salem may be a bit smaller, but they have an extremely complex workforce.

Preferred Project Schedule (RFP Section 2.3)

After careful consideration of the County’s current technology situation, priorities for this project, and the County’s ability to absorb change, along with taking into consideration lessons learned from many other governments, the County has identified the following schedule to be its preferred go- live schedule for the project: Accounting, Financial Reporting and Purchasing on a fiscal year (July 1), Budget post-adoption (usually April) and Payroll-HR benefits on a calendar year. Offerors shall provide a realistic project schedule for completion of the project with a prioritization of what modules should be implemented in what order and key milestones identified.

Training (RFP Section 2.4)

The Contractor shall describe its training offerings and provide costs for implementation and ongoing support of their software solution. The training should include offerings for the following: 1) project implementation team (system architecture, interface configuration, data import/export, etc.); 2) application administrators (configure, monitor, and administer the system and reporting capabilities); and 3) end users.

For the project, a training plan shall be provided that includes the number of training days required for each functional area broken down by the three tiers noted above, the content/agenda for the training, the estimated number of staff that will be trained in this time, what staff should be included in each training session, and options for on-site and off-site training. The Contractor shall facilitate workshops with end users from various Departments in the County demonstrating specific tasks and procedures they will use to interact with the proposed system solution. Offerors may propose a train-the-trainer approach for certain areas, but the County desires to use a collaborative training effort using vendor and County resources, so the training plan should be designed appropriately.

As part of Hanover County’s overall solution, Kronos Educational Services are included to complement the software investment. Kronos Educational Services will work with the County to define an education strategy to train the implementation, functional and technical project team members and end users. Kronos Educational Services offers a full schedule of classes for project team members that can be delivered at your location or in the Kronos Virtual Classroom (KVC). Each class gives guided instruction on how to best utilize the software solution. All Kronos courses are designed with practice exercises to reinforce new skills and concepts. All standard courses include a course manual in pdf format to be used in class and then referenced back in the workplace after go live. The curriculum is structured by employee job role to ensure that every member of the Hanover County team who interacts with the Kronos application has a clear learning path designed to develop their technical and/or non-technical knowledge in a logical progression. (RFP Section 2.4 Paragraph 1 & 2)

Attachment 3, WFC HR PR Learning Path details the Workforce Central HR and Workforce Central Payroll v7.0 Learning Path and course listings based on job roles. The Learning Path provides course descriptions, course durations and other course information. The Kronos Project Manager will assist Hanover County in identifying the appropriate project team members to attend training and will schedule participants into the classes at the appropriate time within the overall project timeline for just in time learning. (RFP Section 2.4 Paragraph 2)

End User training is an important building block to achieve Hanover County’s user adoption goals. In collaboration with the County Kronos recommends a blended learning approach for end user training that includes KnowledgePass web based training, Kronos instructor-led training and a Train-the-Trainer program to enable Hanover County to become self-sufficient in delivering ongoing user training utilizing County resources. (RFP Section 2.4 Paragraph 2)

KnowledgePass provides interactive web based training for project team and end user pre-learning, new hire and refresher training. The Educational Services Subscription - KnowledgePass is an easy-to-use learning portal to a large selection of tutorials, interactive exercises, job aids and training kits that help you develop, reinforce, and practice skills critical to your efficient and effective use of Kronos. It is also a place that you can quickly reference when you need to remember how to perform a task. In the event the County utilizes an

internal Learning Management System (LMS), Kronos provides customers an option to subscribe to an add-on LMS feature that allows KnowledgePass web-based tutorials and interactive simulated practices to be downloaded into the County’s SCORM compliant LMS for easy employee access. (RFP Section 2.4 Paragraph 2)

Interfaces (RFP Section 2.5)

It is expected that the listed interfaces will be developed as part of the project. Costs and effort required to provide these interfaces as part of the project should be included in the proposal. Contractors who are submitting proposals for just the financial or payroll-HR benefits systems should include a list of other competitive or partner software applications that their system will interface to and note if that interface is included with the base software or must be purchased for a fee.

Required Interfaces: The Contractor shall be required to interface with the applications noted below. The Contractor shall detail how their software solution will integrate to these applications and describe the strategy and costs for interfacing with these applications. The County will establish a consistent data export format from the System noted. The Contractor will work with the County on the export file structure and format and will develop interface programs that integrate the data from the System noted into their software solution.

A. Bright Cash Receipts (Treasurer) to General Ledger

C. Interim system interfaces that might be needed based on the schedule structure noted in section 2.3 (Contractors should think through the interfaces they may need based on the proposed schedule submitted)

E. AESOP – Schools use this software for their substitute teacher placement and absence management.

F. NeoGov – the County uses this hosted solution for employee recruitment and performance management.

G. TalentEd – Schools use this solution for their employee performance management.

H. Wageworks – the County provides a file to verify flexible spending accounts.

I. Other – Offerors shall generally describe other interfaces that are available to benefit carriers (health, dental, etc.)

Implementation Services (RFP Section 2.6)

A. Product Configuration: The Contractor shall describe the process for configuring the software solution, including multiple user environments, internal and external interfaces, telecommunication links, and security.

Kronos utilizes a building block approach for software configuration. Different user types will have secured views into the data that support their day to day activities. Data integration capabilities are secured by user (or user group) and enable the transfer of data as needed. (RFP Section 2.6 A)

B. Consulting Services: The Contractor shall describe consulting service offerings and shall include titles and hourly billing rates of typical positions that provide this support, including third party providers.

Kronos offers a full suite of consulting services and professionals as part of the proposed solution. The Kronos Project Team contains the professional expertise necessary to successfully plan, implement, test, and utilize Workforce Central. (RFP Section 2.6 B)

KRONOS PROJECT TEAM

Engagement Principal or Practice Director

The Kronos Engagement Principal (if engaged) or Practice Director will be responsible for Customer’s overall satisfaction with the Kronos Project Team, ensuring that quality resources as well as quality processes and standards are applied to each task.

Project Manager

The Kronos Project Management responsibilities are described in the Project Management Section of this document.

Solutions Consultant

The Kronos Solution Consultant utilizes their industry experience and domain knowledge to guide and facilitate discussions resulting in an in-depth analysis of the Customer requirements. The Solutions Consultant is responsible for collecting and interpreting the business requirements for the project, and translating these into design documents.

Application Consultant

The Application Consultant will configure the Workforce Central database system parameters to comply with the specification prepared by the Solution Consultant. The Kronos Applications Consultant provides interface configuration and support to customers, answering highly complex questions on function and usage of product and integrations.

Training Specialist Kronos certified instructors have the knowledge and certifications to guarantee you the best learning experience. Throughout a training course, the training specialist leads attendees through content presentations, guided exercises and individual practice exercises to increase an attendee’s proficiency with your Kronos solution.

C. Workflows: The Contractor shall describe any workflow functionality that is included with the software solution. If the requirements noted in this RFP require additional workflows beyond those included in the software solution the cost for those workflows shall be included in the total project cost. To the extent that the County needs additional workflows developed beyond the requirements of this RFP the cost for developing the workflows will be based on rates noted under Consulting Services above.

Workflows and notifications are a standard offering within the system. When processes are defined workflows and notifications are built into the process and the flow of the data, who is notified and when is a key part of process design. (RFP Section 2.6 C)

D. Data Conversion Services: The Contractor shall describe any data conversion services provided. The Contractor shall be required to convert financial data for the systems noted below. As part of the project the Contractor shall develop a Data Conversion Plan that documents the requirements and procedures for converting this financial and payroll related data, including recommendation on the years of data to be converted and the level of data detail for the data conversion. During the data conversion Kronos provides access to the data conversion tutorial, walks Customer through Data Conversion Templates, provides Customer Data Mapping Guidance, and converts active employees' demographics data in the current calendar year. Customer's Commitment - Current HR/PR Employee Data Data conversion is an important customer responsibility involving completion of data conversion templates. Most customers assign teams to convert data for the new system and find that their existing data contains a significant amount of invalid, incomplete, or contradictory data.

In order to have your new system loaded with complete and accurate data, the data reconciliation process is best handled by HR and payroll specialists familiar with the data rather than by IT professionals

employing data-conversion routines. Careful planning of your team's effort for this task is crucial to avoid an increase to the project budget should Kronos need to repeat the launch processes due to data errors or more than one attempt for any one template. The Steps:

1. The customer project team extracts and "cleans" current data* from existing legacy databases. *Current data is defined as active employees, retired employees (covered by insurance), and employees who were terminated in the calendar year in which the customer is going live.

2. With Kronos guidance, the customer populates the Kronos-provided launch tool templates with their clean data. The current data that will be imported to the database as part of this estimate is:

Project Management & Key Personnel Services (RFP Section 2.7)

The Contractor shall describe its project management services and those of key personnel. These services should include: resource management; project monitoring; configuration management; quality assurance; test planning; post-implementation support; and documentation. The Contractor shall provide a Project Manager for the project, who should be prepared to draft and submit project plans and project status reports, and attend regular status meetings.

Hanover requires assurances as to the consistency and quality of vendor staffing for this project. The Contractor shall designate key personnel assigned to the project and shall provide resumes of these individuals. Resumes shall include typical qualifications, including relevant experience with similar projects. Hanover will work with the selected contractor to ensure the appropriate key personnel are assigned to the project. Once the team has been established, the County must be notified by the Contractor of any changes to key personnel after contract approval. The County shall have the right to request key personnel be removed from the project team and replaced with a substitute.

Professional Services Manager Position Summary: Responsible for planning, organizing and managing a Professional Services team within a region or area. This position will have total responsibility for all implementations for their assigned region or area and will include the management of all Project Manager and Application Consultant resources that are dedicated to Implementations. The PSM has a dual role in driving a high level of customer satisfaction on implementations while ensuring efficient use of Kronos resources.

Principal Responsibilities: The PSM will have responsibility for the entire implementation process from the sale through successfully meeting the agreed upon customers criteria for success. This will involve working closely with the sales organization to ensure the proper expectation are set with the customer, along with an appropriate level of professional services sold. The PSM will ensure the proper skill sets, tools, and processes are utilized to ensure high-quality implementations while optimizing Kronos resources. On a daily basis the PSM will:

Direct the delivery of implementation services with a high level of customer satisfaction and in a profitable manner.

• Manage the revenue stream for all professional services generated within the region or area to ensure targets are meet.

• Analyze industry data and identify and secure business opportunities while looking for, proposing, and generating new implementation services.

Principal Responsibilities: In general terms the PM will be the key focal point for the customer and be the gate keeper of all resources being supplied by Kronos to effect a timely efficient, successful implementation. On a day to day basis a PM will:

Assist the District Professional Services Manager (PSM) or the Enterprise Service Manager (EMS) in implementing corporate service programs as they pertain to the district.

• Ensure a thorough understanding of customer expectations through meetings with sales and discussions with the customer.

• Ensure local and corporate implementation processes and standards are met. • Be the focal point of all communications with the customer and regularly communicate with the

customers project manager and decision-maker verbally and in writing throughout the implementation process.

Position Summary: Provide in-depth technical pre and post-sales support to the Regional Service organization. Be knowledgeable at the system level and be capable of interfacing with senior MIS staff on major accounts. This position will work with the local Regional personnel, providing the technical expertise necessary to maintain customer satisfaction in the larger, more technically complex situations. In addition, understand, implement, and support all technology manufacturers that distribute their product through Kronos.

Principal Responsibilities: In this role, you will provide support in the implementation of Kronos Workforce Central Suite solutions and other new Kronos products. You will be required to keep abreast of all industry Technology changes and keep the system level and Kronos skills up to date. You will review the customers' environment and provide guidance to ensure an appropriate environment exists for our application. You will meet and work with our customers' MIS staff in support of the setting up of the database(s) for our products. You will also foster knowledge, skills and processes within the region's offices to implement and support our products. You will also provide second level application and technical support to the regions with respect to complex customer issues around the Kronos Product. You will be able to consult on performance, security and fail soft issues.

Qualifications: To qualify, you must have excellent troubleshooting and communications skills. A minimum of 3-5 years’ experience working with Client/Server technologies and/or Unix, as well as 1 year experience working with Oracle, and minimum of 2 years of SQL Server relational databases. A strong knowledge of SQL, Microsoft MCP NT certification as well as an Oracle Certified Professional Certification is desired. AS400, Citrix, and/or Cisco Certification is definitely a plus. HOSTED & SOFTWARE AS A SERVICE: Offerors that are proposing a hosted or SaaS solution to meet the requirements of this RFP should consult Attachment E for more information. Attachment E includes a thorough list of opportunities and constraints that the County has identified as needing to be addressed when implementing hosted or SaaS solutions. Vendor responses for hosted and SaaS should address the items included in Attachment E. (RFP Section 2.9)

Kronos takes exception to the County’s Attachment E, Hosted or Software as a Service Terms and Conditions, as stated below.

Deviations to the General and Special Terms and Conditions:

Kronos' proposal is submitted with the terms and conditions of the Kronos Sales Software and Services Agreement (the "Kronos Agreement"), included with Kronos’ response to the RFP and incorporated herein by this reference. If awarded business by the County of Hanover, Kronos is willing to negotiate necessary and reasonable changes and addition to the Kronos Agreement that would be acceptable to both parties, but Kronos will not be bound by any term or condition unless expressly accepted by Kronos in writing.

More specifically with respect to the General Terms and Conditions, and the Special Terms and Conditions that are included with the RFP, Kronos estimates that some terms: (i) may be incorporated in the final agreement (such as the Ethics in Public Contracting, Drug-Free workplace, Anti-Discrimination, Immigration, Debarment Status), (ii) are either addressed in the Kronos Agreement (ex: confidentiality which is mutual) and would otherwise need to be negotiated and modified (ex: financial statements can be provided but subject to confidentiality obligations as Kronos is a privately owned corporation); or (iii) are not applicable to the type of Products that Kronos proposes (ex: acceptance of good and services as it relates to ownership). Kronos provides and is proposing standard Software (with defined specifications) under license terms and different standard configuration professional services associated with that Software; consequently Kronos do not expect to transfer any intellectual property rights to the County. Should the County select Kronos as the Vendor of choice, Kronos expects that both parties will negotiate terms the will be acceptable for both parties and which will be incorporated in the final contract. (RFP Section 2.9)

QUERY/REPORTING TOOLS: The proposed software solution shall include queries and reports that are considered necessary to track all the requirements noted in this RFP. Offerors shall describe any query/reporting tools available for the software solution. A list of standard reports that are provided as part of the system shall be provided with an explanation of what the purpose is for the specific query/report. To the extent that the County needs additional queries/reports developed beyond the requirements of this RFP the cost for developing the queries/reports will be based on rates noted under Consulting Services above. (RFP Section 2.10)

Standard report listings are included in Attachment 6, WFC Payroll Sample Reports and Attachment 7, WFC HR Sample Reports. The Workforce software also contains a querying tool that enables secured users to easily select desired fields, in a pick list sort of fashion, and directly export them to excel. The queries can be easily created and saved for use at any time. (RFP Section 2.10)

Security (RFP Section 5.1)

A. Remote Access: The Contractor shall comply with the Hanover County Vendor Remote Access Procedures, and any amendments during the term of the contract.

Kronos will comply with this requirement. (RFP Section 5.1 A)

B. Information: Information shall not be removed from Hanover County Government offices or computers unless the information’s owner has approved such removal in advance. This includes, but is not limited to, portable computer hard disks, portable memory devices (including USB drives), floppy disks, CD-ROMs, magnetic tape cartridges, and paper documents.

Kronos will comply with this requirement. (RFP Section 5.1 B)

C. Authorized Tools and Programs: Except as authorized in writing by Information Technology, the Contractor shall not download, install or run security programs or utilities that reveal weaknesses in the security of a system. For example, Contractor shall not run password cracking programs, network reconnaissance/discovery software/applications, key loggers, packet sniffers, network mapping tools, port scanners or any other non-approved programs while connected in any manner to the Hanover County network infrastructure.

Kronos will comply with this requirement. (RFP Section 5.1 C)

D. Protection of Confidential Data: All data provided by the County to the Contractor shall be considered “Confidential” unless specifically noted to the contrary by the County. The Contractor shall take all steps necessary to ensure that any Confidential Data provided by County to the Contractor in furtherance of the performance of this Contract are not disclosed to the public or to any organizations or individuals, unless the County first approves such disclosure in writing. The Contractor acknowledges its understanding that the laws of the Commonwealth of Virginia prohibit the release of Confidential Data to unauthorized individuals or organizations and that the Contractor may be liable under those laws for any Confidential Data that it releases to individuals or organizations without written authorization from County. Therefore, the Contractor shall implement procedures to safeguard any Confidential Data provided by County in support of this Contract to the Contractor or to any subcontractor thereof from access by individuals or entities other than its own employees or those of its subcontractors using the Confidential Data in the performance of this Contract. The Contractor shall instruct its employees and those of its subcontractors not to copy or duplicate in any manner other than as required for the normal course of business in the performance of this Contract, or make any disclosures with reference to, any Confidential Data provided by the County.

Operating Environment (RFP Section 5.2)

Hardware and Software: The Offeror shall describe the hardware and software platform and database required for the software solution, including any elevated user permissions required to run the software solution. The Offeror shall describe in detail bandwidth and transport requirements, any special firewall or NAT requirements, current level of IPv6 support or if not currently supported the timeline to implement IPv6.

Multiple Environments: The Offeror shall describe its system architecture using written and graphic means, including if the software solution supports multiple environments, with the ability to run concurrently for development, testing, training, and production. The Contractor shall allow the County to have multiple instances of the software solution installed without incurring additional costs (development, test, training, and production).

D. Maintenance and Support: The Offeror shall describe their software solution technical support options, including options and costs for the following. A copy of the maintenance agreement shall be included in the RFP response.

Kronos' support services plans entitle all customers to the latest available product version upgrades, updates and enhancements, and documentation released during the contract period. Each plan is backed by resources that help you protect your investment and support your goal of improving business performance.

The level of service proposed for Kronos’ Workforce Central hosted solution is Gold. Gold Support customers also have the option of upgrading to Gold Plus.

Gold Support Service Gold Support offers a very well-rounded support program. Included is free access to Kronos Global Support from 8:00 a.m. to 8:00 p.m. local time, as well as the following entitlements noted below.

Gold Plus Support Service Gold Plus Support customers have access to the same features as the Gold Support customers and access to the Technical Account Manager (TAM). The TAM is a seasoned service professional that will draw upon a vast knowledge of Kronos products and services to provide you with proactive, consultative expertise. Remote Support (Available to all Support Agreement customers) A web-based screen-sharing application that enables Kronos to support you by empowering our support representatives to remotely view your computer. By connecting through the Internet or via intranets and extranets, support representatives will work in real time with your users and quickly escalate to desktop sharing, which features mutual mouse and keyboard control and whiteboard capability. (RFP Section 5.2 D)

1. Cost for tiers of service, including maintenance standard levels (system failures, critical process failures, non-critical process failures, and normal support issues). The costs shall include travel provisions in conducting the level of service noted.

3. Hosted and SaaS solutions shall provide support levels and operational up-time commitments. In addition information on any operational reports that will be provided to the County should be documented.

Kronos provides monthly uptime reports. These are sent to customers by their Cloud Customer Manager.

C. Guaranteed response time objectives (RTO’s), along with the escalation process if RTO’s are not met.

Kronos’ hosted RTO’s for the proposed support plan are as follows.

Response time shall mean from the time the case priority is set by Kronos' Support Center until a Kronos support representative contacts the Customer to begin service. Kronos utilizes a priority based support focus. Customers with the most critical request will be serviced in accordance with the following guidelines:

All response times are business hours. The above are only guidelines and may be modified, for a particular incident, based on joint agreement between the customer and Kronos (e.g., if a Gold support customer's case is logged at 4:55 p.m., local time, with a "Medium Priority" designation, Kronos would respond before 8:55 a.m., local time, the next business day (Monday - Friday for Gold Support customers).

Critical Outages Kronos Global Support will provide continuous effort on all high priority events through either bug identification, the development of a workaround or problem resolution. If this effort goes beyond normal hours, the case may be passed to the afterhours team or to the mission critical support engineer on duty. On-going continuous effort may also be dependent on the customer's ability to provide a resource to work with the Kronos Global Support engineer during this period. Support outside the scope of the services agreement is billable.

Management Escalation Customers may, at any time, ask to speak to a Kronos manager if they experience dissatisfaction with the level of service received with respect to a specific case or service in general. To contact a Kronos Global Support manager, please telephone your Kronos Support Services center and ask to speak to a manager. Phone numbers are listed on the Customer Portal at http://customer.kronos.com/ContactUs.html. (RFP Section 5.2 D 4 C)

D. After implementation the County plans to establish a working group to enhance and expand the software solution. This group will meet on a regular basis. The selected Contractor shall designate project management and lead technical support staff who will be required to participate in these meetings (in-person or via conference call) with the County on a monthly basis.

Kronos agrees with the County that an ongoing working group will optimize the solutions efficacy. Services have not been quoted herein for management and support staff to be included in the working group. Until the County is moved to a post-implementation state

Kronos does not have the ability to appropriately assign these resources. Depending on the level of County participation in the implementation, these resources could be unpaid presales resources. This will be determined by Kronos and the County at the close of the implementation. (RFP Section 5.2 D 4 D)

E. After year five, the annual maintenance fee will be the lesser of the current list prices or the previous year maintenance cost adjusted by the average of the Consumer Price Index, Urban Wage Earners and Clerical Workers (CPI-W), US City Average for the previous three calendar years (as published by the US Department of Labor, Bureau of Labor Statistics).

Kronos takes exceptions, support services are subject to an annual increase based on a percentage but not based on the CPI-W. Please see Section 14 (c) of the Kronos Sales Software License and Services Agreement. (RFP Section 5.2 D 4 E)

E. Standards and Interfaces: The Offeror shall describe their method(s) for data and application integration and interfaces, such as support for web services and various XML protocols.

Advanced Technology (RFP Section 5.3)

A. Browser/Web Based Interface: The Offeror shall include a description of any web interfaces supported for the proposed software solution, including what browsers (and browser versions) are supported.

Please see the “Supported Technology” section on page 3 of Attachment 12, WFC Technical Datasheet. (RFP Section 5.3 A)

B. Disaster Recovery: The Offeror should describe their experience with drafting and implementing disaster recovery plans and programs, including details on any disaster recovery solutions that are available from the Offeror.

Kronos has documented plans for business continuity and IT disaster recovery. Such plans have been approved by the Audit Committee of Kronos’ Board of Directors and have been deemed to be compliant with Sarbanes-Oxley requirements by Kronos’ outside accounting firm. Kronos does not release this plan to any third parties as it is deemed to be highly sensitive and confidential information.

Kronos does not dictate specific plans to our customers, instead we offer industry standard capabilities which can be integrated into your company’s specific Disaster Recovery Plan. The Workforce Central sys- tem utilizes the prescribed database recovery techniques of the supported Oracle and Microsoft SQL Server databases.

The Kronos data center partner provides a comprehensive, proactive approach towards business continuity:

Hardened Data Center Facilities. Each data center maintains protocols for specific emergency and disastrous situations or conditions. Additional structural requirements, such as systematic bracing that must meet or exceed seismic design requirements of local building codes for lateral seismic design, are imposed at all data centers. These measures provide additional safeguards against events such as tornadoes, hurricanes, earthquakes, extreme winds and floods. All data centers in North America are designed to provide mission critical power to each customer space. Mission critical power provides uninterruptible power in- line with UPS and diesel generator backup in the event of a utility power or equipment failure. Each data center features dual power grids and partnerships with multiple energy providers to ensure the proper and adequate level of energy for our data centers.

Resilient Network Infrastructure. A main component of the resilient network consists of contingency plans to effectively utilize a robust, flexible, and highly-available infrastructure to counter many disastrous conditions. The network has been built with particular attention to redundancy, diversity, and fault tolerance. The main goal is to withstand any single fault that occurs. With its robust, redundant, high availability network, our hosting partner is qualified to help ensure that its network infrastructure suffers minimal or no interruption in the event of a disaster. (RFP Section 5.3 B)

C. Tablets, Smart-Phones and Browsers: The Offeror should describe if their software solution operates at any level on tablets or smart phones using the iOS, Android, or Windows operating system. If the software solution has a browser-based or app component the Contractor should describe what browsers and browser versions are supported (IE, Safari, Firefox, Chrome).

Kronos offers a mobile and tablet solution for both the manager and employee use. Please see Attachment 13, WF Mobile for details. (RFP Section 5.3 C)

D. LaserFiche Document Management System: The County uses LaserFiche document management system for digital archiving of documents. The Offeror should describe if their software solution integrates with LaserFiche and provide details of specifically how that integration works.

Workforce Integration Manager allows you to output data from the system into a variety of formats for use by your LaserFiche system. You may schedule the updates or initiate them manually or both.

You may also add a link to the document management system from the Kronos menu to make the user experience easier. (RFP Section 5.3 D)

Software & Hardware Acceptance (RFP Section 5.4)

All hardware and software shall be fully installed, configured, optimized, and tested prior to acceptance by the County. The Offeror shall describe their quality assurance procedures and user acceptance testing processes.

As part of the project, the Contractor shall develop an Acceptance Test Plan in coordination with the County, which shall provide details for the acceptance testing process. The Acceptance Test Plan shall be approved by both the Contractor and the County. The Acceptance Test Plan shall address testing of all software, hardware, network, interfaces, and data conversion that the Contractor may provide or utilize as part of their solution. The Contractor shall describe their acceptance testing program, including forms, approvals, functionality testing, stress testing, disaster recovery, and response time elements for testing the performance of the product.

Below is an outline of the Standard Testing Phase. Advanced Testing Services are available.

The User Acceptance testing will consist of: Unit testing the configuration and any interface inputs / outputs to ensure it is meeting the their business requirements as detailed in the Solution Design Ensuring that all Kronos products and third party products are integrated as per the Interface Design documentation. Ensuring that all business processes are understood, tested and documented. Kronos consultants will provide support for all testing, as well as support for collaborative configuration of product features which were not able to be configured during the Solution build.

Customer Preparation: The Customer testing team is responsible for completing the unit, integration and operational testing and for advising the Kronos Project Team of any issues utilizing the processes defined in the Testing Strategy.

testing and user interaction setup. To review the outcomes of testing and obtain agreement signoff of the solution to be deployed, and to review the requirements for the Deploy & Support Phase.

Software Upgrades & Patches (RFP Section 5.5)

The Offeror shall describe their post-implementation software support, including how upgrades and patches are installed (test, production, quality control) and a summary of what their software maintenance agreement covers (responders should not simply attach their software maintenance service contracts).

A. New Software Releases: The Contractor will issue new software releases containing problem corrections, minor enhancements, and major enhancements. Throughout the term of this contract, as long as the County is participating in the Contractors software maintenance program, the Contractor shall provide the County each new software release without additional charge. This shall include if the Contractor develops its software on a different operating system platform or using a different programming language. The Contractor shall provide reasonable assistance to help the County install, test, and operate each new software release at no additional cost.

For our current Hosted models, all Kronos version updates and Service Packs will be applied to customer’s environment(s) as part of the Kronos Subscription and Hosting services. The customer controls the scheduling and application of all version upgrades and updates. Technical upgrades and updates are applied when requested by Customer. New features, new configuration, new interfaces, educational services and training are not included with the technical version upgrade. (RFP Section 5.5 A)

Release schedule We are on an 18 month release time period and once a new release has been release customers are alert to the new features and functionality available in the release. Patch updates are release on an as needed schedule and are backward compatible. (RFP Section 5.5 A)

B. Third Party Software Requirements: The Contractor shall fully document all third party software requirements, including those that must be pre-installed or are installed as part of the Contractor’s software package. The Contractor shall describe how it coordinates with third party software providers to ensure that the third party software is kept current and that security related releases are current for all required third party software. If Java is required, the Contractor shall describe how their software remains compatible with the latest major release of Java and how minor Java upgrades are incorporated.

Kronos uses a variety of different embedded technologies in the development of the Workforce Central suite. We have taken a buy vs. build approach for the technologies deployed in our application, and when there is an industry-accepted standard that we can leverage, we will. This allows us to focus our developers on core competencies, benefiting your business with more rapid development of features and functionality that improve your labor management capabilities. All software bundled with the Kronos application is supported by Kronos. Software bundled that requires licensing is licensed under the terms of the Kronos application. Other than server operating system and database system software, Kronos provides all software required. There is optional software the customer may choose to use which is their responsibility to provide, implement, operate and support.

To help our customers respond to Oracle Java frequent updates in a timely fashion, Kronos has policies and procedures in our engineering organization to enable us to quickly test new Java plug-in versions as they are released by Oracle. Our goal is to test and qualify new plug-ins for use with Workforce Central within 1 to 2 days of their release by Oracle. We have updated our support policy so that we fully support the Java plug-in from the moment of its release, and we encourage our customers to upgrade as soon as a new version is released. If our testing discovers any issues resulting from the new version, we will address those issues in a priority manner so any changes that need to be made to our code can be completed and released quickly to minimize any impact to our customers. (RFP Section 5.5 B)

C. Product Roadmap: The Contractor shall describe the product roadmap for the next two (2) planned releases of the proposed software solution.

We do not disclose roadmaps to prospects based on revenue recognition issues. We can disclose roadmap direction with current customers via webinar where requested. (RFP Section 5.5 C)

Documentation Requirements (RFP Section 5.6)

As part of the project the Contractor shall provide a list and description of all documentation provided as part of the implementation of their software solution, including overview descriptions of all major functions, detailed step-by-step operating procedures for each screen and activity, and technical reference manuals. The description shall include the format of the documentation (website, hard copy, or electronic), the currency of the documentation, and any restrictions on the County reproducing the documentation for its own use.

During the initial implementation the following documentation will be developed and maintain throughout the life cycle of the implementation:

Comprehensive manuals are available in either ad hoc forms written to support already scheduled and structured classroom training or custom training manuals written to support specific and unique training sessions usually conducted at the customer’s implementation site. Technical, help desk, and operations manuals are available as documentation in support of training dealing specifically with these functions or as custom efforts used to support these functions with specifics tailored to support a client’s individual business needs and goals. (RFP Section 5.6)

Product Documentation – All Kronos products are extensively documented in PDF format and, in some cases, HTML. The product documentation is available via the Kronos customer web page. There

Integrated Product Documentation – Installation guidelines and help files are built in to each application and are available through menu driven options.

Help Desk via Kronos Global Support – Guidelines, procedures and defined service levels are available for viewing or download via the Kronos web page. Documentation remains current in support of product releases and engineering changes to each application. Kronos engineering staff works closely with Kronos technical writers to ensure timely release of documentation in support of version upgrades, new product launches, and engineering changes. Documentation is released simultaneously with the release of new products, version upgrades, or engineer changes and enhancements. Documentation is provided in English.

At the completion of the successful production pilot, all finalized documentation will be provided to the County to maintain. It is the responsibility of the customer post pilot to maintain any updates and/or modifications to this documentation as they make changes and/or modifications to their workforce management solution. (RFP Section 5.6)

Payment Terms (RFP Section 5.7)

A. Software/Hardware/Data Conversion: The County shall pay the Contractor for Licensed Software, any hardware purchased, or data conversion services based on the successful completion of specific milestones identified in the project schedule and/or delivery, installation, and acceptance of any hardware or data. Offerors shall submit a payment schedule that is based on this concept. The County and the Contractor shall draft Acceptance Testing and Data Conversion plans that will include provisions for final acceptance and payments for software, hardware, and data conversion. Should the County not accept any Licensed Software module pursuant to the agreed upon Acceptance Testing plan, the Contractor shall return to the County the license fees that the County paid for that module within thirty (30) calendar days of such request.

B. Project Management & Other Consulting Services: Services that are provided by the Contractor on an hourly basis shall be invoiced monthly based on the hours worked that month not to exceed the total hours included in the proposed cost for services to implement the project.

C. Travel Fees: All travel shall be pre-approved by both the selected Contractor and the County’s project manager. Such travel and living expenses will be governed by the GSA CONUS guidelines as published for the fiscal year in which the travel occurs. Travel related expenses shall be invoiced on a monthly basis as incurred.

Source Code Escrow (RFP Section 5.8)

A. General: The Contractor shall furnish the County with Source Code for the Licensed Software. The Contractor shall describe its solution for meeting this requirement, but solutions may include depositing the software source code with a vendor approved by the County naming Hanover County as a beneficiary or the Contractor may utilize the County’s Department of Information Technology as the Escrow Agent.

Customers can subscribe at their request to the Escrow subscription agreement that is in place with Iron Mountain which provide for right to the source code in certain specific circumstances. Additional fees payable to Iron Mountain are applicable. Kronos include the Enrollment Form and can provide additional information, subject to confidentiality terms, upon request. B. Escrow Updates: The Contractor shall provide details on the format of the source code, if instructions for use are provided for the source code, and currency of the source code.

Auditing and Reporting (RFP Section 5.9)

A. Auditing: The Offeror shall describe its auditing capabilities, including details on tracking attempts to login, access, create, delete, or change accounts, permissions, or audit logs. Details on what information is captured and stored in audit files and how long that information is retained shall be provided.

Audit trails are available in Kronos solutions for a variety of data types: timecard, schedule, attendance, leave, HR, benefits and payroll data. Workforce Central® creates audit trails for all edits made to an employee’s record which is stored in the production database until purged by the customer. Every change (additions, deletions, or edits) made may be logged in the audit trail. Users who have been granted rights to Audit Trail information can view it through the Timecard Editor or Schedule Editor. (RFP Section 5.9 A)

B. Reporting: The Offeror shall describe how auditing information is retrieved by authorized users, including formats, timing, and any automated reporting capabilities within the software solution.

Audit trail reporting tracks when the changes were made (date & timestamp), who (username) made the change, and what was changed --new [old]. The reports may be exported to Excel, PDF, Text etc. (RFP Section 5.9 B)

Kronos Incorporated

Kronos' proposal is submitted with the terms and conditions of the Kronos Sales Software and Services Agreement (the "Kronos Agreement"), included with Kronos’ response to the RFP and incorporated herein by this reference. If awarded business by the County of Hanover, Kronos is willing to negotiate necessary and reasonable changes and addition to the Kronos Agreement that would be acceptable to both parties, but Kronos will not be bound by any term or condition unless expressly accepted by Kronos in writing.

More specifically with respect to the General Terms and Conditions, and the Special Terms and Conditions that are included with the RFP, Kronos estimates that some terms: (i) may be incorporated in the final agreement (such as the Ethics in Public Contracting, Drug-Free workplace, Anti-Discrimination, Immigration, Debarment Status), (ii) are either addressed in the Kronos Agreement (ex: confidentiality which is mutual) and would otherwise need to be negotiated and modified (ex: financial statements can be provided but subject to confidentiality obligations as Kronos is a privately owned corporation); or (iii) are not applicable to the type of Products that Kronos proposes (ex: acceptance of good and services as it relates to ownership). Kronos provides and is proposing standard Software (with defined specifications) under license terms and different standard configuration professional services associated with that Software; consequently Kronos do not expect to transfer any intellectual property rights to the County. KRONOS SALES, SOFTWARE LICENSE AND SERVICES AGREEMENT Rev KR-022811.1 Customer and Kronos agree that the terms and conditions set forth in this Agreement shall apply to all Kronos Equipment, Software, Professional and Educational Services, Support, and such other Kronos offerings, as specified on an order form (an “Order Form”) signed by the parties which expressly references this Agreement (or is signed contemporaneously hereto). Kronos and Customer hereby agree that the terms and conditions of this Agreement apply to any Order Form executed by Kronos and Customer which expressly references this Agreement (including any Order Form signed contemporaneously with this Agreement regardless of the appearance of any express reference to this Agreement). Either party may discontinue use of this Agreement for future orders upon thirty (30) days prior written notice to the other party, provided however that any Order Form signed by the parties prior to the effective date of such notice shall remain in effect unless otherwise specifically terminated in accordance with the terms of this Agreement. Kronos may require additional terms and conditions for the sale or license of products or services not contemplated by this Agreement (including without limitation those that may be related to international services) provided that no such additional terms and conditions shall be binding upon Customer without Customer’s prior written consent. Notwithstanding, Kronos will not be obligated to accept or approve an order for any products or services for which such additional terms and conditions are required. PAYMENT AND DELIVERY Unless otherwise set forth in this Agreement, payment terms are indicated on the Order Form or other contemporaneous ordering document containing product-specific payment terms signed by the parties. Delivery terms are as stated on the Order Form (“Delivery”). Kronos will invoice Customer for products upon Delivery. Unless otherwise set forth on the Order Form, Professional and Educational Services are provided on a time and materials basis, invoiced monthly as rendered. Customer agrees to pay all applicable taxes levied or based on the products, services or other charges hereunder, including state and local sales and excise taxes, and any taxes or amount in lieu thereof paid or payable by Kronos, exclusive of taxes based on net income. Customer agrees to pay a late charge of one percent (1%) per month, (but not in excess of the rate allowed by law), on any overdue amounts not the subject of a good faith dispute. If full payment is not made within 90 days of final payment due date, Customer is responsible for all expenses, including legal fees, incurred by Kronos for collection. 2. GENERAL LICENSE TERMS Kronos owns or has the right to license the Software. The Software and Software documentation are confidential and may not be disclosed to a third party without Kronos’ written consent. The Software contains proprietary trade secret technology. Unauthorized use and copying of such Software is prohibited by law, including United States and foreign copyright law. The price Customer pays for a copy of the Software constitutes a license fee that entitles Customer to use the Software as set forth below. Kronos grants to Customer a non-exclusive, nontransferable, perpetual (except as provided herein) license to use the Software. This license may be terminated by Kronos by written notice to Customer upon any material breach of this Agreement by Customer which remains uncured for a period of thirty (30) days after such written notice from Kronos. Upon such termination of this license by Kronos, Customer will have no further right to use the Software and will return the Software media to Kronos and destroy all copies of the Software (and related documentation) in Customer’s possession or control. This license is subject to all of the terms of this Agreement. 3. FEE BASED LIMITATIONS Customer recognizes and agrees that the license to use the Software is limited, based upon the amount of the license fee paid by Customer. Limitations, which are set forth on the Order Form, may include the number of employees, simultaneous or active users, Software product modules, Software features, computer model and serial number and partition, and/or the number of telephone lines or terminals to which the Software is permitted to be connected. Customer agrees to: i) use the Software only for the number of employees, simultaneous or active users, computer model, partition and serial number, and/or terminals permitted by the applicable license fee; ii) use only the product modules and/or features permitted by the applicable license fees; and iii) use the Software only in support of Customer’s own business. Customer agrees not to increase the number of employees, simultaneous or active users, partitions, terminals, products modules, features, or to upgrade the model, as applicable, unless and until Customer pays the applicable fee for such increase/upgrade. Customer may not relicense or sublicense the Software to, or otherwise permit use of the Software (including timesharing or networking use) by any third party. Customer may not provide service bureau or other data processing services that make use of the Software without the express prior written consent of Kronos. 4. OBJECT CODE ONLY Customer may use the computer programs included in the Software (the “Programs”) in object code form only, and shall not reverse compile, disassemble or otherwise convert the Programs into uncompiled or unassembled code. The Programs include components owned by third parties. Such third party components are deemed to be Software subject to this Agreement. Customer shall not use any of the Programs (or the data models therein) except solely as part of and in connection with the Software and as described in the published documentation for such Software. Customer shall indemnify and hold harmless Kronos for all damages or liability caused by Customer’s failure to comply with the foregoing restriction. 5. PERMITTED COPIES Customer may copy the Programs as reasonably necessary to load and execute the Programs and for backup and disaster recovery and testing purposes only, except for additional copies of the Teletime Software and the Kronos iSeries (which must be licensed separately). All copies of the Programs or any part thereof, whether in printed or machine readable form and whether on storage media or otherwise, are subject to all the terms of this license, and all copies of the Programs or any part of the Programs shall include the copyright and proprietary rights notices contained in the Programs as delivered to the Customer. 6. UPDATES In the event that Kronos supplies Service Packs, Point Releases and Major Releases (including legislative updates if available) of the Software (collectively referred to as “Updates”), such Updates shall be part of the Software and the provisions of this license shall apply to such Updates and to the Software as modified thereby. 7. EXPORT Customer acknowledges that the Equipment and Software may be restricted by the United States Government or by the country in which the Equipment or Software is installed from export to certain countries and certain organizations and individuals, and agrees to comply with such laws. Customer agrees to comply with all applicable laws of all of the countries in which the Equipment and Software may be used by Customer and shall indemnify Kronos for any noncompliance which results in damages or liability for Kronos. Customer’s obligations hereunder shall survive the termination or expiration of this Agreement. Customer must obtain Kronos’ prior written consent before exporting the Software.

8. FIRMWARE Customer may not download firmware updates for the Kronos Equipment unless Customer is maintaining such Equipment under a support plan with Kronos. If Customer is not maintaining the Equipment under a support plan with Kronos, Kronos shall have the right to verify Customer’s Kronos Equipment to determine if Customer has downloaded any firmware to which Customer is not entitled. If Customer has downloaded firmware for the Kronos Equipment to which Customer is not entitled, Customer shall be responsible to pay Kronos for such updated firmware in accordance with Kronos’ then-current support policies. 9. TRAINING POINTS Training Points which are purchased by Customer may be redeemed for an equivalent value of instructor-led training sessions offered by Kronos. Available instructor-led sessions are listed at http://customer.Kronos.com and each session has the Training Points value indicated. Training Points may be redeemed at any time within 12 months of the date of the applicable Order Form, at which time they shall expire. Training Points may not be exchanged for other Kronos products and/or services. Kronos will invoice Customer for the Training Points identified in the Order Form upon execution of such Order Form with payment due upon the payment terms indicated in such Order Form. 10. ACCEPTANCE For Customer’s initial purchase of each Equipment and Software product Kronos shall provide an acceptance test period (the “Test Period”) that commences upon Installation. Installation shall be defined as: a.) the Equipment, if any, is mounted; b.) the Software is installed on Customer’s server(s); and c.) implementation team training, if any, is complete. During the Test Period, Customer shall determine whether the Equipment and Software meet the Kronos published electronic documentation, ("Specifications"). The Test Period shall be for 30 days. If Customer has not given Kronos a written deficiency statement specifying how the Equipment or Software fails to meet the Specifications (“Deficiency Statement”) within the Test Period, the Equipment and Software shall be deemed accepted. If Customer provides a Deficiency Statement within the Test Period, Kronos shall have 30 days to correct the deficiency, and Customer shall have an additional 30 days to evaluate the Equipment and Software. If the Equipment or Software does not meet the Specifications at the end of the second 30 day period, either Customer or Kronos may terminate this Agreement. Upon any such termination, Customer shall return all Equipment and Software (and related documentation) to Kronos, and Kronos shall refund any monies paid by Customer to Kronos for the returned Equipment and Software. Neither party shall then have any further liability to the other for the products that were the subject of the Acceptance Test. 11. LIMITED WARRANTY Kronos warrants that all Kronos Equipment and Software media shall be free from defects in materials and workmanship, for a period of ninety (90) days from Delivery. In the event of a breach of this warranty, Customer’s exclusive remedy shall be Kronos’ repair or replacement of the deficient Equipment and/or Software media, at Kronos’ option, provided that Customer’s use, installation and maintenance thereof have conformed to the Specifications. This warranty is extended to Customer only and shall not apply to any Equipment (or parts thereof) or Software media in the event of: (a) damage, defects or malfunctions resulting from misuse, accident, neglect, tampering, (including modification or replacement of any Kronos components on any

boards supplied with the Equipment), unusual physical or electrical stress or causes other than normal and intended use; (b) failure of Customer to provide and maintain a suitable installation environment, as specified in the Specifications; or

(c) malfunctions resulting from the use of badges or supplies not approved by Kronos. When using and applying the information generated by Kronos products, Customer is responsible for ensuring that Customer complies with the applicable requirements of federal and state law. If Customer is licensing Workforce Payroll Software or Workforce Absence Management Software: (i) Customer is solely responsible for the content and accuracy of all reports and documents prepared in whole or in part by using such Software, (ii) using such Software does not release Customer of any professional obligation concerning the preparation and review of such reports and documents, (iii) Customer does not rely upon Kronos, Best Software, Inc. or such Software for any advice or guidance regarding compliance with federal and state laws or the appropriate tax treatment of items reflected on such reports or documents, and (iv) Customer will review any calculations made by using such Software and satisfy itself that those calculations are correct. 12. INDEMNIFICATION Kronos agrees to indemnify Customer and to hold it harmless from and against any and all claims, costs, fees and expenses (including reasonable legal fees) relating to actual or alleged infringement of United States or Canadian patents or copyrights asserted against Customer by virtue of Customer's use of the Software as delivered and maintained by Kronos, provided that: i) Kronos is given prompt written notice of any such claim and has sole control over the investigation, preparation, defense and settlement of such claim; and, ii) Customer reasonably cooperates with Kronos in connection with the foregoing and provides Kronos with all information in Customer's possession related to such claim and any further assistance as reasonably requested by Kronos. Kronos will have no obligation to indemnify Customer to the extent any such claim is based on the use of the Software with software or equipment not supplied by Kronos. Should any or all of the Software as delivered and maintained by Kronos become, or in Kronos' reasonable opinion be likely to become, the subject of any such claim, Kronos may at its option: i) procure for Customer the right to continue to use the affected Software as contemplated hereunder; ii) replace or modify the affected Software to make its use non-infringing; or iii) should such options not be available at reasonable expense, terminate this Agreement with respect to the affected Software upon thirty (30) days prior written notice to Customer. In such event of termination, Customer shall be entitled to a pro-rata refund of all fees paid to Kronos for the affected Software, which refund shall be calculated using a five year straight-line depreciation commencing with the date of the relevant Order. Additionally, Kronos agrees to be liable for tangible property damage or personal injury caused solely by the negligence or willful misconduct of its employees. 13. PROFFESSIONAL AND EDUCATIONAL SERVICES (a) TRAVEL EXPENSES Customer agrees to reimburse Kronos for all reasonable and necessary travel incurred by Kronos in the performance of any professional and/or educational services, provided that such travel complies with the then current Kronos Travel and Expense Policies. Customer further agrees to pay any travel expenses such as airfare, lodging, meals and local transportation, plus an administrative fee of ten percent (10%) of the amount of such travel expenses, incurred by Kronos to deliver purchased professional services and/or educational services in accordance with the Kronos Travel and Expense Policies. Customer will be billed by Kronos for such travel expenses and payment thereof shall be due net 30. (b) ENGAGEMENTS

Unless otherwise indicated on the Order Form, Professional and Educational Services (“Professional Services”) shall be provided on a time and material basis at the rates set forth in the Order Form. If a dollar limit is stated in the Order Form or any associated statement of work (“SOW”), the limit shall be deemed an estimate for Customer's budgeting and Kronos' resource scheduling purposes. After the dollar limit is expended, Kronos will continue to provide Professional Services on a time and materials basis, if a Change Order or Schedule of Services for continuation of the Professional Services is signed by the parties. (c) WARRANTY Kronos warrants that all professional and educational services performed under this Agreement shall be performed in a professional and competent manner. In the event that Kronos breaches this warranty, and Customer so notifies Kronos within 30 days of receipt of invoice for the applicable services, the Customer’s sole remedy and Kronos’ exclusive liability shall be to re-perform the services which were deficient in a manner so as to conform to the foregoing warranty, at no additional cost to Customer. (d) KRONOS PROFESSIONAL/EDUCATIONAL SERVICES POLICIES Kronos’ then-current Professional/Educational Services Policies shall apply to all Professional and/or Educational Services purchased under the applicable SOW and may be accessed at: http://www.kronos.com/Support/ProfessionalServicesEngagementPolicies.htm (“Professional Services Policies”). In the event of a conflict between the Professional Services Policies and this Agreement, the terms of this Agreement shall prevail. 14. SOFTWARE SUPPORT SERVICES (a) SUPPORT OPTIONS Customer may select from the following Software support purchase options: Gold (or Gold Plus) and Platinum (or Platinum Plus) support (“Service Type”), each providing different service coverage periods and/or service offerings, as specified herein (“Service Offerings”) and in the Kronos Support Service Policies (defined below). Customer must purchase the same Service Type for all of the Software specified on the Order Form, (however, if Customer is purchasing support services for Visionware Software, Customer may only purchase Gold Service Type for the Visionware Software). All Updates shall be provided via remote access. Customer may purchase support services for Equipment in accordance with the terms and conditions of Kronos’ standard Equipment Support Services Agreement a copy of which is available upon request and is located at: http://www.kronos.com/Legal/EquipmentSupportAgr.aspx . (b) EXTENDED SUPPORT PROGRAM (DELL SERVERS) Customers purchasing the Extended Support Program (as indicated on the Order Form) for their Dell servers purchased from Kronos shall receive a specialized, bundled set of Kronos Support Services. Because of the specialized nature of these services, the terms and conditions located at http://www.kronos.com/Legal/SupplementalTerms.aspx shall supersede the provisions of this Agreement for the Extended Support Program. (c) TERM OF SOFTWARE SUPPORT Unless otherwise indicated on the Order Form, support service shall commence on the Software Delivery date and shall continue for an initial term of one (1) year. Support service shall automatically renew for additional one year terms on the anniversary date of its commencement date, unless either party notifies the other in writing sixty (60) days prior to that anniversary renewal date. After the one year initial term of this Agreement, the Service Offerings provided and the Service Coverage period are subject to change by Kronos with sixty (60) days advance written notice to Customer. For the initial two (2) renewal years the annual support fee, for the same products and service type, will not increase by more than 4% over the prior year’s annual support fee. (d) GOLD SERVICE OFFERINGS Customer shall be entitled to receive: (i) Updates for the Software (not including any Software for which Kronos charges a separate license fee), provided that Customer’s operating system and equipment

meet minimum system configuration requirements, as reasonably determined by Kronos. If Customer requests Kronos to install such Updates or to provide retraining, Customer agrees to pay Kronos for such installation or retraining at Kronos’ then-current time and materials rate.

(ii) Telephone and/or electronic access to the Kronos Global Support Center for the logging of requests for service during the Service Coverage Period. The Service

Coverage Period for the Gold Service Offering is 8:00 a.m. to 8:00 p.m., local time, Monday through Friday, excluding Kronos holidays.

(iii) Web-based support including access to Software documentation, FAQ’s, access to Kronos knowledge base, Customer forums, and e-case management. Such offerings are subject to modification by Kronos. Current offerings can be found at http://www.kronos.com/services/support-services.aspx .

(iv) Web-based remote diagnostic technical assistance which may be utilized by Kronos to resolve Software functional problems and user problems during the Service

Coverage Period.

(v) Access to specialized content as and when made available by Kronos such as technical advisories, learning quick tips, brown bag seminars, technical insider tips, SHRM e-Learning, HR Payroll Answerforce and service case studies.

(e) PLATINUM AND PLUS SERVICE OFFERINGS: Platinum: In addition to the Service Offerings specified for the Gold Service Offering above, the Service Coverage Period for the Platinum Service Offering is 24 hours a day, seven days a week, 365 days a year. Plus option: In addition to the Service Offerings specified for the Gold Service Offering above, customers purchasing the Plus option shall receive the services of a dedicated, but not exclusive, Kronos Technical Account Manager (“TAM”) for one production instance of the Software. Customers purchasing the Gold-Plus option shall designate up to one primary and one secondary backup technical contacts (“Technical Contacts”) to be the sole contacts with the TAM, while customers purchasing the Platinum-Plus option shall designate up to two primary and three secondary backup Technical Contacts. Upon request, Customer may designate additional and/or backup Technical Contacts. Customer is required to place all primary Technical Contacts through Kronos product training for the Software covered under this Agreement at Customer’s expense. Customers purchasing the Platinum-Plus option shall also receive a one day per year visit to be performed at the Customer location where the Software is installed. During this onsite visit, Kronos shall work with Customer to identify ways to help Customer increase functionality or maximize utilization of the Software in Customer’s specific environment. Customer must be utilizing the then-current version of the Software. Travel and expenses are not included and shall be paid by Customer.

(f) PAYMENT Customer shall pay annual support charges for the initial term in accordance with the payment terms on the Order Form and for any renewal term upon receipt of invoice. Customer shall pay additional support charges, if any, and time and material charges upon receipt of invoice. (g) ADDITION OF SOFTWARE Additional Software purchased by Customer during the initial or any renewal term shall be added to this Agreement at the same support option as the then current Software support coverage in place under these terms. Customer agrees to pay the charges for such addition, and any such addition shall be automatically renewed as provided in these terms. (h) RESPONSIBILITIES OF CUSTOMER Customer agrees (i) to provide Kronos personnel with full, free and safe access to Software for purposes of support, including use of Kronos’ standard remote access technology, if required; (ii) to maintain and operate the Software in an environment and according to procedures which conform to the Specifications; and (iii) not to allow support of the Software by anyone other than Kronos without prior written authorization from Kronos. Failure to utilize Kronos’ remote access technology may delay Kronos’ response and/or resolution to Customer’s reported Software problem. If Customer requires the use of a specific remote access technology not specified by Kronos, then Customer must purchase the Plus option to receive support and provide Kronos personnel with full, free and safe access to the remote access hardware and/or software. (i) DEFAULT Customer shall have the right to terminate Kronos support services in the event that Kronos is in breach of the support services warranty set forth below and such breach is not cured within fifteen (15) days after written notice specifying the nature of the breach. In the event of such termination, Kronos shall refund to Customer on a pro-rata basis those pre-paid annual support fees associated with the unused portion of the support term. Kronos reserves the right to terminate or suspend support service in the event the Customer is in default under this Agreement with Kronos and such default is not corrected within fifteen (15) days after written notice. In addition, the support services will terminate and all charges due hereunder will become immediately due and payable in the event that Customer ceases to do business as a going concern or has its assets assigned by law. (j) WARRANTY Kronos warrants that all support services shall be performed in a professional and competent manner. (k) KRONOS SUPPORT SERVICE POLICIES Kronos’ then-current Support Services Policies shall apply to all Support Services purchased and may be accessed at: http://www.kronos.com/Support/SupportServicesPolicies.htm (“Support Policies”). In the event of a conflict between the Support Policies and this Agreement, the terms of this Agreement shall prevail. 15. KNOWLEDGEPASS EDUCATION SUBSCRIPTION: The parties hereby agree that the following terms shall apply to Customer’s purchase of the Kronos KnowledgePass Education Subscription only, if specified on the Order Form: (a) Scope: The KnowledgePass Education Subscription is available to customers who are licensing Kronos’ Workforce Central and iSeries Timekeeper Software products and who are maintaining such products under a support plan with Kronos. The KnowledgePass Education Subscription provides access via the internet to certain educational offerings provided by Kronos (the “KnowledgePass Content”), including:

• Product and upgrade information for project teams and end users • Hands-on interactive instruction on common tasks • Self-paced tutorials covering a range of topics • Job aids • Knowledge assessment and reporting tools to measure progress • Webinars

(b) Term of Subscription: The KnowledgePass Education Subscription shall run co-terminously with Customer’s Software Support, and shall renew for additional one (1) year terms provided Customer renews its KnowledgePass Education Subscription as provided below.

(c) Payment: Customer shall pay the annual subscription charge for the initial term of the KnowledgePass Education Subscription in accordance with the payment terms on the Order Form. Kronos will send Customer a renewal invoice for renewal of the KnowledgePass Education Subscription at least forty five (45) days prior to expiration of the then current term. KnowledgePass Education Subscription shall renew for an additional one (1) year term if Customer pays such invoice before the end of the initial term or any renewal term.

(d) Limitations: Customer recognizes and agrees that the KnowledgePass Content is copyrighted by Kronos. Customer is permitted to make copies of the KnowledgePass Content provided in *pdf form solely for Customer’s internal use and may not disclose such KnowledgePass Content to any third party other than Customer’s employees. Customer may not edit, modify, revise, amend, change, alter, customize or vary the KnowledgePass Content without the written consent of Kronos, provided that Customer may download and modify contents of Training Kits solely for Customer’s internal use. (e) Train-the-Trainer Program (TTT): Certification under the Train-the-Trainer Program is valid only for the point release of the Software for which the TTT Program is taken, and covers only the Customer employee who completes the TTT Program. 16. CONFIDENTIAL INFORMATION “Confidential Information" is defined as information that is: i) disclosed between the parties after the date of this Agreement that is considered confidential or proprietary to the disclosing party; and ii) identified as “confidential” at the time of disclosure, or would be reasonably obvious to the receiving party to constitute confidential information because of legends or other markings, by the circumstances of disclosure or the nature of the information itself. Additionally, the terms, conditions and pricing contained in this Agreement and the Order Form, the Software (and Software documentation), and the Specifications shall be deemed to be Kronos’ Confidential Information. party shall protect the Confidential Information of the other party with at least the same degree of care and confidentiality, but not less than a reasonable standard of care, which such party utilizes for its own information of similar character that it does not wish disclosed to the public. Neither party shall disclose to third parties (except the parent company or the wholly owned subsidiaries of the receiving party who have a need to know) the other party’s Confidential Information, or use it for any purpose not explicitly set forth herein, without the prior written consent of the other party. The obligation of confidentiality shall survive for three (3) years after the disclosure of such Confidential Information. This Agreement imposes no obligation upon either party with respect to the other party’s Confidential Information which the receiving party can establish by legally sufficient evidence: (a) was rightfully possessed by the receiving party without an obligation to maintain its confidentiality prior to receipt from the disclosing party, (b) is generally known to the public without violation of this Agreement; (c) is obtained by the receiving party in good faith from a third party having the right to disclose it without an obligation with respect to confidentiality; (d) is independently developed by the receiving party without use of the disclosing party’s confidential information, which can be shown by tangible evidence; or (e) was required to be disclosed by applicable law; provided that the receiving party notifies the disclosing party of such requirement prior to disclosure, and provided further that the receiving party makes diligent efforts to limit disclosure. 17. MARKETING ACTIVITIES Customer agrees that Kronos may use Customer’s name as part of Kronos’ published customer lists. Upon Kronos’ request, Customer will participate in mutually beneficial marketing and public relations activities with Kronos. All content shall be subject to the prior review and approval of Customer, such approval not to be unreasonably withheld. 18. LIMITATION OF LIABILITY CUSTOMER'S EXCLUSIVE REMEDIES AND KRONOS' SOLE LIABILITY FOR ANY KRONOS BREACH OF THIS AGREEMENT ARE EXPRESSLY STATED HEREIN. EXCEPT AS PROVIDED IN THIS AGREEMENT, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE EXCLUDED. EXCEPT FOR KRONOS' INDEMNIFICATION OBLIGATIONS SET FORTH IN THIS AGREEMENT, IN NO EVENT SHALL KRONOS' OR ITS PARENTS', SUBSIDIARIES', AFFILIATES', OR THIRD PARTY LICENSOR'S LIABILITY TO A CUSTOMER, HOWSOEVER CAUSED, EXCEED THE VALUE OF THE ORDER WHICH GIVES RISE TO THE CLAIM, AND IN NO EVENT WILL KRONOS OR ITS PARENTS, SUBSIDIARIES AFFILIATES OR THIRD PARTY LICENSORS BE LIABLE FOR LOST PROFITS, LOST DATA OR ANY OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THIS AGREEMENT WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT OR THE EXISTENCE, FURNISHING, FUNCTIONING OR CUSTOMER’S SPECIFIC USE OF, OR INABILITY TO SO USE, ANY EQUIPMENT, SOFTWARE OR SERVICES PROVIDED FOR IN THIS AGREEMENT. 19. GENERAL (a) This Agreement shall be governed by Massachusetts law. The parties waive the application of the United Nations Commission on International Trade Law and United Nations Convention on Contracts for the International Sale of Goods as to the interpretation or enforcement of this Agreement. (b) The invalidity or illegality of any provision of this Agreement shall not affect the validity of any other provision. The parties intend for the remaining unaffected provisions to remain in full force and effect. (c) Customer shall not assign this Agreement or the license to the Software without the prior written consent of Kronos and any purported assignment, without such consent, shall be void. (d) Neither party shall be liable for failures or delays in performance due to causes beyond its reasonable control, including war, strikes, lockouts, fire, flood, storm or other acts of God. Both parties agree to use their best efforts to minimize the effects of such failures or delays. (e) All notices given under this Agreement shall be in writing and sent postage pre-paid, if to Kronos, to the Kronos address on the Order Form, or if to Customer, to the billing address on the Order Form. (f) No action, regardless of form, may be brought by either party more than two (2) years after the cause of action has arisen. (g) The section headings herein are provided for convenience only and have no substantive effect on the construction of this Agreement. (h) The parties agree that if this Agreement is delivered via fax or electronically delivered via email it shall constitute a valid and enforceable agreement. (i) This Agreement and any information expressly incorporated herein (including information contained in any referenced URL), together with the applicable Order Form, constitute the entire agreement between the parties for the products and services described herein and supersede all prior or contemporaneous representations, negotiations, or other communications between the parties relating to the subject matter of this Agreement. This Agreement may be amended only in writing signed by authorized representatives of both parties. Customer understands and acknowledges that while Kronos may disclose to customers certain confidential information regarding general product development direction, potential future products and/or product enhancements under consideration, Customer is not entitled to any products or product enhancements other than those contained on the Order Form. Customer has not relied on the availability of any future version of the Software or Equipment identified on an Order Form, nor any other future product in executing this Agreement. (j) Use, duplication, or disclosure by the United States Government is subject to restrictions as set forth in subparagraph (c) (1) (ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013, or subparagraph (c)(1)(2) of the Commercial Computer Software Restricted Rights clause at FAR 52.227-19, as applicable. The Aesop to Kronos Custom Integration allows you several levels of automation for extracting Employee Leave and Substitute data out of Aesop and into Kronos. When combined with our intuitive self-service applications, the Workforce Central suite delivers value to the entire workforce — at all levels of the organization.

Kronos recognizes some of its customers need to estimate hardware and software to host and run Workforce Central 7. This document provides guidelines to help them with their budgetary process. These estimates cover company sizes ranging from 1 employee to 12,000 employees. Higher employee count companies require a custom sizing exercise. Please contact Kronos if your company size is larger than 12,000 employees.

Note: This is not applicable for customers wishing to implement: Workforce Activities , Workforce Forecast Manager, Workforce Operations Planner™, and Workforce Record Manager™. Clients that have these exceptions should contact their Kronos representative for a more detailed hardware recommendation.

Three-tier architecture

From an IT perspective, Kronos’ labor management solutions are structured in three-tier application architecture. This architecture unlocks the real power of the Kronos solution, to be deployed quickly and integrated cost-effectively within an existing IT infrastructure. Client tier: In the client tier, customers have access to multiple types of interfaces to interact with Kronos applications. Based on the role of the users, Kronos provides access via telephony, PDAs, data terminals (including SmartViews), dynamic html, rich web interfaces (Ajax, Flash, java applets), and portals that leverage the most suitable technology to meet users’ specific needs. Web pages and applets connect to the Web-based Workforce Central Application Server.

Application tier: The J2EE application server implements the major parts of the application, including the application logic, performing the real work of the application. The Web server resides on this tier, awaiting browser requests that are passed to Workforce Central. The application tier also includes a business rules engine Web service that optimizes the application server by offloading computationally intensive work for faster response. At the heart of this Web service is the Workforce Totalizer, a robust rules engine designed around an object-oriented model. The Workforce Totalizer executes the Workforce Central business rules in real time. The advantage to this approach is its ability to provide payroll managers and supervisors with real-time calculated data to support decision making and data modeling.

Database tier: The database server efficiently stores and retrieves all application data. The database configuration has many dependencies, including the number of employee records in the database, the number of clients, the number of pay periods to be stored, and configuration of the storage subsystem.

Workforce Analytics Product Suite

Workforce Analytics provides four separate products that may be purchased by clients. All clients must purchase the Core

Workforce Analytics product that provides data from Workforce Timekeeper. Clients may then add on the industry-specific

products, Workforce Analytics for Healthcare, Workforce Analytics for Retail and Workforce Analytics for Manufacturing. These

products provide additional Workforce Central data and metadata relevant to each industry. The features identified below are

applicable to all Workforce Analytics products, because they are delivered as part of the Core application.

Kronos recognizes the need for planning and through this document we provide hardware guidelines for budgetary purpose. These

guidelines are for new or existing customers looking to implement Workforce Analytics 7.0.

These budgetary estimates are based on no more than 20% of the users (managers) concurrently using Workforce Analytics at any

time. We recommend that you only use this for server estimates and a Kronos service consultant will work with you to analyze your

specific use case and make recommendation for purchasing hardware based on the pre-implementation workshop.

CLOUD HOSTING ADDENDUM SUPPLEMENTAL TERMS AND CONDITIONS

This Cloud Hosting Addendum of Supplemental Terms and Conditions (the “Addendum”) is made as of the Effective Date set forth below by and between Kronos and (“Customer”). Kronos and Customer are collectively referred to herein as the “Parties”, and individually as a “Party.” WHEREAS, Customer has entered into a Sales, Software License and Services Agreement, the Kronos Rental Program, a Master Lease Agreement or other license agreement (the “License Agreement”) to acquire licenses to certain Kronos software applications, as well as related equipment and support services; WHEREAS, Customer desires to use those Kronos software applications, related hardware and services in a managed hosted environment in accordance with the License Agreement and upon the supplemental terms and conditions herein, and Kronos desires to assist Customer in doing so. NOW, THEREFORE, in consideration of the mutual promises and covenants hereafter set forth, the Parties agree as follows: 1. DEFINITIONS “Application(s)” means those Kronos software applications set forth in the Services Scope Statement or Statement of Work, which are made accessible for Customer to use under the terms of this Addendum. “Cloud Hosting Program” or “Program” means (i) accessibility to the Applications by means of access to the password protected customer area of the Kronos hosting environment, and (ii) all Hosting Related Services. “Content” means all content Customer, or others acting on behalf of or through Customer, posts or otherwise inputs into the Program, including but not limited to information, data (such as payroll data, vacation time, and hours worked), designs, know-how, logos, text, multimedia images (e.g. graphics, audio and video files), compilations, software programs, third party software, applications, or other materials, or any other Customer content shared or processed on equipment under the control of Kronos. “Hosting Related Services” means certain services set forth in a Services Scope Statement (SSS) or Statement of Work (SOW) containing hosted related services , such as hosting infrastructure, equipment, bandwidth, server monitoring, backup services, reporting services, storage area network (SAN) services, load balancing services, security services, system administration, connectivity services, performance tuning, service pack installation and all professional and/or Cloud Services and maintenance services related to hosting. “Initial Term” means the initial term of the Program as set forth in the applicable SSS/SOW or Order Form. “Internal Use” means the use of the Program: (i) by Customer’s personnel solely for Customer’s internal business purposes and (ii) by any authorized employee, agent or contractor of Customer to process information relating to Customer’s employees assigned to, or potential employees of, Customer’s authorized business unit(s), solely for the internal business purposes of such business unit(s). “Monthly Service Fee(s)” means the monthly fees described in the SSS/SOW and set forth on the applicable Order Form. “Order Form” means the order request form supplied by Kronos and signed by the Parties that lists the fees for the elements of Customer’s particular Program. “Personally Identifiable Data” means information concerning individually identifiable employees of Customer that is protected against disclosure under applicable law or regulation. “Production Environment” means a permanent environment established for the daily use and maintenance of the Applications in a live environment throughout the term of a Program. “Service Description” means the detailed service description (including any supplementary service terms) specified in the SSS/SOW which sets forth the specific Program to be provided to the Customer. “SLA(s)” means a service level agreement offered by Kronos for the Production Environment and attached to this Addendum as Exhibit A which contains key service level standards and commitments that apply to the Program as detailed in the Service Description. “SLA Credit” means the credit calculated in accordance with the SLA and offered by Kronos in the event of outages, interruptions or deficiencies in the delivery of the Program that result in a failure to meet the terms of the applicable SLA. “Supplier” means any contractor, subcontractor or licensor of Kronos providing software, equipment and/or services to Kronos which are incorporated into or otherwise related to the Program. “Temporary Environment” means a transient database environment created to serve limited purposes for a limited time period, and identified in the applicable SSS/SOW as a Temporary Environment. 2. CLOUD HOSTING PROGRAM The description of the particular Program ordered by the Customer, the Program term, the Monthly Service Fee rates, and other fees, if any, applicable to the Program are described in the applicable SSS/SOW and Order Form. Kronos will not change the Monthly Service Fee rates it charges for Customer’s existing Program, or the SLA, during the Initial Term. Kronos may change such Monthly Service Fee rates or the associated SLA for a renewal term of the particular Program by notifying Customer at least sixty (60) days prior to the expiration of the then current term. SLAs are only available in a Production Environment. Unless the SSS/SOW indicates that the Program is to be implemented in a Temporary Environment, the Program will be deemed to be implemented in a Production Environment.

3. AUTHORIZED USE Customer shall take all reasonable steps to ensure that no unauthorized persons have access to the Program, and to ensure that no persons authorized to have such access shall take any action that would be in violation of this Addendum. 4. MAINTENANCE ACCESS If Kronos, its Suppliers, or the local access provider, as applicable, requires access to Customer sites in order to maintain or repair the Program, Customer shall cooperate in a timely manner and reasonably provide such access and assistance as necessary. As part of Kronos’ support services, Kronos will make updates to the Applications available to Customer at no charge as they are released generally to Kronos’ customers. Customer agrees to receive those updates automatically as part of the Program. Customer may be required to purchase additional Hosting Related Services to address infrastructure requirements as released by Kronos for a new version of a particular Application. 5. CUSTOMER REPRESENTATIONS AND WARRANTIES; CUSTOMER OBLIGATIONS 5.1 Customer represents and warrants to Kronos that it has the right to publish and disclose Customer’s Content in the Program. 5.2 Customer represents and warrants to Kronos that Customer’s Content will not: (a) infringe or violate any third-party right, including (but not limited to) intellectual property, privacy, or publicity rights; (b) be abusive, profane, or offensive to a reasonable person; or (c) be hateful or threatening. 5.3 Customer will, at its own cost and expense, provide all end user equipment, operating systems, and software (including a web browser) not provided by Kronos and needed to access and use the Program. Customer will also provide, at its own cost and expense, all connections from its computer systems to the Program, which shall include all related costs associated with Customer accessing the Program, unless such connectivity services are purchased from Kronos as indicated on the SSS/SOW and Order Form. 5.4 Customer shall not, and shall not permit any person or entity under Customer’s direct or indirect control to: (a) recirculate, republish, distribute or otherwise provide access to the Program to any third party; (b) use the Program on a service bureau, time sharing or any similar basis, or for the benefit of any other person or entity; (c) alter, enhance or make derivative works of the Program; (d) reverse engineer, reverse assemble or decompile, or otherwise attempt to derive source code from, the Program or any software components of the Program; (e) use, or allow the use of, the Program in contravention of any applicable law, or rules or regulations of regulatory or administrative organizations; (f) introduce into the Program any virus or other code or routine intended to disrupt or damage the Program, alter, damage, delete, retrieve or record information about the Program or its users; or, (g) otherwise act in a fraudulent, malicious or negligent manner when using the Program. 6. CONNECTIVITY AND ACCESS 6.1 Customer acknowledges that Customer shall (a) be responsible for securing, paying for, and maintaining connectivity to the Services (including any and all related hardware, software, third party services and related equipment and components); and (b) provide Kronos and Kronos’ representatives with such physical or remote access to Customer’s computer and network environment as Kronos deems reasonably necessary in order for Kronos to perform its obligations under the Agreement. Customer will make all necessary arrangements as may be required to provide access to Customer’s computer and network environment if necessary for Kronos to perform its obligations under the Agreement. Customer agrees that Kronos may audit Customer’s use of the Services. 7. FEES AND PAYMENT TERMS 7.1 In consideration of the delivery of the Program, Customer shall pay Kronos the Monthly Services Fee as defined in the applicable Order Form. The Monthly Services Fee shall begin to accrue on the date the Order Form and SSS are signed by the parties, and shall be invoiced annually in advance. 7.2 All fees payable hereunder shall be paid in United States Dollars and sent to the attention of Kronos as specified on the invoice. Payment terms shall be net 30 days following receipt of invoice. All overdue payments shall bear interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate allowed under applicable law. Customer is responsible for all federal, state or local taxes, duties and customs fees relating to the Program, excluding taxes based on Kronos’ income or business privilege. 7.3 SLA Credits, if any, which are due and owing to a Customer under an SLA for a particular month of the Program shall be paid by Kronos in the month following the month in which the SLA Credits were earned. 8. INDEMNIFICATION 8.1 Customer shall defend Kronos, its Suppliers and their respective directors, officers, employees, agents and independent contractors (collectively, the “Kronos Indemnified Parties”) harmless, from and against any and all notices, charges, claims, proceedings, actions, causes of action and suits, brought by a third party (each a “Claim”) alleging that: (a) employment-related claims arising out of Customer’s configuration of the Program; (b) Customer’s modification or combination of the Program with other services, software or equipment not furnished by Kronos, provided that such Customer modification or combination is the cause of such infringement and was not authorized by Kronos; or, (c) a claim that the Customer Content infringes in any manner any intellectual property right of any third party, or any of the Customer Content contains any material or information that is obscene, defamatory, libelous, or slanderous violates any person’s right of publicity, privacy or personality, or has otherwise caused or resulted in any tort, injury, damage or harm to any other person. Customer will have sole control of the defense of any such action and all negotiations for its settlement or compromise. Kronos will cooperate fully at Customer’s expense with Customer in the defense, settlement or compromise of any such action. Customer will indemnify and hold harmless the Kronos Indemnified Parties against any liabilities, obligations, costs or expenses (including without limitation reasonable attorneys’ fees) actually awarded to a third party as a result of such Claims by a court of applicable jurisdiction or as a result of Customer’s settlement of such a Claim. 8.2 The Kronos Indemnified Party(ies) shall provide written notice to the indemnifying party promptly after receiving notice of such Claim. If the defense of such Claim is materially prejudiced by a delay in providing such notice, the purported indemnifying party shall be relieved from providing such indemnity to the extent of the delay’s impact on the defense. The indemnifying party shall have sole control of the defense of any indemnified Claim and all negotiations for its settlement or compromise, provided that such indemnifying party shall not enter into any settlement which imposes any obligations or restrictions on the applicable Indemnified Parties without the prior written consent of the other party. The Indemnified Parties shall cooperate fully, at the indemnifying party’s request and expense, with the indemnifying party in the defense, settlement

or compromise of any such action. The indemnified party may retain its own counsel at its own expense, subject to the indemnifying party’s rights above. 9. KRONOS DISCLAIMS ANY AND ALL OTHER LIABILITIES OR REMEDIES FOR SUCH OUTAGES, INTERRUPTIONS OR DEFICIENCIES OF SERVICES. 10. LIMITATION OF LIABILITY IN ADDITION TO THE LIMITATIONS SET FORTH IN THE LICENSE AGREEMENT, EXCEPT WITH RESPECT TO LIABILITY ARISING FROM KRONOS’ GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, KRONOS DISCLAIMS ANY AND ALL LIABILITY AND SERVICE CREDITS, INCLUDING SUCH LIABILITY RELATED TO A BREACH OF SECURITY OR DISCLOSURE, RESULTING FROM ANY EXTERNALLY INTRODUCED HARMFUL PROGRAM (INCLUDING VIRUSES, TROJAN HORSES, AND WORMS), CUSTOMER’S CONTENT OR APPLICATIONS, THIRD PARTY UNAUTHORIZED ACCESS OF EQUIPMENT OR SOFTWARE OR SYSTEMS, OR MACHINE ERROR. 11. DATA SECURITY 11.1 As part of the Program, Kronos shall provide those administrative, physical, and technical safeguards for protection of the security, confidentiality and integrity of Customer data as described at: http://www.kronos.com/products/smb-solutions/workforce-central-saas/security-description.aspx Customer acknowledges that such safeguards endeavor to mitigate security incidents, but such incidents may not be mitigated entirely or rendered harmless. Customer should consider any particular Kronos supplied security-related safeguard as just one tool to be used as part of Customer’s overall security strategy and not a guarantee of security. Both parties agree to comply with all applicable privacy or data protection statutes, rules, or regulations governing the respective activities of the parties under the Agreement. 11.2 As between Customer and Kronos, all Personally Identifiable Data is Customer’s Confidential Information and will remain the property of Customer. Customer represents that to the best of Customer’s knowledge such Personally Identifiable Data supplied to Kronos is accurate. Customer hereby consents to the use, processing or disclosure of Personally Identifiable Data by Kronos and Kronos’ Suppliers wherever located only for the purposes described herein and only to the extent such use or processing is necessary for Kronos to carry out Kronos’ duties and responsibilities under the Agreement or as required by law. 11.3 Prior to initiation of the Program and on an ongoing basis thereafter, Customer agrees to provide notice to Kronos of any extraordinary privacy or data protection statutes, rules, or regulations which are or become applicable to Customer’s industry and which could be imposed on Kronos as a result of provision of the Program. Customer will ensure that: (a) the transfer to Kronos and storage of any Personally Identifiable Data by Kronos or Kronos’ Supplier’s data center is permitted under applicable data protection laws and regulations; and, (b) Customer will obtain consents from individuals for such transfer and storage to the extent required under applicable laws and regulations. 12. TERM AND TERMINATION 12.1 At the expiration of the Initial Term, the applicable Program shall automatically renew for successive one year periods unless either party provides notice of its intent not to renew at least sixty (60) days prior to the expiration of the then-current term. Kronos may suspend or terminate the Program upon notice in the event of any breach by Customer of this Addendum if such breach is not cured within ten (10) days of the date of Kronos’ written notice. No Program interruption shall be deemed to have occurred during, and no Program credits shall be owed for, any authorized suspension of the Program. 12.2 Customer may terminate the Program by written notice at any time during the term of the Addendum if Kronos materially breaches any provision of this Addendum, and such default is not cured within thirty (30) days after receipt of written notice from Customer. In the event of such termination by Customer, Customer shall pay Kronos within thirty (30) days all fees then due and owing for the Program prior to the date of termination. 12.3 Customer may terminate the Program for convenience on no less than ninety (90) days prior written notice to Kronos. 12.4 In the event of termination of the Program by Customer for convenience or by Kronos for cause during the Initial Term, Customer will pay to Kronos any out of pocket expenses incurred by Kronos in terminating the Program plus an early termination fee based on the following calculation: one (1) month of the then-current Monthly Services Fees for every twelve (12) month period (or portion thereof) remaining in the Initial Term. By way of example only, if Customer terminates the Program for convenience with fifteen (15) months remaining in the Initial Term, Customer will be responsible to pay Kronos two (2) months of the then-current Monthly Services Fees. 12.5 At no cost to Customer, Kronos shall upon (i) request by Customer at any time and (ii) the cessation of the Program, promptly return to Customer, in the format and on the media in use as of the date of the request, Customer’s Content. SERVICE LEVEL AGREEMENT (SLA) Service Level Agreement: The Services, in a production environment and as described in the Statement of Work (aka Services Scope Statement), are provided with the service levels described in this Exhibit A. SLAs are only applicable to production environments. SLAs will be available upon Customer’s signature of Kronos’ Go Live Acceptance Form for Customer’s production environment. 99.75% Application Availability Actual Application Availability % = (Monthly Minutes (MM) minus Total Minutes Not Available (TM)) multiplied by 100) and divided by Monthly Minutes (MM), but not including Excluded Events Service Credit Calculation: An Outage will be deemed to commence when the Applications are unavailable to Customer in Customer’s production environment hosted by Kronos and end when Kronos has restored availability of the Services. "Outage" means the accumulated time, measured in minutes, during which Customer is unable to access the Applications for reasons other than an Excluded Event. “Excluded Event” means any event that results in an Outage and is caused by (a) the acts or omissions of Customer, its employees, customers, contractors or agents; (b) the failure or malfunction of equipment, applications or systems not owned or controlled by Kronos, including without limitation Customer Content, failures or malfunctions resulting from circuits provided by Customer, any inconsistencies or changes in Customer’s source environment, including either intentional or accidental connections or disconnections to the environment; (c) Force Majeure events; (d) scheduled or emergency maintenance, alteration or implementation provided during the Maintenance Period defined below; (e) any suspension of the Services in accordance with the terms of the Agreement to which this Exhibit A is attached; (f) the unavailability of required Customer personnel, including as a result of failure to provide Kronos with accurate, current contact information; or (g) using an Application in a manner inconsistent with the product documentation for such Application. “Maintenance Period” means scheduled maintenance periods established by Kronos to maintain and update the Services, when necessary. During these Maintenance Periods, the Services are available to Kronos to perform periodic maintenance services, which include vital software updates. Kronos will use its commercially reasonable efforts during the Maintenance Period to make the Services available to Customer; however, some changes will require downtime. Kronos will provide notice for planned downtime via an email notice to the primary Customer contact at least one day in advance of any known downtime so planning can be facilitated by Customer. Currently scheduled Maintenance Periods for the Services are:

Monday through Friday 04:00 am – 06:00 am (U.S. eastern time) Saturday and Sunday 12:00 am – 06:00 am (U.S. eastern time)

Maintenance Periods include those maintenance periods mutually agreed upon by Customer and Kronos. “Monthly Minutes (MM)” means the total time, measured in minutes, of a calendar month commencing at 12:00 am of the first day of such calendar month and ending at 11:59 pm of the last day of such calendar month. “Total Minutes Not Available (TM)” means the total number of minutes during the calendar month that the Services are unavailable as the result of an Outage. Limitations: Service Credits will not be provided if: (a) Customer is in breach or default under the Agreement at the time the Outage occurred; or (b) the Outage results from an Excluded Event. If Kronos does not provide the appropriate Service Credit as due hereunder, Customer must request the Service Credit within sixty (60) calendar days of the conclusion of the month in which the Service Credit accrues. Customer waives any right to Service Credits not requested within this time period. All performance calculations and applicable Service Credits are based on Kronos records and data unless Customer can provide Kronos with clear and convincing evidence to the contrary. The Service Level Agreements in this Exhibit, and the related Service Credits, apply on a per production environment basis. For the avoidance of doubt, Outages in one production environment may not be added to Outages in any other production environment for purposes of calculating Service Credits. Customer acknowledges that Kronos manages its network traffic in part on the basis of Customer’s utilization of the Services and that changes in such utilization may impact Kronos’ ability to manage network traffic. Therefore, notwithstanding anything else to the contrary, if Customer significantly changes its utilization of the Services than what is contracted with Kronos and such change creates a material and adverse impact on the traffic balance of the Kronos network, as reasonably determined by Kronos, the parties agree to co-operate, in good faith, to resolve the issue.

Time and Labor Technical Data Sheet Kronos Workforce Central labor management solutions constitute a web-based enterprise suite of applications designed to maximize workforce productivity while minimizing the impact on IT. The advantage of the product platform lies in its ability to match the needs of the users with a broad range of employee interaction devices: Web browsers, data collection terminals, biometrics, telephony, personal digital assistants (PDAs), and more.

Platform portability

The Workforce Central labor management architecture follows an industry-standard model using the Java 2 Enterprise Edition (J2EE) for Web applications to provide an extensive set of scalable platform options to customers. The J2EE platform enables the application to run on a broad set of operating systems and application servers. This open and portable approach to application development is also apparent in the supported database products, Microsoft SQL Server and Oracle.

Three-tier architecture

From an IT perspective, Kronos’ labor management solutions are structured in three-tier application architecture. This architecture unlocks the real power of the Kronos solution, to be deployed quickly and integrated cost-effectively within an existing IT infrastructure. Client tier: In the client tier, customers have access to multiple types of interfaces to interact with Kronos applications. Based on the role of the users, Kronos provides access via telephony, PDAs, data terminals (including SmartViews), dynamic html, rich web interfaces (Ajax, Flash, java applets), and portals that leverage the most suitable technology to meet users’ specific needs. Web pages and applets connect to the Web-based Workforce Central Application Server.

Application tier: The J2EE application server implements the major parts of the application, including the application logic, performing the real work of the application. The Web server resides on this tier, awaiting browser requests that are passed to Workforce Central. The application tier also includes a business rules engine Web service that optimizes the application server by offloading computationally intensive work for faster response. At the heart of this Web service is the Workforce Totalizer, a robust rules engine designed around an object-oriented model. The Workforce Totalizer executes the Workforce Central business rules in real time. The advantage to this approach is its ability to provide payroll managers and supervisors with real-time calculated data to support decision making and data modeling.

Database tier: The database server efficiently stores and retrieves all application data. The database configuration has many dependencies, including the number of employee records in the database, the number of clients, the number of pay periods to be stored, and configuration of the storage subsystem.

Data collection and self-service

Workforce Central supports four general categories of users: administrators charged with configuration and setup, employees, frontline managers who directly manage employees and human resource and payroll specialists who centrally manage the corporate payroll and pay policies. Managers and specialists have very similar requirements; they are the real power users of a labor management application.

Considering the makeup of today’s workforce, labor management applications must leverage the most appropriate technology to deliver a user interface equipped to meet the individual needs and work style of the user. A web-based technology approach provides a strong foundation for this degree of flexibility, but a closer look at the needs of the user often reveals more complex requirements. The distinct advantage of Kronos architecture is its ability to match the right technology approach with the usage model for each type of user and the strengths of a wide range of interaction devices.

For self-service employees who will be entering time and attendance data and checking their leave balances, a Web browser is all that is required for access. To protect the privacy of an employee’s data and to increase the overall security of the solution, these connections to the Web server can be configured to use either the HTTP or the HTTPS protocol. The HTTPS protocol uses the Secure Sockets Layer (SSL) cryptographic protocol. Connections over HTTPS use encryption and require a server certificate from VeriSign or another certificate authority.

Managers and payroll specialists responsible for the time and attendance records of large numbers of employees need a highly interactive, rich user interface that doesn’t slow them down. To meet these needs, the Kronos solution utilizes Java applets. Applets are downloaded only once when first accessed and run in the Sun™ Java runtime environment™ (JRE) plug-in. Only those Java applets necessary to perform the tasks associated with a particular user role are downloaded to the client. As a result, very small packets of actual data are being transmitted, keeping the bandwidth requirements for the Workforce Central application very low. Most users of the application can take advantage of a pure HTML deployment designed for self-service access.

Workforce Mobile

The Kronos® Workforce Mobile™ solution gives you a mobile connection to your Workforce Central® system. This means your workforce can complete common administrative tasks right on their mobile devices. Wherever managers are, they can easily see and rapidly respond to potential workforce management issues via Workforce Mobile Manager, through Workforce Mobile Employee, employees can perform their time management tasks when they need to, where they need to.

This on-the-go access means your workforce is able to instantly engage, make effective decisions, take action, and move on. It’s mobile workforce management. And it will fundamentally

The Kronos® Workforce Tablet™ solution provides managers with constant mobile access to their Workforce Central® system — all through the simple, convenient, and compelling user experience offered by today’s tablet devices.1 With the combined capabilities of Workforce Tablet and Apple® iPad® capabilities, Kronos delivers the power of a back-office PC to managers who don’t work in the back office. Managers can easily record and access real-time labor data and streamline decision making by staying constantly connected to Workforce Central.

Workforce Analytics

Workforce Analytics products allow customers to solve vital workforce problems using strategic information delivery. Workforce Analytics gives an aggregate view of the workforce, allowing executives and managers to find the departments and facilities that are using best practices and those that need to improve. They can monitor the progress of the whole organization toward goals and find and redirect groups that are not meeting targets. Through the calculation of over one hundred key workforce metrics, Workforce Analytics transforms operational data into strategic intelligence.

Security of confidential data

Workforce Central supports LDAP and Microsoft Active Directory for password authentication for organizations to centralize the maintenance of passwords. And, to facilitate controlled access via once-per-session authentication, Workforce Central supports single sign-on capability for both SiteMinder® and SAML enabled environments. To reduce the impact on help desks, Kronos provides automated password reset. Workforce Central also supports SSL for added security at the customer’s option. User access rights are defined in the Workforce Central access control profiles.

Integration with existing infrastructure

Kronos offers tools to support integration with critical business systems such as payroll, HR, patient information systems, and other back-office applications. Certified interfaces to major ERP systems, such as SAP, facilitate connections to existing data sources and repositories, further improving the return on investment.

The flexible and configurable Workforce Integration Manager™ integration tool contains components for interface processing and interface development. Workforce Integration Manager uses industry-standard technologies to import data from a variety of sources, files, and tables and to output data into many different file formats or directly to other relational database management systems. Batch transfer of tables from HR or payroll systems can be accomplished by using table-based import utilities provided within the Workforce Central applications. Workforce Integration Manager Interfaces help expand the use of your labor management data by making it accessible to other applications in the formats they require.

Extensibility support with XML API toolkit

Enterprise organizations desire tight integration with critical business applications resulting in data synchronization. Other organizations may require adherence to customer-specific user-interface standards. The SOAP-based XML API delivers this flexibility through views of business objects to facilitate the extension of business rules and validation of data. This open user interface supports unique customer needs while protecting the application integrity through a stable, reliable interface.

System administration

Workforce Central provides a number of capabilities for busy IT managers to perform system administration functions anytime and anywhere, a distinct advantage when their business takes them away from their primary locations. System administrators are pushed automatic notifications if scheduled events or servers fail. System performance metrics, such as active users logged on, can be monitored remotely, and system tasks and events can be scheduled at a convenient time when system usage is low. System status instrumentation, health data, and performance assessment data are provided for easy integration into leading monitoring and management applications.

VMware and Microsoft Hyper-V virtualization

Most Workforce Central 7 applications can be run on VMware® and Microsoft Hyper-V® virtual machines. Virtualization is a software technology that makes it possible to run multiple operating systems and applications on the same computer at the same time, increasing hardware utilization and flexibility. By using virtualization software, an IT department can transform, or “virtualize”, the hardware resources of an x86-based computer — including the CPU, RAM, hard disk, and network controller — to create several fully functional virtual machines that can each run its own operating system and applications just like a real computer. (Note: Workforce Analytics™ products are not supported on virtualized environments.)

DATACENTER OVERVIEW

ARCHITECTURE/SYSTEM DESIGN:

REAL ESTATE:

The Kronos Cloud Service data center, located in Waltham, Massachusetts, offers world-class facilities for Power Management, Heating/Ventilation/Air Conditioning (HVAC), Fire Detection and Suppression, Seismic Engineering, Physical Security, Tier 1 Internet connectivity, and access to an Intelligent IP and IP MPLS network. The facility is designed to meet the stringent requirements of customers who require the highest availability of critical IT assets, including workforce management applications and data. With that in mind, all data center design elements have been engineered to ensure that customers’ Kronos systems reside in a physically and logically secure space. The facility is staffed 24x7 by on-site personnel and environmental conditions are closely monitored and controlled. Furthermore, power is sourced by redundant utility power feeds and backed by on-site diesel generators.

Because Kronos uses a premium data center provider with an extensive network of 50 data centers across North America, Europe, and Asia, you can rest assured that Kronos Cloud Services is fully prepared to meet your evolving needs — even as your workforce, your transactions, and your application needs continue to grow.

POWER:

Kronos Cloud Services uses a data center with 100% redundant power. The design features isolated paths from two fully independent Uninterruptible Power Source (UPS) systems, each of which can carry the entire load of the part of the data center that it serves. In the unlikely event that a UPS or any of its downstream devices fails, the other UPS will safely assume the entire load, without any switching or load transfer. During planned maintenance

of a UPS module, the load of one feed will be internally transferred to a generator while the other feed will remain on UPS-protected power.

The data center’s fuel system has been designed to provide continuous run time under full load. A total of 7,500 gallons of fuel are stored on site to provide 23 hours at full load in the event of a power failure before refueling is required. Agreements with multiple fuel suppliers ensure timely refueling when needed.

HVAC:

The Computer Room Air Conditioning (CRAC) system for the raised floor space consists of twenty-four Computer Room Air Conditioners (CRACs) units fed from an N+1 central chilled water plant. Air is evenly distributed through the 24-inch raised floor via movable floor diffusers. The facility’s chilled water plan consists of three 500-ton air-cooled DX chillers, including one chiller for redundancy, and variable speed pump systems which deliver chilled water to the CRACs. The power feed of all CRAC units and the chilled water plant equipment are equally distributed across all electrical busses with sufficient capacity to withstand one electrical bus failure. Humidity is controlled by eight of the CRAC units. Both humidification and dehumidification are monitored by a local sensor.

The NODE and UPS rooms have separate CRAC units as well as one redundant unit.

WATER: The facility’s chilled water plant consists of three 500-ton air-cooled DX chillers, including one chiller for redundancy, and variable speed pump systems which deliver chilled water to the CRACs. Cold water tanks are installed in the data center to keep air conditioning units functioning even during emergencies when a transition from direct power to generator power may be required.

ACCESS CONTROL:

State-of-the-art multi-level physical security features are built into the Kronos Cloud Services data center to ensure that your applications and data are never compromised. Data center physical security measures include:

• On-premise security guards

• Security systems on the building exterior: cameras, false entrances, vehicle blockades, customized parking lot designs, bulletproof glass/walls and unmarked buildings

• Biometric systems, including palm scanners

• Numerous security cameras with digital recorders

• Portals and person-traps that authenticate only one person at a time FIRE PROTECTION AND SUPPRESSION:

The Kronos Cloud Services data center features a dual interlock pre-action fire sprinkler system. Two initiating device inputs require heat detection and loss of air pressure to activate water flow into the pipe. Under normal conditions, the sprinkler pipe contains no water.

PHYSICAL SITE:

The data center facility is designed to meet the stringent demands of customers who require the highest levels of workforce management application availability and reliability. To this end, the Kronos cloud infrastructure resides in a physically and logically secure space designed to withstand extreme weather events and prevent unauthorized access. Key structural and design features of the physical facility include:

• Unmarked building with false entrances

• Bulletproof walls and glass throughout the facility

• Vehicle blockades at entrances

• Customized parking lot designs located at a distance from clients’ infrastructure

• Attention to seismic engineering helps to keep potential disasters from interrupting your business operations; for example, racks are anchored to the concrete slab below the site’s raised floor

• Security cameras with digital recorders located throughout the facility and grounds

• On-premise security guards

DATA COMMUNICATIONS:

The Kronos Cloud Services data center provides state-of-the-art networking capabilities, including:

• Multiple points of building access supply diverse physical routes, ensuring a high level of resiliency

• Multiple metropolitan area network (MANs) carriers for point-to-point and dark-fiber connectivity

• N+1 network infrastructure and configuration provides redundancy within each component

• Dual bandwidth BGP options ensure the highest levels of availability

FACILITY MONITORING:

Advanced monitoring tools and systems proactively monitor the data center facility and its critical infrastructure.

• Security: The data center is monitored by on-premise security guards, security systems on the building exterior and numerous security cameras with digital recorders located throughout the property. Biometric systems, including palm scanners, provide strict access control and protect against unauthorized entry.

• Power: Multiple uninterruptible power source (UPS) systems are installed in the data center to eliminate fluctuations and to provide clean, continuous power to your workforce management systems. All power systems are configured to be N+1 redundant to ensure that our customers receive high application availability, security and performance.

• Fire: The latest fire suppression methods, including systems that detect smoke from the earliest stage of combustion, ensure the highest levels of protection and minimize the risk of fire damage. These systems utilize state-of-the-art "sniffer" systems augmented by heat detection and dry-pipe sprinkler systems

• HVAC: The entire HVAC system is controlled by an automated building management system (BMS), which monitors the HVAC system and provides alarm notification to the data center facilities team in the event that potential problems are identified.

NETWORK CONNECTIVITY:

Kronos Cloud Services provides open Internet communications as well as VPN connectivity. MAINTENANCE:

Kronos Cloud Services maintains the equipment specifically related to your Kronos workforce management solution to help ensure high availability and optimal performance. In addition, we provide 24x7 monitoring of network communications, server disk space, CPU utilization and other factors that can significant impact solution performance, and therefore, the end-user experience. Kronos Cloud Services also provides software-related maintenance services. We install application updates, service packs, new software versions, and legislative updates (if applicable), allowing you to take advantage of the latest software features and enhancements while minimizing your risk of noncompliance.

To help ensure exceptional service and ongoing customer satisfaction, every organization using Kronos Cloud Services is assigned an experienced and highly responsive Cloud Customer Manager who:

• Coordinates all planned service changes, such as service pack installations, software upgrades, etc. • Proactively reviews productivity indicators, performance trends, and adherence to SLAs • Provides monthly performance metrics reporting • Serves as your single point of contact for service delivery (technical support issues are handled by

Kronos Global Support)

ADDITIONAL CLOUD SERVICE OFFERING

Kronos Cloud Services customers have the option to purchase additional application services. With the Application Configuration offering, Kronos will make, test, document, and implement a predefined number of changes to your existing configurations, including interfaces, Workforce Genies®, HyperFinds™, and labor levels on a quarterly basis. The number of configuration changes included can scale over time to accommodate increases in employee population or configuration complexity.

SYSTEM BACK-UP AND RECOVERY PROCESSES

Kronos Cloud Services conducts daily, incremental disk–to-disk back-up of customer applications and data. Daily back-ups have a seven-day retention period. We also perform full weekly back-ups with a 28-day retention period. All back-ups are performed during a scheduled maintenance window. All customer applications and data backed up on a daily and weekly basis are replicated off site to the Kronos Cloud Services disaster recovery site in Chicago, Illinois. For security purposes, all data is encrypted in transit when replicated to the off-site environment. Kronos Cloud Services conducts formal tests on a quarterly basis to validate that the back-up is successful and that the data can be restored.

SECURITY POLICIES AND PROCESSES

At Kronos, data security is a top priority. Our Corporate Security Officer is the designated management representative responsible for implementing policies and procedures designed to protect and safeguard customers’ workforce data. Employees who require remote access to the customer’s private cloud must use two-factor authentication to gain access to the environment. Physical and logical access to the Cloud-hosted environment is limited to authorized employees based on their business role. Privileged access is further restricted to a subset of the authorized employees, such as system administrators, and logical access is granted with a named user ID and unique complex password. To reinforce our commitment to security, Kronos employees are required to complete Security and Privacy awareness training within 60 days of hiring and annually thereafter. In addition, Kronos conducts criminal, education and employment background checks on new employees, where permitted by law, to further minimize security risks.

Kronos hosts and manages Cloud customers’ workforce management solutions in a private cloud deployed from a SSAE 16-compliant data center with multi-level physical and logical security features, including:

• Intrusion Prevention System (IPS)/Intrusion Detection System (IDS): Kronos deploys next-generation functionality firewalls which restrict network traffic to authorized traffic. Log monitoring is performed by a third-party monitoring services which does not have physical or logical access to the customer’s data.

• Secure Transmission Sessions: Internet sessions are encrypted suing Secure Socket Layer (SSL)

protocols to secure data while it is in transit. Secure File Transfer Protocol (sFTP) is used to transmit data via pre-authorized client interface transactions.

• Vulnerability Scanning: Kronos conducts vulnerability scanning, evaluates identified risks, and

develops mitigation plans to remove the vulnerability using a third-party commercial tool.

• Antivirus Software: Kronos deploys a third-party, commercially available antivirus solution on servers to prevent viruses and malware from being deployed in the cloud environment.

• Risk Assessment: Kronos conducts an annual risk assessment of the hosted cloud environment to

determine if the control framework achieves the data privacy and data security objectives.

• Incident Management: Kronos maintains an escalation procedure to notify appropriate Kronos management staff and customer contacts in the event of a security incident. The event is worked to resolution and a root-cause analysis is performed.

• Data Destruction: Customer data in the hosted environment is owned by the customer and may only be

destroyed upon authorization by the customer. Data maintained in operational backups is retained for 28 days unless the customer has negotiated an alternate retention period.

CHANGE CONTROL

Kronos Cloud Services has a formal process, backed by automated tools and systems, in place to help ensure that change planning, execution, and follow-through are executed in a controlled and coordinated manner that minimizes disruption to cloud hosting services and ensures timely change management for customers. The Kronos Cloud Services Change Control team receives requests for changes from two sources: Cloud Customer Managers and Kronos Global Support. Your Cloud Customer Manager coordinates all planned changes, including configuration changes and installation of new software versions, service packs, and legislative updates, with our Kronos Cloud Consultants. Kronos Global Support, in the course of troubleshooting a customer issue, may also identify unplanned changes that require prompt attention to bring the issue to resolution. Once a change request submitted to the Change Control team, all planned and unplanned changes are categorized as minor, standard, major, or critical based on urgency level and reviewed by Change Control management. Once approved, the changes are developed, tested, and implemented within the timeframe specified for each category. Standard changes are typically implemented within a five-day period. Kronos Cloud Services follows Standard Operating Procedures (SOP) for all planned changes. Changes are generally applied to the non-production environment prior to a production change request. Certain changes impact more than one customer. In those instances, Kronos Cloud Services issues a Broadcast Message to the planned affected customers.

Upon customer request, the Cloud Customer Manager can review planned and unplanned changes reports during monthly account status calls. Kronos Cloud Services also performs changes required to maintain operating systems and other third-party applications that form the base of the Kronos workforce management platform. Implementation of these changes is carefully scheduled to minimize service disruption especially during critical periods in customers’ payroll cycle. Furthermore, Kronos Cloud Services reviews vendor and third-party security bulletins to identify and recommend necessary patches and apply those that will protect the customer’s security.

INTEGRATION WITH CUSTOMER DATA & APPLICATION ENVIRONMENT

If you are having Kronos® Workforce Integration Manager™ interfaces developed, data integration between cloud-based Kronos applications and other third-party systems is achieved via customer-initiated SFTP file transfers. These transfers enable you to seamlessly and securely move data between systems, such as uploading an employee master file for import into the Kronos workforce management system or downloading a payroll data file each pay period. Although many Kronos Cloud customers automate these processes, automation is not required. Other customized integration and file transfer options are available at an additional cost. Kronos-based username and password authentication is provided. Integration with Active Directory/LDAP may be available depending on your network configuration. Customized Single Sign-On (SSO), which integrates with your existing network or website authentication, may also be available at an additional cost.

OPTIONAL DISASTER RECOVERY

Kronos Cloud Services offers customers the option to purchase Service Level Agreement (SLA) based disaster recovery (DR) services across various Recovery Time Objectives (RTOs) and Recovery Point Objectives (RPOs). Disaster recovery process tests are performed at least annually.

SLA POLICIES AND MANAGEMENT

The purpose of the Service Level Agreement (SLA), a service guarantee between Kronos and your organization, is to set clear customer expectations for service uptime and availability of workforce management solution(s) hosted and delivered by Kronos Cloud Services and to establish financial penalties for our failure to meet those availability promises. The standard Kronos Cloud Services SLA stipulates 99.5% availability of a customer’s hosted workforce management solution(s) and specifies credits paid to the customer if these terms are not met per the SLA. To maintain transparency and ensure adherence to the SLAs, each Kronos Cloud Services customer receives detailed performance and availability metrics from their Cloud Customer Managers on a monthly basis. More frequent reporting can be negotiated in the customer’s contract.

CERTIFICATIONS

Kronos Cloud Services hosts our customers’ virtual and/or physical system environments in a SSAE 16 Type II-compliant data center facility.
