This contract allows for cruisers to be prepared and deployed within only 45 days afler manuraciurer delivery. Currently, theState Police cruiser licet is aging with many vchiclc.s having between 150K -200K miles. This contract enables the StatePolice to replace these vehicles with increased crficiency, providing for the continued performance of the Division's publicsafety mi.s.sion.

4. CONDITIONAL NATURE OF AGREEMENT.
Noiwiihstonding any provision of ihi.s Agreement to thecontrary, all obligations of the Slate hercunder, including,without limitaiion, (he coniinuancr of payments liereundcr, arecontingent upon the availability and comimicd appropriation offund.s affected by any state or federal legislative or executiveaction that reduces, eliminates or otherwise modifies theappropriation or availability of funding for this Agreement andthe Scope for Services provided in EXHIBIT B, in whole or inpan. In no event shall the State be liable for any pnymcnishcrcundcr in excess of such available appropriated funds. In (heevent of a rcduclion or icrminoiion of appropriated funds, theState shall hove the right lo witliJioid payment until such fundsbccontc available, if ever, and shall have the right to reduce orterminate the Services under this Agreement immediately upongiving the Contractor notice of such reduction or termination.The Stale shall not be required to transfer hinds from any otheraccount or source to the Account idcmificd in block 1.6 in theevent funds in that Account arc reduced or unavailable.
5. CONTRACT, PRICE/PRICE LIMITATION/PAVMENT.
5.1 The contract price, method of payment, and terms of paynicntarc idcmificd and more particularly described in EXHIBIT Cwhich is incorporated herein by reference.5.2 The payment by the State of the contract price shall be theonly and the complete reimbursement to the Contractor for allexpenses, of whatever nature incurred hy the Contractor in thepcrlomiance hereof, and .<hall be the only and the complete
compcnsalion to the Contractor for tlic Sci-viccs. The State sliallhave no liability to the Contractor oilier than the contract price.5.3 The State rcscrvc.<! the right to offset from any amouiit.soihcnvisc payable to the Contractcr under this Agreement thoseliquidated amounts required or permitted by N.H. RSA fi0;7through RSA R0:7-c or any other provision of law,5.4 Notwithstanding any provision in this Agreement lo thecontrary, and noiwiihstanding unc.xpcclcd circumstances, in noevent shall ilic total of all payments .authorized, or actually madelicrcundcr, exceed the Price Limitation set forth in block 1.8.
6. COMPLIANCE BY CONTRACTOR WITH LAWS
AND REGULATIONS/ EQUAL EMPLOYMENTOPPORTUNITY.
6.1 In connection with the perfonnancc of the Scr^'iccs, theCuniractor shall comply with all applicable statutes, laws,regulations, and ordci's of federal, stale, county or municipalauthorities which Impose any obligation or duty upon theConiracior, including, but not limited to, civil rights and equalemployment opportunity laws. In addition, if this Agrcctiicni i.sfunded in any part hy monies of (he United States, the Contractor.shall comply with all federal executive orders, rules, regulationsand stnimcs, and with any ru)e.s, icgulatioiis atid guidelines as theSlate or the United States i.ssuc to implement these regulations.The Contractor shall also comply with all applicable intellectualproperly laws.6.2 During the term of this Agreement, the Contractor shall notdiscriminate against employees or applicants for cmploymembecause of race, color, religion, creed, age, sex, handicap, sexualoricntution, or national origin and will lake afTirmative action (uprevent such discrimination.6.3. The Contractor agrees to permit the Slate or United Slatesacces.s to any of the Contractor's books. rccord.s and accounts forthe purpose of asccrlaining compliance with all rules, regulationsand orders, and the*covcuams, terms and conditions of thisAgreement.
7. PERSONNEL.
7.1 The Comraclor shall at ils own expense provide all personnelnecessary to perform the Services. Tlic Coniracior wanams thatall personnel engaged in the Services shall be qualified toperform the Services, and shall be properly licensed andotherwise authorized to do .so under all applicable laws.7.2 Unless otherwise authorized in writing, during the term ofthis Agreement, and for a period of six (6) months after theCompletion Dale in bloek 1.7. the Coniracior shall not hire, and.sltall not permit any .subcontractor or otiicr person, finn orcorpuraiiflii with whom it i.s engaged in a combined effort toperform the Services to hire, any person who is a State employeeor official, who i.s materially involved in the procurement,ndminisiralion or performance of this Agreement. Thisprovision shall survive termination of this Agreement.7.3 The Contracting Officer specified in block 1.9, or his or hersuccc.s,sor. .shall be the State's representative. In the event of anydi.spulc conccming the inicrprciation of this Agreement, theContracting Officer's decision shall be final for the State.

8. EVENT OF DEFAUET/REM EDIES.
8.1 Any one or more of the following acts or omissions of theContractor shall constitute an event of dcfanli hcreundcr ("Eventof I><faul(");
8.El failure to perform the Services satisfactorily or onschedule;
8.1.2 failure to submit any report required licreundcr; and/or8.1.3 failure to perform any other covenant, term or condition ofthis Agreement.8.2 Upon the occurrence of any Event of Dcfauli, the State maytake any one, or more, or all. of the following actions:8.2.1 give the Contractor a written notice specifying the Event ofDefault and requiring it to be remedied within, in the absence ofa greater or les.scr.spccincation of time, thiny (30) days from thedate of the notice; and if the Event of Default is not timely cured,icnninolc this Agreement, effective two (2) days after giving theContractor notice of termination;8.2.2 give the Contractor a written notice specifying the Event ofDefault and suspending all payments to be made under thisAgreement and ordering that the portion of the contract pricewhich would othcnvisc accrue to the Contractor during theperiod from the date of such notice until such lime as the Statedcicnnines that the Contractor ha.s cured the Evem of Default
shall never be paid to (he Contractor;8.2.3 give the Contractor a written notice specifying the Event ofDefault and set off against any other obligations the Stale mayowe to the Contractor any damages the State sulTcrs by reason ofany Event of Default; and/or8.2.4 give the Contractor a written notice specifying the Event ofDefault, treat the Agreement as breached, terminate theAgreement and pursue any of its remedies at law or iu equity, orboth.
8.3. No failure by the State to enforce any provisioits hereof afterany Event of Dcfatilt shall be deemed a waiver of its rights withregard to that Event of Default, or any subsequent Event ofDefault. No express failure to enforce any Event of Default shallbe deemed a waiver of the right of the Slate to enforce each andnil of the provisions licrcof upon any further or other Event ofDefault on the part of the Contractor.
9.TFJIMINAT10N.

shall, within 15 days of notice of early termination, develop and

10. DATA/ACCESS/CONFIDENTIALITY/
PRESERVATION.
10.1 As used iu this Agreement, the word "data" shall mean allinformation and things developed or obiaincd during tlicpcrfonnanee of. or acquired or developed by reason of. thisAgreement, including, but not limited to, all studic.s. reports,flics, formulae, .surveys, maps, charts, sound recordings, videorecordings, ))iciorial reproductions, drawings, analyses, grapliicrcprcscnlniions, computer programs, coi'npuicr printouts, notes,letters, memoranda, papers, and documents, all whcllicrfmisiied or unfinished.
10.2 All data and any property which ha.s been received fromthe Slate or put chased with funds provided for that purposeunder this Agreement, shall be the property of the State, and.shall l>c returned to the Stale upon demand or upon terminationof this Agrccmem for any reason.10.3 Confidentiality of data shall be governed by N.H. RSAchapter 91-A or other existing law. Disclo.sure of data requiresprior written approval of the State.
11. CONTRACTOR'S RELATION TO THE STATE. In the
performance of thi.s Agreement the Coniractor is in all rcspccl.san independent contractor, and is neither an agent nor anemployee of the Slate. Neither the Contractor nor nny of itsofficers, employees, agents or members shall have authority tobind the State or receive any benefits, workers' compcn.«aiion orother emoluments provided by the State to its employees.
12. ASSIGNMENT/DELEGATION/SUDCONTRACTS.12.1 The Contractor shall not assign, or otherwise transfer anyinterest in this Agreement without the prior written notice, whichsliall be provided to the Stoic at least llftccn (15) days prior tothe assignment, and a written consent of the State. For pur]io.scsof this paragraph, a Change of Control shall constituteassigmiicnt. "Change of Control" means (a) merger,consolidation, or a transaction or series of related transactions inwhich a third party, together wiih its affiliates, becomes llicdirect or indirect owner of fifty percent (50%) or more of thevoting sliarcs or similar equity intcre.sts, or combined votingpower of liic Contractor, or (b) the sale of all or substaiuially allof the assets of the Contractor,
12.2 None of the Services shall be subconirncicd by theContractor without prior wi illcn notice and consent of the State.Tlie State is entitled to copies of all subcontracts and assignmentngrecmciji.s and sball not be bound by any provisions containedin a subconiraci or an assignment agreement to wjiich it is not iiparty.
13. INDEMNIFICATION. Unless otherwise exempted by law.the Contractor shall indemnify and hold harmless the State, itsofficers and employees, from and against any and all claims,liabilities and cosl.s for any personal injury or property damages,pnicnt or copyright infringement, or other claims asserted againstthe .State, ii.s officers or employees, which arise out of (or whichmay be claimed to arise out oO the acts or omission of the

Tills covenant in paragraph 13 shall survive theicrntination of this Agreement.
14. INSURANCR.
14.1 The Contractor shall, at its sole cxpcn.sc. obiiiln andcontinuously maintain in force, and .shall require any.subcontractor or assignee to obtain and nioiiitain in foicc, thefollowing in.siirance:
14.1.1 commercial general liability in.suroncc against nil claimsof bodily injury, de.aih or properly damnge, in amounts of notlc.ss than J1,000,000 per occurrence and $2,000,000 aggregateor excess; and
14.1.2 special caasc of loss coverage fomi covering all propertysubject to subparagrnph 10.2 herein, in an amount not less than80% of the whole rcplaccmcni value of the property.14.2 The policies described in subparagraph 14,1 herein shall beon policy forms and endorsemcni.s approved for u.sc in the Stateof New Hampshire by the N.H. Department of Insurance, andissued by tn.stircrs licensed in the Stale of New Hampshire.14.3 The Contractor shall furnish to the Contracting Officeridentified in block 1.9. or his or her successor, a cciiificnlc(s) ofinsurance for all insurance required under this Agreement.C'omrncior shall also funiish to the Contracting Officer identifiedin block 1.9, or liis or her successor, ecrtificatcfs) of insurancefor all rcnewal(s) of iiusurnncc required under this Agreement nolater titan (cn (10) days prior to the expiration date of eachinsurance policy. The ccriificatc(s) of insurance and anyrenewals thereof shall be attached nnd arc incorporated herein byreference.
15. WORKERS' COMPENSATION.
15.1 By signing this agrccmcnl, the Contractor agrees, certifiesand warrants that the Contractor is in compliance with or exemptfrom, the requirements ofN.H. RSA chapter 281-A ("fyorkars'Compen.Uiiinn").15.2 To the extent iltc Contractor is .subject to the requirementsof N.H. RSA chapter 281-A. Contractor shall maintain, nndrequire any subconirncior or assignee to secure and maintain,payment of Workers' Compensation in conitcction withactivities which the person proposes to undertake pursuant to thisAgreement. The Conintcior shall ftirnish the Contracting Ofilccridentified in block 1.9, or hisor hersucces.sor, proof of Workers"Compensation in the manner described in NiH. RSA chapter281-A and any applicable rcncwalfs) thereof, wliich shall beaiiacltcd and arc incorporated herein by reference. The Staleshall rK3i he responsible for payment of any Workers'Compensation premiiim.s or for any other claim or benefit forConiracior, or any subcontractor or employee of Contractor,which inighi arise under applicable State of New HampshireWorkers' Compensation laws in connection with tlicpciformancc of the Services under this Agrccmcnl.
16. NOTICE. Any notice by a parly hereto lo the olhcr patlyshall be deemed to have been duly delivered or given at the timeof mailing by ccnificd mail, postage prepaid, in a United StatesPost Office addressed to the parties at the addics.sc.s given inblocks 1.2 and 1.4, herein.
17. AMENDMENT. This Agreement may be amended, waivedor discharged only by an insirumcnt in writing signed by theparties hereto ai>d only aficr approval of such amendment,waiver or dLschargc by the Governor nnd Hxcciilivc Council ofthe Stale of New Hampshire unless no such approval is requiredunder the circum.sianccs pursuant to State law, nilc or policy.
18. CHOICE OF LAW AND FORUM. This Agreement shall
he governed, intcriMclcd and construed in accordance with thelaws of the Stale of New Hampshire, and is birrding upon andinures to the benefit of the parties and their respective successorsand assigns. The wording used in this Agreement i.s the wordingchosen by the parties to express their muiual inicm, and no ruleof construction shall be applied against or.in favor of any party.Any actions arising out of this Agreement shall be brought anilmaintained in New Hampshire Superior Court which shall haveexclusive jvirisdiciion thereof.
19. CONFLICTING TERMS. In the event of a conllicibetween the terms of this P-37 fonn (as modified in RXHIBIT
A) and/or alloehmcms and amendment thereof, the terms of theP-37 (as modified in EXHIDIT A) shall control.
20. THIRD PARTIES. The parties hereto do not intend tobenefit any third panics and (his Agreement shall not becousinicd to confer any .such benefit.
21. HEADINGS. The headings throughout the Agrccmcnl arcfor reference purposes only, and the words contained thereinshall ill no way be held to explain, modify, amplify or aid in theinterpretation, construction or meaning of the provisions of thisAgrccmcnl.
21. SPECIAL PROVISIONS. Additional or modifyingprovi.sion.t set forth in ihc attached EXHIBIT A arc incorporatedherein by reference.

SCOPE OF SERVICES
MHO, Inc. (Contractor} of 40t Elm Street, Moriborough, MA 01752 (VC#1613I7-B00I) is beingcontracted by the Department of Safety. Division of State Police (State Agency) for the provision ofpainting, decaling'and installirSg all required equipment to prepare NH State Police vehicles-fordeployment.
The contract"will become effective upon Governor and Council approval through June 30, 2022. TheState Agency shall have the right to terminate the contract at any time by giving the Contractor athirty (30) day written notice. '
Scope of Services:
The scope of services shall include the following:
Paint Specifications for State Police Vehicles:
Each vehicle will have been pointed black by the manufacturer and will be repainted in conformancewith the color scheme below:
Contractor shall utilize a paint application system and painting area, which meets applicable safetyand environmental requirements. Each vehicle shall be painted in a downdraft spray booth capableof baking the base/clear coat finish lor a minimum of thirty (30) minutes upon reaching a surfacetemperature of 140 degrees.
The application system must be able to produce a color and finish comparable to that of the originalmanufacturer's finish. The base coat will be Ivy Green shall be Dupont 4814 or approved equol andthe Rose Metallic shall be Dupont 7205 or approved equal. The State Agency shall supply color matchsamples; Contractor shall be responsible to provide exact match of the samples provided. All paintand clear coat products must be an approved product of the vehicle manufacturer. Eoch vehiclemust be prepped in accordance with vehicle and point manufacturer's specification prior to painting.All vehicle door panels and rubber seols to be removed prior to painting. Door panels shall bereinstalled after painting and oppropriaie curing. All door seals shall be replaced with OEM productsand reinstalled after painting and appropriate curing. Under hood components to be removed andreinstalled. Under trunk lid components to be removed and reinstalled. All door jams, under hood endunder trunk lid to be painted Ivy Green. Rose Metallic base coat to be 3/16" lo 'A" under/into adjoiningponels. The Chevrolet Tohoe/ Dodge Durongo SUV's require the rear gate glass to be removed andreinstalled.

The following items will be removed and re-installed when relinishing each vehicle; grills, headlamps,toil lamps, nameplates ond emblems. The "Charger", and "AWD" emblems located on the trunk lid, donot re-install once paint completed.
Prior to commencing uplifting work, the Contractor shall provide color match test cards for approvalfor both the Ivy Green end Rose Metallic colors. A perfect match to NHSP fleet is required.
Subcontractors
The Contractor shell identify all Subcontractors required to deliver required Services subject to the termsand conditions of this RFP.
The Contractor shall remain wholly responsible for performance of the entire Contract regardless ofwhether a Subcontractor is used. The State Agency will consider the Contractor to be the sole pointof contoct with regard to all contractual matters, including payment of any and all charges resultingfrom any Contract.
At the time of submission, MHQ, Inc. has identified one sub-contractor for this project. RCHTransportation will be responsible for the transport of completed vehicles to NHSP/Concord. RCHTransportation is fully insured and gone through an internal process by the Contractor. The companyinformation is as follows:

Balance of Product Line
For the term of this contract and any/all extensions thereof, the Contractor and State Agency shatiannually review the upfitting equipment to confirm and/or modify any equipment changes that arerequired by the State Agency due to: (1) manufacturer model changes; (2) technology changes; (3)Officer sofety requirements: (4) other business requirements as required by the Colonel of NH StatePolice.
Such annual review shall be conducted at minimum of sixty (60) days prior to the annual delivery ofvehicles to be upfitted for that State Fiscal Year.
Any /all costs decreases or increases shall be negotiated and ogreed to by the State Agency andContractor. Written Change Orders will be required prior to any build or equipment changes are
• effected.
Returned Goods
The Contractor must resolve all order and Invoice discrepancies within five (5) business days fromnotification. Products returned due to quality issues, duplicate shipments, over-shipments, etc. must bepicked up by the successful Contractor within five (5) business days of notification witli no restocking

Vehicle Delivery / Pick-up / Storage for New Vehicles
The State Agency will seek to hove new vehicles drop shipped from manufacturer directly toConlraclor. In Ihe event that is not possible, in whole or in part. Controctor shall pick up the newvehicles to the location below. Upon the completion.of the upfitling. Ihe Contractor shall deliver thevehicles at the location listed below using o flatbed/ carrier, The vehicles cannot be driven on a publicroadway. Transportation provider must be fully insured, minimum two {2) vehicles, maximum six (6).
F.O.B.: PICK UP AND DELIVERY POINT:

The Contractor shall have a storage location to house the vehicles during production so as to preventtheft and damage and any cost due to loss or domoge to properly will be the liability of theContractor.
Vehicle Up-fitting / Time Line
Once awarded, the State Agency shall facilitate a "Pre-Build" meeting with the Contractor to reviewupfit requirements as defined by RFP DOS 2020-04. At Pre-Build meeting Contractor shall provide colormatch test cards for approval for both the ivy Green and Rose Metallic colors. A perfect match toNHSP fleet is required.
Wilhin thirty (30) calendar days of the Pre-Build meeting. Contractor will set up one (I) Dodge Chargerand one (1) Chevrolet Tahoe for review/inspection and approval. At least one of these vehicles will beo K9 build, the State Agency will define both builds prior to the Pre-Build meeting. Upon State Agency'sapproval, Contractor will commence upfitling of annual upfitting as per the Specific VendorExperience / Qualifications listed.
As-Built Documents
Upon completion of the first annual upfilting, the Contractor will provide al no additional cost to theState Agency, as-built documents for each build type in electronic and hardcopy color form (4copies). Such as-built documents sholl include, but are nol limited to: (1) wiring schematics; (2)photographs of all interior and exteriors. Such photographs shall be of sufficient quality to allow theviewer to identify equipment, installation and any unique features or installation requirement. Draft ofas-builts shall be provided within fifteen (15) business days after the last vehicle is accepted by the

Stofe Agency. State Agency shall review and relurn draft with appropriote comments within ten (10)business days. Contractor shall submit final soft and hardcopies within ten (10) days thereafter.
Equipment and Labor Warranties
All Contractor installed equipment shall be warrantied for five (5) full yeors from date of State Agency'sreceipt on all parts and labor. All installed cruiser graphics shall be warrantied for (5) full years fromdate of State Agency receipt.
The Contractor has identified the following os their Aftermarket Equipment Warronty
• MHQ, Inc. products are covered by the manufacturer's warranty for the maximum timestated, (minimum of 5 years) from date of purchase, with proof of purchase. In accordancewith the policy statement described herein, the unit may be returned directly to, MHQ forwarranty consideration.
• MHQ, Inc. warrants products against defects in material end workmanship. This is providedthat the product has been installed and operated in accordance with the manufacturer'srecommendations. During the warranty period MHQ will repair or replace (at Its option) anyparts or electronic assemblies of the unit which disclose a defect in material or workmanship.MHQ will return the repaired unit, transportation cost prepaid. No prior authorization isrequired for returning products for warranty consideration. Every product sold is coveredonly by the official warranty in effect at time of purchase.
• MHQ vAW also mointoin in our inventory. 5% of the overall order in "spares". This will allow forimmediate replocement and ensure the NHSP fleet is always operationolly ready.
• This warranty is not applicable to any product that has failed due to abuse, misuse,excessive voltages, or alterations to the product that affects, in the manufacturer'sjudgment, intended use and service.
• Additional extended warranties may be ovailobie where applicable, please consult yourMHQ representative for odditionai information.
• In addition. MHQ. Inc. will provide on-site warranty services to the NHSP. In the event avehicle needs to be returned to MHQ, Inc. for warranty services. MHQ, Inc. will incur the costof transportation to end from the location via carrier,
• MHQ, Inc. will manage all aspects of the warranty management. This will be recorded andshared with the NHSP on a regular basis. Below is a sample of the Warranty MonagementTracking:
