1. Google Cultural Institute adalah bagian dari Google yangmengkhususkan pada website tentang Museum, Bangunan CagarBudaya (BCB), Situs dan Perpustakaan IImiah. Oalam websitetersebut, disebarluaskan tentang isi dan sejarah Museum, BCB, Situsdan Perpustakaan IImiah secara detail setiap area di dalamnya denganpanduan Google Maps. Oi dalamnya juga dapat terlihat :a. jumlah dan siapa saja yang berkunjung ke Website Museum, BCB,

Situs dan Perpustakaan IImiahb. pengumuman dari pengelola Museum, BCB, Situs dan

c. tanya jawab, saran dan kritik dari pengunjung website2. Google Cultural Institute berkeinginan untuk memasukan Monas ke

dalam program tersebut. Keinginan tersebut tumbuh dari hasH programKemendikbud RI bersama Google Maps untuk membuat jalurpengunjung ke Monas.

3. Benefit dari keikutsertaan Google Cultural Institute adalah :a. Lebih mudah untuk dikenal oleh duniab. Mudah untuk digunakan, tersedia dalam mobile aplicationc. Oapat ~emasukan data, pengumuman kepada dunia internasional

3. Background Google's Cultural Institute. including the Art Project and World WondersProject. is an online platform that gives museums, archives and othercultural institutions the ability to upload their cultural assets for display onthe Internet.

Institutions can also permit Google to collect images and data at theirproperty for display and use on the platform (including 3D models ofphysical assets, panoramic images, fioor plans and ultra high-resolutionimages).

Terms and Conditions

This content hosting and services agreement consists of the Information Table, these terms andconditions and any attachments (together the "Agreement").

1. Definitions

1.1 In this Agreement, the following definitions apply. In addition, all terms in Quotation marksin the Information Table are defined terms in this Agreement.

(a) "Confidential Information" means information that one party (or an affiliate)discloses to the other party under this Agreement, and that is marked asconfidential or would normally be considered confidential information under thecircumstances. It does not include information that the recipient already knew,that becomes public through no fault of the recipient, that was independentiydeveloped by the recipient, or that was lawfully given to the recipient by a thirdparty.

(b) "location Data" means the GPS data (including BSSID I WiFi access point data,MAC address and signal strength) that may be used to identify locations atProvider's property. For example, location Data may be used to help visitors toProvider's property locate themselves on fioor plans.

(c) "Platform" means the Google Culturai Institute, including the Art Project andWorld Wonders Project, (as may be renamed from time to time) and relatedGoogle products and services that make cultural material availabie andaccessible to Users.

(d) "Users" means users of Google products and services, including users ofGoogle APis.

1.2 In this Agreement, (a) "including" means "including but not limited to," and (b) examplesare illustrative and not the sole examples of a particular concept.

2. Content Hosting Services

2.1 Hosted Services. Google grants Provider access to the Platform to upload or submitPlatform Content.

2.2 Editorial Control. Provider is responsible for the selection and organization of PlatformContent, and has sole editorial control of the Platform Content.

2.3 License for Cultural Assets. If this Agreement applies to any Cultural Assets, then Providergrants to Google a non-exclusive, worldwide, sublicensable (under Section 2.9 (Sublicensing))license to use the Cultural Assets for the purpose set out in Section 2.6 (Purpose).

2.4 License for Museum View Images. If this Agreement applies to any Museum View Images,then Provider grants to Google a non-exclusive, worldwide, sublicensable (under Section 2.9(Sublicensing)) license to use within the Museum View Images any depictions of physicalassets in Provider's collection for the purpose set out in Section 2.6 (Purpose). For example,Google may display Museum View Images that depict artwork from Providers collection.

2.5 License for 3D Models and Gigapixellmages. If this Agreement applies to any 3D Modelsor Gigapixel Images, then the following will apply:

(a) Assignment. On the date that Google first makes the 3D Models and GigapixelImages available to Users through the Platform, Google assigns to Provider all of Google'sright, title, and interest in the 3D Models and Gigapixel Images.

(b) Exclusive License. On the Effective Date, Provider grants to Google an irrevocable,exclusive, worldwide, sub-licensable (under Section 2.9 (Sublicensing)) license for the periodfrom the date of assignment until the expiry of the Initial Term to use the 3D Models andGigapixel Images that Provider sUbmits to Google for the purpose set out in Section 2.6(Purpose). The word "exclusive" in this Section does not prevent Provider from using the 3DModels or Gigapixel Images on its own websites or in its exhibits and displays.

(c) Non-exclusive License. On the Effective Date, Provider grants to Google anirrevocable, non-exclusive, worldwide, sub-licensable (under Section 2.9 (Sublicensing)) licensefor the period from the expiry of the Initial Term and continuing for the duration of the applicableintellectual property rights to use the 3D Models, Gigapixel Images, and related information (forexample, curatorial notes) that Provider submits to Google for the purpose set out in Section2.6 (Purpose).

(d) Conditions. Provider will not alter or remove any notices that Google places on or inthe 3D Models or Gigapixellmages. Provider will, and will require its sublicensees to, include ina readable font the following notices:

(i) "Image by Google", adjacent to any display of the Gigapixellmages; and

(ill "Made using Google 3D scanning technology", adjacent to any display of the 3DModels.

2.6 Purpose. Google may exercise the licenses granted in this Agreement:

(a) to operate and promote the Platform; and

(b) to enable Users to find Platform Content on the Platform.

2.7 Content Protection. Google will not offer any features designed to enable Users todownload the 3D Models, Cultural Assets, or Gigapixellmages from the Platform.

2.8 Removal of Platform Content.

(a) Google Take-Down Rights. While Google neither undertakes nor intends to monitorPlatform Content:

(i) if Google is notified or otherwise determines that Platform Content infringes athird party's intellectual property rights, Google may take appropriate action, including removingPlatform Content and terminating Provider's access to the Platform, without liability to Provider;and

(ii) Google may take down from the Platform any Platform Content that Provideruploads in breach of the warranties set out at Section 3.2.

(b) Provider Take-Down Rights. Provider will use commercially reasonable efforts tomaintain as much Platform Content on the Platform as possible. However, Provider may:

(i) use Google's online content upload system to take down Cultural Assets, 3DModels and Gigapixellmages; and

(ii) use Google's online tools to request take-down of Museum View Images.

2.9 Sublicensing. Google may sublicense the rights granted in this Agreement to its:

(a) affiliates; and

(b) Users (to the extent necessary to permit them to use Googie products and services).

2.10 Retention of Rights.

(a) Provider retains all rights in Cultural Assets.

(b) Google retains all rights in:

(i) Google products and services and any content created, submitted or used inconnection with Google products and services, including (x) User-generated content; and (y)subject to Section 2.5, Google-created content (for example, Museum View Images, Floor PlanData, and Location Data); and

(ii) any Google equipment, technology, and processes used to process, store, andcreate the 3D Models.

2.11 No Other Restrictions. Nothing in this Agreement:

(a) requires Google to use any Platform Content in Google products or services;

(b) restricts Googie from using content it obtains elsewhere; or

(c) restricts Google from exercising any rights it has at law (including under the U.S.Copyright Act).

2.12 Fees.

(a) No fees or other payments apply to the Platform Content.

(b) Google will not charge fees for, display advertisements alongside, or otherwisemonetize Piatform Content on the Cultural Institute websites.

2.13 Property Access. If this Agreement applies to any Museum View Images, Floor Plan Data,or Gigapixel Images:

(i) at least 30 days before agreed data collection days, Provider will provide Google withthe property access information set out in Attachment A;

(ii) Provider grants to Google and its agents a license to (i) enter Provider's property onagreed collection days and (ii) collect the data required to create the Museum View Images,Floor Plan Data, and Gigapixel Images, including relevant Location Data.

(iii) a Provider delegate must be present at all times from arrival to departure of thecollection team, and will provide the collection team with identity cards upon arrival;

(iv) each party will have in full force and effect commercially reasonable general liabilityinsurance; a

(v) Google will abide by Provider's property access rules.

During the Term, at Provider's discretion, Provider can request an invitation to join theGoogle Open Gallery (located at htlp:/Iwww.google.com/opengallery or such other URL asGoogle may designate). The Google Open Gallery allows Google's partners to embed theCullurallnstitute experience and functionality on partners' website(s) and application(s), subjectto the Google Open Gallery's terms of service and completion of the necessary technicalintegration specified by Google.

3. Representations and Warranties

3.1 By Both Parties. Each party represents and warrants that it has full power and authority toenter into this Agreement.

3.2 By Provider. Provider represents and warrants that it has and will retain all necessaryrights to grant the licenses in this Agreement.

3.3 Disclaimers. THE PARTIES' ONLY REPRESENTATIONS AND WARRANTIES UNDERTHIS AGREEMENT ARE EXPRESSLY SET OUT IN THIS SECTION 3 (REPRESENTATIONSAND WARRANTIES). SUBJECT TO SECTION 5.3 (EXCEPTIONS TO LIMITATIONS), THEPARTIES DISCLAIM ALL OTHER REPRESENTATIONS AND WARRANTIES (EXPRESS ORIMPLIED), INCLUDING ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR APARTICULAR PURPOSE.

4. Indemnities

4.1 Obligations. Provider will indemnify Google and Google's affiliates, directors, officers,employees, and Users against all liabilities, damages, losses, costs, fees (including legal fees),and expenses relating to any allegation or third-party legal proceeding to the extent claimingthat use of any content licensed to Google by Provider under this Agreement infringes orviolates the third party's intellectual property or other rights.

4.2 Exclusions. Section 4.1 (Obligations) will not apply to the extent the underlying allegationarises from Google's breach of this Agreement or from modifications or combinations of anylicensed content that were not provided or authorised by Provider.

5. limitations of liability

5.1 Liability. IN THIS SECTION 5 (LIABILITY), "LIABILITY" MEANS ANY LIABILITY,WHETHER UNDER CONTRACT, TORT, OR OTHERWISE, INCLUDING FOR NEGLIGENCE.

5.2 Limitations. SUBJECT TO SECTION 5.3 (EXCEPTIONS TO LIMITATIONS):

(a) NEITHER PARTY WILL HAVE ANY LIABILITY ARISING OUT OF OR RELATINGTO THIS AGREEMENT OR THE PLATFORM CONTENT FOR:

(i) THE OTHER PARTY'S LOST REVENUES;

(ii) EXEMPLARY OR PUNITIVE DAMAGES; OR

(iii) ANY SPECIAL. INDIRECT, INCiDENTAL, OR CONSEQUENTIAL LOSSES(WHETHER OR NOT FORESEEABLE OR CONTEMPLATED BY THE PARTIES AT THEEFFECTIVE DATE); AND

(b) EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATINGTO THIS AGREEMENT OR THE PLATFORM CONTENT IS LIMITED TO US$10,OOO. THISSUBSECTION (b) DOES NOT REDUCE ANY AMOUNTS THAT EITHER PARTY'SINSURANCE POLICIES COVER FOR LIABILITY INCURRED UNDER THIS AGREEMENT.

5.3 Exceptions to Limitations:NOTHING IN THIS AGREEMENT EXCLUDES OR LIMITSEITHER PARTY'S LIABILITY FOR:

(a) DEATH OR PERSONAL INJURY RESULTING FROM ITS NEGLIGENCE OR THE"NEGLIGENCE OF iTS EMPLOYEES OR AGENTS;

(b) FRAUD OR FRAUDULENT MISREPRESENTATION;

(c) ITS OBLIGATIONS UNDER SECTION 4 (INDEMNITIES);

(d) BREACH OF SECTION 6.1 (CONFIDENTIALITY); OR

(e) MATTERS FOR WHICH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDERAPPLICABLE LAW.

6. Confidentiality; Publicity

6.1 Confidentiality. The recipient will not disclose the discloser's Confidential Information,except to affiliates, employees, agents or professional advisors who need to know it and whohave agreed in writing (or in the case of professional advisors are otherwise bound) to keep itconfidential. The recipient will ensure that Ihose people and entities use the ConfidentialInformation only to exercise rights and fulfil obligations under this Agreement, and that theykeep it confidential. The recipient may also disclose Confidential Information when required bylaw after giving reasonable notice to the discloser, if permitted by law.

6.2 Publicity. Neither party may make any public statement regarding this Agreement withoutthe other's prior written approval.

7. Term and Termination

7.1 Agreement Term. This Agreement will start on the Effective Date and continue for theAgreement Term.

7.2 Termination.

(a) Either party may terminate this Agreement immediately on written notice if the otherparty:

(i) is in material breach of this Agreement and fails to cure that breach within 30days after receiving written notice from the first party identifying the breach; or

(ii) is unable to meet its obligations under this Agreement for more than 30 daysdue to force majeure.

(b) Either party may terminate this Agreement for convenience at any time on 30 days'written notice.

7.3 Effects of Termination. On expiration or termination of this Agreement for any reason(contractual or otherwise):

(a) If the applicable Platform Content license term is the same as the Agreement Term,Google and its Users may:

(i) continue to use the applicable Platform Content for a 3D-day wind-down periodwhile it removes that Platform Content from the Platform; and

(ii) continue to use Platform Content that was incorporated into fixed media inaccordance with this Agreement, solely as incorporated in the fixed media, for as long as thatfixed media exists. Examples of "fixed media" include screenshots of Google products orservices in print or video, DVDs, and other media that·it would not be reasonably practical torecall.

(b) If the applicable Platform Content license term is longer than the Agreement Term,then the license will survive for the license term.

(c) Sections 3 (Representations and Warranties) through B (General) of this Agreemenr(and any other sections that under their terms or by implication ought to survive) will survive.

8. General

8.1 Notices. All notices of termination or breach must be in writing and addressed to the otherparty's Legal Department. All other notices must be in writing and addressed to the other party'sprimary contact. Notice will be treated as given on receipt, as verified by written or automatedreceipt or by electronic log (as applicable).

8.2 Affiliates. Consultants and Contractors. Google may use its affiliates, consultants andcontractors in connection with the performance of its obligations and exercise of its rights underthis Agreement, provided that those parties are subject to the same obligations as Google.

8.3 Assignment. Neither party may assign any part of this Agreement without the writtenconsent of the other, except to an affiliate where: (a) the assignee has agreed in writing to bebound by the terms of this Agreement; (b) the assigning party remains liable for obligationsunder the Agreement if the assignee defaults on them; and (c) the assigning party has notifiedthe other party of the assignment. Any other attempt to assign is void.

8.4 Change of Control. If a party experiences a change of control (for example, through astock purchase or sale, merger, or other form of corporate transaction): (a) that party will givewritten notice to the other party within 30 days after the change of control; and (b) the otherparty may immediateiy terminate this Agreement any time between the change of control and30 days after it receives that written notice.

8.5 Force Majeure. Neither party will be liable for failure or delay in performance to the extentcaused by circumstances beyond its reasonable control.

8.6 No Waiver. Neither party will be treated as having waived any rights by not exercising (ordelaying the exercise of) any rights under this Agreement.

8.7 No Agency. This Agreement does not create any agency, partnership or joint venturebetween the parties.

8.8 No Third-Party Beneficiaries. This Agreement does not confer any benefits on any thirdparty unless it expressly states that it does.

8.9 Counterparts. The parties may execute this Agreement in counterparts, including facsimile,PDF, and other electronic copies, which taken together will constitute one instnument.

8.10 Amendments. Any amendment must be in writing, signed by both parties, and expresslystate that it is amending this Agreement.

8.11 Entire Agreement. This Agreement supersedes all other agreements between the partiesrelating to its subject matter.

8.12 Severabilitv. If any term (or part of a term) of this Agreement is invalid, illegal orunenforceable, the rest of the Agreement will remain in effect.

8.13 Conflicting Languages. If this Agreement is translated into any other language, and thereis a discrepancy between the English text and the translated text, the English text will govern.

8.14 Goveming Law (a) ALL CLAIMS ARISING OUT OF OR RELATING TO THISAGREEMENT OR ANY RELATED GOOGLE PRODUCTS OR SERVICES (INCLUDING ANYDISPUTE REGARDING THE INTERPRETATION OR PERFORMANCE OF THEAGREEMENT) ("DISPUTE") WILL BE GOVERNED BY THE LAWS OFTHE STATE OFCALIFORNIA, USA, EXCLUDING CALIFORNIA'S CONFLICTS OF LAWS RULES.

(b) The parties will try in good faith to settle any Dispute within 30 days after the Disputearises. If the Dispute is not resolved within 30 days, it must be resolved by arbitration by theAmerican Arbitration Association's International Centre for Dispute Resolution in accordance

with its Expedited Commercial Rules in force as of the date of this Agreement ("Rules").

(c) The parties will mutually select one arbitrator. The arbitration will be conducted in Englishin Santa Clara County, California, USA.

(d) Either party may apply to any court having jurisdiction for injunctive relief necessary toprotect its rights pending resolution of the arbitration. The arbitrator may order equitable orinjunctive relief consistent with the remedies and limitations in this Agreement.

(e) Subject to the confidentiality requirements in Subsection (g), either party may petition anycourt of competent jurisdiction to issue any order necessary to protect that party's rights orproperty; this petition will not be considered a violation or waiver of this goveming iaw andarbitration section and will not affect the arbitrator's powers, including the power to review thejudicial decision. The parties stipulate that the courts of Santa Clara County, California, USA,are competent to grant any order under this Subsection (e).

(I) The arbitral award will be final and binding on the parties and its execution may bepresented in any court of competent jurisdiction, including any court with jurisdiction over eitherparty or any of its property.

(g) Any arbitration proceeding conducted in accordance with this Section will be considered"Confidential Information" under this Agreement's confidentiality section, including (i) theexistence of, (ii) any information disclosed during, and (iii) any oral communications ordocuments related to, the arbitration proceedings. The parties may disclose the informationdescribed in this Subsection (g) to a competent court as may be necessary to file any orderunder Subsection (e) or execute any arbitral decision, but the parties must request that thosejudicial proceedings be conducted in camera (in private).

(h) The parties will pay the arbitrator's fees, the arbitrator's appointed experts' fees andexpenses, and the arbitration center's administrative expenses in accordance with the Rules. Inits final decision, the arbitrator will determine the non-prevailing party's obligation to reimbursethe amount paid in advance by the prevailing party for these fees.

(i) Each party will bear its own lawyers' and experts' fees and expenses, regardless of thearbitrator's final decision regarding the Dispute.

(c) Floor plans of the property (indicating the areas in which Google will be permittedaccess);

(d) Address for equipment delivery and (if different) where the collection team will reporton agreed collection days;

(e) Detailed information about floor types of the property (e.g., rugs, carpets, non-levelsurfaces, doorways with low clearance, areas only accessible by stairs, etc,);

(f) Notice of any required permissions or special conditions (e.g., visiting hours andcrowd control);

(g) For 3D Models and Gigapixellmages only, the title and author of the artworks to bephotographed, along with their size and whether protected by glass.

B. Platform Content

The following sections only apply if selected in the Information Table.

1. Cultural Assets

(e) GQQgle may use any feedback provided by PrQvider regarding the ScanningEquipment and Model Viewer Qn an unlimited, free-of-charge basis.

4.4 Delivery. GQQgle will deliver the Scanning Equipment and its use instructiQns to theProvider's property at GQQgle's CQst and risk.

4.5 Damage. After delivery, PrQvider will be respQnsible fQr use and prQtectiQn Qf theScanning Equipment and will reimburse GOQgle fQr the replacement CQst Qf any IQst Qrdamaged Scanning Equipment.

4.6 Return. GOQgle may request the return Qf the Scanning Equipment at any time.GQQgle will provide PrQvider with a prepaid label Qr arrange fQr the pickup Qf theScanning Equipment at GQQgle's expense. Provider will pack the Scanning Equipment inits Qriginal packaging and ensure its safe return. If GQogle provides PrQvider with aprepaid label, Provider will ship the Scanning Equipment to Google within five days ofreceipt Qf the label.

4.7 UplQaded MQdels and InformatiQn. Where available, PrQvider will prQvide thefQIIQwing within 14 days of the date it uploads the 3D MQdels:
