1. The Kenya Medical Supplies Authority (KEMSA) is a state corporation whose mandate is to procure, warehouse, and distribute medical commodities to all public and selected non- governmental health facilities in Kenya.
2. KEMSA invites tenders for Provision of Courier Services for Medical Products to various Health Facilities Countrywide for the FY 2019/2022 as follows:
3. Bidding will be conducted through the procedures specified in the Public
Procurement and Asset Disposal Act (PPADA) 2015 and is open to all bidders.

8. Late bids, portion of bids, Electronic Bids, Bids not received, bids not opened and
not read-out in public at the bid open ceremony shall not be accepted for evaluation irrespective of circumstances.

SECTION 1: GENERAL INFORMATION 3.1 Introduction The following general information and instructions should be read carefully prior to completing your tender, together with any instructions specific to this invitation 3.2 Eligible Tenderers 3.2.1 This Invitation to Tender for Provision of Courier Services is open to all tenderers
eligible as described in the tender documents. Successful tenderers shall provide the services for the stipulated duration from date of commencement (hereinafter referred to as the term) specified in the tender documents.
3.2.2 Tenderers shall provide the qualification statements that the tenderer (including
all members of a joint venture or subcontractors) is not associated or have not been associated in the past, directly or indirectly, with a firm or any of its affiliates which have been engaged by KEMSA to provide consulting services for the preparation of the design, specifications and other documents to be used for the procurement of the services under this Invitation to Tender.
3.2.3 Tenderers shall not be (including all members of a joint venture or
subcontractors) under a declaration of ineligibility for corrupt and fraudulent practices.
3.3 Eligible Vehicles and Equipment 3.3.1 All vehicles and equipment to be utilized should be eligible for the services
provided, when required to transport the goods to the point of delivery. 3.4 Cost of Tendering 3.4.1 The tenderer shall bear all costs associated with the preparation and submission
of this tender and KEMSA will in no case be responsible or liable for those costs, regardless of the conduct or the outcome of the tendering process.
The Tender Document 3.5 Contents 3.5.1 The tender document comprises the documents listed below and any addenda
issued in accordance with these instructions to tenderers.

3.5.2 The tenderer is expected to examine all instructions, forms, terms and
specifications in the tender documents. Failure to furnish all information required by the tender documents or to submit a tender not substantially responsive to the tender documents in every respect will be at the tenderers risk and may result in the rejection of the tender
3.6 Clarification of Documents 3.6.1 A prospective tenderer requiring any clarification of the tender document may
notify KEMSA in writing or email ([email protected]) at the address indicated in the invitation for tenders. KEMSA will respond to any request for clarification, which it receives in the tender documents,received not later than seven (7) working days prior to the deadline for the submission of tenders prescribed by KEMSA.
3.7 Amendment of Documents 3.7.1 At any time prior to the deadline for submission of tenders, KEMSA, for any
reason, whether at its own initiative or in response to a clarification requested by a prospective tenderer may modify the tender documents by amendment.
3.7.2 All prospective tenderers who have received the tender documents will be
notified of the amendment in writing or by Email, and such amendment will be binding on them.
3.7.3 In order to allow prospective tenderers reasonable time in which to take the
amendment into account when preparing their tenders, KEMSA at its discretion may extend the deadline for the submission of tenders. Bidders will be notified of any such extension.
Preparation of Tenders 3.8 Language of Tender 3.8.1 The tender prepared by the tenderer, as well as all correspondence and
documents relating to the tender exchanged by the tenderer and KEMSA shall be written in English language, provided that any printed material furnished by the

tenderer may be written in another language provided that they are accompanied by an accurate English translation of the relevant passages in which case for purposes of interpretation of the tender, the English translation shall govern.
3.9 Documents comprising the Tender 3.9.1 The tender prepared by the tenderer shall comprise of the following components:
(i) A tender form and price schedule completed in accordance with paragraph 9,
10 and 11 below.
(ii) Documentary evidence established in accordance with paragraph 12 that the
tenderer is eligible to tender and is qualified to perform the tender if the
tender is accepted
(iii) Tender security furnished in accordance with paragraph 14
(iv) Confidential Business Questionnaire
3.10 Tender Form 3.10.1 The tenderer shall complete the tender form and the appropriate price schedule
furnished in the tender documents indicating the services to be performed and prices
3.11 Tender Prices 3.11.1 Courier services will be provided from three distribution centres namely; Nairobi, Kisumu and Mombasa to designated health facilities. Bidders must bid for all the three regions. Distribution from each distribution centre is divided into three zones: Zone Zone A (1-250km), Zone B (251-500km) and Zone C (above 500km). Bidders are required to quote for all the three zones. In each zone the bidders are required to give a rate for the first fifty (50) kgs and a rate for an extra kg above 50kg. The cost of delivery will be based on consolidated load to each zone and not to individual facilities in the zone. The rate for the first fifty (50) kg will apply only once in each zone where a bidder is required to make delivery to more than one facility in a zone and the same will apply to subsequent zones. Further details on price bidding requirements can be seen in Section 13 (Price Schedules). 3.11.2 The prices indicated on the price schedules shall be the cost of the services
quoted including all customs duties and VAT and all other applicable taxes/costs.
3.11.3 Unit prices quoted by the tenderer shall be fixed during the term of the contract
unless adjustment is provided for in the contract.

3.12 Tender Currencies 3.12.1 Prices shall be quoted in Kenyan Shillings 3.13 Tenderers Eligibility and Qualifications 3.13.1 Pursuant to paragraph 1 of section C, the tenderer shall furnish as part of its
tender, documents establishing the tenderers eligibility to tender and its qualifications to perform the contract if the tender is accepted.
3.13.2 The documentary evidence of the tenderers qualifications to perform the contract
shall establish to KEMSA’s satisfaction that the tenderer has the financial and the technical ability necessary to perform the contract.
3.14 Conformity to Tender Document 3.14.1 Pursuant to paragraph 2 of this section, the tenderer shall furnish, as part of its
tender documents establishing the eligibility and conformity to the tender documents the tenderer proposes to use under the contract and shall consist of:
3.14.2 A clause by clause commentary on KEMSA’s requirement demonstrating
substantial responsiveness of the services to those requirements or a statement of deviations or exceptions to the provisions of the tender requirements.
3.14.3 Contact addresses of at least 3 previous firms that the transporter has rendered
similar services to over the last three years including at least one firm of which must specifically relate to transportation of medical supplies and related parcels.
3.14.4 A list giving full particulars of vehicle fleet, registration numbers, make, load
carrying capacity, insurance and license expiry dates, VAT Registration Certifica te, PIN Certificate, and a Valid Trade License. 3.14.5 Copies of any quality or performance management certification achieved and
maintained by the tenderer. 3.14.6 A valid licence from the Communication Commision of Kenya / any other
relevant licences 3.15 Tender Security 3.15.1 The tenderer shall furnish, as part of its tender, a tender security in the sum indicated in the special conditions which must be delivered together with the tender documents on or before the tender closing date and time. 3.15.2 The tender security is required to protect KEMSA against the risk of the
tenderer’s conduct, which would warrant the security’s forfeiture pursuant to paragraph 14.7

3.15.3 The tender security shall be denominated in Kenya Shillings and shall be in the form of an on-demand bank guarantee issued by a reputable bank in Kenya, in the form provided in the tender documents or any other form acceptable to KEMSA and valid for 30 days beyond the validity of the tender.
3.15.4 Any tender not secured in accordance with paragraph 14.1 and 14.3 will be
rejected by KEMSA as non-responsive-pursuant to paragraph 22. 3.15.5 Unsuccessful tenderer’s tender security will be discharged or returned as
promptly as possible, but not later than 30 days after the expiration of the period of tender validity prescribed by KEMSA.
3.15.6 The successful tenderer’s security will be discharged upon the tenderer signing
the contract, pursuant to paragraph 30 and furnishing the performance security pursuant to paragraph 31.
3.15.7 The tender security may be forfeited:
(a) If a tenderer withdraws its tender during the period of tender validity specified by the procuring entity on the tender form or
(b) In case of a successful tenderer, if the tenderer fails:
i. To sign the contract in accordance with paragraph 30 or
ii. To furnish performance security in accordance with paragraph 31.
3.16 Validity of Tenders 3.16.1 Tenders shall remain valid for 120 days or as specified in the tender documents
after date of tender opening prescribed by the procuring entity, pursuant to paragraph 18. A tender valid for a shorter period shall be rejected by the procuring entity as non-responsive.
3.16.2 In exceptional circumstances, KEMSA may solicit the tenderer’s consent to an
extension of the period of validity. The request and responses thereto shall be made in writing. The tender security provided under paragraph 14 shall also be suitably extended. A tenderer may refuse the request without forfeiting its tender security. A tenderer granting the request will not be required nor permitted to modify its tender.
3.17 Format and Signing of Tender 3.17.1 The tenderer shall prepare two copies of the tender, clearly marking each
“ORIGINAL TENDER”, “COPY OF TENDER” as appropriate. Each of the copies

must be properly bound for ease of handling. In the event of any discrepancy between them the original shall govern.
3.17.2 The “Schedule of Prices” for each copy of the tender shall be bound separately
from all the remainder of the tender documents. 3.17.3 The original and all copies of the tender shall be typed or written in indelible ink
and shall be signed by the tenderer or a person or persons duly authorized to bind the tenderer to the contract. The person or persons signing the tender shall initial all pages of the tender, except for unamended printed literature.
3.17.4 The tender shall have no interlineations, erasures or overwriting except as
necessary to correct errors made by the tenderer, in which case such corrections shall be initialled by the person or persons signing the tender
Submission of Tenders 3.18 Sealing and Marking of Tenders 3.18.1 The tenderer shall seal and mark the original and each copy of the tender in
separate envelopes, duly marking the envelopes as “ORIGINAL” and “COPY” Each of the copies must be properly bound for ease of handling. The original and each copy of the “Schedule of Prices” shall be sealed in a separate envelope, duly marking the envelopes as “Schedule of Prices – ORIGINAL”, “Schedule of Prices – COPY”. The envelopes shall then be sealed in an outer envelope.
3.18.2 The schedule of prices shall be typed and not handwritten. It shall contain
no erasures or overwriting. 3.18.3 The inner and outer envelopes shall all:
(a) Be addressed to KEMSA at the following address

(b) And bear the tender number and description and the words: “DO NOT
OPEN BEFORE – 8th January, 2020
3.18.4 The inner envelopes shall also indicate the name and address of the tenderer to enable the tender to be returned unopened in case it is declared “late”.
3.18.5 If the outer envelope is not sealed and marked as required by paragraph 17.3, the
Procuring entity will assume no responsibility for the tender’s misplacement or premature opening.

3.19 Deadline for Submission of Tenders 3.19.1 Tenders must be received by KEMSA at the address specified under paragraph
17.3 so as to be received on or before the closing date and time indicated in the tender notice.
3.19.2 KEMSA may at its discretion, extend this deadline for the submission of tenders
by amending the tender documents in accordance with paragraph 6 in which case all rights and obligations of KEMSA and candidates previously subject to the deadline will thereafter be subjected to the deadline as extended. Bidders will be notified of any such extension.
3.20 Modification and Withdrawal of Tenders 3.20.1 The tenderer may modify or withdraw its tender after the tender submission
provided that written notice of the modification, including substitution or withdrawal of the tenders is received by the procuring entity prior to the deadline prescribed for submission of tenders.
3.20.2 The tenderers modification or withdrawal notice shall be prepared, sealed,
marked and dispatched in accordance with the provisions of paragraph 17. A withdrawal notice may also be sent by email but followed by a signed confirmation copy, postmarked not later than the deadline for the submission of tenders.
3.20.3 No tender may be modified after the deadline for the submission of tenders 3.20.4 No tender may be withdrawn in the interval between the deadline for the
submission of tenders and the expiration of the period of tender validity specified by the tenderer on the tender form. Withdrawal of a tender during this interval may result in the tenderers forfeiture of its tender security pursuant to paragraph 14.7
Opening and Evaluation of Tenders 3.21 Opening of tenders 3.21.1 KEMSA will open all tenders immediately following the deadline for submission
of tenders, in the presence of tenderer’s representatives who choose to attend, at KEMSA’s Tender Opening Hall, which is situated at: Kenya Medical Supplies Authority 13 Commercial Street, Industrial Area P.O. Box 47715, 00100 GPO NAIROBI, KENYA
The tenderer’s representatives who are present shall sign a register evidencing their attendance

3.21.2 The tenderers names, tender modifications or withdrawals, and the presence or absence of the requisite tender security, and any such other details as KEMSA, at its discretion, may consider appropriate will be announced at the opening.
3.22 Clarification of Tenders 3.22.1 To assist in the evaluation, examination and comparison of tenders KEMSA may,
at its discretion, ask the tenderer for a clarification of its tender. The request for clarification and the response shall be in writing and no changes in the prices or substance of the tender shall be sought, offered or permitted. The clarifications should be addressed to the Procurement Manager, at:

3.22.2 Any attempt by the tender to influence the tender evaluation, comparison or
contract award may result in disqualification. 3.23 Preliminary Examination 3.23.1 The procuring entity will examine the tenders to determine whether they are
complete as per the foregoing instructions. The tenderer shall be responsible for the correctness of the tenders.
3.23.2 Prior to the detailed evaluation pursuant to paragraph 23, KEMSA will
determine the substantial responsiveness of each tender to the tender documents. For purposes of these paragraphs, a substantially responsive tender is one that conforms to all the terms and conditions of the tender documents without material deviations. KEMSA’S determination of a tender’s responsiveness is to be based on the contents of the tender itself without recourse to extrinsic evidence.
3.23.3 If a tender is not substantially responsive, it will be rejected by KEMSA and may
not subsequently be made responsive by correction of the non-conformity. 3.24 Evaluation and Comparison of tenders 3.24.1 KEMSA will evaluate and compare the tenders that have been determined to be
substantially responsive pursuant to paragraph 22. 3.24.2 The evaluation of tenders will be in three stages as described in Section 13
“Evaluation Criteria”. The comparison of prices shall include all costs as well as duties and taxes payable for the provision of courier services.
3.24.3 KEMSA’s evaluation of a tender will take into account, in addition to the tender
price, the factors notated in Section 14.

3.25 Contacting the Procuring entity 3.25.1 Subject to paragraph 21, no tenderer shall contact the Procuring entity on any
matter relating to its tender, from the time of the tender opening to the time the contract is awarded.
3.25.2 Any effort by a tenderer to influence the Procuring entity in its decisions on
tender evaluation, tender comparison, or contract award may result in the rejection of the tenderer’s tender.
Award of Contract 3.26 Post Qualification 3.26.1 In the absence of pre-qualification, KEMSA will determine to its satisfaction
whether the tenderers selected have the technical and financial capacity to perform the contract.
3.26.2 The determination will take into account the tenderer financial and technical
capabilities. It will be based upon an examination of the documentary evidence of the tenderer’s qualifications submitted by the tenderer as well as such other information as KEMSA deems necessary and appropriate. KEMSA will undertake physical verification of motor vehicles listed in the tender document and authenticate documents submitted by bidders.
3.26.3 An affirmative determination will be a prerequisite for award of the contract to
the tenderer. A negative determination will result in rejection of the tenderers tender in which event KEMSA will proceed to the second lowest evaluated tender to make a similar determination of that tenderer’s capability to perform the contract.
3.27 Award Criteria 3.27.1 KEMSA will award the contract to the successful tenderer whose tender has been
determined to be substantially responsive and has been determined to be the lowest evaluated.
3.28 Right to accept or reject any and all tenders 3.28.1 KEMSA reserves the right to accept or reject any tender, and to annul the
tendering process and reject all tenders at any time prior to contract award, without thereby incurring any liability to the affected tenderer or tenderers.
3.29 Notification of Award 3.29.1 Prior to the expiration of the period of the tender validity, KEMSA will notify the
successful tenderer in writing that its tender has been accepted. 3.29.2 The notification of award will not constitute the formation of contract, allowing a
maximum of 21 days for contract negotiation and subject to the receipt of the tenderer’s acceptance and performance security.

3.29.3 Simultaneously the notification of award to successful tenders is issued, each unsuccessful tenderer will be notified and their tender security discharged.
3.30 Signing of Contract 3.30.1 At the same time as KEMSA notifies the successful tenderer that its tender has
been accepted, KEMSA will send the tenderer a contract form incorporating all agreements between the parties.
3.30.2 Within 21days of receipt of the contract form, the successful tenderer shall sign
and date the contract and return it to the procuring entity. 3.31 Performance Security 3.31.1 Within 21 days of receipt of the notification of award from KEMSA the successful
tenderer shall furnish the performance security in accordance with the conditions of contract in the performance security form provided in the tender documents or in another form suitable to KEMSA.
3.31.2 Failure of the successful tenderer to comply with the requirements for contract
and / or performance security shall constitute sufficient grounds for the annulment of the award and forfeiture of the tender security in which event KEMSA may make the award to the second lowest evaluated tenderer or call for new tenders.
3.32 Corrupt Fraudulent Practices 3.32.1 The Procuring Entity requires that tenderers observe the highest standard of
ethics during the procurement process and execution of contracts. In pursuance of this policy, the Procuring entity:-
(a) Defines, for the purposes of this provision, the terms set forth below as
follows:
(i) “corrupt practice” means the offering, giving, receiving or soliciting of anything of value to influence the action of a public official in the procurement process or in contract execution; and
(ii) “fraudulent practice” means a misrepresentation of facts in order to
influence a procurement process or the execution of a contract to the detriment of the Procuring entity, and includes collusive practice among tenderer (prior to or after tender submission) designed to establish tender prices at artificial non-competitive levels and to deprive the Procuring entity of the benefits of free and open competition;
(b) will reject a proposal for award if it determines that the tenderer
recommended for award has engaged in corrupt or fraudulent practices in competing for the contract in question;

(c) will declare a firm ineligible, either indefinitely or for a stated period of
time, to be awarded any contract if it at any time determines that the firm has engaged in corrupt or fraudulent practices in competing for, or in executing, a contract.
3.32.2 The Procuring Entity requires that all tenderers make themselves aware of the
provision stated in the General Conditions of Contract.

SECTION 2: GENERAL CONDITIONS OF CONTRACT
4.1 Definitions 4.1.1 In this Contract, the following terms shall be interpreted as indicated:
(a) “The Contract” means the agreement entered into between the procuring entity and the tenderer, as recorded in the Contract Form signed by the parties, including all attachments and appendices thereto and all documents incorporated by reference therein.
(b) “The Contract Price” means the price payable to the tenderer under the
Contract for the full and proper performance of its contractual obligations. (c) “The Goods/Services” means all of the equipment, machinery, and/or other
materials or services which the tenderer is required to supply to the Procuring entity under the Contract.
(d) “The Procuring entity” means the organization, Kenya Medical Supplies
Authority (KEMSA) purchasing the Goods and services under this Contract.
(e) “The Tenderer” means the individual or firm supplying the Goods and services under this Contract.
4.2 Application 4.2.1 These General Conditions shall apply in all Contracts made by the Procuring
entity for the procurement of services. 4.3 Standards 4.3.1 The services supplied under this Contract shall conform to the standards
mentioned in the Technical Specifications. 4.3.2 The origin of Services is distinct from the nationality of the tenderer. 4.4 Standards 4.4.1 The Services supplied under this Contract shall conform to the standards
mentioned in the Technical Specifications. 4.5 Use of Contract Documents and Information 4.5.1 The Candidate shall not, without the Procuring entity’s prior written consent,
disclose the Contract, or any provision thereof, or any specification, plan, drawing, pattern, sample, or information furnished by or on behalf of the Procuring entity in connection therewith, to any person other than a person employed by the Tenderer in the performance of the Contract.
4.5.2 The Tenderer shall not, without the Procuring entity’s prior written consent,
make use of any document or information enumerated in paragraph 5.1 above.

4.5.3 Any document, other than the Contract itself, enumerated in paragraph 5.1 shall remain the property of the Procuring entity and shall be returned (all copies) to the Procuring entity on completion of the Tenderer’s performance under the Contract if so required by the Procuring entity.
4.6 Patent Rights 4.6.1 The Tenderer shall indemnify the Procuring entity against all third-party claims
of infringement of patent, trademark, or industrial design rights arising from use of the Goods or any part thereof in the Procuring entity’s country.
4.7 Performance Security 4.7.1 Within thirty (30) days of receipt of the notification of Contract award, the
successful Tenderer shall furnish to the Procuring entity the Performance Security in the amount specified in Special Conditions of Contract.
4.7.2 The proceeds of the Performance Security shall be payable to the Procuring
entity as compensation for any loss resulting from the Tenderer’s failure to complete its obligations under the Contract.
4.7.3 The Performance Security shall be denominated in the currency of the Contract,
or in a freely convertible currency acceptable to the Procuring entity and shall be in the form of a bank guarantee or an irrevocable letter of credit issued by a reputable bank located in Kenya or abroad, acceptable to the Procuring entity, in the form provided in the tender documents.
4.7.4 The Performance Security will be discharged by the Procuring entity and
returned to the Candidate not later than thirty (30) days following the date of completion of the Tenderer’s performance obligations under the Contract, including any warranty obligations, under the Contract.
4.8 Inspection and Tests 4.8.1 The Procuring Entity or its representative shall have the right to inspect and/or
to test the Goods / Services to confirm their conformity to the Contract specifications. The Procuring entity shall notify the Tenderer in writing, in a timely manner, of the identity of any representatives retained for these purposes.
4.8.2 Should any inspected or tested Goods/Services fail to conform to the
Specifications, the Procuring entity may reject the Goods, and the tenderer shall either replace the rejected Goods or make alterations necessary to meet specification requirements free of cost to the Procuring entity.
4.8.3 Nothing in paragraph 8 shall in any way release the tenderer from any warranty
or other obligations under this Contract.

4.9 Delivery and Documents 4.9.1 Delivery of the Goods and Services shall be made by the Tenderer in accordance
with the terms specified by Procuring Entity in its Schedule of Requirements and the Special Conditions of Contract
4.10 Insurance 4.10.1 The Service Provider will be liable for losses/damages arising from his negligence or that of his employees and therefore he should arrange for the appropriate insurance cover. This insurance cover for the transport carrier (and each individual subcontracted transport carrier) is required to be demonstrated in writing from the insurance company each quarter and sent to KEMSA legal counsel 4.11 Payment 4.11.1 The method and conditions of payment to be made to the tenderer under this Contract shall be specified in Special Conditions of Contract. 4.11.2 Payments shall be made promptly by the Procuring entity as specified in the
contract. 4.12 Prices 4.12.1 Prices charged by the Tenderer for Services performed under the Contract shall not, with the exception of any price adjustments authorized in Special Conditions of Contract, vary from the prices by the tenderer in its tender. 4.13 Assignment 4.13.1 The Tenderer shall not assign, in whole or in part, its obligations to perform under this Contract, except with the Procuring entity’s prior written consent. 4.14 Subcontracts 4.14.1 The Tenderer, under certain circumstances will be allowed to subcontract. Such sub-contracting shall not relieve the tenderer from any liability or obligation under the Contract. The KEMSA accounting officer shall grant prior approval of any subcontracting arrangements. 4.15 Termination for Default 4.15.1 The Procuring Entity may, without prejudice to any other remedy for breach of Contract, by written notice of default sent to the tenderer, terminate this Contract in whole or in part: (a) If the Tenderer fails to deliver any or all of the Goods/Services within the
period(s) specified in the Contract, or within any extension thereof granted by the Procuring entity. (See SLA section 16).
(b) If the Tenderer fails to perform any other obligation(s) under the Contract.

(c) If the Tenderer, in the judgment of the Procuring entity has engaged in corrupt or fraudulent practices in competing for or in executing the Contract.
4.15.2 In the event the Procuring entity terminates the Contract in whole or in part, it
may procure, upon such terms and in such manner as it deems appropriate, Goods and Services similar to those undelivered, and the Tenderer shall be liable to the Procuring entity for any excess costs for such similar Goods and Services.
4.16 Liquidated Damages 4.16.1 If the Tenderer fails to deliver any or all of the goods within the period(s)
specified in the contract, the procuring entity shall, without prejudice to its other remedies under the contract, deduct from the contract prices liquidated damages sum equivalent to 0.5% of the delivered price of the delayed goods up to a maximum deduction of 10% of the delayed goods. After this the Procuring Entity may consider termination of the contract.
4.17 Resolution of Disputes 4.17.1 The procuring Entity and the Tenderer shall make every effort to resolve
amicably by direct informal negotiation, any disagreement or dispute arising between them under or in connection with the contract.
4.17.2 If, after thirty (30) days from the commencement of such informal negotiations
both parties have been unable to resolve amicably a contract dispute, either party may require adjudication in an agreed national or international forum, and/or international arbitration.
4.18 Language and Law 4.18.1 The language of the contract and the law governing the contract shall be English
language and the Laws of Kenya respectively unless otherwise stated. 4.19 Force Majeure 4.19.1 The Tenderer shall not be liable for forfeiture of its Performance Security, or
termination for default if and to the extent that it’s delay in performance or other failure to perform its obligations under the Contract is the result of an event of Force Majeure.

SECTION 3: SPECIAL CONDITIONS OF CONTRACT
Transport companies must comply and confirm their agreement with the following conditions governing road transport of the medical commodities distributed by KEMSA.
1. Monitoring of storage conditions during transit
(a) Temperature
Vehicles/vessels used in transportation of pharmaceuticals shall be fitted with calibrated temperature control systems which should comply with the following minimum requirements:
System able to continuously maintain air temperatures within the set point limits (18°C to 30°C).
Temperature monitoring device accuracy should be within ± 0.5 °C.
At all times, temperature monitoring will be documented.
(b) Humidity
Vehicles/vessels used for transport of pharmaceuticals should have humidity monitoring systems and devices. These should comply with the following minimum requirements.
Humidity measuring device should have an accuracy of ± 5% Relative Humidity. The vehicle should maintain relative humidity of seventy five percent (75%) ± 5%.
At all times, humidity monitoring will be documented.
2. Medical products and equipment are of high value and get easily damaged or contaminated. The transporter is required to provide adequate security and to take appropriate precautions to prevent contamination, product mix up, label mutilation of the goods while in transit and to insure the goods while in their care.
3. Transporters will be required to manage efficient vehicle schedules, routing and utilisation with respect to KEMSA’s delivery schedules in order to minimise costs, arrival to wrong destination and abnormal delay. Bidders should present as part of their submission an operational plan and methodology statement.
4. The vehicles/trucks to be used in the transportation of medical products should not be used to transport industrial chemicals, veterinary drugs for external use, agrochemicals or prohibited substances.
5. KEMSA will issue a distribution list, delivery note and a waybill summarizing commodities destination.
6. Transporter must inform KEMSA as soon as possible of any delays on transit due to breakdown, accident or otherwise. In case of need, replacement of vehicles has to be arranged immediately by the transporter.

7. At the facility, the transporter must ensure KEMSA delivery notes and waybills are duly signed and stamped, showing name of authorized receiver and date. The Transporter must leave the original copy of the delivery note and a copy of the waybill with the receiver and return a copy of the signed delivery note and waybill as Proof of Delivery (PoD).
The transporter is also required to return KEMSA data loggers and provide print out of temperature and humidity monitoring report.
8. The transporter is responsible for obtaining confirmation from the consignee as to the quantity and condition of commodities delivered.
9. Where a consignee rejects damaged packages, the same will be returned with appropriate remarks on KEMSA delivery note and waybill.
10. Losses due to omission, negligence, theft or any other cause during transit remain the full responsibility of the transporter.
11. The supplies belong to KEMSA and shall not be handed over to any other party rather than the one indicated in the delivery documents. Where a facility is not operational or is temporarily closed or cannot be accessed because of certain environmental factors, the Distribution department should be consulted to advise on the way forward.
12. Where there is evidence of fraud, theft by servant or collusion with KEMSA or facility staff to defraud, divert supplies or falsify documents shall lead to cancellation of the contract in addition to any other legal and administrative actions.
13. Transporters will be required to embrace modern fleet management technology with shared visibility with KEMSA. All vehicles that will be picking medical commodities from KEMSA warehouses will be required to have GPS transmitters. The transporter will allow KEMSA access to the GPS. This requirement shall also be applicable to sub-contracted vehicles used by outsourced carriers as well. Acquisition and maintenance cost is the responsibility of the transporter.
14. No payments will be made against invoices unless complete PoD is provided (photocopies are not acceptable).
15. As part of the contract KEMSA and the Transporter will sign a Service Level
Agreement detailing required Performance Levels. KEMSA reserves the right to terminate the contract should the transporter be unable to meet the required Performance Levels.
16. Performance security amount shall be ten percent (10%) of the contarct award.
17. The duration of the contract shall be three years.

SECTION 4: TECHNICAL SPECIFICATIONS 6.1 General
These specifications describe the basic requirements for drivers, loaders, vehicles, equipment and transit warehouses.
6.2 Drivers, Loaders, Vehicles, and Equipment
6.2.1 The driver is responsible for ensuring safety and security of the consignment and completion of the necessary paperwork i.e. delivery note and waybill.
6.2.2 Vehicles and equipment used to distribute, store, or handle medical commodities should be suitable for the use and appropriate protection of the products to prevent exposure to conditions that could affect their stability, packaging integrity and contamination of any kind. Vehicles, equipment and drivers will be inspected by KEMSA Distribution and Quality Assurance staff during each pickup. Driver/Vehicle checklist is identified under Section 14.
6.2.3 The vehicles and equipment must be clean to minimize the risk of contamination, build-up of dust or dirt and/or any adverse effect on the quality of medical products being distributed.
6.2.4 Vehicles, containers and equipment should be kept clean and dry and free from accumulated waste.
6.2.5 Vehicles, containers and equipment should be kept free from rodents, vermin, birds and other pests.
6.2.6 Where Cold chain vehicles are used, they should be able to maintain a temperature range of 2 to 8 degrees centigrade. This will be validated as part of technical evaluation; hence the vehicle together with ownership documents should be availed to KEMSA when required. The vehicle must be fitted with a compatible three phase power supply for use when not in motion.
6.2.7 The prospective service provider is expected to provide a comprehensive technical proposal and documentary evidence that shall address the following:
1. Trucking capacity:
Minimum 15 vehicles of 0.5 to 5 tons
At least 15 motorcycles
4 vehicles with cold chain capability (2 to 8 degree centigrade) (provide evidence).
Copies of vehicle and motorcycle log books and valid insurance to be provided as evidence of ownership.
2. Relevant courier service experience in Fast Moving Consumer Goods (FMCG) or
Pharmaceutical Industry (provide evidence).
3. Operational plan: a comprehensive operational plan that will include:

Management structure specific to the proposal and current CVs of key staff to be provided.
Mobilization plan to meet the requirements of the contract starting on day one of execution and beyond.
Risk management plan
Monitoring and evaluation
Motor vehicle tracking
Compliance to legal and regulatory requirements.
License from Communications Authority of Kenya is mandatory
Other certifications that demonstrate operational excellence 6.3 Transportation of Health Products and Technologies
6.3.1 KEMSA shall communicate to the transporter all relevant conditions for storage and transportation of medical commodities. The Transporter should ensure adherence to these requirements throughout transportation.
6.3.2 The Transporter shall store and transport medical commodities in accordance with procedures in such a way that:
a) the identity of the product is not lost;
b) the product does not contaminate and is not contaminated by other products;
c) adequate precautions are taken against spillage, breakage, misappropriation and theft; and
d) Appropriate temperature and relative humidity conditions are maintained in the case of medical commodities products, as appropriate, e.g. using cold chain for thermo labile products.
6.3.3 The Transporter shall ensure that spillages are cleaned as soon as possible to prevent possible contamination, cross-contamination and hazards. Such occurrences should be communicated to KEMSA.
6.3.4 Products containing toxic and/or flammable substances should be stored and transported in suitably designed, separate and closed containers.
6.3.5 The interior of vehicles and containers should remain clean and dry while medical commodities products are in transit.
6.3.6 The Transporter must provide sufficient security to prevent theft and other misappropriation of products. Steps should be taken to prevent unauthorized access to medical commodities products being transported.
6.3.7 Damage to consignment, theft, complaints at the point of delivery and any other event or problem which occurs during transit must be recorded and reported to the distribution manager and accounting officer within 12 hours.

SECTION 5: SCHEDULE OF REQUIREMENTS
1 Introduction
The following technical information and instructions should be read carefully prior to completing your tender document, together with any instructions specific to this invitation.
2 Scope KEMSA requires Courier Services for the distribution of various medical commodities and Equipment from KEMSA warehouses in Nairobi, Kisumu and Mombasa.
To and from KEMSA Regional Depots
Further the tenderer will provide courier services from: 1. Nairobi to various health facilities country wide 2. Mombasa to various health facilities within the coastal region 3. Kisumu to various health facilities within the western region
Bids are therefore invited from eligible interested bidders as described in the Price Schedules.
3 Health Facility Information
Health facilities are operational from 8:00am to 5:00pm weekdays (excluding public holidays). However, some NGOs facilities and private hospitals may have special opening days and hours. The successful bidder is encouraged to familiarise themselves with these circumstances.
At a minimum, the following activities are to be performed during the offloading process at the health facility:
Trace the authorised facility representative.
Offload goods onto a dry, sheltered area as indicated by the facility representative.
Verify packages/boxes and documents (delivery notes and waybill).
Authorised facility representative signs and stamps relevant delivery notes and waybill (proof of delivery).
Confirm on data loggers that the temperature and humidity conditions were maintained through out the journey.
4 Frequency of Deliveries
Delivery to health facilities will be as and when necessary.
5 Load Size and Weights This will vary from time to time.

6 Bidding for Transport Services Bids for provision of these services should be provided in the Price Schedules. Bidders should complete the relevant columns of the Price Schedules.

SECTION 10: ANTI – CORRUPTION POLICY IN THE PROCUREMENT PROCESS
UNDERTAKING BY BIDDER ON ANTI – CORRUPTION POLICY / CODE OF CONDUCT AND COMPLIANCE PROGRAMME
The governments of Kenya is committed to fighting corruption in all its forms and in all its institutions to ensure that all the government earned revenues are utilized prudently and for the purpose intended with a view to promoting economic development as the country work towards actualizing Vision 2030.
Here at KEMSA and also being one of the government entities mandated under the government Legal Notice number 466 of 2004 to procure, warehouse and distribute Essential Medicines and Medical Supplies to all the public health facilities in Kenya, on behalf of the government, we are highly committed to fighting any form of corruption in our organization to ensure that all the monies that the government entrust with us, is optimally and prudently utilized for the benefits of all the people we serve.
The following is a requirement that every Bidder wishing to do business with KEMSA must comply with:
(1) Each bidder must submit a statement, as part of the tender documents, in the format given and which must be signed personally by the Chief Executive Officer or other appropriate senior corporate officer of the bidding company and, where relevant, of its subsidiary in Kenya. If a tender is submitted by a subsidiary, a statement to this effect will also be required of the parent company, signed by its Chief Executive Officer or other appropriate senior corporate officer.
(2) Bidders will also be required to submit similar No-bribery commitments from their subcontractors and consortium partners; the bidder may cover the subcontractors and consortium partners in its own statement, provided the bidder assumes full responsibility.
(3) a) Payment to agents and other third parties shall be limited to appropriate compensation for legitimate services.
b) Each bidder will make full disclosure in the tender documentation of the beneficiaries and amounts of all payments made, or intended to be made, to agents or other third parties (including political parties or electoral candidates) relating to the tender and, if successful, the implementation of the contract.
c) The successful bidder will also make full disclosure [quarterly or semi- annually] of all payments to agents and other third parties during the execution of the contract.
d) Within six months of the completion of the performance of the contract, the successful bidder will formally certify that no bribes or other illicit commissions have been paid. The final accounting shall include brief details of the goods and services provided that are sufficient to establish the legitimacy of the payments made.

e) Statements required according to subparagraphs (b) and (d) of this paragraph will have to be certified by the company's Chief Executive Officer, or other appropriate senior corporate officer.
(4) Tenders which do not conform to these requirements shall not be considered.
(5) If the successful bidder fails to comply with its No-bribery commitment, significant sanctions will apply. The sanctions may include all or any of the following:
a) Cancellation of the contract;
b) Liability for damages to the public authority and/or the unsuccessful competitors in the bidding possibly in the form of a lump sum representing a pre-set percentage of the contract value (liquidated).

SECTION 13: EVALUATION CRITERIA
This will be in three stages: A) Preliminary Examination
i. Bidding documents must be paginated/serialized. All bidders are required to submit their documents paginated in a continuous ascending order from the first page to the last in this format; (i.e.1,2,3……..n where n is the last page) (MANDATORY).
ii. Form of Tender dully filled, signed and stamped (MANDATORY). iii. Original Bid Security provided will be of Ksh 2,400,000 (Two million four
hundred thousands) or equivalent in a freely convertible currency and valid for 150 days from date of tender opening. (MANDATORY).
iv. Anti-corruption Policy duly filled, signed and stamped (MANDATORY). v. Copy of Certificate of Incorporation (MANDATORY).
vi. Copy of CR12 and attach copy of IDs for the Directors. vii. Copy of current Tax Compliance Certificate (MANDATORY).

C) Financial Bidders who attain minimum technical score of 85.7% will proceed to financial evaluation. The lowest evaluated responsive bidder will be recommended for award of contract. D) Post Qualification The bidder recommended for award shall be subjected to a post qualification process to determine the bidder’s technical and financial capability. Should the bidder fail to satisfy this requirement they will be disqualified and a similar determination subjected to the second lowest evaluated responsive bidder.

SECTION 15: SERVICE LEVEL AGREEMENT (SLA) - TO BE REFINED DURING CONTRACTING
Section 1. Purpose of the Service Level Agreement 1.1 The intention of the Service Level Agreement (SLA) is to define the working relationship between the contracting parties by
Identifying the services to be delivered;
Spelling out duties and responsibilities;
Detailing performance indicators, measurement and reporting;
Providing a framework for clear working understanding;
Reducing areas of conflict;
Encouraging dialogue in case of disputes;
Simplifying the processes;
Eliminating unrealistic expectations. Section 2. Parties Covered by the Agreement 2.1 The parties covered by this agreement are: Service Provider: “Transport Carrier XX” Client: Kenya Medical Supplies Authority (KEMSA) 2.2 The Distribution Manager of KEMSA will be the officer responsible for ensuring that the conditions of this Agreement are observed by the staff and management of KEMSA and the vendor. Section 3. Scope of Services Covered by the Agreement 3.1 The Kenya Medical Supplies Authority (KEMSA) is responsible for the distribution of medical commodities to public health facilities on behalf of the Ministries of Health (MoH) of the Government of Kenya and other stakeholders. 3.2 Transport Carrier acts as a transport service provider on behalf of KEMSA for purposes of transport and delivery of medical commodities to public health facilities. This agreement defines the respective responsibilities of both KEMSA and Transport Carrier in the areas mentioned in 1.1 above. Section 4. Changes to this Agreement 4.1 Any changes to the service levels specified in this agreement will be subject to agreement by both parties. The exception to this will be changes resulting from issues beyond the control of either party. 4.2 In the event that a change is required, KEMSA will co-ordinate meetings between the relevant management staff from the transport carrier and KEMSA. Once an

agreement has been reached, KEMSA will ensure that this is incorporated in the contract. Section 5. Key Performance Indicators 5.1 The intention of the Service Level Agreement (SLA) is to explain the responsibilities of each of the parties in the following areas:

Distribution Manager and formal incident report sent to KEMSA CEO within 3 days.
Mandatory transporter GIT Insurance Cover shall be in place. The carrier through
applicable insurance policies should cover all transportation risks.
Personal Protective Equipment (PPEs) for transporter crew during loading and on transit.
Ensure reverse logistics is done for data loggers, cooler boxes, Ice packs returns and
damages.
The service level agreement Key Performance Indicators (below) indicate the agreement made between KEMSA and each individual transport carrier. Each of the areas indicated are tracked and monitored on a cycle basis and quarterly basis. SLAs will be monitored and tracked with the following structure:
Quarterly performance audits with courier service provider and KEMSA management will be conducted.
The first quarter will be deemed as a “pilot” and will not be counted towards courier performance. Subsequent quarters will count towards performance evaluation.
Courier services will be terminated on the 2nd reported instance of “failure to comply” based on SLA thresholds attached. They are considered separately and “failure to comply” pertains to medical commodities and equipment shipments to Hospitals and Rural Health Facilities (RHFs). If either shipments for a single Quarter show “failure to comply” two subsequent times, the courier service provider will be terminated.
TERMINATION CLAUSE: Should the awarded courier service provider “fail to comply” during any two (2) separate Quarters, through the three (3) year contract duration, immediate termination of contract with KEMSA will ensue.

Section 6: Security of Goods In Transit. 1.1 The intention of the Service Level Agreement (SLA) is to explain the responsibility in the following areas:

The transporter shall provide transport services to KEMSA but throughout the process the ownership of the goods remains with KEMSA. The transporter is required to ensure the safety of goods under their care and insure them against all risks while in their custody. In addition, the insurance cover needs to be demonstrated on an annual basis with an official letter sent to KEMSA. In addition the transporter will be liable and will fully pay KEMSA for any claims for goods lost or damaged while in their possession. SECTION 16: GPS REQUIREMENTS
All vehicles that will be picking medical commodities from KEMSA warehouses will be required to have GPS transmitters onboard. The transporter will allow KEMSA access to the GPS.This requirement shall also be applicable to sub-contracted vehicles used by outsourced carriers as well. Acquisition and maintenance cost is the responsibility of the transporter.
