Sealed Open Tenders are invited by Sr. Divisional Commercial Manager, North Central Railway, Allahabad on behalf of President of India, for allotment of contract for the Sole Rights of Display of Advertisements at the following 04 clusters of stations. The advertisements will include Hoardings, Glow‐signs, Kiosk, Panel Board, Unipoles, Tri‐pole, Showcases, Flex Board, Illuminated Board & AD Panel etc, as per details given in Annexure‐A of this tender notice. The duration of contract shall be for three years on the terms and conditions of the North Central Railway.
The tender form along with the details of terms and conditions can be obtained from the office of Sr. Divisional Commercial Manager, DRM's Office, Nawab Yusuf Road, Civil Lines, Allahabad or from the office of the Dy. Chief Traffic Manager, North Central Railway, Kanpur, on payment of Rs. 5350.00. If the total value of the offer of a tenderer is exceeding Rs. 2 Crores for the Ist year (*), he will have to submit one more DD of Rs. 5150.00 (*) in favour of “Sr. Divisional Finance Manager, North Central Railway, Allahabad”, towards the cost of the tender form. The Notice inviting Tender, Tender Form, Terms & Conditions and Agreement is also available on the Web site of North Central Railway www.ncr.railnet.gov.in & Government of India Portal http://www.tenders.gov.in. The Tender Form along with all the required documents can be down‐loaded from the site. The tenderer, who wishes to participate in the tender through the forms downloaded from Web‐site will have to attach a bank draft of Rs. 5350.00 in favour of “Sr. Divisional Finance Manager, North Central Railway, Allahabad”, towards the cost of Tender Form. Tender Forms down‐loaded from Web‐site will not be accepted if not accompanied with DD (*) of Rs. 5350.00 (if his total offer for Ist year is upto Rs. 2 Crores) and Rs. 10500.00 (if his total offer for Ist year is more than Rs. 2 Crores). NOTE: 1. The Tenderer can participate in any one/any two/any three or all the four clusters by submitting only one tender. However,
their offers for each cluster will be decided independently with the other offers received for that particular cluster and not on the total offer for more than one cluster.

2. The reserve price of each cluster is the sum total of the reserve price of the nominated stations and 03 optional stations of highest value. However, the tenderers have the privilege of choosing any 03 optional stations. For example, the reserve price for 1st cluster is Rs. 10556336/‐ and whoever quotes the highest price for a cluster, will be awarded the contract. It will be up to him whether he uses or not uses any of the nominated stations, besides the 03 optional stations. In case the highest bidder is not utilizing his privilege of using 03 optional stations, either in full or part, the Railway reserves the Rights of making best use of unutilized stations, in a manner as decided by Railway Administration.
3. In case bidder wishes to take more than 03 optional stations, he would indicate only the first three stations of his choice amongst the optional stations attached to the respective cluster, which will be treated as included in the price quoted for the cluster as a whole. For the additional stations, the bidder will indicate station wise offered price, which will be evaluated on the reserve price of that/those optional station/s and considered for granting it to him, if his offered price bid for these additional station (s) is/are more than the reserve price for the station(s).
4. The privilege for more than 03 optional stations will be available only to the highest bidder of the cluster. The highest bidder will be, however, determined on the rates offered against the Cluster and any three stations from the optional list, of bidder’s choice. Therefore, the bidders are advised while they may quote their rates for the remaining optional stations as well, their offers for such remaining stations (other than 03 of his choice) will be considerable only if (i) he is the highest in his main bid, and (ii) his bid for even remaining stations is above the Reserve Price, as indicated for each station in Section‐V in the tender documents.
5. Consequent to any area/s being considered for development and modification even during currency of the contract period, Railways will have Rights to remove the advertisements from such areas/locations on a one month advance notice to the contractor.
6. The selected advertiser can, however, be permitted to display advertisement at sites other than those specified in the tender document. For these additional sites, the charges will be calculated on unit area basis at the price decided on the basis of the tender (Bid offered divided by total area), for the respective station. If this additional area is at any of the station of the cluster or at any of the three stations of choice, the pro‐rata rate would be calculated accordingly. However, if such area is at any optional station, other than the three of choice, the pro‐rata rates for such additional space would be worked out according to the offer for that optional station. However, Railway reserve the right to disallow publicity which, in the opinion of Railway, have a bearing on safety, aesthetics, security, synchronicity with existing/blocked sites and anything which violates the laid down Railway procedures/norms.
7. The additional sites which are developed due to new development works like station areas, may be offered to the existing party having the Sole advertising rights of the cluster. A time limit of 15 days from the date of offering these additional space for advertisement has been fixed for the licensee to decide in this matter. Thereafter, Railways will have Rights to make best use of this potential in the manner, as may be decided by Railway Administration.
The following documents must be attached with tender: 1. Photograph duly attested by Gazetted Officer. 2. Earnest money deposit receipt in original pledged in favour of Sr. Divisional Finance Manager, North Central Railway,
Allahabad. 3. Participating agency should have minimum experience of two years in the field of Commercial Advertising which may even be
outside the Railways. Certificate must be enclosed. 4. Participating agency should have annual turnover of not less than 50% of first year license fee, for each of the four clusters.
For example, is a tenderer participate for only cluster‐1, he must have annual turnover of Rs. 52,78,168/‐ for consecutives last two financial years.
In case any of the above four documents are found to be invalid after verification; the offer of such tenderer will not be accepted & earnest money of the tenderer will be forfeited. The Contractor would reserve 10% of allotted area for Railway Messages and erect and display the same in similarity with rest 90% of display. Any charges, taxes, levies etc. above the License fee are to be borne by the contractor. SPECIAL Information:
Tender forms can be dropped in tender boxes upto 13‐00 hrs. of 11‐05‐2010 from the next day of publication of tender notice in the Newspapers.

1. Tender forms with tender conditions and Agreement for the above noted contract are enclosed.
(i) Earnest money details and other related documents. All these will be kept in a sealed cover containing Technical Details for Sole Commercial Publicity Rights of 04 Clusters of Station for a period of three years and the name of tenderer.
2. Tender should be addressed to Sr. Divisional Commercial Manager, North Central Railway, Allahabad and submitted in a sealed cover as indicated in para‐1 above.
3. Tender will be received in a sealed tender box kept in this office in nominated room for opening this tender up to 15:00 Hrs on 11.05.2010. Tender box will be sealed at 13:00 Hrs on same date and sealed tender box will be opened by nominated officers at 15:00 Hrs on same date. Names of all tenderers will be announced immediately thereafter. Tenderers are advised that if they so desire, they can send their authorized representatives to witness the opening of tender. Tender received after closing of tender box will not be considered.
4. No tender will be considered if not accompanied by requisite earnest money deposit. 5. The successful tenderer will have to start work within the stipulated period of 30 days, failing
which the earnest money and security money deposited shall be forfeited and action taken by Railway as deemed necessary.
6. The Railway Administration reserves the right to reject any or all the tenders without assigning any reason whatsoever or to accept any tender with a lower offer.

1. General Instructions
1.1 The offers in sealed tender on prescribed form are invited up to 13:00 hrs on 11.05.2010 by the Sr. Divisional Commercial Manager, Allahabad, North Central Railway, Allahabad for Sole rights for display of advertisements at 04 Clusters of stations for three years from the date of commencement of the contract as per details.
1.2 The tender must be submitted in sealed cover in the prescribed tender for Sole rights for display of advertisements at 04 Clusters stations and must be deposited in tender box allotted for this purpose in the tender room at DRM's Office, Nawab Yusuf Road, Civil Lines, Allahabad not later than 13:00 hrs on 11.05.2010. The box will be sealed at 13:00 hrs on 11.05.2010 and will be opened at 15:00 hrs. thereafter in the presence of tenderers or their authorized representatives who wish to be present. In case of any reason the office is closed on tender opening day, then the tender will be received and opened at the same time and place on next working day.
1.3 The tender should be on a prescribed form obtainable from the office of Sr. Divisional Commercial Manager, DRM Office, North Central Railway, Nawab Yusuf Road, Civil Lines, Allahabad & Dy. Chief Traffic Manager, North Central Railway, Kanpur on payment of Rs. 5350. If the total value of the offer of a tenderer is exceeding Rs. 2 Crores for the Ist year (*), he will have to submit one more DD of Rs. 5150 in favour of “Sr. Divisional Finance Manager, North Central Railway, Allahabad”, towards the cost of the tender form. The Notice inviting Tender, Tender Form, Terms & Conditions and Agreement is also available on the Web site of North Central Railway www.ncr.railnet.gov.in & Government of India Portal http://www.tenders.gov.in. The Tender Form along with all the required documents can be down‐loaded from the site. The tenderer, who wishes to participate in the tender through the forms downloaded from Web‐site will have to attach a bank draft of Rs. 5350 in favour of “Sr. Divisional Finance Manager, North Central Railway, Allahabad”, towards the cost of Tender Form. Tender Forms down‐loaded from Web‐site will not be accepted if not accompanied with DD of Rs. 5350 (if his total offer for Ist year is upto Rs. 2 Crores) and Rs. 10500 (if his total offer for Ist year is more than Rs. 2 Crores).
1.4 The tender containing overwriting and alterations in the tender documents are liable to be rejected outright. Tenderers must attest any correction made by them. No correction on the typed script of tender form issued by Railway Administration will be allowed. If the tenderer wished to stipulate any condition of his own, he should state this in a separate letter along with the tender documents. It should however, be noted that the Railway Administration reserves the right not to consider such conditions and to reject the conditional tenders without assigning any reasons.
2. The reserve price of each cluster is the sum total of the reserve price of the nominated stations and 03 optional stations of highest value. However, the tenderers have the privilege of choosing any 03 optional stations. For example, the reserve price for 1st cluster is Rs. 10556336/‐ and whoever quotes the highest price for a cluster, will be awarded the contract. It will be up to him whether he uses or not uses any of the nominated stations, besides the 03 optional stations. In case the highest bidder is not utilizing his privilege of using 03 optional stations, either in full or part, the Railway reserves the Rights of making best use of unutilized stations, in a manner as decided by Railway Administration.

3. In case bidder wishes to take more than 03 optional stations, he would indicate only the first three stations of his choice amongst the optional stations attached to the respective cluster, which will be treated as included in the price quoted for the cluster as a whole. For the additional stations, the bidder will indicate station wise offered price, which will be evaluated on the reserve price of that/those optional station/s and considered for granting it to him, if his offered price bid for these additional station (s) is/are more than the reserve price for the station(s).
4. The privilege for more than 03 optional stations will be available only to the highest bidder of the cluster. The highest bidder will be, however, determined on the rates offered against the Cluster and any three stations from the optional list, of bidder’s choice. Therefore, the bidders are advised while they may quote their rates for the remaining optional stations as well, their offers for such remaining stations (other than 03 of his choice) will be considerable only if (i) he is the highest in his main bid, and (ii) his bid for even remaining stations is above the Reserve Price, as indicated for each station in Annexure‐B.
5. Eligibility Criteria 5.1 Photograph duly attested by Gazetted Officer. 5.2 Earnest money deposit receipt in original pledged in favour of Sr. Divisional Finance Manager,
North Central Railway, Allahabad. 5.3 Participating agency should have minimum experience of two years in the field of Commercial
Advertising which may even be outside the Railways. Certificate must be enclosed. 5.4 Participating agency should have annual turnover of not less than 50% of first year license fee,
for each of the four clusters. For example, is a tenderer participate for only cluster‐1, he must have annual turnover of Rs. 52,78,168/‐ for consecutives last two financial years.
6. The selected tenderer shall execute an agreement according to the terms and conditions as embodied in the draft agreement attached with the tender forms within 15 days from the date of acceptance of the offer of the works by the Railway Administration.
6.1 In the event of the tender being submitted by the partnership firm/private ltd. company, it must be signed by all partner(s) / director(s) or on his/their behalf by a person holding a valid power of attorney authorizing him to do so. A copy of Partnership Deed or a Registration Certificate of a Private Ltd. Company or Power of Attorney be submitted along with the tender. Tender not accompanied by such documents will not be considered and will be rejected state way.
6.2 Acceptance or non acceptance of any tender shall rest with the Railway Administration of North Central Railway, Allahabad for and on behalf of President of India at his discretion and he shall not be bound to accept the highest or any other offer and shall have full authority and discretion to divide or reduce or increase the volume of work or to accept the tender partly and he shall not be bound to assign any reason whatsoever for any of his action.
6.3 The tender forms are not transferable. 6.4 The administration reserves the right to accept or reject any tender. Authority for
acceptance or otherwise of the tender will rest with the North Central Railway Administration which does not bind itself to accept any quotation or to assign any reason for rejecting / accepting the same.
8. Scope of Work 8.1 The contractor will be permitted to display advertisement at Allahabad station, land
belonging to Allahabad station for a period of three years. The contractor may put up

request to Railway to display advertisements at sites in addition to those assessed by Railways and listed in Section V of this tender document. However, the Railway reserves the right to disallow publicity of types and at such places which, in the opinion of Railways, have a bearing on safety, aesthetics, security, synchronicity with existing/ blocked sites and anything which violates laid down Railway procedures / norms.
8.2 The publicity rights of the exact sites of existing contracts will pass on to the contractor for display of commercial advertisement only after the expiry of the existing term of the contract. The contractor will have no locus‐standi on the advertisement displayed by existing contractor till the expiry of the contract. The list of these preexisting contracts with the expiry date of each contract is enclosed along with the terms and conditions of the contract (Refer Section V).
8.3 Vending stalls will be permitted to display the brand names of products sold by them on the stalls only. Neither the licensee will have a locus‐standi for objecting to display of logos of vendors’ own brand, products on sale on these vending stalls, nor shall vending stalls or Railway be liable to pay any amount to contractor in this tender for displaying such advertisements on vending stalls / trolleys.
8.4 Commercial advertisement displayed at stations on toilets/Station building etc awarded on BOT basis, is neither included in this tender nor shall the tenderer have any rights to dispute them on the basis of award of this contract.
8.5 The exclusive advertisements for Railway stations/platforms/concourse halls/ circulating area will vest with the successful tenderer. All advertisers, recognized agents or otherwise, wishing to advertise will have to deal directly with the successful tenderer and will have no dealing with the railways or stake any claim on the Railways for any commission etc.
8.6 The publicity right will include all types of medias including hoardings, glow signs / neon signs, different forms of electronic display, Unipole, tri‐vision, showcases, advertising near level crossing gates, approaches to station, near bridges, Protection Screens, Bridge Panels, etc. Actual displays shall have to be in conformity to structural safety, aesthetics and in accordance with approval from relevant State Government or Central Government authorities. Such approval and cost thereof and any charge to be paid to such authorities, shall have to be borne by contractor. Railways shall have exclusive rights /claim on the amount quoted in this tender.
8.7 At the beginning of the contract, the contractor will be required to submit the blueprint of the display to the Railway Administration for approval before physical execution of the work. The blue print of the display plan will include existing and new sites.
8.8 Railway will reserve 10% of the area free of cost, for display of commercial/safety posters, or / and other advertisements to promote socially relevant messages and railway services at the bottom /side of the display. The licensee will not have any claim over these displays. The matter for such displays shall be provided by Railways which the contractor shall arrange to print, erect, display at his cost. This will also be displayed on same pattern as remaining 90% area.
8.9 The selected advertiser may, however, be permitted to display advertisement at sites other than the specified ones. For these additional sites the charges may be calculated on unit area basis at the price decided on the basis of the tender (Bid offer divided by total area), for the respective year in which this additional area is demanded. However, Railway reserve the right to disallow publicity which, in the opinion of Railway, have a bearing on safety, aesthetics, security, synchronicity with existing/blocked sites and anything which violates the laid down Railway procedures/norms.
8.10 Consequent to any area/s being considered for development and modification even during currency of the contract period, Railways will have Rights to remove the advertisements from such areas/locations on a one month advance notice to the Contractor.

8.11 The additional sites which are developed due to new development works like new stations, buildings, PRS centers etc. may be offered to the existing party having the Sole advertising rights of the entire Cluster. A time limit of 15 days from the date of offering these additional space for advertisement may be fixed for the licensee to decide in this matter. Thereafter, fresh open tenders may be floated for these additional sites/locations.
9. Earnest Money 9.1 The tenderer shall be required to deposit a sum of Rs. ………………./‐ as Earnest Money
Deposit (i.e. 2% of reserve price) along with Tender Form. The earnest money of the unsuccessful tenderers shall be returned. The Railway Administration shall not be responsible for any loss or depreciation that may happen thereto while in their possession as well as shall not be liable to pay interest thereon. Note: i) The EMD deposit should be in favour of the “Sr. Divisional Finance Manager, North
Central Railway, Allahabad”. ii) Earnest money shall be in the form specified in para 2.2 above. Government Securities,
stock certification cash bonds, promissory notes, and cash certificates etc. will not be accepted.
iii) No interest shall be allowed on the earnest money and security deposit. iv) The tender form is not transferable.
9.2 Tenders without or with less earnest money will be summarily rejected. The offer will remain valid for 120 days from the date of opening of tender.
9.3 If any tenderer withdraws during this period of validity his earnest money deposit will be forfeited. However if no decision has been communicated within 120 days, the tenderer can withdraw his offer after the expiry of the period of validity and his earnest money will be refunded.
9.4 However the earnest money of the successful tenderer will be adjusted against the subsequent license fee.
9.5 The earnest money will be returned to unsuccessful tenderers. 9.6 The earnest money of the successful tenderer will be liable to be forfeited if he does not fulfill any
of the following conditions: a) Furnishing of security deposit equivalent to 10% of the license fee for the relevant
year by the tenderer, in the form of FDR/Irrevocable Bank Guarantee issued by a Scheduled Commercial Bank for a period of two years in favour of Sr. Divisional Finance Manager, North Central Railway, Allahabad.
b) Execution of the agreement within 15 days of the receipt of award letter. c) Payment of Quarterly/half yearly license fees in advance.
10. Security Deposit 10.1 The successful tenderers shall be required to submit Security Deposit equivalent to 10% of
license fee for every year in the form of FDR within 15 days from issue date of acceptance letter and before the start of each subsequent year during currency of this contract. It shall be understood that the tender documents have been sold/issued to the tenderers in consideration of the stipulation of the agreement on his part, that after submitting his/their tender he will not resale from his/their offer or modify the terms and conditions thereof in a manner not acceptable to Railway Administration. If the tenderer fails to observe or comply with the said stipulation, the aforesaid amount of security deposit shall be liable to be forfeited by the Railway Administration.

11. Period of Contract & Payment Details: 11.1 The contract will be for a period of three years from the date of award. 11.2 The date of commencement of the contract will be 120 days from the date of issue of the
allotment letter or from the date of first display whichever is earlier. 11.3 The Reserve Price or the first year is Rs. 10556336/‐. The tenderers are expected to quote
in financial bid for first year. The contract will be awarded for a period of three years subject to an enhancement of 10% for second year, 10% for third year, 10% over the previous year’s license fee. The license fee applicable for each year has also been indicated in Financial Bid.
11.4 The successful tenderer will have to pay the six months license fees in advance after adjusting the earnest money within 15 days of award of contract and thereafter the payments for subsequent three months period shall be made on completion of three months from award of contract and so on every quarter.
12. Other Instructions 12.1 Tenderers shall quote his/their rate in the (Financial Bid). 12.2 If a tenderer expires after the submission of the tender or after the acceptance, of his
tender, the Railway Administration may deem such tender or contract as cancelled. If a partner of a firm expires after submission of his/their tender or after acceptance of his/their tenders, the Railway may deem such tender or contract as cancelled unless the firm retains its original character.
12.3 The firm consisting of more than one partner will attach with the tender all the documents in support of partnership, including registration deed and power of attorney. Tender received without such documents may not be considered. The person legally authorized by them to enter into commitment on their behalf shall sign the tender.
12.4 The tenderers shall not decrease the offered rates in case the Railway Administration negotiates for enhancement of rates. Such negotiation shall not amount to cancellation or withdrawal of the original offer and rate originally quoted would continue to be binding on the tenderers. The authority for acceptance of tenders will not rest with North Central Railway Administration, Allahabad, who does not bind himself to accept the highest tender or any tender nor does he undertake to assign reasons for dealing to consider any particular tender or tenders.
12.5 The successful tenderer/tenderers shall be required to execute an agreement for Bulk rights for display of advertisements over Allahabad Division from the prescribed date with President of India acting through Divisional Railway Manager, North Central Railway, Allahabad or any other officer authorized by him.
12.6 The tenderer/tenderers is/are required to produce with his/their tender documents showing the financial status should be attached with the tender and the original thereof shall have to be produced as and when desired by the Railway Administration. Failure to submit such certificate/documents will render the tender for outright rejection.
12.7 Non‐compliance with any of the conditions given herein above will result in the tender being rejected.
12.8 The tenderers will drop the covering envelopes containing all tender documents in the tender box at the scheduled time and date as mentioned in the tender notice.
12.9 Each and every page of entire tender form is to be signed by the authorized signatory of the firm/company/agency. The tender forms without signatures are liable to be rejected.

AGREEMENT
This Agreement made this day..................................between the President of India through the Divisional Railway Manager, North Central Railway hereinafter called “ The Railway Administration” (which expression shall unless the context does not so admit include his successors in office and assignees) on the one part i.e._______________________and hereinafter referred to as licensee (which expression shall unless excluded by context include the successors, legal heirs, executors, administrators and assignees) on the other part i.e. ___________________________and whereas it is mutually agreed as follows:
Sole Rights 1 The licensee shall be given the Sole Rights for display of advertisements at 04
Clusters of stations as mentioned in Section VII of this tender document for a period of Three years i.e. from __________ to ___________.
2 The advertisement rights for the sites mentioned in the annexure would vest with the licensee. The total assessed area for such sites works out to …………... Sq. feet.
3 The contractor will be permitted to display advertisement at any station/land belonging to 04 Clusters of Stations as mentioned in Section VII of this tender document for a period of Three years i.e. from __________ to ___________.
4 The exclusive advertisements for Railway Stations/Platforms/Concourse Halls/Circulating Area will vest with the licensee. All advertisers, recognized agents or otherwise, wishing to advertise will have to deal directly with the licensee and will have no dealing with the railways or stake any claim on the Railways for any commission etc.
5 The ownership of the existing contracts will pass on to the contractor for display of commercial advertisement only after the expiry of the term of the contract. The contractor will have no locus‐standi on the advertisement displayed by existing contractor until the expiry of the contract. The list of the contract in the order of their expiry is enclosed along with the terms and conditions of the contract.
Period of Contract 6 The contract will be for a period of Three years i.e. from _______ to ________. Type of Publicity 7 The publicity right will include all types of Medias including Hoardings, Glow-signs,
Kiosk, Panel Board, Unipoles, Tri-pole, Showcases, Flex Board, Illuminated Board & AD Panel etc.
Type of Publicity not allowed 8 The Railway reserves the Right to disallow Publicity of types, at any point of time
publicity which has a bearing on safety, aesthetics, security, synchronicity with existing / blocked, proposed and new sites without compensation.
9 Advertisements pertaining to liquor, cigarettes, pan masalas and other intoxicants and any other subject/item considered objectionable under various Acts and laws of the Govt. shall not be displayed. There shall be no obscenity in the design and matter of the advertisement material. The contractor will abide by various state and statutory laws relating to advertisement/display of items. The contractor shall be fully liable for any contravention in this regard and shall be suitably taken up under the laws of the land. The advertiser will have to discontinue display of such

advertisements for which the Railway Administration will issue instruction. Contractor is liable to abide by the various laws of State and Statutory Law relating to advertisement/display of items.
10 Contractor shall have to be solely responsible for abiding with all laws of land and sign papers giving indemnity to Railways for any loss / damages arising out of such displays.
Sites/Locations exempted from contract 11 Vending stalls will be permitted to display the brand names of products sold by them
on the stalls only. Neither the licensee will have a locus‐standi for objecting to display of logos of vendors own brand, products on sale on these vending stalls, nor shall vending stalls or Railway be liable to pay any amount to contractor in this tender for displaying such advertisements on vending stalls / trolleys.
12 Commercial advertisement displayed at stations on toilets/Station building etc awarded on BOT basis, is neither included in this tender nor the tenderer shall have any rights over them.
13 Similarly the cart vehicles for use of disabled passengers and water booths for free supply of RO water are not included in the scope of the contract.
14. Inter Change: A particular type of display can be interchanged with another type of display at the same station. However, this will be only after specific approval of Sr. DCM/ Allahabad on the terms and conditions decided in this regard. 15. New Innovative Media: New innovative media display shall also be permissible within the total area tendered on a particular station. The area of display in such cases would be worked out on the methodology, decided by the party and Sr. DCM/Allahabad with mutual consent. 16. Showcases & any other form of advertising : License fee for additional areas offered or in any other form of advertising, total area of all visible surfaces (excluding the top & bottom) would be taken as the licensed area/space and license fee shall be calculated accordingly. 17. Additional area & Security Deposit:
Consequent to any area/s being considered for development and modification even during currency of the contract period, Railways will have Rights to remove the advertisements from such areas/locations on a one month advance notice to the Contractor.

Licensee are fully aware that Railway has the right and is well within its right to install additional panels, create and make provision for other forms of advertising within all its stations. Licensee agrees not to contest this issue nor seek any claim, compensation or any other consideration on this account. Railway may, after approval of competent authority, offer the additional space, panels or opportunity for any other forms of advertising to the successful applicant on pro‐rata basis i.e. Bid offer divided by total

area. In this case the successful applicant must confirm to Railway his/her/their acceptance within seven days of notice of offer of the additional areas, panels or advertising opportunities, failing which Railway will be in its right to market the additional areas, panels and advertising opportunities. Railway reserves the sole right not to make such an offer to the successful applicant, and the successful applicant voluntarily and unequivocally agrees not to seek any claim, compensation or any other consideration on this account. In case, additional areas are offered to and accepted by the successful applicant, the term of license for the additional areas will be co‐terminus with the main license agreement. No additional time or period will be given/offered. A separate supplementary agreement will be entered into with the successful applicant. The applicant will also be required to submit the additional amount equivalent to six months license fee towards additional interest free security deposit, for the additional panels/spaces offered and accepted. This additional interest free security deposit would also be refundable only alongwith the original interest free security deposit upon completion of the full term of the agreement. Where additional areas are offered in the any other form of advertising, total area of all visible surface (excluding the top & bottom) would taken as the licensed area/space and license fee calculated accordingly.
18. Conditional Offer: The Railway will not accept the tender wherein conditional offer has been given by the licensee, and the offer will be out rightly rejected and earnest money forfeited in favour of Railway. 19. Media Vehicles: Licensee shall indicate the locations for advertising panel/s, design of media vehicles including their structural plans, electrical and cable routing plans, the advertising panels/type of advertisements for these locations and submit all the plans of proposed panels, including its fixing arrangements and certificate of civil consultants for safety & security purpose within one month w.e.f. date of issue of LOA for utilization of space. Inside station, irrespective of whether space for advertisement is fully utilized or not. Railway reserves the right to reject any or all of the said submissions, without assigning any reasons whatsoever. Railway also has the right to indicate alternate locations. The licensee agrees to comply with the directives of Railway regarding alternative sites/locations, and designs as may be specified by Railway. The licensee agrees voluntarily and unequivocally not to seek any claim, compensation, damages or any other consideration whatsoever on this account. The licensee hereby agrees to abide by the following specifications or equivalent for the design and fabrication of the advertisement panels. It will be the responsibility of the licensee to manufacture and fix the pre‐fabricated fixing structure/panels/FSU’s as per the Railway standards. Any deficiency found in the advertisement fixture (structure & electrical fittings) has to be made good by the licensee at its own cost & Railway will not entertain any correspondence/ representation in this regard. The specification of specifications of the advertisement panels should be as follows, or its equivalent:
a. Frame work‐SS304/Aluminum or other modern composite materials. b. Backing sheet of G.I. c. Internal cables of fire retardant low smoke type (FRLS). d. TL tubes for back lighting with electronic ballast.

20. For repeated violation of instructions, breach of agreement, Railway administration has the right to cancel the agreement at the risk & cost of the licensee including forfeiture of all amount paid/submitted/deposited, in favour of Railways.
21. The licensee shall comply with all the provisions of statutory laws, labour laws & regulation in force including but not limited to the contract labour (Regulation & Abolition) Act, 1976, any subsequent amendment thereof and the rules made there under licensee will indemnify the Railway administration for any loss and damages suffered due to violation of its provision.
22. If any approvals are required to be taken from any local authority for display of the advertisement, the same is the responsibility of the licensee. In case any fine is imposed the same will be recovered from security money of the licensee, if not paid by the license fee.
Submission of Blue Print and approval of text & design of displays 23. At the beginning of the contract, the contractor will be required to submit the blueprint of
the display to the Railway Administration for approval before physical execution of the work. The blue print of the display plan will include existing and new sites.
24. The contractor shall submit/show the plan/text design of all the advertisements to be displayed and obtain approval prior of the Railway Administration for such displays. The contractor will submit a safety certificate from an approved chartered engineer regarding the safety aspect of structure/hoardings erected by him and non‐infringement of Railway track by the same. The contractor will be responsible for damages caused due to heavy winds, storms, fire, explosion, riots or other unforeseen causes and indemnify the railways on account of the above mentioned causes. Reserving 10% area for Railway Slogan
25. Railway will reserve 10% of the area free of cost, for display of commercial/ safety posters, or / and other advertisements to promote socially relevant messages and railway services at the bottom /side of the display. The licensee will not have any claim over these displays. The matter for such displays shall be provided by Railways which the contractor shall arrange to print, erect and display at his cost. This will also be displayed on same pattern as remaining 90% area. Pro‐Rata Allotment
26. The amount quoted by the tenderer in Packet ‘B’ of this tender, will be applicable for total advertising area (P) assessed by the Railway or part thereof (including 10% free area as per para 25 above). Total assessed area (P) is, as indicated in Section V of this tender document. The contractor will be allotted extra sites over and above the assessed area on his request, only after getting the technical and aesthetical feasibility of the sites from the Railway Administration. However, for this purpose, the contractor will have to pay to Railway Pro‐Rata extra amount that will be calculated for the relevant year and subsequent years based on total amount quoted for first year and worked out for the subsequent years as per formula given in Financial Bid of the Tender Documents. Maintenance of display register
27. The Station Manager/SS of each station will maintain a display register media‐wise and keep it up to date on every first of the month as per Para 3029 of the Commercial Manual Vol. II, 1991 and the entries in the register will be signed by SS/SM and the advertising agency.

Penalty and interest on delayed payments 28. The North Central Railway Administration reserves the right to impose a penalty up to Rs.
10,000/‐ for first time, Rs. 50,000/‐ for second time and Rs. 1,00,000/‐ for third and every subsequent time for display of unauthorized advertising material as well as irregularity detected in the premises. The term unauthorized display will include the following:
a) Advertisement material on display without prior permission of Railway Administration.
b) Advertisement material on display without payment of rent even though contact has been executed.
c) Any violation of clauses contained in Code of Conduct of Advertising Agencies. 29. Licensee will be penalized as per clause no. 28 per offence on the following offences.
i) Any staff of licensee found in drunken condition/indulging in a bad conduct. ii) Any staff of the licensee found creating nuisance on duty. iii) Dishonoring of drafts of payments. iv) Not following the instructions of the Railway Administration. However, in case of delay in payment of Railway dues for more than 10 days an interest @ 2% per month of the due amount will be levied on the licensee. If the payment is not made within a month, the Railway Administration will be at liberty to terminate the contract.
30. Discrepancy, if any noticed or the licensee does not observe instructions issued by Railway Administration within a reasonable time, the Railway Administration reserves the right to impose a fine as per clause no. 28. Engaging guard and labour by Licensee
31. In addition to the routine Railway security, arrangement the licensee shall be permitted to engage his guard round the clock to watch his material displayed. The police and Railway Administration should duly verify antecedents of such guard. However, the licensee shall be responsible for the security of his/their property and railway shall not be liable to entertain in this regard.
32. The laborers/workmen engaged by the licensee to perform the licensee’s work shall only be called the employee of the licensee/contractor and have no link with the Railway deptt. The staff of licensee/contractor shall not be entitled/ claimed for any Railway benefit. No free passes to licensee
33. Free passes to the licensee or his staff for rail journey shall not be permissible. Verification of employees of licensee
34. The staff of the licensee should be provided with an identity card with photo duly attested and his/their conduct verified by the local police authority. Number of staff to be engaged by the licensee at Railway Station will be approved by the administration and I‐ cards issued by contractor as per approved format. Security Deposit
35. The licensee will have to deposit the security deposit equivalent to 10% of license fee for the every year before start of each year in the form of FDR within 15 days from issuing date of acceptance letter. The security deposit will be refunded on satisfactory completion of the contract period taking into consideration that all Railway dues are cleared. Engagement of other companies for fabrication of advertisements
36. The Railway Administration will have no objection if the contractor engages other companies/concerns/agencies for the purpose of exhibition of the fabrication, painting and selling advertisement space directly to users intending to promote the sale of

commodity, of service, to advance an idea or to bring above some other effects desired by the advertisers. However, at no time subletting of rights for advertisements to other advertising agencies would be permissible under this agreement.
37. The engaging of such concern etc. for the purpose of exhibition of fabrication, painting, selling of space etc. will be entirely at the licensee’s own risk and cost. Clearance from Civil Authorities
38. It will be the responsibility of the licensee to obtain all necessary permission from Nagar Nigam etc. in Allahabad Area and other State Government for other areas as required under law in operation from time to time to enable him to display their material and will pay the fee or any other charges directly to concerned authority at his own. Such charges, if any, are not deductible from amount quoted in this contract agreement.
39. Licensee will have to get the clearance for display of advertisement/hoarding from the competent authority (if required) and also pay advertisement tax etc. if any imposed by the authority acting on behalf of Court or State Govt. or Central Govt. Such charges, if any, are not deductible from amount quoted in this contract agreement (Refer para 13 above). Cost/expense bearing
40. All costs/expenses incidental to the preparation and completion of this agreement including stamp duty shall be borne and paid by the licensee/ contractor. Payment schedule for license fees
41. The licensee will have to pay the license fee for a period of three years subject to an enhancement of 10% for second year & 10% for third year over the previous year’s license fee respectively.
42. The licensee will have to pay the Quarterly license fee in advance after adjusting the earnest money deposit within 15 days of the receipt of the acceptance letter sent by this office.
43. Further payments for subsequent three months period shall be made on completion of three months from award of contract and so on every quarter. Termination of contract
44. The agreement shall be terminated without assigning any reason/reasons at any time by giving notice of not less than one month. However, in the event of an unsatisfactory working of the contractor, or in the event of failure on the part of the contractor in payment of display charges or any other charges due to the Railway Administration, the Railway Administration reserves the right to terminate the contract and to discontinue the display forthwith and confiscate the advertisement and other material of the contractor without prejudice to any rights available to him/them under the contract
45. Under ordinary circumstances the Railway Administration reserves the right to terminate the agreement by giving notice of not less than one month. The contractor shall not be entitled to any damage or compensation because of such termination other than the proportionate abatement of display charges for the period of non‐display.
46. For repeated violation of instructions/ breach of agreement, the Railway Administration reserves the right to terminate the contract at the risk and cost of contractor including forfeiture of security deposit. Commencement of Contract
47. The date of commencement of the contract will be 120 days from the date of issue of the allotment letter or first display of any advertisement anywhere in this contract, whichever is earlier.

Illumination/Electricity for displays 48. The contractor will be permitted to illuminate the displays. Railway will provide metered
electricity connections at suitable locations, as requested by the contractor, and if it is deemed fit by the Railways to do so. These connections shall be provided normally within 15 days from the date of such request is received by Sr. Divisional Commercial Manager, Allahabad. From Such metered points the onward connections the media display will be provided by the contractor at his own cost. The Equipment/Cables/Wires used by the contractor will be as per standard specifications. The charges for such electricity will be computed on metered reading at the time of installation and will be paid by the party on half yearly/annual basis. These charges will be reviewed time to time to take into account changes in electricity rates etc. However, due installation charges for such connections will have to be paid by the party. The contractor shall have liberty to make his own arrangement for illumination, such as silent DG sets at his own cost. However, while doing so extent regulations in respect of safety shall be complied with by the contractor at his own cost and the charges, as become due for providing infrastructure and land for installing such DG sets, will be payable by the party in advance. Modification in Agreement
49. Any addition/alteration/change/modification/review and extension can be made to this Agreement, only with the mutual consent of the licensee and the Railway Administration as per Schedule of Powers, applicable on North Central Railway. Deduction of Railway dues
50. Railway Administration reserve the right for deduction of Railways dues from the contractor’s security amount on the following grounds:
a) Any amount imposed as a fine by Railway Administration for irregularities Committed by the contractor.
b) Any amount which Railway Administration becomes liable to pay to the Govt./Third party on behalf on any default of the contractor or any of his servants/ agents.
c) Any payment/fine made under an order/judgment of any court/ consumer Forum or law enforcing agency or any person working on their behalf.
Once an amount under this clause is debited, the contractor shall reimburse the amount to the security deposit to the extent of the amount is debited within 15 days period failing which it will be treated as breach of agreement.
Arbitration 51. In the event of any dispute or difference of opinion arising out of this Agreement or any
special condition of contract or in connection with this agreement, the same shall be referred to the sole arbitration of a Gazetted Railway officer appointed by the General Manager/NCR. The Gazetted officer appointed as arbitrator however will not be one of those who had an opportunity to deal with the matter to which the contract relates or who in the course of their duties as Railway servants have expressed views on all or any of the aspects of the matter under dispute or differences. The award of the arbitrator shall be final and binding on the parties to this contract subject to aforesaid, the Arbitration & Conciliation Act, 1996 and the rules made there under or any statutory modification thereof for the times being in force shall be deemed to apply to the arbitration proceeding under this clause.
The venue of arbitration shall be the place from which the acceptance note is issued.

Workmen’s Compensation Act 52. The Licensee shall keep the Railway Administration indemnified and completely absolved
of any risk, damage or loss howsoever caused, due to any kind of disturbance affecting the licensee’s property or their personal under employment or otherwise engaged by them in discharge of their duties connected with the display of advertisements. This would include claims under the workmen’s Compensation Act and for losses suffered by third parties because of advertising material causing damage in the process of dismantling or accidental fall. The Railway Administration accepts no responsibility for any loss/damage of advertising materials belonging to the Licensee no matter howsoever caused. Legal jurisdiction
53. All disputes are subject to the jurisdiction of the Allahabad High court and its subordinates Courts only. Contract Labour Abolition Act
54. The contractor shall comply with all the provisions of contract labour (Regulation‐abolition) Act 1970 and any subsequent amendment thereof and the rules made there under. Contractor will indemnify the Railway Administration for any loss or damage suffered by it due to violation of its provisions. General
55. The advertiser shall comply with the laws of land, regulating the advertisement /display and Railway cannot be held liable for any change/modification in the laws that adversely affect this tender and the licensee will have no right whatsoever.
56. If not provided otherwise in the agreement all notices to be given by the Railway Administration and all other to be received on its behalf may be given or taken by the Sr. Divisional Commercial Manager, Allahabad or any other officer for the time being entrusted with the functions, duties and powers of the competent authority.
57. Railway Administration will not be responsible for loss/damages caused to the tenderer due to removal/alteration/banning of advertisement/hoarding etc. by competent authority.
58. For the purpose of this agreement, the competent authority is Additional Divisional Railway Manager/Allahabad.
59. The Railway Administration shall not be responsible for any loss or damage caused to the contractor due to total discontinuance of the scheme under the agreement for any reason whatsoever.

Dear Sir,
Sub: Tender for Sole Commercial Publicity Rights of 04 Clusters of stations for a period of three years.
1. I understand that the reserve price of each cluster is the sum total of the reserve price of the
nominated stations and 03 optional stations of highest value. However, the tenderers have the privilege of choosing any 03 optional stations. For example, the reserve price for 1st cluster is Rs. 1,05,56,336/‐ and whoever quotes the highest price for this cluster, will be awarded the contract. It will be up to him whether he uses or not uses any of the nominated stations, besides the 03 optional stations. In case the highest bidder against the reserve price of Rs. 1,05,56,336/‐ is not utilizing his privilege of using 03 optional stations, either in full or part, the Railway reserves the Rights of making best use of unutilized stations, in a manner as decided by Railway Administration.
2. I understand that in case bidder wishes to take more than 03 optional stations, he would indicate only the first three stations of his choice amongst the optional stations attached to the respective cluster, which will be treated as included in the price quoted for the cluster as a whole. For the additional stations, the bidder will indicate station wise offered price, which will be evaluated on the reserve price of that/those optional station/s and considered for granting it to him, if his offered price bid for these additional station (s) is/are more than the reserve price for the station(s).
3. The privilege for more than 03 optional stations will be available only to the highest bidder of the cluster. The highest bidder will be, however, determined on the rates offered against the Cluster (including the three stations from the optional list), of bidder’s choice. I understand that the bidders are advised that while they may quote their rates for the remaining optional stations as well, their offers for such remaining stations (other than 03 of his choice) will be considerable only if (i) he is the highest in his main bid against the Reserve Price of the cluster,

and (ii) his bid for even additional optional station/s is above the Reserve Price/s of such station/s, as indicated for each of such optional station in Section V of this document.
4. I / We intend to undertake the above mentioned work of Sole Commercial Publicity rights of ‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐‐ (please write the number of clusters for which rates are offered under item no. 8 below).
5. I / We have gone through the contents of Tender Form along with all the other documents carefully, information furnished by me/us is true to the best of my /our knowledge, and nothing has been concealed.
6. I /We have carefully read terms conditions & guidelines, which I/we shall abide by. I/We agree to take the allotment of contract of sole commercial publicity rights of Allahabad Division on “As is ‐ where is’ basis.
7. I agree that all charges, fees, levies, taxes etc. as applicable and charged by State Governments and other Central Government Departments shall be paid by us separately.

Note: I understand that my offer/s for additional optional stations will be acceptable only when I am the highest bidder against the offer for the main cluster/s and the three optional stations.
10. I agree that annual license fee payable by me for the first year and subsequent years for the
advertising area specified in para 5.0 above or part thereof, shall be as under:‐
a) First Year F1 = As quoted in para 5 above.
b) Second Year F2 = 10% above F1 i.e. 1.10 X (F1).
c) Third Year F3 = 10% above F2 i.e. 1.10 X (F1).
11. I agree that in any financial year, for additional area (say Q) over and above the nominated
area (P), additional payment will be made by me / us on pro‐rata basis, which is to be
calculated on the basis of the license fee for the respective year (Say F1 if additional area is
taken in the 1st year/ F2 if additional area is taken in the 2nd year/F3 if additional area is taken
in the 3rd year.
Note: The applicable rate for area ‘Q’ shall be paid for six months at a time and revised after every six months and paid accordingly. The entire contract however will come to a close after three years from Mean Commencement Date (Refer para 37 Section III).
