There is nothing permanent except change. Heraclitus, the famous Greek philosopher mentioned these lines in around 500 BCE.

This is indeed very true in our day-to-day lives. Everything is in a state of dynamism. Times are changing fast. So, are we! I would like you all to welcome the new look of our very own Spark Minda Times. We are coming up with a sleeker version, a newer design and a whole new perspective. I urge you all to join me in experiencing this transformation.

Our automotive industry is changing at a rapid pace. Nowadays, manufacturing plants are getting more digitalized and mechanized, as compared to earlier times. Also, with the technology becoming more advanced, we require people with new capabilities and fresh ideas. These technological advancements have opened new doors for many.

Our business does not only depend on the latest machines and cutting-edge technology, but also passionate people who align well with strategic priorities. Workforce is an important factor, which can make a difference between good companies and great companies. We strongly believe that we are blessed with an awesome team, which can take us to greater heights. We believe in total work-life balance. That is the reason we celebrate all the festivals, to keep our team engaged. The liveliness of our work atmosphere is augured by celebrating various events. I believe this shall have a positive change in the workforce and they shall be able to perform to the best of their abilities.

Message froM group Chief exeCutive offiCerBe the change you wish to see in the world. These famous lines by the father of our nation – Mahatma Gandhi correctly sum up our current organizational stature. We strongly believe that without radical changes, organizations would not be able to channelize their inherent strengths and capabilities. Transformations enable us to challenge the legacy, do away with our limitations, open up new possibilities and help us reach newer heights. All we need to do is to get out of our comfort zones, be on the edge and embrace the challenges.

As you might be aware, we have already initiated major organization-wide transformations. These structural changes are utmost necessary, as we believe we have the capability to disrupt the market, rather being disrupted by the market. We are confident to be initiating these changes so that it will enable us to get ready for the next level of changes, which the industry is gearing up for. I am confident in our people, processes and our powers to face the changes, so. Together, we would come out with flying colours. At this juncture, I remember famous lines by Gilbert Chesterton, which reads as "And when it rains on your parade, look up rather than down. Without the rain, there would be no rainbow." I believe we have landed in exciting times and the future looks even brighter from here. Its time we all look up and experience the rainbow of our passionate hard work.

Having deep regards for learning and self-development, I strongly feel that all of us can improvize to better our lives. We need to invest in ourselves, develop new skills and get ahead in lives. We need to act and behave

as if we are role models, as we never know – how, when and where our actions and deeds would inspire other people. In these busy times and stressful lifestyles, we need to spend some time for ourselves.

In my last message I urged all of you to come together as one team, to enable ourselves to reach to greater heights. I am truly touched by the quantum of efforts and hard-work that all of you have put in to achieve this power of one. Management has done its part by building a strategy to consolidate the subsidiaries. However, it is you, who have led this transformation, provided wings to our dreams, executed the strategy and mixed like sugar in milk. Today, I am proud to be leading such a great team of passionate members. The way we have conducted ourselves as a single team during this transformational journey is truly a remarkable feat.

I thank each one of you for rising to the occasion, lifting others up when needed, working with passion and achieving the goals. Thank you for being part of Spark Minda.

The global automotive industry is moving towards electronic and autonomous mobility, faster than we think. The latest trends, as we see are CASE (Connected, Autonomous, Shared Mobility & Electrified). While the industry adapts to autonomous vehicles, based on Artificial Intelligence (AI) and powered by electrified power-train, the communication of these vehicles with external infrastructure, as well as other vehicles sharing the traffic remains a challenge. Internet of Things (IoT) will be an enabling factor towards this goal. BSVI conversion is another development, which is expected to bring about radical changes in the industry. The industry is gearing up to provide for additional security, telematics, advanced driver information, apart from the usual changes of power-train control systems and sensors.

Within the organization, our focus for development is on Electric Vehicles Basket 1 products – DC-DC, Battery

Charger & Motor Controller. Some of the products like DC-DC convertors are already in production at MTEL. We developed Blue Eye 4.2 for tractor segment, which smartly assists the farmer to control the rotavator. We were the pioneers in developing DC-DC convertor, which was in conformity with the norms for 2w and 3w EV solutions. I am happy to share that we received Letter of Intent (LoI) from Vogo for telematics systems.

We have also been witnessing some structural organizational changes. I thank each one of you in putting through all the hard work, walking that extra mile and making all these possible. I would also conclude with a quote from Sir Stephen Hawking, “Intelligence is the ability to adapt to change.”

The year 2018 – 2019 has been a constructive and challenging year for all of us and our continued commitment and passion have contributed towards the growth of Spark Minda Group. This year was centred around organizational transformation, change management at every level, and implementation of new processes and SOPs wherever applicable.

During the year, there were a lot of challenges that were being faced by the auto component industry and Spark Minda Group. Many external and internal challenges like the upcoming changes in industry regulations, ever-increasing expectations of the customer, operational excellence and not leveraging available synergies, etc. were affecting the success of the organization. To overcome these challenges, we decided to transform ourselves in terms of the external and internal outlook. We re-launched our brand and logo and implemented new organization structure in terms of business verticals; invested in our technology centre at Pune; introduced a new processes like Project Management Group and Key Account Management.

Moving forward, we aim at becoming a performance driven organization with a strong focus on demands and expectations of the customers. We have planned investments in new technology and design; and at the same time, we target to build capabilities of our workforce in terms of current and future needs and also create a strong pipeline of leaders.

We are building strategies and action plans to hire the right kind of people and focus on diversity in terms of educational background and gender. The vision is to build an organization that is future-ready and has a culture of collaboration and teamwork.

To fulfill this vision, each individual has to act like a change agent and should be responsible to disseminate positive information, guide and support their team and peers, and ensure that the new processes, procedures are implemented in ways that deliver the expected value that the organizational change had to create.

Spark Minda organized the “Investor and Analyst Day” in Mumbai at Trident, BKC, which was attended by 125 participants from Investor and Analyst community. Participants appreciated the event, which gave them more insight into our Company and understanding into our Company.

The display centre provided a unique experience to demonstrate how with the help of technology, we are

changing, our legacy products and bringing non-legacy technological products, which is high in electronic content. This was the first-of-its-kind effort, by any listed company to showcase its entire range of product portfolio and have a team to explain it during their Investor and Analyst Day. Credit goes to the SMIT team, Corporate Communication team and other support functions from finance and marketing team.

KAM Training

We conducted a Key Account Management training for all the key account managers of the Group. The training was conducted on 30th and 31st January, 2019 at SMIT, Pune. There were 6 trainers and 22 participants present in the training from across the Group. The workshop commenced with a session by by our respected Group CEO, Mr. Ashok Minda. It was about the importance of customer centricity and its importance in the success of KAM.

Day 1 was about “Basics of Automotive IC Engines", followed by basic features and components of brakes and EPS & Hydraulic Steering Systems. The day ended up with session on “Behavioural Training” and role of KAM.

Day 2 started with a session on “Automotive Transmissions”, followed by “Electrical and Electronics” which focused on vehicle electrical components and systems in alignment to the future trends. It was concluded with a product demo of electronic vehicles products by the SMIT Team.

Senior Management Conference

Spark Minda Group organized “Senior Management Conference” on the theme of “Transform and Rise” to establish the clear direction of short term and long term strategic goals. 85 participants flew in from different locations to attend two-day event. A key message was delivered by Mr. Ashok Minda, Group CEO where he set the context of the theme and talked about the key stakeholders of the organization – investors, customers, people and technology. He also briefed about the growth strategy and identified

the path ahead, along with the challenges. Seasoned professionals were invited as expert speakers to speak on the expectations of key stakeholders – Investors and Customers. The live experience of Engineering Excellence Zone was done to acclimatize the senior management with technology. Team building sessions were conducted to give us good insights on how we can win as a team in this Vuca (Volatility, Uncertainty, Complexity and Ambiguity) world with Zoom-In, Zoom-Out process.

Minda Silca participated for the 1st time in CII Auto Serve 2018. It was a two day Auto Component show. Futura Light (EKCM) was the highlight of the event, Other mechanical machines were shown along with Silca Point concept. More than 350 people visited the stall.

For the First time, Minda Silca Participated in SECUREX 2018 as its Co - Sponsored. 8th Malaysia Security Crime Prevention Campaign & Exhibition was one of its kind shows which display "Security Product & Devices". Futura Light was launched in the show and became a major attraction for visitors. A small workshop was also organized during the show.

Minda Silca participated in Automechanika 2019, New Delhi from 114th to 17th February 2019. The Stall was inaugurated by Mr. Arvinth Siva (President & Business Vertical Head - Aftermarket at Spark Minda Group) in the presence of Mr. Paramode Parasramka (CEO - MSEPL), Mr. Abhishek Grover (GM-Marketing), Mr. Lokendera

Every year MASL organizes a Star Club Business Partners Meet with the Business Partners and their families, where everyone comes together and cherish the long term association and business relationships, celebrate the success and growth of the past year and start the new financial year with great understanding and strong mutual support. Business Partners Meet was organized this year from 10th to 14th November, 2018 in Paris, France – the City of Love & Romance. The event's theme was “What Got You Here, Won't Get You There”.

The most important evening was the Awards Show & Gala Dinner, which was held at Paris Marriott Rive Gauche Hotel & Conference Center. The Awards Night was hosted by Mr. A. K. Rahman and the occasion was graced by Mr. Ashok Minda – Group CEO, Mrs. Sarika Minda, Mr. Aakash

Technology Show and Conference

The automotive industry in India is today entering a new phase of extraordinary growth and sheer market size, but also a hub of manufacturing and innovation, in line with next generation technologies such as e-mobility, all set to usher in a revolution. As the Indian auto component sector forges ahead from strength to strength and distinguished to become globally competitive, it needs to set its priorities and be future-ready. During the Trade Fair, one day Delegate Seminar was conducted on 15th February, 2019 bringing together the great leaders and best minds in the industry. The seminar theme was based on “Indian Auto Component Industry – Gearing for the future, leveraging opportunities". A passionate leader with a vast experience of 24 years in various functions and management roles, Mr. Siva Arvinth - President & Business Head, Aftermarket was one of the eminent speakers in the panel. His key topic

was Innovative Marketing & Promotions. Within a time frame of 20 minutes, he shared a wonderful storyline on “Customer Experience – New Journey in the New Reality”.

inauguration Ceremony of New East Region @ Kolkata

On 31st October 2018, the New East Regional office was inaugurated with state of the art space. The entire office is designed keeping in mind the open culture and a vision of driving success. West Bengal sales team steps into the new office space to deliver remarkable results. Ribbon-cutting ceremony was done by our business partner Mr. Nand Kishore Daga.

The ceremony was further graced by the presence of a few other Business Partners from Kolkata - Mr. Jatanmal Gelera, Mr. Ashish Jain, Mr. Alok Minda and Mr. Arun Singhania, along with the sales team of West Bengal.

Business strategies and long-term plans were discussed to increase the market share and product range of 2 & 4 Wheeler segment.

The 8th Shri. S.l Minda Memorial Sports Tournament 2018-19

The 8th Shri. S.L Minda Memorial Sports Tournament 2018-19 was inaugurated on 18th February 2019 by our Group CEO, Mr. Ashok Minda at Mohan Meakins Cricket Ground, Mohan Nagar, Ghaziabad.

On this special occasion, our respected Chief Guest, Mr. Ashok Minda, Mr. Rajesh Bansal, Mr. Pramode Parasramka, Mr. N. K. Taneja, Mr. N. K. Modi, Mr. Sudhir Kashyap and Mr. Aakash Minda graced the occasion with their kind presence. Dignitaries were warmly welcomed by Central Sports Committee and North Zone Sports Committee Members comprising of Mr. Ajay Sancheti, Mr. Sumit Doseja,

Mr. Amit Jalan, Mr. Rabindra Kr. Behera and Mr. Palash Kulshrestha. Mr. Ashok Minda encouraged all the players with the motivational words. It was overwhelming to see 180+ sportswomen in this huge gathering of 900+ employee engagement exercise. The highlight of the tournament was the Cricket match. The other games which were played in this tournament include Volley Ball, Table Tennis, Badminton, Carrom and Kabaddi. The sporting event is organized by Spark Minda Group, Central Sports Committee, every year and is held in the memory of our beloved Babuji, who always believed that only a healthy body and healthy mind can lead to a strong and loyal workforce.

Education & livelihood Promotion

a) Aakarshan Vocational Training Program - Convocation Ceremony

It was a moment of immense pride for Spark Minda Group, when the Convocation Ceremony of Aakarshan U.P., Tamil Nadu, Uttarakhand & Maharashtra was held in the month of March 2019. A total of 1,489 learners from Basic Computer, Tally, Basic & Industrial Tailoring, Beauty Culture & Spoken English trades graduated with flying colors across all five centers in India in FY18-19.

Aakarshan is a CSR initiative of Spark Minda Group, which is benefitting the less privileged youth, women and school-going children from poor socio-economic background, since December 2013.

Till date, Aakarshan Vocational Training program has benefitted 5,405 people with 47.8% Employment to aspiring youth.

b) Dual System of Training Program

The gap between the supply of ITI and demand of the Industry is known to all of us. To bridge this gap, an MoU was signed between DTTE-Govt., NCT Delhi and Minda Corporation Limited to initiate Dual System of Training. This program has been started in the month of December 2017 at ITI Nizamuddin in the trade of Press Tools, Jigs and Fixtures.

The highlight of the ceremony was the distribution of Job Offer to 115 women from Industrial Tailoring trade at Greater Noida. Industrial Tailoring Program focuses on women empowerment through teaching them industrial based skill set which is needed in export houses. After training them for 45 days, 100% job is guaranteed to them. This is a collaborated project with Shahi Exports.

Mrs. Sarika Minda graced the occasion as Chief Guest. She acknowledged the students who attended different courses in Aakarshan. Government representatives from Gram Panchayat, School Committees etc. along with unit representative actively participate in Aakarshan Convocation Ceremony of all locations.

Out of the course period of 2 years, the students come to Spark Minda factories for 9 months for internship and during this period, the group also pays them internship money as per Apprenticeship Act.

This program is an excellent example of win-win model, where students are getting benefitted with on job training in the industry, whereas industry is getting skilled manpower, which can be retained, creating employment opportunity. This new model in the industry has been well received.

Currently, 21 students are interning in the factories of Spark Minda Group.

c) Business integrated Prison Program

With the objective to create a crimeless society through imparting skills and providing employment accessibility to inmates in prison in India, a new facility of Lockset Assembly was Inaugurated at women cell of Yerwada Central Prison, Pune on 13th August 2018.

The unit has been set up to manufacture Lockset Sub Assembly within the premises of prison authority for esteemed customer, Bajaj Auto Ltd. This Public – Private Partnership project is a collaborative project between Minda Corporation Limited, Yerwada Central Prison Authority and Bajaj Auto Ltd.

Currently, 18 women inmates are engaged in the manufacturing process with the plan of engaging more in future.

The group has started the 1st model ever done by any automotive company in 2014 in Tihar, subsequently at Yerwada, Aurangabad and Nagpur prisons.

Empowerment of Persons with DisabilityTo ensure sustainability to the lives of Persons with Disability, through ensuring their mobility, skilling and employability, Spark Minda Foundation has developed a Program called “Saksham”. It is supplementing to Accessible India Campaign (Sugamya Bharat Abhiyan).

Scope of Saksham is as follows:

a) To provide accessible and assistive aids

b) To provide disability certificates

c) Organize Job Fairs

d) Provide Skilling

e) Provide Employment facilitations

a) Camp in rural Maharashtra

In Maharashtra, a 12-day Empowerment Camp for Persons with Disability was organized in Pune in association with 12 local NGOs, Sector Skill Council and District Administration of Pune.

The camp was organized in Empowerment center of Pune which is situated at Chimbali Phata between 27th

January to 07th February 2019 with a notion to provide mobility aid, skilling and employment to PWDs.

The Camp benefitted 1,610 assistive aid fitments to PWDs from Ahmednagar, Kolhapur, Beed, Parbhani, Shirdi, Nasik, Aurangabad, Amravati, Karnataka, Delhi, Bihar, Satara, Lonavala, Sangamner, etc. ~ 200 people were also identified for providing employment by group companies and Sector Skill Council.

b) Camp with indian Army in Uri district, Jammu & Kashmir

The camp was organized in association with Pir Pranjal Brigade (Indian Army), started from 16th to 23rd September, 2018 at Boniyar, Uri district of Jammu & Kashmir. The camp aimed to treat more than 250

This program was identified to cater to the rural women of U.P., Uttarakhand, Haryana, Tamil Nadu and Maharashtra after studying their health status and personal hygiene practices and need assessment. 928 women and adolescent girls were trained in FY18-19 on the subjects of biological aspect of menstruation, taboos associated with it, hygiene, the importance of family planning, various methods of contraceptives, healthy timing and spacing, etc. The survey partner for the program is Global Hunt Foundation and training partners are Jatan Sansthan, Pathfinder India and Unicharm.

Persons with Disability affected by landmines in 8 days. Observing the response of the community the number for fitment was increased to 274. The camp has provided support in limb fitment, Caliper fitment, providing Walkers, Elbow Crutches, Sticks, etc. all in the same day and as per requirement.

PWDs from Uri, Sahoora, Aslanga, Kupwara, Bandipura, Handwara, Paltan, etc. and various other far-off villages had come to avail this facility.

Regarded as High Scale program rated by General of Command, Indian Army for installing peace in the valley.

Health & Well-being a) Women Empowerment through improved health

Spark Minda Foundation conceived the Women Empowerment Program to uplift the women of society by improving their health status through its menstrual hygiene, family planning, reproductive health, nutrition and maternal and child health programs in phases.

Spark Minda Foundation is proud to share that the program has already achieved its United Nation’s commitment to benefit 3,000 women by FY 2020, by reaching out to 3,218 women adolescents and men till FY18-19.

b) free Eye Healthcare Camp for the Community

An Eye Camp was organized for the community in 5 states; Uttarakhand, Maharashtra, U.P., Haryana and Tamil Nadu. The camp was being organized in association with HelpAge India & Vision spring. Following services were rendered in the camp: -

• Free Eye Checkup• Free spectacles • Free medicine• Referrals for cataract surgeries

Outcome – Approx. 4,626 people were benefitted during the camp in FY18-19 whereas 10,447 people have been benefitted till date.

One of its kind vending machine is capable of disposing and recycling plastic bottles, aluminum, or steel cans. Installing of such vending machine will give a direct access to everyone in that vicinity to dispose the plastic waste in the most innovative way. In this vending machine, anyone can drop in the plastic bottle and in turn vending machine will reward disposer with one rupee or cash coupon for each bottle.

The inauguration of vending machine has been done by honorable Mr. GS Sistani, Justice, High Court Delhi; in presence of Mr. MK Pajan, Advisor SMF and Mr. AP Gandhi, Director, Minda Corporation Limited who have been actively involved in putting up the vending machine in the High Court premises.

Sparkonnect – Annual CSR Community Coordinator Meet - 2019The Group CSR held its 4th Annual CSR Coordinators Meet - ’Sparkonnect’- Share & Care, from 27th – 30th March 2019 at Goa, Maharashtra.

The Meet was organized for CSR Executives, Coordinators, Trainers of all Project locations of India (Greater Noida, Pune, Chennai, Haryana and Pantnagar) with the objective to provide a platform for sharing of relevant knowledge, exploring new avenues for initiating CSR projects in the upcoming year, team bonding and also providing a platform for replication of good practices.

The comprehensive 3-day program initiated with a visit to Aakarshan program, Saksham Empowerment Center, Community Infrastructure projects and Convocation Ceremony of Pune.

The second day began with a meeting where each Regional CSR Coordinators’ gave a presentation on their respective locations’ key targets and achievements with a detailed SWOT analysis. This was followed by the suggestions and Q&A round by Group CSR Committee.

The Annual Meet ended with an excursion trip to Goa for sharing of work and Team Bonding.

Lohri is traditionally associated with the harvest of the rabi crops. The traditional time to harvest sugarcane crops is January and therefore, Lohri is seen by some to be a harvest festival.

A bonfire was arranged in the park of MCL Noida on 12th January 2019. Mr. D. S. Mehra, Mr. Sant Kumar, Mr. J. K. Yadav and Ms. Sunny Singh were present during the bonfire. The safety week was celebrated at MCL-PN with a self promise of safety oath in which all employees participated in safety week celebration. Competitions such as poster, slogan and road safety campaign were organized.

MCL DCD Pune celebrated Safety Week by inaugurating with Deep Prajwalan and following it by Safety Oath. All members gathered and took an Oath for adhering the safety. Safety Drawing and Slogan competition were conducted at plants to motivate employees towards a safe environment.

The Road safety week was celebrated at MCL SAI, Greater Noida with many informative and fun-filled activities. Motorcycle riding adventure activity, was a secret one - where the riders had to identify safety PPEs, which were hidden on the way. Other activities included fish cup game as a part of riding adventure.

Blood donation camp was organized on 25th January 2019 by Lions Blood Bank. The camp was inaugurated by Mr. Hardeep Singh Arora, Mr. Anil Kumar Maheshwari, Mr. Vivek Mehrotra and Mr. D.S. Mehra. All the employees, including female employees had actively participated in the program. Juice, apple and Mugs were given to the donors. 42 units of blood were donated at the end of the event.

The camp was organized on 19th January 2019 in association with the Rotary Club. Other Group companies of Minda had also participated in this camp, which was really appreciable. The event was inaugurated by Mr. Rajesh Kumar Goel (SBU Head- Northern Region) along with all the HODs. More than 130 blood donors have participated and 98 Units of blood was donated.

Health Check-up camp by Metro Hospital, Noida was organized on 13th November 2018 in company premises. Team of senior doctors from the hospital was present during camp. General Health Check-up camp along with ECG was done. 270 employees were benefitted through the programme.

To promote good health & hygiene among the villagers of Kuleshra Village, a health check-up camp was organized on 15th December 2018 through Neo Hospital, Noida. The camp was divided into two parts-General Health Check-Up Camp & Dental camp. A physician doctor & a dentist were approached for the camp. Related medicines were also given to the patients by the doctors. It was a full day camp. Around 400 people benefited from the camp.

Health check-up camp was organized at MCL-PN covering 292 people, with the support of Dr. Malik and team. Associates working in critical areas were inspected for their good health.

MCL DCD organized a Medical Check-up camp for all employees. ECG, BP, Audiometry, Vision, Blood, Urine test were conducted during the health check-up camp. A general physician was also present to check the employees and answer their queries.

Minda Bal GramActivities for Children During The Period

• Total 2 girls who attempted for their class XII examination for the academic session 2018-19 and got successful in their examinations.

• On 2nd February 2019, a group of 35 children visited Hindu Spiritual and Service Fair at Laser Park, Gurugram organized by Global foundation for Civilizational Harmony (in which spiritual organization and leaders of Hinduism, Buddhism, Jainism, Sikhism, Islam, Christianity and Judaism converge). One of the main objective of this fair was to encourage and promote service to humanity, on the ancient Vedic principle of “Atmano Mokshartham Jagat Hitayacha” meaning “Salvation Through Service to Humanity”. Some 65 children participated in “Acharya Vandan” programme (Salutation to Teachers), in which more than 4,000 students from different schools and colleges of the state had honored their Guru/Teacher. In this programme some 250 socio-religious groups successfully participated in the event and set up stalls to showcase their services and publications.

• As on 22nd May 2019, 515 children have been admitted since inception (Year 200I) and 465 children restored in their families. Presently there are 50 girls.

• On 25th December 2018, a general health camp was organized for the children and staff of Minda Bal Gram by Dr. Manju Sharma, visiting doctor and her team including support staff. The response was good and helpful.

• An awareness workshop on Menstrual Health Management for young girls was organized by Delhi based an NGO-Vyomini Social Enterprises. The programme aims at promoting good menstrual hygiene by providing health education to girls and women on menstrual hygiene, increased community action to improve access to clean toilets with water, both at home and school, promoting the availability and use of sanitary products and enabling safe disposal of the sanitary products. The workshop was very helpful.
