From response vehicle electric management to their light and audio signalling, as well as in the field of cruise control, innovation is the very core of our company culture.

We are in partnership with the French Ministry of the Interior, the French Gendarmerie, local authorities, regional authorities, motorway operators and for the past 20 years we have

been growing our expertise and know-how in one field: safety.

For several years we have been developing products suitable for market needs and compliant with regulations.

Mercura is also an approved training centre in France that accompanies its partner clients in the selection, installation and maintenance of signalling products.

• Single light or light in the lightbar for emergency response vehicles• Blue rotating lights: Category A reserved for vehicles having right of way (regulation n° 65): police and customs vehicles, Ministry of Justice

vehicles assigned to transporting detainees, municipal police vehicles (French decree n° 2005-425), French gendarmerie vehicles, fire and rescue and response teams, MICUs.

• Blue strobe lights: Category B reserved for emergency vehicles with right of way (regulation n° 65): ambulances for medical transport, paramedic association or doctors’

vehicles participating in local response schemes, EDF and GDF response vehicles, SNCF patrol vehicles, Bank of France armoured transportation and escort vehicles, motorway and dual-carriageway operator service vehicles, winter maintenance vehicles (intensity >105 cd) - regulation n° 65, NFP - 98-795 standard, CETMEF validation.

• Grill lights (regulation n° 65): only authorised in France for public authority vehicles with right of way: letter from the French Ministry of Transport of 24th February 2003.

Class 2:In order to be approved as Class 2 under regulation R65, visual devices must be able to switch between two levels of light intensity: a daytime mode and a night time mode. If they only have one level, the night-time values will be used for approval purposes. If this is the case the devices can only be approved as Class 1.

VARIATIONS AND OPTIONS FOR ALL Lightbars

Lengths:• 1.10m lightbars are specifically intended for light vehicles or vehicles with limited roof space• 1.50 m: intended for utility vans or heavy goods vehicles• 1.80 m: lightbars designed for vans equipped with a cell.

S: Lightbar with approved siren and 150W loudspeaker built into the lightbar • Siren tone to be indicated

Loudspeaker: With 150W loudspeaker built into the lightbar, the siren is not included in the lightbar and must be delivered in addition (See the “Sound” section)

Multi-tone: Certain lightbars can have two siren tones (For example: Ambulance, mobile ICU)

SPA: Lightbar with approved siren and 150W loudspeaker built into the lightbar and control module plus Public Address. The lightbar is supplied with PA system and a “Handy” microphone. Mountings with pads:• This solution is independent of the vehicle type. It is made by drilling the roof, with rubber reinforcements.

The rubber elements have two functions:• they spread the load of the mounting across the surface of the

roof, avoiding possible shearing of the roof,• they absorb vibrations and stress produced on the roof of the

vehicle by the signalling unit.

TRAIN YOUR EMPLOYEES

The purpose of MERCURA® training courses is to increase their skills and general and technical knowledge of the installation and maintenance of signalling products.The training courses available on our premises group together employees from all walks of life, facilitating teaching synergies and exchanges of experience.

THE TRAINING TEAM

In immersion mode, the trainees follow courses given by technician-instructors experienced in the different fields covered. The sessions are built around theory courses and hands on training (Use of software, wiring, etc.).

TRAINING MATERIALS AT THE TRAINING CENTRE

At the core of the business, our approved training centre has its own classroom fitted with the appropriate equipment. This location allows for great flexibility in meeting your expectations via exchanges with the different departments, and especially technical support. The proposed training courses cover knowledge from the definition of needs in order to be able to define specifications documents, to maintenance techniques, and including the design and development of signalling systems.

Payment or a 30% deposit must be paid with the purchase order. All cancellations must be notified at the latest 15 days before the training course date. Failing this, the deposit, or its equivalent will be withheld.

MERCURA® reserves the right to cancel the training session if there are less than 4 trainees.

These are specific regulations which should not be taken lightly!Signalling devices for service vehicles working on public highways are subject to very strict and specific regulations. If a vehicle is equipped with signalling devices that do not comply with these rules, the persons responsible for the vehicle fleet would be liable to prosecution in the event of an accident.• Authorised products can be identified by an approval number which must appear on the actual product.• The numbers and conditions under which signalling products have been validated and tested are indicated in a document issued by official bodies such as the UTAC in France.• They comply with current French and/or European regulations.• Applicable regulations in France: R65, Highway Code, Electromagnetic compatibility standard, etc.

Certain vehicles have special horns that allow them to use special provisions of the French Highway Code and, for certain vehicles, to dispense with normal rules governing right of way (traffic lights, stop and give way signs, priority to the right). These special provisions of the French highway code are only applicable when:• the vehicle is authorised to use these devices• the urgency of the mission justifies it• the special audible and visual signals are switched on• the driver takes certain precautions, especially when crossing intersections.

Definitions

In France, only emergency vehicles are authorised to use special audible and visual signals. Article R. 311-1 of the French Highway Code makes a distinction between:• priority emergency vehicles,• emergency vehicles with right of way,• Priority emergency vehicles include service vehicles of the police, gendarmerie, customs, fire brigades, mobile ICU response vehicles and vehicles of the Ministry of Justice assigned to transport convicts.

Emergency vehicles with right of way include ambulances for medical transport, EDF and GDF response vehicles, SNCF patrol vehicles, Bank of France armoured vehicles, vehicles of paramedic associations or doctors participating in local response schemes, winter maintenance vehicles, response vehicles belonging to motorway or dual-carriageway management operators.

Visual warning devices

Article R. 313-27 of the French Highway Code states that:• priority emergency vehicles can be equipped with special rotating lights or special signalling lightbars. This system is defined in a circular. It specifically consists of blue rotating lights.• all emergency vehicles with right of way may be equipped — following prior prefectural authorisation — with special flashing lights. This device is defined in a circular. It specifically consists of blue strobe lights.

• all emergency vehicles can be equipped with additional signalling devices made up of fluorescent or retro-reflecting elements. For fire and rescue vehicles this is an amber strip. Article R. 313-28 of the French Highway Code states that certain slow-moving or oversized vehicles can be equipped with special lights and additional signalling devices made up of fluorescent or retro-reflecting elements. Specifically, these are amber rotating lights or two amber strobe lights.

Audible warning devices

Article R313-34 states that:• priority emergency vehicles can be equipped with special horns in addition to the horns that are required for every motorised vehicle;• emergency vehicles with right of way, with the exception of winter maintenance vehicles, can be equipped with special tones in addition to the horns that are required for every motorised vehicle;

Current legislation

Geneva regulation R.65:"Uniform prescriptions on the approval of special lights for automobiles"

French order of 30-10-1987 amended by the order of 23 December 2004:Defines the duties, in terms of visual signals, to be fulfilled by category A and category B vehicles in order to receive approval. The order defines, in particular, the number of lights, their characteristics, types and mandatory positions.

The letter of 24 February 2003 from the French Ministry of Infrastructure to the Ministry of the Interior authorises emergency vehicles to be equipped with "grill lights"

Article R.313-27 of the French Highway Code, definition of vehicle categories that can be equipped with additional signals.

Article R.313-28 of the French Highway Code, authorisation for slow-moving vehicles to be equipped with special lights.

Article R.314-34 of the French Highway Code, authorisation for vehicle categories A and B to be equipped with additional audible signals

1. GENERALThese general sales terms and conditions are applicable, unless othewise stated in writing, both to export and domestic sales by our Company (hereafter referred to as the “Vendor”). Notwithstanding any measures to the contrary in the Buyer’s general purchase terms and conditions, the acceptance of the Buyer’s purchase order by the Vendor implies the acceptance by the Buyer of these sales terms and conditions.The purchase order shall therefore be governed by these General sales terms and conditions unless one or more contrary terms have been explicitly accepted by the Vendor.The information on the commercial documents issued by the Vendor may be modified by the Vendor at all times without notice, in order to take into account technical evolutions or economic conditions.Each time the Vendor supplies the Buyer with software, either separately, or combined with other products supplied by the Vendor, the use of this software is governed by the Licence terms and conditions for the Vendor’s software applicable to this software.All the terms indicated in these General sales terms and conditions, except for those in article 9.1, also apply to the supply of software insofar as they are compatible with the software Licence terms and conditions proposed by the Vendor.The General sales terms and conditions cease to apply if, in a previous purchase order, the Buyer failed to fulfil their duties. In this case a refusal to sell shall be validly put forward, unless the Buyer can provide sufficient guarantees or a cash payment. In the latter case, no discount will be granted.

2. PRICEPrices are indicated “Ex works” (EXW Incoterms 1990), excluding all customs duties, taxes and other fees or public or para-public duties. Packaging is not included in the price: all instructions covering packaging, weight and customs formalities must be complied with by the Vendor, on condition that the Buyer has given its precise instructions reasonably in advance. The corresponding extra costs are to be borne by the Buyer. Prices are defined by the Vendor depending on the economic and financial conditions on the day of their proposal; these prices may be updated by the Vendor at all times to take into account any changes in these conditions.

3. DELIVERY3.1 All lead times indicated by the Vendor are given as an indication only and shall only take effect on the day the Vendor issues the acknowledgement of receipt of the purchase order. Unless the Vendor explicitly accepts the contrary, no failed or late deliveries entitle to cancel the order, to compensation or to engage the Vendor’s liability.3.2 Unless an agreement to the contrary referring to other Incoterms is made, the delivery and the transfer of risks occur “At the works (Vendor’s factory or warehouse)”.

4. CONDITIONS FOR THE ACCEPTANCE OF DELIVERIES BY THE BUYER4.1 If no specific technical specifications have been given by the Buyer and accepted by the Vendor, the Vendor specifications relative to the sold Products will be considered to be contractually binding. However, Products destined to be built into rescue systems are governed by the terms of article 9.2 below.4.2 Any claims concerning product non conformity relative to specifications described in article 4.1 above must be formulated in compliance with the Vendor instructions as contained in the documents accompanying the products, failing which they shall not be accepted and the application of articles 4.3, 4.4 and 4.6 below shall be forfeited. In the event that these instructions were not to exist, any claim must be made within one month of the delivery date, failing which it shall not be valid.4.3 If, after having tested the delivered products, the Buyer considers that a batch of delivered products is not compliant with the technical specifications described in article 4.1 above, they must inform the Vendor of the fact by letter, at the latest during the month following the delivery date. On expiry of this one month period, all products shall be considered to have been accepted. Following the agreement of the Vendor, the Buyer shall return the complete rejected batch.Any claims relative to a batch of defective products must meet all of the following four conditions to be accepted by the Vendor:4.3.1 To each batch of allegedly defective products shall be attached the precise reason for the rejection and the results of the corresponding tests;4.3.2 The return of the batch of products shall include all the original packing in good condition and at the Buyer’s expense;4.3.3 The Products must not have been damaged in any way, especially during storage, testing, assembly or removal; and4.3.4 The Buyer must not have altered any of the products.4.4 The terms of article 4.3 above will not apply to batches of products for which the acceptance has been carried out in the Vendor’s factory or which have met the quality assurance procedures (such as the European C.E.C.C system) and which are consequently considered to be compliant with specifications. No returns shall be accepted for these products.4.5 If the Buyer requests a Certificate of Conformity from the Vendor, this certificate shall be drawn up according to local practice.4.6 In the event of a claim under the terms of this article, the terms of article 9.1 below shall apply.4.7 No purchase order cancellation for any reason shall be accepted if it occurs less than 90 days before the requested delivery date, unless the Vendor agrees in writing.

5. FORCE MAJEURENone of the parties will be considered liable for a delay or a failure to perform their duties if it is due to any uncontrollable event such as: act of government, earthquake, fire, flooding, industrial action, riots, civil war, war (whether declared or not), recentness of Products or other unplanned manufacturing problems, government or civil service measures, incapacity to supply required materials (except where this incapacity results from negligence by the liable party or transport difficulties). The rights and duties of the party falling victim to force majeure shall be extended on a day by day basis for a duration equal to that of the force majeure event. In order to benefit from the terms of this article, the party falling victim to a force majeure event must, as soon as it has knowledge of the event, notify the other party in writing of the occurrence, the origin and the cause of the force majeure event.

6. TRANSPORT - INSURANCEThe products travel at the Buyer’s risk. On their arrival on site, the Buyer must check them and, if necessary, notify the transporters of any reserves within 2 (two) days following the receipt of the products. On special instructions from the Buyer, the products can be insured by the Vendor, who, in this case, shall invoice the Buyer the corresponding extra insurance costs.

7. PAYMENT TERMS AND CONDITIONSThe products are payable at the Vendor’s premises on receipt of the Vendor’s invoice unless otherwise explicitly stated. The failure to pay an invoice on its due date authorises the Vendor, legally and without any prior notice, and without prejudice to any other proceedings, to suspend all deliveries, whatever the terms of the corresponding purchase order, until full payment of the price, to cancel any discounts that may have been granted to the Buyer on the said invoice, and finally to invoice the Buyer interest at least equal to one and a half times the legal rate. The Vendor reserves the right at all times to claim on all or part of a full or partial advance.

8. OWNERSHIPTHE VENDOR RETAINS OWNERSHIP OF THE PRODUCTS UNTIL THE FULL PAYMENT OF THEIR PRICE NOTWITHSTANDING ANY DELIVERIES TO THE BUYER.The failure by the Buyer to meet a payment due date authorises the Vendor to request the return of the delivered products. Notwithstanding the above, the Buyer remains liable for any loss or damage that occurs after delivery.

9. WARRANTY9.1 The Vendor guarantees that its products shall have the specifications defined in article 4.1 above, for a period of 1 (one) year from their delivery date. This guarantee shall not apply in the following cases:- if the products have been damaged or if the Buyer did not store them in compliance with the specifications or contractual terms or suitable conditions; or- if the products have been subjected to abnormal conditions (mechanical, electric or thermal) during their installation or use; or- if the products have been subjected to a use in excess of their maximum capacities (temperature limits, maximum voltage, etc. as defined by the Vendor; or- if the Buyer has made an error in the choice of an application. The Vendor’s guarantee is limited to the replacement or the return of the products recognised as being defective. The Vendor may not, under any circumstances, be held liable for the cost of the supply of substitute goods or services, for the loss of the use of data or the loss of profits or any other direct, indirect or consecutive damage occurring due to the sale, the use or the operation of any product, whether the Vendor has been notified of the possibility of the occurrence of such damage or not. Notwithstanding the above, the Vendor does not provide any guarantee, of any type, for experimental products that are undergoing development or have not been tested.9.2 The Vendor explicitly declines all liability for the use of products in rescue devices or systems or life support systems. All products that are built into such systems or devices by the Buyer shall be built in at the Buyer’s sole risk, even if the Vendor has been informed of this action. In all cases, the Vendor is only liable for the manufacture of the products in compliance with the technical specifications defined in article 4.1 above. The Buyer shall compensate the Vendor for any claims and damage that the Vendor may suffer following the inclusion by the Buyer of the products in life saving devices or systems.

10. INTELLECTUAL PROPERTY RIGHTSDue to the complexity of electronic component manufacturing techniques and the associated intellectual property rights, the Vendor is not able to state that its products are free of any third party intellectual property rights.In the event that a third party should take infringement proceedings relative to products delivered to the Buyer by the Vendor, the Vendor undertakes choose to to oppose such a claim, or to settle it at its own expense. If a final ruling were to be made against the Vendor, the Vendor shall have the choice of taking a licence for the claimant third party rights, or of modifying the products in order to avoid the infringement, or if either of these two solutions were to be impossible due to economic and/or technical reasons, the Vendor shall take back the delivered products and refund their purchase price.The above undertaking shall only apply if the Buyer immediately informs the Vendor in writing of any infringement claims relative to the products delivered by the Vendor.Furthermore, the Vendor will not be held liable for the costs or expenses incurred by the Buyer without its authorisation, nor for the direct, indirect or consecutive damage that may result from any loss of use of the delivered products. The above terms are the complete Vendor’s undertaking relative to the Buyer in the case of possible claims for infringement by a third party concerning the products delivered by the Vendor.

11 DISPUTES - GOVERNING LAWAny dispute that has not been settled amiably shall be submitted to the Blois Commercial Courts, even in the event of third parties and multiple defendants. The governing law shall be French law. For the interpretation and performance of these General sales terms and conditions, the 1980 Vienna Convention is excluded.

12- CONTROL OF FINAL DESTINATIONThe Buyer undertakes to comply with the terms of all applicable legislation and regulations in terms of the control of final destination of the delivered products.
