The Executive Director presented to the Commission Members the following e-mail from Commissioner Jim Hicks:

“This letter is to inform you and the commission that I have signed a Letter of Intent to sell Southern RV, LLC

effective Jan 7,2016. A new dealer application should be in your office in the next few days for Camping W orld

which will include both Southern RV Louisiana locations. (Lafayette and Bossier). Unlike the last time, I am not

in charge of this process so this is about all I know. Southern is involved in securing all new manufacturer / dealer

agreements and those should all be completed this week which we will forward to Camping W orld to add to their

applications. These will include 100% of our existing product lines and possibly a few new brands.

The Executive Director presented to the Commission Members the Comprehensive Projected Budget for 2016- 2017. After a brief discussionregarding the budget, Commissioner Bent made a motion to adopt the following resolution:

“To adopt the Louisiana Motor Vehicle Commission Comprehensive Projected Budget for 2016 - 2017, for submission tothe Office of the Legislative Auditor.

WHEREAS, the Louisiana Motor Vehicle Commission has reviewed the Comprehensive Projected Budget for 2016 - 2017and find same to be a complete financial plan for the ensuing year.

THEREFORE, BE IT RESOLVED, by the Louisiana Motor Vehicle Commission, that the Comprehensive Projected for 2016 -2017 be adopted.”

Commissioner Duhon seconded this motion and it was unanimously approved.

Therefore, based on the parties’ mutual consent;

IT IS ORDERED, ADJUDGED, AND DECREED that Respondent, in complete satisfaction of all above-referenced violations, shallpay a fine to the Commission in the amount of One Million Five Hundred Thousand and No/100 ($1,500,000.00) Dollars. This sum shall bepaid, as follows:

An initial payment of Five Hundred Thousand and No/100 ($500,000.00) Dollars on or before January 15,2016; a second payment in like amount on or before January 16, 2017, and a final payment in like amounton or before January 15, 2018.

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that all licenses issued by the Commission to Robert J. Cook be, andare hereby, suspended from November 10, 2015 to January 8, 2016, midnight, with said suspension, at which time he shall not be presentat or upon any and all premises and all advertisement of Respondent. It shall not be a violation of the suspension for Mr. Cook to communicate,at any time, with the Dealer (Arthur C. LeBlanc, Jr.), the Comptroller (Shai Matthieu, or her successor, if any), provided that Mr. Cook shallnot have direct involvement with any customer (past, present or prospective). During the period of suspension, Mr. Cook may not appear onthe website or in any advertising by Respondent of its affiliated dealerships or licensees of the Commission, but must merely forward anyinquiry received from any customer to appropriate personnel of Respondent for handling and response.

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that the entry of this Consent Judgment does not constitute or representan adverse finding as to the business integrity of either Respondent or Robert J. Cook, as contemplated by LSA-R.S. 32:1254C(8)(a).

After a brief discussion, Commissioner Bent made a motion to approve General Motors’s request of Buick Drive For Your Students event aspresented, conditioned upon the Law and the Rules and Regulations promulgated by this Commission being strictly adhered to and allrepresentations made in the request correspondence of October 23, 2015, remaining constant. Commissioner Duhon seconded this motionand it was unanimously approved.

JUDGMENT & INCORPORATED REASONS

This matter came before the Court on the 20 day of August, 2015, upon a Motion for Summary Judgment filed byth

the plaintiff, Brunswick Corporation.. The Court took the matter under advisement.

Present: Craig L. Caesar, Attorney for the Plaintiff, Brunswick Corportion; andKay Guidry, Attorney for Defendant, Northlake Marine, Inc.

After hearing the arguments of counsel, reviewing all memoranda, the pleadings and facts and considering the lawand the evidence, the Court hereby finds the following:

This motion comes before the Court as part of an appeal of an administrative decision by the Louisiana MotorVehicle Commission. The sole issued presented is whether La.R.S. 32:1270.5(J) requires the “manufacturer” of marineproducts to repurchase the inventory of an associated marine “dealer” when the dealer voluntarily terminates its operationthrough no fault of the manufacturer.

Brunswick Corporation d/b/a Mercury Marine Division (hereinafter “Mercury”) is a manufacturer of marine products.Northlake Marine, Inc. (Hereinafter “Northlake”) was, until recently, an authorized dealer of Mercury products. It wasstipulated that Northlake voluntarily and permanently ceased its operation through no fault of, and based on no action by,Mercury. As part of the winding down of its operation, Northlake requested Mercury repurchase its stock of Mercury productspursuant to La.R.S. 32:1270.5. Mercury refused Northlake’s repurchase request arguing that repurchase4 is only requiredwhen the franchise is terminated as a result of some action taken by the manufacturer. Northlake filed a grievance with theLouisiana Motor Vehicle Commission. After due proceedings, The Louisiana Motor Vehicle Division sided with Northlake,found that R.S. 32:1270.5(J) required repurchase, and ordered Mercury to repurchase Northlake’s inventory of Mercurymarine product. Mercury filed it Peittion for Judicial Review of Agency Decision on February 6, 2015.

LAW & ANALYSIS

The statute at issue is Louisiana Revised Statute 32:1270.5, relative to the repurchase of marine products. Itprovides in part:

A. If any marine dealer enters into a franchise with a manufacturer, distributor, orwholesaler wherein the marine dealer agrees to maintain an inventory of marine products or repair parts,the manufacturer, distributor, or wholesaler shall not terminate or fail to renew such franchise unless thereis a breach of the franchise by the marine dealer and until ninety days after notice of such intention toterminate, including the breach of the franchise, has been sent by certified mail, return receipt requested,or commercial delivery service with verification of receipt, to the marine dealer and the marine dealer hasfailed to correct the breach within such period.

B. If the franchise is terminated as a result of any action by the marine dealer and the

manufacturer, distributor, or wholesaler has not given due cause, as provided in this Section, fortermination of such franchise, the manufacturer, distributor, or wholesaler shall not be required torepurchase the inventory as provided in this Section; however, if the franchise is terminated as a resultof any action by the marine dealer and the manufacturer, distributor, or wholesaler has given the marinedealer due cause, as provided in this Section, to terminate the franchise, the manufacturer, distributor,or wholesaler shall be required to repurchase that inventory previously purchased from them, includingany new and unused marine products of the current and immediate prior model or program year and newand unused parts inventory as provided in this Section.

C. It shall be unlawful for the manufacturer, wholesaler, or distributor, without due cause and

pursuant to its own initiating action, to terminate or fail to renew a franchise, unless the manufacturer,wholesaler, or distributor repurchases the new and unused inventory as provided for in this Section.

D. It shall not be unlawful for the marine dealer with due cause and pursuant to the marine

dealer's own initiating action to terminate or fail to renew a franchise with a manufacturer, wholesaler, ordistributor, and the manufacturer, wholesaler, or distributor shall repurchase inventory as provided by thisSection. To determine what constitutes due cause for a marine dealer to terminate or fail to renew afranchise, the following factors regarding the manufacturer, wholesaler, distributor or representative of oneof the so named shall include whether the manufacturer, wholesaler, distributor, or one of the so named:

(1) Has made a material misrepresentation in accepting or acting under the franchise.

(2) Has engaged in an unfair business practice.

(3) Has engaged in conduct which is injurious or detrimental to public welfare.

(4) Has failed to comply with any applicable Section of this Chapter.

(5) Has been convicted of a crime, the effect of which would be detrimental to themarine dealership or dealer.

(6) Has violated the Louisiana marine dealers area of responsibility.

(7) Has failed to operate in the normal course of business for thirty consecutive days.

(8) Has failed to comply with the terms of the franchise with the marine dealer.

(9) Has materially misrepresented the performance or fitness for sale or use of a product line or products

covered by the franchise. . .

F. As required by this Section, the manufacturer, distributor, or wholesaler shall repurchase the inventory which

can be verified as previously purchased from them, including all new and unused marine products of the current andimmediate prior model or program year and new and unused parts on hand and held by the marine dealer on the date oftermination of the contract. The manufacturer, distributor, or wholesaler shall pay an amount equivalent to the cost actuallypaid by the marine dealer, including discounts given and rebates paid per unit for any new, unused, undamaged, andunaltered from original invoice and delivery, and complete marine product. The manufacturer, distributor, or wholesaler shallalso pay an amount equal to the price paid by the marine dealer for any new, unused, and undamaged repair parts andaccessories which are listed in the manufacturer's, distributor's, or wholesaler's prevailing parts list or were delivered in thepast forty-eight months and are in their original packaging.

G. The provisions of this Section shall not require the repurchase from a marine dealer of:

(1) Any repair part which has a limited storage life or is otherwise subject to deterioration. . .

H. Upon termination of the franchise, the marine dealer shall submit a final inventory of marine products and parts

on hand to the manufacturer, distributor, or wholesaler by certified mail, return receipt requested, or commercial deliveryservice with verification of receipt. If a manufacturer, distributor, or wholesaler fails or refuses to repurchase as required bythis Section within thirty days of the receipt of the inventory, without just cause, the manufacturer, distributor, or wholesalershall be subjected to a penalty of the marine dealer's reasonable attorney fees, court costs, and interest on the inventoryvalue of returnable marine products and parts required to be purchased computed at the rate of one and one-half percentper month from the thirty-first day, as long as such repurchase is not made.

I. Notwithstanding any other provision of law to the contrary, it shall be unlawful for a manufacturer, distributor, or

wholesaler, either by contract or practice, to assess repurchase or restocking charges, freight charges except for returncharges, reimbursement of interest charges paid, and any similar charges to the marine dealer.

J. If a marine dealer completes a bona fide, orderly, and permanent closure of the marine dealership, which

does not involve a sale of the dealership, and provides at least ninety days notice to the manufacturer, wholesaler,or distributor, the marine products and parts inventory shall be repurchased by the manufacturer, wholesaler, ordistributor in the manner provided for in this Section, when a franchise is terminated as result of action by themanufacturer, wholesaler, or distributor.

. . .(emphasis added).

Mercury argues that under a direct reading of subsection “J” a marine manufacturer is only required to repurchasemarine goods when “a franchise is terminated as a result of action by the manufacturer.” Specifically, Mercury argues thatthe comma between the phrase “shall be purchased. . . in the manner provided for in this Section” and phrase “when afranchise is terminated as result of action by the manufacturer” indicates that the legislature intended the two phrases beread independently. Northlake replies that when the subsection is read in its entirety, it becomes clear that the ending phrasemerely refers to the procedure used in repurchase. Specifically they argue that the phrase “the. . . inventory shall berepurchased by the manufacturer. . .in the manner provided for in this Section, when a franchise is terminated as reult ofaction by the manufacturer . . .” specifies that inventory will be repurchased using the method outlined in other sub sectionsof the statute.

Regarding statutory interpretation, the Louisiana Supreme Court has stated:

The fundamental question in all cases involving statutory interpretation is legislative intent.Further, according to the general rules of statutory interpretation, our interpretation of any statutoryprovision begins with the language of the statute itself. While the Official Revision Comments are not thelaw, they may be helpful in determining legislative intent.

We recently reiterated many of the rules of statutory interpretation, stating:

When [a] provision is clear and unambiguous and its application does not lead to absurdconsequences, its language must be given effect, and its provisions must be construed so as to giveeffect to the purpose indicated by a fair interpretation of the language used. Unequivocal provisions arenot subject to judicial construction and should be supplised by giving words their generally understoodmeaning.

Words and phrases must be read with their context and construed according to the common andapproved usage of the language. . . . Further, every word, sentence, or provision in a law is presumed tobe intended to serve some useful purpose, that some effect is given to each such provision, and that nounnecessary words or provisions were employed. Consequently, courts are bound, if possible, to giveeffect to all parts of a statute and to construe no sentence, clause, or word as meaningless andsurplusage if a construction giving force to and preserving all words can legitimately be found.

Arabie v. CITGO Petroleum Corp., 89 So.3d 307, 312 (La.2012) (citation omitted).

After reviewing La. R.S. 32:1270.5 in its entirety, this Court concludes that the Louisiana Motor Vehicle Commissioncorrectly interpreted the statutory repurchase program. The statute provides a framework whereby repurchase may or maynot be required based upon the “due cause,” or bad actions, of the parties to a marine franchise agreement. Northlake’sinterpretation of subsection J is more consistent with the statute as a whole, which provides that a dealer acting in good faithwill not bear the burden of maintaing inventory at termination of a franchise agreement. The statutory interpretation urgedby Mercury also results in a logical inconsistency in that supposes the idea of a dealer going through a “bona fide, orderlyand permanent closure” which is the result of some “due cause” by the manufacturer.

For the forgoing reasons, IT IS ORDERED, ADJUDGED AND DECREED that the Motion for Summary Judgmentfiled by the plaintiff, Brunswick Corporation, is hereby DENIED.

CONSENT JUDGMENT

After considering the entire record in this matter and the interest of the parties in amicably resolving it, the parties have consentedto a judgment in favor of the Louisiana Motor Vehicle Commission based upon alleged violations by Proride Trailers, LLC of Alleged violationsof LSA-R.S.32:1251.; LSA-R.S.32:1258.A. (1), (2), (6), &(8); LSA-R.S.32:705.A.(1); LSA-R.S. 47:306.E. and Title 49, Code of FederalRegulations. Part 571. No. 108, Lamps, Reflective Devices, and Associated Equipment. Therefore, based on the parties’ mutual consent;

IT IS HEREBY AGREED by and between Proride Trailers, LLC and the Louisiana Motor Vehicle Commission that respondent waives:

A. Any further procedural rights or remedies afforded under the law;

B. The requirement that the Commission's judgment recites statement of a findings of fact and conclusions of law;and

C. All rights to seek judicial review or otherwise to challenge or contest the validity of the judgment entered pursuantto this agreement

IT IS HEREBY FURTHER AGREED the Notice of Hearing may be used in construing the terms of the order. No agreement,understanding, representation or interpretation not contained in the order or the agreement may be used to vary or contradict the terms of theorder.

IT IS ORDERED, ADJUDGED, AND DECREED that Proride Trailers, LLC, in complete satisfaction of all above-referenced violations,pay a fine to the Louisiana Motor Vehicle Commission in the amount of FIFTEEN THOUSAND ($15,000.00) DOLLARS.

IT IS FURTHER ORDERED, ADJUDGED, AND DECREED that Proride Trailers, LLC pay the cost of the pre-hearing conference tothe Louisiana Motor Vehicle Commission in the amount of FOUR HUNDRED ($400.00) DOLLARS.
