The Mississippi State Port Authority (MSPA) has applied for federal funding from the Federal Emergency ManagementAgency (FEMA) for the development of an inland container terminal to be used as a storage site for overflow containersand as an evacuation terminal for the Port of Gulfport. The proposed project is located at the corner of 331 Street and 34th
Avenue in Gulfport, Harrison County, Mississippi. On August 29, 2005, Hurricane Katrina made landfall in Mississippi,damaging MSPA’s Storage Warehouse (Shed 15) at the Port. MSPA’s Shed 15, now demolished, was located at 3002Highway 90 at 30 Street, in Gulfport, Mississippi, and served as a bulk, break-bulk and container seaport. Shed 15 waslocated within the 100-year floodplain.
MSPA proposes to construct an inland container terminal at 33rd Street in Gulfport, approximately 2 miles from the Port ofGulfport (see Figures 1 and 2). The property includes approximately 35 acres of a 150-acre parcel. The Gulfport FertilizerCompany formerly operated a super-phosphate fertilizer operation at the proposed project site. The northeastern portion ofthe site has been capped and fenced off due to arsenic and lead contamination in soil and groundwater. The proposedproject site is now vacant, undeveloped, and wooded, with the exception of some cleared portions along 33d Street and 34111
Avenue (see Photographs 1 and 2). The proposed project site is located outside the 100-year floodplain. Jurisdictionalwetlands are located on site but will not be directly impacted by the proposed project. The proposed project site is boundon the west by 34111 Avenue and on the south by 33 Street. Residential properties are to the north and west, andcommercial and light industrial properties are to the east and south. Access would be provided via 33id Street.
Project activities would include removal of debris, addition of topsoil, sodding, grubbing of obstructions, excavation ofdetention pond and drainage ditches, and addition of fill material. Drainage improvements would include pipe culverts,ditch grading, topsoil, and riprap slope protection at all culvert inlets, outlets, and outfall structures. Limestone pavement,asphalt pavement, and geotextile fabric would be placed at the site. A security fence and gates would be installed. Siltfencing, baled hay, and other erosion control measures would be implemented. There are no utilities currently on site;480V power would be supplied to the site. A switch rack, lighting contactors, photocell, lighting panel, and floodlights onpoles would be installed (see Figure 3).
NISTAC has been retained by FEMA to prepare an Environmental Assessment (EA) for the proposed project. I met with Lars Larson (Covington and Associates) on December 2, 2010 to collectgroundwater samples. I arrived onsite at 10:00 and contacted Mr. Larson.
The clay cap has been completed, the area has been fenced, and the sign has beenplaced on the fence alerting people to contact the agency if there are questionsabout the site.
We agreed to split samples at MW-i, located within the cap area. The well wassampled using the low flow method, depth to groundwater was 8.12 ft. Once allthe parameters were stable, samples were collected. These samples were taken tothe OPC for lead and arsenic analysis.
I left the site at 11:50.

1. The abandonment and replacement of MW-8 is approved.
2. Tables I through 4 should be revised to include the actual date the sampling eventshave taken place, rather than a number that indicates which sampling event it is.
3. All the figures should clearly indicate the geographical coordinates (i.e. North, South,etc).
4. This site is currently under a semiannual sampling schedule. The next samplingevent should take place in June 2010. Please provide MDEQ at minimum of two (2)week notice so that arrangements can be made to attend the event.

SUBJECT: Groundwater sampling event- December 3, 2009
I met with Lars Larson (Covington and Associates) on December 3, 2009 to collectgroundwater samples. I arrived onsite at 10:15 and contacted Mr. Larson.Because of rain the previous week, accessibility to wells was limited to all-terrainvehicles, since several areas were underwater.
The clay cap has been completed (see pictures attached). The decision has beenmade to complete the cap as previously approved by using top soil and grass ratherthan to use limestone to complete the design.
We agreed to split samples at MW-3 and MW-4. The wells were sampled using thelow flow method. Once all the parameters were stable, samples were collected.These samples were taken to the OPC for lead and arsenic analysis.
I left the site at 13:10.

I met with Lars Larson at the Gulfport Fertilizer Site on October 9, 2009 around1 530 hours. It was obvious that it had rained a lot the past week. However, theroads were in good shape. With the wind and sun, the site was drying out quitewell. According to Lars, the cap was complete except for adding the limestonerock as final layer. The cap appeared to be graded to allow water to run off as noponding of rain water was observed on the cap during this visit.
They had begun installing drainage system around the cap but rain had causedthem to halt the work. No photos were taken during this site visit.

SUBJECT: Site Visit Conducted August 27, 2009
On August 27, 2009, I met Tony Damiano with Covington and Associates at the
above referenced site. I arrived at the site at 1 0:40. The purpose of the visit was
to see how much progress had been done on the site, in accordance with the
implementation plan included as part of the Corrective Action Plan. The area
where the clay cap is going to be placed had been delineated using flags. Tony
informed me they had decided to keep the concrete slab as is, and covered it with
the clay; rather than sealing it and using it as part of the clay.
He also informed me they had found some bricks under a brush pile, and these
bricks and concrete had been disposed at a Class I landfill. I took pictures, and
they are attached to this report.
Tony is going to submit weekly reports via email to keep updated on the progress
being done at the site. I left the site at 1 2:05.

Dear Ms. Johnson:
As I advised when we spoke yesterday, Hancock Bank and Hancock Bank SecuritiesCorporation II have entered into a contract for the sale and lease of certain real property in the cityof Gulfport, Mississippi which is generally referred to by your office as the “Gulfport FertilizerSite”, but which actually consists of two parcels: 1) a tract consisting of approximately 33 acres,which was the former Gulfport Fertilizer site, and is owned by Hancock Bank, and 2) a tractconsisting of approximately 112 acres adjacent to the Gulfport Fertilizer site and owned byHancock Bank Securities Corporation II. The Agreed Order which Hancock Bank and HancockBank Securities Corporation II will execute shortly with the Mississippi Department ofEnvironmental Quality (“MDEQ”) provides that the parties to the Agreed Order and to theEnvironmental Covenants to be recorded thereafter are to give to MDEQ thirty (30) days’ writtennotice of such transaction. It is contemplated that the first phase of the transaction, that is the saleof the 112 acre tract from Hancock Bank Securities Corporation II to Mississippi DevelopmentAuthority, an agency of the State of Mississippi, and Mississippi State Port Authority at Gulfport,an agency of the State of Mississippi, and a lease with option to purchase of the 33 acre tract ownedby Hancock Bank to the same agencies, will be closed in escrow on or about May 13, 2009.
Hancock Bank and Hancock Bank Securities Corporation II confirm that as per the AgreedOrder, they shall retain responsibility for the requirements listed in the Agreed Order until MDEQapproves the transfer of those responsibilities to another party by entering into an Agreed Orderwith the other party. It is the understanding of Hancock Bank and Hancock Bank SecuritiesCorporation II that since verbal notice was previously given, MDEQ will waive the thirty (30)days’ written notice requirement and permit the above-described transaction to be completedimmediately. By execution below, MDEQ acknowledges such waiver.

AGREED ORDER
COME NOW the Mississippi Commission on Environmental Quality(“Commission”), Hancock Bank, and HSBC II (“Respondents”), in the above captionedcause, agree as follows:
1. Respondents have an interest in land located in Gulfport, MS, known as theformer Gulfport Fertilizer Site, hereafter referred to as the “Site”; and in landadjacent to said former Gulfport Fertilizer Site, also known as the Harreld FamilyTrust Property site, and hereafter referred to as the “adjacent Site”. A legaldescription and survey plat for the impacted soils at both these sites is includedas Exhibit A to this Agreed Order. A legal description and survey plat for theimpacted groundwater is included as Exhibit B to this Agreed Order.
2. The Site and adjacent Site are contaminated with Arsenic and Lead at levels inexcess of the unrestricted Target Remediation Goals (“TRGs”) as established bythe Mississippi Department of Environmental Quality (“MDEQ”), and, therefore,remediation of the Site and the adjacent Site are necessary.
3. The staff of the Commission has evaluated this Agreed Order and believes once

the requirements of this Agreed Order have been completed that (1) the Site andadjacent Site will be protective of the public health and the environment and (2)no further corrective action will be required at this time.
4. The Site and adjacent Site are subject to an Environmental Covenant that hasbeen developed and executed pursuant to the Uniform EnvironmentalCovenants Act (“UECA”), Miss. Code Ann. § 89-23-1, et. seq. (Rev. 2008). TheEnvironmental Covenant is included as Exhibit C to this Agreed Order.
5. The following is a description of all requirements for both the Site and theadjacent Site:
(a) Respondents shall conduct all required corrective action as described in theMDEQ-approved Corrective Action Plan approved April 3, 2009 unlessotherwise approved in writing by MDEQ.
(b) Respondents shall conduct all required groundwater monitoring asdescribed in the MDEQ-approved Compliance Monitoring Plan approvedApril 3, 2009 unless otherwise approved in writing by MDEQ.
(c) Respondents shall implement any additional corrective action necessary toremain in compliance with this Agreed Order or as described in theapproved Contingency Plan approved April 3, 2009 unless otherwiseapproved in writing by MDEQ.
(d) Respondents shall provide Financial Assurance in an amount sufficient toimplement the Contingency Plan approved April 3, 2009 unless otherwiseapproved or waived by MDEQ. Cost estimates and duration may beadjusted on a periodic basis with the approval of MDEQ.
(e) Respondents shall post a sign of a size, shape, construction, and layoutapproved by MDEQ at the physical location of the site and adjacent site thatreads as follows:

(f) Respondents shall ensure that all monitoring wells and the sign at the Siteare protected and maintained. In the event that a monitoring well or thesign is destr.Dyed or damaged, Respondents shall notify MDEQ within 30days of discovery, repair, reinstall, or abandon the well(s)/sign within a

reasonable timeframe as directed by MDEQ.
(g) Respondents shall have a financial mechanism in place to pay for all MDEQcosts related to ensuring compliance with this Agreed Order and theEnvironmental Covenant for as long as the Environmental Covenant is inplace.
(h) Respondents shall provide written notice to MDEQ at least thirty days priorto any change in use at the site and the adjacent site or contiguous to eitherthat increases the probability of exposure to contaminants at the Site oradjacent Site.
(i) Respondents shall not change the use of the Site, the adjacent Site, or anyportion of the Site without written approval from the MDEQ.
U) Respondents shall provide written notice to MDEQ no less than 30 daysprior to any conveyance of an interest involving the Site, the adjacent Site,or any portion of either Site.
(k) Respondents shall execute an MDEQ-approved Environmental Covenantpursuant to the Uniform Environmental Covenants Act.
(I) Respondents shall provide a copy of the Environmental Covenant for theSite and adjacent Site to parties interested in purchasing the Site, theadjacent Site, or any portion of either Site prior to any property transactioninvolving the Site, the adjacent Site, or any portion of either Site.
(m) Respondents shall file the Environmental Covenant, as approved by MDEQ,in the office of the Chancery Clerk of the County in which the Site is locatedfor recording onto the land deed records in the appropriate sectional index.
(n) Respondents shall provide to MDEQ certification from the Chancery Clerkthat the Environmental Covenant has been executed.
(o) Beginning on October 31, 2009 and annually thereafter until a No FurtherAction letter (NFA) is issued, Respondents shall submit certification in aform required by MDEQ that all the requirements of this Agreed Order andthe Environmental Covenant have been maintained.
(p) Respondents shall retain responsibility for the requirements listed aboveuntil the Commission approves the transfer of those responsibilities toanother party (e.g., the prospective purchaser) by entering into an AgreedOrder(s) with the other party.

6. Nothing in this Agreed Order shall be construed to convey or determine anyinterest in property.
7. Nothing in this Agreed Order shall be construed to be an allocation of costs or anindemnification by the State, MDEQ, or the Commission.
8. Nothing in this Agreed Order shall limit the rights of the MDEQ or theCommission in the event Respondents fails to comply with this Agreed Order.This Agreed Order shall be strictly construed to apply to those matters expresslyresolved herein.
9. Nothing contained in this Agreed Order shall limit the rights of Complainant totake enforcement or other actions against Respondents for violations notaddressed herein and for future violations of environmental laws, rules, andregulations.
10. This Agreed Order does not resolve any issues regarding liability and/orpenalties for any violation of any federal and/or state order, permit, law, ruleand/or regulation. The Commission specifically reserves any such action.
11. Respondents understand and acknowledge that it is entitled to an evidentiaryhearing before the Commission pursuant to Section 49-17-31 (Rev. 2003), andthat it has made an informed waiver of that right.

Dear Ms. Johnson:
As I advised when we spoke yesterday, Hancock Bank and Hancock Bank SecuritiesCorporation II have entered into a contract for the sale and lease of certain real property in the cityof Gulfport, Mississippi which is generally referred to by your office as the “Gulfport FertilizerSite”, but which actually consists of two parcels: 1) a tract consisting of approximately 33 acres,which was the former Gulfport Fertilizer site, and is owned by Hancock Bank, and 2) a tractconsisting of approximately 112 acres adjacent to the Gulfport Fertilizer site and owned byHancock Bank Securities Corporation II. The Agreed Order which Hancock Bank and HancockBank Securities Corporation II will execute shortly with the Mississippi Department ofEnvironmental Quality (“MDEQ”) provides that the parties to the Agreed Order and to theEnvironmental Covenants to be recorded thereafter are to give to IvWEQ thirty (30) days’ writtennotice of such transaction. It is contemplated that the first phase of the transaction, that is the saleof the 112 acre tract from Hancock Bank Securities Corporation II to Mississippi DevelopmentAuthority, an agency of the State of Mississippi, and Mississippi State Port Authority at Gulfport,an agency of the State of Mississippi, and a lease with option to purchase of the 33 acre tract ownedby Hancock Bank to the same agencies, will be closed in escrow on or about May 13, 2009.
Hancock Bank and Hancock Bank Securities Corporation II confirm that as per the AgreedOrder, they shall retain responsibility for the requirements listed in the Agreed Order until MDEQapproves the transfer of those responsibilities to another party by entering into an Agreed Orderwith the other party. It is the understanding of Hancock Bank and Hancock Bank SecuritiesCorporation II that since verbal notice was previously given, MDEQ will waive the thirty (30)days’ written notice requirement and permit the above-described transaction to be completedimmediately. By execution below, MDEQ acknowledges such waiver.

ENVIRONMENTAL COVENANT
This Environmental Covenant is entered into by Hancock Bank and Hancock BankSecurities Corporations II (“Owners”) and the Mississippi Commission on Environmental
Quality (“Commission”) pursuant to Uniform Environmental Covenants Act (“UECA”), Miss.
Code Ann. § 89-23-1 et. seq. (Rev. 2008) for the purpose of subjecting the Site to the activity and
use limitations set forth herein.
The Owners have an interest in land located in Gulfport, MS on the former Gulfport Fertilizerfacility hereafter referred to as the “former Gulfport Fertilizer Site” or an interest in land adjacent
to said former Gulfport Fertilizer site (also known as the former 1-larreld Family trust propertysite and hereafter referred to as “adjacent property”). It has been determined that the soil andgroundwater beneath the former Gulfport Fertilizer Site and adjacent site exhibit concentrations
of arsenic and lead at levels in excess of the unrestricted Target Remediation Goals (“TRGs”), asestablished by the Mississippi Department of Environmental Quality (“MDEQ”). It wasdetermined that activity and use limitations placed on these sites are necessary to protect human
health and the environment. The administrative record for the environmental response project
reflected in this environmental covenant is referred to as Gulfport Fertilizer and is located at the
main office of the State of Mississippi Department of Environmental Quality in Jackson,
Mississippi.
Now therefore, Owners and the Commission agree to the following:
1. Environmental Covenant. This instrument is an environmental covenantdeveloped and executed pursuant to Miss. Code Ann. 89-23-1, et. seq. (Rev. 2008).
2. Proyerty. This Environmental Covenant concerns a tract of property referencedabove as the “Gulfport Fertilizer site”, owned by Hancock Bank, and a tract of land owned byHancock Bank Securities Corporation II referred to as adjacent site, located in Gulfport, inHarrison County, Mississippi, and more particularly described in Exhibits A and B attachedhereto and hereby incorporated by reference herein (“Property”).
3. Owner. Hancock Bank and Hancock Bank Securities Corporation II (“Owners “),
located at 2510 14th Street., Gulfport, MS 39501, together comprise the fee simple title owners ofthe Property.
4. Holder. Owners, whose address is listed above, are also the holders of thisEnvironmental Covenant.

GuIfort FertilizerEnvironmental Covenant
5. Activity and Use Limitations. As part of the remediation of the Property; Owners
hereby impose and agree to comply with the following activity and use limitations:
(a.) There shall be no excavating, drilling, or other activities that could create
exposure to contaminated media without prior approval from MDEQ.
(b.) No wells shall be installed without prior approval from MDEQ;
6. If any event or action by or on behalf of a person who owns an interest in or holds
an encumbrance on the Property, identified in paragraph 12 below, constitutes a breach of the
activity and use limitations, Owners or Transferee shall notify MDEQ within thirty (30) days of
becoming aware of the event or action, and shall remedy the breach of the activity and use
limitations within sixty (60) days of becoming aware of the event or action, or such other time
frame as may be agreed to by the Owners or Transferee and MDEQ.
7. Running with the Land. This Environmental Covenant shall be binding upon the
Owners and all assigns and successors in interest, including any Transferee, and shall run with
the land, pursuant to Miss. Code Ann. 89-23-1, et. seq. (Rev. 2008), subject to amendment or
termination as set forth herein. The term “Transferee,” as used in this Environmental Covenant,
shall mean any future owner of any interest in the Property or any portion thereof, including, but
not limited to, owners of an interest in fee simple, mortgagees, easement holders, andlor lessees.
8. Compliance Enforcement. Compliance with this Environmental Covenant may be
enforced pursuant to Miss. Code Ann. § 89-23-1, et. seq. (Rev. 2008) Failure to timely enforce
compliance with this Environmental Covenant or the activity and use limitations contained
herein by any party shall not bar subsequent enforcement by such party and shall not be deemed a
waiver of the party’s right to take action to enforce any non-compliance. Nothing in this
Environmental Covenant shall restrict the Commission or MDEQ from exercising any authority
under applicable law.
9. Rights of Access. Owners hereby grant to MDEQ, its agents, contractors, and
employees the right of access to the Property for implementation or for enforcement of this
Environmental Covenant.
10. Compliance Reporting. Owners or any Transferee shall submit to MDEQ, on an
annual basis written documentation verifying that the activity and use limitations remain in place
and the property is in compliance with this covenant.
11. Notice upon Conveyance. Each instrument hereafter conveying any interest in the4’f1. Prnr,ertj chall contain a notice of the activity and use limitations

12. Representations and Warranties. Owners hereby represent and warrant to the othersignatories hereto:
A. that the Owners are the sole owners of the Property;
B. that the Owners hold fee simple title to the Property;
C. that the Owners have the power and authority to enter into this EnvironmentalCovenant, to grant the rights and interests herein provided and to carry out allobligations hereunder;
D, that the Owners have determined that there are no other known persons that own alegally recognized interest in or holds an encumbrance on the Property. other thanthose disclosed under 12.B and has notified such persons of the Owners’ intentionto enter into this Environmental Covenant;
E. that this Environmental Covenant will not materially violate or contravene orconstitute a material default under any other agreement, document or instrumentto which Owners are a party or by which Owners may be bound or affected; and
F. to the extent that any other interests in or encumbrances on the Property conflictwith the activity and use limitations set forth in this Environmental Covenant, thepersons who own such interest or hold such encumbrances have agreed tosubordinate such interest or encumbrances to the Environmental Covenant,pursuant to Miss. Code Ann. § 89-23-1, et. seq. (Rev. 2008).
13. Amendment or Termination. This Environmental Covenant may be amended orterminated pursuant to Miss. Code Ann. § 89-23-19 (Rev. 2008) and other applicable law. Theterm, “Amendment,” as used in this Environmental Covenant, shall mean any changes to theEnvironmental Covenant, including the activity and use limitations set forth herein, or theelimination of one or more activity and use limitations when there is at least one limitationremaining. The term, “Termination,” as used in this Environmental Covenant, shall mean theelimination of aB activity and use limitations set forth herein and all other obligations under thisEnvironmental Covenant.
This Environmental Covenant may be amended or terminated only by a writteninstrument duly executed pursuant to Miss. Code Ann. § 89-23-19 (Rev. 2008). Within thirty(30) days of signature by all requisite parties on any amendment or termination of thisEnvironmental Covenant, the Owners or Transferee shall file such instrument for recording with

14. Severability. If any provision of this Environmental Covenant is found to be
unenforceable in any respect, the validity, legality, and enforceability of the remaining provisions
shall not in any way be affected or impaired.
15. Governing Law. This Environmental Covenant shall be governed by and
interpreted in accordance with the laws of the State of Mississippi.
16. Recordation. Within fifteen (15) days after the date of the final required signature
upon this Environmental Covenant, Owners shall file this Environmental Covenant for recording,
in the same maimer as a deed to the Property, with the Harrison County Recorder’s Office.
17. Effective Date. The effective date of this Environmental Covenant shall be the
date upon which the fully executed Environmental Covenant has been recorded as a deed record
for the Property with the Harrison County Recorder.
18. Distribution of Environmental Covenant. The Owners shall distribute a tile- and
date-stamped copy of the recorded Environmental Covenant to: MDEQ; the City of Gulfport
Harrison County, any lessee, each person who signed the Environmental Covenant, each person
holding a recorded interest in the Property; and any other person designated by MDEQ within
fifteen (15) days after the date of recordation.
19. Notice. Unless otherwise notified in writing by or on behalf of the current owners
or MDEQ, any document or communication required by this Environmental Covenant shall be
submitted to:
