1.7. Chairman’ Message

Esteemed shareholders, customers and employees, We as Deyari Group, first of all are very excited to share lastdevelopments of our 35 years of history and our formation process step bystep. For this reason, I think it is necessary to identify the startingpoint and define changing Deyari’s distinctive qualities. Our group name Deyari means, “gift.” Company’s founder, honorary president,my beloved father Yusuf Kochar, established and named the company 35 yearsago. His goal was to ensure the development of the region and country, tohave continuous development with qualified and innovative perspective, tobuild new values to existing moral foundations while respecting andpreserving country’s values and heritage. Our group first started business in Northern Iraq’s very challengingenvironment and limited conditions in 1980s, company always continued withrespect to commercial principles and to social moral values withoutforgetting our respectful reputation in our land. We continue to work torealize our targets regarding petroleum and derivatives products and theirmain and sub segment products in energy sector as well as batteryproduction. To work for better goods and services motivates us at everystage of the production to reach our future targets. We want to be the bestintermediary company/organization identifying market conditions, protectingcustomers, and promoting innovation in the country. As a result of disciplined and principled work, Deyari Group turned out tobe a company with international targets from a local company. Within the

vision of being most respectful and innovative “production focusedintegrated company”, we implemented major investments. Today Company mainly operates in petroleum and derivatives products andtheir main and sub segment products in energy sector, battery sector andinternational logistic services. In last 10 years, Deyari Group has built many partnerships with the goal ofbeing “Iraq’s global supply chain and logistic company facing outside theWorld” The group, always aimed to be best in production and services, hasIraq Macro Distributor agreements with international leader energy andpetroleum companies, mainly British Petroleum, Castrol, Royal Dutch Shell,Lukoil – Akpet, Johnson Controls - Varta, Gazprom - Gazpromneft Lubricantsand G-Energy, in addition built active partnership with Aksoy Holding A.Ş.

We know that success cannot be only measured with quantities. Where westand is the evidence to show the Best indication to success is to takeplace in consumers’ heart. Humans feel more delighted not when they succeed but when they fight to bemore successful. Like all other prosperous companies we are conscious thatthreating to your customers, guests, employees delicately is the key to thesuccess. Today, we are proud to carry our basic principles and develop themday-by-day. Even Deyari Group is a privately owned it has ability to work with publiccompany logic and seriousness. In addition, the group was able to integrateprivate sector and public sector working principles. Our company isflexible and result oriented in import, export and production. With itsability to rapid decision-making mechanisms, it has ability to provideservices from commercial sales to marketing, transportation to distributionwith its supply chain and logistics management as well as to employeequalified and experienced personnel. Our company combines all these factorsin an integrated way and is open to development.Deyari Group’s view on collaboration between global companies and supplychain In last 10 years, we observed that companies adopt sustainability can movein a faster and further. On the other hand, we witness that internalizingsustainability is not sufficient to create long-term values. Today, morethan half of the global companies develop their sustainability strategiestowards supply chain. Those companies know having more and expendedinformation related to supply chain will help them to decrease costs, minimize and envisage risks, to have better reputation. Supply chains expand geographically day by day and getting more complicatedall over the world. While this situation helps companies to reach moremarkets with less cost, it also causes and brings different risk factors. These risk factors not only cause companies to lose money but also loosereputation, or even can cause operations to standstill. Customer questions regarding sustainability, besides price andfunctionality, can ask forces companies to be more transparent about wheregoods come from and how they were produced. Today, when you think how news

can spread all around in seconds, it would be fair to say we are not onlyresponsible from our operations but also from our procurements procurement. On the other hand, we see that companies can envisage risks and take actionagainst possible risks, cooperate with procurements turn supply chain to anadvantage. Due to the wave effect of the sustainability, we see that big companiesexpand towards middle and small size companies. In sectors where there aretoo many suppliers, we think it is important to create platforms wherecompanies and suppliers come together. For this reason we believe it isnecessary to share successfully applied samples with each other. While competition is reformed in the context of sustainability, we know itin our hands to identify where Iraq, especially Northern Iraq will stand inthis formation. With this awareness, our group continuously Works todevelop and improve supply chain management and practices. During thistransformation process, we think it is very important especially for ourlarge-scale companies to guide their suppliers with their experiences andexisting sources and hope they will provide a new point of view to theirpartners. Real supremacy is obtained by taking power from each other!

Iraq’s economic development and improvement since our establishmentIraq economy in last 30 years where Iran-Iraq war during 1980s, theinternational military operation began on the invasion of Kuwait in 1990sand U.S military intervention in 2003 are turning points: After elections in spring of 2010, economy has entered to a new era. AfterGovernment was established in December 2010, political stability waslargely established, efforts to restructure economy still continue.Especially in terms of safety, having better position increased petroleumexport, and helped national trade to improve. As a result, GDP increasesrealized. Iraq is a developing middle class country and is an important country fortrade with its wide natural resources.Existing economic situation in Iraq after economic stabilityNorthern Iraq is experiencing a unique economic development and is shown asan example to the rest of the country. Foreign investments are the keyfactor in developing economies as in our country. The region with its safeand steady environment, rich natural resources, intensive labor force, international airports and roads, and advantageous investment law, providesopportunities to foreign investors many different sectors. Iraq with its115 billion barrel capacity is the second richest petroleum provider afterSaudi Arabia. Petroleum and real estate sectors has great contribution tothe rapid progress of the region, today energy giants like Chevron, ExxonMobil, Gazprom, Shell, British Petroleum, Total, General Energy, DnoInternational ASA are provided to opportunities to invest in Iraq. As Deyari Group, we would like to be a company that determines marketconditions, protects customers, and be innovative, then take our place inthe value chain. We aim to share Northern Iraq’s success stories with youwhile we represent our main land in an active and successful way in abroad.

Final WordsWhile I am finalizing my speech, I would like to say we will continue tocreate value for our subsidiaries and country. In an era that world, especially emerging countries like Iraq, has considerable politicaluncertainty; we were able to perform successfully. We will continue to havepartnerships and long-term projects with leading energy companies and willcontinue to contribute our country’s stability with production anddistribution.

I would like to take this opportunity to extend my sincerest gratitude toour greatest strength, our employees for their dedicated efforts as well asour distribution and sales channels. I would also like to thank to all ourglobal energy and petroleum sector partners that we signed Iraq MacroDistributorship agreement, for their continuous support and experience. Regards,

3.5. Shell

The Beginning

Marcus Samuel, a London antique dealer and the founder of Shell Transportand Trading Company started to transport seashells from Far East about 200years ago to provide the products for the exotic decor trend in that era.Marcus Samuel's initiative was the beginning of a successful export –import company, managed by his sons Marcus Junior and Sam. At that time, oil was widely used in lighting and oil and industry were stationed inBaku. Baku had Russia's high-quality large oil reserves and was a strategicnatural harbor.

Revolutionizing Oil Transportation

The invention of the internal combustion engine in 1886, has led to anexplosion in demand for transportation fuels. Samuel brothers who careabout the delivery expertise has formed a fleet of ships to carry bulk oil. They put their names under a revolution after Murex, their first tanker haspassed Sues Canal for the first time. Murex was the first tanker that haspassed Suez Canal in 1892. Samuel brothers' company got its name ShellTransport and Trading Company in 1897. They used a seashell as logo.

Becoming Royal Dutch Shell

When Shell Transport activities in the East coupled with the search for newoil sources in order to reduce dependence on Russia, the company came intocontact with Royal Dutch Petroleum. In 1903 two companies united theirforces to protect themselves against the hegemony of the Standard Oil. In1907 they united completely and took the name ‘Royal Dutch Shell Group.’Shell's logo has become the oysters as it has been using today. In the late1920s, Shell became the world’s leader oil company through performing 11%of the world's crude oil production and having 10% of tanker tonnage in itshands. 1930s were difficult years: Mexico confiscated the group’s assetsand they also had to negotiate within the framework of generous conditionswith the Venezuelan government that nationalized the oil fields.

Post-War Years

When the formed peace sphere after the Second World War created a boom inautomobile use, Shell has chosen to invest in Africa and South America. In1947, Shell opened the first commercial offshore oil wells in the Gulf ofMexico. When it comes to 1955 Shell had 300 wells. In 1958, Shell beganproduction in Nigeria.

Oil Crisis

In 1969, Gaddafi came to power in Libya and raised prices by cutting oilproduction. While other manufacturers swung threats to do the same thing, the crisis has reached its peak along with Yom Kippur War. Within a fewweeks OPEC countries have quadrupled oil prices and they have imposed aboycott for two months. Its impact on the West was an economic disaster.

New Resources

1970s were important years in terms of developing Shell's oil fields in theNorth Sea and South America. Although this was a difficult and expensiveundertaking at the same time, it was also quite important considering thatthe sources in the Middle East has been decreasing. In 1978, Shell has beencompleted Cognac drilling and production platforms in the Gulf of Mexico.Cognac was 335 meter and the world's tallest platform.

Growth

When the environmental issues began to gain importance from the mid-1990s,public scrutiny has been focused towards the oil industry. Shell has beencriticized because of its plans to dispose of Brent Spar and hasexperienced difficulties in Nigeria. When the new millennium approached,Shell invested in China and Russia. In 2005 the Company has changed its oldcorporate structure and has created a new company.

Shell is still one of the world's largest oil and gas companies. It dealswith liquefied natural gas and GTL (gas-to-liquid fuel return); helps for

the development of sustainable biofuels and takes its place on the windenergy projects.

Royal Dutch Shell that operates in more than 120 countries with 87,000employees today is a global energy and petrochemical company.

Some of the world's best manufacturers prefer Shell as the initial fillingof engine oil for new vehicles in their factories. Shell oils andlubricants are being tried and developed with Ferrari on F1 races, whichhas the world's toughest engine operating conditions.

3.11. About Accumulator Things you need to know about accumulatorsDurability Against Special Conditions Contrary to the common belief, for batteries, high temperature is moreharmful than low temperature. The best way to protect your battery fromextreme weather conditions is to maintain the battery fully charged. Inaddition, checking terminals periodically to prevent oxidation, keepingyour car in a closed garage in cold weather conditions will help you tohave long-lasting performance. The most common defect encountered in batteries is vibration-sourceddefects. Please make sure battery is a mounted securely and tight junctionnot to cause concussion. Mutlu Battery’s specially mixed alloy platedesigned batteries eliminated the risk our changing weather and roadconditions. We strictly do not recommend you to reuse accumulators, heating or tryingto increase its power is not useful, these actions can cause explosions andleaks.

3.11.1. Battery Glossary

1 Absorbent GlassMat

It is used to filter sulphur acid in felt lead batteries thatare made of micro glass fibers.

2 Current It is electricity flow ratio or electron movements on aconductor.

3 Active Material

Active material on positive plates is lead dioxide and spongelead in negative plates. When there is an electricity flow, depending on the bellowed chemical reactions, they get intoreaction with sulphur acid during charging or discharging.PbO2 + Pb + 2H2SO4 = 2PbSO4 + 2H2O

4Ampere (Amp, A)

Ampere is a unit of measure of the rate of electron flow orcurrent in an electrical conductor. Ampere Hour (Ampere Hr-AH) =flow x charging time, it is the measurement of accumulator’sstorage. (e.g. one accumulator that gives 5 ampere in 20 hourshas 100 amp-hr capacity.

5 AcidStratification

While charging lead acid cell, high-density acid occurs. Becauseof gravity these heavy acid drops will fell under the cell andacid rises above the cell. This acid stratification can shortenthe battery life and cause capacity loss. During discharge, aswater is produced, the water should float up to the top andresult in stratification.

6 Circuit A charge and discharge is equal to one circuit.

7(State of Charge- SOC)/ (Stateof Health)

It is the amount of electricity energy stored in battery definedas percentage of energy while charged fully.

8 ChargerAcceptance

A battery charger at a certain temperature and the chargingvoltage that can accept a certain period of time is the amountof current in ampere-hours.

9 Deep DischargeIt is the situation battery is completely discharged By usinglow current, so that the voltage drops below the dischargevoltage.

10 Discharge If a battery is energizing, it is considered discharging.

11Circuit The path of the electron flow. A circuit is a closed loop that

electrons can travel in. A closed circuit is a complete path. Anopen circuit is disconnected and separated path.

12 ElectrolyteIn a lead-acid battery electrolyte, sulfuric acid is dilutedwith water. It ıs a conductor provides water and sulphade. PbO2+ Pb + 2H2SO4 = 2PbSO4 + 2H2O
