Membership - Appointment, Qualifications and Term

A. Membership in the District Citizens' Oversight Committee There will beseventeen members of the District Citizens' Oversight Committee("DCOC"), as follows:

1. One representative from each College's Citizens Committee("CCC"), as described in 1(B), below, recommended by the ColleciePresident and confirmed by the Board.

2. Eight additional members appointed by the Board as follows:

a. One person who is active in a business organizationrepresenting the business community in Los Angeles;

b. One person who is active in an organization representing thelabor community in Los Angeles;

c. One person who is active in a senior citizens' organization;d. One person who is active in a bona fide taxpayers'

organization;e. One person who is a student who is enrolled in one of the

District's colleges and active in a college group, such as thecollege associated students' organization:nominated by theStudent Affairs Committee;

f. One person who is an active member of a college advisorycommittee or foundation; and

g. Two at-large members.

3. TheBoard wil1 aPPOint the members described in 1(A)(2) above tothe DCOC through the following process:

a. Appropriate local groups will be solicited for applications.b. The Chancellor or his or her designee will review the

applications received.c. The Chancellor will make recommendations to the Board in

accordance with a process determined by the Board.

B. College Citizens' Committees

1. Each College will have a College Citizens' Committee.

2. Each College's Citizens' Committee will consist of at least sevenbut no more than fifteen members nominated by constituentorganization(s), appointed by the College President.

3. It is recommended that at least one member of the committee willbe active in a business organization representing the businesscommunity in the college's service area; at least one member willbe active in a senior citizens' organization; at least one member willbe active in a bona fide taxpayers' organization; at least onemember will be a student who is enrolled at the college and activein a college group, such as the college associated students'organization; and at least one member will be an active member ofa college advisory committee or the college's foundation.

c. General Qualifications

1. Employees and Employee Representatives - No employee of theDistrict may be appointed as a member of either the CCCs or theDCOC. The College President may also appoint non-votingemployee representatives to the College Citizens' Committee. Anyemployee representative to the committee may participate in thecommittee's deliberations but may not cast a vote as a committeemember or othemise participate in any similar form of formaldecision-making.

2. Interested vendors ~ No vendor, contractor, or consultant of theDistrict shall be appointed to either the DCOC or the CCCs.

3. No dual membership - A member of a CCC who is not the CCC'sdesignated representative for the DCOC may not be a member ofthe DCOC or another CCC. A member of the DCOC appointedpursuant to 1(A)(2), above, may not be a member of a CCC.

4. Elected Officials - Elected officials are not eligible to be members ofaCCCor a DCOC.

D. Term

1. Members of the DCOC and the CCCs shall serve for a term of twoyears and for no more than two consecutive terms.

2. The community college student member may, at the discretion ofthe Board or College President, as applicable, serve up to sixmonths after his or her graduation.

E- Removal from membership - Members of the DCOC serve at the pleasureof the Board, and members of the CCCs serve at the pleasure of theCollege President, as applicable, and may be removed at any time withinthe sole discretion of the Board or College President that appointed themember.

F. Process for replacement - Ifmid-term vacancies occur, the process forreplacement shall ideally follow the same process as for regularappointments. The Chancellor may adjust the processes as may bereasonably necessary for the particular circumstances.

II Authority

A. Authority and relationship of committees

1. DCOC

a. Role,~ The role ofthe District Citizens' Oversight Committeeis to inform the public concerning the District's expenditure ofr. ^-nues r^^ lr^ tt?e sal? °[bonds authorized by thevoters on April 10, 2001. In particular, the Committee willprovide oversight ensuring that

(1) bond revenues are expended only for theconstruction, reconstruction, rehabilitation, orreplacement of college facilities, including thefurnishing and equipping of college facilities, or theacquisition or lease of real property for collegefacilities; and

(2) no bond revenues are expended for any teacher oradministrative salaries or other college operatingexpenses.

b. To carry out its role, the District Citizens' OversightCommittee may:

(1) receive and review copies of the annual independentperformance audit conducted to ensure that the bondrevenue has been expended only on the specificprojects listed in the bond proposition;

(2) receive and review copies of the annual independentfinancial audit of the bond revenue;

(3) inspect college facilities and grounds to ensure thatthe bond revenue is expended in compliance with therequirements of paragraph (3) of subdivision (b) ofSection 1 of Article XIIIA of the California Constitution;

(4) receive and review copies of deferred maintenanceproposals or plans developed by the District; and

(5) review efforts by the District to maximize bondrevenues by implementing various cost savingmeasures.

2. CCC - The role of each College Citizens' Committee is to advisethe District Citizens' Oversight Committee regarding the District'sexpenditure of bond revenues on the specific projects listed in thebond proposition that are planned for the college at which thecommittee is organized.

B. Legal capacity of committees

1. The DCOC is the citizens' advisory committee established pursuantto Education Code section 15278.

2. The CCCs are advisory to the DCOC.

3. Neither the DCOC nor the CCCs have an independent legalcapacity from the Los Angeles Community College District.

c. Information provided to committee members

1. Information provided by staff to one member of a CCC shall beprovided to all members of the CCC, in accordance with thedirections of the College President.

2. Information provided by staff to one member of the DCOC shall beprovided to all members of the DCOC, in accordance with thedirections of the Chancellor or his or her designee.

D. Authority of individual committee members

1. The Chair of a CCC or the DCOC shall have the authority to directstaff as necessary to comply with public meeting laws.

2. Except as expressly provided in these bylaws or by a majority voteof the applicable committee, individual committee members shallnot have the authority to direct staff unless the applicablecommittee has voted express authority to do so.

3. Each individual committee member retains the right to address theBoard of Trustees, either on behalf of his or her respectivecommittee, or as an individual.

4. In addition to the annual audits required by law, any DCOCmember may propose a motion to propose a special investigationor audit of any particular contract, component or activity involvingthe use of Proposition A, Proposition AA or Measure J funds. If theproposed motion is adopted by a majority of the DCOC, theChancellor or his or her designee shall promptly convey thatdirection to the designated performance auditor or financial auditor.The auditor shall provide a proposed budget, which would requireadvance approval from the Board of Trustees for use of Districtgeneral funds.

E. Selection of Chair

1. The chair for the DCOC shall be designated by the Chancellor, andthe chair for each CCC shall be designated by the respectiveCollege President.

2. Thereafter, the chair for the DCOC and each CCC will be appointedannually by the first meeting held on or after July 1, or as vacanciesmay occur. The chair shall serve at the pleasure of the Chancelloror College President that appointed him or her.

Ill Procedures.

A. District Staffing to Committee

1. Reasonable staffing shall be provided to the DCOC and the CCCswithout charge to bond funds.

2. The management-level staff person for the DCOC will report to theChancellor or the Chancellor's designee. The management-levelstaff person for each CCC will report to the respective CollegePresident.

3. staffin9 levels are within the discretion of the Chancellor for DCOC,and within discretion of the respective College President for CCCs,but the DCOC and the CCCs may make recommendationsregarding their respective staffing needs.

4. The Chancellor or College President should seek input fromindividual committee members regarding the evaluation of staffmembers.

B. Legal Counsel - The Chair of the DCOC and the chair of each CCC mayseek legal counsel as necessary from the Office of General Counsel,which will provide advice directly or through the use of additional counselas may be necessary. Since the DCOC and the CCCs do not have aseparate legal capacity from the District, the committees may not obtain

other legal counsel without permission from the Chancellor. To the extentadditional counsel is used, the Chancellor or his or her designee shallsupervise counsel.

C. Defense and indemnity - The District has a duty to defend and indemnifyvolunteers acting within the course and scope of their volunteer duties. Inthe event of litigation naming the DCOC, any or all CCCs, or the individualmembers, the Board of Trustees shall provide counsef for the DCOC orCCCs, and shall promptly determine whether to provide counsel forindividual members.

IV. Bylaws

A. Bylaws for each group - These bylaws are established for the DCOC bythe Chancellor, and may be modified by the Chancellor. Each CCC mayadopt its own bylaws, not inconsistent with these bylaws, and subject tothe approval of the Chancellor.

B. Amendments - Amendments to these bylaws must be approved by theChancellor.

V. Conduct of meetings

A. Qyorym

1. A quorum of the DCOC shall consist of any ninejnembers of theDCOC.

2. A quorum of each CCC shall consist of a majority of members ofthe CCC.

B. Public meetings

1. The DCOC and CCCs are subject to the Ralph M. Brown Act. Inlight of this requirement, each group will adopt schedules ofmeetings for at least six-month periods.

2. Notices and agendas regarding the DCOC and CCCs shall beposted in the same location as the location where notices andagendas regarding the Board of Trustees meetings.

3. Each member of each committee will be given a current copy of theRalph M. Brown Act by the Office of General Counsel. The Officeof General Counsel shall have the responsibility to provide abriefing regarding the Brown Act at a regular meeting of eachcommittee annually.

C. Public Records - Minutes of the proceedings of the citizens' oversightcommittee and all documents received and reports issued shall be amatter of public record and be made available on an Internet websitemaintained by the District.

E. When calling for a vote the Chair may take the entire vote of the groupverbally by asking first for those in favor, then for those opposed, then forabstentions. Subject: Title VI Plan Relating to Federal Funds Used for Construction Enhancements of Transit Areas

The District has four active federally funded transit enhancement grants:

Funding was granted to construct and enhance transit areas in and around the campuses for the benefit of students, staff, and the community transit riders . This year the Los Angeles County Metropolitan Transit Authority (LACMTA) , the pass through agency for this funding , informed the District that it is required to adopt a Title VI Plan to ensure the District is in compliance and monitoring Title VI activities as they relate to the above listed projects. Title VI of the Civil Rights Act of 1964 prohibits discrimination on the basis of race , color, or national origin in programs and services receiving Federal financial assistance. As a sub-recipient of federal financial assistance, Los Angeles Community College (LACCD) will ensure compliance with Title VI of the Civil Rights Act of 1964, particularly in the area related to improving access and public participation for Limited English Proficient (LEP) populations in those areas where the above transit projects occur.

As a result of this request , we have been working with General Counsel, the Director of Diversity Programs, the District ADA Coordinator, and the Civil Rights Compliance Administrator at LACMTA to draft this plan . The draft has been finalized and we will be submitting the draft to the Board at the October 8, 2014 board meeting for proposed adoption.
