In addition to the examinations mentioned, the cash and qecurities a t the Chief Office and certain of the princi a1 Branches were checked and verified by us a t another time during the year and founl to be in accord with the books of the Bank.

COMMENTS O F T H E GENERAL MANAGER, .MR. C. A. BOGERT

"At the Annual Meeting of the Shareholders in Janu- ary, 1918, reference was made to the general expansion in the business of the Bank, including a substantial increase in earnings, which was largely caused, as then mentioned, by war con'ditions and our ability to keep the funds well employed. The same conditions have prevailed through- out the whole of 1918, with the results which are pre- sented to you to-day.

The profits for the year, $1,169,000, a further increase of $82,000, are computed after a most thorough examina- tion of the Assets of the Bank by our own officials and the Auditors, and after making the fullest allowances for depreciation, possible loss and every contingency.

After the usual deductions for Dominion and Pro- vincial taxation, $83,300, the payment of the usual quar- terly dividends, $720,000, various donations to Patriotic and Relief Funds, $38,000, as enumerated in the Profit and Loss statement, and the yearly contribution to the Officers' Pension Fund of $25,000, authorized by the Shareholders, a sufficient margin in profits remained to justify writing off $250,000 from Bank Premises Ac- count, $50,000 more than the previous year. The balance brought forward in Profit and Loss Account, $446,500, is $53,000 more than as at 1st January, 1918. As the figures of the Bank's Balance Sheet grow from year to year, the Shareholders will appreciate-even though it involves re- marks of some length-a fuller analysis of the changes in the position of the Bank during the year under review.

THE BANK'S PUBLIC LIABILITIES. Let me first direct your attention to the more strik-

ing changes which have taken place in the Liabilities of the Bank. Notes in Circulation increased $40,000, and a t one time showed an expansion of $1,400,000. You will observe an indebtedness to the Dominion Government, $ll,Q90,000; this is of a temporary character, occasion- ed by our full participation in the usual financing of Canadian products, against which under the Finance Act of 1914 we werk able to obtain Dominion of Canada notes. This amount will in all probability be eliminated

from the Balance Sheet during the next three or four months. The total deposits of the Bank aggregated $96,107,000 on the 31st December. These liabilities upon which the Bank's earning power depends, and which mea- sure the confidence of the public in its conduct, show some notable changes. For investment in the 1917 and 1918 War Loans our depositors withdrew during the year 1918 the sum of $41,612,000. Of this large total $18,745,000 was taken from our Savings Department, not- withstanding which the deposits bearing interest de- creased only $4,467,000. Had it not been for these with- drawals an increase in interest-bearing deposits far in excess of any previous year would have been shown, and it is noteworthy that under the circumstances the total deposits of the Bank increased by $14,000,000. Al- though the last instalments of the Victory Loan are not yet paid, a gradual increase in the Bank's deposits is in evidence a t practically every Branch. We may reason- ably assume that there will be a continued steady growth in this part of the Bank's business, although perhaps not as marked for the next year or two owing to the cessa- tion of war activities and the partial dependence on their Savings balances for maintenance until conditions im- prove of those who may be temporarily out of employ- ment.

Non-interest bearing deposits increased by $18,626,- 000, due largely to the shifting of interest bearing de- posits from our various Branches to the Government account at Ottawa in connection with War Loan sub- scriptions, to which I have already made reference.

THE BANK'S ASSETS. On the 31st of December the Bank had in its vaults

$15,500,000 of actual cash-gold and Dominion of Can- ada notes. We had on deposit with the Central Gold Reserves to protect our Excess Circulation, $4,600,000. Notes of and Cheques on other Banks and Balances due by Foreign Correspondents amounted to $8,500,000. Sum- marized, the Cash Assets a t the end of the year were $28,500,000--a large sum, but one deemed necessary to protect the steadily increasing public liabilities.

Dominion and Provincial Securities, not exceeding market value, increased $500,000. Early in 1918 ap-

$5,000,000 Dominion of Canada Treasury Bills were retired, and later on we participated with the other Banks in a temporary advance of $175,000,000 to the Dominion Government. Of our proportion, $9,397,- 500, $4,027,500 was retired by the 31st of December, and the balance, $5,370,000, will be repaid on February lst, 1919, from the proceeds of the 1918 Victory Loan. Cana- dian Municipal Securities, and British, Foreign and Col- onial Public Securities other than Canadian, not exceed- ing market value, during the twelve months show an increase of $3,120,000, all of which represents the bal- ance of our participation, due early in 1918, in a special advance to the British Government for the purchase of 1917 cereal products in Canada. Railway and other Bonds, Debentures and Stocks-the Bank's ordinary in- vestments-are $1,000,000 less than at the end of the previous year. Favorable conditions arose during the year and securities to that extent were disposed of a t a substantial profit. Call and Short Loans in Canada show the large increase of $4,400,000, occasioned by temporary advances to some large and responsible subscribers to the 1918 War Loan, all of which will be taken up during the next few months. Call and Short Loans elsewhere than in Canada decreased $2,400,000 during the year. Some of our surplus funds were withdrawn from both the London and New York markets to meet the demand in Canada for commercial purposes. On the 31st of De- cember, 1918, total Immediately Available Assets were $63,528,000, an increase of about $6,000,000 during the year-these liquid resources are 53% of the Bank's total liabilities to the public. If we were to include in this total, loans against grain and other quickly saleable com- modities, which we would be quite justified in doing, the percentage would be 76. Other Current Loans and Dis- counts in Canada, the Bank's advances for strictly com- mercial purposes, were $64,000,000 at the end of Decem- ber, an increase of $18,500,000.

This may be considered a justified and gratifying ex- pansion, indicating that the policy of your Directors suc- cessfully continues. I t has always been the aim of The Dominion Bank to encourage the farmer, the rancher, the lumberman and the manufacturer-the backbone of

the country-and subsequently provide accommodation for the grain dealer, the packer, and others who distri- bute our commodities a t home and abroad. This year, owing to difficulties of transportation and other unusual causes, our loans against products will be slower to liquidate, but in the meantime the Bank's funds are safely and profitably employed in these channels.

Bank Premises Account expenditures during the year were comparatively small. No new buildings were undertaken--$20,000 used to complete the Branch of the Bank at Deer Park, Toronto, being the only outlay of moment. $250,000 was written off Bank Premises Ac- count from the year's earnings, the result being a net decrease of $190,000 during the twelve months. The cotistruction of two or three new offices necessary to prtjtect and expand the Bank's business is now under con- sideration. These matters will be dealt with early in the year and referred to in the next Annual Report.

The total Assets of the Bank at the end of the year were $133,506,000, an increase of $24,000,000, or 22% during t h e twelve months.

At this time it may be of interest to you to have some comparative figures of the Bank's position on the 31st of December, 1914, shortly after the outbreak of the war, and at the end of the year which has just closed, as well as some particulars of the Bank's activities during the intervening period. Total deposits on the 31st De- cember, 1914, were $59,300,000, and on the 31st of De- cember, 1918, $96,107,000, an increase of 62%. It is gratifying to note that proportionately to number of branches, the deposits of The Dominion Bank still stand in second place amongst the Canadian banks by a very substantial margin. Notes in Circulation on 31st of De- cember, 1914, were $4,143,000, and on 31st December, 1918, $9,900,000, an increase of 138%. On the 31st De- cember, 1914, the Bank's Cash Assets were $15,343,000, on December 31st last $28,500,000, an increase of 86%. Immediately Available Assets on December 31st, 1914, $27,312,000, had risen to $63,528,000 a t the end of last

year, or 132% greater. The Bank's Commercial Loans increased $17,000,000 during the same period. The total Assets of the Bank on 31st December, 1914, were $80,- 500,000, and a t the end of the year just closed $133,506,- 000, an expansion of 66%.

All these changes are encouraging, but are not of a normal character. Conditions have been altogether favourable for increasing deposits. Great activity in the manufacture of munitions and other articles of war, with a shortage of labour and high wages, brought largely increased savings. Our products all brought prices un- heard of before the war, with great advantage to the producer. The large increase in Notes in Circulation, $5,700,000, as well as the increase in the Bank's Com- mercial Loans, $17,000,000, while indicative to some ex- tent of business expansion, is almost wholly caused by the exceptional conditions I have referred to.

Bank Premises Account, $5,051,000 a t the end of 1914, shows a net increase of $77,000 during the four years under review. The only large expenditure was in connection with the acquisition of the present land and building a t Vancouver, the balance necessary tn complete the Head Office building and the construction of build- ings a t Oshawa, West Toronto and Deer Park, Toronto, $550,000 was written off Bank Premises Account during the last three years from profits.

Relating to the Bank's special activities during the war period, we participated to the extent of $40,000,000 in Imperial and Dominion Government loans for war pur- poses, and held $20,000,000 of such securities a t the end of 1918, of which amount, however, $5,300,000, as al- ready pointed out, will fall due and be retired by the 1st of February next. We have encouraged the Bank's de- positors to invest liberally in our domestic War Loans, and in doing so i t is estimated they withdrew $57,400,000 during the last four years. For the 1917 and 1918 Vic- tory Loans alone, 109,000 subscribers made use of the facilities provided by The Dominion Bank. Notwith- standing these features, which were detrimental to the supplying of funds for commercial purposes, our Com- mercial Loans increased $17,000,000 in the war period, indicating that the Bank, while contributing to the ut-

most, directly and indirectly, to Government war financing, fully provided for the requirements of its com- mercial borrowers.

I t is interesting to recall that when a Declaration of War by Great Britain became imminent in the event- ful Summer of 1914, there were many predictions of grave commercial and financial crises in Canada. AS a matter of fact, Canada has passed through the four and a half years of hostilities without any financial crisis whatever. I t is true that during the few days prior and subsequent to August 4th, 1914, a distinct feeling of un- rest prevailed in this country, but it quickly subsided, largely owing, I think, to the sanity and good judgment of the Canadian people, strengthened by the prompt measures which were taken by the Dominion Govern- ment and the Canadian Bankers' Association to restore confidence. Now, I am sure that, with a feeling of relief that Canada has so successfully passed through this try- ing period, we all look forward to a return to normal conditions, and the sooner the better. Already prices for foodstuffs particularly are on the way to a lower level; world-wide increased production is bringing this about perhaps sooner than was expected. Our Govern- ments should remove all war restrictions as soon as i t is judiciously possible for them to do so. No time should be lost in releasing Government commissioners and mid- dlemen from their special duties. Let those who have so ably and successfully handled our exports in the past resume their former activities and through normal chan- nels. People with lifelong experience are best able to look after their own lines of business.

An announcement has recently.been made that the leading financiers in Great Britain are emphasizing the importance of re-establishing a gold basis as soon as i t is possible to do so, and immediate steps are being taken to this end. This is of great moment to this country, for if Canada is to satisfactorily pass through the reconstruc- tion period and provide for the interest on her external obligations, not only is increased production necessary, but it is just as essential that cash be obtained for her exports, so that reliance will not have to be placed entire- ly upon domestic loans or upon the resources of the

Canadian Banks to pay our producers for what they have to sell..

Respecting the Canadian banking position, we all know that it is exceptionally sound a t the present time. Very many complex and wholly unusual problems have been successfully met by the banking community during the past four and a half years-just as serious problems will have to be met during the reconstruction period, and I have no doubt that they will be satisfactorily solved. I t seems altogether improbable that the great expansion in the business of the Canadian Banks during war time will continue in the same degree. Bank earnings may be maintained for a t least another twelve months, but after that I do not think they will be as large as during the past two years, for instance. As already intimated, Bank deposits are likely to be affected by lower prices for pro- ducts, accentuated by lack cf employment, and probably lower wages.

There is one feature of the banking situation on which I think comment might well be made: immediately after the cessation of hostilities extraordinary activity prevailed in banking circles in the opening of new branches. No less than 200 offices have been opened since the armistice was signed, the result being that Canada to-day is furnishing the public with banking facilities that are not equalled by any country in the world, and indeed do not seem warranted, either by present or probable future conditions. From the last available returns it is interesting to note that Canada has a branch bank for every 2,300 people ; in the United States, including National and State Banks, there is one for every 3,600 people, whereas in the United Kingdom there is a bank for every 4,800. In other words, a t the present time Canada provides double the banking facili- ties supplied by the United Kingdom, and we h a r no complaints that the Mother Country, after many years of experience, is lacking in banking service. Is it not probable that an unjustifiable expansion of branch banks in Canada will prove not only dangerous to the banks themselves, but to the public? Increased and unneces- sary banking facilities will surely produce increased competition and unreasonable granting of eredit. Pro-

moters of doubtful enterprises and borrowers without the necessary ability, integrity Qr financial strength, will welcome such conditions. We appreciate the neces- sity of our Banks keeping pace with Canada's develop- ment, or even anticipating it to a reasonable extent, particularly in Western Canada, but the present extra- ordinary expansion does not seem justified.

When you are addressed by some of your Directors to-day they are unlikely to make any special reference to their personal connection with The Dominion Bank, but I would like you to know-and I am in a position to make such a s t a t e m e n t t h a t I know of no institution that is better directed than The Dominion Bank. Your representatives on the Board are always most assiduous in their attention to your interests. To the Executive Staff of the Bank it is a source of satisfaction and re- lief to know that the advice and co-operation of the Directors is available a t all times, and this was parti- cularly the case during the trying four years just com- pleted.

Insofar as the position of The Dominion Bank is concerned, our figures are perhaps not so impressive as those of a few of the larger Banks, but the growth has been gradual, entirely legitimate, and, I think, on sound lines. The figures in our Balance Sheet have not been swelled by mergers or other extraneous causes. The Dominion Bank a t the present time is in a strong posi- tion; its earning power is goad; it appears to enjoy the confidence of the public; we are able to offer our borrow- ers every reasonable facility for legitimate business, and altogether, for another year a t least, our course seems clear and free from any special difficulties."

ADDRESS BY THE PRESIDENT In moving the adoption of the Report, the President,

Sir Edmund B. Osler, addressed the Shareholders as follows :-

"The General Manager has gone very fully into the condition of the affairs of The Dominion Bank and has touched upon the general banking situation so that it is not necessary for me to make any extended address. The Report and Statement submitted are satisfactory. Sub-

stantial progress has been made in all directions. The earnings have been good, and the Assets of the Bank have been very closely scrutinized by the Directors, who believe they are estimated in the Balance Sheet in the most conservative way.

The Management and Staff have during the past year worked most loyally under very trying circum- stances. The Directors have recognized this by granting them substantial bonuses and by increasing the salaries generally, which policy I am sure will meet with the approval of all the Shareholders.

The Bank has taken its full share in all the public loans issued to meet the financial demands caused direct- ly and indirectly by the War.

You see now and again complaints in the news- papers that the Banks in the country are not doing their duty in loaning to the farmers and others; that the Branch Banks are not assisting as they should the cus- tomers in the district they serve. Statements to that effect I think are entirely wrong. For what purpose does a Bank open a branch? To make money. The Manager of each branch, therefore, has a direct interest in in- creasing his business, making the Bank popular and making i t pay. I think that the criticism which you very often read in the Press is entirely unfair and with- out foundation. Of course Banks cannot lock up their money in permanent loans ; they must keep a large sum immediately available to meet any possible demands from depositors. The first duty of any Bank is to maintain a sound condition and always be in a position to protect its depositors and its note holders. Speaking generally, I think the Banks outside of Canada, those in the United States, on the Continent of Europe and in Great Britain have returned to their shareholders much larger dividends than have the Canadian Banks which in proportion to the volume of their business have not made excessive profits-have not made profits equal to those made by Banks in almost any other country. I am quite sure I am right in this statement.

There was a great contraction of business for a year after the War, but for the last two or three years an enormous expansion has taken place, due principally to

war orders. The War is over, but trade conditions throughout the world are very unsettled and we must, therefore, expect a serious slackening of business activity before a stable readjustment takes place. I t will, in my opinion, take some time to re-establish and train in civil life the millions who have for the past years been on military service and properly employ them in the work of reconstruction and development of the different countries of the world. This is going to be more and more difficult because of very great unrest.

I t will not be easy to find suitable occupation for the returned soldier. The great cry is "get on the land," but the land is not attractive to all, nor to the majority. In Canada there are no great public enterprises in view or in contemplation. Railway building has been in ad- vance of requirements and large expenditures have been made in that connection. I t seems to me that the only great public works that can be undertaken with profit and advantage will be the building of good roads through the country. For the next ten years expenditures of the Dominion and the various Provinces should be in the direction of developing the roads for travel for the farmers. Nothing will render the country more attrac- tive. With the increased use of the automobile as a result of good roads and the development of light and power for use in the rural districts farming will become more attractive and profitable.

I may be rather pessimistic as to the immediate outlook for business and general development during the next year or two, but I do not see how we can avoid experiencing a very serious set-back. But looking ahead, over a period of say five years, I have the most un- bounded confidence in Canada and its future develop- ment. I believe our Canadian men following the example of our pioneers, who made Canada what it is, will still develop it to a degree probably greater than any other part of the world. I have a great belief that among our returning soldiers will be found the men who are going to be the leaders in Canada-men with a proper outlook and conception of what their duty is.

I take pleasure in moving the adoption of the report."

REMARKS BY THE VICE-PRESIDENT, MR. W. D. MATTHEWS.

"I have great pleasure in seconding the adoption of the report. I am sure you have listened with satisfaction to the remarks of the President and the General Man- ager in commenting upon the Bank's business for the past year.

At the time War was declared Canada was thrown into a state of nervous anxiety. Business became de- moralized in all branches, and when it was first intimated that Munitions would be required, we seemed to be very badly prepared through lack of knowledge and experience in such manufacturing. Fortunately the resourcefulness of our people soon set this apprehension a t rest, and very large Government orders were distributed, which quickly allayed apprehension as to business and resulted in the greatest manufacturing activity, with whatever labour was obtainable, and the most profitable returns known in our history. As a consequence, Canada came through the War with a splendid record.

To-day we are concerned more with reconstruction, demobilization, taxation, tariffs and labour conditions. The difficulties attending all these questions are appar- ently receiving due attention by the Government and these matters will require the most careful consideration that can possibly be given to them.

I t is well known that many manufacturers, during the period of the War increased their plants and facilities to a much greater extent than ever before, thus placing them in a position to do business at reduced costs and to successfully compete for a share of the trade demands for reconstruction materials required at home and abrb,d and for regular domestic business.

We have provided the money required to meet the obligations accumulated in assisting to carry on the War as well as the business of the Country a t the same time, and in this respect we appeared to merit the admiration and gratitude which we received. But the qualities that go t o make for success-pluck, enterprise and hard work-have, no doubt, been the principal reason for the successful results attained. I t will require administrative

ability of a very high order to deal with such problems as the enormous increase in the debt of the Country and the provision for the revenue which will be needed to meet all the disbursements Canada will be called upon to make. Much will depend upon the start made in bringing about changes by way of tariffs, taxation and the formu- lation of policies designed to restore normal and prosper- ous conditions. If Labour is to be given full considera- tion, the Capital which finds employment must not be unduly hampered, otherwise enterprise will falter and delay the return to business activity. Under existing conditions, we can hardly look for a reduction of taxation, the extent of which is a matter of very serious import- therefore, legislation in regard to it will in a great meas- ure determine the promptness with which we will return to normal prosperity.

The policy of thrift, so strongly advocated on all sides, and so generally followed by the people of Canada must be continued. Its persistent advocacy during the period of the War doubtless had good results, yet a t no time is its practice more essential than during the period of reconstruction.

There are many difficulties to be met and overcome during the Peace negotiations now being carried on, but I am confident that the courage and faith of those taking part, combined with energy and firmness, will bring about a satisfactory conclusion.

If the Country is fortunate enough to have condi- tions and legislation that assist, I am sure that our mer- chants and manufacturers will be found willing and pre- pared to do their part in laying the foundation for prosperity.

One of our great anxieties a t the present time is the repatriation of our soldiers from Overseas to civil life and work, and the problem of satisfactorily placing them, appears to be closely related to lower cost of living being established. No doubt there will be marked changes in prices as compared with those established for some commodities during the period of the War. While re- adjustment will require time and patience, I am sure the good sense of the people will prevail and solve any diffi- culties that may arise, especially as between employers

and labour. Harmony and goodwill in this respect appear for the moment to be the chief question demand- ing a satisfactory solution."

The Report was adopted.

I t was moved by Mr. Allan McPherson, seconded by Mr. J. J. Dixon and unanimously resolved, that Messrs. Geoffrey T. Clarkson and Robert J. Dilworth, the retiring Auditors, be and they are hereby appointed Auditors to hold office until the next Annual General Meeting, and that their remuneration be fixed a t a sum not to. exceed $5,000.

I t was moved by Mr. William Crocker, seconded by Mr. H. B. Hodgins and resolved, that the thanks of this Meeting be given to the President, Vice-president and Directors for their services during the year.

Sir Edmund B. Osler : "I would ask Sir Augustus M. Nanton, of Winnipeg, Mr. Hamber, of Vancouver, and Mr. Carruthers, of Montreal, three of our out of town Directors, to address the Meeting."

Sir Augustus M. Nanton: "As you know, the Board of The Dominion Bank has been so chosen that the inter- ests of the Bank are served by the Directors who reside a t the chief places of business. I happen to be one of the Directors in the Prairie Provinces and I feel proud of the fact that I recommended and pressed for the opening of a Branch of The Dominion Bank in Winnipeg. It was also upon my recommendation that they appointed a Manager of that Branch who is still Manager and who has been successful in conducting the Bank's business in Winnipeg for the last twenty-one years.

In the early days, or rather at the time when I first went to the West, there was little or nothing being ex- ported. Last year the exports from the Prairie Prov- inces in the way of Grains, leaving out Cattle and other products, totalled to enormous figures. At the present time there is under cultivation some 27,000,000 acres of land in the three Provinces, all of which is seeded to wheat, oats, barley and flax; the crop in 1917 represented a value of something over $600,000,000. To take care of this business the storage capacity in the elevators in the West is 125,000,000 bushels, and if we include elevators

situated a t the head of the Lakes in the Province of Ontario, and which are really required for the Western trade, the storage capacity runs to the enormous figure of 180,000,000 bushels."

Mr. E. W. Hamber : "I have been asked to say a few words to you on the prevailing conditions as they affect the Bank's business in Vancouver. Speaking generally, at the Coast they are very satisfactory. Many industries have sprung up in the last two years, particularly in shipbuilding, which has helped materially to meet the great need for tonnage. Steel vessels are being and have been built of from eight to nine thousand tons. Of wooden ships with auxiliary power-a great many have been constructed. Curtailment in this business may be looked for, but I think there will remain permanently established a new shipbuilding industry on the Pacific Coast that will employ a great many hands.

As to the future of the lumbering interest, I think the outlook for the next year or two is excellent. We expect to have the best lumbering business in British Columbia that we have ever had in the history of the Province. Mining is also looking up. A very important factor that has presented itself in the last two years is Oriental trade. It is going to be of very large volume and the Railways are making preparations to handle it."

Mr. James Carruthers: "May I be permitted to say that in any large corporation-in any large business- the shareholders are mainly dependent upon the men in charge. I think the Shareholders of the Bank are fortun- ate in having a t its head such men as our President, Vice-president and General Manager. I can speak from experience, knowing^ that the success of any Company depends largely on its chief executive officers.

I agree with the General Manager when he states that we are not going to make money in the banking business in the future to the same extent that we have during the 1as.t three or four years.

One of the problems we must face is the attitude of the Western farmer; he wants a downward revision of the Tariff. While our agricultural friends in the West are a very important factor in the development of Can-

ada, still they must remember that there are natural resources in Canada to develop and to make the best use of which demands our most careful thought. As the General Manager has said, we cannot count on a con- tinuation of our present prosperity;. We have to be conservative and look to the future with that fact in mind.

As one of your Directors, I wish to thank the Share- holders for the Resolution they have just passed."

Mr. Walter J. Barr: "I have pleasure in moving the following resolution: Resolved that the thanks of this Meeting be given to the General Manager and other Officers of the Bank for the efficient performance of their respective duties.

In moving this resolution I wish to say, gentlemen, that we have heard an excellent report read by the Gen- eral Manager. We recognize that such results can only be made possible by the active co-operation of an efficient, enthusiastic and capable staff. Such a staff I know The Dominion Bank possesses, and the President has stated that their services have been appreciated and recognized by increased salaries and additional bonuses-in other words, by such recognition as the increased cost of living and the demands of the times require. I t has been sup- posed in the past by the public that the duties of those employed in Banks were not very arduous, but during the last three or four years I think the public have awakened to an appreciation of the nature of the responsible work performed in connection with the banking of Canada, which work has been immensely increased and become very onerous and the public now realizes that the men in charge of it have had to assume additional responsibil- ity which they have discharged with very great success.

In a large institution like The Dominion Rank and other Banks employing so many people, no doubt the question of the relationship between employer and em- ployees comes up a t intervals. We know that with the trend of the times in the last few years the situation has become more acute and that the employees of a Bank or any big corporation are looking a t things from a different standpoint than formerly. I am sure that this Bank and other Banks, recognize this fact and realize

that co-operation is the only way in which business can be successfully advanced.

Mr. Carruthers has spoken of the advantages which the Bank enjoys in the most efficient services of its President, Vice-president and General Manager, which I am sure we all appreciate in every way, and therefore, I have much pleasure in proposing this motion."

Mr. Sigmund Samuel: "I have much pleasure in sec- onding the motion and I feel satisfied that we may look to the future with the assurance that no matter what difficulties may arise, the business of the Bank will be successful."

Sir Edmund B. Osler: "Before I ask Mr. Bogert to reply, I want to say that we have sustained a great loss in the death of the Manager of our London, England, Branch, Mr. J. Haydn Horsey, who died on the 26th December last. As President of the Bank, and personally, I mention to the Shareholders my great regret at his decease."

Mr. C. A. Bogert : "Since January, 1915, the first year after the outbreak of the War, it has always been my privilege in responding to this resolution, which on this occasion has been so kindly moved and seconded by Mr. Barr and Mr. Samuel respectively, to refer first to those members of the Staff who have gone Overseas, and I do so with particular gratification this year, because many of them are now on the way home. Some of them have already returned to their duties with ,The Dominion Bank, and we all know that in the near future we shall have a great many of them in Canada and I hope the large majority again with The Dominion Bank.

On August lst, 1914, we had 736 men on our roll in the Bank, and I have to inform you with pride, that in- cluding, of course, some who temporarily joined the Staff since that time, 436 of our men have been on active ser- vice. (Applause). Of this number 52 have lost their lives ; 30 were wounded ; 7 were taken prisoners-a notable re- cord-with many deplorable results.

With pleasure, I want to again refer to those mem- bers of the Staff who have specially distinguished them- selves and won well-deserved honours. Nine members

of The Dominion Bank received the Military Cross during the War, but, unfortunately, three of these heroes lost their lives in action ; three were given the Military Medal, two received the Distinguished Service Order, and many others were mentioned in despatches. I think it is opportune for me a t this juncture to mention that it is our intention to place a permanent memorial tablet of some character in the Head Office Building in honour of all those of our Staff who volunteered for active service, including, of course, some special designation for those killed in action, wounded, or who received military hon- ours, etc.

The President, in his remarks a moment ago, made reference to the recent death of Mr. Horsey, who was in the service of The Dominion Bank for 43 years. I knew him intimately for many years, having worked with him for a considerable time in the same office. He served the Bank with ability and distinction a t all times, no matter what his position might be. It is with very great regret that we have to record his death, and I am sure that this regret is felt by all the Shareholders.

I wish to express my personal thanks to the mover and seconder of this resolution and to the Shareholders who have kindly passed it. For thirteen years now I have been responding to a similar resolution. Of neces- sity my remarks must be more or less stereotyped, and I am on this occasion going to ask Mr. Patton, to whom reference has already been made, and who so success- fully and so ably presides over the affairs of The Domin- ion Bank in Western Canada, to say a few words. Xe is not only the Bank's Manager a t Winnipeg, but our West- ern Superintendent.

In concluding, I want to say to the Staff of The Do- minion Bank as a whole, through the Shareholders, that the Head Office Officials could have accomplished very little indeed during the war period, under circumstances that have been most trying, exacting and laborious, without the active co-operation, support and loyalty of the whole Staff, which was always forthcoming."

Mr. Patton : "Mr. President and Gentlemen,-One of the characteristics of the Western man is that he has very few words to say. I just wish to express my thanks

for the very kind sentiments contained in the resolution referring to the Staff. I desire to take this opportunity of expressing on behalf of the Staff our appreciation of the very liberal treatment accorded us in the way of in- creased salaries and bonuses, which I have no doubt the Directors considered were well deserved.

I think a word should be said on behalf of the female portion of our Staff, whose assistance, in common with all other institutions, we have had to depend upon very largely to carry us through."

Mr. W. J. Fleury: "I beg to move that the poll be now opened for the election of thirteen Directors, and that the same be closed a t two o'clock in the afternoon, or so soon before that hour as five minutes shall elapse without any vote being polled, and that the Scrutineers, on the close of the poll, do hand to the Chairman a certi- ficate of the result of the poll."

The resolution was seconded by Mr. E. C. Jones. The Scrutineers reported that the following gentle-

At a subsequent meeting of the Directors, Sir Ed- mund B. Osler was elected President, and Mr. W. D. Matthews Vice-president for the ensuing term.
