1 OFFICIAL RULES FOR THE ACE MANAGER COMPETITION Article 1: Organising company BNP Paribas, a public limited company (société anonyme) with share capital of EUR 2.507.455.130 registered in the Paris Trade and Companies Register under number 662 042 449, having its registered office at 16, boulevard des Italiens, 75009 Paris – France (hereinafter the “Organising Company”) is organising, between 15 October 2013, 10:00 am (Coordinated Universal Time, hereinafter “CUT.”) and 15 May 2014 (this date is indicative only and remains subject to change), a competition entitled BNP Paribas ACE MANAGER (hereinafter “ACE MANAGER” or the “Competition”) for the sixth year running and accessible using the website published by the Organising Company and available at www.acemanager.bnpparibas.com (hereinafter the “Website”). Article 2: Presentation of the Competition The Competition is reserved for Undergraduate and Graduate students (1st, 2nd, 3rd and subsequent years) enrolled in a school of higher education or a university and who are under 26 years of age as of 10 April 2014 at 09:59 CUT time. This Competition is based on an interactive economic simulation of the bank's activities. The Competition will be entirely in English. The Competition will take place in 3 stages: Stage 1: Registrations (15 October 2013 at 10:00 a.m CUT time – 10 April 2014 at 10:00 a.m CUT time) Stage 2: Competition (17 April 2014 at 10:00 a.m CUT time – 07 May 2014 at 00:00 CUT time) Stage 3: Final (15 May 2014 – the date is indicative only and remains subject to change) The above dates and times are mentioned for information only and will be confirmed at a later date. After their registration, participants (hereinafter “the Participant” or “the Participants”), grouped together into teams (hereinafter “the Team” or “the Teams”), will operate in a competitive environment and will have to resolve different Case studies (hereafter “Case (s)” or “Financial Case(s)”), given that the appropriateness of their decisions will enable them to

   Article  1:  Organising  company    BNP   Paribas,   a   public   limited   company   (société   anonyme)   with   share   capital   of   EUR  2.507.455.130  registered  in  the  Paris  Trade  and  Companies  Register  under  number  662  042  449,   having   its   registered   office   at   16,   boulevard   des   Italiens,   75009   Paris   –   France  (hereinafter  the  “Organising  Company”)   is  organising,  between  15  October  2013,  10:00  am  (Coordinated  Universal   Time,  hereinafter   “CUT.”)   and  15  May  2014   (this   date   is   indicative  only   and   remains   subject   to   change),   a   competition   entitled   BNP   Paribas   ACE  MANAGER  (hereinafter   “ACE   MANAGER”   or   the   “Competition”)   for   the     sixth   year   running   and  accessible   using   the   website   published   by   the   Organising   Company   and   available   at  www.acemanager.bnpparibas.com  (hereinafter  the  “Website”).      Article  2:  Presentation  of  the  Competition    The  Competition   is   reserved   for  Undergraduate   and  Graduate   students   (1st,   2nd,   3rd   and  subsequent  years)  enrolled  in  a  school  of  higher  education  or  a  university  and  who  are  under  26   years   of   age   as   of   10   April   2014   at   09:59   CUT   time.   This   Competition   is   based   on   an  interactive  economic  simulation  of  the  bank's  activities.    The  Competition  will  be  entirely  in  English.    The  Competition  will  take  place  in  3  stages:    

• Stage   1:   Registrations   (15  October   2013   at   10:00   a.m  CUT   time  –   10  April   2014   at    10:00  a.m  CUT  time)  

 • Stage  2:  Competition  (17  April  2014  at  10:00  a.m  CUT  time  –  07  May  2014  at  00:00  

CUT  time)    

• Stage   3:   Final   (15   May   2014   –   the   date   is   indicative   only   and   remains   subject   to  change)  

 The  above  dates  and  times  are  mentioned  for   information  only  and  will  be  confirmed  at  a  later  date.      After   their   registration,   participants   (hereinafter   “the   Participant”   or   “the   Participants”),  grouped   together   into   teams   (hereinafter   “the   Team”   or   “the   Teams”),   will   operate   in   a  competitive  environment  and  will  have  to  resolve  different  Case  studies  (hereafter  “Case  (s)”  or  “Financial  Case(s)”),  given  that  the  appropriateness  of  their  decisions  will  enable  them  to

accumulate  points  (hereinafter  “Aces”).    The  aim  of   the  Competition   is   to  obtain  a  maximum  number  of  Aces   to  ensure   that  one’s  team  qualifies  for  the  international  final  (hereinafter  the  “Final”)  which  will  take  place  on  15  May  2014  (indicative  date)  online  (notably  by  means  of  a  videoconference)  and  during  which  the  five  (5)  finalist  Teams  (the  Teams  having  obtained  the  maximum  number  of  Aces)  will  be  given  their  final  ranking.      The  Results  of  the  Final  will  be  posted  on  the  Website  seventy-­‐two  (72)  hours  after  the  Final.    The  participation  to  the  Competition  is  open  to  every  student  aged  of  less  than  26  years  the  10  April  2014  at  09:59  a.m  CUT  time.  Players,  who  are  more  than  26  years  old  on  10  April  2014   at   09:59   a.m   CUT   time   and/or   who   is   not   part   of   a   team   made   up   of   three   (3)  Participants,   may   operate   in   the   same   environment   as   teams   participating   in   the  Competition.   However   such   teams   are   ineligible   to   participate   in   the   Competition   and  cannot  be  qualified  for  the  Final.      Article  3:  Participation  terms  and  conditions    The   Competition   is   open   to   any   Undergraduate   or   Graduate   students   (1st,   2nd,   3rd   and  subsequent   years)   enrolled   in   a   school   of   higher   education   or   a   university   and   under   26  years  of  age  on  the  day  of  10  April  2014  at  09:59  a.m  CUT  time.  This  age  restriction  is  set  in  order  to  ensure  the  homogeneity  of  preparation  of  the  Participants.    Any  individual  meeting  the  above  terms  and  conditions  may  participate  in  the  Competition,  irrespective  of  their  nationality  and  the  school  or  university  in  which  they  are  enrolled.    It  is  hereby  expressly  agreed  that  members  of  the  Finalist  Teams  in  the  first  five  BNP  Paribas  ACE  MANAGER  competitions  may  not  qualify  for  the  Final.    Any  student,  who,  because  of  his  /  her  lack  of  legal  competence,  is  unable  to  participate  in  the  Competition  without  the  consent  of  his/her  parents  or  legal  guardian  must  obtain  such  consent  prior  to  registration.  The  Organising  Company  reserves  the  right  to  request,  at  any  time,   proof   of   consent   from   the   parents   or   legal   representative   and   to   disqualify   any  Participant  who  is  unable  to  produce  such  a  proof.    It   is   hereby   expressly   agreed   that   employees,   apprentices   and   trainees   of   the   Organising  Company,  including  its  subsidiaries,  may  not  participate  in  the  Competition.      Students  being  recruited  by  a  third  party  to  the  Organising  Company  and  its  subsidiaries  for  a  job,  an  apprenticeship  or  a  training  period  may  participate  in  the  Competition.    Students  being   recruited  by   the  Organising  Company  or  by  a   third  party   to   the  Organising  Company  and  its  subsidiaries  for  a  job,  an  apprenticeship  or  a  training  period,  and  who  have  participated   in   the   creation   or   the   testing   of   Case   Studies   may   not   participate   in   the

Competition.        It   is   hereby   expressly   agreed   that   any   student   registered   for   the   competition   who   is  definitively   recruited   for   a   fixed   or   unspecified   period   during   the   Competition   will   be  automatically   disqualified.   In   this   respect,   the   Participant   undertakes   to   inform   the  Organising   Company   of   any   employee   relationship   that   they   may   contract   during   the  Competition.      Participation   in   the   Competition   is   subject   to   express,   prior   and   online   acceptance   of   the  present  Competition  rules  by  the  Participant.    Participation  in  the  Competition  shall   in  no  way  be  considered  as  resulting  in  a  contractual  relationship  between  the  Participant,  the  Team  and  the  Organising  Company  and  under  no  circumstances  result  in  an  employee  relationship.      Apart  from  the  cost  of  an  Internet  connection,  participation  in  the  Competition  requires  no  financial  participation  or  purchasing  obligation.      Article  4:  Registering  for  the  Competition      Article  4.1.  Registration  procedure    To  participate  in  the  Competition,  students  meeting  the  participation  terms  and  conditions  specified  in  Article  3  of  the  present  rules  must  connect  to  the  Website  between  15  October  2013   at     10:00   a.m   CUT   time   and     10   April   2014   before   10:00   a.m   CUT   time   in   order   to  proceed  with  the  online  registration.    Students  have  two  registration  options:    a)  “Standard”  registration:  This   registration   procedure   is   accessible   from   the   Website’s   home   page.   When   students  activate  the  “Register  Now”  button  they  are  asked  to  fill  in  various  mandatory  information  in  order   to   participate   in   the   Competition:   surname,   forename,   gender,   date   of   birth,  nationality,  country  of  residence,  branch,  level  of  studies  and  university  (or  school  of  higher  education)   in   which   they   are   enrolled.   A   valid   e-­‐mail   address   will   be   requested   and   will  subsequently  be  used  for  each  connection  in  order  to  connect  to  the  Website.  The  Internet  user  must  also  enter  a  password  that  will  be  used  in  addition  to  their  email  address  in  order  to  proceed  with  their  identification  on  the  Website.    All  the  data  given  by  the  Internet  user  willing  to  participate  in  the  registration  form  are  likely  to   be   checked   by   the   Organizing   Company.   Any   erroneous   information   can   lead   to   the  disqualification  of  the  concerned  student.

 b)  Registration  via  “Facebook  Connect”:    If   the   student   has   a   Facebook   account,   he/she   can   also   access   the   registration   area  using  their  password  and  Facebook   login  by  clicking,   from  the  Website’s  home  page,  and  on  the  “Connect   with   Facebook”   button   allowing   connection   via   the   “Facebook   Connect”  application.  By  using   this   registration  medium,   the   student  can   import  personal  data   from  his/her   Facebook   account   (profile   information,   photos,   surname,   forename,   friends,   etc.)  which,  in  the  case  of  some  of  them,  will  be  transcribed  to  the  registration  form.  Registration  via   “Facebook   Connect“   will   also   enable   students   to   interact   with   their   Facebook   friends  within  the  Website.    By  using  the  “Facebook  Connect”  application  to  register  and  participate  in  the  Competition,  the   student  may  allow   the  Organising  Company,   if  he/she  wishes  and  expressly  agrees,   to  publish  in  his/her  Facebook  profile  information  related  to  his/her  activity  as  part  of  his/her  participation  in  the  Competition.    c)  Other  registration  provisions  At   the  end  of   the   registration  process   (“standard   registration”  or  via   “Facebook  Connect”)  and   after   having   filled   in   the  mandatory   information,   the   student   is   required,   in   order   to  submit   his/her   final   participation   application,   to   read   and   expressly   agree   to   the   present  rules  by  ticking  the  box  “I  agree”  on  the  page  “confirm  that  you  have  read  Ace  Manager’s  Official  rules  and  that  you  agree  with  them.”      Before  validating  his/her  registration,  the  student  will  also  be  able  to  agree  to  BNP  Paribas  and   its   entities   around   the   world   using   their   personal   data   for   recruitment   purposes   by  ticking  the  box  “I  agree  to  BNP  Paribas  transmitting  my  personal  data  to  its  entities  around  the  world  for  recruitment  purposes”,  on  the  understanding  that  the  student’s  agreement  to  this  use  of  his/her  personal  data  is  optional  and  has  no  impact  on  the  student’s  participation  in   the   Competition.  Where   a   student   has   agreed   to   the   use   of   his/her   personal   data   for  recruitment  purposes,  he/she  may,  at  any  time,  request  that  this  personal  data  is  no  longer  used   by   sending   a   request   to   the   following   email   address:  [email protected]    Once  the  registration  done  under  the  process  above-­‐written,  the  registration  application  will  be   processed   by   the   Organising   Company   (and/or   its   subcontractors)   and   an   email  confirming  acknowledgement  of  the  registration  will  be  sent  to  the  email  address  indicated  by  the  student  on  the  registration  form.  Once  this  confirmation  email  has  been  received,  the  student  will  be  considered  to  be  a  Participant  (hereinafter  the  “Participant(s)”).      Moreover,  it   is  hereby  expressly  agreed  that  once  identified  and  registered,  the  Participant  may,  at  any  time  during  the  Competition  registration  phase  (i.e.  between  15  October  2013  at  10:00   a.m   CUT   time   and   10   April   2014   at   10:00   a.m   CUT   time),   amend   the   information  communicated  at  the  time  of  registration.    It  is  hereby  expressly  agreed  that  each  student  may  only  register  for  the  Competition  once.

Creating   several   “Participant”  accounts  using  a  different   identity   is   expressly  prohibited.   If  he/she   does,   the   Participant  would   be   automatically   disqualified   and   could   not,   under   no  circumstances,  be  declared  a  winner  at  the  end  of  the  Competition  and  entitled  to  any  prize.      However,  several  members  of  the  same  family  may  register  for  the  Competition.    As  part  of   the  Competition   registration  process,   the   student  may  also,  and  on  an  optional  basis,  indicate  additional  information  on  his  geographical  location  (country,  town...),  his  area  of   interest,   hobbies,   and   provide   a   short   presentation   about   himself   on   the   registration  form.   It   is   hereby   expressly   agreed   that   the   provision   or   otherwise   of   this   optional  information  will  have  no  impact  on  the  student’s  participation.      In   addition,   the   Internet   user   will   be   able,   on   a   purely   optional   basis,   to   inform   in   the  registration  form,  his  portable  phone  number.  He/she  may  receive  sms  alerts  related  to  one  or  more  Cases.   It   is  expressly  expected  that   in  order  to  ensure  an  actual  equality  between  the  Participants,  those  that  will  not  have  indicated  their  phone  number  will  receive  the  same  alerts  by  e-­‐mail  at  the  address  mentioned  in  the  registration  form  and  this  at  the  same  time.    It  is  expressly  agreed  that  the  phone  numbers  will  be  only  used  within  the  framework  of  the  Competition  with  the  exception  of  any  other  custom.    The   Organizing   Company   cannot   be   held   responsible   for   the   troubles   involved   by   the  Internet   service  provider  and/or   the  mobile   telephone  operator,  as   for   the   incompatibility  with  the  material  resources  (e-­‐mail  box,  telephone,  computer…)  of  the  student.    To  verify  the  accuracy  of  the  information  provided  by  a  Participant,  the  Organising  Company  may  request  a  copy  of  his  identity  card  and/or  student  card.  Similarly,  it  is  hereby  expressly  agreed  that  the  Organising  Company  will  request  the  members  of  the  five  (5)  Finalist  Teams  to  provide  proof  of  school  attendance  with  certification  of  authenticity  by  the  university  or  school  of  higher  education,  before  the  Final  takes  place.      Article  4.2.  Identification    Once   registration   has   been   acknowledged   by   the  Organising   Company   (Article   4.1.   of   the  present  rules),  Participants  can  access  the  Website  by  identifying  themselves  by  entering  the  email   address   and   password   defined   at   the   time  of   registration,   if   “standard”   registration  was  chosen.    Participants   registering   via   the   “Facebook   Connect”   application   can   reach   the  Website   by  entering,  on  a  page  published  by  Facebook  and  generated  by  activating  the  “Connect  with  Facebook”  button,  the  identifier  and  password  used  to  connect  to  their  Facebook  profile.      Students  accessing  through  the  Website  via  a  standard  account  can  transfer  to  a  “Facebook  Connect”  account  by  the  achievement  of  operations  (activation  of  Connect  with  Facebook  »)

which   will   allow   them   to   finalise   their   registration   and/or   their   participation   in   the  Competition   via   “Facebook   Connect”.   However,   it   is   not   possible   for   the   Participants  registered  via  a  “Facebook  Connect”  account  to  modify   their   registration  and  transfer   to  a  standard  account.      Article  4.3.  Formation  of  teams    After   identification,   the   Participant  will   be   asked   to   create   or   join   a   Team  which  must   be  made   up   of   three   (3)   Participants   on   the   10  April   2014   10h00   a.m   CUT   time   in   order   to  compete   in   the   second   stage   of   the   Competition,   the   competition   stage,   which   will   take  place  from  the  17  April  2014,  10:00  a.m  CUT  time  to  the  7  May  2014,  00:00  CUT  time.      4.3.1.  Creating  a  Team    Once  identified,  Participants  wishing  to  create  a  Team  may  do  so  by  activating  the  “Create  a  team”  button  designed  specifically  for  this  purpose.  They  will  then  be  redirected  to  a  page  on  the  Website  enabling  them  to  enter  the  name  they  wish  to  give  their  team  as  well  as  a  short  presentation  of   their   team.  Each  Team  must  be  made  up  of   three   (3)  players  on  10  April  2014  at  10:00  a.m  CUT  time  for   it   to  be  complete  and  participate   in   the  competition  phase.  In  order  to  complete  their  teams,  Participants  can  use  the  Website’s  search  engine  to  find  available  players  and  invite  them  to  join  their  team.    As   indicated   in  article  4.3.2  of   this   rules,   the  Participant  not  wishing   to   create  a   team  can  send  a  request  to  the  leader  of  an  incomplete  Team  in  order  to  join  this  one.    The  Organising  Company  reserves  the  discretionary  right   to  request  Participants  who  have  created  a  Team  to  change  the  name  and  presentation  of  the  Team  if  it  considers  these  to  be  in  bad  taste  or  contrary  to  the  spirit  of  the  Competition.      Once   the   request   to   create  a  Team  has  been  validated  by   the  Organising  Company   (or   its  subcontractor),   the   Team   will   be   included   in   the   database   of   Teams   registered   for   the  Competition.      Participants   who   have   created   a   team   will   automatically   have   the   title   of   Team   leader  (hereinafter  the  “Leader.”).    Participants  having  the  title  of  Leader  have  administrative  rights   for   their  Team  during  the  registration  phase  enabling  them  to:    

-­‐  accept  or  reject  the  application  of  a  Participant  wishing  to  join  the  Team,  of  which  they  are  the  Leader,  

-­‐  modify  the  images  associated  with  the  Team  of  which  they  are  the  Leader,  -­‐  write  a  presentation  of  the  Team  of  which  they  are  the  Leader,

-­‐  withdraw  the  Team  of  which   they  are   the  Leader.   In   this  scenario,  a  confirmation  notice  will  be  sent  to  the  Participants  who  are  members  of  the  Team  concerned.      4.3.2.  Joining  a  Team    Participants   have   the   possibility   of   addressing   a   request   to   the   Leader   of   an   incomplete  Team   to   join   this   Team   already   created   and   which   would   not   consist   of   three   (3)  Participants.  In  order  to  find  teams  not  consisting  of  three  (3)  Participants,  Participants  have  access  to  a  dedicated  search  engine  as  well  as  a  list  of  Teams  suggested  by  the  Website.      By   activating   the   “Apply”   button,   available   on   the   description   of   the   Team  which   he/she  wishes   to   join,   the   identified   Participant  make   application   to   join   the   Team   concerned.   A  message   is   automatically   sent   to   the   Team   Leader   informing   him/her   of   the   request.   The  Team   Leader   can   then   consult   the   profile   of   the   candidate  wishing   to   join   the   Team   and  discretionary  decide  to  accept  or  reject  the  application.    As  soon  as   the  Team  Leader  has  validated  or   rejected   the  application  of  a  Participant,   the  latter   will   receive   a   notification   directly   in   the   Website’s   integrated   mailbox   informing  him/her  that   their  application  has  been  accepted/rejected.   In   the  event  of  a  rejection,   the  Participant  can  make  another  application  to  the  same  Team  or  any  other  incomplete  Team  of  his/her  choice.      Once  informed  of  the  acceptance  of  his/her  application  by  the  Team  Leader  concerned,  the  Participant   can   join   the   Team  by   registering,   by   return   invitation,  with   the   Team   that   has  accepted  his/her  application.      Once  he/she  has  registered  with  one  of  the  Teams  that  have  accepted  his/her  application,  the  Participant  can  no  longer  register  with  another  Team,  subject  to  the  provisions  of  Article  4.3.4.  of  the  present  rules.      4.3.3.  Incomplete  team    Any   incomplete   team,   i.e.   consisting   of   less   than   three   (3)   players   at   the   end   of   the  registration  period  (i.e.  10  April  2014  at  10:00  a.m  CUT  time)  will  not  be  able  to  participate  in  the  official  Competition  and  will  not  have  a  chance  to  qualify  for  the  Final.    Nevertheless,   the  Organising  Company  will   allow  members  of   incomplete  Teams   to   follow  the  Competition  by  enabling  each  of  them,  on  an  individual  basis,  to  view  and  operate  in  the  same  environment  as  that  experienced  by  the  Teams  selected  for  the  competition  phase.    It   is  hereby  expressly  agreed  that  this  option  offered  by  the  Organising  Company  will  have  no  impact  on  the  operation  of  the  Competition,  which  will  only  take  account  of  the  results  of  Teams  consisting  of  three  (3)  players  on  10  April  2014  at  10:00  a.m  CUT  time,  and  it  will  not  result  in  the  awarding  or  the  claiming  of  any  prize  for  an  incomplete  Team  or  one  or  more  of  its  members.  Moreover,  it  is  hereby  agreed  that  these  incomplete  Teams  and  their  members

will  not  be  included  in  the  Competition’s  general  ranking.  This   option,  with   the   above-­‐mentioned   consequences,  will   also   be   offered   to   participants  that  did  not  join  or  create  a  Team  during  the  registration  period.      4.3.4.  Other  provisions    It   is  hereby   reiterated   that  each  Participant  may  only  be  a  member  of  one  Team  and   that  creating   several   accounts   using   a   different   identity   in   order   to   join   several   Teams   is  absolutely  prohibited.      During  the  registration  phase,  i.e.  between  15  October  2013  at  10:00  a.m  CUT  time  and  10  April  2014  at  10:00  a.m  CUT  time  (and  only  during  this  phase),  each  Participant  and  Team  member  may,  if  they  wish,  leave  their  Team.  However,  it  is  not  possible  for  a  Team  member  or  for  the  Team  Leader  to  exclude  another  Participant  member  of  the  Team.      Following  the  withdrawal  of  a  Participant  from  a  Team  he/she  applied  to  join,  the  Team  will  be  included  on  the  list  of  already  created  and  incomplete  Teams.  The  Participant  who  has  left  the  Team  will  remain  registered  as  a  Participant  and  will  have  the  option  of  creating  a  Team  or  applying  to  one  of  the  Teams  on  the  list  of  already  created  and  incomplete  Teams.    It   is  hereby  expressly  agreed  that  at  the  end  of  the  registration  phase,  i.e.  10  April  2014  at  10:00  a.  m  CUT  time,  Participants  will  not  be  able  to  join  a  Team  or  change  Team.    Participants  who   are   not   a  member   of   a   Team  of   three   (3)   participants   at   the   end  of   the  registration  phase  will  not  therefore  be  able  to  participate  in  the  Competition.      Article  5:  Selection  of  Teams  participating  in  the  competition  phase    All  Teams  which,  on  10  April  2014  at  10:00  a.m  CUT  time,  consist  of   three   (3)  Participants  meeting  the  participation  terms  and  conditions  specified  in  Article  3  of  the  present  rules  may  compete   in   the   Competition’s   competition   phase,  which  will   take   place   between   17   April  2014  at  10:00  a.m  CUT  time  and  7  May  2014  at  00:00  CUT  time  (hereinafter  the  “Qualified  Team(s)”).      As   indicated   in   Article   4.3.3.   of   the   present   rules,   Participants   who,   at   the   end   of   the  registration   phase,   i.e.   on   10   April   2014   at   10:00   am   CUT   time,   are   not   part   of   a   Team  consisting  of  three  members  cannot  participate  in  the  Competition.      Similarly  and   in  accordance  with  the  provisions  of  Article  3  of   the  present  rules  relating  to  the   participation   terms   and   conditions,   if   a   Participant   of   the   same   Team   was   recruited  definitively  for  a  fixed  or  unspecified  period  (independently  of  the  existence  of  a  trial  period)  during  the  competition  phase  or  the  Final,  or  for  any  other  reason,  the  disqualification  of  the  Participant   would   not   lead   to   the   disqualification   of   the   Team  which  must,   in   any   event,

consist  of  at  least  two  (2)  Participants.      Any   team   which,   for   whatever   reason,   finds   itself   consisting   of   only   one   (1)   Participant  during  the  Final  shall  be  definitively  disqualified.      Article  6:  Organisation  of  the  competition  phase    The  competition  phase  will  take  place  between  17  April  2014  at  10:00  a.m  CUT  time  and  7  May  2014  at  00:00  CUT  time.    It   is   expressly   expected   that   the   dates   and   schedules   indicated   above   are   likely   to   be  modified  later  on.  In  such  an  assumption,  the  Organizing  Company  will  take  all  the  necessary  measures   to   the   perfect   information   of   the   Participants   and   opposability   of   the   aforesaid  modifications.  Each  Participant  of  the  Qualified  Teams  meeting  the  aforementioned  terms  and  conditions  will   receive   an   email   sent   by   the  Organising   Company   (or   its   subcontractor)   between     10  April   2014   and   17   April   2014   included,   informing   them   of   the   start   of   the   Competition’s  competition  phase.    In  order   to  participate   in   the  competition  phase,  Participants  of   the  Qualified  Teams  must  connect  to  the  Website  and  access  the  section  dedicated  to  the  competition  phase  as  from  17  April  2014  at  10:00  a.m  CUT  time  .  After  identification,  Participants  can  access  the  area  dedicated  to  their  Team  and  inform  it  of  the  number  of  Aces  their  Team  holds.        

1/  Awarding  of  teams'  starting  capital    At   the   start   of   the   Competition,   each  Qualified   Team  will   benefit   from   the   same   starting  capital  of  100,000  Aces,  which  is  the  legal  tender  in  Universe  City  (virtual  environment  of  the  Competition).    The   teams   receive   a   bonus   of   500   Aces   (added   to   the   starting   capital)   if   at   least   two   (2)  Participants  members  of  the  Team  who  have  registered  for  the  Competition  are  students  of  different  nationalities.    Each  team  can  only  receive  this  500  Ace  bonus  once.      

2/  Awarding  of  points  for  resolving  each  Case  study  through  the  Inquiries    During   the   competition   phase,   the   Qualified   Teams   will   be   given   7   Case   studies   to   be  resolved   representing   the   Organising   Company's   three   fields   of   activity:   Corporate   and

Investment  Banking,  Investment  Solutions  and  Retail  Banking.    These  Case  studies  are  simulated  assignments  through  which  the  Qualified  Teams  are  put  in  the   situation   of   a   banking   professional   responsible   for   conducting   case   studies   and  must  make  decisions  enabling  them  to  work  their  way  through  the  simulation.      The  case  studies  take  the  form  of  inquiries  (Inquiry  (ies)).      Each   main   Inquiry   has   a   start   date   and   an   end   date   and   is   itself   made   up   of   different  activities  and  actions  whose  assessment  will  affect  the  Qualified  Team's  results  according  to  the  relevance  of  the  answers  and  the  solutions  given.  The  validity  period  (a  start  date  and  an  end  date)  of  these  Inquiries  will  be  announced  from  the  first  day  of  the  Competition's  phase  in  the  Participant's  schedule,  which  can  be  accessed  through  the  "Manager"  operating  system.  It  is  expressly  agreed  that  the  one  or  several  parts  of  a  Case  might  appear  during  the  case.        By   clicking   on   the   Inquiry   of   their   choice,   the   Qualified   Teams   may   access   all   of   the  information  about  the  Inquiry  and  the  schedule  of  the  case  to  be  resolved,  enabling  them  to  indicate   the   answers   that   they  want   to   give   to   the   questions   asked   and   submit   them   for  scoring  by  the  Competition  server.      During   this   competition   phase,   information   and   questions   will   be   communicated   to   the  Qualified  Team  daily,  for  each  Inquiry,  in  the  area  dedicated  to  these  teams.  Depending   on   the   pertinence   of   the   decisions  made   by   the   Qualified   Teams   and   of   their  answers  to  the  various  components  of  the  Inquiry,  they  will  be  awarded  a  certain  number  of  Aces  and  can  thus  increase  the  level  of  their  initial  Ace  capital.      If  information  or  a  question  in  each  Inquiry,  is  valid  or  requires  an  answer  within  a  given  time  period,  which  will  be  communicated  to  the  Qualified  Team,  the  latter  will  no  longer  be  able  to  access  this  information  or  answer  the  question  after  this  time.  Each  Inquiry  is  made  up  of  activities  that  each  have  an  impact  on  the  Qualified  Team's  Ace  capital  and  includes:      

(i) Information  management  activities:    For   each   Inquiry,   the   Qualified   Teams   must   familiarise   themselves   with   the   information  disseminated  within  the  Competition  environment  in  various  forms.  The  information  useful  for  resolving  the  cases  submitted  may  be  split  between  the  following  media,  although  not  all  of  the  media  are  systematically  used  in  each  Inquiry:    -­‐  "Incoming"  emails  can  be  consulted  through  the  Competition  email  system.    -­‐  "Outgoing"  emails  can  be  consulted  through  the  Competition  email  system.

-­‐  The  "schedule”,  which  can  be  consulted  in  the  Competition  interface.    -­‐  The  "newspapers":  documents   in   the  buildings  other  decors  accessible   through   the  main  view  of  Universe  City,  which  is  the  Competition's  virtual  environment    -­‐  The  "technical  documents":  dispersed  in  the  buildings  and  other  decors  accessible  through  the  main  view  of  Universe  City,  which  is  the  Competition's  virtual  environment    -­‐  The  "simple  interviews",  which  are  animated  videos  of  non-­‐player  characters  (accessible  as  an  overlay  and/or  dispersed   in   the  buildings  accessible   through  the  main  view  of  Universe  City,  which  is  the  Competition's  virtual  environment)    -­‐  The  "interactive  interviews",  where  Teams  can  ask  a  choice  of  predetermined  questions  to  the   non-­‐player   characters   (dispersed   in   the   buildings   accessible   through   the  main   view  of  Universe  City,  which  is  the  Competition's  virtual  environment.)    All   this   information   can  be   freely   accessed   free  of   charge  and  does  not   cost   the  Qualified  Teams  any  Aces,  except  for  "interactive  interviews",  which  follow  a  specific  points  system.    -­‐  The  player  within  a  Qualified  Team  who  launches  and  conducts  the  interview  first  can  do  so  freely.    -­‐  If,  on  the  other  hand,  one  or  several  other  members  of  the  Qualified  Team  want  to  conduct  this  interview  again  and  ask  the  non-­‐player  character  different  questions,  this  new  interview  of   the   same   non-­‐player   character   will   cost   the   team   a   number   of   Aces,   as   described   in  “Scoring  rules”  document  provided  within  the  Competition  environment  and  located  in  the  “Helpcenter”   section  of   the  website.   Each   time   the   interview   is   launched   again,   the   same  cost  in  number  of  Aces  will  be  charged  and  added  to  the  previous  cost.    To   make   the   work   of   the   Qualified   Teams   easier,   the   information   gathered   within   the  Competition's  virtual  environment,  through  interactions  with  characters  and/or  objects,  will  be   archived   in   the   “Manager"   operating   system   (a   database   for   archiving   documents  collected  during   the   course  of   the   competition   that  may  be   consulted   at   any   time  by   any  participant   from  the  platform's  welcome  page)  enabling  each  team  member   to  access   this  information  from  a  single  access  point.    Not  all  of  the  Competition  information  is  necessarily  useful  to  the  Inquiry.  Red  herrings  may  also   be   inserted   into   some   information.   The   Qualified   Teams   must   therefore   assess   the  relevance  of  each  piece  of   information  and  decide  whether  or  not   to  use   it   to   resolve   the  case.

(ii) Inquiry  management  activities    

An  Inquiry  may  be  resolved  once  the  Inquiry  to  which  it  is  linked  has  been  launched.    An   Inquiry   or   one   of   the   parts   of   which   it   is   composed,   must   be   resolved   by   a   single  Participant   belonging   to   a   Qualified   Team.   Once   the   results   seized,   the   latter   can   be  safeguarded  as  a  draft.   In   this  case,   the   results  will  be  accessible   to   the  other  Participants  who  are  members  of  the  Qualified  Team  for  rereading  and  changes.  It   is   possible   to   modify   the   Cases   submitted   but   only   before   the   time   registered   in   the  schedule.  Once  this  period  exceeded,   it  will  not  be  possible  anymore  to  open  an   Inquiry  came  to   its  end  nor  to  submit  an  answer  to  the  aforementioned  Inquiry.    If  the  players  do  not  submit  a  saved  draft,  it  will  be  submitted  automatically  by  the  system  once  the  deadline  is  passed.      During   the   submission  of   the   answers  within   each   Inquiry,   the  Organizing  Company   could  not  be  held  responsible  for,  notably,  the  dysfunctions  that  can  affect  the  Internet  network,  any  problem  of  configuration  or  due  to  a  browser.        Each   Inquiry   includes   one   or   several   questions   enabling   the   assessment   of   each  Qualified  Team's   level   of   knowledge   and   understanding   of   the   issues   presented   during   the  Competition.    All   the   resources   and   tools   required   to   resolve   each   Inquiry   (except   for   a   calculator,  Microsoft  Excel™  and  the  Participants'  mathematical  and  economic  expertise)  can  be  found  in  the  information  contained  under  the  Competition  environment's  various  sections.      Each   Inquiry   may   only   be   resolved   within   a   defined   period   explicitly   indicated   to   the  Qualified   Team.   The  Qualified   Teams  will   be   able   to   reach,   24   hours   after   the   end   of   the  Inquiry,   with   the   official   results   presenting   the   solutions   as   well   as   the   instructive  explanations.    The  Inquiry  and  its  various  components  may  bring  each  Qualified  Team  a  maximum  number  of  Aces  explicitly   stated  on   the  page  presenting   the   Inquiry  or   the  questions  of  which   it   is  composed.    Each  Inquiry  is  classified  according  to  the  level  of  difficulty  of  the  different  parts  of  which  the  former  is  composed.  The  higher  the  level  of  difficulty,  the  larger  the  number  of  Aces  in  play,  as  explicitly  stated  on  the  page  presenting  the  Case.      As   previously   explained,   each   Inquiry   consists   of   one   or   several   questions   which   the  Qualified   Team   takes   a   position   on   using   the   interactive  method   suggested   for   answering  them   (multiple-­‐choice  questions,  drag  and  drop,   fill   in   the  blank  exercises  or  other   simple  interactive  methods).   For   all   of   these   interactive  methods,   except   for   the   fill   in   the   blank

exercises,   the  answers   given  by   the  Teams  are  either   right   (1  point   awarded)  or  wrong   (0  points  awarded).    For   exercises   whose   answer   must   be   given   in   figures,   in   order   to   avoid   any   risk   of  interpretation  of  the  number  of  figures  expected  after  the  comma  and  their  rounding  rules,  which  are  interpretations  that  could  be  prejudicial  to  the  Qualified  Teams,  note  that:    -­‐   The   format   of   the   correct   answers   will   be   restricted   and   will   be   communicated   to   the  players  on  the  scoring  document  available  in  the  “Helpcenter”.    -­‐  The  calculation  of  the  points  awarded  will  depend  on  two  types  of  error  margins,  which  are  described   in   detail   below.   In   particular,   these  margins   are   calculated   taking   into   account  different   calculators/spreadsheets   methods   that   could   be   use   by   the   players   to   find   the  numerical   answers.   It   remains   however   clear   that,   in   the   process   of   solving   a   complex  numerical   problem,   all   decimal  points  need   to  be  used  and   carried   forward  until   the   final  result  is  obtained  (unless  differently  stated  in  the  business  Case.  The  error  margins  will  vary  from  case   to   case  and   the  details  will   be  made  available  on   the   “scoring   rules”  document  available  in  the  “Helpcenter.”    For  these  exercises,  the  following  rules  will  be  applied  when  awarding  points:  -­‐  100%  of  the  points  if  an  answer  given  by  the  Team  that  is  within  the  first  margin  of  error  as  described  in  the  “scoring  rules”  document,  -­‐  90%  of  the  points  if  an  answer  given  by  the  Team  that  is  within  the  second  margin  of  error;  -­‐  0%  of  the  points  if  an  answer  given  by  the  Team  that  exceeds  the  said  margins  of  error.      All   the  points  awarded  will  be  totalled  up  for  comparison  against   the  sum  of  the  potential  points,  which  will   be   used   to   calculate   the   correct   response   rate   for   each   part   of   a   Case,  which,  when  applied  to  the  number  of  points   in  play  for  each  part,  will   lead  to  Aces  being  awarded  according  to  the  number  of  Aces  in  play.    The   Organising   Company   would   like   to   draw   the   Participants'   attention   to   the   fact   that,  during  the  Competition  phase,  each  Participant  within  the  same  team  may  make  decisions  and  act  on  behalf  of  their  Qualified  Team.      The  various  Participants  within  the  same  Qualified  Team  are  therefore  jointly  responsible  for  the   decisions   made   by   one   of   the   Participants   belonging   to   the   Team   and   their  consequences  in  terms  of  increasing  or  decreasing  the  number  of  Aces  held  by  the  Qualified  Team.      (iii) The  awarding  of  points  linked  to  continued  excellence  criteria:    Under  a  reward  system,  the  Qualified  Teams  will  also  receive  one  or  more  bonuses  linked  to  the  successful  and  consecutive  completion  (100%)  of  at  least  two  (2)  Inquiries.    Within  the  context  of  the  Competition,  this  reward  system  is  known  as  the  "combo".

 The  "combos"  obtained  are  totalled  up.    The   final   table   of   points   awarded   according   to   the   number   of   main   inquiries   completed  successfully  and  successively  will  be  communicated  to  the  Qualified  Team  at  the  start  of  the  Competition  phase  in  the  form  of  a  "Scoring  rules"  document,  which  can  be  accessed  in  the  “Helpcenter”  section  of  the  website.      

3/  Other  evaluation  factors  excluding  the  awarding  of  points:    During  the  Competition  phase,  and  separate  from  the  point  awarding  system,  other  factors  may  enable  the  Qualified  Teams'  Participants  to  obtain  medals,  on  the  understanding  that  the  latter  will  have  no  effect  on  the  total  score  in  Aces  that  alone  determines  the  final  ranking  of  the  Competition  phase.        These  “medals”  are  as  follows:    All  of  the  Qualified  Team  Participants'  actions  during  the  Competition  phase  are  recorded  by  the  information  system's  back  office.  A   different  medal  will   be   awarded   to   the   Participants   after   each   Case   study   according   to  their  result  as  follows:    - 100%  success  rate:  gold  medal  - 90%  to  99%  success  rate:  silver  medal  - 80%  to  89%  success  rate:  bronze  medal  

 The   medals   accumulated   during   the   Competition   can   be   seen   by   the   community   in   the  Qualified   Team's   public   page   and   in   "Manager".   In   the   case   of   Participants   who   have  registered  through  Facebook  Connect,  these  trophies  will  be  published  on  the  Participant's  wall  if  they  choose  to  do  so  by  clicking  on  the  “Facebook”  button  from  their  game  “logbook”.      It  is  expressly  agreed,  however,  that  these  trophies  are  purely  virtual  and  will  not  lead  to  the  awarding  of  any  prizes  or  additional  Aces.      

4/  End  of  the  Competition  phase  and  ranking    At   the  end  of   the  Competition  phase,   in  other  words  on     7  May  2014  at   00:00  CUT   time,  there   will   be   a   general   ranking   of   the   Qualified   Teams   according   to   the   number   of   Aces  obtained  (balance  of  the  number  of  Aces  obtained  as  bonuses  and  for  the  results  of  the  main  inquiries)  by  them  (hereinafter  the  "Score").  This  ranking  will  be  in  decreasing  order  of  Scores,  from  the  highest  to  the  lowest.

If   there   is   a   tie,   a   choice   will   be   made   between   the   tied   Qualified   Teams   based   on   the  number  of  cases   in  which  the  team  has  obtained  100%  Aces.  For  example,   if   there   is  a   tie  between  team  A  and  team  B,  and  team  A  has  scored  100%  in  three  (3)  Cases  while  team  B  has  scored  100%   in   four   (4)  cases,   team  B  will  precede   in   the  ranking.   If   the  tie  persists,  a  choice  will  be  made  based  on  the  number  of  Cases  in  which  the  team  has  obtained  99%  Aces  and  so  on.      The  five  (5)  Qualified  Teams  with  the  highest  Scores  will  qualify  for  the  Final,  which  will  take  place  in  15  May  2013  (date  and  place  will  be  confirmed  at  a  later  time),  and  will  become  the  Finalist  Teams  (hereinafter  "The  Finalist  Team(s)").    If,   for  a  reason  provided  for   in  these  rules,  one  of  the  five  (5)  Finalist  Teams  that  obtained  the  five  (5)  highest  Scores  becomes  disqualified,  the  Qualified  Team  that  obtained  the  sixth  highest  Score  will  be  selected  for  the  Final.    The   same  system   (qualification  of   the  next   ranked  Team)  will  be  applied   if   several   Finalist  Teams  are  disqualified.      Each  Participant  belonging  to  a  Finalist  Team  will  be  informed  by  email  and/or  telephone  by  the  Organising  Company  (or  its  subcontractor)  of  their  Team's  qualification  for  the  Final  and  will   be   asked   to   provide   certain   information   (complete   address   of   place   of   residence,  availability,  etc.)  to  the  Organising  Company  in  order  to  validate  his/her  qualification  for  the  Final.    The  list  of  the  five  (5)  Teams  that  have  definitively  qualified  for  the  Final  will  be  posted  on  the  Website  from  12  May  2014  (date  to  be  confirmed  later  on).        Article  7:  Organisation  of  the  Final    During  the  Final,  the  five  (5)  Finalist  Teams  must  work  on  the  same  Case  study.  This  Final  will  take  place  on  15  May  2014  (date  will  be  confirmed  later  on).      

1/Examination  and  presentation  of  the  Case  study  by  the  Finalist  Teams      In   the   first   part   of   the   Final   (running   in  May   2013;   the   exact   date   and   schedules   will   be  communicated  later  on  by  the  Organizing  Company),  the  Finalist  Teams  will  all  have  to  solve  the  same  Case  study.    It   is  expressly  expected   that   the   transmission  of   the  Case  of   study  and   the  defence  of   the  presentations  of  the  Finalist  Teams  will  proceed  according  to  one  of  the  two  systems:      - Either  the  Finalist  Teams  will  have  to  solve  the  Case  and  then  to  present  their  work  in  

the  offices  of  BNP  Paribas  in  their  country  of  origin.

- Or   the   Finalist   Teams   will   receive   the   Case   study   by   e-­‐mail   (dispatched   by   the  Organizing  Company  or  one  of   its  subcontractors).  Following,  they  will  have  a  given  period   of   time   to   solve   the   Case   and   will   present   their   work   by   means   of   a  videoconference  from  their  country  of  origin.      

 The   Organizing   Company   will   inform   each  member   of   the   Finalist   Teams   of   the  mode   of  course  of  the  first  part  of  the  Finale  at  the  latest  15  days  before  the  Final  takes  place.    After  handing  over   this  Case   study,   the  Organizing  Company  will   give   the  Finalist   Teams  a  subject  of  reflexion  on  which  they  will  have  to  prepare  a  presentation  within  a  given  period  of  time.      At  the  end  of  this  period,  each  Finalist  Team  will  submit  to  a  jury,  compound  executives  of  the   group   of   the   Organizing   Company,   professors   of   universities   and   professionals,   its  proposals   and  will   answer   the  questions   of   the   jury   via   a   videoconference,   given   that   the  other  Finalist  Teams  will  not  be  able  to  witness  this  presentation.    After  all  Finalist  Teams  have  presented,  the  jury  will  meet  to  deliberate  and  rate  the  teams  on   a   scale   of   100   points,   based   on   the   presentations   carried   out   by   the   Finalists   Team  (hereafter  the  “Presentation  Score”).    The  final  Presentation  Score  will  equal  the  sum  of  the  scores  (from  0  to  20)  awarded  by  the  jury  to  each  Finalist  Team  according  to  each  of  the  following  5  evaluation  criteria:    

• Understanding  of  the  Case's  business  issues  • Relevance  of  the  solutions  proposed    • Team  work    • Form  and  originality  of  the  presentation    • Strength  of  conviction    

   

3/  Scoring  of  Finalist  Teams  and  final  ranking  of  the  Competition    The   Competition's   final   ranking   will   be   based,   in   decreasing   order,   on   the   final   score  (hereinafter  the  "Final  Score")  obtained  by  each  of  the  Finalist  Teams.    The   Final   Score   given   to   each   of   the   Finalist   Teams   will   be   calculated   according   to   the  following  two  components,  which  will  be  weighted  by  assigning  a  coefficient:  

• the  Presentation  Score,  on  a  scale  from  0  to  100,  • the  Online   Competition   Score   determined   from   the   Score   obtained   by   each   of   the  

Finalist  Teams  and  based  on  a  scale  from  0  to  100.

Consequently,   a   Final   Score  will   be  given   to  each  Finalist   Team  according   to   the   following  calculation  method:    

• The   Presentation   Score   obtained   by   each   Finalist   Team   will   be   weighted   by   a  multiplication  coefficient  of  50%  to  obtain  a  Final  Presentation  Score  (hereinafter  the  "Final  Presentation  Score").    

• The   Competition   Score   obtained   by   each   Finalist   Team  will   be  weighted   by   a   50%  multiplication  coefficient  to  obtain  a  Final  Competition  Score  (hereinafter  the  "Final  Competition  Score").  

 The   Final   Presentation   Score   and   the   Final   Competition   Score  will   then   be   totalled   up   to  determine  the  Final  Score  of  each  Finalist  Team.    Depending  on  the  Final  Scores  obtained  by  each  of   the  Finalist  Teams,   the   final   ranking  of  the  five  (5)  Finalist  Teams  will  be  determined  as  follows:    

• the   Finalist   Team   that   obtained   the   highest   Final   Score   will   be   the   Competition  winner,  

• the  Finalist  Team  that  obtained   the  second  highest  Final  Score  will   come  second   in  the  Competition,  

• the  Finalist   Team   that  obtained   the   third  highest   Final   Score  will   come   third   in   the  Competition,  

• the  Finalist  Team  that  obtained  the  fourth  highest  Final  Score  will  come  forth  in  the  Competition,  

• the   Finalist   Team   that   obtained   the   fifth   highest   Final   Score  will   come   fifth   in   the  Competition.  

     Article  8:  Prizes      The   prizes   in   the   Competition   are   distributed   as   follows   between   the   Finalist   Teams  according  to  the  final  classification  of  the  Final:    -­‐  Competition  winner:  Two  thousand  Euros  (2000  €)  per  member  of  the  Finalist  Team  (a  total  of  six  thousand  Euros  (6000  €)  for  a  Team  made  up  of  three  (3)  Participants),  one  (1)  place  of  an  average  unit  value  of  five  hundred  Euros  (500  €)  per  Participant  of  the  Finalist  Team,  to  attend  a  match  during  the  Tournament  of  Roland  Garros  2014.    The   return   tickets   to   Paris,   according   to   the  mode   of   transport   chosen   by   the  Organizing  Company,   will   be   dealt   with   and   provided   by   the   Organizing   Company   and   reached   a  maximum  to  thousand  Euros  (1000  €)  per  Participant.  Accommodation  and  additional  costs  on  the  other  hand  will  not  be  covered  by  the  Organizing  Company.

 -­‐  second  Team  in  the  Competition:  One  thousand  Euros  (1000  €)  per  member  of  the  Finalist  Team   (a   total   of   three   thousand   Euros   (3000   €)   for   a   Team   made   up   of   three   (3)  Participants),   one   (1)   place   of   an   average   unit   value   of   one   hundred   Euros   (100   €)   per  member   of   the   Finalist   Team,   to   attend   a   tennis   match   taking   place   in   one   of   the  Tournaments  sponsored  by  the  Organizing  Company  (season  2014-­‐2015).  The  transportation  costs,   accommodation   as   well   as   any   additional   costs   will   not   be   covered   with   by   the  Organizing  Company  and  will  be  consequently  the  responsibility  of  each  finalist.    -­‐   third   Team   in   the   Competition:   Five   hundred   Euros   (500   €)   per  member   of   the   Finalist  Team  (a  total  of  one  thousand  five  hundred  Euros  (1500€)  for  a  Team  made  up  of  three  (3)  Participants),   one   (1)   place   of   an   average   unit   value   of   one   hundred   Euros   (100   €)   per  member   of   the   Finalist   Team,   to   attend   a   tennis   match   taking   place   in   one   of   the  Tournaments  sponsored  by  the  Organizing  Company  (season  2014-­‐2015).  The  transportation  costs,   accommodation   as   well   as   any   additional   costs   will   not   be   covered   with   by   the  Organizing  Company  and  will  be  consequently  the  responsibility  of  each  finalist.    -­‐   fourth   Team   in   the  Competition:   one   (1)   place  of   an   average  unit   value  of   one  hundred  Euros  (100  €)  per  member  of  the  Finalist  Team,  to  attend  a  tennis  match  taking  place  in  one  of   the   Tournaments   sponsored   by   the   Organizing   Company   (season   2014-­‐2015).   The  transportation  costs,  accommodation  as  well  as  any  additional  costs  will  not  be  covered  with  by  the  Organizing  Company  and  will  be  consequently  the  responsibility  of  each  finalist.    -­‐  fifth  Team  in  the  Competition:  one  (1)  place  of  an  average  unit  value  of  one  hundred  Euros  (100  €)  per  member  of  the  Finalist  Team,  to  attend  a  tennis  match  taking  place  in  one  of  the  Tournaments  sponsored  by  the  Organizing  Company  (season  2014-­‐2015).  The  transportation  costs,   accommodation   as   well   as   any   additional   costs   will   not   be   covered   with   by   the  Organizing  Company  and  will  be  consequently  the  responsibility  of  each  finalist.    Each  member  of   the  Finalist   Teams  must   therefore   inform   the  Organising  Company  by  30  May  2014  at  the  latest  of  the  Tournament  for  which  they  would  like  a  ticket.    The  financial  prizes  won  by  each  of  the  members  of  the  top  three  Finalist  Teams  will  be  sent  in  the  form  of  a  bank  transfer  free  of  charges  for  the  Organising  Company  into  the  winners'  bank  accounts,  whose  details  they  must  have  sent  prior  to  the  Final  within  one  month  from  the  Competition's  end  date.  The  transfer  will  take  place  within  3  months  from  the  end  of  the  Competition.    Each  member  of  the  top  three  Finalist  Teams  who  is  awarded  a  financial  prize  must,  where  applicable,   bear   the   expenses   (tax,   exchange   rate   variation   and   any   other   contribution   of  any  kind)  related  to  the  transfer  of  money  made  issued  by  the  Organising  Company.    The   tennis   Tournament   tickets   awarded   will   be   sent   by   registered   post   with  acknowledgement   of   receipt   to   the   winners'   homes,   in   other   words   to   the   address

communicated   prior   to   the   Final,   within   three   (3)  months   as   from   the   notification   of   the  Organising   Company   being   notified   by   the  member   of   the   Tournament   that   they   want   a  ticket  for.  An   exhaustive   list   of   the   Tournaments  will   be   communicated   by   the  Organizing   Company  with  each  member  of  the  Teams  Finalists  at  the  end  of  the  ceremony  of  proclamation  of  the  final  results  of  the  Contest.    It  is  expressly  agreed  that  the  prize  consisting  of  a  ticket  for  a  Tournament  match  exclusively  concerns  the  ticket  for  the  Tournament  match  chosen  and  under  no  circumstances  will  the  transport,   accommodation   and   catering   expenses   linked   to   this  match   be   paid   for   by   the  Organising  Company.      It  is  expressly  provided  that  once  the  prize  has  been  delivered  to  the  winner,  delivery  of  the  prize  will  be  considered  to  be  complete  and  the  winner  will  bear   full   responsibility   for   the  prize.  Consequently,   the  Organising  Company  will   under  no   circumstances  be  held   liable   for   any  losses  caused,  or  with  regard  to  third-­‐parties,  as  a  result  of  the  prize's  use.      The  prizes  mentioned  above  are  envisaged  on   the  hypothesis   that   five   (5)   Teams  Finalists  made  up  of  three  (3)  members  would  take  part  in  the  Final.  It  is  expressly  expected  that  the  distribution  of  the  prizes  prevails  on  the  identification  of  the  prizes  such  as  referred  to  above.  Consequently,  if  one  or  more  of  the  Finalist  Teams  would  consist  of  less  than  three  (3)  Participants,  each  Participant  will  be  allocated  to  the  prizes  as  mentioned  in  the  sections  related  to  the  distribution  of  the  prizes.    It   is  expressly  expected  that  the  Organizing  Company  will  not  redistribute  the  prizes  which  would  not  have  been  distributed  because  of  the  composition  of  the  Finalist  Teams.      Article  9:  Announcement  of  the  final  results  of  the  Competition    The  results  of   the  Competition   (ranking,  names  of   the  Finalist  Teams'  members  and  prizes  awarded)  will  be  posted  on   the  Website  within  48  hours  of   the   results'  announcement  on  the   premises   of   the   Organising   Company.   The   prizes   will   be   also   communicated   to   the  members  of  the  Finalist  Teams  by  e-­‐mail.      Article  10:  The  Teams'  relations  with  third-­‐parties    

Article  10.1.  The  Teams'  relations  with  University/School  staff    Help   from   tutors   and/or   staff   belonging   to   the   Team  member's   university   and/or   school  must  be  limited  to  general  information  about  strategy.  Unauthorised  or  excessive  assistance  will  lead  to  the  Team's  disqualification.

   Article  10.2.  The  Teams'  relations  with  the  media  

 Team  members  are  not  permitted  to  directly  or  indirectly  contact  the  media,  and/or  to  meet  with   journalists   to  discuss   the  Competition   in  any  way,  unless   they  have   received  express,  prior   authorisation   from   the   Organising   Company.   Any   member   of   a   Team   who   directly  contacts  the  media  or  journalists  without  the  express,  prior  authorisation  of  the  Organising  Company  will  cause  the  disqualification  of  the  Team  to  which  they  belong.      Article  11:  Connection  and  use  of  the  Internet    Participation   in   the   Competition   implies   knowledge   and   acceptance   of   the   Internet's  characteristics   and   limitations,   the   lack   of   protection   of   certain   data   against   possible  misappropriation   or   piracy   and   the   risk   of   contamination   by   whatever   viruses   may   be  circulating  on  the  network.  The   Organising   Company   rejects   any   liability   for   improper   use   or   incidents   linked   to  improper   use   of   computers,   Internet   access,   telephone   lines   or   any   other   technical  connections.    The   Organising   Company   also   rejects   any   liability   for   slow   Internet   connection   or   any  interruption  therein  on  the  participants’  computers.          Article  12:  Personal  data  and  right  of  personal  portrayal      

Article  12.1.  Personal  data        It  is  expressly  agreed  that  participation  in  this  Competition  implies  the  transmission  by  each  Participant,  or  their   legal  representative   if  they  are  not   legally  competent  (minors,  etc.),  of  personal  data  regarding  them.    These   data   will   be   recorded   and   processed   by   the   Organising   Company   responsible   for  processing,  solely  for  its  internal  management  needs,  the  organisation  and  administration  of  the  Competition,   the  awarding  of  prizes,   and   to  meet   the   legal   and   regulatory  obligations  inherent  in  the  organisation  of  a  Competition.    The  personal  data  of  EU  Participants  will  also  be  recorded  and  processed  by  the  Organising  Company  so  as  to  create  and  update  a  European  database  (hereinafter  the  "Database")  that  will   be   used   to   inform   Participants   about   events   organised   by   the   BNP   Paribas   group  (invitations  to  conferences,  tennis  tournaments,  etc.)  and  to  notify  them  of  any  professional  opportunities  offered  by  the  BNP  Paribas  group.  This  database  may  be  sent  to  the  Human  Resources  departments  of  the  BNP  Paribas  group  in   the   EU   countries   in   which   the   BNP   Paribas   group   operates.   The   personal   data   of

Participants   who   expressly   agreed   to   their   transferring   by   BNP   Paribas   to   its   entities  worldwide  may  be  transmitted  to  other  countries.      However,   it   is   expressly   provided   that   every   Participant   (or   their   legal   representative)  will  have   the   right   to   object,   at   any   time,   by   sending   an   email   to   the   address:  [email protected],   to   the   recording  and  use  of   its  personal  data   in  the  Database  without  prejudice  to  their  participation  in  the  Competition.    The  Participant's  personal  data  will  not  be  used  in  any  other  way  (sending  of  information  or  canvassing).        The  personal  data  thus  collected  may  be  sent  to  the  Organising  Company's  service  providers  and  subcontractors  operating  within  the  EU  who  have  been  entrusted  with  certain  material  and  technical  tasks  vital  for  achieving  the  purposes  described  above.      Every  Participant   (or   their   legal   representative)  has   the   right   to  access,   change,   correct  or  delete  their  personal  data  by  directly  accessing  the  Website  and/or  by  sending  an  email  to  the  following  address:  [email protected].    Every  Participant  (or  their  legal  representative)  expressly  agrees,  from  their  registration,  and  without   entitlement   to   any   payment   or   other   benefits,   to   their   surname,   forename,  university   and   nationality   being   referred   to,   by   whatever   means   and   in   any   format,   and  particularly  on  the  Website,  for  the  needs  inherent  to  the  Competition's  organisation.    Every  Participant  (or  their  legal  representative)  expressly  agrees,  in  advance  if  they  belong  to  a   Finalist   Team,   without   entitlement   to   any   payment   or   other   benefits   other   than   the  awarding  of  a  prize,  to  their  surname,  forename,  university  and  nationality  being  referred  to,  reproduced  and/or  represented,  notably:    

• on  the  Website  page  listing  the  five  Finalist  Teams  and  their  members,  • on  any  other  document,  by  whatever  means  and  in  whatever  form,  notably  materials  

dedicated  to  the  Competition  (press  releases,  press  packs,  video,  posters,  etc.).    • on   the   official   pages   of   the   BNP   Paribas   Group,   on   the   social   networks   and   other  

official  sites  of  the  BNP  Paribas  Group    This  authorisation,  which  is  solely  intended  for  advertising  or  promotional  purposes  linked  to  the  Competition,  is  valid  for  2  years  from  the  Participant's  registration  for  the  Competition.      

Article  12.2.  Right  of  personal  portrayal      When   a   Participant   registers   they   have   the   right   to   insert   a   photograph  of   themselves   by  uploading  it  from  their  computer.    The  uploading  of  this  photograph  implies  that  the  Participant  (or  their  legal  representative)  agrees  to  the  use  of  their  image  on  the  Website  and  accepts  that  it  is  therefore  likely  to  be  seen  by  all  of  the  Participants.

       Article  13:  Liability  of  the  Organising  Company    In  the  event  of  an  act  of  God,  as  recognised  by  the  French  courts,  the  Organising  Company  reserves  the  right,  without  incurring  liability,  to  shorten,  defer,  extend,  amend  or  cancel  the  Competition,  the  Competition  rules  and  the  prizes  on  offer.  In   such   a   case,   notification   will   be   provided   by   any   means   chosen   by   the   Organising  Company.    Additions   or   changes  made   to   the   Competition   will   be   considered   to   be   amendments   to  these  rules  and  will  be  filed  with  the  firm  of  Maîtres  Eric  Miellet  et  Anne  Kermagoret,  Bailiffs,  15  rue  Drouot  75009  PARIS.      Article  14:  Complaints      No  response  will  be  given  to  any  verbal  or  telephone  requests  regarding  the  interpretation  or  application  of  these  rules.    Any  disputes  or  complaints  relating  to  the  Competition  must  be  expressed  in  writing  and  will  not  be  considered  after  fifteen  (15)  days  from  the  Competition's  end  date,  in  other  words  15  days  after  7  May  2014.    Disputes  or  complaints  must  be  addressed  to:    BNP  Paribas  MCQ  –  Animation  et  Développement  ACE  MANAGER  16,  rue  de  Hanovre  75002  Paris    Any  litigious  interpretation  of  these  rules,  or  any  cases  not  provided  for   in  these  rules,  will  be  settled  by  the  Organising  Company  and  the  Participants  will  have  no  right  of  appeal.      Article  15:  Intellectual  property      The   whole   of   the   Website's   content   (wording,   images,   data,   drawings,   graphics,  photographs,   soundtracks,   etc.)   are   covered   by   copyright   and   trademark   law   and,   more  generally,  intellectual  property  law.  The   complete   or   partial   reproduction   or   representation   of   the   pages,   data   or   any   other  element   making   up   the   Website,   in   whatever   form   and   by   whatever   process,   without

express,  prior   authorisation,   is  prohibited  and   is  deemed   to  be  an  act  of   forgery,  which   is  punishable  under  the  Intellectual  Property  Code.    The  trademarks  used  on  the  Website  are  trademarks  registered  by  the  Organising  Company  in  France  and/or  abroad  in  different  variants.  Any   complete   or   partial   reproduction   of   the   trademarks   using   elements   on   the   Website  without   the   express,   prior   authorisation   of   their   owner   is   therefore   prohibited,   in  accordance  with  Article  L.713-­‐2  of  the  Intellectual  Property  Code.    Similarly,  any  use  of  the  content  for  illegal  purposes  will  give  rise  to  legal  proceedings  against  those  responsible.    Exceptionally,  some  content  (wording  and  images)  is  owned  by  their  respective  authors.    The  Organizing  Company  hereby  attests  that  any  resemblance  of  the  non-­‐player  characters  to  any  person,  living  or  dead  is  coincidental.        Article  16:  Acceptance  and  filing  of  rules    Participation  in  the  Competition  implies  pure  and  simple  acceptance  of  these  rules   in  their  entirety.    These  rules  have  been  filed  with  the  firm  of  Maîtres  Eric  Miellet  et  Anne  Kermagoret,  Bailiffs,    15  rue  Drouot  75009  PARIS.      These  rules  are  governed  by  French  law  and  any  disputes  arising  from  the  Competition  must  be  brought  before  the  relevant  French  court.    The  Competition  rules  will  be  translated  into  English.  Should  any  conflicts  arise,  the  French  version  will  prevail.      A  copy  of  these  rules,  which  are  available  on  the  Website,  will  be  sent  free  of  charge  (postal  costs  reimbursed  based  on  the  current  cost  of  a  2nd  class  letter)  on  written  request  (limited  to  one  request  per  household)  sent  to  the  following  address:    BNP  Paribas  MCQ  –  Animation  et  Développement  ACE  MANAGER  16,  rue  de  Hanovre  75002  Paris    The  reimbursement  of   these  postal  costs  cannot  be  requested  after   fifteen  (15)  days   from  the  end  of  the  Competition.

 The  Organising  Company  will  take  all  the  measures  necessary  to  adhere  to  these  rules  and  reserves   the   possibility,   at   its   own   discretion,   of   excluding   or   prohibiting   a   team   from  participating  in  the  Competition  if  the  Team  or  one  of  its  members  does  not  obey  the  rules  of  the  competition,  or  behaves  in  a  dishonest  or  disruptive  way.
