General Conditions

1. Tender form cost and Earnest Money Deposit can be remitted by means of Demand Draft drawn in favour of “The General Manager” Trichy District Co-operative Milk Producers’ Union Ltd, payable at Trichy. The offers without EMD will be summarily rejected. The old EMD/Security deposit will not be taken into account as EMD for this New Tender. The State Government undertakings / co-op institution and Public Sectors / SSI units within Tamil Nadu and NSIC unit of other State are exempted from the payment of EMD/Security Deposit and cost of the Tender forms.

2. Cash / Postal order / Cheque / Money orders towards the cost of tender form will not be accepted. All Tender covers should be sealed properly and the covers received without proper seal will be rejected.

3. Tender form will be issued only to the firm / party those who are submitting proper requisition along with the copy of R.C /GST/PAN/ST/IT/TIN.

4. Tender forms can be had from the office of the General Manager on all working days from 10.00 AM to 4.00 PM from the date of publication of advertisement. The tender form can also be downloaded free of cost from

Web site www.tenders.tn.gov.in 5. The filled in tender form should be submitted along with prescribed EMD in

a wax sealed cover super scribing the name of the material and by adhering the instructions indicated in the tender schedule. Separate tender form should be used for each material.

6. Other details of tender conditions are available in the tender documents. 7. After scrutinizing Part-I Technical Bids, eligible Part-II Commercial Bids

will be opened and negotiation with the lowest offered will be held subsequently.

8. The General Manager Trichy District Co-operative Milk Producers’ Union Ltd., Trichy reserves the full right to accept/reject/split/cancel the tender as a whole or part.

.TERMS AND CONDITIONS TWO PART TENDER FOR THE SUPPLY OF CHEMICALS & CONSUMABLES

AND PACKING MATERIALS

1. Read all the terms and conditions of the two part tender before filling up. 2. The tenderers are to submit the original set of the two part tender (Both

Part – I Technical Bid and Part – II Commercial Bid) duly filled in, enclosing necessary documents and are advised to retain the duplicate set of documents for their record.

3. The Part-I Pre-qualification cum Technical bid and the Part – II Commercial bid should be submitted in two different covers, wax sealed duly super scribed as “Part I –Technical Bid, Tender for the supply of the material ………………..……” and the other as “Part-II-Commercial bid, Tender for the supply of the materials …………………………….for Trichy Union.

4. Pre qualification / Technical Bid in one cover and the Commercial Bid in another cover as mentioned above should be put in a larger wax sealed cover and the same duly superscribed as ‘Supply of materials for …………………………and addressed to the General Manager, The Trichy District Co-operative Milk Producers’ Union Limited, Kottappattu, Trichy.23 and submitted either in person or by post so as to reach on or before the time and date specified.

5. Tenders received after the specified date and time shall be summarily rejected.

6. The payment for the tender form cost should be only on DD / Pay order (non refundable) from the above office on all working days during office hours (From 10.00 A.M.to 4.00 P.M) Cash / Money orders / Cheques and Postal orders will not be accepted. Those desiring to get the tender form through post should remit Rs.300/- extra in which case it will be sent through Registered Post or by Courier service only. The tender form can be downloaded from the website www.tenders.tn.gov.in on free of cost.

7. The Union will not be responsible for non – Receipt or loss of tender documents sent through post / Courier.

8. The tenderer is specifically informed that all the pages in both Part – I Technical Bid and Part – II Commercial bid should be signed at the bottom of each page without any omission by the authorized signatory with name and seal of the firm.

9. The tender forms are not transferable or assignable. 10. The signatory of the tender should indicate his / her/ their status in which he / she /

they have signed and submit necessary documentary proof admissible in law in respect of such authority assigned to him / her / them by the firm.

11. Tender shall be quoted only in the prescribed tender form complying to all the terms and conditions.

12. The Union reserves the right to modify the tender documents by way of amendments, in which case the same will be informed to the prospective tenderers by way of letter / fax / e.mail.

13. The Union may at its discretion extend the deadline for submission of tender by way of notification in the newspaper.

14. No telephonic/telegraphic/ fax offers will be considered. 15. Tenderers will not be permitted to modify the tenders in any form after

submission of tender. 16. Separate tender form should be used when rates are offered for more than

one materials. 17. At any time before the acceptance of tender if information is received that the

tenderer is banned or black listed by any procuring entity, the tender will not be accepted even if it is the lowest.

18. If necessary, negotiation will be held with a tenderer who has quoted the lowest rate as per the Tender Transparency Act.

19. In case two or more tenderers quote the same rate, the quantity shall be split among the tenderers, who quoted the same rate.

20. If the due date of opening of tender happens to fall on a bundh or a holiday, the tender will be received and opened at the same time and at the same place on the next working day.

21. The successful tenderer / supplier should become an associate member of the Trichy District Co-operative Milk Producers’ Union Ltd, by remitting Rs.10/- (Rupees ten only) which is non – refundable.

22. The General Manager of Trichy District Cooperative Milk Producers’ Union Ltd., reserves the right to postponed, or cancel the tender.

23. Notwithstanding anything contained in the tender schedule, no obligation will rest on the Union to accept the lowest tender and the Union shall also have the right to accept or reject any or all the tenders.

24. The validity of the purchase order shall be for a period of Two year with a definite schedule for the supply of materials which should be strictly adhered to.

25. The Union at its discretion, at any point of time may extend or shorten the supply schedule when circumstance so warrants.

26. The supply schedule or the time limit for the delivery must be adhered to. The suppliers shall be required to supply goods as per supply schedule. The order is liable to be cancelled at the option of the Union if not executed in time.

27. Delay or non supply of the material by the supplier will lead to purchase of the same from other sources for uninterrupted Dairy activities and the difference will be recovered from the contractor.

28. The Union reserves the right to grant / refuse the extension of supply period to the tenderer.

29. The materials supplied shall be analyzed by the Trichy Union shall be final. 30. Materials received above or below the guaranteed quality will be accepted up

to the acceptable limit by imposition penalty. 31. Materials received with the quality above / below the acceptable limit shall be

rejected. 32. The Union has the right and at its discretion may accept replacement of the

rejected quantity at the request of the tenderer which should be completed within 20 days from the date of intimation ( email / letter / fax).

33. The Union reserves the right to dispose off the rejected materials or destroy the same without any further notice to the supplier if the materials are not cleared within 60 days from the date of intimation. No claim is admitted from the supplier thereafter and the supply will be construed as default in supply for which apart from forfeiture of security deposit amount, penal charges will also be recovered from the pending bills if any.

34. Supply will be considered to be completed on receipt of the entire ordered quantity subject to variation of plus or minus 5% of the quantity mentioned in the purchase order.

35. The weight / Quantity of materials received and recorded at the Stores of Central Dairy, Trichy will be final.

36. If the Union incurs any loss due to the default of the tenderer on account of supply of poor quality materials, then the same will be recovered from the tenderer or from any other transaction of the tenderer with this Union or through arbitration.

37. In case of partial / short supply of the ordered quantity of the materials bill amount for the quantity supplied will be settled only after deducting security deposit and the same will be forfeited.

38. Defaulters due to non supply of the ordered quantity of materials / Materials in the previous tender within the prescribed time schedule will be debarred in the subsequent tender for all the materials.

39. Debarring for three tenders in a financial year will lead to be black listed permanently.

40. Delayed supply due to strikes, lockouts, fire accidents or any other bonafide causes beyond the reasonable control by the contractor and such delay or impediment occurs before the time it shall be the duty of the contractor to set forth this case and request for extension time for supply.

41. If you supply have any materials in other union purchase order copy should be enclosed separately.



II – EARNEST MONEY DEPOSIT

1. All tenders must be accompanied with the prescribed amount of EMD along with tender.

2. The EMD for the materials of the tender is fixed as 1% of the total value of materials for each item which is to be purchased during the entire Tender period.

All Tender Covers should be sealed properly and the covers received without proper seal will be rejected. The EMD should be drawn by means of crossed demand draft from any Nationalised / Scheduled bank in favour of “The General Manager, The Trichy District Co-operative Milk Producers’ Union Ltd, Trichy payable at Trichy. No other form of remittance shall be accepted.

3. Specified EMD should be enclosed with THE PART-I TECHNICAL BID only. For the unsuccessful tenderer EMD will be refunded only after finalization of the Tender

4. No tenderer will be allowed to withdraw the offer after submission. Such withdrawal will lead to forfeiture of the EMD remitted.

5. The Small Scale Industrial Units located within the State and registered with the Tamilnadu Small Industries Corporation or holding permanent Registration Certificate from the District Industries Centers of Directorate of Industries and Commerce will be granted exemption from payment of Earnest Money Deposit.

6. In respect of SSI units located outside the State, such of those units registered with NSIC in respect of items manufactured by them for which tenders have been called for by the Government Departments / State Public Sector undertakings / Statutory Boards, Local Bodies and Co-operative institutions alone will be granted exemption from payment of EMD.

7. Any tenderer claiming exemption from payment of EMD fulfilling the conditions laid down in clause 5 & 6 above should produce necessary documentary proof for SSI Registration of Tamil Nadu and MSME or NSIC of Government of India in relevant trade subject to monetary limit with the said certificates for manufacturing of that item only. No other certificates issued by any other authority or for any other items other than that will be entertained for the above purpose.

8. The SSI, MSME and NSIC units will be required to execute proper agreement including a clause, among others to the effect that the event of non fulfillment or non – observance of any of the conditions stipulated in the contract, the MSME/ SSI / NSIC unit shall pay as penalty an amount equivalent to SD/EMD or an amount equal to the actual loss incurred by union as the case may be, consequent on such breach of contract, whichever is less.

9. Tenders not accompanied with demand draft towards the prescribed EMD or the relevant documentary proof for the exemption thereon shall be summarily rejected.

10. The EMD remitted with previous tender will not be adjusted for any of the subsequent tender.

11. No interest shall be paid on Earnest Money Deposit. 12. Non supply of material within the prescribed validity period of the purchase

order or within the extended supply period when granted will result in cancellation of the purchase order and forfeiture of the Earnest Money Deposit.

III. SECURITY DEPOSIT AND AGREEMENT

1. After placement of purchase order necessary agreement in Rs.100/- non

judicial stamp paper should be executed immediately before effecting supply

of material.

2. The successful tenderer should remit @ 5% total value of the contract

amount as Security Deposit before executing agreement. The Security

Deposit value of 5% will be refunded to supplier concerned on completion

of audit report for that period.

Withheld Amount:-

In addition to, a 10% of the total value of the material from the bills will be

withheld and it will be released at the time of final settlement for Packing

materials for Pet jar (G.O.No.581 Finance (Salaries) Dept dated: 13.06.80

clause 64-1 of General conditions of the contract.)

3. No interest shall be paid on Security Deposit.

4. On termination of contract; the Security Deposit is liable to be forfeited and

any of the resultant loss beyond that will be recovered, by court of law if

necessary.

IV. PAYMENT TERMS

1. Payment of bills shall be considered only on proper execution of agreement deed.

2. Payment will be made only based on the quality of the material analyzed at the Trichy Union or reputed institutions.

3. Payment will be made for net weight / Quantity only. 4. All payments will be made only through A/C payee crossed cheque. 5. Appropriate penalty will be imposed as stipulated up to the acceptable limit

or rebate conditions depending upon the quality of the material supplied and payment will be made accordingly.

6. The bill shall be recommended for the release of payment based on the quality report.

7. For the MSME/SSI/NSIC unit suppliers, payment shall be released after retaining amount equivalent to Security Deposit.

8. For the packing material for Pet jar suppliers, only 90% payment shall be released and the balance 10% shall be released only after completion of counting for the quantity .

9. The variation in the statutory levies and taxes by State Government / Central Government shall be effected on the end price to the benefit of either the tenderer or the Union as the case may be.

10. Short supply of the ordered quantity of material will result in cancellation of purchase order for the pending quantity and forfeiture of Security Deposit. The defaulter is eligible to claim only the value of material supplied.

11. The Supplier should submit necessary invoice for the supply in duplicate along with a copy of the delivery challan for making payment. The purchase order no. and date shall be specified in each invoice.

12. The Union whenever is obliged to deduct tax at source under any of the

provisions of the income tax act from payment made to the suppliers, it will

make such deduction from the payment to the supplier as per the provisions

of such Act applicable to such suppliers of the material from time to time if

necessary documents (of having paid such taxes) have not been furnished at

the time of claiming of bills.

V.GST/TIN/IT/ST/PAN/ REGISTRATION CLEARANCE CERTIFICATE.

Tenderer should enclose Photostat copies of valid GST /ST/IT /TIN/PAN

Registration Certificates along with the tender.

VI. DISPUTES AND LEGAL JURISDICTION

In case of any legal dispute it is subject to the court of Deputy

V – PART – I TECHNICAL BID

1. In the PART-I TECHNICAL BID, wherein the pre-qualification of various

factors such as quantity & quality offered eligibility of the tenderer etc., will

be evaluated, considered and decided prior to opening of Commercial Bid

under PART II of the tender.

2. In the technical bid, only those who can supply a minimum quantity of

90% of the tendered quantity (and as per the guaranteed quality required or

upto the acceptable limit with penalty) shall offer their rate. If quantity is

not mentioned it will be construed as 100% offer.

3. The Technical Bid shall be accompanied with the Earnest Money Deposit.

4. The Technical Bid shall be accompanied with Photostat copies of

GST/TIN/PAN registration certificates and VAT/TIN/ST certificates.

5. THE PART I technical bid shall be opened on 02.09.2019 at 3.00 P.M. in

the presence of the tenderers or their authorized representative who opt to be

present at the time of opening of tender.

6. Technical Bid shall be summarily rejected when submitted in the following

any one condition.

a. Any quantity offered less than 90% of the tendered quantity.

b. Without enclosing the required amount of EMD.

c. Without enclosing proof for seeking exemption from remitting EMD.

d. The tender application, technical bid, General Terms and Conditions and

Quality of material documents received without signature in all pages.

VI – SAMPLES

1. The tenderer should submit the quantity of samples as specified in the

Annexure-I for quality testing before the closure date and time or tender

submission. The samples submitted will be tested at TDCMPU Lab/any

other authorized lab for its standards as per our tender specification.

Based on their results only the commercial bid will be considered for

opening.

VII – PART – II – COMMERCIAL BID 1. In the PART –II Commercial Bid, the tenderer who do not satisfy any / all the

terms and conditions specifically so mentioned under PART-I technical bid, will not be considered eligible and the commercial bid shall not be opened.

2. PART-II Commercial Bid, wherein the rates quoted by those who qualify themselves and are selected as per the terms and conditions prescribed in PART-I TECHNICAL BID only will be considered and decided for the award of the contract for the supply of materials.

3. In the commercial bid the rates should be quoted legibly in figures and in words in bold letters without correction or over writing and if there is any correction the same should be attested.

4. If there is any discrepancy between the words and figures the lowest among the two rates shall be considered and the same shall be final.

5. The rate quoted shall be firm, fixed and valid for the whole of the contract period applicable for the supply of materials.

6. The rate per metric ton should be quoted on net weight basis inclusive of all namely packing, freight, loading, unloading, insurance and TIN/PAN/GST (whichever is applicable) delivery, at Trichy Dairy.

7. In case of packing materials, the rate per No should be quoted on quantity basis inclusive of all (including printing of Carton Box /Alu. Foil/ Wad with printing of Pet Jar Lables and details to be print in Khova Bowl, Freight, loading, unloading, insurance and TIN/PAN/GST (whichever is applicable) delivery at Trichy.

8. The PART-II Commercial Bid shall be opened on at P.M. in the presence of the tenders or their authorized representatives who opt to be present at the time of opening of tender.

9. The commercial bid shall be summarily rejected when submitted without mentioning the name of the material quantity offered, rate quoted period of validity and without the signature of tenderer in the documents submitted during tender.

VII Quantity Requirements Delivery and Penalty 1. The union reserves the right to place its procurement orders with more than

one Qualifying tenderer to ensure uninterrupted Supply. 2. The Successful tenderer will be furnished with the details of the quantity and

the delivery schedules upon signing the agreement and on remittance of security deposit.

3. Time being in the essence no variation shall be permitted in the Delivery time as prescribed in the delivery schedule. If the tenderer fails to supply in full or part of the consignment as per delivery schedule a penalty of 1% per month of the invoice value for delay period will be deducted. Besides the Union reserves the right to cancel the order for the undelivered portion of the consignment.

4. If such delay is repeated 3 times the contract may be cancelled in full and an amount equivalent to double the actual loss incurred shall be recovered and SD will be forfeited.

5. Notwithstanding anything contained in the tender schedule no obligation rests on the Union to accept the lowest tender and the Union shall also have the right to accept or reject any or all the tenders fully or Party without assigning any resons.

6. For Violation of any of the terms and conditions of the contract the Union reserves the right to terminate the contract with or without notice as applicable.

The successful tenderer (herein after referred to as contractor)shall also furnish a security Deposit of not less than 1% of the total value of the contract within 15 days from the date of intimation of the tender from the O/o The General Manager ,Tiruchirappalli District Co-op Milk Producers’ Union Ltd.,. The security Deposit will be exclusive of the Earnest Money Deposit of 1% of the total value. If the security Deposit is not remitted with in the stimulated time the tender will be automatically cancelled and will be offered to next firm in the selection. The (security of Deposit will be refunded only after the expiry of a period of 6 months from the date on which the agreement is terminated and upon the General Manager, Tiruchirappalli union or other person authorised by him issuing a certificate that no amount is due from the Tenders under the agreement and that the contract has been executed satisfactorily) The successful tenderer shall also execute an agreement on appropriate stamp paper incorporating the terms and conditions of the contract within one month from the date of intimation of the acceptance of the tender.In the case of default of either of these conditions (i.e) remitting security deposit and executing agreements within the time allowed the earnest money deposited shall forfeited to the union and without prejudice to any other right of the purchaser on that behalf under this contract or otherwise. The General Manager shall also be entitled to make other arrangements for obtaining those items from others and recover from the contractor any excess expenditure or cost incurred by the purchaser over the contract price together with all charges expenses and damages attending to such purchase, provided the General Manager on specific application from the Contractor grants extension of time in specific circumstances in the matter of payment of security Deposit and execution of agreement. 12. The goods/materials stores/equipment/machinery shall be subject to inspection and acceptance or rejection by the unions General Manager, of such other persons as the General Manager, shall from time to time name and appoint for the purpose(the said person to be named and appointed being hereafter referred to as the (‘INSPECTION OFFICER’). 13. The goods materials stores/Equipment/machinery supplied by the contractor which in the opinion of the General Manager or the inspecting officers are in bad order, unsound inferior are in quality or description or not in accordance with quantities or specifications as have been prescribed in that behalf or otherwise faulty or unfit for use shall be rejected in whole or part by the General Manager or the inspection officer.

In substitution of any goods/materials/Stores/Equipment/Machinery which shall have been rejected by the General Manager or the Inspection Officer in whole or in part under the provisions herein before contained the contractor shall and will within the time permitted by the General Manager or the Inspection Officer after such rejection shall have been notified to him as aforesaid supply and delivery without causing any extra cost of expenditure Whatsoever to the purchaser other goods / materials / stores / Equipment /machinery of the quality workmanship description and specification as have been prescribed in that behalf and also at the quality of quantities or numbers or weight or measures as shall be equivalent quantity of qualities or numbers or weight or measure which shall have been rejected as aforesaid at such place or places and in such manner as the General Manager or the Inspecting Officer shall require or direct, if not so, supplied and delivered by the contractor in substitution as aforesaid and also in case of failure by the contractor to supply and deliver/the goods/materials/stores/Equipment/machinery demanded from him under this contract within the period prescribe for supply and delivery the General Manager or the Inspecting Officer shall have power to purchase from others instead of any goods / materials / stores / equipment /machinery of portion there to by the union over the contract price together with all charges and expenses attending to the purchase shall be recoverable from the contractor Nothing herein contained shall prejudice any other right of the purchaser in that behalf under this contract or otherwise. 16. TRANSFER OF CONTRACT:- The contractor shall not transfer or assign the contract or any part thereof or any interest therein directly or indirectly to any person or person whosoever without the written consent of the purchaser. 17. (a) The time allowed for completion of supply and delivery as are prescribed including installation and commissioning wherever stipulated under the conditions of the tender is of the essence of the contract.

All sums found due to the union under or by virtue of these pleasance shall be recoverable from the contractor and his properties movable or immovable under the provisions of Revenue Recovery Act for the time being in force although they are in arrears of land revenue or in any other manner as the union may deem fit. 20. 7. The contractor not entitled for any enhancement of the rates once accepted. 8. The Materials should be supplied in good packing materials. 9. The validity of the purchase order shall be for a period of Two year with a definite

schedule for the supply of materials which should be adhered to. 10. The supply time may be extended by the Union at its discretion after the expiry of

the supply schedule so mentioned in the purchase order for another 15 days subject to recovery of 5% of the purchase order value for the quantity of materials supplied during this extended period at the request of the tenderer.

11. Extension of supply period for yet another 15 days may be granted by the Union at its discretion subject to recovery of 10% of the purchase order value or subsequent tender rate whichever is less for the quantity of materials supplied during this extended period at the request of the tenderer.

12. Should delivery be delayed by strikes, lockouts, fire, accidents or any bonafide causes beyond the reasonable control by the contractor and such delay or impediment occurs before the time it shall be the duly of the contractor to set forth this case and request for extension time for supply.

13. The supply schedule or the time limit for the supply must be adhered to. The order label to be cancelled at the option of the Union if not executed in time.

14. Delay or non-supply of the material will lead to purchase of the same from other sources for uninterrupted feed production without any notice.

15. The Union reserves the right to grant / refuse the extension of supply period to the tenderer without assigning any reasons thereof.

16. Supply will be considered to be completed on receipt of the entire ordered quantity subject to variation of plus or minus 5% only whichever is less of the quantity mentioned in the purchase order.

17. Non supply of materials within the prescribed validity period of the purchase order or within the extended supply period when granted will result in cancellation of the purchase order and forfeiture of the Earnest Money Deposit.

18. The Union reserves the right to grant / refuse the extension of delivery period to the tenderer without assigning any reasons thereof.

SAMPLING AND QUALITY ANALYSIS

19. The materials supplied shall be analyzed by the Trichy Union shall be final.

20 Materials received above or below the guaranteed quality will be accepted up to the

acceptable limit by imposition penalty.

21. Materials received with the quality above / below the acceptable limit shall be

rejected.

22. The Union has the right and at its discretion may accept replacement of the rejected

quantity at the request of the tenderer which should be completed within 20 days

from the date of intimation ( Phonogram / letter / fax).

23. The Union reserves the right to dispose off the rejected materials or destroy the same

without any further notice to the supplier if the materials are not cleared within 60

days from the date of intimation. No claim is admitted from the supplier thereafter

and the supply will be construed as default in supply for which apart from forfeiture

of security deposit amount, penal charges will also be recovered from the pending bills

if any.

PAYMENT

24. The weight / Quantity of Materials received and recorded at the weighbridge General stores of the Union will be final. 25. All payment will be made only through A/C payee cheque. In case of request for payment by Demand Draft it will be considered in Special Cases and the payment will be made after deducting bank commission. 26. Payment will be made only based on the quality of the materials analyzed at the Trichy Union / reputed institutions. 27. Appropriate penalty will be imposed as stipulated up to the, acceptable limit of rebate conditions depending up on the quality of the materials supplied and payment will be made accordingly. 28. The bill shall be recommended for the release of payment based on the quality report subject to the receipt of laboratory report and on the basis of the quantity supplied. 29. For the SSI unit supplier, payment shall be released after retaining amount equivalent to Security Deposit. 30. Short supply of the ordered quantity of materials will result in cancellation of purchase order for the pending quantity and forfeiture of Security Deposit the defaulter is eligible to claim only the value of material supply. 31. LIQUIDATED DAMAGES

35.In the event of any breach of the condition of this agreement by any time on the part of the contractor the contract shall be terminable by the Union without any compensation whatsoever to the contractor and it shall be lawful for the Union to set off any loss or damages sustained for sustained or incurred by the Union by reasons of the cancellation of the contract from any due payable to the contractor from the Union apart from forfeiture of the security deposit remitted by the contractor.

36.In the event of non fulfillment or non-observance of the conditions stipulated in the contract, the SSI unit shall be as penalty an amount equal to the security deposit consequent to breach of contract.

DISPUTES AND LEGAL JURISDICTION

37. In case of any legal dispute it is subject to the court of Deputy Registrar (Dairying) Trichy.
