MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding (MoU) is made between the

Atal Incubation Centre-Agricultural Development Trust Baramati Foundation, Baramati, Pune 413115.

(Herein after referred as AlC-ADT)

and

Sharadabai Pawar Mahila Arts, Commerce and Science College, Malegaon Bk..

This MEMORANDUM OF UNDERSTANDING (MoU) is made on 03rd Day of July

2020 at Malegaon Bk., Baramati. It is mutually agreed between AIC-ADT and SPMC that, From AIC-ADT to SPMC

This MoU is to bridge the gap between the industry and the academia to enrich young talent

pool from SPMC by enhancing their technical competencies to match the industry

requirements and help them to self-sustain and generate employment.

1. Providing projects and guidance to students on projects related to real life problems o

farmers in India and abroad. 2. Support in kind of Laboratory, Working space for Experimentation and Research on least

charges as prescribed by AlC-ADT on case to case basis

3. Mentoring and training for faculties and students with minimal charges. 4. Involvement of interested students and faculties of SPMC in various activities of Incubation

center conducted across India and abroad.

5. Special Tailor made Programme offered by or through AIC-ADT to the students or faculties

of SPMC on minimal charges being paid to or through AIC-ADT.

6. Support for organizing webinars, conferences, workshops, seminars, etc.

7. Providing internship opportunities to selected students and alumni of SPMC within AIC-

ADT or AIC-ADT's partner companies/institutions as per availability.

8. Offering paid Capacity building Trainings to SPMC's faculties as per SPMC's need.

From SPMC to AIC-ADT

1. Logistic and infrastructure arrangements for all the activities conducted by AIC-ADT,

Baramati, at SPMC premises for SPMC Students and Faculties.

2. Provide mentorship in the fields of Bio-Technology concerned to agricultural research and

innovations done within and by AIC-ADT or its incubatees/partners as and when needed in

the form of knowledge.

3. Support for organizing webinars, conferences, workshops, seminars, etc.

4. To promote AIC-ADT on institutional and non-institutional platforms related to Research

and Innovations.

Financial Support

I. There will not be any financial burden involved for both the parties.

2. The charges/ Fees of training programs organized by AIC-ADT at their own premises tor

SPMC students or faculties will be borne by SPMC.

3. The Charges and expenses of any of the trainings or activities specially conducted either at

AlC-ADT or SPMC for students and/or faculty of SPMC will be paid by SPMC to AlC-

ADT or through AIC-ADT. The charges here re fers to but not limited to the training charges

of the trainer and expenses here refers to but not limited to the transport and dining expenses

of the trainers during the given time of the training.

4. Individual or group of students and or faculty willing to get incubated in AlC-ADT will be

liable to pay the service charges to AIC-ADT as per the Incubation Agreement of AlIC-ADT

Signed by that particular individual or group of students and/ or faculty during the time of

admittance in AIC-ADT.

5. SPMC will not be liable to bear any charges or expenses arousing not from this MOU.

6. Every party involved is liable to pay all the outstanding bills/amount to the other party in

case of end or breach of the contract prior to the fînal end or breach of this contract.

7. All the fees, expenses and charges mentioned above will be decided on case to case basis

and agreed mutually by both the parties.

Tenure and Contract:

1. This Agreement will be valid until it is expressly terminated by either Party on mutually

agreed terms, during which period AIC-ADT, the First Party, as the case may be, will take

effective steps for implementation of this MoU. Any act on the part of SPMC, the Second

Party after termination of this Agreement by way of communication, correspondence etc..

shall not be construed as an extension of this MoU.

2. Any party can breach this contract with a prior notice of I (one) month to the other party.

Relationship between the Parties

It is expressly agreed that First Party and Second Party are acting under this MoU

as independent contractors, and the relationship established under this MoU shall not be

construed as a partnership. Neither Party is authorized to use the other Party's name in any

way, to make any representations or create any obligation or liability, expressed or implied,

on behalf of the other Party, without the prior written consent of the other Party. Neither

Party shall have, nor represent itself as having, any authority under the terms of this MoU

to make agreements of any kind in the name of or binding upon the other Party, to pledge

the other Party's eredit, or to extend credit on behalf of the other Party. Any divergence or difference derived from the interpretation or application of the

MoU shall be resolved by arbitration between the parties as per the Arbitration Act, I996 The place of the arbitration shall be at District Head Quarters of the First Party. This

undertaking is to be construed in accordance with Indian Law with exclusive jurisdiction in

the Courts of Baramati.
