Welcome to the sixth edition of Legal Media Group’s Rising Stars 2020.
When published in 1994, the Expert Guides were the first-ever guides dedicated to leadingindividuals in the legal industry. Adriano Antonietti advises domestic and foreign banking and financialinstitutions, as well as collective investment schemes and assetmanagers on a wide range of matters, in particular regulatory issues,private placements, the drafting of banking contracts and certain taxrelated matters (FATCA, CRS). He also defends banks and their clientsin a number of disputes and deals with all aspects of corporate andcommercial law. His main fields include financial products andservices, including regulatory aspects, as well as corporate andcommercial matters.
In 2005, Adriano Antonietti obtained a law degree (lic. iur.) from theUniversity of Fribourg. Before joining Walder Wyss he worked as asenior associate with another major law firm in Geneva and Zurich.

Fabio Elsener is a Senior Associate in Schellenberg Wittmer’s Banking& Finance group in Zurich. Fabio focuses on fintech and financialmarkets regulation, structured finance and capital marketstransactions. He advises clients regarding the legal and regulatoryimplementation of blockchain and other fintech solutions as well asfinancial services, financial instruments, fund and banking regulation.He furthermore advises clients in financing and capital marketstransactions. His clients include financial institutions, insurances andfintech companies.
Recent examples of Fabio’s expertise in Banking & Finance mattersinclude: Advising on a crypto currency lending and borrowingagreement and the documentation of a crypto currency derivativemaster agreement; drafting of a issuance program for structuredproducts under the Swiss Financial Services Act; and advising on thenew regulatory regime under the Swiss Financial Services act regardingdebt capital market transactions with a focus on issuance programs.

Dr Olivier Favre is a partner in Schellenberg Wittmer's banking andfinance group in Zurich. Olivier focuses on derivatives, structuredfinance and capital markets transactions, and advises clients onfinancial services, securities, commodities, fund, insurance andreinsurance regulation. He advises clients on financing and capitalmarkets transactions and on fintech solutions and their legalimplementation. His clients include financial institutions, buy-sidefirms, issuers, insurance companies and industry associations.
Olivier’s recent expertise in banking and finance matters includes:advising on the implementation of fallback clauses for derivativescontracts referencing LIBOR benchmarks; advising on the compliancewith initial margin requirements for uncleared OTC derivativestransactions; drafting the netting opinion published by the ISDA forinternational financial institutions set up in Switzerland; advising onthe issuance of high-yield debt instruments; registering programmesfor the issuance of structured products, warrants and debt instrumentswith SIX Swiss Exchange; advising on the issuance of stable coinsbacked by crypto assets; advising on Swiss law aspects of Brexitplanning; and advising on the enforceability of a new masteragreement for securities lending transactions with pledging of assets ascollateral.
Olivier obtained a doctorate in law from the University of Zurich (iur,2003) and a master’s in law from Harvard Law School (LLM, 2004).For his doctoral thesis, he received the Issekutz Award for outstandingachievements in business law.
Prior to joining Schellenberg Wittmer in 2009, Olivier practised as anattorney in London, specialising in OTC derivatives and structuredfinance transactions, fund products and capital markets transactions.He also worked as an associate at Allen & Overy (2004–2007) and aslegal counsel at Goldman Sachs (2007–2009).

Tarek Houdrouge is co-head of Schellenberg Wittmer’s banking andfinance group; partner in the corporate and commercial group inGeneva; and head of the firm’s African regional desk.
Tarek’s main areas of expertise are banking and finance, transactions,and corporate law. He advises banks and financial institutions on allregulatory matters; cross-border activities; lending transactions;distribution of financial products; and fintech and cryptocurrency.

Tarek studied at the University of Lausanne Law School where hegraduated with a law degree (2003) and with an LLM in European andinternational economic law (2004). Grégoire Wuest is a partner and co-head of the banking and financepractice in Schellenberg Wittmer’s Geneva office. He is also the head ofthe firm’s Brazilian regional desk. His practice focuses on banking andfinance, in particular in the field of multi-jurisdictional transactionsinvolving non-standard and highly valuable assets securingborrowings, complex cross-border acquisitions, and other financialtransactions – notably in relation to the shipping and business aviationindustries. Grégoire also advises Swiss and foreign financialinstitutions on all regulatory matters, fintech and cryptocurrency,cross-border activities and on the implementation of new regulations.
Grégoire’s recent expertise in banking includes: advising a majorEuropean banking group in a large banking restructuring involving aninternational cross-border merger; advising a major Swiss bank with astrong international presence in the acquisitions/disposals of strategicclients’ banking portfolios; advising a major European banking groupin financings worth hundreds of millions of euros secured by exoticassets; advising banks and financial services providers on theimplementation of the new Financial Services Act; and advising severalSwiss banks on the redrafting and amendment of its entire contractualdocumentation and all internal regulations and improving e-bankingfor clients.

Sait Eryılmaz heads the Finance practice of the Firm. He is specialisedin banking and finance transactions, with a particular focus on projectfinance and structured finance.
Over the past years Sait has held a key position at the forefront ofTurkish infrastructure and energy transactions, taking part in manynotable projects including PPPs. He has been acting for banks, ECAs,Islamic and conventional financial institutions, sponsors and othertransaction parties in domestic and international project financings,including PPPs, infrastructure, transportation (roads, railways andairports) energy projects, oil and gas, and privatisations.

John R. Sobolewski is a partner in Wachtell, Lipton, Rosen & Katz’sRestructuring and Finance Department. His multidisciplinary practiceincludes a broad range of finance, securities, restructuring and relatedmatters, including leveraged M&A, public and private capital marketstransactions, complex syndicated bank financings, and in-court andout-of-court workouts. He has unique expertise representingcompanies in connection with rapid response efforts to debt defaultactivism and net-short debt activism situations.

Julie Raneda, MCIArb is a partner in Schellenberg Wittmer’sinternational arbitration practice in Singapore. She represents clientsin international commercial, investment and sports arbitrationmatters.

Making Something Excellent Even BetterSwiss law on international arbitration is part of the Swiss Private In-ternational Law Act (PILA) as its Chapter 12. Swiss law on domesticarbitration is part of the Swiss Code of Civil Procedure. Arbitrationproceedings are international, according to Swiss law, if at least one ofthe parties to the arbitration agreement, at the time of its signing, isnot domiciled in Switzerland. Furthermore, the parties, in domesticcases, can opt in to Swiss international arbitration law, whereas in in-ternational cases, they can opt out of Swiss international arbitrationlaw, choosing domestic arbitration law instead.The current version of Chapter 12 PILA was enacted, subject to
very minor subsequent amendments, in 1989. It has been a successstory with parties from all over the world. Parties value its clarity, itsprecision, and its simplicity. While Chapter 12 PILA covers by andlarge the same issues as the UNCITRAL Model Law 1985, the Swisslegislator decided to enact an independent and unique version of anarbitration law. In a nutshell, it would seem that the main feature ofSwiss international arbitration law, singling it out amongst arbitrationlaws from other jurisdictions, is its high regard for party autonomy.Given its overall success, one may question whether Swiss interna-
tional arbitration law even requires fundamental reform. While athorough review process was launched in order to assess possibleshortcomings and areas that might need improvement, and theZurich University of Applied Sciences School of Management andLaw was tasked with an in-depth market and regulatory cost assess-ment study, it quickly turned out that the current Swiss internationalarbitration law was already highly competitive in an internationalarena, served its users and other stakeholderswell, and did not require major adjustments.Yet, in 2012, the Swiss parliament, eager not
to rest on its laurels, requested the government,i.e. the Swiss Federal Council, to prepare a draftbill that “preserves the attractiveness of Switzer-land as an international arbitration hub”. Fol-lowing the release of a first draft in 2017 andsubsequent public consultations, the Swiss Fed-eral Council, in 2018, issued a revised draft thatfocuses on three main objectives:• codification of case law of the Swiss Fed-eral Court;
• rendering Chapter 12 even more userfriendly; and
• further strengthening party autonomy in line with internationaldevelopments.The most important innovation, from a practical perspective, may
have been the proposed possibility to make, in the context of annul-ment proceedings, submissions to the Swiss Federal Court in English.We had reported on these developments already in last year’s ExpertGuide.After consultation in the two chambers of the Swiss parliament,
the second chamber finally adopted the reform, with only minoramendments, on 9 June 2020. It is therefore time for a brief update.
Submissions to the Swiss Federal Court in EnglishToday, any submissions to the Swiss Federal Court must be filed in
one of the official languages (German,French, Italian, or Romansh). Exhibits in alanguage other than German, French, or Ital-ian must be filed together with a translation.This rule even includes exhibits in English,which are accepted by the Swiss Federal Courtwithout translation only where all partiesagree.The language requirements of the Swiss
Federal Court conflict with the fact that themajority of international arbitration proceed-ings seated in Switzerland are conducted inthe English language and may involve partieswho are not fluent in any of the official lan-guages. In these cases, translating a party’s

own (draft) submissions and those of the other party can be a verycostly and time-consuming task. In annulment proceedings, wheretime is of the essence especially for the applicant (who must prepareand file a request to set aside an international arbitral award within amere 30 days from receipt), translating drafts and documents can be adaunting exercise.The government’s draft bill enabled the filing of submissions in
English in order to make annulment proceedings for many foreignparties much more user friendly. The chamber of the Swiss parlia-ment first reviewing the draft bill proposed to go even further and re-quested that the Swiss Federal Tribunal be obliged to also provide asigned English translation of its decisions. However, the other cham-ber of the Swiss parliament rejected this proposal in its entirety. Afterfurther consultation, the two chambers agreed, as a compromise, toadopt the government’s initial proposal: the Swiss Federal Tribunalwill, in the future, accept submissions in English, although its deci-sions will not be translated into English. This is likely to be seen as amajor improvement of Swiss arbitration law in practice.
Codification of Case Law of the Swiss Federal CourtThe draft bill further sought to bring the text of Chapter 12 PILA upto date with the case law of the Swiss Federal Court and to clarify cer-tain open issues that are currently not dealt with in Swiss interna-tional arbitration law.In line with the case law of the Swiss Federal Court and Swiss do-
mestic arbitration law, the draft bill provided for the right of a partyto request the arbitral tribunal to correct typographical errors in itsaward, to explain considerations in its award, or to render an addi-tional award on claims omitted.Furthermore, the draft bill confirmed the right of a party to request, in
limited cases, a reopening of the proceedings by way of a decision of theSwiss Federal Court (Revision / review), in addition to the right to requestthe setting aside of the award. These limited cases include situationswhere (i) relevant facts or evidence come to light after the completion ofthe arbitration proceedings; where (ii) criminal investigations show thatthe award was tainted by illegality; and/or where (iii) circumstances havecome to light after the completion of the arbitration proceedings that callinto question an arbitrator’s independence or impartiality.In line with the case law of the Swiss Federal Court and Swiss do-
mestic arbitration law, the draft bill also provided that a party forfeitsits right to object to a violation of procedural rules if the objection isnot promptly raised.Responding to uncertainties created by the case law of the Swiss
Federal Court, the draft bill expressly clarified that arbitration pro-ceedings are international if one party to the arbitration agreementwas not domiciled in Switzerland at the time the agreement wassigned. The parties’ domicile at the time the proceedings are com-menced is irrelevant in this respect.
Finally, the draft bill clarified that any ancillary proceedings beforeSwiss state courts (the so-called juge d’appui) are governed by therules on summary proceedings.The Swiss parliament, by and large, accepted these proposals of the
Swiss government.
Rendering Chapter 12 Even More User FriendlyThe draft bill sought to render Swiss international arbitration lawmore user friendly for international users.With this goal in mind, the government proposed to further
strengthen the character of Chapter 12 as a self-contained set of rules,by removing references to the provisions of the Swiss Code of CivilProcedure and incorporating the content of those provisions directlyinto Chapter 12.Furthermore, the draft bill sought to unify the form requirements
for all arbitration-related agreements.The two chambers of the Swiss parliament had also no objections
to this aspect of the government’s draft bill.
Further strengthening Party AutonomyFinally, in line with the prevailing view in Switzerland, the draft billexpressly confirmed that arbitration clauses included in unilateralacts, such as for example in a will or a trust deed, can have legal force.This amendment is a welcome confirmation that international succes-sion and trust matters can be safely submitted to arbitration inSwitzerland.The Swiss parliament again had no objections.
ConclusionThe reform of Chapter 12 PILA was thus welcomed by the Swissparliament without major changes. The most visible improve-ment, from a practical perspective, and in particular for interna-tional parties, will be the possibility to file annulmentsubmissions with the Swiss Federal Tribunal in English. This is ahuge step in the direction of making the Swiss Federal Tribunal asaccessible to international parties as its counterparts in the En-glish-speaking world.The reform contains also many other improvements, but the leg-
islator refrains from extensive reconstruction works. For the users ofSwiss international arbitration, this is good news. Chapter 12 PILA,under the wise guidance given by the Swiss Federal Court, has beenworking well for many years. Rather than simply following interna-tional trends, Swiss international arbitration law has in fact devel-oped and shaped many of those trends over the past decades. Inaddition, Swiss international arbitration law of the future will beeven more accessible and transparent, with the reform further en-hancing clarity and precision as well as the user friendliness of Swissinternational arbitration.

Hristina Dzhevlekova is a Counsel at Wolf Theiss with over eight yearsof experience in the areas of competition, regulatory and employmentlaw. She is experienced senior lawyer with a demonstrated history ofworking on landmark cases in Bulgaria and CEE.
In her practice, Hristina advises on a range of EU and localcompetition matters, including in specific regulated sectors such aspharmaceuticals, telecommunication, automotive, etc. She focusesmainly on antitrust law, in particular in assessment of vertical andhorizontal agreements, application of various distribution and agencysystems, market policies applied by dominant undertakings, etc.Hristina was advising on the competition and regulatory aspects in thecompletion of the first National Roaming Agreement in Bulgaria andrecently, represented one of the global manufacturers of innovativemedicines in a challenging dominance case before the BulgarianCompetition Protection Commission. Her competition law expertiseincludes further a number of successfully completed merger clearanceprocedures in Bulgaria and North Macedonia.

Franco Castelli joined Wachtell, Lipton, Rosen & Katz’s AntitrustDepartment in 2005. He focuses on analysis of competition issues inUS and cross-border mergers, acquisitions, and joint ventures. Mr.Castelli has represented clients before the Federal Trade Commission,the US Department of Justice, the European Commission, as well asother antitrust regulatory agencies. Marcel Jakob is a Senior Associate in Schellenberg Wittmer’s Mergers& Acquisitions Group in Zurich. He focuses on private domestic andcross-border M&A transactions, including asset deals and real estatetransactions. Nicolas Bouckaert is a Partner at Kennedys, whose Paris office he co-founded in October 2017. Louis Burrus (dual-qualified in both Switzerland and in England andWales) (solicitor of the Senior Courts) is a partner in SchellenbergWittmer's dispute resolution group, based in Geneva. He specialises indomestic and international commercial litigation, in particular inbanking and financial disputes. He is known for his strong expertise inenforcing foreign decisions and obtaining freezing injunctions andinterim reliefs.
Louis also conducts and leads investigations in various other fieldssuch as sports and global commodity trading in regards to casesinvolving bribery and corruption, sanctions violations or moneylaundering.
Louis’s recent expertise in litigation includes: acting as lead counsel toan international private banking group on all litigation aspects relatedto an acquisition of another large bank; Representation of a largetransport company before the Swiss courts in the context of severalcourt litigations initiated by a former shareholder and assistance to alarge international bank in the context of a large on-going litigationbefore the courts of the Southern District of New York (SDNY).

Aylin Güney King is a partner in Bonnard Lawson’s dispute resolutiongroup in Geneva. Her main area of expertise is complex commercialdisputes involving contractual, banking and corporate matters. Kevin Schwartz is a partner in the Litigation Department of Wachtell,Lipton, Rosen & Katz. He is also Chair of the Judiciary Committee ofthe New York City Bar Association and a Visiting Lecturer in Law at YaleLaw School, where he teaches an advanced Corporate LitigationSeminar.
Mr Schwartz’s practice includes corporate, commercial, and securitieslitigation at both the trial and appellate levels, as well as a variety ofregulatory and corporate governance matters. He has worked on anumber of the firm’s high-profile matters, including mergers-and-acquisitions litigation in the courts of Delaware and other complexlitigation in courts around the country.
In addition, Mr Schwartz has worked on a number of pro bono mattersimportant to New York State. As part of the team led by former WhiteHouse Counsel Bernard Nussbaum, Mr Schwartz represented the NewYork Judiciary in historic constitutional litigation over the State of NewYork’s extended failure to adjust judicial salaries. He represented thePartnership for New York City and the Bar Association of the City ofNew York as amici curiae before the Court of Appeals and the SupremeCourt of the United States, including in the landmark case in which theSupreme Court struck down the Defense of Marriage Act. As Chair of the 140-year-old Judiciary Committee of the NYC BarAssociation, Mr Schwartz leads a committee of 50 lawyers in reviewingand interviewing every judicial nominee for all state and federal courtsbased in NYC, as well as candidates for District Attorney in the fiveboroughs and nominees for U.S. Attorney for the Southern and EasternDistricts of New York. Mr Schwartz also serves on the Council onJudicial Administration, which coordinates the work of the City Barcommittees addressing issues that concern the state and federal courts.He previously served as secretary of both the Judiciary Committee andthe Council on Criminal Justice.

IntroductionThe allocation of the burden of proof is one of the key issues in thecontext of tax litigations on transfer pricing. This is mainly due to thenature of the transfer pricing, itself, which is substantiated by high de-gree of evaluation so that the identification of the party responsible togive evidence about the compliance of the transactions with the arm’slength principle is crucial.Under Italian legislations the regime of proofs is regulated at three
different provisions: the civil code (“c.c.”), the code of civil trials(“c.p.c.”) and the legislative decree no. 546/1992 (“D.Lgs. 546/1992”).Conventionally the regime of the burden of proof is set forth by
art. 2697 c.c. which imposes claimant asking for the protection of aright to prove the facts that underpin it, and requires the judge to re-ject the claim if such proof lacks. This regime triggers a number ofcorollaries. In the first place, there is the “principle of non-dispute”(see art. 115 c.p.c.), according to which the facts alleged by a partywhich are not rebutted by the counterparty are considered as provenevidence. In the second place, there is the so called “principle of prox-imity of the proof”, originated by case-law, which allotted the burdenof proof to the party considered “closer” to facts (e.g., delivering ofenvelopes or parcels for which case-laws placed the burden on the re-cipient to prove what was received regardless of who can take advan-tage of the circumstance).In principle, the rule set by art. 2697 cc. applies to tax litigations
and tax disputes on TP and arm’s length principle as follows: the taxauthorities must prove circumstances causing an increase in the taxburden (e.g. higher revenues) while the taxpayer those leading to a de-crease (e.g. higher costs).
Tax litigations on TP and the burden ofproofDespite the matter at hand is governed bywidespread principles (also at an interna-tional level), the definition of an arm’s lengthprice for intercompany transactions of goodsand services raises concern which does notappear to be a matter of proof nonetheless amatter to be solved in the light of the generalrule of the burden of proof. To the contrary,the transfer pricing dispute seems to functionon a completely different level compared toproof.
In this regard, as a preliminary remark, one should consider thattransfer pricing, unlike price agreed, does not reflect historical facts.Whilst, transfer pricing is the result of an evaluation or, better, the re-sult of a methodological choice and its correct application. In fact,when discussing about transfer pricing, the dispute revolves aroundtwo questions: (1) what’s the correct method to the case? and (2) whatresult does the application of the correct method bring?These questions are clearly different from those characterizing the
probative matter under which one does not ask whether a given claimby a party is correct but whether it is true.
There is a clear departure from the basic rulesif one just considers that the so-called “judgmentof correctness” is a judgment that always requiresan element of comparison, of a tertium compara-tionis, an element that is not conceivable in situa-tions where probative matter exists.Some examples can give clearer idea. Won-
dering if a certain transaction is priced incompliance with arm’s length principle fullydiverges from asking questions such as “it’sraining today”, “someone shot at someone” or“company X bought a good for which he paidan amount equal to Z”.Therefore, when a tax system disqualifies

company transactions in favor of a different and hypothetical price,also that tax system deliberately departs from a “world of facts” toenter a “world of hypothesis”. This world of facts neither can be as-sessed under terms of “truth” or “falsity” nor, therefore, under proba-tive terms but rather under merely evaluative terms.By just excluding factual elements pertaining transfer pricing pro-
cess (e.g. elements relating to comparable or functions performed bythe companies), the transfer pricing dispute, then, cannot be decidedbased on the principle of the burden of proof but rather only on thebasis of the correct application of the legal and technical rules thatcharacterize the identification of the probable price between indepen-dent parties.
The transfer pricing as probative, rather than factual matterBy denying factual nature to transfer pricing and by excluding transferpricing from evidences bring very important consequences from thepoint of view of the application of both the tax assessment and tax lit-igation procedures. From the point of view of the application of tax assessments, pre-
liminary it is worth to outline that under Italian tax system taxes areassessed exclusively through an administrative procedure while the taxdispute is a substantial verification of the correctness of the assess-ment performed by tax administration.Specifically, the allegation for higher taxes is made through an ad-
ministrative assessment notice (i.e., deed of assessment) containingboth the quantification of the higher tax and the explicit factual andlegal reasons behind the allegation (the “motivation”). When the tax-payer appeals the deed of assessment, before the relevant tax court, hedoes not claim to the judges for the declaration of non-existence ofthe obligation of higher tax but rather he claim for the annulment ofthe deed of assessment because it is based on an incorrect motivation(for inconsistency of the factual or incorrect interpretation of therules).From this point of view, approaching the transfer price not as a
probative matter implies that a deed of assessment on transfer pricingmust elaborates on the method chosen by the taxpayer and its appli-cation to ground the reasons these are considered incorrect. To thisend, neither commonly used clauses, nor the mere claim that themethod used is wrong nor even the contrast of a different method orcalculations may sufficiently ground the deed of assessment. In thelack of that grounds, the deed of assessment should be subject to an-nulment. This is particularly true when discussing overestimatedcosts. Should the transfer price be regarded as a fact, the deed of as-sessment would have simply denied the correctness of the price: thiswould be sufficient to allocate the taxpayer with the burden of proof.Whilst, the mere negation of a circumstance would not be enough tochallenge the tax deductibility of a cost, since it is an evaluation pro-
cedure and because of a general principle of correctness and credibil-ity recognized to taxpayers. Therefore, it is crucial that tax authoritiesexplicitly substantiate reasons leading to consider incorrect thechoices and/or calculations made by taxpayer.Yet, the disqualification of the probative nature may lead relevant
consequences at tax litigation level such as the following.In the first place, the principles and procedural rules relating to the
proof and the burden of proof cannot apply whilst only those princi-ples and procedural rules relating to interpretation of law or evalua-tion could: for instance, the “principle of proximity of the proof” orthe deadlines for filing the means of proof could not apply.Another important consequence relates to the process of appeal
before the Italian Supreme Court. In this regard, it should be notedthat the Italian legal system generally prevents a review of the eviden-tiary material before the Italian Supreme Court so that by denying thenature of probative matter to transfer pricing allows to overcome thismatter.Additionally, it must be observed that in situations where the tax
courts denies the correctness of the price applied by the taxpayer, theconsequences will not fall within the burden of proof rules as theywill be addressed along the line of any other evaluation / interpreta-tive elements under the taxpayer-tax authorities interplays. Moreover,due to the principle stipulating far a presumption of correctness infavor of the taxpayer behaviors, the tax court must first evaluate thelogical-legal (rather than factual) reasonableness of the reasons un-derlying the dispute of underestimation of revenues or overestimationof costs and, only if it resolves against taxpayer, either new method orcalculation proposed by tax authorities could be scrutinized in con-junction with defensive argument of taxpayer. Even in case of tax dis-pute on costs, therefore – contrary to what happens, for example,when cost is alleged as non-existent – it will not be sufficient to dis-qualify cost or to provide evidences in order to stem a defensive“counteraction” on taxpayer, as it will be necessary that the tax courtis convinced that allegation are properly grounded.
ConclusionsThe change over the approach on transfer pricing tax disputes pro-posed here involves a departure from certain obligations and chargeslaid on the parties of a tax dispute (including tax courts), and howthey are called to perform their function.Of course, the extent of the change and the consequences it may
trigger highly depend on the nature (administrative and / or judicial)recognized to the process of application of rules and the assessment ofhigher taxes.In any case, however, it seems a necessary and fundamental change
to better solve the matter and to make the most of the evaluative na-ture of this phenomenon.

Valentin is a Partner at Fidal in Paris. He joined the transfer pricingdepartment of the firm in 2019, which he co-leads. He previouslyworked 13 years with the international tax department of CMS FrancisLefebvre Avocats.
He is used to providing advice in relation to the design of transferpricing policies, for instance in the framework of supply chainreorganisations. He also devotes significant time to tax auditsettlements, including litigations before the French courts, andprocedures for the elimination of double taxation when necessary.
In 2009 and 2010, he was seconded to a client of the IT industry on apart time basis to prepare and deploy the group’s transfer pricingpolicies, in coordination with the Group Tax Director.
Valentin is also experienced in dealing with transfer pricing issues inAfrica and relating to commodities..
He also coordinated the initiatives of the CMS network’s GlobalTransfer Pricing Group from 2013 to 2019.
Furthermore, he has co-written several contributions to the OECD inthe framework of answers to call for comments. He has organised andled several trainings for professionals and CMS tax lawyers. Heparticipated in the definition of the content and writing of CMSTransfer Pricing Group’s publications such as tax alerts or newsletters.He also participates regularly in the preparation and publication ofarticles on transfer pricing. Andrea Dorjee-Good is a partner in Schellenberg Wittmer’s privatewealth group in Zurich. Alexandros Tsagkalidis has been with ANAGNOSTOPOULOS since2008. The Court of Appeal Athens cleared on 22-1-2020 six former LMEricsson executives (including an ex-CEO) from charges of briberyand money laundering in relation to the purchase of militaryequipment by the Hellenic Ministry of Defence in 1999. The Courtruled that the charges against the Ericsson defendants lacked legalbasis. By the same judgment seven co-defendants have been convictedfor bribery-related money laundering, among them a formerministerial secretary, a well-known businessman, and financialintermediaries.
The Court of Appeal Athens cleared on 23-7-2019 five former BayerHellas executives from charges of active bribery in relation to unlawfulpayments to HCPs, which allegedly took place from 2005 until 2009through intermediary companies. Ilias Anagnostopoulos andAlexandros Tsagkalidis represented a top-ranking Director of theCompany.

He has completed his education with a Certificate of Advanced Studiesin Criminal Judiciary from the Swiss Criminal Judicial School withhonours (2011) and with a Master of Laws (LL.M) in InternationalTrade Law of University Institute of European Studies and Universityof Turin, Italy, where he graduated in 2015 summa cum laude.
Pierre has more than 12 years of experience in commercial disputes.He has been admitted to the Geneva Bar in 2007, is a member of theGeneva Bar Examination Commission, of the Geneva Bar Association,of the Swiss Bar Association, of the Geneva Business Law Associationand of the ICC-YAF.
As a partner of the Litigation group of Borel & Barbey, he assistsparties in white collar crime related proceedings and commercialdisputes, in particular related to inheritance law, foundations andtrusts. He is also member of the Executive Committee of the SwissBasketball Federation and advises federations, clubs and sportsmen onsport law issues.
Pierre is also a member of the Board of the Pension Institution of theGeneva Bar Association.
In addition to these civilian functions, Pierre also acts as President ofthe Military Court 1 responsible for judging criminal offences undermilitary law, with the rank of lieutenant colonel.

Clara Poglia is a partner in Schellenberg Wittmer’s dispute resolution,white-collar crime and compliance, and internal corporateinvestigations groups in Geneva.
Clara’s key areas of expertise and practice focus on white-collar crime,international mutual legal assistance both in criminal and tax matters,extradition, asset tracing and recovery, and internal corporateinvestigations. Clara is also specialised in regulatory and complianceissues.
Clara has acted as counsel for both individuals and corporate entitiesin criminal and administrative proceedings before cantonal andfederal authorities and courts, including the Swiss Supreme Court.
Some of Clara’s expertise in white-collar crime includes:representation and assistance to a company in a major investigationinvolving potential wrongdoing (allegations of corruption) harmingthe client’s interests and giving rise to Swiss criminal proceedings;representation of a corporation in criminal proceedings targeting alarge Ponzi scheme and in related bankruptcy proceedings and assetsrecovery; representation of European corporations targeted by arequest of mutual legal assistance in criminal matters addressed by theUS Department of Justice to Switzerland; representation of the sameentities in the Swiss domestic related criminal proceedings; andrepresentation of a foreign businessman in the frame of domesticcriminal proceedings for alleged funds mismanagement and moneylaundering (assets frozen for around US$1 billion).
Clara is recognised in the Global Investigations Review’s Women inInvestigations 2018 list and in their Top 40 under 40 2020 list. She isthe chapter leader of the Women in White Collar Defense Association’sSwiss chapter.
Prior to joining Schellenberg Wittmer, Clara was a law clerk at theSwiss Federal Criminal Tribunal (for French and Italian languages) andan associate in another Swiss business law firm. She was also active asa translator for a renowned Swiss legal magazine.

Dr Roland Ryser is a counsel in Schellenberg Wittmer’s white-collarcrime and internal corporate investigations teams. Roland hasextensive experience in contentious matters, advising and representingindividuals and corporate clients as defence counsel in a broad rangeof regulatory and business crime investigations. Roland’s practice alsocovers international mutual legal and administrative assistanceproceedings, asset recovery and anti-money laundering, anti-briberyand trade compliance including sanctions, embargoes, war material,dual use etc.
Some examples of Roland’s expertise include defending high-profileclients in administrative criminal proceedings for tax evasion; advisingand defending a major Swiss bank in an investigation into allegationsof corruption-related money laundering in a cross-border context; andacting as defence counsel to a Swiss bank in criminal proceedings forfraud, money laundering, insufficient diligence in financialtransactions and violations of AML reporting obligations.
Roland is a member of various professional associations, including theZurich and Swiss Bar Associations, the International Bar Association,the Defence Counsel’s Section of the Zurich Bar and the Swiss Societyof Criminal Law. He publishes in his fields of specialisation andlectures on business criminal law in AML compliance officer trainings.
Roland graduated with a master of laws from the University of Zurichin 2004 and received a PhD in corporate criminal law in 2006. Beforejoining Schellenberg Wittmer, Roland worked as a research andteaching assistant at Zurich Law School’s chair of criminal law andcriminal procedure. In 2011, Roland was on secondment with a majorlaw firm in Australia, where he served as a consultant.
