1. Contractors who fulfill the following requirements shall be eligible to apply.

A) The Bidder has to be a registered license holder under Food and safety and standard Act

2006, Issued by Commissionerate of Food and Safety department, Govt of Assam

a) The bidders should have satisfactorily completed similar works in the Central Govt. /

Nationalized Banks / State Govt. and the Central Govt./State Government Undertakings as per

details below during the last seven years ending last day of the month previous to the one in which

the tenders are invited.

i) Three similar completed works costing not less than Rs. 2, 21,500/- .

Or

ii) Two similar completed works costing not less than Rs.2, 77,000/- .

Or

iii) One similar completed works costing not less than Rs.4, 42,800/- .

Note: Similar works shall mean housekeeping, caretaking & catering job in the Central

Govt. / Nationalized Banks / State Govt. and the Central Govt./State Government

Undertakings.

The certificate of completion of above works shall be issued by the officer of the rank not

below Group-A level or equivalent

b) Should have had average annual financial turnover of at least 30% of the estimated cost during the

last three years ending 31st March of the previous financial year (Scanned copy of Certificate

from CA to be uploaded)

2. The intending bidder must read the terms and conditions of bid document carefully. He should only

submit his bid if he considers himself eligible and he is in possession of all the documents required.

3. Information and Instructions for bidders posted on website shall form part of bid document.

4. The bid document consisting of specifications, the schedule of quantities of various types of items to be

executed and the set of terms and conditions of the contract to be complied with and other necessary

documents can be seen and downloaded from website www.assam.bsnl.co.in or https://eprocure.gov.in.free of cost.

5. But the bid can only be submitted after uploading the mandatory scanned documents such as Demand

Draft or Pay order or Banker’s Cheque of any Scheduled Bank towards cost of bid document and EMD

in favour of the Accounts Officer (Cash), BSNL, O/o the General Manager, Kamrup Telecom

Dist., Guwahati.

6. Processing Fee paid in favors of ITI Limited through their e-gateway by credit /debit card, internet

banking facility and other documents as specified.

7. Those contractors not registered on the website mentioned above, are required to get registered

beforehand.

8. The intending bidder must have valid class-III digital signature to submit the bid.

9. On opening date, the contractor can login and see the bid opening process. After opening of bids he will

receive the competitor bid sheets.

10. Contractor can upload documents in the form of JPG format and PDF format.

11. Certificate of Financial Turnover: At the time of submission of bid, contractor may upload Affidavit/

Certificate from CA mentioning Financial Turnover of last 3 years or for the period as specified in the

bid document and further details if required may be asked from the contractor after opening of technical

bids. There is no need to upload entire voluminous balance sheet.

12. Contractor must ensure to quote rate of each item. The column meant for quoting rate in figures appears

in pink colour and the moment rate is entered, it turns sky blue. In addition to this, while selecting any

of the cells a warning appears that if any cell is left blank the same shall be treated as "0".

Therefore, if any cell is left blank and no rate is quoted by the bidder, rate of such item shall be

treated as "0" (ZERO).

13. The Technical bid shall be opened first on due date and time as mentioned above. The time and date of

opening financial bid of contractors qualifying the technical bid shall be communicated to them at a

later date.

14. The department reserves the right to reject any prospective bid without assigning any reason and to

restrict the list of qualified contractors to any number deemed suitable by it, if too many bids are

received satisfying the laid down criterion.

15. List of Documents to be scanned and uploaded within the period of bid submission:

Trade license issued by State Govt. / Other local bodies.

Experience certificate pertaining to last seven years and affidavit as per Annexure-V (Duly

notarized). Declaration regarding deposition of Physical EMD as per Annexure-VI Copy of registration with Labour Enforcement Authority under Labour Law. A copy of valid PAN card

Certificate from CA regarding annual financial turn over. A copy of valid GST Registration document. A copy of valid EPF registration document.

OR

The eligible contractors those who are not having EPF Registration No. may also participate in the tendering

process. No Running Account Bill shall be paid for the work till the applicable labour license, registration

with EPFO, ESIC and BOCW Welfare Board, whatever applicable are submitted by the contractor to the

Engineer – in – Charge.

Self-declaration regarding non-employment of near relatives in BSNL as per Annexure-IV.

Certificate of proprietorship firm/partnership firm in case of proprietorship/partnership, in

case of limited company certificate by all the Directors of the company.

Note: Kindly fill all the formats in the given tender documents and should be uploaded at the

time of the tender submission along with all mandatory documents required by BSNL.

NOTICE INVITING TENDER

1. E-Tenders are invited on behalf of CMD, BSNL for the work “Providing Services for

Housekeeping, Caretaking, Catering etc. for BSNL Inspection Bungalow at Panbazar,

Guwahati for a period of 6 months”.

The work is estimated to cost Rs. 5,53,554.00. This estimated cost however, is given merely as a rough

guide.

The intending bidder must have average annual turnover during the last 3 years, ending 31st March of

the previous financial years of at least 30% of the estimated cost.

The bidders should have satisfactorily completed similar works in the Central Govt. / Nationalized

Banks / State Govt. and the Central Govt./State Government Undertakings as per details below

during the last seven years ending last day of the month previous to the one in which the tenders are

invited.

i) Three similar completed works costing not less than Rs. 2, 21,500/- .

Or

ii) Two similar completed works costing not less than Rs.2, 77,000/- .

Or

iii) One similar completed works costing not less than Rs.4, 42,800/- .

To become eligible for bidding, the bidder shall have to furnish an affidavit (duly notarized) as

under:-

“I/We undertake and confirm that eligible similar works(s) shown as experience has/have not

been got executed through another contractor on back to back basis. Further that, if such a

violation comes to the notice of Department, then I/we shall be debarred for bidding in BSNL in

future forever. Also, if such a violation comes to the notice of BSNL before date of start of work,

the Engineer-in-Charge shall be free to forfeit the entire amount of Earnest Money

Deposit/Performance Guarantee.” (Scanned copy to be uploaded at the time of submission of bid)

Agreement shall be drawn with the successful bidder on as per format in ANNEXURE-II. Bidders shall

quote their rates as per various terms and conditions of the said form which will form part of the

agreement.

1. The bidder shall quote as per the rate schedule given in ANNEXURE-IV.

2. The contract shall be valid for 6 (six) months initially. However, it can be extended on mutual

consent for further period of 6 (six) months or part thereof, on the same terms and conditions,

provided that:

(a) Notice in writing of its intention to extend the contract is to be given by the BSNL to

the Bidder at least 1 month in advance prior to the end of its current validity period.

3. The site for the work is available.

1. The bid document consisting of specifications, the schedule of quantities of various types of items

and the set of terms and conditions of the contract to be complied with and other necessary

documents can be seen on website www.assam.bsnl.co.in or https://eprocure.gov.in in free of cost.

5. After submission of the bid, the contractor can re-submit revised bid any number of times but before

last time and date of submission of bid as notified.

6. While submitting the revised bid, contractor can revise the rate of one or more item(s) any number of

times (he need not re-enter rate of all the items) but before last time and date of submission of bid as

notified.

7. Earnest Money of Rs.11,071/- (Rupees Eleven thousand Seventy one) only in the

Form of Banker’s cheque/ Deposit at Call Receipt of a Scheduled Bank/ Fixed Deposit Receipt of a

Scheduled Bank/ Demand Draft of a Scheduled Bank issued in favour of Accounts Officer (Cash),

BSNL, O/o the General Manager,Kamrup Telecom Dist.,Guwahati, shall be scanned and uploaded

to the e-Tendering website within the period of bid submission and original should be deposited in office

of the Executive Engineer (Civil),BSNL Civil Division, Guwahati. When amount of earnest money is

more than Rs. 5 lakhs, part of the earnest money is acceptable in the form of Bank Guarantee also.

In such case, minimum 50% of earnest money (but not less than Rs. 5 lakhs) or Rs. 25 lakh,

whichever is less will have to deposited in the shape prescribed above. For balance amount of earnest

money, bank guarantee of any scheduled Bank which is to be scanned and uploaded by the intending

bidders.

Intending bidder who wish to participate in the bid has also to make following payments in the

form of Demand Draft/Pay order or Banker`s Cheque of any Scheduled Bank and to be scanned and

uploaded to the e-Tendering website within the period of bid submission:

8. Interested contractor who wish to participate in the bid has also to make following payments within the

period of bid submission:

i) Cost of Bid Document - Rs. 590/- in the form of Demand Draft/Pay order or Banker`s Cheque of

any Scheduled Bank drawn in favor of Accounts Officer (Cash), BSNL, O/o the General

Manager, Kamrup Telecom Dist., Guwahati, and to be scanned and uploaded to the e-

Tendering website.

EMD and Cost of Bid Document shall be placed in single sealed envelope superscripted as

"Earnest Money and Cost of Bid Document "with name of work and due date of opening of the bid

also mentioned thereon.

Copy of work experience and other documents as specified in the press notice shall be scanned

and uploaded to the e-Tendering website within the period of bid submission and certified hard copy of

each document shall be placed in a separate envelop marked as "Technical bid" with name of work

and due date of opening of the technical bid also mentioned thereon.

These two envelopes are to be placed inside an outer envelope, showing Name of Work,

Date of opening of Technical bid, Name of the tenderer submitting the tender

and properly wax sealed shall be submitted to the office of the Executive Engineer (Civil),

BSNL Civil Division, Guwahati after uploading of bid and up-to 03:00 PM on 28.05.2021. The

documents submitted shall be opened at 3.30 PM on the same day. The tenders, which are not submitted in above mentioned manner would be summarily rejected.

Online bid documents submitted by intending bidders shall be opened only of those bidders,

whose Earnest Money Deposit, Cost of Bid Document and other documents placed in the envelope are

found in order.

9. The bid submitted shall become invalid and cost of bid & e-Tender processing fee shall not be

refunded, if:-

i) The bidder is found ineligible.

(ii) The bidder does not upload all the documents as stipulated in the bid document including the

undertaking about deposition of physical EMD of the scanned copy of the EMD uploaded.

iii) If any discrepancy is noticed between the documents as uploaded at the time of submission of bid

and hard copies as submitted physically in the office of tender opening authority.

iv) The bidder does not submit hard copy of Earnest Money, Cost of Bid Document in original and all

other qualifying documents as mentioned in the NIT.

10. The contractor whose bid is accepted will be required to furnish performance guarantee of 10% (Ten

Percent) of the bid amount within 15 days from conveying BSNL’s intention for accepting the bid.

This guarantee shall be in the form of Fixed Deposit Receipts or Guarantee Bonds of any Scheduled

Bank in accordance with the prescribed form with validity of at least 9(nine) months from the date of

issue. In case the contractor fails to deposit the said performance guarantee within the period as

indicated above, including the extended period if any, the Earnest Money deposited by the contractor

shall be forfeited automatically without any notice to the contractor. The earnest money deposited along

with bid shall be returned after receiving the aforesaid performance guarantee.

11. Intending Bidders are advised to inspect and examine the site and its surroundings and satisfy

themselves before submitting their bids as in general shall themselves obtain all necessary information

as to risks, contingencies and other circumstances which may influence or affect their bid. A bidder

shall be deemed to have full knowledge of the site whether he inspects it or not and no extra charge

consequent on any misunderstanding or otherwise shall be allowed. The bidders shall be responsible for

arranging and maintaining at his own cost all materials, tools & plants, water, electricity access,

facilities for workers and all other services required for executing the work unless otherwise

specifically provided for in the contract documents. Submission of a bid by a bidder implies that he has

read this notice and all other contract documents and has made himself aware of the scope and

specifications of the work to be done and of local conditions and other factors having a bearing on the

execution of the work.

12. The competent authority on behalf of the BSNL does not bind itself to accept the lowest or any other

bid and reserves to itself the authority to reject any or all the bids received without assignment of any

reason. All bids in which any of the prescribed condition is not fulfilled or any condition including that

of conditional rebate is put forth by the bidders shall be summarily rejected.

13. Canvassing whether directly or indirectly, in connection with bidders is strictly prohibited and the bids

submitted by the contractors who resort to canvassing will be liable for rejection.

14. The competent authority on behalf of BSNL reserves to himself the right of accepting the whole or any

part of the bid and the bidders shall be bound to perform the same at the rate quoted.

15. The bidder (the Company or firm or any other person) shall not be permitted to tender for works in BSNL in

which his/their near relative (s) (directly recruited or on deputation in BSNL or Department of Telecom or

in the Ministry of Communications) is/are posted in any capacity either Non-Executive or Executive

employee. Near relative (s) for this purpose is/are defined as:

(i) Member of Hindu Undivided family (HUF).

(ii) They are Husband and Wife.

(iii) The one is related to other in the manner as father, mother, son(s) & Son’s

wife (daughter-in-law), Daughter(s), Daughter’s husband (son-in-law),

brother(s), brother’s wife(sister-in-law), sister(s), sister’s husband (brother-in-law).

The contractor shall also intimate the names of persons who are working with him in any capacity or

are subsequently employed by him and who are near relative to any Executive /Non-Executive employee in

the BSNL or Department of Telecom or in the Ministry of Communications.

All the intending bidders will have to give a certificate that none of his/her such near relative (s) as

defined above is/are working in the concerned BSNL where he is going to apply for tender/work. The

format of the certificate is as under:-

“I, S/o Sri Resident of

hereby certify that none of my relative (s) as defined above is/are

employed in BSNL. In case at any stage, it is found that the information given by me is

false/incorrect, BSNL shall have the absolute right to take any action as deemed fit without any

prior intimation to me”.

The certificate in case of Proprietorship Firm shall be given by the proprietor; for Partnership Firm

certificate shall be given by all partners and in case of Limited Company, by all Directors of the company.

However, Government of India/Financial Institutions nominees and independent non-official part-time

Directors appointed by Govt. of India or the Governor of the State are excluded from the purview of

submission of this certificate while submitting tenders by Limited Companies.

Any breach of these conditions by the bidder (Company or Firm or any other person), the tender/work

will be cancelled and Earnest Money/ Security Deposit will be forfeited at any stage, whenever it is so

noticed. BSNL will not pay any damages to the company or Firm or the concerned person but damages

arising on account of such cancellation to be borne by the contractor. The Company or Firm or the person

will also be debarred for further participation in the tender in BSNL.

16. No Gazetted Officer employed in Engineering or Administrative duties in Department of the Government of

India is allowed to work as a contractor for a period of one year after his retirement from Government

service, without the prior permission of the Government of India in writing. This contract is liable to be

cancelled if either the contractor or any of his employees is found any time to be such a person who had not

obtained the permission of the Government of India as aforesaid before submission of the bid or

engagement in the contractor's service.

17. The bid for the works shall remain open for acceptance for a period of 60 (Sixty) days from the date of

opening of technical bids. If any bidder withdraws his bid before the said period or issue of letter of

acceptance, whichever is earlier, or makes any modifications in the terms and conditions of the bid which

are not acceptable to the department, then the BSNL shall, without prejudice to any other right or remedy,

be at liberty to forfeit 50% of the said earnest money as aforesaid. Further the bidders shall not be allowed

to participate in the rebidding process of the work.

18. This notice inviting Bid shall form a part of the contract document. The successful bidder, on acceptance of

his bid by the Accepting Authority shall within 15 days from the stipulated date of start of the work, sign

the contract consisting of:-

(a) The Notice Inviting Bid, all the documents including additional conditions, specifications if any,

forming part of the bid as uploaded at the time of invitation of bid and the rates quoted online at the

time of submission of bid and acceptance thereof together with any correspondence leading thereto. (b) Format in ANNEXURE-III as applicable.

19. Payment to the contractors shall be made through e-payment system like ECS & NEFT as detailed below: -

(a) In cities/areas where ECS/NEFT facility is provided by Banks, the bidder must have Account in

such ECS/NEFT facility providing Banks and that Bank A/c No shall be quoted in the tender by the

bidder.

(b) The cost of ECS/NEFT will be borne by BSNL in all cases where the payment to contractor is

made in a local Branch i.e. bidder is having bank account in the same place from where the

payment is made by BSNL unit.

(c) In case payment is made to outside branch i.e. bidder is having bank account not in the same

place from where the payment is made by BSNL unit, the crediting cost will have to be borne

by the bidder only.

(d) The payments to contractors will compulsorily be made through ECS/NEFT in respect of all

contracts where the value of the contract is more than Rs. 10 lakhs.

(e) Clarification or amendments if any, shall be uploaded on BSNL website

www.assam.bsnl.co.in or https://eprocure.gov.in.

20. The clarification or amendments shall also form the part of the agreement.

21. For e-Tendering of this tender BSNL has engaged e-portal maintained by M/S ITI, New Delhi. The

agency intending to participate in tendering process shall have to register with ITI, New Delhi.

22. If any terms and conditions under General Rules and Directions are in contravention to terms and

conditions as above, the terms and conditions as above shall prevail.

GENERAL INSTRUCTIONS TO BIDDERS

a) The scope of work or stores to be tendered are available in the complete bid documents which

can be viewed/downloaded from e-tender portal of BSNL www.assam.bsnl.co.in or https://eprocure.gov.in.

b) Both Technical Bid and Financial Bid will be submitted concurrently duly digitally signed in

the website https://eprocure.gov.in.

c) No claim shall be entertained on account of disruptions of internet service being used by

bidders. Bidders are advised to upload their bids well in advance to avoid last minute technical

snags.

d) All Corrigendum/Amendment/Corrections, if any, will be published on the website

https://eprocure.gov.in. and www.assam.bsnl.co.

e) All documents/papers uploaded submitted by the bidder must be legible.

f) It is mandatory for all the applicants to have Class-III Digital Signature Certificate (in the

name of person who will sign the bid document) from any of the licensed certifying Agency.

g) To participate in the e-tendering submission, it is mandatory for the applicants to get registered

their firm/joint venture with the e-tendering portal of BSNL https://eprocure.gov.in.to have user

ID & Password from https://eprocure.gov.in.

h) To participate in e-bid, bidders shall be charged e-tendering processing fee through E-Payment

only.

i) Page No. shall be given on each and every paper/documents serially uploaded in the technical

bid.

j) Bidders shall ensure to quote rate of each item. If any cell is left blank and no rate is quoted by

the bidders, the rate of such item shall be treated as “0” (Zero).

SECTION-I

INSTRUCTIONS TO BIDDERS

1. Services to be Provided:

To provide housekeeping, care taking and catering services in the BSNL IQ at Panbazar as

per requirement of BSNL.

2. Cost of Bidding:

The agency (bidder) shall bear all costs associated with the preparation and submission of the

bid. In no case, BSNL shall be responsible for these costs regardless of the conduct or outcome

of the bidding process.

3. Bid Form & Period of Bid Validity:

a) The agency (bidder) shall complete the Bid Form and the appropriate rate schedule

(ANNEXURE V.) furnished in the bid documents.

b) Bid shall remain valid for 60(Sixty) days from the date of opening of technical bid. The

validity offered by bidder for a shorter period shall be rejected by the competent authority, as

non-responsive.

c) In exceptional circumstances, Executive Engineer (Civil)), BSNL Civil Division, Guwahati

may request the bidder’s consent for an extension to the period of bid validity, the request and

responses thereto shall be made in writing. The bid security provided under Para-5 shall also be

suitably extended. A bidder may refuse the request without forfeiting his bid security, a bidder

granting the request will not be permitted to modify the bid.

4. Bid Price:-

The agency (bidder) shall quote as per the rate schedule given in ANNEXURE V.

5. Bid Security (EMD):

Earnest Money amounting to Rs. 11071/-, in the form of Demand Draft or Pay Order or Banker‘s

Cheque (drawn in favour of Accounts Officer (Cash), BSNL, O/o the General Manager,Kamrup

Telecom Dist., Guwahati shall be scanned and uploaded to the e-Tendering website within the

period of bid submission.

The successful agencies, EMD will be released upon the agencies acceptance of the award of

contract satisfactorily and furnishing the performance security.

The Earnest Money (Bid Security) may be forfeited.

i. 50% if agency withdraws the bid during the period of bid validity specified in the bid form or

makes any modifications in the terms and conditions of the tender which are not acceptable to

BSNL.

ii. 100 % if the successful bidder fails.

a) To sign contract in accordance with Clause-10.

b) To furnish performance security in accordance with Clause-11.

6. Submission of hard copy of Technical Bid :-

Hard copy of Technical Bid for each tender should be submitted in two wax sealed

envelopes placed inside a main envelope. These envelopes should contain the following:

First “Cost of Bid Document "and “Earnest

Money” with name of work and due date of opening of the technical bid

Containing Cost of Bid Document and

Earnest Money

Second “Technical bid” with name of work and

due date of opening of the technical bid.

except the Earnest Money & Cost of Bid Document.

These two envelopes are to be placed inside an outer envelope mentioned above showing

Name of Work, Date of opening of technical bid, addressed to the Executive

Engineer(C), BSNL Civil Division, Guwahati, Name of the bidder submitting the

tender and properly wax sealed. The tenders, which are not submitted in above mentioned

manner would be summarily rejected.

7. Bid Opening:

BSNL shall open the technical bids in presence of the bidders or their authorized representative

who wish to be present at the time of opening of bids on due date. Authorization letter only in

shape/capacity of Power of Attorney to this effect shall be submitted by the bidder before

they are allowed to participate in bid opening.

First “Cost of bid document” "and “Earnest Money” envelope will be opened. If Cost of Bid

Document and Earnest Money is found not submitted, then the bid will be rejected outright &

other sealed envelopes will be returned unopened to the bidder.

If Cost of bid document and Earnest Money complied, then the “Technical Bid “envelope will be

opened.

The “Financial Bid” will be opened on 29.05.2021 at 11.00AM.

8. Evaluation:

BSNL shall evaluate the bids to determine whether they are complete, whether any computational errors have

been made, whether documents have been properly signed and whether bids are in order.

A substantially responsive bid is one, which conforms to all the terms and conditions of bid documents

without material deviation. A bid determined as substantially non responsive will be rejected by BSNL.

9 Award of Contract:

BSNL shall offer letter of intent to the L1 bidder (as per L1 rate) whose offer has been found technically,

commercially and financially acceptable. The bidder shall express his acceptance along with

proportionate performance security in conformity with Clause 13 of the bid documents within 15 days

of issue of letter of intent and execute one agreement in the prescribed format as per in Annexure-III.

The work against the tender is for six months requirement and the terms & conditions of this tender

shall be operative for a period of six months from the date of signing of agreement between the

BSNL and the contractor with a provision for extension of further six months or part there of as

per same Terms & Conditions on mutually agreed basis.

BSNL reserves the right to accept or reject any bid and to annul the bidding process and reject all bids, at any

time prior to award of contract without assigning any reason what-so-ever and without thereby incurring

any liability to the affected bidder or bidders on the grounds for BSNL’s action.

10 Signing of Contract:

Signing of Agreement as per format in ANNEXURE-II shall constitute the award of contract on the bidder.

Upon the successful bidder furnishing the performance security, the BSNL shall discharge its bid security

pursuant to Clause-5.

11 Performance Security (Performance Bank Guarantee):-

The successful bidder shall be required to deposit an amount equal to 10% of the tendered value

within 15 days of conveying BSNL’s intention for accepting the of bid as Performance security

with validity of at least 9 (nine) months from the date of issue.

Performance security shall be submitted in the form Fixed Deposit Receipts or Guarantee Bonds of

any Scheduled Bank as per the Performa provided in ANNEXURE-I of the bid document.

Performance security will be discharged after the completion of service provider’s performance

obligations under the contract.

If the Bidder fails or neglects any of his obligations under the contract, it shall be lawful for BSNL to

forfeit either whole or any part of performance security furnished by the bidder as

compensation for any loss resulting from such failure.

12. Payment Terms:

The payment will be made against the quarterly bills duly certified by the concerned

JTO(C)/SDE (Civil) under BSNL Civil Division, Guwahati. Further, the contractor should

abide by rules on payment of any statuary dues amended form time to time. Also, the bidder

should submit the photocopy of wages register duly certified by concerned officers of BSNL.

The bill will be paid through ECS/NEFT.

13. Period/Renewal of Contract:

(a) The contract shall be for a period of six months from the date of commencement.

However, it can be extended for further period of six months or part thereof on mutual

consent on the same term and conditions, provided that:

i) Notice in writing of its intention to extend the contract is to be given by the BSNL to the

Bidder at least 1 month in advance prior to the end of its current validity period.

14. Termination of Contract:

The agreement can be terminated by either side in advance upon in writing except in the event

of failure to provide service on the part of the bidder in which case the agreement will be terminated

without giving any advance notice. The decision of BSNL as to what constitutes failure to provide

satisfactory services shall be final and binding on the bidder and shall not be questioned by him in any

manner and it shall be lawful for BSNL to forfeit either whole or any part of performance security

furnished by the bidder.

14. Settlement of Disputes & Arbitration

Except where otherwise provided in the contract all questions and disputes relating to quality of

workmanship or materials used on the work or as to any other question, claim, right, matter or thing

whatsoever in any way arising out of or relating to the contract, estimates, instructions orders or these

conditions or otherwise concerning the works or the execution or failure to execute the same whether

arising during the progress of the work or after the cancellation, termination, completion or

abandonment thereof shall be dealt with as mentioned hereinafter:-

(i) If the contractor considers that any work demanded of him to be outside the requirements of the

contract, disputes any record or decision given in writing by the Engineer-in-Charge on any

matter in connection with or arising out of the contract or carrying out of the work, to be

unacceptable, he shall promptly within 15 days request the Superintending Engineer in writing

for written instruction or decision. Thereupon, the Superintending Engineer shall give his

written instructions or decision within a period of one month from the receipt of contractor’s

letter.

(ii) If the Superintending Engineer fails to give his instructions or decision in writing within the

aforesaid period or if the contractor is dissatisfied with the instructions or decision of the

Superintending Engineer, the contractor within a period of 30 days from receipt of the decision,

give a notice, in the form prescribed by the BSNL as per standard proforma prescribed in

CPWD Works Manual to the Chief Engineer, Bharat Sanchar Nigam Limited in charge of the

work or if there be no Chief Engineer, to the Administrative Head of the Bharat Sanchar Nigam

Limited for appointment of an arbitrator to adjudicate the notified claims failing which the said

decision shall be final binding & conclusive and not referable to adjudication by the arbitrator.

(iii) Except where the decisions have become final, binding and conclusive in terms of Sub para (ii)

above, disputes or differences shall be referred for adjudication through the arbitration by the

Sole Arbitrator appointed by the Chief Engineer, Bharat Sanchar Nigam Limited in-charge of

the work or if there be no Chief Engineer, the Administrative Head of the Bharat Sanchar

Nigam Limited. It will also be no objection to any such appointment that the Arbitrator so

appointed is a BSNL Employee and that he had to deal with the matters to which the Contract

relates in the course of his duties as BSNL Employee. If the arbitrator so appointed is unable or

unwilling to act or resigns his appointment or vacates his office due to any reason whatsoever

another sole arbitrator shall be appointed in the manner aforesaid by the said Chief Engineer.

Such person shall be entitled to proceed with the reference from the stage at which it was left

by his predecessor.

It is a term of this contract that the party invoking arbitration shall give a list of disputes with

amounts claimed in respect of each dispute along-with the notice for appointment of arbitrator and

giving reference to the rejection by the Superintending Engineer of the appeal.

It is also a term of this contract that no person other than a person appointed by such Chief Engineer,

Bharat Sanchar Nigam Limited or the administrative head of the Bharat Sanchar Nigam Limited as

aforesaid should act as arbitrator and if for any reasons that is not possible, the matter shall not be

referred to arbitration at all.

It is also a term of this contract that if contractor does not make any demand for appointment of

arbitrator in respect of any claims in writing as aforesaid within 120 days of receiving the intimation

from the Engineer-in-charge that the final bill is ready for payment, the claim of the contractor shall

be deemed to have been waived and absolutely barred and BSNL shall be discharged and released of

all liabilities under the contract in respect of these claims.

The arbitration shall be conducted in accordance with the provisions of the Arbitration &

Conciliation Act 1996 or any statutory modification or re-enactment thereof and the rules made there

under and for the time being in force shall apply to the arbitration proceeding under this clause

It is also a term of this contract that the arbitrator shall adjudicate on only such disputes as are

referred to him by the appointing authority and give separate award against each disputes and claim

referred to him. The arbitrator shall give reasons for the award for each dispute referred to him.

It is also a term of the contract that if any fees are payable to the arbitrator these shall be paid equally

by both the parties.

It is also a term of the contract that the arbitrator shall be deemed to have entered on the reference on

the date he issues notice to both the parties calling them to submit their statement of claims and

counter statement of claims. The venue of the arbitration shall be such place as may be fixed by the

arbitrator in his sole discretion. The fees, if any, of the arbitrator shall, if required to be paid before

the award is made and published, be paid half and half by each of the parties. The cost of the

reference and of the award (including the fees, if any, of the arbitrator) shall be in the discretion of

the arbitrator who may direct to any, by whom and in what manner, such costs or any part thereof,

shall be paid and fix or settle the amount of costs to be so paid.

16. Force Majeure

If at any time, during the continuance of this contract, the performance in whole or in part by

either party of any obligation under this contract shall be prevented or delayed by reason of any war,

or hostility, acts of the public enemy, civil commotion, sabotage, fires, floods and other natural

calamities, explosions, epidemics, quarantine restrictions, strikes, lockouts or act of GOD (herein after

referred to as events), provided notice of happenings of any such eventuality is given by either party to

the other within 7 days from the date of occurrence thereof and such event was beyond the reasonable

control and not due to fault of negligence of the party and defaults, neither party shall by reasons of

such event be entitled to terminate this contract, nor shall either party have any such claim for

damages against the other in respect of such non performance or delaying performance, and works

under the contract shall be resumed as soon as practicable after such event may come to end or cease

to exist, and the decision of the BSNL, as to whether the works have been so resumed or not shall be

final and conclusive. Provided further that if the performance in whole or part of any obligation under

this contract is prevented or delayed by reason of any such event for a period exceeding 60 days, either

party may, at this opinion terminate the contract.

17. Set-Off

Any sum of money due and payable to the bidder including to the performance security deposit

if any refundable to him under this contract, it may be appropriated by the BSNL and setoff the same

against any claim of the BSNL for payment of a sum of money arising out of this contract or under

any other contract made by the bidder with the BSNL.

SECTION-II

SPECIAL CONDITIONS ON CONTRACT

1. The following special conditions shall be read in conjunction with general conditions of contract

and amendments /correction there to. If there are any provisions in this conditions which are at

variance with the provision in the above mentioned documents, the provisions in the special

condition shall take precedence.

2. BSNL reserves the right to terminate the agreement at any point of time in case of unsatisfactory

performance, in which case the Security Deposit shall stands forfeited. The decision of the

Executive Engineer (Civil), BSNL, Civil Division, Guwahati shall be final and binding in this

regard.

3. BSNL shall not reimburse any charges or compensate for the loss of the material or the injuries

suffered by the labours engaged by the approved tenderer/ bidder for services during the period of

agreement.

4. The tenderer/ bidder shall be responsible for the loss of any items and compensate in full the loss

sustained by BSNL on account of damage/ loss of material during discharge of services.

5. The labourers shall wear distinguishable uniform.

6. The successful bidder shall provide within ten days of issue of work order the list and the details

of labourers along with reserve personnel who are likely to be engaged. The list shall contain

individual personal details like Name, Address, Educational qualification, Nationality, Age,

passport size photograph, EPF number, Bank Account number, etc. The information furnished

shall be supported by documentary evidence, if considered eligible for the tender.

7. All the personnel shall maintain official decorum and abide by rules & regulation of BSNL.

8. The responsibility for the safety and security of the labourers engaged by the tenderer/ bidder

shall be entirely of the tenderer/ bidder only. 9. BSNL shall in no case be liable or responsible for payment of compensation under any Act in respect

of the labourers. The Tenderer/ bidder shall comply with all statutory obligations under the Central

Govt. and State Govt. Acts, from time to time. The Tenderer/ bidder shall be solely responsible for the

death/ accidents/ injuries to its labours in the course of their duties and shall adhere to all regulations

in respect thereof, such as reporting to proper authorities about the accidents and treatment of the

injured, etc. BSNL shall in no case be liable or responsible for payment of any damage or

compensation to such person(s) or to third parties. Every labour employed by the tenderer/ bidder

shall be deemed to be the tenderers worker and no such worker shall have any claim or right

whatsoever against BSNL.

10. The labourers employed shall be bound to observe all the instructions issued by BSNL concerning

general discipline and proper behavior.

11. The tenderer/ bidder shall submit bills on monthly basis as per agreed rates. The tenderer shall

deploy only those persons whose antecedents have been verified by the Police. Proper identity

cards are to be issued by tenderer/ bidder to their labourers.

12. The tenderer/ bidder shall not be permitted to transfer its rights and obligations under this

agreement to any other person or organization. 13. The tenderer/ bidder is bound by the details and documents furnished by it to BSNL. In case, any of

the details or documents furnished by it is found to be false at any stage, BSNL shall have the right to

proceed against the tenderer/ bidder under the process of law. The tenderer/ bidder shall not impose

any other conditions during the period of agreement.

14. In case of breach of any of the terms of agreement by the tenderer/ bidder, the Security Deposit is

liable to be forfeited. Any sum of money due or payable to the tenderer/ bidder including the security

deposit refundable to it under the agreement can be appropriated by the BSNL. 15. Any other provisions as advised by the Corporate Office, BSNL, New Delhi shall be incorporated in

the agreement. The same shall also be binding on the tenderer/ bidder.

16. The Tenderer shall be responsible for the compliance of statutory provisions of various enactments

that are applicable to them.

17. The tenderer/ bidder making payment to workers by cheque or by crediting the wages in their bank

account should do after obtaining written authorization of the work men.

18. The tenderer/ bidder shall ensure that the required returns are prepared and submitted to the respective

authorities. The personnel deployed by the tenderer/ bidder must carry their photo identity cards duly

certified/ issued by the agency/ bidder.

19. Canvassing in any form is strictly prohibited and tenders submitted by tenderers who resort to

canvassing shall be liable for rejection.

20. The contractor shall engage only eligible labourers who shall be below the age of 60 years and above

18 years.

21. The Tender is subject to the discharge of the duties, responsibilities and obligations imposed as such

under the following acts and is the exclusive responsibility after the acceptance of the tender by the

Security Agency:-

(i) The Minimum Wages Act, 1948 with rules and orders and notifications issued there under

from time to time. The contractor shall ensure that the payment is made in accordance

with the notification for the minimum wages issued by Labour Department from time

to time and also abide by provision of Employees Provident Fund and ESI

contributions.

ii) Contract Labour (Regulations & Abolition) Act 1970 with rules, orders and notifications made

there under from time to time.

iii) Industrial Dispute Act, 1947 with Rules Orders, & Notifications issued there under from time to

time.

iv) The Workmen Compensations Act, 1923 with rules, orders & Notifications issued there under from

time to time

v) Shops and Establishments Act, if applicable with Rules, Orders & Notifications issued there under

from time to time.

vi) Payment of Gratuity Act, 1972 with Rules, Orders & Notifications Act if applicable issued there

under from time to time.

vi) Payment of Wages Act 1936 with Rules, Orders & Notifications Act if applicable issued there

under from time to time.

(viii) Employees Provident Fund & Miscellaneous provisions Act, 1952 with Rules, Orders &

Notifications Act applicable issued there under from time to time.

22. The remittance of EPF recovery to EPF Authority from the wages on monthly basis, with

documentary evidence is to be submitted.

23. In the event of theft / pilferage of the material or property in the premises, the contractor shall co- operate and actively assist BSNL. If BSNL decides to report such incidents to police / Court, the

contractor should follow up the case till the case is closed or discharged from Court of Law.

24. The payment to the workers shall be made in the presence of BSNL authorized representative.

25. Penalty :

i) In case of any breach in terms and conditions of the Agreement by the Contractor or in

case of loss suffered by BSNL due to failure of service on the part of the Contractor,

BSNL may en-cash any or all Performance Bank Guarantee (s) available with it

without prejudice to its rights of any other remedy, BSNL may also debar the

Contractor for future dealings with BSNL for any other contract.

ii) Complaints regarding quality of service rendered by the Contractor & /or failure in

Service by the Contractor or noticed during regular inspections would be brought to the

notice of the Executive Engineer (Civil) and penalty will be levied per day basis. The

Contractor shall pay the penalty levied preferably by deduction from the Contractor’s

monthly bill amount in case that is not possible, by additional payment by the

Contractor within one (1) week of conveying the decision of the Competent Authority.

If any room/any part of the building under contractual obligation found dirty/not

cleaned properly the penalty of Rs. 100/- per day would be levied from the Contractor

iii) In case of non-cleaning of the whole building for 1(one) day or more because of any

issues attributed by the contractor, a penalty will be levied preferably by deduction

from the contractor’s monthly bill proportionately and in addition Rs. 500/-(Rupees

Five hundred) only will be deducted per day basis.

iv) In case the absence continues for more than 1(one) day, any other party will be engaged

for cleaning works of the building and the amount paid to the party will be deducted

from the contractor’s bill in addition to clause (iii) above.

26. Strike by labourers on account of any dispute between the contractor and their labourers

regarding wages or other reasons shall not be deemed to be a reason beyond the contractor’s

control and the agency shall be responsible for any loss or damage which BSNL may suffer on

this account.

27. The Successful Tenderer / Bidder shall provide required uniforms and other essential

items/allowances to all the labourers being employed on this contract.

SECTION-III

SCOPE OF WORK AND RESPONSIBILITIES

(A) General cleanliness / Housekeeping.

(1) Sweeping and cleaning of entire I.Q. building (12 suits with bath rooms, kitchen, dinning, lounge,

common toilet at F/F, Multipurpose Hall Ladies & Gents toilet, lobby in each floor, verandah, stair

case, driver’s room with bathroom, Multipurpose hall, etc.) and compound except transit quarters on

day to day basis. The contractors are advised to visit the IQ building and get apprised of the facilities

available in the IQ before submitting the tender. Once the contractor has submitted the tender, he is

supposed to have visited the IQ and have seen the nature of works.

(2) Applying wet moping to floor of entire IB buildings on day to day basis.

(3) Cleaning of toilets, wash basins/counter basins, urinals, kitchen, window panes, doors, doormats, all the

furniture etc. of entire I.B. buildings on day to day basis.

(4) Disposal of waste materials and unused food items from the kitchen and living rooms of entire I.B.

building on day to day basis to the nearest municipal dump or to a place decided by the Engineer- in-

charge. Temporary dumping in the IB compound is strictly prohibited.

(5) Cleaning of ceiling and walls etc. by using vacuum cleaner / conventional method at least once in a

month or on actual requirement of cleaning whichever is earlier.

(6) Cleaning of electric appliances e.g. ceiling fan, A.C., decorative lamps, tube lights, etc. once in a month

or on actual requirement basis, whichever is earlier.

(7) Wet mopping of floors should be done only after cleaning the rooms & floors properly by using phenyl

as well as mixed with mild deodorants.

(8) Toilets, wash basins and urinals should also have to be cleaned by using chemicals of approved quality.

(9) Providing room fresheners and electric operated mosquito repellents/HIT (Both Red & Black) etc. in

the rooms and lounges on the basis of actual requirements wherever required/demanded by guests.

(10) The cleaning materials like detergent, harpic, deodorant, wiping clothes, brooms, cutters etc. required

for up keeping of entire I.B. building shall be provided by the contractor at his own cost.

Any item which is not included but is small in nature shall be cleaned properly without any extra

payment. The work of housekeeping and cleaning is a complete job for the entire IB building and its campus,

thereby making overall campus and building neat & clean. The decision of the Engineer-in-charge shall be final

in all regards.

(B) Care taking:

(1) Arrangement for round the clock reception for the guests arriving, organizing allocation of their rooms

as per allotment done by the competent authority and attendance to the guests staying through

supervisor only.

(2) Keeping the competent authority updated daily on guests movement, keeping the record of guests

movement and usage of the rooms.

(3) Attending telephone calls.

(4) To maintain all records of incoming and outgoing visitors, guests and officer/officials to the IB.

(5) Change of bed sheets, bed covers, pillow covers, towels etc. on daily basis. The contractor has to

provide clean bed sheets, pillow covers, towels etc. He has to clean the soiled bed sheets, bed covers,

pillow covers, towels etc. properly. He shall ensure to maintain /keep sufficient Nos. of washed /clean

material in the stock to facilitate guests/visitors with fresh items every day.

(6) Removing the dirty curtain and re-fixing the same after getting cleaned for all the twelve suits & lounge

at least once in a quarter or on actual requirement basis. However, if required due to any reason, the

new curtain shall be provided by BSNL to tenderer for fixing/installations without any extra cost.

(7) Collecting payment at approved and applicable rates from the Guests for both food and lodging and

issue necessary receipt to the guests. Room rent including all ancillary charges collected by the

contractor is to be deposited to the competent authority on monthly basis by 10th of next month along

with statement of receipts with name, address, etc. of the guests.

(8) One staff of the contractor (Supervisor) should be in-charge of the IB premises, who can handle overall

supervision works of housekeeping, caretaking, catering, etc. No other person shall be authorized for

this duty. Contractor will arrange to depute someone of equal status for this duty in the absence of

regular supervisor.

(9) Contractor should provide laundry facility to guests of Inspection Bungalows at actual basis.

(10) Providing 1 No. of daily newspaper in the lounge preferably one local English daily or one local

Assamese daily which is to be decided by the competent authority. Cost in this regard is to be borne by

the contractor. However, additional daily newspapers, periodical journals, etc. are also to be provided to

the guests in rooms on demand for which payment is to be made by the guests.

(11) Lodging complaints of any malfunction of electrical and other appliances, blockage of toilet and

sewage lines, water problem etc. to the designated officer of BSNL and extending all cooperation to

repairing any time of the day and night. Name of officer shall be intimated at the time of acceptance of

tender.

(12) Contractor should provide good quality cable TV service to all the suites, lounge, etc. He shall bear all

the expenditure related to Cable TV service. He should ensure that cable TV channel reception on the

TV is up to the mark and in case of any problem, get the same corrected from the Cable TV

operator/distributor at his cost.

(13) Regular checking of operation of all appliances provided in the rooms shall be done by Supervisor and get rectified in case of any problem.

(14) Checking of inventory items provided in a room on vacation of room by the guest every time. Any loss

or theft shall be compensated by the contractor at his cost.

(15) Providing good quality toilet soap in all the suites, wash basin attached with dining room and in toilet

attached with lounge on daily basis.

(16) Providing good quality bath room sleepers (one pair in each room) for the guests.

(17) Providing good quality blankets for the guests. Blankets shall be neat and clean and if required shall be

dry cleaned but in no case of dirty/smelly blanket shall be provided to the guests.

(18) Providing batteries of TV remote, clocks and other consumable items wherever required.

(19) Providing paper napkins of good quality on the dining table at the time of meals/breakfast in sufficient

Nos.

(20) The contractor has to provide such articles which are not mentioned above to the guests on demand

which shall be paid by the guests.

(C) Catering:

(1) The contractor has to arrange for preparation and serving of tea, coffee, snacks, breakfast, lunch, dinner

etc. with approved quality of ingredients, in sufficient quantities and standard preparation at approved

rates of BSNL ( as detailed in Annexure-I) as per request of the guests staying in IB. The contractor has

to extend all these facilities even if only one person is staying in IB. Food quality should be up to

satisfaction of the Engineer-in-charge.

(2) The contractor shall have to make all the necessary arrangement of LPG gas (Industrial) as and when

required at his own cost. Use of no other fuel / power is permitted.

(3) The contractor shall have to procure all necessary food stuff and cooking ingredients of approved

quality and of reputed brands from the market. All cooking shall have to be done in kitchen only and it

has to be done in a hygienic condition.

(4) The contractor shall have to provide for all necessary materials for cleaning of kitchen and dining space

daily and after every operation. The premises shall always remain clean and tidy and he shall provide

man power/materials for the same.

(5) The contractor shall not extend the facilities provided by the BSNL to any other organization / person

with respect to any service.

(6) The contractor has to arrange the service for small parties on mutually agreed rates for BSNL staff only.

(D) Supervision by BSNL

At random intervals but at least once in a week, officer appointed by Engineer-in-charge shall inspect

all the works performed by the contractor and also study feedback from the guests staying at I.B. and

make necessary entries in the register kept in this regard. At random intervals, the designated officer

shall check the food qualities provided to the guest by the contractor. During all inspections/scrutiny,

the contractor shall extend all sorts of cooperation to the BSNL staff.

(E) Staff of the contractor

(1) The contractor has to engage a minimum staff of

(a) Head Cook: - 01 (one) No.

(b) Asst. Cook: - 01 (one) No.

(c) Caretaker/Waiter/House keeper: - 03 (Three) Nos.

(d) Sweeper: - 1 (One) No.

(2) The contractor may provide at his / her own arrangement, suitable uniforms and ID card with name tag

displaying the name of worker/ designation etc. to all the staff hired by him for the performance of the

contract and shall ensure that these badges / uniforms are always used by such staff while they are at the

IQ premises.

(3) The contractor shall comply with the contract labour regulation & Abolition Act 1970 and rules framed

there under to the extent that the said Act and the rules are applicable in the State of Assam to the

persons hired by the contractor including compliance regarding payment of wages.

(4) The contractor shall be liable for all acts or omission on the part of the persons hired by him/ her and

shall compensate BSNL for all damages /loss caused by such acts or omission or negligence.

(5) No person engaged by the contractor should have any past criminal record. The contractor shall be

solely responsible for the person hired by him/her and shall indemnify BSNL from any liability of

further employment for any such person with the BSNL.

(6) The contractor shall settle all disputes between him/ her and the workers engaged by him/ her without

in way involving BSNL as a party to the dispute.

(7) Persons working on behalf of the contractor must be clean and well dressed. Their behavior and attitude

shall be courteous. They must be able to understand Hindi - the official language in addition to local

language. They must not demand any ransom or pecuniary benefits from any guest visiting / staying in

IQ premises. If, any such complaint against any of the staff of the contractor received by the Engineer-

in-charge, he/she shall have to be replaced with a suitable substitute immediately by the contractor.

(F) Facilities available at I.B.

(1) All fittings/fixtures, furniture, TVs, lights and fans in rooms, dinning, lounges and corridors.

(2) All existing cooking utensils, LPG stove, Gas Cylinders, Crockery, Glass wares etc. However,

extra/additional utensils if required shall have to be provided by the BSNL on demand.

(3) All existing pillows, bed covers, mattresses, curtains.

(4) Electric supply, water supply, Aquaguard, Refrigerator, Air conditioners etc.

(5) Telephone facilities in rooms & lounge as deemed fit.

(6) Payment of electricity bill and Municipal taxes by the BSNL.

(7) One separate room with toilet facility for use by the contractor and his working staff.

The facilities provided by the BSNL shall be handed over to the agency and after expiry of contract, the

same shall be taken over. Any loss or damage shall be suitably compensated by the contractor.

SECTION IV

BID FORM

Dear Sir,

1. Having read the conditions of contract and services to be provided for housekeeping,

caretaking and catering job, the terms and conditions of which is hereby duly acknowledged, I/we the

undersigned, offer to provide housekeeping, caretaking and catering service in conformity with the

conditions of contract and specification for the sum shown in the schedule of prices attached herewith

and made part of this bid.

2. We undertake to enter into agreement within 2 (two) weeks of being called upon to do so and

bear all expenses including charges for stamps etc and agreement will be binding on us.

3. If our bid is accepted, we will obtain the guarantees of a Schedule Bank for a sum not

exceeding 10 % of the tendered value subject to maximum limit 5(five) lakhs for the due performance

of the contract.

4. We agree to abide by this bid for a period of 180 days from the date fixed for bid opening and

it shall remain binding upon us and may be accepted at any time before the expiration of that period.

5. Until an agreement is signed and executed, this Bid together with your written acceptance

This Agreement is made on day of

2019 between the Chief General Manager Telecom, Assam Telecom Circle, Guwahati on behalf of

M/s Bharat Sanchar Nigam Limited (A Govt. of India Enterprise), a Company incorporated under the

Companies Act, 1956 having its Corporate Office at Sanchar Bhawan, Janpath New Delhi-110001

(hereinafter referred to as “BSNL” which expression shall be deemed to include its successors and

assigns wherever the context so admits or requires), through its duly authorized representative Mr.

which expression shall include the servants, heirs, executors and administrators wherever the context

WHEREAS

A) The BSNL is desirous of managing through a Contractor the Housekeeping, caretaking and

catering Services of BSNL I B at Panbazar, Guwahati-01.

B) The CONTRACTOR has been found suitable for the job at rates finalized through a Tendering

process and is agreeable the terms and conditions hereinafter appearing.

C) The CONTRACTOR has given an unconditional Bank Guarantee as stipulated in the Tender

Document Set for the due fulfillment of the said Agreement.

It is now hereby agreed by and between the parties hereto as follows :-

1. Period of Contract:-

The period of Contract shall be initially for 6(six) months starting from the date of signing of

the Agreement.

The period of Contract may be extended for six months or part thereof by BSNL at the same

rates and terms & conditions subject to mutual consent. In that case the period of validity of the

Bank Guarantee will have to be suitably extended to cover the period of Contract plus three

months.

2. Validity period of Rates quoted & rates finalized in the Tender:-

The rate(s) finalized in the Tender shall remain valid for the entire period of contract from the

date of signing of the Agreement.

3. Payment Schedule :

i) All payments shall be made by Cheque/NEFT/RGTS.

ii) For processing payment for a certain month, pre-receipted bill in duplicate is to be

submitted to the respective unit Civil Division, Guwahati.

iii) Income Tax at the rates applicable will be deducted at source from all the running

account bills and final bills. For all such deductions tax the Accounts Officer concerned

would issue deduction certificate at the end of the Financial Year.

iv) GST as applicable.

4. Suspension, Revocation or Termination of the Contract:

i) BSNL reserves the right to suspend the operation of the contract at any time, on the

directions of the competent authority.

a) Provided that BSNL shall not be responsible for any damage or loss caused or

arisen out of aforesaid action.

b) Provided further that the suspension of the Contract shall not be a cause or

ground for extension of the period of the contract and suspension period will be

taken as period spent. No charges for use of the facility of the Contractor shall

be payable by BSNL.

ii) BSNL may, without prejudice to any other remedy available for the breach of any

conditions of the Contract, by written notice of 3(three) months issued to the Contractor

at its registered office, terminate the Contract if :

a) Contractor fails to perform any of its obligation(s) under the Contract & /or,

b) Contractor fails to rectify, within the time specified, any defect as may be

pointed out by BSNL. Breach of non-fulfillment of Contract conditions may

come to the notice of BSNL through complaints or as a result of the regular

monitoring. Whenever considered appropriate, BSNL may conduct an inquiry

either suo-motto or on complaint to determine whether there has been any

breach incompliance of the terms and conditions of the Contract by the

Contractor. Upon such inquiry the Contractor shall extend all cooperation and

shall Endeavour to remove any hindrance.

iii) The Contractor may terminate the Contract, by giving notice of at least 3 months in

advance. The effective date of surrender of the Contract will be 3 months counted from

the date of receipt of such notice by the BSNL (i.e. the Authority who has signed the

Agreement on behalf of BSNL.)

iv) If the Contractor winds up its operation or goes into liquidation, it shall immediately

(delayed not more than a week) inform BSNL in writing about occurrence of such an

event, in that case, the written notice period can be modified by the BSNL as deemed

fit under the circumstances.

BSNL may, either decide to issue a termination notice or to continue the Contract by

suitably modifying the conditions as it deems fit under the circumstances.

v) It shall be the responsibility of the Contractor to maintain the quality of Service, even

during the period when the notice for surrender/termination of the Contract is pending.

If the quality of Service is not maintained, during the said notice period, it shall be

treated as material breach liable for termination at risk and consequent of the

Contractor and the Performance Bank Guarantee shall be forfeited.

vi) Return of Bank Guarantee on Termination of Contract :

On expiry or termination or surrender of the Contract, the Performance Bank Guarantee

shall be released to the Contractor after ensuring clearance of all dues if any which the

Contractor is liable to pay to the BSNL and the CONTRACTOR having returned all the

inventory earlier handed over to it by the BSNL at the time of commencement of the

Contract.

vii) In case BSNL withdraws from the Contract for any reason for which the Contractor is

not responsible, the Contractor may seek return of the original Bank Guarantee

immediately.

5. Penalty Provisions :

(i) In case of any breach in terms and conditions of the Agreement by the Contractor or in

case of loss suffered by BSNL due to failure of service on the part of the Contractor,

BSNL may en-cash any or all Performance Bank Guarantee (s) available with it

without prejudice to its rights of any other remedy, BSNL may also debar the

Contractor for future dealings with BSNL for any other contract.

(ii) Complaints regarding quality of service rendered by the Contractor & /or failure in

Service by the Contractor recorded in the Register or noticed during regular inspections

would be brought to the notice of the Engineer-in-charge and penalty will be levied per

day basis. The Contractor shall pay the penalty levied preferably by deduction from the

Contractor’s monthly bill amount in case that is not possible, by additional payment by

the Contractor within one (1) week of conveying the decision of the Competent

Authority. If any room/any part of the building under contractual obligation found

dirty/not cleaned properly the penalty of Rs. 100/- per day would be levied from the

Contractor

(iii) In case of non-cleaning of the whole building for 1(one) day or more because of any issues

attributed by the contractor, a penalty will be levied preferably by deduction from the

contractor’s monthly bill proportionately and in addition Rs.500/-(Rupees Five hundred)

only will be deducted per day basis.

(iv) In case the absence continues for more than 1(one) day, any other party will be engaged for

cleaning works of the IQ and the amount paid to the party will be deducted from the

contractor’s bill in addition to clause 5 (iii) above.

6. Disputes and Arbitration:

i) In the event of any doubt, dispute or difference arising under this Tender agreement or

in connection where with except as to matters the decision on which is specifically

provided under the Terms and Conditions of the Tender, the same shall be referred to

the Sole Arbitrator appointed by the Chief Engineer (Civil), BSNL, Assam Civil Zone,

Guwahati as described in Para-14 of “Instructions to Bidders.”.

ii) The award of the Arbitrator shall be final and binding on the parties.

iii) All incidental expenses in the arbitration proceedings will be borne by the party as

decided by the Arbitrator.

iv) The Arbitrator may, from time to time, with the consent of parties, enlarge the time for

making and publishing the award of Arbitration. Upon any such reference, the

assessment of the cost incidental to the reference and award respectively shall be in the

discretion of the Arbitrator.

v) The venue of the Arbitration proceedings will be as notified by the Sole Arbitrator time

to time.

7. Force Majeure Clause :

i) If at any time, during the continuance of the Contract, the performance in whole or in

part by either party of any obligation under this Contract be prevented or delayed by

reason of :

a) Any war of hostility,

b) Acts of public enemy, civil commotion, sabotage, explosions,

c) General strikes, Bandhs,

d) Acts of God.

- Hereinafter referred to as the EVENT, neither party shall be reason of such

EVENT, be entitled to terminate this Contract, not shall any party have any claim to

the damages against the other in respect of such non-performance or delay in

performance, provided that notice of happening of any such EVENT is given by

either party to the other within 7 (seven) days from the date of occurrence of such

EVENT.

ii) If a Force Majeure EVENT occurs, the Contractor shall promptly notify the BSNL in

writing of such conditions and the cause thereof. Unless otherwise directed by the

BSNL in writing, the Contractor shall continue to perform its obligations under the

contract as far as reasonably practicable and shall seek all reasonable alternative means

for performance not prevented by the Force Majeure EVENT.

iii) Expected Work and deliveries under this contract shall resume as soon as practicable

after such EVENT comes to an end or ceases to exist. The decision of the Chief

General Manager, Assam Telecom Circle as to whether the situation has become

normal or not, shall be final and conclusive.

iv) If the performance in whole or part of any obligation under this Contract is prevented

or delayed by reason of any such EVENT for a period exceeding 60 (Sixty) days, either

party may at his./their option terminate this Contract.

8 i) BSNL shall provide cup boards with locking facility for storage of materials only to be

used for the work related to Housekeeping work of BSNL Administrative Building to the

Contractor free of cost during the period of contract. No name plate of the Contractor

should be displayed and nobody will be allowed to stay in the office after office hours. The

Contractor will have to vacate the same immediately on termination of the contract or on

being asked by BSNL.

ii) The Contractor shall maintain sufficient stocks of various items such as towels, duster,

soaps, liquid soaps, phenyl, detergent, odonil, naphthalene balls or any other toiletries

as to meet normal requirements. The Contractor shall not be permitted to stop

supplying any items for any reason.

iii) The Contractor shall authorize a person to supervise the House keeping services who

will report to concerned supervising officer or any other officer of BSNL

Administrative Building so authorized as and when he is required to do so by the

competent authority.

9. Service to be provided by the Contractor.

(A) General cleanliness / Housekeeping.

(1) Sweeping and cleaning of entire I.Q. building (12 suits with bath rooms, kitchen, dinning, lounge,

common toilet at F/F, Multipurpose Hall Ladies & Gents toilet, lobby in each floor, verandah, stair

case, driver’s room with bathroom, Multipurpose hall, etc.) and compound except transit quarters on

day to day basis. The contractors are advised to visit the IQ building and get appraised of the facilities

available in the IQ before submitting the tender. Once the contractor has submitted the tender, he is

supposed to have visited the IQ and have seen the nature of works.

(2) Applying wet moping to floor of entire IB buildings on day to day basis.

(3) Cleaning of toilets, wash basins/counter basins, urinals, kitchen, window panes, doors, doormats, all the

furniture etc. of entire I.B. buildings on day to day basis.

(4) Disposal of waste materials and unused food items from the kitchen and living rooms of entire I.B.

building on day to day basis to the nearest municipal dump or to a place decided by the Engineer- in-

charge. Temporary dumping in the IB compound is strictly prohibited.

(5) Cleaning of ceiling and walls etc. by using vacuum cleaner / conventional method at least once in a

month or on actual requirement of cleaning whichever is earlier.

(6) Cleaning of electric appliances e.g. ceiling fan, A.C., decorative lamps, tube lights, etc. once in a month

or on actual requirement basis, whichever is earlier.

(7) Wet mopping of floors should be done only after cleaning the rooms & floors properly by using phenyl

as well as mixed with mild deodorants.

(8) Toilets, wash basins and urinals should also have to be cleaned by using chemicals of approved quality.

(9) Providing room fresheners and electric operated mosquito repellents/HIT (Both Red & Black) etc. in

the rooms and lounges on the basis of actual requirements wherever required/demanded by guests.

(10) The cleaning materials like detergent, harpic, deodorant, wiping clothes, brooms, cutters etc. required

for up keeping of entire I.B. building shall be provided by the contractor at his own cost.

Any item which is not included but is small in nature shall be cleaned properly without any extra

payment. The work of housekeeping and cleaning is a complete job for the entire IB building and its campus,

thereby making overall campus and building neat & clean. The decision of the Engineer-in-charge shall be final

in all regards.

(B) Care taking:

(1) Arrangement for round the clock reception for the guests arriving, organizing allocation of their rooms

as per allotment done by the competent authority and attendance to the guests staying through

supervisor only.

(2) Keeping the competent authority updated daily on guests movement, keeping the record of guests

movement and usage of the rooms.

(3) Attending telephone calls.

(4) To maintain all records of incoming and outgoing visitors, guests and officer/officials to the IB.

(5) Change of bed sheets, bed covers, pillow covers, towels etc. on daily basis. The contractor has to

provide clean bed sheets, pillow covers, towels etc. He has to clean the soiled bed sheets, bed covers,

pillow covers, towels etc. properly. He shall ensure to maintain /keep sufficient Nos. of washed /clean

material in the stock to facilitate guests/visitors with fresh items every day.

(6) Removing the dirty curtain and re-fixing the same after getting cleaned for all the twelve suits & lounge

at least once in a quarter or on actual requirement basis. However, if required due to any reason, the

new curtain shall be provided by BSNL to tenderer for fixing/installations without any extra cost.

(7) Collecting payment at approved and applicable rates from the Guests for both food and lodging and

issue necessary receipt to the guests. Room rent including all ancillary charges collected by the

contractor is to be deposited to the competent authority on monthly basis by 10th of next month along

with statement of receipts with name, address, etc. of the guests.

(8) One staff of the contractor (Supervisor) should be in-charge of the IB premises, who can handle overall

supervision works of housekeeping, caretaking, catering, etc. No other person shall be authorized for

this duty. Contractor will arrange to depute someone of equal status for this duty in the absence of

regular supervisor.

(9) Contractor should provide laundry facility to guests of Inspection Bungalows at actual basis.

(10) Providing 1 No. of daily newspaper in the lounge preferably one local English daily or one local

Assamese daily which is to be decided by the competent authority. Cost in this regard is to be borne by

the contractor. However, additional daily newspapers, periodical journals, etc. are also to be provided to

the guests in rooms on demand for which payment is to be made by the guests.

(11) Lodging complaints of any malfunction of electrical and other appliances, blockage of toilet and

sewage lines, water problem etc. to the designated officer of BSNL and extending all cooperation to

repairing any time of the day and night. Name of officer shall be intimated at the time of acceptance of

tender.

(12) Contractor should provide good quality cable TV service to all the suites, lounge, etc. He shall bear all

the expenditure related to Cable TV service. He should ensure that cable TV channel reception on the

TV is up to the mark and in case of any problem, get the same corrected from the Cable TV

operator/distributor at his cost.

(13) Regular checking of operation of all appliances provided in the rooms shall be done by Supervisor and

get rectified in case of any problem.

(14) Checking of inventory items provided in a room on vacation of room by the guest every time. Any loss

or theft shall be compensated by the contractor at his cost.

(15) Providing good quality toilet soap in all the suites, wash basin attached with dining room and in toilet

attached with lounge on daily basis.

(16) Providing good quality bath room sleepers (one pair in each room) for the guests.

(17) Providing good quality blankets for the guests. Blankets shall be neat and clean and if required shall be

dry cleaned but in no case of dirty/smelly blanket shall be provided to the guests.

(18) Providing batteries of TV remote, clocks and other consumable items wherever required.

(19) Providing paper napkins of good quality on the dining table at the time of meals/breakfast in sufficient

Nos.

(20) The contractor has to provide such articles which are not mentioned above to the guests on demand

which shall be paid by the guests.

(C) Catering:

(1) The contractor has to arrange for preparation and serving of tea, coffee, snacks, breakfast, lunch, dinner

etc. with approved quality of ingredients, in sufficient quantities and standard preparation at approved

rates of BSNL ( as detailed in Annexure-I) as per request of the guests staying in IB. The contractor has

to extend all these facilities even if only one person is staying in IB. Food quality should be up to

satisfaction of the Engineer-in-charge.

(2) The contractor shall have to make all the necessary arrangement of LPG gas (Industrial) as and when

required at his own cost. Use of no other fuel / power is permitted.

(3) The contractor shall have to procure all necessary food stuff and cooking ingredients of approved

quality and of reputed brands from the market. All cooking shall have to be done in kitchen only and it

has to be done in a hygienic condition.

(4) The contractor shall have to provide for all necessary materials for cleaning of kitchen and dining space

daily and after every operation. The premises shall always remain clean and tidy and he shall provide

man power/materials for the same.

(5) The contractor shall not extend the facilities provided by the BSNL to any other organization / person

with respect to any service.

(2) The contractor may provide at his / her own arrangement, suitable uniforms and ID card with name tag

displaying the name of worker/ designation etc. to all the staff hired by him for the performance of the

contract and shall ensure that these badges / uniforms are always used by such staff while they are at the

IQ premises.

(3) The contractor shall comply with the contract labour regulation & Abolition Act 1970 and rules framed

there under to the extent that the said Act and the rules are applicable in the State of Assam to the

persons hired by the contractor including compliance regarding payment of wages.

(4) The contractor shall be liable for all acts or omission on the part of the persons hired by him/ her and

shall compensate BSNL for all damages /loss caused by such acts or omission or negligence.

(5) No person engaged by the contractor should have any past criminal record. The contractor shall be

solely responsible for the person hired by him/her and shall indemnify BSNL from any liability of

further employment for any such person with the BSNL.

(6) The contractor shall settle all dispute between him/ her and the workers engaged by him/ her without in

way involving BSNL as a party to the dispute.

(7) Persons working on behalf of the contractor must be clean and well dressed. Their behavior and attitude

shall be courteous. They must be able to understand Hindi - the official language in addition to local

language. They must not demand any ransom or pecuniary benefits from any guest visiting / staying in

IQ premises. If, any such complaint against any of the staff of the contractor received by the Engineer-

in-charge, he/she shall have to be replaced with a suitable substitute immediately by the contractor.

(F) Facilities available at I.B.

(1) All fittings/fixtures, furniture, TVs, lights and fans in rooms, dinning, lounges and corridors.

(2) All existing cooking utensils, LPG stove, Gas Cylinders, Crockery, Glass wares etc. However,

extra/additional utensils if required shall have to be provided by the BSNL on demand.

(3) All existing pillows, bed covers, mattresses, curtains.

(4) Electric supply, water supply, Aqua guard, Refrigerator, Air conditioners etc.

(5) Telephone facilities in rooms & lounge as deemed fit.

(6) Payment of electricity bill and Municipal taxes by the BSNL.

(7) One separate room with toilet facility for use by the contractor and his working staff.

The facilities provided by the BSNL shall be handed over to the agency and after expiry of contract, the

same shall be taken over. Any loss or damage shall be suitably compensated by the contractor.

AFFIDAVIT

I/We undertake and confirm that eligible similar works(s) has/have not been got

executed through another contractor on back to back basis. Further that, if such a

violation comes to the notice of Department, then I/we shall be debarred for

bidding in BSNL in future for ever. Also, if such a violation comes to the notice

of BSNL before date of start of work, the Executive Engineer (Civil), BSNL,

Civil Division, Guwahati shall be free to forfeit the entire amount of Earnest

ANNEXURE-VI

DECLARATION

The Physical EMD shall be deposited by me/us with the Executive Engineer

(Civil) calling the bid in case I/we become the lowest bidder within a week of the

opening of financial bid. Otherwise, department may reject the bid and also take

action to withdraw my/our enlistment/debar me/us from tendering in BSNL in

future.
