ARTICLE 1: RATIONALE

Bulacan State University (BulSU), a regional state university, is found in Bulacan's capital city. In its quest to provide excellent instruction, pioneering research, and responsive community engagements, BulSU is awarded the following recent recognitions: ISO 9001:2015 Certification, and Level II Institutional Accreditation. Its performance is also consistent in acing and top-ranking in various academic Board Examinations. Every university is encouraged to conduct some actions in autonomy status enhancement and research output commercialization to improve the quality and competitiveness of a university in both national and international scope 1 and create values towards social and economic development. With this, BulSU envisions to become a ‘sustainable university’ by 2040. Business incubators are perceived to be a mainstay of economic development programs.2 Statistical analysis established a strong relationship between the numbers of incubators a country has and its GDP.3 With this result in mind and anchored to the university goal of attaining entrepreneurial culture, DOST-BulSU BARAS TBI or simply BARAS TBI will work based on its objectives and apply learned best practices from the most successful incubators in becoming a productive technology business incubator. It will provide a holistic approach to fostering innovation and entrepreneurship culture in the region by providing space for training, mentoring, consultation, and innovative discussions between academic and industry communities. To ensure that the BARAS TBI can reliably and efficiently carry out its tasks and objectives, a manual of operation is herein crafted. This manual will serve as a standard guideline and a solid foundation for the operations of the TBI. The DOST-BulSU BARAS TBI Manual of Operation consists of six parts, namely

• Rationale of the Program; • BARAS TBI Vision, Mission, Goals, and Objectives; • TBI Operational Guidelines and Procedures; • Management Structure; • Safety and Security Procedures; and • Miscellaneous Provisions.

Forms needed for its program operation and processes were listed as annexes of this manual.

Section 1. Introduction

BulSU has already generated several technology solutions recognized in regional, national, and international startup and innovation competitions such as the SMART SWEEP Innovation and Excellence Awards, Department of Information and Communications Technology (DICT) Startup Challenge, Department of Science and Technology (DOST) administered competition such as Regional and National Invention Contest and Exhibit (RICE/NICE), etc. Although the university is generating these promising technologies, realizing the impact of these innovations to transfer new technology products to the market is not achieved. It can be derived from the fact that there is a lack of proper awareness, programs, and support on technology commercialization and entrepreneurship among faculty members, researchers, and students in BulSU. However, the same is true for many Philippine universities.

With this challenge in mind, BulSU applied for one of the DOST’s programs - The Higher

education Institution Readiness for Innovation and Technopreneurship (HeIRIT). It is a

structured preparatory program to guide Higher Education Institutions (HEIs) to plan and

build its own Technology Business Incubator and implement programs to embrace the

emerging Start-up community in their respective universities. With 45 universities across

the country that have applied, BulSU is one of the twenty (20) universities selected by the

Panel of Experts to undergo a one-year preparatory program. Started in April 2018, the

program aims to train TBI managers to execute a TBI operation, assist universities and

colleges in building requirements for a full TBI, and facilitate the buildup of the university's

entrepreneurial culture. Through the program's success, BulSU has been chosen as one

of the ten (10) Universities among the 20 participants first to roll out the TBI operation.

And last February 6, 2019, BulSU Technology Business Incubator (TBI) named as DOST-

BulSU Business Assistance for Research Acceleration and Sustainability (BARAS)

Technology Business Incubator (TBI) became operational. As of July 2019, there are 44

DOST-funded TBIs across the country and several more established by private

companies The establishment of BARAS TBI as the business incubator in the province is

perceived to help create more jobs, develop entrepreneurs, and promote private-public-

academe collaborative partnerships towards regional development.

Section 2. Additional Authority

Republic Act (RA) No. 11293 or the “Philippine Innovation Act” - enacted on 17 April

2019 to foster innovation in the country as a vital component of national development and

sustainable economic growth. On joint NEDA-DOST-DTI Administrative Order No.1

Series of 2020, as the implementing rules and regulations (IRR), the National Innovation

Council encourage and support the establishment of innovation centers and

business incubators, in partnership with the private sector, the academe, and

research and development institutions towards fostering skills and technology

transfer, collaboration on innovation initiatives between small and big businesses,

supplier development, access to finance, and creating marketing opportunities.

Republic Act (RA) No. 11337 or the “Innovative Startup Act” - enacted on 17 April 2019

to foster inclusive growth through an innovative economy encouraging a culture of

innovation and streamlining government and non-government initiatives to create new job

opportunities, improve production, and advance innovation and trade in the country. As

written in its IRR, technology business incubators are considered startup enablers

critical in supporting the operation and growth of startups. The IRR

also encourages the Commission on Higher Education (CHED) in collaboration with

educational institutions in developing and integrating into their respective

curricula entrepreneurial programs that shall foster an environment conducive to

innovation and aligned with industry needs.

Section 3. General Provisions

1.3.1 Title

This document shall be known as the “Department of Science and Technology - Bulacan State University Business Assistance for Research Acceleration and Sustainability Technology Business Incubator (DOST-BulSU BARAS TBI) Manual of Operation.”

1.3.2 Coverage/Scope

This manual contains processes and policies that cover individuals applying for incubation services such as mentoring, consultation, workshops, and utilization of co-working space and facilities.

These policies shall apply to BulSU employees, both teaching and non-teaching personnel, researchers, students, university visitors, and partner institutions engaged with research and other scholarly works at the university.

1.3.3 Important Terms

1. Business Incubation – a public and/or private, entrepreneurial, economic and social development process designed to nurture businesses from idea generation to startup companies and, through a comprehensive business support program, help them establish and accelerate their growth and success;

2. Business incubators - facilities and hubs where startups are hosted, nurtured and provided with business development services. Business incubators are either public or private organizations that help startups to thrive, develop, and be sustainable.

3. Incubatee – any person or entity who has entered into an agreement with the technology business incubator to enable himself/herself to develop his/her product/service into a business.

4. Innovation – the creation of new ideas that results to the development of new or improved products, processes, or services which are then spread to transferred across the market;

5. Innovative business model - a new organizational method in business practices, workplace organization or external relations

6. Innovative process - a new or significantly improved production or delivery method through changes in techniques, equipment, and/or software

7. Innovative product - a good or service that is new or significantly improved, such as improvement in technical specifications, component materials, software in the product, user-friendliness, or other functional characteristics

8. Licensing - A route of commercialization where an IP rights holder gives another entity the authority to exploit to make, have made, use, sell, copy, display, distribute, modify, etc.) the IP - in return, the licensee will pay royalties

9. Research and development – any activity which is a systematic, intensive study directed toward greater knowledge or understanding of the subject studied; a systematic study directed specifically toward applying new knowledge to meet a recognized need; or a systematic application of knowledge toward the production of useful materials, devices, and systems or methods, including design, development, and improvement of prototypes and new processes to meet specific requirements;

10. Spinoff - A small enterprise that started based on the research activities of the academic/personnel staff.

11. Startup – any person or registered entity in the Philippines which aims to develop an innovative product, process, or business model;

12. Startup enabler – any person or registered entity in the Philippines registered under the Philippine Startup Development program that provides goods, services, or capital identified to be crucial in supporting the operation and growth of startups by the DTI in consultation with DOST, DICT, and pertinent government and non-government organizations (NGOs);

ARTICLE 2: DOST-BulSU BARAS TBI

To facilitate and strategize university-based innovation and entrepreneurship, DOST-BulSU BARAS TBI will be anchored and focused on its vision, mission, goals and objectives.

Section 1. Vision

To be the premier technology business incubator in the region.

Section 2. Mission

Establish a community of innovative minds with the desire to create disruptive solutions that will foster collaboration among the academe, government, and industries, offering an enabling environment for startups and accelerate their ideas to commercialization producing wealth and employment in the country.

Section 3. Goals

2.3.1 Activate Desire for Technology Business

BARAS TBI amplifies awareness on innovation and entrepreneurship and ignites the community’s interest in translating ideas to products or services establishing new technology-based enterprises.

2.3.2 Build Strong Linkages

BARAS TBI establishes connections with the academe, government, and industries and promotes collaboration and inclusivity within a diverse environment towards broadened traction.

2.3.3 Expedite Startup Potential

BARAS TBI maximizes its resources to capacitate startup teams, nurture them to their fullest potential, prepare them for launching and continuous scaling through intensive instruction, providing access to resources and markets, and exploration of ideas.

Section 4. Framework

The BARAS TBI operational framework is discussed in an input-output process model. In this framework, the inputs are the academe, industry and government. The academe will be the main pipeline of incubatees harnessing the knowledge and talent of the faculty, researchers and students to establish spinoffs. These spin-offs, in reciprocity, provide funds to the institutions to generate more knowledge by funding other research activities. But incubatees will not be limited to talents in the academe, small enterprise or special group within a larger enterprise or even from the other government agencies may deliver new technology-based products or services or delivering existing technology products or services in new way and form startup companies. Also, government agencies can act as

funding agency to provide financial support for starting the incubator and incubatee in focusing their technologies into the path of commercialization. Industry partners may also provide this kind of support to budding technopreneurs along with providing expertise as mentors and/or consultants.

With the programs and services developed and implemented by BARAS TBI, it will open enough resources and opportunities to both the incubatees and possible partners. The success of technopreneurs under BARAS TBI, either as startup or spinoff, will contribute to regional or national economic development bringing innovation to the community.

Section 5. Objectives

BARAS TBI aims to drive research output towards commercialization and create values towards social and economic development. Specifically, we focus to

1. Help create and establish startups with successful business models. 2. Manage the TBI as a business-like enterprise, which progressively recovers

significant proportions of its operating costs. 3. Fostering the innovation and entrepreneurial spirit of the community. 4. Establish TBI facility. 5. Form a network and harmonize connections between the academe,

government agencies, and industries.

Section 6. Behind the Name

Business Assistance for Research Acceleration and Sustainability or BARAS, as its name suggests provide business related assistance through mentoring and consultation to help specifically the university output researches establish and implement business models that will make it sustainable and accelerate towards commercialization. BARAS TBI is also in connection to a long-standing site of historical events in the Philippine history, Barasoain church - prides itself as a glorious icon of Bulacan, as well as the whole Central Luzon. Coined from the phrase “baras ng suwail” or “dungeon of the defiant,” the church’s etymology manifests strength, passion, and unity which is vital for a startup to thrive. As derived from the monumental name of Barasoain, BARAS TBI will be a place dedicated for individuals to sharpen revolutionary ideas and collaborate with the government, academe, and industry to provide impactful solutions to the community - like what the revolutionaries did during the Spanish colonization.

Section 7. The Logo

ARTICLE 3: OPERATIONAL GUIDELINES AND PROCEDURES

DOST-BulSU BARAS TBI, is a university-owned technology business incubator with a not-for-profit nature catering to technology- based growth-oriented startup enterprises. It aims at supporting the development and scaling of its incubatees into world-class business by providing them access to market, business support and seed funds.

Section 1. General Categories of Incubatees:

The TBI will cater incubatees that will eventually commercialize their technologies in either of strategies below:

3.1.1 Startup

A company in the first stage of its operations, founded by one or more entrepreneurs to develop a unique product or service and bring it to the market.

3.1.2 Spin – off

A small enterprise which started based on the research activities of the academic/personnel staff. The university provides funds to turn the research into products and services for commercialization. In reciprocity, the technology will be owned by the university.

3.1.3 Licensing of IP

A route of commercialization where an IP rights holder gives another entity the authority to exploit to make, have made, use, sell, copy, display, distribute, modify, etc.) the IP - in return, the licensee will pay royalties

Section 2. Revenue streams

For incubation programs, BulSU internal stakeholders such as faculty, employees, researchers and students can avail the TBI services for free once admitted to the program for a certain period of time. Once the incubatee reaches the duration of its stay, they can choose to retain in the program given they will pay the applicable fees below. Whereas, external applicants who wish to be part of the program will pay the applicable fees below.

3.2.1 Membership Fees

These are fees charged to the external clients, individuals or teams, that want to undergo the incubation program. The membership fee will cover working space, use of the internet, mentoring sessions and other basic services in the TBI.

3.2.2 Rental Fees

These are rental fees of coworking space, and use of other facilities like meeting rooms and training areas.

3.2.3 Finders Fees

These are the fees for consultancy services offered to the incubatees by its partner agencies including but not limited to bookkeeping, marketing, document processing, study tours, and traditional business consulting.

3.2.4 Brokerage Fees

A percentage of the funding that it secured for its incubatees from outside sources

3.2.5 Training Fees

BARAS also conduct various training or workshops outside the incubation program, in that case registration fees will apply.

Section 3. Incubation program

Linang-Innovation (LinangIN meaning to cultivate) The LinangIN is the brand for the entire incubation program of BARAS TBI. The incubation program ranges from pre-incubation to post-incubation program that offers space and helps incubatees grow and scale fast through individual mentoring sessions with experts on technology, finance, management, intellectual property and market research.

Through the hands of mentors and experts the TBI has, it can be assured that incubatees are geared to reach their full startup potential.

3.3.1 The Pre-Incubation Phase: (Business Modelling and Market Research)

The pre-incubation program runs for three (4) months on a cohort basis. Incubatees accepted under the pre-incubation program can use the TBI facility for free for the duration of the program. The program involves activities necessary to support potential entrepreneurs to nest their ideas through technology and market validation, prototype development, business concept development, business modelling, IP protection package, and customer rediscovery. This stage also aims to boost the chances to arrive at an effective startup creation. This is where the first assessment of the idea takes place, training and also one-to-one assistance in order to put the client in the conditions to write a fully complete business plan. The pre-incubation goes from the definition of the innovative idea to the elaboration of the business model. This is typically an engineered process that starts from a first appointment with BARAS management where the mini

business plan is analyzed and initially assessed. The incubatees under this program are accepted fulfilling the Eligibility (Section 3.3.6.2 Eligibility) and Selection Criteria (3.3.6.3.1 Entry Criteria) stated in the admission process and upon submission of Application Form and Innovation Profile (ANNEX 1) and acceptance of the Incubation Agreement (ANNEX 2) and Non-Disclosure Agreement (ANNEX 4). The incubatees will be provided with tables and chairs in an open area. It serves as their working space when undergoing pre-incubation. Requests for additional chairs shall be subjected to the evaluation and recommendation of the management. During the entire program, the incubatee is expected to perform their duties and responsibilities stated in the Incubation Agreement (ANNEX 2) and Table 2. They shall provide DOST-BulSU BARAS TBI MANAGEMENT through their respective mentors on a monthly basis their progress reports in the entire incubation program attached in this document as ANNEX 7 base on submitted Work Plan (ANNEX 8). The total months of residency should only be four (4) months. After this, once they passed the evaluation by Selection Committee they will be moved to incubation phase. Evaluation will be based on the updated Innovation Profile (ANNEX 1) and Mini Business Plan (ANNEX 3) as output of the pre-incubation program.

3.3.2 The Incubation Phase: (Business and Market Development)

After the four-month pre-incubation, incubatees will move to the incubation stage. During the incubation program, they can stay up to two years (including the pre-incubation) or longer as deemed necessary by the management To successfully proceed to the incubation program, the incubatee must provide a Mini Business Plan (ANNEX 3) of their product/service that will be then evaluated by the Selection Panel. During this stage, support is given to the entrepreneur setting up the startup to acquiring initial customer. This is a mid-term process that usually lasts for the first three years of activity of the new company. The actions activated here are commonly entrepreneurship mentorship and training, access to funding, access to market, strategy development, space facilities, and network. The time will then dictate whether the new venture is successful and has a good chance to fully mature. This is a critical phase in which the company will undertake the activities necessary to initially realize the business plan and form traction. Thus, the services delivered by BARAS TBI will differ according to the phase in which the company is positioned within the terms identified by the business plan. During this stage, incubatee is encourage to secure seed funding either internally or externally.

3.3.3 The Post-Incubation Phase: (Business Execution with the help of TTO)

This indicates that the said company is ready to walk on its own feet. During this stage, support is given to the entrepreneur from the startup to the expansion or maturity of the company. This is also the phase where the company will leave the incubator. There are still varied services that might be needed in order to aid their sales and more so improve their productive processes like internationalization services or innovation introduction through scouting and detection activities. There would be a maximum stay of the locator for three (3) years for the entire incubation in the facility. On an exceptional basis, based

on the financial statement of the locator, as indicated by a steady increase in their revenues or other reasons, the stay in the facility can be extended to five (5) years. An incubatee may be asked to leave before the duration of three years for the following reasons:

1. If any of the terms of the lease are violated 2. Successful graduation from the facility 3. Business is discontinued (initial business concept no longer viable in the

marketplace, revenue goals not met, etc) Upon exit, incubatees must secure an Evaluation Form ( ANNEX 9 ) and Clearance Certificate (ANNEX 10) from the TBI Management prior to dismissal. The incubatee will be assessed on the following factors:

1. Performance evaluation 2. Operational and financial stability 3. Potential for expansion

3.3.4 Incubation Services

Along the incubation journey, the incubatee will be provided with the following support services;

3.3.4.1 Mentoring/coaching

BARAS TBI has a pool of mentors and experts that can provide coaching and mentoring to the incubatees in a wide array of areas in building an enterprise. This expertise includes but not limited to the following:

● Business management including writing a detailed business plan ● Defining the business idea and business model ● Tech transfer and commercialization ● Finance and financial projections ● Legal/Intellectual property rights ● Technical and industry expert coaching

3.3.4.2 Trainings

BARAS TBI conducts training as part of the capacity-building activities for the incubates under the LinangIN. These trainings are free for incubatees in the pre-incubation and incubation phase. They are required to attend these training as part of their milestones deliverables. These trainings include but not limited to the following:

3.3.4.3 Networking events

Ugnay-Innovation ( UgnayIN meaning to connect) Events are one way to help startups connect with potential partners, customers, investors, funders and talents. BARAS TBI will organize regular networking events for the duration of the incubation program. These events include but are not limited to the following:

● Monthly Entrepreneurs Meetup (Siestamustahan) and Networking ● Senior Partner Pitch ● Demo Day ● Linkages to financiers, businesses and service providers ● Participation in event organized by other partners ● Fundraising

amplify the scalability of the startups through interconnection of incubatees and their

potential partners.

3.3.4.4 Other Basic Services

BARAS TBI acknowledges that there are services that the incubatees would need as they establish their enterprise, from administrative to legal services. Thus, BARAS TBI also provides the following basic services. These services are free for incubatees in the pre-incubation and incubation phase. Services will have its corresponding fees for the Post-Incubation phase. Basic services include the following but not limited to:

● Accounting and administrative assistance ● Basic management consulting and coaching ● Business application, legal document and documentation, assistance for SEC

registration and other business permits ● IP related services endorsed to University ITSO ● Other forms of coaching will be made available upon request of the incubatee.

3.3.5 Space and Facilities

BARAS TBI provides a working space for incubatees on every stage of their incubation. Use of these facilities during the pre- incubation and incubation stage is free to use. A Space to work and meet is important to the business startups. The TBI facility comes with high-speed internet connection provided by SMART Communications, and other services outlined below.

3.3.5.1 Co-Working Area or Hot Seats

BARAS TBI offers a common co-working with tables and chairs. The incubatees can occupy any table and chairs in the co-working area anytime as long as i tis vacant. This will serve as their working space when undergoing incubation.

3.3.5.2 Permanent Desk

BARAS TBI provides a permanent desk with a computer for incubatee. Permanent desk or cubicle has one dedicated chair, high-speed internet via wireless or LAN.

3.3.5.3 Meeting/Training Room

The use of the meeting and training room shall be on a first-come first-served basis. Facilities shall be open to the incubatees on weekdays from 9 A.M. to 5 P.M. The use after office hours must be approved by the management. Incubatees who wish to use the said facility shall make a formal request to the management at least three (3) working days before the date of actual use. Management shall have the right to refuse or reschedule requests. Use of the facility shall be subject to the approval of the management. It is also subject to the availability of the facility. The incubatee who will use the facility shall maintain the facilities in good order and condition at all times.

3.3.5.4 Pantry

A pantry is a common space provided for quick meal fix, eating venues and for networking of incubatees. Incubatees should help maintain the cleanliness of the pantry at all times for the convenience of the next users. Cooking is not allowed, including storing of consumed food in order to prevent pests. Electric appliances should be switched off after use and when not in use.

3.3.5.5 Facilitated Access to University Facilities

Incubatees will be allowed access to the facilities of the University like library and audio-visual room (AVR). This is upon approval by the management of the facility. Non-BulSU clients can get formal BulSU ID as incubatee to access TBI facility and other services of other university facilities.

3.3.6 Admission Process

3.3.6.1 Call for Application

3.3.6.1.1 Announcements

An announcement that BARAS TBI is recruiting qualified tenants for pre-incubation shall be made. Succeeding phases of the program will be announced internally among participants of the pre-incubation stage. The recruiting method is conducted using various sources.

● BARAS newsletter, email and social media ● Events ● Government partners websites ● University website ● TBI partners websites ● Social Media

3.3.6.1.2 TBI Clinics

TBI Manager will ask assistance of college research and development unit (CRDU) heads

to conduct TBI clinics to evaluate capstone/research projects of students base on market

potential, technology development and team commitment to undergo incubation.

3.3.6.2 Eligibility

An application must be made by an individual or a team with a maximum of five (5) members. At least one (1) member of the team must have technical expertise relevant to its proposed product/service.

An eligible applicant member must be from one of the following: ● Current full-time or part-time Researchers/faculty/student of the University ● Alumni of the University ● Current full-time staff/personnel of the University ● External inventors/entrepreneurs

Aside from the eligibility written above the following requirements must be met;

● Have a qualified management team or the willingness to build one ● With a commitment to stay at BARAS TBI facility for at least 4 months (pre-

incubation). ● At least one of the team members need to commit full time so they can be coached

and mentored. ● There shall be no age limit for the individual team members; provided however

that, applications of minors (those below 18 years old), must be accompanied by a completed Parent/Legal Guardian Consent Form.

● At least 60% of the members must be Filipino citizens and/or residents, and 1 out of 2 team members (for a 2-man team) must be a Filipino citizen and/or resident

Interested and eligible applicants are required to submit the following. Submission maybe done through mail or e-mail ([email protected]):

● Accomplished Application Form and Innovation Profile for Pre-incubation (ANNEX 1);

● Mini-Business Plan for Incubation (ANNEX 3); ● Comprehensive Business Plan for Post-Incubation Program;

3.3.6.3 Selection Process

The Selection will help the incubator manager and selection committee to choose who among the applicants for pre-incubation will receive the services involving the program’s limited staff time, space and equipment. It will ensure that a good match exists between the incubator’s resources and mission and the applicant’s needs and potential. This is an important step in maximizing the success of chosen incubatees4. The Screening Committee will make a final recommendation whether or not the applicant is qualified for admission at TBI. After deliberation, the application is deemed approved by the screening committee. a. Pre-screening Process The application together with the documents submitted will be initially reviewed based on completeness of the documents by the TBI manager. He/She will then endorse the screened applications to the Selection Committee for assessment and evaluation based on ‘entry criteria’ listed in the next section. Interviews may be conducted whenever necessary. b. Screening and Endorsement Process

All applications must be reviewed by the BARAS Selection Committee based on the Eligibility and Selection Criteria stated in this section. The Selection Committee will then endorse the accepted applications for admission and will be approved during one of the quarterly meetings of the Steering Committee. c. Approval - Approved applicants by the Steering Committee will be endorsed to BulSU ITSO to evaluate possible IPs. Technologies with potential IPs must prioritize the filing for protection with the assistance of BulSU ITSO and may simultaneously proceed to the incubation program to explore and validate the market following the university IP policies.

3.3.6.3.1 Entry Criteria

These “entry” criteria take into account the objectives of the incubator and the outputs against which it will be measured.

Founder(s) must demonstrate entrepreneurial potential and must show the following:

● Have a committed management team that is capable of handling technical and operational aspects of the business.

● If there is no team yet, should understand the need for it and be willing to form one.

● Have complementarities demonstrated within this team (i.e. gathering relevant and complementary backgrounds, expertise and experience);

Business Idea Must be technology-based or knowledge-based business. Applicants must have thorough knowledge and understanding of their market, the opportunity and current competitors and maybe in different stage or Technology Readiness Level (TRL) such as:

● (0-3) At the concept stage of development and undertake pre-business research or development, or testing an idea;

● Established a ‘proof of concept’ ● (4 onwards) Later stage companies may be accepted

where the focus will be on assisting them expand and grow.

Industry Sector Applicants should be for-profit ventures and must provide economic benefits in the form of job and wealth creation or otherwise develop a product or service that will benefit the region and/or sponsor. Preference will be given to businesses that falls within DIO priority project and program

components as listed in Article 3 Section 7 (DIO Project and Program Component) of DIO manual. BARAS does not consider general services such as low value-added services, web designing, cabling, networking, provision of maintenance services and the likes.

Viability The business must demonstrate potential for financial viability within a reasonable time frame (ex. Less than 5 years), notably through the business model adopted and the potential to develop a product portfolio

Innovativeness and Internal Compatibility

They should not be in direct competition with an existing client or, if they are, management should take care to ensure that any intellectual property risks or other conflicts are mitigated.

Need for incubator assistance

Applicants must demonstrate they need our assistance. This may be a shortage of skills, capital, or to reduce the risk.

Environmental and Social Impact

Businesses that engage in activities that are socially undesirable or detrimental to the environment are not eligible.

3.3.6.3.2 Selection Panel/Committee

It is important to decide who makes the decisions on whether or not companies satisfy the minimum standards required. Decisions may be taken by incubator managers in some cases or, more commonly, by a selection committee made up of a cross-section of experts who can assess all aspects of the potential business, from entrepreneurial traits to the business growth potential. Panel of experts who are qualified to assess if the entrepreneur, the business idea, and the technology meet the criteria that have been set. Panel Composition

The three (3) must have an entrepreneurial mindset and should represent the diverse expertise required, such as business management experience and capabilities (including financial, HR resources, marketing and stakeholder management), and relevant technical expertise when required. The incubator manager should implement the decisions of the selection panel and report to the Board accordingly.

3.3.6.4 Notification of Selected Applications

All selected applicants must be notified not more than five days from the approval by the Steering Committee. The notification shall include a copy of the Pre-Incubation / Incubation Terms and Conditions (Appendix 2) for the applicant’s reference. The applicant must be given at most five days to confirm and accept the incubation agreement. A letter will be sent to all incubatee applicants on the result of the screening committee regarding their application. Upon disapproval, the applicants can still apply in the program, provided they will comply with the necessary requirements.

3.3.6.5 Admission to the Program

In availing BARAS TBI services, the following process must be observed. Below is a summary of the steps in the journey of an incubatee as they undergo the TBI Incubation Program.

3.3.7 Seed Fund

BARAS-supported projects and researches through or under incubation program or simply the incubatee shall endorse for seed funding either internal or external following the guidelines of the funding agency. Every incubatee at the end of the pre-incubation program must submit an executive summary updated Innovation Profile (ANNEX 1) and Mini Business Plan (ANNEX 3) that will be used as foundation in drafting grant proposals.

3.3.7.1 Internal Funding

For BulSU internal funds, applications must follow the guidlines stated in Article 3 Section 8 (Guidelines for Proposing Researches) of DIO manual.

3.3.7.1.1 Call for Application

An announcement on the call for application for internal seed funding shall be made internally among the incubatees. Interested applicants may submit through mail or e-mail ([email protected]) the following requirements;

○ Budgetary Requirements (APPENDIX A of DIO Manual) ○ Project Information (APPENDIX B of DIO Manual) ○ Capsule Proposal (APPENDIX C of DIO Manual)

3.3.7.1.2 Eligibility

● Current full-time researchers/faculty/student/personnel of the University enrolled in the LinangIN incubation program and have already finished the 4-month pre-

incubation stage to ensure that the team has already knowledge on drafting a grant proposal.

● In case that the project is in collaboration with other institution/s, at least 60% of the members must be a current full-time researchers/faculty/student/personnel of the University or 1 out of 2 team members (for a 2-man team) a current full-time researchers/faculty/student/personnel of the University

● Projects or researches must fall under DIO priority project and program components as listed in Article 3 Section 7 (DIO Project and Program Component) of DIO manual.

3.3.7.1.3 Criteria

Any application must follow the guidelines for proposing research as stated in Article 3

Section 8 of the DIO manual.

3.3.7.1.4 Screening Process

a. Pre-screening Process - The application together with the documents submitted will be reviewed by the TBI staff to check whether all requirements are complete. Upon completion of documents, the TBI Manager will endorse applications to the Selection Committee. b. Screening Process - The Selection Committee then will review applications for comments/suggestions on the basis of criteria stated in the previous section. Interviews may be conducted whenever necessary. c. Endorsement - Approved applicants by the Steering Committee will be submitted to DIO for endorsement.

3.3.7.1.5 Fund Approval

Upon approval of the fund, project leader will ensure the timely submission of following

document;

● Monitoring instrument (APPENDIX D of DIO manual)

● Progress Report (APPENDIX E of DIO manual)

● Completed research form (APPENDIX F of DIO manual)

● Terminal report (APPENDIX G of DIO manual)

3.3.7.2 External Funding

Incubatee may apply for external funding that may cover prototyping, invention testing and pre-commercialization activities. The following are some of the funding opportunities they may apply;

(CRADLE) - creates a synergistic relationship between the academe and the industry with the goal of invigorating Philippine R&D.

DOST-PCIEERD ● DOST-PCIEERD Grants-In-Aid ● Funding Assistance for Spin-off and Translation of Research in Advancing

Commercialization Program (FASTRAC) - established to bridge the gap between R&D and commercialization of PCIEERD funded technologies.

DOST-TAPI ● Invention Testing and Laboratory Analyses Assistance Program - assists

technologists, inventors, and researchers to test, verify, evaluate the functionality of the invention. The sustainability of the materials, components, design safety, and conduciveness of product for public use.

● Industry-Based Invention Development (IBID) Program - involves technical and financial assistance for the fabrication of a commercial prototype mode for adoption, demonstration, instruction, and testing purposes of inventions, utility models, and industrial designs.

○ IBID I Program - supports inventors by providing financial, technical, and consultancy assistance for pilot scale or small-scale production and making inventions available to consumers.

○ IBID II Program - provides support for inventors who have established their company through the commercialization of their Invention, utility model, or Industrial design.

● Technology Innovation for Commercialization (TECHNICOM) Program - provides development support for commercially-viable projects from prototyping, technology validation, field testing, pilot-scale testing, etc.

● Venture Financing Program (VFP) - accelerates the commercialization of innovative techs/inventions through venture financing.

● Innovation and Technology Lending Program (I-TECH) - provides a special lending window through the Landbank of the Philippines

● Tax and Duty Exemption Assistance Program under RA 7459 - provides assistance on the issuance of certification for tax and duty exemption application of Filipino inventors for submission for the Bureau of Internal Revenue (BIR) of Department of Finance (DOF)

3.3.7.2.1 Call for Application

An announcement on the call for application for such funding shall be made internally among the incubatees. Interested applicants may submit through mail or e-mail ([email protected]) the requirements necessary to a particular funding program.

3.3.7.2.2 Eligibility

● Current full-time researchers/faculty/student/personnel of the University enrolled in the LinangIN incubation program and have already finished the 4-month pre-incubation stage to ensure that the team has already knowledge on drafting a grant proposal.

● In case that the project is in collaboration with other institution/s, at least 60% of the members must be a current full-time researchers/faculty/student/personnel of the University or 1 out of 2 team members (for a 2-man team) a current full-time researchers/faculty/student/personnel of the University

● Projects or researches must fall under the priority program of the University and the Funding Agency.

3.3.7.2.3 Criteria

Any application must follow the guidelines including the criteria set by the fuding agency

for particular grant program.

3.3.7.2.4 Screening Process

a. Pre-screening Process - The application together with the documents submitted will be reviewed by the TBI staff to check whether all requirements are complete. Upon completion of documents, the TBI Manager will endorse applications to the Selection Committee. b. Screening Process - The Selection Committee then will review applications for comments/suggestions on the basis of criteria stated in the previous section. Interviews may be conducted whenever necessary. c. Endorsement - Approved applicants by the Steering Committee will be submitted to DIO for endorsement.

3.3.7.2.5 Fund Approval

Upon approval of the fund, project leader will ensure the timely submission of documents

required by the funding agency.

3.3.8 IP Ownership

The incubatee agrees to give due recognition to the intellectual property rights of the university and/or its personnel, including its faculty, researchers, and students, for any and all intellectual property produced by collaborative effort of the incubatee and the university subject to university IP policies and the terms and conditions mutually agreed by the parties concerned.

3.3.9 Graduation/Exit Policies

After the incubation phase, the startups will be assessed. See

ANNEX 9

for the form.

3.3.9.1 Exit Criteria

The exit policy is as follows.

• There would be a maximum stay of three years in the facility. On an exceptional basis, based on the financial statement of the locator, as indicated by a steady increase in their revenues or other reasons, the stay in the facility can be extended to five years.

• A locator may be asked to leave before the duration of the three years for the following reasons:

o If any of the terms of the lease are violated Successful graduation from the facility.

o Business is discontinued (initial business concept no longer viable in the marketplace, revenue goals not met, etc)

• Upon the exit of the incubatee, the following assessments shall be conducted: o Performance evaluation o Operational and financial stability o Potential for expansion

3.3.10.2 Post-graduation Follow Up

Monitoring long-term incubator performance The incubator can use the client results to evaluate its own performance and use the results for different purposes including the continuous improvement of its services towards its clients or for marketing purposes, be it to attract clients or to secure the support of the local stakeholders, Typically, graduate companies are monitored for at least one year post-graduation, which enables the incubator to assess the longer-term impacts of its activities in terms of new job creation, multiplier and other indirect effects. All incubators should consider conducting an annual survey of graduated clients to assess possible opportunities for future cooperation, such as mentoring, support of spin-off businesses, and entrepreneurship training and more importantly to evaluate the performance of its tenants over the course of the year. Positive feedback from these client surveys will go a long way towards satisfying investors in the incubator. Post-graduation programs In some cases, incubators agree to a program of ongoing after care with incubation graduates typically up to one year after graduation. This can take the form of a gradual phasing out of support for companies who may for example have followed an accelerated

graduation program. It could also include providing them with business development support services associated with companies in the growth, rather than start-up phase.

Section 4. Other programs

3.4.1 LakbayIN

Lakbay-Innovation (LakbayIN meaning to travel) Created to foster innovation and entrepreneurship culture among colleges and various campuses of the university as well as neighboring academic institutions and find promising technology-driven researches viable for commercialization

A unique and symbolic type of jeepney found only in Malolos, the karatig depicts the

‘lakbay’ or the journey of DOST-BulSU BARAS TBI to colleges and universities to raise

awareness about startups and technopreneurships.

3.4.2 TuklasIN

Tuklas-Innovation (TuklasIN meaning to discover) TulkasIN and LikhaIN are for the Ideation. This program is for individuals including students, faculty, non-teaching staff of BulSU and individuals outside BulSU community who want to learn technopreneurship, explore a business idea and learn the basics of creating a lean business model and prototype. Individuals or teams who own IP-based technologies or has developed technologies that need Industry matching and Customer Rediscovery can also attend the activities under this program. The goal of these programs is to take potential incubatees from the stage of ideation to the stage of pre-incubation.

• Startup Bootcamp

• Technopreneurship training for teachers - activities that aim to improve the capacity faculty and researchers on entrepreneurship. This will help the participants to effectively handle technopreneurship class integrating such practices in advising students in creating their capstone projects and thesis

3.4.3 LikhaIN

Likha-Innovation (LikhaIN meaning to create) A 3-day long probably on weekends, hands-on experience where entrepreneurs and aspiring entrepreneurs can meet, engage, and collaborate to industry in creating startup ideas.

• Ideation Workshop - an activity that bring subject matter experts and the tech students to discuss industry problems and develop business solutions

• Hackathons/reverse pitching/startup weekend - events that aim to build a prototype of a tech solution for a particular problem

Section 5. Faculty Workload

Participation of regular faculty members of the university on various technology business

incubation programs will be credited six (6) hours per week on their workload under

Participation of each faculty in these programs will be regularly monitored by the TBI

Manager. All necessary deliverables stated in each program shall be checked and

assessed as basis on the accomplishment report of faculty for the research workload

he/she applied for.

ARTICLE 4: ORGANIZATIONAL STRUCTURE

Figure 4 shows the BulSU organizational structure indicating that BARAS as the Technology Business Innovation Hub of the university is one of the offices under the SPARKS Center for Innovation and Entrepreneurship under the Development and Innovation Office. And Figure 5 shows the overall structure of the BARAS TBI to provide direction of the project. It is composed of the Board of Members or Steering Committee, an advisory council that provides technical assistance, Selection Committee who is tasked to select the incubatees and the TBI management team who are tasked to implement the project.

Section 1. Boards of Director/Steering Committee

The BARAS TBI Boards of Directors or the Steering Committee is the key body within the governance structure which is responsible for the operations, management, and business issues associated with the project that are essential to ensuring the delivery of the project outputs.

4.1.1 Roles and Responsibilities

While the TBI Manager ensures the work of the project is undertaken as agreed, the

Steering Committee provides support, guidance and the executive overseeing of progress

Differences in opinion and disputes are also to be addressed and resolved by the board with finality

4.1.2 Composition

The Advisory Council is established with the approval of the President of Bulacan State University and is responsible for providing advice to the BARAS TBI Management Team, on the creation and maintenance of effective incubation programs. The Advisory Council shall have no formal management and/or governance responsibilities at BARAS.

The Board will consist of key stakeholders namely; 1. BulSU President 2. one (1) member from Bulacan Chamber of Commerce 3. one (1) member from DOST (National/Regional) 4. one (1) member from either DTI or DICT (National/Regional) 5. one (1) member from Alumni (successful entrepreneur)

4.4.1 TBI Manager/Center Managers Works as the prime interface of the incubator to entrepreneurs and the Board and responsible for leading its operations, planning, marketing and development. This is a challenging role but at the same time makes available endless opportunities and learning. Key responsibilities of the Center Manager include:

4.4.1.2 Relationship Management

• Manages the relationship with the client. He/she ensures that mutual trust is built between the client and the business incubation environment so that the relationship between both parties is mutually beneficial.

• Participate in events and activities with local and international accelerators, government, corporates, universities, foundations, and other organizations that promote the company mission and the greater Philippine startup ecosystem

4.4.1.3 Program Development

• Designing programs and activities of the Incubator which include: o Pre-incubation: Deal Flow generation, Screening of proposals, Research,

Patent landscaping, working with entrepreneurs for their proposals, resenting proposals to the next level for selecting incubates. Incubation program curriculum development and content creation. Develop and execute strategy for outreach, hunting, attracting and onboarding deserving and qualified innovative entrepreneurs, and start-ups

o Incubation: Lead formation of new business and provide incubation facilities to enable commercialization of the business: To induct new entrepreneurs; create Incubation plans and implement them, assist in writing business plans, keep track of the Incubation process; help the incubates prepare proposals for getting funding, etc.

o Events and workshops: Plan various workshops/events/webinars for the Incubator, and execute the same with the help of team members.

• New Program Development o Overall planning of resources, budgets and workplans of different programs

stated above

4.4.1.4 Startup and Community Development

• Develop, execute and own an operational and engagement strategy for the entire community including donors, startups, investors, corporates, mentors, advisors, and domain experts.

• Mentor Network: Develop the mentor network for the Incubator and work with them in providing high-quality coaching and advisory support to entrepreneur. Onboarding of trainor/speaker/lecturer

• Provide support to entrepreneurs across ideation, acceleration, investment and scale-up stage.

• Forge partnerships with other organizations for providing services to the incubates or the incubator; marketing the incubator, sponsorships…etc. Liaison with the government and industries.

• Work with co-ordination with selection committee and steering commiittee for setting up and seed funds for start-ups. Guide & support start-ups for fundraising activity

• Initiating Institutional Partnerships (International & Local)

• Other Institutional Partners for Co-incubations (International & Local)

• Provide continued strategic guidance to entrepreneurs in areas such as business modeling, sales, and marketing, financing, fundraising, overall strategy, operations etc.

• Be the switchboard for entrepreneurs to access relevant resources and connections

4.4.1.5 Fundraising and Sustainability Initiatives

• Marketing the Incubator and Business Development: Be the face of the Incubator and actively promote it through various channels etc.

• Create, maintain, assess and recommend strategic initiatives for QBO’s sustainable business model

• Research on potential partners, grants and inbound investment opportunities, prepare supporting applications and reporting materials, including applications, budgets, pitch decks, etc.

• Develop and execute on initiatives pertaining to new areas of growth, especially on fundraising programs that generate investments, grants and other financial and resource support for QBO to improve its long-term viability

• Non-monetary support like SWEEP on broadband

4.4.1.6 Other Duties

• Administration of the Incubator and any other activities which requires the manager’s support.

• Stay updated on new approaches, tools and best practices on incubation management.

4.4.2 Project Development Lead (Project Development Officer III) Will be in-charge in the day-to-day management and operation of the whole incubation center. The key responsibilities of the Project Development Lead include:

• Project Management & Capacity Building,

• Monitoring & Evaluation,

• Relationship Management & Development,

• other related duties

4.4.2.1 Project Management and Capacity Building

• Ideate, plan and coordinate S.M.A.R.T. programs and activities related to the

growth and expansion of the startup ecosystem, both locally and regionally based

on the work plan created by the Project Leader/Center Manager;

• Design, develop and coordinate startup ecosystem-related programs (such as

hackathons, networking sessions, demo days, pitching competitions, workshops,

acceleration programs, etc.);

• Provide necessary input for programs and activities by preparing preliminary

documents such as project framework, activity proposals, terms of reference and

memorandum of agreement/understanding necessary for the activities of the

program;

• Ensure timely and efficient implementation of TBI projects and activities by

supervising day-to-day operation of the TBI;

• Plan and manage financial resources related for conduct of projects and activities;

• Ensure execution of marketing and communication initiatives are aligned with

brand and communication objectives;

• Organize and facilitate meeting among team and the management; and

• Stay updated on new approaches, tools and best practices on startup growth and

development.

4.4.2.2 Monitoring and Evaluation

• Coordinate and ensure smooth communication between BARAS and its partners

and other stakeholders;

• Develop and implement monitoring and evaluation systems that will ensure

tracking of project results; and

• Provide regular and timely updates and reports to team and management on

project progress from facilitating the preparation of the following: a. project’s

periodic accomplishments/progress reports; and b. financial reports which shall be

packaged as a project output (monthly for team, quarterly and annually for

management).

4.4.2.3 Relationship Management & Development

• Identify and process on-boarding of potential or new community partners and

develop existing community partner relationships through forging of Memorandum

of Agreements or Understandings (MOA/MOU);

• Facilitate interactions with organizations that support or create a favorable

environment for startup ventures and build relationships with partners and startups;

and

• Participate in events and activities with local and international accelerators,

government, corporates, universities, foundations, and other organizations that

promote the company mission and the greater Philippine startup ecosystem.

4.4.2.4 Other Duties

• Stay updated on new approaches, tools and best practices on incubation management.

4.4.3 Program Associate Head for Startup and Community Development (Project Assistant III)

Works closely with BARAS management and team in implementing initiatives developed

by the TBI coordinator. Key responsibilities of the Program Associate Head for

Community Development include:

• Project Management,

• Monitoring and Evaluation,

• Marketing,

• other related duties

4.4.3.1 Project Management

• Assist Program Development Lead in executing projects related to the growth and

expansion of the startup ecosystem, both locally and regionally such as

hackathons, networking sessions, demo days, pitching competitions, workshops,

acceleration programs, etc.;

• Coordinate with trainers and speakers in implementing pre-incubation and

incubation program; and

• Manage the day- to- day interaction with the entrepreneurs and startup companies

• Manage and track team operations using an online project management tool.

• Stay updated on new approaches, tools and best practices on startup growth and

development.

4.4.3.2 Monitoring and Evaluation

• Coordinate and ensure smooth communication between BARAS and its

entrepreneurs and startup companies all throughout the program (pre-incubation,

incubation and post incubation)

• Develop and implement monitoring and evaluation systems that will ensure tight

management of milestones and progress of entrepreneurs and start-up companies

• Coordinate with mentors in monitoring and evaluation of entrepreneurs and startup

companies and their performance, recommend quality improvement

measurements and action plans, craft future programs based on startup needs.

4.4.3.3 Marketing

• Handle the following: website, social media and electronic direct mail to

communicate and engage BARAS with both the entrepreneurs and startup

companies, partners and other stakeholders.

• Facilitate the dissemination of invitation, registration and other forms of

communications of BARAS programs and activities to its entrepreneurs and

startup companies, partners and other stakeholders.

• Establish connection with other startup enablers through email and social media

to gather startup related event information for community dissemination

4.4.3.4 Other Duties

• Assist faculty staff on advising entrepreneurs and startup companies in terms of;

o Market research and validation for potential industry partners/users of

technologies,

o Business generation and development for potential industry partners/users

of technologies,

o Negotiation with potential industry partners/users of technologies, and

4.4.4 Admin and Finance Associate (Project Assistant III)

Works primarily on internal operations ensuring all necessary documents are in place for the conduct of various TBI programs and activities to keep everyone in functions and moving smoothly. The Admin Associate works closely with the BARAS team and plays a key role in:

• Office Management

• Administrative Duties - planning and scheduling activities and other logistical duties, organizing & managing files, finance, accounting and procurement

• other related Duties – assisting people including interns.

4.4.4.1 Office Management

• Maintain the BARAS facilities and support its day-to-day operations;

• Monitor office supplies, merchandise and other general items used for daily operations and handles its procurement process if needed; and

• Maintain a filing system for both hard and soft copies of important documents.

• Develop processes, procedures, and policies of the incubator and manage day- to- day activities.

4.4.4.2 Administrative Duties

• Preparation and mobilization of documents necessary for the conduct of activities and programs such as request letter, activity proposal, space and equipment reservation, cash advance, etc.

• Purchase request for food and catering, office supplies, and other supplies needed

• Travel documents such as Travel Order, Authority to Travel, Authority to Hire a Vehicle, and other travel related documents.

• Preparation and mobilization of post-activity documents such as narrative report, minutes of the meeting, liquidation documents like receipts, BIR forms, etc.

• Track, monitor and keep records of budget utilization;

• Coordinate and maintain records for staff like monthly accomplishment report;

• Create content for BARAS newsletter;

• Acts as liaison with BulSU finance/accounting in preparing financial and progress reports tor submission to funding agency

• Assist with other tasks and provide support to overall project team

4.4.4.3 Other Duties

• Assist in hiring/recruitment and lead the training and onboarding of new teammates

• Handle internships and student affiliates which includes hiring, training, onboarding, evaluation and exit

4.4.5 Marketing, Multimedia and Content Associate (Project Assistant III)* Works primarily in creating and delivering valuable and relevant content to existing and potential partners and beneficiaries (“stakeholders”) to drive traffic, engagement, collaboration, retention, and potential profitable action. Key responsibilities of the Content Associate include:

• Marketing

• Public Relations & Communications

• other related duties

4.4.5.1 Marketing

• Ensure online and offline content is consistent with tone, persona, and overall BARAS brand

• Map out short-term and long-term content strategy which includes the content calendar and effective marketing initiatives that will translate into stakeholder action

• Handle the following: social media, physical collaterals and merchandise, presentations, and other relevant media to communicate and engage BARAS with stakeholders

• Draft and manage marketing budgets for campaigns;

4.4.5.2 Public Relations & Communications

• Plan and execute on initiatives that help promote and keep BARAS relevant to stakeholders

• Develop relationships with media and relevant stakeholders

• Effectively communicate and present project results and outputs to stakeholders in various formats (papers, presentations, videos, etc.);

• Introduce, implement, enforce and constantly improve standard operating procedures and efficiency measures in relation to marketing and public relations

• Put in place systems for relevant project documentation and supervise collection of data for record keeping,

• Stay updated on new approaches, tools and best practices on brand, marketing and public relations

• Develop metrics and key performance indicators (KPIs) in marketing campaign success

4.4.5.3 Other Duties

• Assist entrepreneurs and startup companies in creating personalized graphic design work like technical drawing, step by step visuals, hand drawn icons, etc. to support their innovation and help in designing their company logo to establish branding.

4.4.6 Faculty Lead

4.4.6.1 Technology Development Lead Acts as mentor/coach to entrepreneurs and startup companies on;

• Reviewing the technical desirability and feasibility of the startup projects

• Connecting startup teams to other technical experts

• Matching of technical know-how (Market/Customer Validation) to industry challenges (Industry Partner Pool)

• Technology validation for potential industry partners/users of technologies

• Connecting with other technical prototyping, production and validation facility

• Pitch Deck and proposal writing for fundraising

• Help convert technology concept to product features

• Stay updated on new approaches, tools and best practices on startup growth and development focusing on technology validation, prototyping and production.

4.4.6.2 Business Development and Technology Transfer Lead Acts as mentor/coach to entrepreneurs and startup companies on;

• Reviewing the business viability of the startup projects

• Composing financial statements and projections

• Client pool (Validation, Negotiation and Sales) relevant linkages to established companies for business opportunities.

• Pitch deck, business development and proposal writing for fundraising

• Stay updated on new approaches, tools and best practices on startup growth and development focusing on validation, negotiation and sales

4.4.6.3 Academic Lead Coordinate BARAS programs to various academic units in the university and other HEIs in the region especially the LinangIN incubation program. The academic lead will assist academic units and other HEIs in screening potential incubatees and participants to Technopreneurship training for Teachers through TBI clinics stated in section 3.3.6.1.2. He/she will also participate in various focus group discussion in relation to building technopreneurship culture in BulSU and partner HEIs like syllabus development for technopreneurship course.

4.4.7 Faculty Coordinator

• Provide assistance in scouting possible incubatees through TBI clinics.

• Provide assistance in coordinating BARAS programs to various academic units in the university

• Provide assistance in coaching of incubatees

• Provide contacts and facilitate onboarding of other industry partners

4.4.8 Mentors

• Mentors help coach incubatees to be in the best position to make the right decisions for their startup businesses.

• The ideal mentor has an entrepreneurial background and/or specialized industry experience.

• Being a mentor is a non-solicitation role where mentors volunteer their time and talents to help startups along their journey.

• Mentoring with startups can be done in different formats depending on what the mentors and startups are comfortable with. It may be via email, phone, virtual conference or over coffee. The commitment of a mentor varies from person to person, based on mentors’ availability and areas the startups need support in but may include:

o On-going consultation o Participation in startups’ advisory board o Provide workshops in the mentor’s area of expertise o One-on-one sessions with the startups to provide feedback on their areas

of expertise (e.g. UX sessions reviewing startups’ websites) o One-off consultations or introductions to others who may be able to help the

startup

ARTICLE 5: SAFETY AND SECURITY PROCEDURES

Section 1. Security

One of the highest priorities of the TBI is the safety and security of tenants. Therefore, it is important to provide instructions on emergency procedures. Being prepared and staying calm are the two most helpful aids to coping effectively during emergencies. Tenants should report any suspicious acts, threats of violence, evidence of firearms or other potentially dangerous situations immediately to on-site Staff or Management. PERSONAL FIREARMS ARE NOT PERMISSIBLE IN THE TBI premise.

Section 2. Moving and Delivery Guidelines

• The TBI has the right to prohibit certain heavy equipment/furniture that may stress any portion of the floor. All damage done to the Building by the improper placing of such heavy items will be repaired at the sole expense of the responsible tenant. • The tenants are responsible for notifying the TBI when safe or other heavy equipment are to be taken in or out of the building. The moving should occur after receiving written permission from TBI outlining the conditions for the move. The tenant’s moving contractor must report any electrical problems or equipment breakdowns that occur during the move which may affect facility operations. They are also responsible for removing all trash and bulky packing materials. • When conditions are such that a tenant must dispose of crates, boxes, etc.it will be the responsibility of the tenant to dispose of the items. • Anyone must avoid blocking any fire corridor, exit door, receptionist area, or hallway as well as park of moving vehicles. • All deliveries must be made via the designated gates.

Section 3. Emergency and Evacuation Procedures

• The TBI will schedule regular, semi- annual fire drills. This allows us to practice and prepare for an emergency so we will react in a calm and orderly fashion in the event of a real emergency. • These practice evacuations are a coordinated effort for everyone in the building. Your serious commitment to these practice evacuations is appreciated. • The Technology Business Incubation Manager will coordinate evacuations. • All rooms and offices shall post a floor diagram within your suite so the staff members and guests can clearly see designated exits. Each tenant will follow established procedures for evacuating persons with disabilities. • If there is a manageable fire, locate the nearest fire extinguisher and attempt to put the fire out while having a colleague contact the Technology Business Incubation office

Section 4. Fire Emergency

In the event that there is a fire, remain calm and follow the instructions below:

• Call the TBI Management or the Security Office. • Know where the fire extinguishers are located. • Know the location of the nearest exit. • In the event of fire, do not use the elevator, • Feel any door before you open it to determine if it is hot. If the door is hot, or if smoke is seeping through the cracks, do not open the door. Go to another exit. • If the exit door feels cool, proceed to evacuate. If there is low hanging smoke, stay low. Crawl on the ground and take short breaths until you reach an exit. • Follow emergency plan guidelines for evacuating any persons with disabilities. • Choose a specific site outside the building that is far enough away from the building to avoid injury from explosion or shattering glass to reconvene with your staff once evacuation has been successfully completed. • Do not return to the building until the Fire Department gives the “all clear”.

Section 5. Power Failure

In the event of an electrical failure, please observe the following guidelines: • Contact the TBI Management office or Security and Safety Office. • If you are instructed to evacuate the building, lock all areas of your premises. • Do not congregate in the hall, receptionist area or in the street. • The TBI Management will notify you as to when the power will be back.

Section 6. Bomb Threat

In the event of a bomb threat: • Remain calm. • Record on paper what the caller said, identify as closely as possible the age, sex, and • Follow the TBI Management directives for evacuation. • Leave your office doors unlocked and open. • Do not touch or handle any unusual items you might find. Report them to the authorities. • Be aware of suspicious persons entering your office or of strange behavior exhibited by any staff persons. Any abnormal activity should be reported to the Bomb Squad. • Take purses, packages, briefcases, suitcases; if left in the area these items could be suspect and may be destroyed by the Bomb Squad. In addition, during evacuations your office could be left unprotected

ARTICLE 6: MISCELANNEOUS PROVISIONS

Section 1. Amendments and Subsequent Issuances

This document is subject to policy revision(s), when needed. For the purpose of

continuous improvement in the administering of the university TBI. Revisions are subject

to the evaluation and recommendation of TBI Steering Committee and by the approval of

BulSU Board of Regents.

Amendments or revisions of DOST-BulSU BARAS TBI Operational Manual may be done

within five (5) years after its effectivity. Any member of the academic community may

propose changes to the Manual by writing a letter addressed to TBI manager specifying

the proposed change/s and this must be substantiated by a written justification. The TBI

Manager shall keep a record of all the proposed changes which will then be submitted to

the Steering Committee for discussion.

Section 2. Separability Clause.

If any part or provision of this Manual that is declared invalid or unconstitutional shall apply

only to that part or provision. The remainder shall be valid and effective.

Section 3. Repealing Clause.

All existing Orders, Circulars, Memoranda, including the Implementing Rules and

Regulations or any portions thereof, prior of issuance, which are contrary to, or

inconsistent with any provision of this Manual, are hereby repealed or modified

accordingly.

Section 4. Effectivity.

This DOST-BulSU BARAS TBI Operational Manual shall take effect upon approval by the

BulSU Board of Regents.

Guinhawa, City of Malolos, Bulacan, herein represented by DR. CECILIA S. NAVASERO-GASCON, University President hereinafter referred to as the UNIVERSITY;

Witnesseth:

WHEREAS, the UNIVERSITY has envisioned itself as the leading research university in the country moving towards an entrepreneurial university that fosters pioneering research and promotes entrepreneurial thinking and actions to create high impact innovation and technology through establishing industry collaboration anchored to the Harmonized National Research and Development Agenda (HNRDA) contributing in the sustainable socio-economic growth and development of the nation.

WHEREAS, the UNIVERSITY is one of the universities supported and funded by Department of Science and Technology - Philippine Council for Industry, Energy and Emerging Technology Research and Development (DOST-PCIEERD) under its Higher Education Institution Readiness for Innovation and Technopreneurship (HeIRIT) Program and has established the DOST-BulSU BARAS TBI.

WHEREAS, The DOST-BulSU BARAS TBI of the UNIVERSITY is tasked to carry out its innovation mandate, to support startups in developing product and services which utilizes emerging technologies as the primary means of innovation by providing all the necessary resources and support which includes but not limited to facilities, mentoring and networking and business matching to be able to grow and evolve into a mature business.

WHEREAS, the INCUBATEE has signified its interest in availing the services offered by the DOST-BulSU BARAS TBI and its willingness to adhere to and abide by the spirit and intent of, and the guiding principles envisioned by DOST-BulSU BARAS TBI, as well as uphold and promote the ideals and objectives of the DOST-BulSU BARAS TBI and the University;

WHEREAS, the activities to be engaged in by the INCUBATEE meet the requirements of the DOST-BulSU BARAS TBI and the University;

NOW, THEREFORE, for and in consideration of the foregoing premises and the mutual covenants set forth herein, the UNIVERSITY and the INCUBATEE hereby agree, as follows:

1. UNDERTAKINGS OF THE PARTIES:

The Parties agree to collaborate in establishing and developing a community of startups as well as technology innovators and entrepreneurs, and to collectively build an environment conducive to and supportive of technology innovation and development, and related activities.

The Parties agree that the following activities or programs constitute possible areas of collaboration:

a. The services provided by DOST-BulSU BARAS TBI including coaching and mentoring, training, workshops, events and basic business and legal services will result in creating more innovative tech solutions and contribute to economic betterment of the society around the University.

b. The opening of opportunities for beyond-classroom training for students,

faculty and staff of the UNIVERSITY through the activities of the DOST-BulSU BARAS TBI Facility.

2. ROLE OF DOST-BulSU BARAS TBI:

The UNIVERSITY through DOST-BulSU BARAS TBI shall provide a hospitable environment for technology research and development, and related research, to be undertaken by a community of innovators and entrepreneurs among faculty members, students, staffs, alumni as well as external stakeholders and, for this purpose, it shall provide the following services:

a. Mentors

Facilitate access to the expertise and skills of the UNIVERSITY’s faculty and other personnel as well as industry partners committed to be part of the

mentors’ pool. Together with DOST-BulSU BARAS TBI agents, mentors works with the INCUBATEE by providing the following services;

i. create a well-defined business plan and marketing strategy based on

extensive market research, competitive analysis, and the INCUBATEEs specific objectives.

ii. provide technical expertise on project research and development

engagements subject to the rules implemented and bounded by

University’s Research Manual. The INCUBATEE will have separate legal documents specifying the terms of engagement for research and development.

iii. assist in any business contracts, employment agreements, and others

to ensure that all things are in regulatory compliance with government requirements as well as Intellectual Property (IP) Protection bounded by the IP Policy of the University.

b. Physical Location

Provide access to the following facilities and support services found in the incubator’s co-working space for their startup operation;

i. Office space/cubicle ii. Conference/Training room iii. Equipment found in the Common Equipment Room iv. Administrative assistance v. Internet Access

Additionally, DOST-BulSU BARAS TBI will arrange access to other university’s research development centers and their services bound by their own guidelines and manual of operation.

3. ROLE OF THE INCUBATEE

a. The INCUBATEE shall attend all training specified in the incubation program.

b. The INCUBATEE must submit the required outputs for every training. Each team is given at most two weeks to one month to complete the output of the previous training/s. Failure to comply with the two-weeks to one month window could mean forfeiting their slot in the pre-incubation program. And they are not allowed to proceed to the next training.

c. The INCUBATEE shall use the DOST-BulSU BARAS TBI facilities and services only for activities relating to or in support of research and development as well as business development and commercialization activities or in support of the objectives and goals of the DOST-BulSU BARAS TBI.

d. The INCUBATEE agrees to give due recognition to the intellectual property rights of the UNIVERSITY and/or its personnel, including its faculty, researchers, and students, for any and all intellectual property produced by collaborative effort of the INCUBATEE and the UNIVERSITY subject to the terms and conditions mutually agreed by the parties concerned.

e. The INCUBATEE agrees to participate, in the manner it deems appropriate, in seminars, symposia, and conferences that will be organized by the UNIVERSITY aiming to bring together members of academic and research and development communities involved.

f. The INCUBATEE shall observe and comply with all existing laws, government issuances, ordinances, and rules and regulations, and those which may hereinafter be promulgated by competent authority in connection with the incubatee’s performance of its obligations and responsibilities or exercise of its rights under this Agreement. Likewise, the INCUBATEE shall also respect and abide by the rules, issuances or guidelines of the UNIVERSITY that are applicable to the Project.

g. The INCUBATEE shall provide DOST-BulSU BARAS TBI MANAGEMENT through their respective mentors on a monthly basis their progress reports in the entire incubation program attached in this document as ANNEX 7 base on submitted Work Plan (ANNEX 8) or set milestones (for incubation and post-incubation stage), and such other documents necessary in the UNIVERSITY's evaluation of INCUBATEEs business enterprise based on established performance indicators/target milestones.

h. The INCUBATEE shall undergo evaluation at 2nd and 4th month.

4. PERIOD OF INCUBATION

The total period of incubation will be up to three (3) years and will start with a 4-month mentorship program commencing on January 4, 2020 and culminating to a Demo Day on June 13, 2020. Afterwhich, the incubatee may commit to be housed in DOST-BulSU BARAS TBI for two (2) years in total up to incubation stage and 3 years up to the post incubation availing services listed in Section 2.

The INCUBATEE may extend the incubation program up to two (2) years upon agreement by both parties after deliberation that the extension will be beneficial to both parties. A separate contract, indicating an updated Gantt Chart and additional goals, will be entered by both parties for the extension to take effect.

5. APPLICABLE FEES The INCUBATEE shall avail the services in Section 2 for free for the entire period of incubation. After which, DOST-BulSU BARAS TBI may charge the INCUBATEE as payment for extending the incubation program.

6. INDEPENDENT CONTRACTOR STATUS

Neither party is, nor shall be deemed to be, an employee, agent, partner, or legal representative of the other party for any purpose. Neither party shall be entitled to enter into any contracts in the name of or on behalf of the other party, nor shall either party be entitled to pledge the credit of the other party in any way or hold itself out as having the authority to do so.

7. BINDING EFFECT

This Agreement shall inure to the benefit of and be binding upon the parties and their respective successors and assigns.

8. CONFIDENTIALITY AND NON-DISCLOSURE

A separate Confidentiality and Non-Disclosure Agreement shall be signed by the parties prior to this TBI Program Agreement attached in this document as ANNEX 4.

9. EFFECTIVITY

This Agreement shall take effect upon the signing hereof by the parties and shall be valid and in force for as long as the INCUBATEE continues to avail of the facilities of DOST-BulSU BARAS TBI limited and stated in Section 4 and complies with all other contractual obligations related to the Project, without prejudice to the right of the UNIVERSITY to rescind or revoke this Agreement in the event the incubatee violates any of the terms and conditions stipulated hereof. The UNIVERSITY for any cause may terminate this Agreement by giving the incubatee a written notice within THIRTY (30) days before the intended date of pre-termination.

WHEREAS, the UNIVERSITY has envisioned itself as the leading research university in the country moving towards an entrepreneurial university that fosters pioneering research and promotes entrepreneurial thinking and actions to create high impact innovation and technology through establishing industry collaboration anchored to the Harmonized National Research and Development Agenda (HNRDA) contributing in the sustainable socio-economic growth and development of the nation.

WHEREAS, the UNIVERSITY is one of the universities supported and funded by Department of Science and Technology - Philippine Council for Industry, Energy and Emerging Technology Research and Development (DOST-PCIEERD) under its Higher Education Institution Readiness for Innovation and Technopreneurship (HeIRIT) Program and has established the DOST-BulSU BARAS TBI.

WHEREAS, The DOST-BulSU BARAS TBI of the UNIVERSITY is tasked to carry out its innovation mandate, to support startups in developing product and services which utilizes emerging technologies as the primary means of innovation by providing all the necessary resources and support which includes but not limited to facilities, mentoring and networking and business matching to be able to grow and evolve into a mature business.

WHEREAS, the INCUBATEE has signified its interest in availing the services offered by the DOST-BulSU BARAS TBI and its willingness to adhere to and abide by the spirit and

intent of, and the guiding principles envisioned by DOST-BulSU BARAS TBI, as well as uphold and promote the ideals and objectives of the DOST-BulSU BARAS TBI and the University;
