Chairman John Moore, MD called the meeting to order at 10 A.M. on January 15, 2019. There were 474,371 shares represented in person/video/phone, 13,715 shares represented by proxy or 84% of total outstanding shares. A quorum was declared. Shareholders in attendance in person, by video, or by phone were Americo Bancshares ESOP (Johnny McCowen, Trustee), Don Bell, Mike Cunningham, Barbara Gann, Hilltop Securities (John Moore), JPM Interests Ltd & II Ltd (James S Moore), Johnny McCowen, Steve McGavock, Todd Moore, John Moore, MD, Jim Nolen, John Ross Phillips, Rebecca Phillips, Phyllis A Moore Trust (James S Moore), Loyd Rinehart, Robert Shapiro Family Trust, Gerald Smith, Brick Sudderth, Powell Thompson, Melissa Thoveson, and Martha Vaughn. James Arnold, Bill Adkins, Troy Melcher, Tracy Riddle and Monique Love were also in attendance. Minutes of the January 9, 2018 meeting were reviewed. The minutes were approved as presented. A letter to shareholders from Powell Thompson and 2018 unaudited financial statements for Americo Bancshares, Inc. were given to each Stockholder in attendance. Powell Thompson reviewed the Letter to Shareholders in detail, a copy of which is attached to these minutes. Chairman Moore noted the positive increase in shareholder value in 2018 and stated that the bank is well positioned for the upcoming year. He noted that the bank’s executive management team remains strong. He also noted that asset quality is solid and non-interest income continues to be a focus, including reestablishing a mortgage division. The tax cuts were impactful to the bottom line. Chairman Moore stated that higher dividends will be considered when the bank’s leverage capital ratio reaches 10% A motion was made by Loyd Rinehart, seconded by Powell Thompson, to elect Mike Cunningham, Steve McGavock, Jim Nolen, Bobby Shapiro, Loyd Rinehart, Melissa Thoveson, James S. Moore, John Moore, Todd Moore, Powell Thompson, Andy Meyercord, Jon Hockenyos and James Arnold to serve as directors for 2019. Motion was unanimously approved. A motion was made by Steve McGavock, seconded by Mike Cunningham, to elect John Moore as Chairman of the Board, Powell Thompson as Vice Chairman, Johnny McCowen as Treasurer, and Tracy Riddle as Secretary for Americo Bancshares, Inc. The motion carried with no opposition. Loyd Rinehart made a motion to ratify and approve all official, legal acts of the Directors and Officers of Americo Bancshares, Inc. for the year 2018. The motion was seconded by Steve McGavock and carried with no opposition. Johnny McCowen reviewed with the stockholders the entire range of insurance coverages for the American Bank of Commerce and Americo Bancshares, Inc. for adequacy. A detailed outline of all the coverage was circulated for review, and added as a part of these minutes. There being no further business, the meeting was adjourned.

To Our Shareholders,

I am pleased to provide you with the financial performance for Americo Bancshares and its wholly

owned subsidiary, American Bank of Commerce for the year ending December 31, 2019. The year got

off to a fast start and in March of 2019, American Bank of Commerce purchased Infinity Mortgage

Holdings, LLC as a wholly owned subsidiary of the bank. Infinity is a free‐standing mortgage company

with locations in Austin, Colorado Springs, Dallas, Houston, Midland and Lubbock. Last year the

company booked over $200 million in mortgage loans. However, at this time, the company is closing out

their year and will not be included in our report to shareholders. We anticipate having Infinity Mortgage

fully consolidated into American Bank of Commerce by the end of this January.

2019 capped another good year for the holding company. Net income was just short of $10 million at

$9,801,153, a slight increase from last year. Total assets grew to $99,704,496, an increase of

$14,307,982, while liabilities decreased from $8,500,114 to $8,092,324. Total equity grew to

$99,704,496, yielding a book value of $153.74 per share, an increase of 16%.

Last year marked another year of earnings growth as American Bank of Commerce earned $10,092,839.

Currently, Infinity Mortgage Holdings is in the process of consolidating their Income Statement and

Balance Sheet into American Bank of Commerce, thus, the reported results do not reflect their financial

performance. The bank ended the year with total assets of $970,943,157, total liabilities of

$872,496,793, and equity of $98,446,363. As noted above, the bank exceeded $10 million in net income

resulting in a return on average assets of 1.05% and a return on average equity of 10.92%.

Asset quality remains excellent. Non‐performing assets remain low and the bank ended 2019 with no

OREO on the balance sheet.

Looking forward, the bank is opening a new location in the Park Cities area of Dallas in January of this

year. We enjoy strong economies across all our markets in Texas and Colorado with low unemployment,

solid job growth, and strong loan demand. We will continue to improve our bottom line by growing

loans and deposits, enhancing noninterest income through the addition of Infinity Mortgage and taking

opportunities to reduce expenses.

This performance is a direct result of the hard work and dedication of our board of directors, officers,

and employees. Their commitment to providing a good return to shareholders while maintaining a

healthy financial institution will allow us to remain an independent community bank for generations to

come.
