1. Theme - “Potential Unlimited”

Every person in this world has amazing potential for growth and change. Each of us individually and collectively as a member of an

esteemed organisation are responsible to take the challenges head on and reveal our unlimited potential to the world.

With strong belief on aforementioned doctrine, the Nagpur Branch of WIRC of ICAI patronised the theme “Potential Unlimited”,

during the year 2015-16. The theme of Hon'blePresident of ICAI, Shri Manoj Fadnis and the theme of “Spearheading Excellence ”

WIRC under the able leadership of WIRC Chairman Shri Sunil Patodia further guided us in our working “Empowering Excellence”,

throughout the year and inspired us to organise various programs for the benefit of the CA fraternity.

Our logo i.e. an eagle on the globe represents the competence and ability of our members to provide quality services on a world wide basis.

2. Hosting Mega Events

Various National and Regional level mega events were successfully hosted during the year such as:-

3. Felicitation of ICAI & WIRC Torch Bearers, Political Leaders, Top Bureaucrats and Government Officials

Various Central, State and Local Level Dignitaries were invited and felicitated at the Branch forum. Hon'ble Union Minister, Shri Nitin Gadkari, Shri

Sudhakar Deshmukh, Smt Sumitra Mahajan, Shri Chandra Shekhar Bawankule, Shri (MLA), Hon'ble Loksabha Speaker, Hon'ble Energy Minister,

Krupal Tumane, Shri Ajay Sancheti, Shri S.P.Tulsian, Shri Manoj Kumar Shri Rakesh Sethi, Hon'ble MP, Hon'ble MP, Editor, CNBC, , CGM, SEBI, CMD,

Allahabad Bank, President ICAI, Chairman WIRC are few of the prominent names. Nagpur branch was also fortunate CA. Manoj Fadnis, CA. Sunil Patodia,

4. Academic

The branch conducted various Seminars & Conferences (22), Lecture Meets & Panel Discussions (13), Certificate Courses & Training Programmes (11),

Workshops (5) and Study Circle Meets (17) remodelled and redesigned as throughout the year concentrating on providing value added “Mudde Ki Baat”

5. Capacity Building Measures A host of programs were organised to build the professional capacity of members especially young members and women members. These included

Intensive Study Course on Companies Act Various workshops on Information Technology related aspects such as Advanced Excel and Tally. An all highlighting the theme Women Members' conference was also hosted under the aegis of Women Empowerment Committee of ICAI,

“Women Empowerment – Need of the Nation”, alongwith other exclusive workshops for the women members. Information System Audit Course, Certificate Course on Concurrent Audit of Banks, & Certificate course on Forensic Audit DISA Refresher Course

& Fraud Detection were also hosted during the year.

6. Fellowship, Sports & Cultural Activities Apart from regular fellowship programs such as Holi Milan, Diwali Milan, Ganesh Sthapana etc various unique fellowship programs Branch Foundation Day Celebration and Bhajan Sandhya (wherein ), Cyclothon, Walkathon etc were hosted during the year. former managing committee members were felicitated Sports events such as swimming competition and Indoor sports events such as Badminton, Table Tennis, Chess etc were organised on the occasion of Republic Day etc were also organised. Ek Shaam CA ke Naam, a cultural extravaganza witnessing performances of members and their families was applauded by the huge quantity of audience present on the occasion.

7. Training to Students Branch is regularly organising training courses such as GMCS II, GMCS I, Orientation Course, 100 hrs ITT Course, Advanced ITT Course, Orientation for Campus Placement etc. Coaching For CA Students - Mock tests, revisionary classes and crash courses were also conducted for the benefit of the students.

8. Other Students Activities Nagpur Branch of WICASA was quite active during the year organising various programs for the benefit of the students such as Seminar on Companies Act, Bank Branch Audit, Finance Bill etc. Industrial visits and educational visits were also conducted during the period. Fellowship events like Holi Milan and pool and snooker competition were also held to improve brotherhood and cooperation among students. Nagpur Branch of ICAI has tied up with Shree Agrasen Chhatravas, Ravinagar, Nagpur managed by Shri Agrasen Bhavan, Nagpur for providing hostel facility (lodging & boarding) for CA students of Central India, during examination.

9. Reading Room / Library Facility Facilities for reading room and library were provided at various centres in the city during the year. Its an honour for Nagpur Branch to sign up an MOU with following two institutions for providing reading room / library facilities throughout the year on honorary basis:- MKH Sancheti Public School, Nagpur Kamla Nehru Engineering College, Nagpur

10. Public Awareness and Image Building Programs Nagpur Branch took various initiatives to strengthen the image of profession in the eyes of the society. Several career counselling programs were conducted at different schools and colleges to create awareness about CA as a career option. A Special Live Career Counselling Session was also organised at All India Radio where instant queries via phone calls were attended. Major programs on budget were organised jointly with prominent trade and other associations of Nagpur. Press meets were also regularly organised to inform about ICAI policies and updates. Members are regularly writing informative columns in newspapers. Regular interactive meets and panel discussions were organised with Income Tax, Service Tax, LBT and Service Tax authorities focussing on problems being faced by the members and solutions thereof. Branch was also fortunate to receive extensive coverage of its major events and programs in major newspapers on local and state level. The news of the National Convention for CA students hosted in the month of July, 2015 received wide publicity across Maharashtra where the convention was inaugurated at the hands of Shri Devendra Darda, MD, Lokmat Media Ltd

11. Joint Programs with Trade Associations, NGOs and Tax Departments Various joint programs were organised with Trade and Industries Associations such as Vidarbha Industries Association, Nag Vidarbha Chambers of Commerce Limited, Nagpur Chamber of Commerce Limited and Vidarbha Tax Payers Association. Also various interactive meets with Income Tax Department, Sales Tax Department, Central Excise & Custom, Service Tax Department etc were also organised.

12. Social Projects Upholding the idea of “Benefit of all” and our commitment towards society, Nagpur branch enthusiastically organised various programs such as blood donation camp, eye check-up camp, full body check-up camp etc. An attempt to create awareness for organ donation was undertaken via organ donation camp on CA day and we proudly state that on the occasion almost 17 members & students took pledge to donate organs. Visit to orphanage, deaf and dumb school and distribution of literacy kits to under privileged students, were other major social projects.

13. GO GREEN / E- Initiatives / Swachh Bharat Abhiyan was also done at various places to amplify the “Go Green” concept. Tree plantation was promoted by the branch and the logo thereof was prominently displayed on the cover page of monthly news bulletin.Swachh Bharat Abhiyan A programme on Swachh Bharat Abhiyan was organized at Garoba Maidan, wherein awareness regarding cleanliness was created among masses. The event was attended by approx 8,000 people. “Go Green” philosophy was also advocated during the year by totally in various programs of the stopping the use of plastic and plastic material branch instead of paper copy was also promoted amongst the members. E-newsletter of the National convention for CA students was given to the students in , in place of paper copies. 14. Infrastructure Branch is continuously developing its existing infrastructure and ensures adequate repairs and maintenance for better utilization of its facilities. Provision for

barrier free entry was made for differently abled persons to access the branch facilities.

15. Other Activities Campus Orientation programme scheduled by ICAI was successfully hosted by the branch. Campus Interview programme was successfully conducted with

new entrants being offered job with good pay package.

16. Mobile Application (Available on Playstore – ICAI Nagpur) & Website (www.nagpuricai.org)

Nagpur Branch launched its mobile app during the year. Branch also has its own interactive website. Communication through SMS, circulars, branch profile,

e-mails, annual planners and member's directory are other features.

17. Monthly Newsletter (PDF enclosed in DVDs) Monthly newsletter of Nagpur branch is another jewel in its crown featuring various informative articles and updates.

Academic Believing in the philosophy of “Gaining knowledge through sharing knowledge”, this year Nagpur branch redesigned and renamed its study circle as “Mudde ki Baat”. Various issues concerning practical aspects were taken up and tackled in these meetings. Members having expertise in the particular field were invited to share their expert knowledge and experiences. Mudde Ki Baat proved to be a source of true value addition for the professionals, which will surely support our members to excel in their career.

Sunil Patodia (Chairman WIRC), CA. Sunil Talati (Past President ICAI), CA. Jaydeep Shah (Past President ICAI), CA. Ashok Chandak (Past President ICAI) and CA. M.M. Chitale (Past President ICAI).

Public Awareness Various seminars and informative meets were organised jointly with prominent trade and industry associations at their premises wherein members of trade and industry were informed about taxation and other related issues. Live Screening of Union Budget and Public meet on Immediate Reaction on Union Budget 2015 was organised at branch premises as well as jointly with other trade and industry associations wherein members of the public and press reporters were also involved to create general awareness. Managing Committee and other members delivered lectures on Budget at various programs jointly with other organizations. Branch also associated with local cable operators and organized business talk on various technical subjects like MVAT, Service Tax, Income Tax, VCES and also the role of Chartered Accountants in society.Investor awareness programs and joint programs with other organizations were appreciated by all. A Women's Day rally was organised during the year and a pamphlet enumerating various “Special Rights of Women” was also released to mark the

grand event. Career Counselling reaching to thousands - Live Career Counselling for CA Course was done on air at All India Radio, wherein queries via phone calls,

regarding CA course were answered. Career Counselling was also provided through newspaper.

Contribution to Society In its attempt of contributing towards maintenance of ecological balance, for the first time Nagpur Branch totally and plastic stopped use of plastic materials in its various events and programs. Eco friendly and user friendly kits were used during the programs, which were highly appreciated by all the members. E-newsletter was also prominently promoted amongst the members. drive was undertaken at various places in Nagpur to make the orange city “greener and healthier”. Swachha Bharat Abhiyaan was also Tree plantation

popularised via monthly news bulletin and notepads of the branch. A special program on Swachha Bharat theme was also organised at Garoba Maidan, in a gathering of almost more than 8000 people . Distribution of literacy kits to under privileged students was yet another exclusive program of the branch to work for the upliftment of the society in

general. Visit to Orphanages, Blind Relief Schools, Deaf and Dumb schools were also organised during the year.

Other Unique Programs Felicitation of Former Managing Committee Members was done on Branch Foundation Day in order to express our gratitude for the guidance and support provided by them in the smooth functioning of the branch. Teacher's Day was celebrated with great fervor and enthusiasm wherein various faculties of the courses such as OT, GMCS I, GMCS II, ITT etc were felicitated. Newly qualified members, DISA and DIRM qualified members were also felicitated in an exclusive program. World Yoga Day was celebrated at branch premises to emphasise the importance of yoga in our daily life. Patriotic Rally was organised on Independence Day, attended by members and students in large numbers. On the occasion of Chartered Accountants Day, Nagpur Branch organized Tree Plantation and numerous camps viz Blood Donation, Eye Check up,

Dental Checkup, Basic Body Check up, Skin & Hair Care, Organ Donation Awareness Programs in which members & students donated blood and pledged for organ donation.

12. Awareness to Members about the different portals of ICAI in Seminars/ Conference/ Study Circle Meetings For the first time, Mobile APP- ICAI Nagpur, was also launched. Nagpur Branch is regularly informing the members to register on various portals of ICAI like Faculty registration portal, Examiner registration portal, Observer registration portal etc. Women and Young Members were invited regularly to participate in activites of Women and Young Member Empowerment Committee.

13. Publicizing the Institutes activities through Print / electronic media Yes, Major news concerning ICAI is regularly published in monthly Newspaper clippings. In Nagpur, almost daily news items are printed in the leading newspapers about the major activities of the Institute. The electronic media and cable network also are broadcasting programs related to the Institutes' Activities. More than 1000 press reports had appeared in the newspapers related to ICAI activities at Nagpur during the year. Various announcements, faculty registration portals, scholarship details, promotion of WMEC and YMEC, information about national level events etc. was regularly published in the newsletter. Entire Managing Committee works in most cohesive atmosphere. We work like a family under the able guidance and support of Central Council Members & Regional Council Members, Past President, Past Chairman and seniors from the profession and during the year number of times Nagpur branch witnessed their presence in various activities.

17. Contribution to the society The Nagpur Branch of ICAI had contributed to society by conducting following programs: Managing Committee and other members delivered lectures on Budget at various programs jointly with other organizations. Branch also associated with local cable operators and organized business talk on various technical subjects like MVAT, Service Tax, Income Tax, VCES and also the role of Chartered Accountants in society. Investor awareness programs and joint programs with other organizations were appreciated by all. Various career counseling Meetings were organized at various Schools in and around Nagpur. On the occasion of Chartered Accountants day Nagpur Branch organized Tree Plantation, Blood Donation Camp, Eye Check up, Dental Check up, Basic Body Check up Camp, Skin & Hair Care Camp, Organ Donation Awareness programs in which members & students donated blood.

Nagpur Branch has made available the facility of Reading Room for Chartered Accountants Students at ICAI Bhavan, Dhantoli Nagpur, V.M.V. Commerce College and Shri U.N.H.S. School also special tie up for availibility of reading room throughout the year with MKH Sancheti Public School & Junior College and Kamala Nehru College, Nagpur so that the students can study with full concentration and efficiency for their examinations.

Suggestions for ICAI websiteFor Members 1) Data bank of members should be created for all of their details and documents such as registration certificate, certificate of practice etc. Login and password should be provided to the respective members to access the said information. 2) Deliberations of various international, national and state level dignitaries should be uploaded on the website. Where audio lectures are not available, then atleast text of the same should be provided. 3) Vacancies for various faculties required for courses should be disclosed on the site. 4) There are various service providers who provide information about tenders on payment of a hefty sum. Institute should take initiative and tie up with these service providers to give this information on the website of the institute. 5) Sub-committee portal should be regularly updated. 6) Emphasis should be placed on initiatives taken for young members and women members, thereby highlighting the same on institute's website. 7) Video gallery needs updation. 8) Major activities of regional offices and branch offices across the country should be highlighted to increase the participation of members and students on pan India basis. 9) Site Map for members services should be displayed in one page having all links to Choose From 10) Photo Gallery on first page at a prominent place with Location wise Event wise Groups 11) Tenders Empanelment not on main site but on PDC Site. Enclosure No. 227th December,2015. Suggestions for Improving CA Journal 1. Continuity of articles should not be compromised for the sake of advertisements. 2. A consolidated data of all the articles bifurcated topic wise should be managed, so that articles related to particular topic could be searched on the click of a button. 3. Quality of pages should be improved. 4. The font size of the journal should be increased to make the reader's experience comfortable and soothing to eyes. 5. With recent opening of our economy for international corporate business houses our profession has also become global. Hence it is the need of the hour to have articles of International Expertise in our Journal so that members can have first hand information about various happening in other countries concerning our profession. 6. Chartered Accountants are known to be experts of accounts and taxation but in this dynamic changing business world we cannot remain aloof to economic policies and developments of the country. Industry wise Sector wise specific updates and data should be included in every month.

7. Our profession has become dynamic now days and members are required to advice clients on various other matters other than core areas like audit and taxation. The coverage of write ups can be broadened by including articles on various other topics like industrial policy, labour laws etc. rather than only covering academic issues. 8. ICAI Journal is one the best medium to spread awareness amongst members about various professional opportunities. Inclusion of information about Tenders / Professional opportunities for members will also encourage members to invariably have a glance at the journal. 9. Eminent writers from other fields can be invited so that our members can be benefited. 10. Instead of having continuous write ups in lengthy formats, pictorial presentation of the topic will increase the readability and interest of the readers. 11. Inclusion of Humorous cartoons can be thought of wherever possible to make the topic lighter. A knowledge base entertaining section can also be introduced to make learning with fun. Comments on Exposure Drafts of Revised SAs 700, 705, 706, 570 and New SA 701

Enclosure No. 3As requested by you, we are sending our comments on Exposure Drafts of Revised SAs 700, 705, 706, 260, 570 and New SA 701.

1. The proposed SA 700 prescribes a new format for the auditor's report, wherein the first section of the report shall be the “Opinion” section. The proposal has effectively combined the Introductory Paragraph with the Auditor's Opinion Paragraph. This is a welcome change as this would put additional emphasis on the auditor's opinion and will give additional prominence to this part of the report. 2. The proposed SA 700 has also added the “Basis for Opinion” paragraph which will follow the “Opinion” para. This para will include some content which earlier used to be included under the “Auditor's Responsibility” para. Additionally the Basis for Opinion para will include a reference to the Code of Ethics of the 'Institute of Chartered Accountants of India'. This is a welcome change, as this will provide additional assurance to the readers of the report regarding the independence of the auditor. 3. The proposed SA 700, in the “Auditors Responsibility” para states that the audit provides 'reasonable assurance' and is not a guarantee but gives a high level of assurance. This para has also been shortened a bit. This para and the “Managements Responsibility” para have been proposed to be placed after the “Basis for Opinion” and “Key Audit Matters” para. Thus, the proposal very effectively changes the sequence of the report to bring important paragraphs in the report to the very top. This will significantly enhance the readability of the audit report. 4. It is also proposed to amend the “Management's Responsibility” para as per the proposed SA 570, to include that the management is responsible to assess the entity's ability to continue as a going concern. It also states that the Board of Directors are responsible for overseeing the Company's financial reporting process. This would provide the users of the financial statements an assurance regarding the going concern assumption of the entity about the financial reporting process. And would also further engage the management and those charged with governance. 5. The New SA 701 has introduced a new para, the “Key Audit Matters” para. This is one of the most significant changes in the auditor's report. This would surely enhance the communicative value of the report. This paragraph would successfully highlight the key matters in the audit. The earlier report did not contain any provison to highlight the key matters. This para would also include the reasons why the matter is a key matter and also how it was addressed. Thus it will put responsibility on the auditor to communicate to the users the important matters and address them to the satisfaction of the users of financial statements. This proposal address the interests of the users in matters where the auditor has engaged with those charged with governance and will bring about additional transparency. The auditor will be required to e x p l a i n t h e s i g n i f i c a n t j u d g e m e n t s m a d e i n f o r m i n g a n o p i n i o n o n t h e f i n a n c i a l s t a t e m e n t s . T h i s w i l l b e a v a l u e a d d i t i o n f o r t h e u s e r s . But the proposed SA 701 restricts the scope of the Key Audit Matters para to the current period only. It would be better to extend the scope to the previous year in case of comparative financial statements. 6. As per the proposed SA 705, when the auditor expresses a Qualified or Adverse or Disclaimer of Opinion, the heading shall be amended accordingly. This would make it clear to the user that the auditor's opinion is modified.

Concluding we would like to say that the proposed SA's 700, 705, 706, 570 and the New SA 701 would be a significant value addition to the users of financial statements.

Enclosure No.4 (I) Pre Budget Memorandum24th March,2015 Pre- Budget Memorandum for Direct Taxes. Union Budget 2015 presented the by Finance Minster on 27th February, 2015 in the house should have announced provisions to streamline the tax structure. We hereby submit our Pre- Budget Memorandum as under: 1.) Need to educate Tax Payers – Tax Payers should be educated regarding benefits of paying taxes honestly. Change in the attitude of department is required regarding treatment of tax payers as customers or clients. 2.) Filing of tax Returns by NRIs having one or more property in India – Tax return filing should be made compulsory by NRIs with regard to income received or accrued or arise or deemed to accrue or arise in India with respect to fixed assets held by them. 3.) Single ITR Form for all taxpayers should be provided to simplify the return filing procedures. 4.) Procedure for surrender of PAN should be prescribed for those businesses that are closed and were previously required to compulsorily file return. 5.) An online grievance redressal facility could be provided on the websites to answer the queries related to TDS and E-filing of Returns.

The Narendra Modi Goverment presented the first full-year Union Budget on February 28, 2015, Saturday in the backdrop of huge expectations of General public, Industry & Corporates I am discussing herewith some of the key concerns on Union Budget 2015 in the field of Excise, Customs & Service Tax, which needs immediate attention/intervention by the Central Board of Excise and Customs. 1. Notification No. 12/2015-CE, dated 1.3.2015 amends Notification No. 12/2012, dated 17.3.2012.Two conditions 52 and 53 are inserted in the parent notification. These conditions relates to the exemption of excise duty for Supply through ICB to Mega power projects. The problem is Notification No. 12/2012 already has a condition No. 52. Now where do you insert the second Condition No.52? Will the Board clarify? 2. Supplies from DTA to SEZ : Whether Rebate to Continue & What about Rule 5 Refund for Supplies to Deemed Export Projects ? BUDGET 2015-16 has amended Rule 18 of Central Excise Rules, 2002 w.e.f. 01.03.2015 by specifically defining the term 'export' which shall include only Physical exports. This amendment appears to have raised the question as to whether the manufacturers clearing goods from Domestic Tariff Area ('DTA') to Special Economic Zone ('SEZs') will be allowed rebate of duty paid or not. In other words, post amendment w.e.f. 01.03.2015, the issue as to whether clearance of goods by a manufacturer in DTA to the SEZs qualifies as 'export' or not for the purpose of claiming rebate has now become a subject matter of debate.Furthermore as now Exports would cover only physical exports there is a question on the applicability of Rule 5 refund in cases the asessee is supplying goods to Domestic as well as Deemed Export projects ( under ICB to mega Status projects or to 100% EOU ) 2. Non-excisable goods included within the ambit of 'exempted goods' - but only for the purpose of Rule 6(1) of the Credit Rules . Further Confusion ?Vide Notification No. 6/2015-CE(NT) dated March 1, 2015, Explanations to Rule 6(1) of the Credit Rules have been inserted to state that for the purpose of this Rule, exempted goods and final products shall includeNon-excisable goods cleared for a consideration from the factory. Though an Explanation has been added under Rule 6(1) of the Credit Rules, but the stated explanation may open up fresh issues of litigation because the definition of 'Exempted goods' under Rule 2(d) of the Credit Rules has not been amended simultaneously. Non excisable goods means the goods which are not mentioned in the Central excise tariff having NIL rate of duty or which are exempted vide a exemption Notification. On inclusion of Non Excisable goods for the purpose of rule 6 the value of the same has to be considered for reversal of common Inputs or input services by a manufacturer of dutiable or exempted products or service provider rendering taxable and exempted services.

3. Withdrawal of Education Cess and Secondary and Higher Education Cess : Whether a relief or a Burden ? With the underlying theme of setting the stage for GST, the Union Budget, 2015 has proposed to do away with the Cess. While withdrawal of Cess on Excise duty has been made effective from March 1, 2015, as a parallel change, Cess on Service tax has also been proposed to be withdrawn from the date to be notified after enactment of the Finance Bill, 2015. It is worthwhile here to note that there is no proposal to do away with the Cess on Customs duty and hence Cess on Customs duty will continue to be levied. The said amendment brings many unaddressed issues as rule 3(7)(b) of the Cenvat credit Rules, 2004 permit utilisation of Cenvat credit of Excise duty/ Service tax for payment of Cess but not vice versa. As No Refund scheme is announced on the Unutilized portion of Both the cess the following needs immediate attention of Boarda) What will be the fate of balance of Cess lying unutilized in the hands of manufacturer as on March 1, 2015 and service provider (from a date to be notified)? b) Time lag between effective dates of withdrawal of Cess under the Service Tax and the Central Excise – Accumulation of Credit in the hands of manufacturers. c) Accumulation of Cess distributed by an Input Service Distributor (“ISD”) to manufacturing Unit d) What will be the treatment of balance 50% of the Credit of Cess on the Capital goods? 4. Swachh Bharat Cess – Impact on 'Common Man' Our Beloved Prime Minister has dreamt of Swachh Bharat, thus a new Chapter VI has been inserted in the Finance Bill, 2015 that contains a new levy of Cess called the 'Swachh Bharat Cess' . This Chapter empowers the Central Government to impose Cess on all or any of the taxable services at the rate of 2% of the value of such services, for the purpose of financing and promoting Swachh Bharat initiatives or for any other purpose relating thereto. It is worth observing that the Government has not given any further details of the levy of SB Cess. As a matter of course, SB Cess will increase the rate on taxable services and in effect the Service tax rate will increase up to 16%, rather than 14%, as stated by the Hon'ble Finance Minister in his Budget Speech. The hike in Service tax rate will definitely raise the burden of tax on the 'Aam Aadmi'. Further numbers of questions are haunting the minds of the assessee as follows: a) What all services are going to be covered under the levy of SB Cess? In the absence of clearly defined provisions, it is likely that the SB Cess may re-ignite the tussle on 'classification' of services.b) Whether Cenvat credit of SB Cess would be available or not because there are no amendments proposed in the Credit Rules?

c) Whether there will be restriction as regards utilisation of SB Cess as was in case of EC and SHEC? 5. Ease of Business: Service tax registration within 2 working days – Why only for single premises : Whether a Myth or a Reality ?The Hon'ble Finance Minister in his Budget, 2015 Speech has stated that “To further facilitate the ease of doing business, online central excise and service tax registration will be done in two working days…”

Accordingly, vide Notification No. 5/2015-ST dated March 1, 2015 (effective from March 1, 2015), Rule 4 of the Service Tax Rules, 1994 has been amended to provide that the CBEC shall, by way of an Order, specify the conditions, safeguards and procedure for registration in Service tax. In this regard Order No. 1/15-ST dated February 28, 2015, effective from March 1, 2015 has been issued, prescribing documentation, time limits and procedure for registration for single premises. It has also been prescribed that henceforth registration for single premises shall be granted within 2 days of filing of application.

The speech of the Hon'ble Finance Minister gave an impression that all sorts of Service tax and Central Excise registration would be granted within 2 working days. Had that been the intention, the Order would not have dealt only with the procedure for registration specifically for single premises. This can be taken to construe that the assessee applying for Centralised registration would not be eligible for benefit of 'ease of doing business' as contemplated by the Hon'ble Finance Minister.

6. Reimbursable expenditure charged by the service provider – Whether still excludible to Service tax? Clause 109 of the Finance Bill, 2015 has proposed to substitute Explanation (a) to Section 67 of the Finance Act providing meaning of the term 'Consideration' to, inter alia, include within its purview all reimbursable expenditure or cost incurred and charged by the service provider.The issue of taxability of out-of-pocket expenses has always been a matter of litigation. Before April 19, 2006 there was no specific provision to this effect. However, from April 19, 2006 onwards, with the introduction of the Service Tax (Determination of Value) Rules, 2006 vide Rule 5(1) thereof, Service tax is applicable on gross consideration including all expenses barring the expenses incurred as pure agent. The matter of taxability of such expenses, which is reimbursed by the service recipient, came before various Courts from time to time.

With the landmark judgment in the case of Intercontinental Consultants and Technorats Pvt. Ltd. Vs. Union of India [2013 (29) S.T.R. 9 (Del.)] the Hon'ble High Court of Delhi declared Rule 5(1) of the Valuation Rules as ultra vires of erstwhile Section 66 and Section 67 of the Finance Act and eventually was stucked down. The Intercontinental Case has laid down clearly that a Rule can never exceed or go beyond the Section which provides for the charge or collection of Service tax. At the same time, it was also laid down that Service tax is not exigible on reimbursements of expenses claimed on actual basis by service provider.

Later being aggrieved by the decision of the Hon'ble High Court of Delhi in the Intercontinental Case, the Department filed a Petition for special leave to appeal before the Hon'ble Supreme Court. The Hon'ble Supreme Court has granted leave to appeal and Petition was converted into civil appeal in the case of Union of India Vs. Intercontinental Consultants & Technocrats (P.) Ltd. [(2014) 49 taxmann.com 520 (SC)].

Now, with the proposed amendment in Section 67 of the Finance Act providing for taxability of all reimbursable expenditure despite the pendency of the matter before the Hon'ble Supreme Court, has given light to another area of doubt as to whether the Industry should wait for decision of the Hon'ble Supreme Court in the stated matter or follow the amendments to be made effective after the enactment of the Finance Bill, 2015.

7. Encroachment by Union to the taxing powers of States and issue of double taxation The Union Budget, 2015 has brought certain amendments in the Negative List of Services given under Section 66D of the Finance Act and the Mega Exemption Notification No. 25/2015-ST dated June 26, 2012 providing certain new exemptions from Service tax and at the same time, removing certain Service tax exemptions presently available. However, the same has raised the issue of crossing the constitutional hurdles of division of legislative powers of taxation amongst the Union and States and that of double taxation. Eg : Proposed Service tax to be levied on Admission to various entertainment events, Music concerts, access to amusement parks etc which are already charged to Entertainment tax under the State laws.

8. Rationalization of penal provisions by substituting Section 78 of the Finance Act Section 78 of the Finance Act has been amended to rationalize the provisions relating to penalties in cases involving fraud or collusion or willful misstatement or suppression of facts or contravention of any provision of the Act or Rules with the intent to evade payment of Service tax, in the following manner:

“78. (1) Where ________ ---------------------Provided that where such service tax and interest is paid within a period of thirty days of -(i) the date of service of notice under the proviso to sub-section (1) of section 73, the penalty payable shall be fifteen per cent of such service tax; (ii) the date of receipt of the order of the Central Excise Officer determining the amount of service tax under sub-section (2) of section 73, the penalty payable shall be twenty-five per cent of the service tax so determined: Provided further that the benefit of reduced penalty under the first proviso shall be available only if the amount of such reduced penalty is also paid within such period.The said amendment would be effective only after the enactment of the Finance Bill, 2015.Section 78 of the Finance Act as prevailing at present contains the following provisos :“(1) Where -------- -------------------- “-

Provided also that in case of a service provider whose value of taxable services does not exceed sixty lakh rupees during any of the years covered by the notice or during the last preceding financial year, the period of

thirty days shall be extended to ninety days.

(2) .................................Provided further that if the penalty is payable under this section, the provisions of section 76 shall not apply.....”On one hand, the stated amendment extends additional benefit of reduced penalty of 15% if Service tax, interest and reduced penalty is paid within 30 days of service of Show Cause Notice under Section 73(1) of the Finance Act and 25% if the Same is paid within 30 days of the receipt of Order in Original which may be considered as an appreciated move to reduce burden of penalty on asessees.

The new substituted Section 78 of the Finance Act does not contain the stated 2 provisos which benefited the small service providers and non levy of penalty under sec 76 if penalty under sec 78 is imposed. No doubt that the amended Section 76 and Section 78 of the Finance Act has upheld the mutually exclusive nature of the penalties under Section 76 and Section 78 thereof by drafting both the Sections in such a manner. In other words, Section 76 of the Finance Act to levy penalties in cases not involving fraud or collusion or willful misstatement or suppression of facts or contravention of any provision of the Act or rules with the intent to evade payment of Service tax and Section 78 thereof to cover fraud etc. cases.

However, the issue still remains to be under litigation as in almost all the cases, the Department alleges involvement of fraud or collusion or willful misstatement or suppression of facts or contravention of any provision of the Act or rules with the intent to evade payment of Service tax. Ironically instead of providing relaxation to the assesses from penal provisions under the Finance Act, the Union Budget, 2015 has snatched away some important relaxations from penalties specifically from the hands of small service providers. The Board is required to liberalise penal provisions at least for the small service providers and clear amendment that Penalty levied could either be under Section 76 or Section 78 of the Finance Act.

9. Omission of Section 80 of the Finance Act – Harsh amendment for Honest Tax payers Clause 114 of the Finance Bill, 2015 has proposed to omit Section 80 of the Finance Act that provides waiver from penalty in case of reasonable cause shown. At present, Section 80 of the Finance Act reads as under:“80. (1) Notwithstanding anything contained in the provisions of section 76, or section 77, no penalty shall be imposable on the assessee for any failure referred toin the said provisions, if the assessee proves that there was reasonable cause for the said failure.

(2) ......................”The Finance Bill, 2015 has proposed to omit the concept of 'reasonable cause' as existing presently in Section 80 of the Finance Act. On the contrary, the newly substituted Section 76 of the Finance Act uses the words “for any reason, other than reason of fraud or collusion or wilful misstatement or suppression of facts or contravention of any of the provisions of this Chapter or of the rules made thereunder with the intent to evade payment of service tax” for imposing penalty on non-levy, short levy, and default in payments thereto or erroneous refunds of duties and taxes in Service tax.Accordingly, in terms of the newly proposed Sections 76 of the Finance Act with Section 80 thereof being omitted from the Act, even honest assessees will have to face the brunt of imposition of penalties even when there is reasonable cause for non-payment of Service tax.

In CA Final course there should be one optional subject considering the area in which the students wish to specialize. Some part of articelship training should be invested in compulsory Industrial Training as maximum CA pass-outs opt for jobs in various multi-national companies.Articelship should start after clearing either of the groups of IPCC as the new syllabus of both groups of IPCC include practical as well as theory subjects.Open book exams should be introduced specially for theory subjects where focus should be Analytical Skills and Knowledge & not the ability of mugging up the course.The role of computers in the field of CA's is to a large extent (Accounting ,tally ,CAAT ,SAP ,ERP) .The complete removal of Information Technology subjects from the syllabus of both Intermediate and final is not being considered that advisable .Without a post qualification course(DISA), the qualified Chartered Accountants will be un aware of many basic IT terminologies used in everyday functioning of a business. Suggestion: Information Technology course can be tailored and shared with other subject papers but should not be totally neglected from the syllabus.There are significant changes in the pattern of the course . The recent draft of amendment reflects that the time allotted for orientation, GMCS and ITT courses are combined to form new courses ICITSS and advanced ICITSS have been introduced for three weeks respectively. I personally think that the area where CA's majorly lack in the market is presentation n communication skills (basic reason why MBA students outsmart CA students). As well as the removal of the subject Information Technology on both IPCC and final level should be covered to maximum extent in ITT courses. As per the new suggested scheme the summated time for the courses will decrease which in turn should have been increased as compared to the current courses going on. Suggestion: Increasing the duration of ICITSS and advance ICITSS from three weeks to five weeks respectively.Results of CPT exam: It is observed that the rate of results of all levels in the CA examination declines as student moves from CPT to CA final .As students clear CPT examination in large numbers and

gradually it becomes difficult to pass the examination in further levels as the efforts so made in the foundation level is quite less as required in other levels .We believe that , the percentage of students passing should be balanced throughout. So, the toughness of the subjective examination in the foundation level should be so optimized that the students should make efforts to clear foundation examinations which in turn will be helpful to them in their future journey of Chartered Accountancy.In the foundation level the core subject accountancy should be subjective rather than objective and economics should be kept objective as it was before .This can help the students to get through the subject of accountancy in the same manner as required in other levels. The stretching up of the examination pattern will take up an additional year to qualify CA which is why it is not very recommendable.Organising ICITSS, before joining the articleship, may create undue pressure on branch to organize and accommodate the eligible students.

SM also imbibes managerial skills, which CA students generally lack. 5 Addition of International 1. There is never any harm in studying one more topic and this subject might act as a catalyst in professional growth. So international taxation is a welcome step. Quarterly working reports should be sent to ICAI c. Coaching classes for CA Final and IPCC 2nd Group shouldn't be between 11:00 am to 5:30 pm. 8 Additions to syllabus 1. Chapter/subject on Drafting documents (Notes to accounts, standards on auditing, qualifications, disclaimers, appeals, compliances to legal notices, report writing etc.) needs to be introduced with the proper weightage and coverage. Most of members students lack the skill even after qualifying the exams. 9 ATC course 1. ATC course is a relief for those students who find it difficult to clear CA exam but are good as accountants. This course should not be repealed atleast as long as direct entry in the curriculum is permitted. 10 Reliance on Private 1. Proper coaching and college environment should be introduced for CA students by institute itself, so as to create healthy study environment for CA students and Coaching also to further bridge the gap between ICAI and CA students. 11 Entry & exit to the course 1. The percentage of students passing should be balanced throughout. So, the toughness of the subjective examination in the foundation level should be so optimized that the students should make efforts to clear foundation examinations which in turn will be helpful to them in their future journey of Chartered Accountancy.

In CA Final Course there should be one optional subject considering the area in which the students wish to specialise. 2. Open book exams should be introduced specially for theory subjects where focus should be Analytical Skills and Knowledge & not the ability of mugging up the course. 3. Tablets should be introduced for students at CA Final level which will act as CA's encyclopaedia for them.. 4. Complete digitalization of registration for exams is proposed. 5. The quality of study material needs to be enhanced. The language needs to be improvise, lengthy paragraph needs to be cut short, presentation with form of tables, references can be introduced, graphics, case studies need to be incorporated. 6. 2 Colour study material can add to interest and readability. 7. The compilation can be done in more numbers based on topics, The carry and readability will be improved when the material size is less and its easy to open the page . 16 ICITSS & Adv ICITSS 1. CAs majorly lack in presentation and communication skills (basic reason why MBA students outsmart CA students). As per the new suggested scheme the summated time for the courses will decrease which in turn should have been increased as compared to the current courses going on. Suggestion: Increasing the duration of ICITSS and advance ICITSS from three weeks to five weeks respectively. 2. Organising ICITSS before joining article ship may create undue pressure on Branches to organise and accommodate the eligible students to complete the course and qualify the same. Instead the same be done in First year of article ship.

Empanelment Procedure of Auditors - Empanelment of CA firms to be done with the help of ICAI as data available with MEF is already available for Bank Branch Audits with the ICAI. For gradation of CA Firms Department should rely on the affidavit submitted by Auditor at the time of empanelment.

Increase In Audit Fees In Case of Co-operative Audit of Societies / Banks - As more risk involved due to unorganized operations and management skill into co-operative societies as compare to audit of nationalized bank and co-operative bank; audit fees should commensurate with the Risk Involve in the audit of a Co-operative Societies.

Continue Updation / Changes Into Law & Rule of Co-operative Societies - Considering time to time updation / changes in Law & Rules of Co-operative Societies, circulars as issued by the Registrar of Firms should be made available to Auditors by publishing them on Web Domain or by Circulating through mail.

Responsibility of Filling FIR - The responsibility of filling FIR should be shifted to competent authority to whom Reports are being submitted by the Auditors, so that after the scrutiny of them necessary action of filing FIR may be taken by the Department or Competent Authority.

Further, many of our CA Members have done graduation from your esteemed college. To excel in examination of ICAI, good reading and studying atmosphere is prerequisite. In Eastern Nagpur, yours esteemed Institutes are renowned and are centrally placed.It is past experience, that in many cases students could not perform well at examinations because of non-availability of conducive atmosphere to prepare well for the exams. This is therefore to request you to please arrange for one room at any of your abovesaid premises viz. at school or college premises, for the noble task of joining hands with ICAI, to help needy students.
