FIRST AMENDMENTTO

AGREEMENT FOR PROFESSIONAL SERVICES BY INDEPENDENT CONTRACTOR(Moffatt & Nichol)

THIS FIRST AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES BYINDEPENDENT CONTRACTOR is made and effective as of the 18th day of December,2018, by and between the CITY OF BEAUMONT (“CITY”) whose address is 550 E. 6th Street,Beaumont, California 92223 and Moffatt & Nichol whose address is 3780 Kilro Ai ort WaSuite 600 L011 Beach CA 90806 (“CONTRACTOR”) in consideration of the mutual promisesand purpose contained herein, the parties agree as follow:

RECITALS

A. WHEREAS, CITY AND CONTRACTOR executed that certain AGREEMENTFOR PROFESSIONAL SERVICES BY INDEPENDENT CONTRACTOR (“Agreement”) forproviding Environmental Documentation Services for the Pennsylvania Avenue InterchangeImprovement Project, Pennsylvania Avenue Widening Project and the Pennsylvania AvenueGrade Separation Project, dated December 19, 2017 (Exhibit B); and

B. WHEREAS the Parties wish to amend the Agreement to extend the term andauthorize additional Services and corresponding payment to CONTRACTOR as outlined in theiradditional scope and fee proposal (“Proposal”) dated December 7, 2018, which is attached heretoas Exhibit A; and made a part hereof.

AMENDMENT TO ORIGINAL AGREEMENT

NOW THEREFORE the Parties hereby amend the Agreement as follows:

1. Term M’ A we-"ent The term of the Agreement is hereby extended until theServices are completed not to exceed three (3) years from the date of the Agreementor December 19, 2020.

2. Additional Services and Com ensation. The parties agree to increase the scope ofthe Services, as provided in Section 2 of the Agreement, and accordingly increase themaximum limit on fees authorized to be paid by the CITY set forth in Section 4.01 ofthe Agreement by an additional Fifty One Thousand Six Hundred and EighteenDollars ($51,618) for a total not-to-exceed amount under the Agreement as amendedof Three Hundred Forty seven Thousand One Hundred and Forty One Dollars($347,141). Such compensation for Services, when earned by CONTRACTOR underthe Agreement, shall be paid at the rates and on the terms and conditions set forth in

0 Regional Water Quality Control Board (RWQCB). Impacts to RWQCBjurisdiction are anticipated forimpacts to Waters of the U.S. and waters of the State, triggering the need for a 401 Water QualityCertification. M&Nwill prepare the 401 Certi?cation Application and submit to the RWQCBonbehalf of the City. An estimate of the RWQCBapplication fee is provided for informational purposes,which was assessed using the FY2018-2019 Dredge and FillFee Calculator (Effective Date11/7/2018) Current Calculator accessed athtt s: www.waterboards.ca. ov water issues ro rams cwa401 .Assuming impacts to 1/10acreof Waters of the U.S., the Application fee is anticipated to be $1,638, which should also cover thetotal RWQCB’sProject fee. Please note the RWQCB’sProject fee can vary dramatically based on sizeof impact at $14,489 per acre of impact (of Waters ofthe U.S.)—this is an agency fee and a separatecost from compensatory mitigation costs, which are also paid directly to the agency.

0 CaliforniaDepartment ofFish and Wildlife(CDFW). A CDFW 1602 Streambed Alteration Agreement

will be needed for impacts to Waters of the State. M&Nwillprepare the 1602 Application and submitto CDFW on behalf of the City. Estimates for the CDFW application fees are $5,145.75 based on theStandard Agreement fee schedule for a project that has a total cost of more than $350,000 as foundat the following link htt s: nrm.df .ca. ov Fi|eHand|er.ashx?DocumentID=153001&in|ine. Again,this is an agency fee and a separate cost from any compensatory mitigation costs, which are also paiddirectly to the agency.

Permit application packages for USACE,RWQCBand CDFW. M&N assumes that impacts toWaters of the United States are less than 1/10of an acre; therefore, no PCN is required andinformal coordination with the USACEwill be sufficient.If impacts are greater than 1/10ofan acre, an optional task (Opt. 2 ) is provided in Table 3 tocover the preparation of a PCN.

OBJECTIVE: After the applications are submitted in Task 2, the primary objective of this task is to act asCity's agent in the permit procurement process and coordinate with the project team to obtainadditional information for the agencies as requested, process the applications and obtain the permits.

0 USACE. If a PCN is required, an optional task (Opt. 3 in Table 3) has been included for coordinationwith USACEstaff to answer questions and follow up with USACEstaff until the 404 Nationwide Permitis obtained.

The Beaumont City Council approved soliciting for outside professional engineering services toprepare design, environmentaldocumentation, and right-of-wayacquisition for this project:

CaliforniaEnvironmental Quality Act (CEOA)and National Environmental Policy Act(NEPA}Support. This project will expand the existing partial interchange to include anew westbound on-ramp and eastbound off-ramp to complement the existing rampsand create a full interchange. The City is leading a project to add two ramps to thePennsylvania Avenue interchange with the I-10 freeway. The project would add a‘westboundon-ramp and eastbound off-ramp at Pennsylvania Avenue.

Scope of Services

The following is our understanding of the scope of services and associated tasks to becompleted.

InitialSite Assessment (Hazardous Materials) Study:

Records Review: A search of selected government databases will be ordered from anenvironmentaldatabase company per ASTME 1527-13.

Site Reconnaissance:-Anobservational reconnaissance of the site willbe performed for visualindications of environmental conditions including that which may suggest presence ofhazardous materials. in addition, site conditions will be photo-documented. The sitereconnaissance willbe conducted by a quali?ed environmental professional as de?ned in ASTME 1527-13 and Federal AllAppropriate Inquiry (AAI)criteria.

Interviews: A reasonable attempt will be made to interview present and/or past owners,lessees, key site manager,» occupant, and employees and adjacent tenants (provided they arecooperative) for additional Information about past and present site usage, for propertiesadjacent to Caltrans right-of-way and particularly for "take" properties for expanded right-of-way.

Re ort Pre aration: Upon completion of records review, reconnaissanceand interviews,anillustrated draft report will be issued for comments prior to ?nalization.Once we have receivedand addressed the comments, a fully illustrated ?nal report will be issued summarizing our?ndings, conclusionsand recommendations.

PaleantologyStudy:

A literature record search for paleontological resources will be requested from the SanBernardino County Museum and will cover the study area (including a 1.0-acre buffer).Supplemental research on geological mapping, formations, previous paleontologicalstudies andonline paleontological databases will also be conducted. A report of ?ndings willfollow theguidelines of the Society of Vertebrate Paleontology.

Water Quality Study:

M&Nwill prepare a Water Quality AssessmentReport (WQARfor the project that discusseswatershed characteristics,groundwater hydrology (from the design engineer), regulatoryrequirements, pollutants of concern, receiving waters conditions, and bene?cialuses. Thereport will also discuss design pollution prevention best management practices (B_MPs),construction site BMPs, and treatment BMPsthat are applicable to the project alternativesperthe design engineer and Caltrans Storm Water Quality HandbooksProject Planningand DesignGuide (as applicable). The project's potential impact on water quality willbe evaluatedand mayrecommend mitigation measures necessary to prevent adverse water quality impacts.

RECITALS

This Agreement is entered into on the basis of the following facts, understandingsandintentionsof the parties to this Agreement:

B. CONTRACTOR has made a proposal (“Proposal”) to the CITY to provide suchprofessional services, whichProposal is attachedhereto as Exhibit“A’?;and

B. WHEREAS, the City has determined that the Agreement should be extended.

AMENDMENT TO ORIGINAL AGREEMENT

NOW THEREFORE, the Parties hereby amend the Agreement as follows:

1. Term of A reement. The term of the Agreement is hereby extended to encompass theterm of the Services not to exceed three (3) years from the date of the Agreement orDecember 19, 2020.

2. No Other Chan es. All other terms and conditions contained in the Agreement shallremain in full force and effect. To the extent of a con?ict between this Amendment andthe Agreement, as amended, this Amendment shall control. Provisions in the Proposalother than the price and the Services are of no force or effect. The appraisal reports will be prepared in accordance with all applicable regulations andstandards. including: The Uniform Standards of Professional Appraisal Practice lUSPAP), theUniform Relocation Assistance and Real Properly Acquisition Policies Act of 1970 (49 CFRPart 24),as amended (Uniform Act), the CaltransRight of Way Manual. and any other supplementalstandards required under the scope of work. A current date of value willbe employed.

l. DistributeAppraisal Assignments. Facilitate the distributionof appraisal assignments.including appraisal review reports and ensure clarification of scope of the project.

2. Coordinate Meetings. Hold meetings with the selected appraiser and review appraiser toreview and discuss the project scope, requirements for the appraisal reports and reviews, aswell as the type of reports required and the required written notice of inspection to theowner.

3. issue a Notice of Decision to Appraise letter. The notice willinclude TitleVIinformationwill besent to the property owner via U.$. mail and certi?ed mail. At a minimum, notices willbe sentto the owner's mailing address as shown with the County Assessor's office.

4. Conduct appraisal inspection. An appraisal inspection willbe conducted to become familiarwith the physical and functional characteristics of the larger parcel, as well as to distinguishthe influence of the immediate physical environment.

5. Determinehighest and best use. Just compensation) for the fulland partial acquisitionswill be as set forth in the California Code of Civil Procedure, Part 3. Title7, Chapter 9, Sections1263.320 through 1263.430, as appropriate for eminent domain purposes.

6. Valuation Approach. it is anticipated that the valuation analysis will be completed byemploying the following three approaches to valuation: Sales Comparison, Income and costifone type of valuation is not utilized, an explanation willbe included in the ?nal report.

7. Appraisal Report. A complete narrative appraisal report willbe prepared for each property,and willinclude exhibits and photographs of the larger parcel. The appraisal willbe preparedin accordance with USPAP. The formal Appraisal Reports willbe prepared and delivered intriplicate, plus a PDF copy, following the delivery and approval of draft reports. The appraiserwill also prepare Appraisal Summary Statements.

8. Just Compensation. Upon completion of the appraisal. the appraiser willcomplete aSummary of Just Compensation report to establishthe highest and best use valuation.

The billboards located within the proposed right of way. certainly within proposed Caltrans rightof way. will be appraised utili?ng the Caltrans 20l7 Poster Panel Removal Schedule withconsideration paid for loss of goodwill.

If ?xtures and equipment appraisal services are necessary. our subconsultant, will perform thenecessary research, investigation and analysis to provide written appraisal reports in compliancewith the standards of USPAP. FF&Eappraisal services include the following steps:

1. Documentation Review. Review any documentation pertaining to the billboard andprovided by the property owner and sign company manager, such as invoices, depreciationschedules and construction contracts.Interviews. interview the property owner and sign company manager.Appraisal Coordination. Coordinate with other appraisers to avoid duplication ofcompensation.

4. Apply Valuation Methods. Apply valuation methods. based on the Caltrans 20 i7 PosterPanel Removal Schedule.

l i. Close-Out Acquisition File. Complete a ?nal quality assurance/quality control review on thefile for close-out, provide ?nal status reports to the City and deliver final files to the City uponcompletion of the project. Additionally, the City wiltreceive a flash drive with all pertinentproject data stored in systematically organized project folders.

CPSI will coordinate with the City and Caltrans to prepare the Right of Way Certi?cation.asrequired by Chapter i3, Section 13.10 of the Caltrans Local Assistance Procedures Manual. Ourprocess includes the following:

i. Coordination. Coordinate with Caltrans Local Assistance or Local Programs to ensure thatproject requirements are underway. Thisincludes ensuring that the City has completed allnecessary documents to begin the certification process, (e.g.. the E-76application forConstruction/Right of Way).

2. Assembly. Assemble the Right of Way Certification (1. 2. 3 or 3W) binder with all appropriatedocumentation to be provided by the City. Including documentation showing possession ofthe necessary right of way. utility notices and agreements, relocation plans and costs, andnecessary environmental clearance support.

3. Drafting. Draft the Right of Way Certification form segmenting the different project land rightsacquired along with any Relocation Assistance Program documentation.as applicable.supporting the proper handling of displacees.

4. Delivery. Package and deliver a hard copy of the certi?cation directly to Caltrans DistrictOffice and provide an electronic copy to the City.

5. Revisions. CPSIwillcoordinate revisionsbetween Caltrans and the City, as necessary, andwork with the client to ensure that all schedules of right of way certi?cations are met beforethe project proceeds to construction.

CPSI willcoordinate the identification and disposition of utilitiesand work closely with the Cityand the design team to avoid conflicts. We willreview the utility owners’ documents, andpertinent regulations, regarding utilityrights, as they relate to the project. CPSI provides professional right of way services, including: project coordination andmanagement; appraisal and appraisal review report coordination and attainment; preliminarytitle report review and coordination: acquisition services; terms negotiation; settlementprocurement: escrow facilitation:and relocation assistance, as required.

Upon reviewing the alignment of the existing road, the existing width of the Caltrans bridge andthe likely requirements for the grade separation, we anticipate the need to acquire right of wayon both sides of Pennsylvania Avenue from ist Street to 6th Street for the widening project. CPSIwill implement steps to eliminate the duplication of work as it relates to project overlap,immediately address the utility relocation requirements for all three projects, and outline andadopt mitigation measures to eliminate unnecessary costs and project delays. Below is anoverview of our typical scope of work for the requested services; this scope will be refined witheach assigned project and isprovided only to demonstrate an understanding of the right of wayacquisition and relocation process.

i. Meetings. Attend meetings with the City and their design team, including the initialkick-offmeeting. Meeting minutes, agendas and reports are provided when directed by the City'sproject manager.

Our reports aretailored to each client's speci?cations to provide the critical information necessary formanagement decisions.

8. Project Close-Out. Provide the services required to finalizeand close out the projectaccording to the UniformAct, as amended, FHWAregulations and California law.

The right of way manpower requirements for the Pennsylvania Avenue Grade SeparationProject will be directly related to the right of way consultant's success on the wideningand interchange projects. Without a-thorough understanding and development of aninterrelated scope of work on all three projects. the City will pay for duplicated effortsfor acquiring right of way and consultant service fees. Duplicated efforts would also result ifutility relocation issues for the grade separation are unaddressed during the wideningproject. requiring new notices, plans and specifications, causing additional costs andproject delays. CPSI will implement a responsible approach to each project byconsidering the activities necessary for each project, identifying processes andprocedures to streamline the process, reducing duplication of tasks andimplementing an effective process for both the acquisition assignments and utilityrelocation. with these issues addressed early in the project management process, specialattention willbe paid to the most critical deliverables.

Projecting Rightof Way RequirementsBecause the right of way process for the grade separation is several years away, duringthe development of the management plan for the widening and interchange projects,CPSI willaddress and implement strategies to prepare for thegrade separation project.implementing these steps willpay big dividends, especially relating to the remaining right ofway needs forthe grade separation project. Bytaking these proactive steps. CPSImay onlyneed to acquire a slope easement and a temporary construction easement from fourproperty owners.a Constructionand Maintenance Agreement with the railroad.and anEncroachment Permit with Caltrans.

Allappraisalreview assignments willcomply with Standard Rule 3 of USPAP,

The scope of work for an appraisal review willincludes the following steps:

1. identify the appraiserjs) that conducted the appraisal;2. Become familiar with the subject property and review legal descriptions and plat maps,

title reports, environmental reports. and other documents, as applicable:3. Become familiarwith the subject neighborhood and the comparable properties used inthe various analyses:4. 1. Review Plans. Review project plans to become familiarwith the project and its impact on thevarious properties.2. Verify Conformance. Vertfy that any legal descriptions, right of way plans, surveys andappraisals correspond and are accurate.3. Offer Letter. Prepare and present the written offer letter to the property owner, along with theappraisal summary of value. purchase agreement, deeds, escrow instructions,brochure andagent's business card upon the initiation of negotiations, after review and approval by theCity's representative. Submit all legal documents for the City's legal counsel to review whenlanguage is added, deleted or revised.4. Acquisition and Negotiation. Conduct negotiations for the acquisition of each parcel inaccordance with all federal and state policies and procedures, includingmaking the initialpurchase offer in person when the owner resides in the project area, if possible. Offers to out.of-area owners willbe mailed with a Certified Return Receipt.

Administrative settlement Recommendations. Thoroughly document all contacts with property owners and/ortheir representatives, indicating attendees, time and place of meetings. Documentationincludes thorough diaries and copies of all correspondence and emails. Diariesare updatedimmediately after each contact, if possible, and housed in the permanent acquisition ?le.Parcel Flies. Establish and maintain an accurate and complete working ?le for each parcelin a professional and standard fonnat. Additionally, all pertinent project ?les are maintainedin electronic formats and provided to the City at completion of the project.Meetings. Attend any required or additional meetings, as deemed necessary by the City tocommunicate progressand discuss project issues.close-Out Acquisition File.Complete a final quality assurance/quality control review on thefile for close—out, provide ?nal status reports to the City and deliver ?nal filesto the City uponcompletion of the project. Additionally, the City willreceive a flash drive with all pertinentproject data stored in systematically organized project folders.

1. Coordination. Coordinate with Caltrans Local Assistance or Local Programs to ensure thatproject requirements are underway. Thisincludes ensuring that the City has completed allnecessary documents to begin the certification process, (e.g., the E-76application forConstruction/Right of Way).Assembly. Assemble the Right of Way Certi?cation ll, 2, 3 or 3W) binder with all appropriatedocumentation to be provided by the City, including documentation showing possession ofthe necessary right of way, utility notices and agreements. relocation plans and costs, andnecessary environmentalclearance support.Drafting. Draft the Right of Way Certi?cation form segmenting the differentproject land rightsacquired along with any Relocation Assistance Program documentation, as applicable,_supporting the proper handling of displacees.Delivery. Package and deliver a hard copy of the certi?cation directly to Caltrans DistrictOf?ce and provide an electronic copy to the City.Revisions. CPSIwillcoordinate revisionsbetween Caltrans and the City. as necessary, andwork with the client to ensure that all schedules of right of way certificationsare met beforethe project proceeds to construction.

CPSIwillcoordinate the identi?cation and disposition of utilitiesand work closely with the Cityand the design team to avoid conflicts. We willreview the utility owners’ documents, andpertinent regulations, regarding utilityrights. as they relate to the project. Our team willsubmitpreliminary and final utility base maps and database reports which willidentify potentialconflicts. It is assumed that conflicts willbe reviewed with the design team and avoided:however, if unavoidable, CPSIwillcoordinate the relocation process.The utilityinvestigation process includes:
