ANGGARAN DASAR PT HERO SUPERMARKET TBK
NAMA DAN TEMPAT KEDUDUKAN
Pasal 1 1. Perseroan Terbatas ini bernama : “PT HERO SUPERMARKET Tbk” (selanjutnya
dalam Anggaran Dasar ini cukup disingkat dengan “Perseroan”), berkedudukan dan berkantor pusat di Kota Tangerang Selatan.
2. Perseroan dapat membuka kantor atau mendirikan kantor cabang, kantor dibawah kantor cabang dan kantor perwakilan atau satuan usaha lainnya di tempat-tempat lain, baik didalam maupun diluar wilayah Republik Indonesia sebagaimana ditetapkan oleh Direksi, dengan persetujuan tertulis dari Dewan Komisaris.
JANGKA WAKTU BERDIRINYA PERSEROAN
Pasal 2 -Perseroan ini mulai berdiri sejak tanggal 05-10-1971 (lima Oktober seribu sembilan ratus tujuh puluh satu) dan memperoleh status badan hukum berdasarkan Surat Keputusan Menteri Kehakiman Republik Indonesia sejak tanggal 05-08-1972 (lima Agustus seribu sembilan ratus tujuh puluh dua) nomor: J.A.5/169/11, serta didirikan untuk jangka waktu tidak terbatas.
MAKSUD DAN TUJUAN SERTA KEGIATAN USAHA Pasal 3
1. Maksud dan tujuan Perseroan adalah:
a. Menjalankan usaha dalam bidang perdagangan; b. Menjalankan usaha dalam bidang perindustrian; c. Menjalankan usaha dalam bidang pertanian; d. Menjalankan usaha dalam bidang pergudangan; e. Menjalankan usaha dalam bidang pembangunan dan properti; f. Menjalankan usaha dalam bidang pengangkutan dan jasa; dan g. Menjalankan usaha dalam bidang Pariwisata.
2. Untuk mencapai maksud dan tujuan diatas, Perseroan dapat melaksanakan kegiatan usaha sebagai berikut: a. Kegiatan Usaha Utama adalah:
1. Menjalankan usaha Pasar Swalayan, Department Store, Supermarket, Hypermarket, Minimarket, grosir yang berbentuk perkulakan dan perdagangan ritel lainnya termasuk namun tidak terbatas kebutuhan sandang pangan dan rumah tangga, apotek, toko obat, kesehatan dan kecantikan;
2. Menjalankan usaha sebagai pedagang eceran, leveransir, supplier, grosir, distributor dan agen/perwakilan dari perusahaan dalam dan luar negeri;
3. Menjalankan usaha di bidang pembangunan dan properti, termasuk pengembangan, pembelian dan penjualan, penyewaan serta pengelolaan properti; dan
4. Memberikan jasa manajemen, jasa konsultasi, jasa penasihat operasi, evaluasi, strategi, dan jasa penunjang dan kegiatan lain yang bersangkutan.
b. Kegiatan Usaha Penunjang adalah: 1. Menjalankan usaha dalam bidang perdagangan, termasuk
perdagangan secara ekspor impor, lokal serta antar pulau, baik atas perhitungan sendiri, maupun atas tanggungan dan perhitungan pihak lain secara komisi atau secara amanat dan berdagang segala macam barang-barang elektronik, peralatan dapur dan taman, serta furniture dan peralatan rumah tangga lainnya;
2. Menjalankan usaha dalam bidang industri makanan, minuman, pakaian, sepatu, perlengkapan dan peralatan rumah tangga seperti furniture, peralatan dapur, kamar dan kamar mandi, dan perlengkapan tulis menulis;
3. Menjalankan usaha dalam bidang pertanian, perkebunan, kehutanan, peternakan, perikanan darat dan laut serta pertambakan;
4. Menjalankan usaha dalam bidang pergudangan (bukan veem); 5. Menjalankan usaha dalam bidang pembangunan pada umumnya,
termasuk pemborongan; 6. Menjalankan usaha dalam bidang pengangkutan darat, seperti
agen perjalanan, transportasi, pengiriman barang; 7. Menjalankan usaha dalam bidang jasa pada umumnya, kecuali jasa
dalam bidang hukum dan pajak; 8. Menjalankan usaha dalam bidang waralaba guna menunjang
kegiatan usaha utama Perseroan; dan 9. Menjalankan usaha dalam bidang pariwisata dan jasa boga, seperti
usaha penyediaan makanan dan minuman antara lain restoran, kafetaria dan bakery.
MODAL Pasal 4
1. Modal dasar Perseroan berjumlah Rp 450.000.000.000,- (empat ratus lima puluh
milyar rupiah) terbagi atas 9.000.000.000 (sembilan miliar) saham masing-masing saham bernilai nominal Rp.50,- (lima puluh Rupiah).
2. Dari modal dasar tersebut telah ditempatkan, diambil sebagian dan disetor secara tunai oleh para Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham sejumlah 4.183.634.000 (empat miliar seratus delapan puluh tiga juta enam ratus tiga puluh empat ribu) saham dengan nilai nominal sebesar Rp. 50 (lima puluh rupiah) atau dengan jumlah nilai nominal sebesar Rp. 209.181.700.000,- (dua ratus sembilan miliar seratus delapan puluh satu juta tujuh ratus ribu rupiah).
3. Saham-saham yang masih dalam simpanan akan dikeluarkan menurut keperluan modal Perseroan pada waktu dan dengan harga serta persyaratan yang ditetapkan oleh Rapat Direksi dengan persetujuan Rapat Umum Pemegang Saham (selanjutnya disebut “RUPS”) dengan mengindahkan ketentuan-ketentuan dalam Anggaran Dasar, Undang-undang Perseroan Terbatas (”UUPT”) dan peraturan perundang-undangan di Pasar Modal serta peraturan Bursa Efek di tempat dimana saham-saham Perseroan dicatatkan asal saja pengeluaran saham itu tidak dengan harga di bawah nilai nominal.
4. Penyetoran atas saham dalam bentuk lain selain uang baik berupa benda berwujud maupun tidak berwujud wajib memenuhi ketentuan sebagai berikut : a. benda yang akan dijadikan setoran modal dimaksud wajib diumumkan kepada
publik pada saat pemanggilan RUPS mengenai penyetoran tersebut; b. benda yang dijadikan sebagai setoran modal wajib dinilai oleh Penilai yang
terdaftar di Otoritas Jasa Keuangan dan tidak dijaminkan dengan cara apapun juga;
c. memperoleh persetujuan RUPS dengan kuorum sebagaimana diatur dalam Pasal 16 Anggaran Dasar ini;
d. dalam hal benda yang dijadikan sebagai setoran modal dilakukan dalam bentuk saham Perseroan yang tercatat di Bursa Efek, maka harganya harus ditetapkan berdasarkan nilai pasar wajar; dan
e. dalam hal penyetoran tersebut berasal -dari laba ditahan, agio saham, laba bersih Perseroan, dan/atau unsur modal sendiri, maka laba ditahan, agio saham, laba bersih Perseroan, dan/atau unsur modal sendiri lainnya tersebut sudah dimuat dalam Laporan Keuangan Tahunan terakhir yang telah diperiksa oleh Akuntan yang terdaftar di Otoritas Jasa Keuangan dengan pendapat wajar tanpa pengecualian.
5. Jika saham yang masih dalam simpanan akan dikeluarkan dengan cara penawaran umum terbatas dengan hak memesan efek terlebih dahulu (selanjutnya cukup disingkat dengan “Penawaran Umum Terbatas”), kepada para Pemegang Saham, maka seluruh Pemegang Saham yang namanya tercatat dalam Daftar Pemegang Saham Peseroan pada tanggal sebagaimana ditetapkan oleh Direksi berdasarkan RUPS yang menyetujui Penawaran Umum Terbatas tersebut mempunyai hak terlebih dahulu untuk membeli saham yang hendak dikeluarkan tersebut (selanjutnya disebut Hak Memesan Efek Terlebih Dahulu atau disingkat HMETD) seimbang dengan jumlah saham yang mereka miliki (proporsional). HMETD tersebut dapat dijual dan dialihkan kepada pihak lain, dengan mengindahkan ketentuan Anggaran Dasar dan peraturan perundang-undangan yang berlaku di bidang Pasar Modal. Direksi harus mengumumkan keputusan tentang pengeluaran saham dengan penawaran Umum terbatas tersebut sekurang-kurangnya 1 (satu) surat kabar harian berbahasa Indonesia yang berperedaran nasional sesuai dengan pertimbangan Direksi. Para Pemegang Saham atau pemegang HMETD tersebut berhak membeli saham yang akan dikeluarkan tersebut sesuai dengan jumlah HMETD yang dimilikinya pada waktu dan dengan persyaratan yang ditetapkan dalam keputusan RUPS yang dimaksud dalam ayat 3 Pasal 4 ini. Apabila dalam waktu yang telah ditentukan dalam keputusan RUPS tersebut diatas, para Pemegang Saham atau para pemegang HMETD tidak melaksanakan hak atas pembelian saham yang ditawarkan kepada
mereka sesuai dengan jumlah HMETD yang dimilikinya dengan membayar lunas secara tunai harga saham yang ditawarkan itu kepada Perseroan, maka saham tersebut akan dialokasikan kepada para Pemegang Saham yang hendak membeli saham dalam jumlah yang lebih besar dari porsi HMETD-nya dengan ketentuan apabila jumlah efek bersifat ekuitas yang dipesan melebihi jumlah efek bersifat ekuitas yang akan dikeluarkan, efek yang bersifat ekuitas yang tidak diambil tersebut wajib dialokasikan sebanding dengan jumlah HMETD yang telah dilaksanakan oleh masing-masing Pemegang Saham yang memesan tambahan efek bersifat ekuitas, dengan mengindahkan ketentuan Anggaran Dasar dan peraturan perundang-undangan dan peraturan perundang-undangan yang berlaku di bidang Pasar Modal di Indonesia. Apabila setelah alokasi tersebut masih terdapat sisa saham. -Dalam hal terdapat pembeli siaga dalam Penawaran Umum Terbatas tersebut, maka sisa saham tersebut wajib dialokasikan kepada pembeli siaga, demikian dengan harga dan syarat yang sama dengan yang telah ditetapkan dalan keputusan RUPS tersebut; dan dengan mengindahkan ketentuan Anggaran Dasar dan peraturan perundang-undangan dan peraturan perundang-undangan yang berlaku dibidang Pasar Modal;
6. Ketentuan ayat 3, 4 dan 5 diatas secara mutatis mutandis juga berlaku di dalam hal Perseroan hendak mengeluarkan obligasi konversi, waran atau efek konversi lainnya (”Efek Bersifat Ekuitas”) yang dapat mempengaruhi komposisi kepemilikan saham dalam Perseroan, satu dan lainnya dengan mengindahkan peraturan perundang-undangan yang berlaku di bidang Pasar Modal, dan dengan tidak mengurangi izin pihak yang berwenang sejauh disyaratkan berdasarkan peraturan perundang-undangan yang berlaku.
7. Jika saham yang masih dalam simpanan hendak dikeluarkan oleh Perseroan kepada para pemegang Efek Bersifat Ekuitas yang telah dikeluarkan oleh Perseroan berdasarkan persetujuan RUPS, maka Direksi berwenang melakukan pengeluaran saham dimaksud tanpa memberikan hak kepada para Pemegang Saham yang ada pada saat itu untuk membeli terlebih dahulu saham yang akan dikeluarkan tersebut, satu dan lainnya dengan mengindahkan ketentuan Anggaran Dasar dan peraturan perundang-undangan yang berlaku di bidang Pasar Modal di Indonesia.
8. Pengeluaran efek bersifat ekuitas tanpa memberikan HMETD kepada Pemegang Saham dapat dilakukan dalam hal pengeluaran saham : a. ditujukan kepada karyawan Perseroan; b. ditujukan kepada pemegang obligasi atau Efek lain yang dapat dikonversi
menjadi saham, yang telah dikeluarkan dengan persetujuan RUPS; c. dilakukan dalam rangka reorganisasi dan/atau restrukturisasi yang telah
disetujui oleh RUPS; dan/atau d. dilakukan sesuai dengan peraturan di bidang Pasar Modal yang
memperbolehkan penambahan modal tanpa HMETD (termasuk namun tidak terbatas Peraturan Bapepam dan LK Nomor IX.D.4 tentang Penambahan Modal Tanpa Hak Memesan Efek Terlebih Dahulu).
9. Penambahan modal dasar Perseroan hanya dapat dilakukan berdasarkan keputusan RUPS. Perubahan Anggaran Dasar dalam rangka perubahan modal dasar harus disetujui oleh Menteri Hukum dan Hak Asasi Manusia.
10. Penambahan modal dasar yang mengakibatkan modal ditempatkan dan disetor menjadi kurang dari 25% (dua puluh lima perseratus) dari modal dasar, dapat dilakukan sepanjang : a. telah memperoleh persetujuan RUPS untuk menambah modal dasar; b. telah memperoleh persetujuan Menteri Hukum dan Hak Asasi Manusia; c. penambahan modal ditempatkan dan disetor sehingga menjadi paling sedikit
25% (dua puluh lima perseratus) dari modal dasar wajib dilakukan dalam jangka waktu paling lambat 6 (enam) bulan setelah persetujuan Menteri Hukum dan Hak Asasi Manusia sebagaimana dimaksud dalam ayat 10 huruf b Pasal ini;
d. Dalam hal penambahan modal disetor sebagaimana dimaksud dalam ayat 10 huruf c Pasal ini tidak terpenuhi sepenuhnya, maka Perseroan harus mengubah kembali Anggaran Dasarnya, sehingga modal dasar dan modal disetor memenuhi ketentuan Pasal 33 ayat (1) dan ayat (2) UUPT, dalam jangka waktu 2 (dua) bulan setelah jangka waktu dalam ayat 10 huruf c Pasal ini tidak terpenuhi;
e. Persetujuan RUPS sebagaimana dimaksud dalam ayat 10 huruf a Pasal ini termasuk juga persetujuan untuk mengubah Anggaran Dasar sebagaimana dimaksud dalam ayat 10 huruf d Pasal ini.
11. Perubahan Anggaran Dasar dalam rangka penambahan modal dasar menjadi efektif setelah terjadinya penyetoran modal yang mengakibatkan besarnya modal disetor menjadi paling kurang 25% (dua puluh lima persen) dari modal dasar dan mempunyai hak-hak yang sama dengan saham lainnya yang diterbitkan oleh Perseroan, dengan tidak mengurangi kewajiban Perseroan untuk mengurus persetujuan perubahan Anggaran Dasar dari Menteri atas pelaksanaan penambahan modal disetor tersebut.
12. Penambahan modal disetor menjadi efektif setelah terjadinya penyetoran, dan saham yang diterbitkan mempunyai hak-hak yang sama dengan saham yang mempunyai klasifikasi yang sama dengan yang diterbitkan oleh Perseroan, dengan tidak mengurangi kewajiban Perseroan untuk mengurus pemberitahuan kepada Menteri Hukum dan Hak Asasi Manusia.
SAHAM Pasal 5
1. Semua saham yang dikeluarkan oleh Perseroan adalah saham atas nama. 2. Perseroan dapat mengeluarkan saham dengan nilai nominal atau tanpa nilai
nominal. 3. Pengeluaran saham tanpa nilai nominal wajib dilakukan sesuai dengan peraturan
perundang-undangan di bidang Pasar Modal. 4. Perseroan yang hanya mengakui seorang atau 1 (satu) badan hukum sebagai
pemilik dari 1 (satu) saham, yaitu orang atau badan hukum yang namanya tercatat sebagai pemilik saham yang bersangkutan dalam Daftar Pemegang Saham perseroan.
5. Apabila 1 (satu) saham atau lebih karena sebab apapun menjadi milik beberapa orang, maka mereka yang memiliki bersama-sama itu diwajibkan untuk menunjuk secara tertulis seorang diantara mereka atau seorang lain sebagai kuasa mereka
bersama dan hanya orang yang ditunjuk atau diberi kuasa itu sajalah yang namanya dicatat dalam Daftar Pemegang Saham Perseroan dan orang yang ditunjuk atau yang diberi kuasa ini harus dianggap pemegang yang sah dari saham (saham) yang bersangkutan dan berhak mempergunakan hak yang diberikan oleh hukum atas saham (saham) tersebut sesuai dengan wewenang yang termuat dalam surat penunjukkan atau surat kuasa yang diberikan kepadanya.
6. Selama ketentuan dalam ayat 5 diatas belum dilaksanakan, maka para Pemegang Saham tersebut tidak berhak mengeluarkan suara dalam RUPS, sedangkan pembayaran dividen untuk saham itu ditangguhkan.
7. Seorang Pemegang Saham menurut hukum harus tunduk kepada Anggaran Dasar dan kepada semua keputusan yang diambil dengan sah dalam RUPS serta peraturan perundang-undangan yang berlaku.
8. Untuk saham Perseroan yang tercatat pada Bursa Efek berlaku peraturan Bursa Efek di tempat dimana saham tersebut dicatatkan.
9. Seluruh saham yang dikeluarkan Perseroan dapat dijaminkan dengan mengikuti ketentuan peraturan perundang-undangan mengenai pemberian jaminan saham, peraturan perundang-undangan di bidang Pasar Modal dan UUPT.
SURAT SAHAM
Pasal 6
1. Perseroan dapat mengeluarkan surat saham. 2. Apabila dikeluarkan surat saham, maka untuk setiap saham diberi sehelai surat
saham. 3. Surat kolektif saham dapat dikeluarkan sebagai bukti pemilikan 2 (dua) atau lebih
saham yang dimiliki oleh seorang Pemegang Saham. 4. Pada surat saham sekurangnya harus dicantumkan :
a. Nama dan alamat Pemegang Saham; b. Nomor surat saham; c. Jumlah saham; d. Nilai nominal saham; e. Tanggal pengeluaran surat saham; dan f. Tanda pengenal sebagaimana akan ditentukan oleh Direksi.
5. Pada surat kolektif saham sekurangnya harus dicantumkan : a. Nama dan alamat Pemegang Saham; b. Nomor surat kolektif saham; c. Jumlah saham; d. Nilai nominal saham; e. Tanggal pengeluaran surat kolektif saham; dan f. Tanda pengenal sebagaimana akan ditentukan oleh Direksi.
6. Surat saham dan surat kolektif saham harus dicetak sesuai dengan peraturan perundang-undangan yang berlaku dibidang Pasar Modal di Indonesia dan ditanda tangani oleh Direksi yang berhak mewakili Direksi atau tanda tangan tersebut dicetak langsung pada surat saham atau surat kolektif saham yang bersangkutan.
7. Ketentuan ayat 6 di atas secara mutatis mutandis juga berlaku untuk pencetakan dan penandatanganan obligasi konversi, surat waran atau efek konversi lainnya yang sejenis.
8. Untuk saham yang termasuk dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian atau pada Bank Kustodian (khusus dalam rangka kontrak investasi kolektif), akan diterbitkan dalam bentuk sertifikat atau konfirmasi tertulis yang ditandatangani oleh anggota Direksi yang berhak mewakili Direksi atau tandatangan tersebut dicetak langsung pada sertifikat atau konfirmasi tertulis tersebut.
PENGGANTI SURAT SAHAM
Pasal 7
1. Apabila surat saham rusak atau tidak dapat dipakai lagi, maka atas permintaan tertulis dari pemilik surat saham kepada Direksi Perseroan dengan menyerahkan bukti surat saham yang rusak atau yang tidak dapat dipakai lagi, Direksi akan mengeluarkan surat saham pengganti yang nomor sahamnya sama dengan nomor aslinya.
2. Asli surat saham sebagaimana dimaksud dalam ayat 1 kemudian dimusnahkan dan oleh Direksi dibuat berita acaranya.
3. Dalam hal surat saham hilang, penggantian surat saham tersebut dapat dilakukan jika : a. Pihak yang mengajukan permohonan penggantian saham adalah pemilik surat
saham tersebut; b. Perseroan telah mendapatkan dokumen pelaporan dari Kepolisian Republik
Indonesia atas hilangnya surat saham tersebut; c. Pihak yang mengajukan permohonan penggantian saham memberi-kan
jaminan yang dipandang cukup oleh direksi Perseroan; d. Tentang pengeluaran pengganti surat saham karena kehilangan atau rusak
sama sekali, harus diumumkan di Bursa Efek di tempat dimana saham-saham Perseroan dicatatkan sedikitnya 14 (empat belas) hari sebelum pengeluaran pengganti surat saham.
4. Setelah pengganti surat saham tersebut dikeluarkan, maka asli surat saham tidak berlaku lagi terhadap Perseroan.
5. Semua biaya untuk pengeluaran pengganti surat saham itu ditanggung oleh Pemegang Saham yang berkepentingan.
6. Ketentuan dalam Pasal 7 ini, mutatis mutandis juga berlaku bagi pengeluaran pengganti surat kolektif saham, surat obligasi, surat waran dan efek lainnya yang sejenis atau pengganti konfirmasi tertulis.
DAFTAR PEMEGANG SAHAM DAN DAFTAR KHUSUS
Pasal 8
1. Direksi wajib mengadakan dan menyimpan Daftar Pemegang Saham dan daftar Khusus di tempat kedudukan Perseroan.
2. Dalam Daftar Pemegang Saham itu dicatat : a. nama dan alamat para Pemegang Saham;
b. jumlah, nomor dan tanggal perolehan surat saham atau surat kolektif saham yang dimiliki oleh para Pemegang Saham, dan klasifikasinya dalam hal dikeluarkan lebih dari satu klasifikasi saham;
c. jumlah yang disetor atas setiap saham; d. nama dan alamat dari orang atau badan hukum yang mempunyai hak gadai
atas saham atau penerima jaminan fidusia atas saham dan tanggal perolehan hak gadai atau tanggal pendaftaran akta fidusia tersebut;
e. keterangan penyetoran saham dalam bentuk lain selain uang; dan f. keterangan lainnya yang dianggap perlu oleh Direksi dan atau diharuskan oleh
peraturan perundang-undangan yang berlaku. 3. Dalam daftar khusus dicatat keterangan mengenai kepemilikan saham anggota
Direksi dan Dewan Komisaris beserta keluarganya dalam Perseroan dan/atau pada perseroan lain serta tanggal saham itu diperoleh.
4. Pemegang Saham harus memberitahukan setiap perpindahan tempat tinggal dengan surat kepada Direksi Perseroan. -Selama pemberitahuan itu belum dilakukan, maka segala panggilan dan pemberitahuan kepada Pemegang Saham adalah sah jika dialamatkan pada alamat Pemegang Saham yang paling akhir dicatat dalam Daftar Pemegang Saham Perseroan.
5. Direksi berkewajiban untuk menyimpan dan memelihara Daftar Pemegang Saham Perseroan dan Daftar Khusus sebaik-baiknya.
6. Atas permintaan Pemegang Saham yang bersangkutan atau penerima gadai, suatu gadai saham harus dicatat dalam Daftar Pemegang Saham dengan cara yang ditentukan oleh Direksi berdasarkan bukti yang memuaskan yang dapat diterima oleh Direksi mengenai gadai saham yang bersangkutan. -Pengakuan mengenai gadai saham oleh Perseroan sebagaimana disyaratkan dalam Pasal 1153 Kitab Undang-Undang Hukum Perdata hanya terbukti dari pencatatan mengenai gadai itu dalam Daftar Pemegang Saham.
7. Setiap pendaftaran atau pencatatan dalam Daftar Pemegang Saham termasuk pencatatan mengenai suatu penjualan, pemindah-tanganan, pengagunan, gadai, cessie yang menyangkut saham atau hak atau kepentingan atas saham harus dilakukan sesuai dengan ketentuan Anggaran Dasar dan untuk saham yang terdaftar pada Bursa Efek berlaku peraturan dari Bursa Efek di tempat di mana saham dicatatkan, dengan tidak mengurangi peraturan perundang-undangan yang berlaku.
8. Setiap Pemegang Saham berhak melihat Daftar Pemegang Saham dan Daftar Khusus yang berkaitan dengan diri Pemegang Saham yang bersangkutan pada waktu jam kerja kantor Perseroan.
PENITIPAN KOLEKTIF
Pasal 9
1. Saham dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian harus dicatat dalam Daftar Pemegang Saham Perseroan atas nama Lembaga Penyimpanan dan Penyelesaian untuk kepentingan pemegang rekening pada Lembaga Penyimpanan dan Penyelesaian.
2. Saham dalam Penitipan Kolektif pada Bank Kustodian atau Perusahaan Efek yang dicatat dalam rekening efek pada Lembaga Penyimpanan dan Penyelesaian dicatat atas nama Bank Kustodian atau Perusahaan Efek yang bersangkutan untuk kepentingan pemegang rekening pada Bank Kustodian atau Perusahaan Efek tersebut.
3. Apabila saham dalam Penitipan Kolektif pada Bank Kustodian merupakan bagian dari Portopolio Efek Reksa Dana berbentuk kontrak investasi kolektif dan tidak termasuk dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian, maka Perseroan akan mencatatkan saham tersebut dalam Daftar Pemegang Saham atas nama Bank Kustodian untuk kepentingan pemilik Unit Penyertaan dari Reksa Dana berbentuk kontrak investasi kolektif tersebut.
4. Perseroan wajib menerbitkan sertipikat atau konfirmasi tertulis kepada Lembaga Penyimpanan dan Penyelesaian atau Bank Kustodian sebagai tanda bukti pencatatan dalam Daftar Pemegang Saham.
5. Perseroan wajib memutasikan saham dalam Penitipan Kolektif yang terdaftar atas nama Lembaga Penyimpanan dan Penyelesaian atau Bank Kustodian untuk Reksa Dana berbentuk kontrak investasi kolektif dalam Daftar Pemegang Saham menjadi atas nama pihak yang ditunjuk oleh Lembaga Penyimpanan dan Penyelesaian atau Bank Kustodian dimaksud. Permohonan mutasi disampaikan oleh Lembaga Penyimpanan dan Penyelesaian atau Bank Kustodian kepada Perseroan atau Biro Administrasi Efek yang ditunjuk oleh Perseroan.
6. Lembaga Penyimpanan dan Penyelesaian, Bank Kustodian atau Perusahaan Efek wajib menerbitkan konfirmasi tertulis kepada pemegang rekening sebagai tanda bukti pencatatan dalam rekening efek.
7. Dalam Penitipan Kolektif setiap saham yang dikeluarkan Perseroan dari jenis dan klasifikasi yang sama adalah sepadan dan dapat dipertukarkan antara satu dengan yang lain.
8. Perseroan wajib menolak pencatatan saham ke dalam Penitipan Kolektif, apabila surat saham tersebut hilang atau musnah, kecuali pihak yang meminta mutasi dimaksud dapat memberikan bukti dan/atau jaminan yang cukup bahwa pihak tersebut benar-benar sebagai Pemegang Saham dan surat saham tersebut adalah benar hilang atau musnah.
9. Perseroan wajib menolak pencatatan saham ke dalam Penitipan Kolektif, apabila saham tersebut dijaminkan, diletakkan dalam sita berdasarkan penetapan pengadilan atau disita untuk pemeriksaan perkara pidana.
10. Pemegang rekening efek yang sahamnya tercatat dalam Penitipan Kolektif berhak hadir dan/atau mengeluarkan suara dalam RUPS, sesuai dengan jumlah saham yang dimilikinya pada rekening tersebut. Pemegang rekening efek yang berhak hadir dan/atau mengeluarkan suara dalam RUPS adalah pihak yang namanya tercatat sebagai pemegang rekening efek pada Lembaga Penyimpanan dan Penyelesaian, Bank Kustodian atau Perusahaan Efek 1 (satu) hari kerja sebelum pemanggilan RUPS.
11. Bank Kustodian dan Perusahaan Efek wajib menyampaikan daftar rekening efek beserta jumlah saham Perseroan yang dimiliki oleh masing-masing pemegang rekening pada Bank Kustodian dan Perusahaan Efek tersebut kepada Lembaga Penyimpanan dan Penyelesaian untuk selanjutnya diserahkan kepada Perseroan
selambatnya 1 (satu) hari kerja sebelum panggilan RUPS untuk didaftarkan dalam Daftar Pemegang Saham yang khusus disediakan untuk penyelenggaraan RUPS.
12. Manajer Investasi berhak hadir dan mengeluarkan suara dalam RUPS atas saham Perseroan yang termasuk dalam Penitipan Kolektif pada Bank Kustodian yang merupakan bagian dari Portopolio Efek Reksa Dana berbentuk kontrak investasi kolektif dan tidak termasuk dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian dengan ketentuan bahwa Bank Kustodian tersebut wajib menyampaikan nama Manajer Investasi tersebut kepada Perseroan selambatnya 1 (satu) hari kerja sebelum panggilan RUPS.
13. Perseroan wajib menyerahkan dividen, saham bonus atau hak-hak lain sehubungan dengan pemilikan saham kepada Lembaga Penyimpanan dan Penyelesaian atas saham dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian bersangkutan dan seterusnya Lembaga Penyimpanan dan Penyelesaian tersebut menyerahkan dividen, saham bonus atau hak-hak lain kepada Bank Kustodian dan kepada Perusahaan Efek untuk kepentingan masing-masing pemegang rekening pada Bank Kustodian dan Perusahaan Efek tersebut.
14. Perseroan wajib menyerahkan dividen, saham bonus atau hak-hak lain sehubungan dengan pemilikan saham kepada Bank Kustodian atas saham dalam Penitipan Kolektif pada Bank Kustodian yang merupakan bagian dari Portopolio Efek Reksa Dana berbentuk kontrak investasi kolektif dan tidak termasuk dalam Penitipan Kolektif pada Lembaga Penyimpanan dan Penyelesaian.
15. Batas waktu penentuan pemegang rekening efek yang berhak untuk memperoleh dividen, saham bonus atau hak-hak lainnya sehubungan dengan pemilikan saham dalam Penitipan Kolektif ditentukan oleh RUPS dengan ketentuan bahwa Bank Kustodian dan Perusahaan Efek wajib menyampaikan daftar nama pemegang rekening efek beserta jumlah saham Perseroan yang dimiliki oleh masing-masing pemegang rekening efek tersebut kepada Lembaga Penyimpanan dan Penyelesaian, paling lambat pada tanggal yang menjadi dasar penentuan Pemegang Saham yang berhak untuk memperoleh dividen, saham bonus atau hak-hak lainnya, untuk selanjutnya diserahkan kepada Perseroan selambatnya 1 (satu) hari kerja setelah tanggal yang menjadi dasar penentuan Pemegang Saham yang berhak untuk memperoleh dividen, saham bonus atau hak-hak lainnya tersebut.
PEMINDAHAN HAK ATAS SAHAM
Pasal 10
1. Dalam hal terjadi perubahan pemilikan atas suatu saham, pemilik asli yang tercatat dalam Daftar Pemegang Saham harus tetap dianggap sebagai Pemegang Saham tersebut sampai nama pemilik baru telah tercatat dalam Daftar Pemegang Saham Perseroan, satu dan lain dengan tidak mengurangi izin pihak yang berwenang dan peraturan perundang-undangan yang berlaku, ketentuan-ketentuan Anggaran Dasar serta Bursa Efek dimana saham-saham Perseroan dicatatkan.
2. Pemindahan hak atas saham harus berdasarkan akta pemindahan hak yang ditandatangani oleh yang memindahkan dan yang menerima pemindahan atau wajib mereka yang sah.
3. Bentuk dan tata cara pemindahan hak atas saham yang diperdagangkan di Pasar Modal wajib memenuhi peraturan perundang-undangan di bidang Pasar Modal.
4. Akta pemindahan hak sebagaimana dimaksud dalam ayat 2 harus berbentuk sebagaimana ditentukan atau disetujui oleh Direksi dan salinannya disampaikan kepada Perseroan dengan ketentuan bahwa bentuk dan tata cara pemindahan hak atas saham yang tercatat pada Bursa Efek harus memenuhi peraturan yang berlaku di bidang Pasar Modal dan Bursa Efek ditempat dimana saham tersebut dicatatkan.
5. Pemindahan hak atas saham yang termasuk dalam Penitipan Kolektif dilakukan dengan pemindahbukuan dari rekening efek satu ke rekening efek yang lain pada Lembaga Penyimpanan dan Penyelesaian, Bank Kustodian dan Perusahaan Efek.
6. Pemindahan hak atas saham hanya diperbolehkan apabila semua ketentuan dalam Anggaran Dasar telah dipenuhi.
7. Mengenai saham Perseroan yang tercatat pada Bursa Efek, setiap penolakan untuk mencatat pemindahan hak atas saham yang dimaksud harus sesuai dengan peraturan yang berlaku pada Bursa Efek di tempat dimana saham tersebut dicatatkan.
8. Daftar Pemegang Saham harus ditutup pada hari kerja terakhir pada Bursa Efek sebelum diiklankannya pemanggilan untuk RUPS, untuk menetapkan nama para Pemegang Saham yang berhak hadir dalam RUPS yang dimaksud.
9. Orang yang mendapat hak atas saham sebagai akibat kematian seorang Pemegang Saham atau karena alasan lain yang menyebabkan pemilikan suatu saham beralih menurut hukum, dengan mengajukan bukti hak sebagaimana sewaktu-waktu disyaratkan oleh Direksi dapat mengajukan permohonan secara tertulis untuk didaftarkan sebagai Pemegang Saham. -Pendaftaran hanya dapat dilakukan apabila Direksi dapat menerima baik bukti hak itu, tanpa mengurangi ketentuan dalam Anggaran Dasar. -Semua pembatasan, larangan dan ketentuan dalam Anggaran Dasar yang mengatur hak untuk memindahkan hak atas saham dan pendaftaran dari pemindahan hak atas saham harus berlaku pula secara mutatis mutandis terhadap setiap peralihan hak menurut ayat 9 Pasal ini.
RAPAT UMUM PEMEGANG SAHAM
Pasal 11
1. Rapat Umum Pemegang Saham (untuk selanjutnya dalam akta ini disebut “RUPS”) dalam Perseroan adalah : a. RUPS Tahunan, sebagai mana dimaksud dalam Pasal 12 Anggaran Dasar; b. RUPS lainnya, yang selanjutnya dalam Anggaran Dasar ini disebut RUPS Luar
Biasa yang diadakan sewaktu-waktu berdasarkan kebutuhan untuk kepentingan Perseroan, sebagaimana dimaksud dalam Pasal 13 Anggaran Dasar.
2. Istilah RUPS dalam Anggaran Dasar berarti keduanya, yaitu RUPS Tahunan dan RUPS Luar Biasa, kecuali dengan tegas dinyatakan lain.
3. Penyelenggaraan RUPS dapat juga dilakukan atas permintaan seorang atau lebih Pemegang Saham yang baik sendiri atau bersama-sama mewakili 1/10 (satu per sepuluh) atau lebih dari jumlah seluruh saham yang telah dikeluarkan Perseroan
dengan hak suara yang sah, dengan memenuhi ketentuan Anggaran Dasar ini dan peraturan perundang-undangan.
4. Permintaan penyelenggaraan RUPS sebagaimana dimaksud pada ayat 3 diajukan kepada Direksi dengan surat tercatat disertai alasannya.
5. Permintaan penyelenggaraan RUPS sebagaimana dimaksud pada ayat 3 harus: a) dilakukan dengan itikad baik; b) mempertimbangkan kepentingan Perseroan; c) merupakan permintaan yang membutuhkan keputusan RUPS; d) disertai dengan alasan dan bahan terkait hal yang harus diputuskan dalam
RUPS; dan e) tidak bertentangan dengan peraturan perundang-undangan dan Anggaran
Dasar Perseroan. 6. Direksi wajib melakukan pengumuman pemberitahuan RUPS kepada Pemegang
Saham dalam jangka waktu paling lambat 15 (lima belas) hari terhitung sejak tanggal permintaan penyelenggaraan RUPS sebagaimana dimaksud pada ayat 3 diterima Direksi.
7. Dalam hal Direksi tidak melakukan pengumuman pemberitahuan RUPS sebagaimana dimaksud pada ayat 6, Pemegang Saham dapat mengajukan kembali permintaan penyelenggaraan RUPS kepada Dewan Komisaris.
8. Dewan Komisaris wajib melakukan pengumuman pemberitahuan RUPS kepada Pemegang Saham dalam jangka waktu paling lambat 15 (lima belas) hari terhitung sejak tanggal permintaan penyelenggaraan RUPS sebagaimana dimaksud pada ayat 7 diterima Dewan Komisaris.
9. Dalam hal Direksi atau Dewan Komisaris tidak melakukan pengumuman pemberitahuan RUPS dalam jangka waktu sebagaimana dimaksud dalam ayat 6 dan ayat 8, Direksi atau Dewan Komisaris wajib mengumumkan: a) terdapat permintaan penyelenggaraan RUPS dari Pemegang Saham
sebagaimana dimaksud dalam ayat 3; dan b) alasan tidak diselenggarakannya RUPS.
10. Pengumuman sebagaimana dimaksud pada ayat 9 dilakukan dalam jangka waktu paling lambat 15 (lima belas) hari sejak diterimanya permintaan penyelenggaraan RUPS dari Pemegang Saham sebagaimana dimaksud dalam ayat 6 dan 8.
11. Pengumuman pemberitahuan sebagaimana dimaksud pada ayat 9 paling kurang melalui: a) 1 (satu) surat kabar harian berbahasa Indonesia yang berperedaran nasional; b) situs web Bursa Efek; dan c) situs web Perseroan, dalam Bahasa Indonesia dan bahasa Inggris.
12. Pengumuman pemberitahuan yang menggunakan bahasa Inggris sebagaimana dimaksud pada ayat 11 huruf c) Pasal ini wajib memuat informasi yang sama dengan informasi dalam pengumuman pemberitahuan yang menggunakan Bahasa Indonesia.
13. Dalam hal terdapat perbedaan penafsiran informasi yang diumumkan dalam bahasa Inggris dengan yang diumumkan dengan Bahasa Indonesia sebagaimana dimaksud pada ayat 12 informasi yang digunakan sebagai acuan adalah informasi dalam Bahasa Indonesia.
14. Bukti pengumuman pemberitahuan sebagaimana dimaksud ayat 11 huruf a) beserta salinan surat permintaan penyelenggaraan RUPS sebagaimana dimaksud
dalam ayat 4 wajib disampaikan kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah pengumuman pemberitahuan.
15. Dalam hal Dewan Komisaris tidak melakukan pengumuman pemberitahuan RUPS sebagaimana dimaksud dalam ayat 8, Pemegang Saham sebagaimana dimaksud dalam ayat 3 dapat mengajukan permintaan diselenggarakannya RUPS kepada ketua pengadilan negeri yang daerah hukumnya meliputi tempat kedudukan Perseroan untuk menetapkan pemberian izin diselenggarakannya RUPS.
16. Pemegang Saham sebagaimana dimaksud dalam ayat 3 Pasal ini wajib tidak mengalihkan kepemilikan sahamnya dalam jangka waktu paling sedikit 6 (enam) bulan sejak RUPS jika permintaan penyelenggaraan RUPS dipenuhi oleh Direksi atau Dewan Komisaris atau ditetapkan oleh pengadilan.
17. Pada saat pembukaan RUPS: a) Tata Tertib RUPS harus diberikan pada Pemegang Saham yang hadir. b) Pokok-pokok tata tertib RUPS harus dibacakan sebelum RUPS dimulai. c) Pimpinan Rapat pada saat pembukaan RUPS wajib memberikan penjelasan
kepada Pemegang Saham paling kurang mengenai : (i) Mengenai kondisi umum Perseroan secara singkat; (ii) Mata acara Rapat; (iii) Mekanisme pengambilan keputusan mengenai tata cara Rapat; dan (iv) Tata cara penggunaan hak Pemegang Saham untuk mengajukan
pertanyaan dan/atau pendapat.
RUPS TAHUNAN Pasal 12
1. RUPS Tahunan diselenggarakan tiap tahun, selambatnya 6 (enam) bulan setelah
tahun buku Perseroan berakhir. 2. Dalam RUPS Tahunan :
a) Direksi wajib mengajukan: (i) Laporan Tahunan untuk mendapatkan persetujuan oleh RUPS; (ii) Laporan keuangan untuk memperoleh ratifikasi dari RUPS;
b) Ditetapkan penggunaan laba. c) Dilakukan penunjukan Akuntan Publik. d) Jika diperlukan, dilakukan pengangkatan anggota jabatan anggota Direksi dan
Dewan Komisaris Perseroan. e) Diputuskan mata acara lainnya yang telah diajukan sebagaimana mestinya
sesuai dengan ketentuan peraturan perundang-undangan dan Anggaran Dasar.
3. Persetujuan Laporan Tahunan dan pengesahan Laporan Keuangan oleh RUPS Tahunan berarti memberikan pelunasan dan pembebasan tanggung jawab sepenuhnya kepada anggota Direksi atas pengurusan dan kepada anggota Dewan Komisaris atas pengawasan yang telah dijalankan selama tahun buku yang lalu, sejauh tindakan tersebut tercermin dalam Laporan Tahunan dan Laporan Keuangan.
4. Apabila Direksi atau Dewan Komisaris tidak menyelenggarakan RUPS Tahunan pada waktu yang telah ditentukan, maka 1 (satu) orang Pemegang Saham atau lebih yang bersama-sama mewakili 1/10 (satu persepuluh) atau lebih dari jumlah
seluruh saham dengan hak suara yang sah dapat memanggil sendiri RUPS Tahunan atas biaya Perseroan setelah mendapat izin dari Ketua Pengadilan Negeri yang daerah hukumnya meliputi tempat kedudukan Perseroandan pelaksanaannya mengacu pada Pasal 11 ayat 3 sampai dengan ayat 17.
RUPS LUAR BIASA
Pasal 13
1. RUPS Luar Biasa diadakan tiap-tiap kali, apabila dianggap perlu oleh Direksi dan/atau Dewan Komisaris dan/atau Pemegang Saham.
2. Direksi wajib memanggil dan menyelenggarakan RUPS Luar Biasa atas permintaan tertulis dari Rapat Dewan Komisaris atau 1 (satu) Pemegang Saham atau lebih yang bersama-sama mewakili 1/10 (satu per sepuluh) bagian dari jumlah seluruh saham dengan hak suara yang sah. Permintaan tertulis tersebut harus disampaikan secara tercatat kepada Direksi Perseroan dengan menyebutkan hal-hal yang hendak dibicarakan disertai alasannya, dan tembusannya disampaikan kepada Dewan Komisaris.
TEMPAT DAN PEMANGGILAN RUPS
Pasal 14
1. RUPS wajib diselenggarakan di Wilayah Negara Republik Indonesia, diadakan di tempat kedudukan Perseroan atau di tempat kegiatan utamanya atau di ibukota provinsi dimana tempat kedudukan atau tempat kegiatan usaha utama Perseroan atau di tempat kedudukan Bursa Efek dimana saham Perseroan dicatatkan.
2. Direksi wajib menyampaikan pemberitahuan mata acara RUPS secara jelas dan rinci kepada Otoritas Jasa Keuangan paling lambat 5 (lima) hari kerja sebelum pengumuman pemberitahuan RUPS dengan tidak memperhitungkan tanggal pengumuman pemberitahuan RUPS.
3. Dalam hal terdapat perubahan mata acara RUPS yang telah disampaikan kepada Otoritas Jasa Keuangan sebagaimana tersebut dalam ayat 2 Perseroan wajib menyampaikan perubahan mata acara dimaksud kepada Otoritas Jasa Keuangan paling lambat pada saat pemanggilan RUPS.
4. Pemegang Saham yang telah memperoleh penetapan pengadilan untuk menyelenggarakan RUPS sebagaimana dimaksud pada Pasal 11 ayat 15 wajib : a) Melakukan pengumuman pemberitahuan, pemanggilan akan diselenggarakan
RUPS, pengumuman ringkasan risalah RUPS, atas RUPS yang diselenggarakan sesuai dengan Peraturan Perundangan di Bidang Pasar Modal dan Anggaran Dasar ini.
b) Melakukan pemberitahuan akan diselenggarakan RUPS dan menyampaikan bukti pengumuman pemberitahuan, bukti pemanggilan, risalah RUPS, dan bukti pengumuman ringkasan risalah RUPS yang diselenggarakan kepada Otoritas Jasa Keuangan sesuai dengan Peraturan Perundangan di Bidang Pasar Modal dan Anggaran Dasar ini.
c) Melampirkan dokumen yang memuat nama Pemegang Saham serta jumlah kepemilikan sahamnya pada Perseroan yang telah memperoleh penetapan pengadilan untuk menyelenggarakan RUPS dan penetapan pengadilan dalam
pemberitahuan sebagaimana dimaksud pada huruf b) kepada Otoritas Jasa Keuangan terkait akan diselenggarakan RUPS tersebut.
5. Ketentuan ayat 2 dan 3 Pasal ini mutatis mutandis berlaku untuk pemberitahuan penyelenggaraan RUPS oleh Pemegang Saham yang telah memperoleh penetapan pengadilan untuk menyelenggarakan RUPS sebagaimana dimaksud dalam ayat 4 Pasal ini.
6. Paling lambat 14 (empat belas) hari sebelum diberikannya pemanggilan RUPS dengan tidak memperhitungkan tanggal pengumuman pemberitahuan dan tanggal pemanggilan, pihak yang berhak untuk memberikan pemanggilan harus melakukan pengumuman pemberitahuan kepada Pemegang Saham.
7. Pengumuman pemberitahuan RUPS sebagaimana dimaksud pada ayat 6 Pasal ini paling kurang memuat : a) Ketentuan Pemegang Saham yang berhak hadir dalam RUPS; b) Ketentuan Pemegang Saham yang berhak mengusulkan mata acara Rapat; c) Tanggal penyelenggaraan RUPS; d) Tanggal pemanggilan RUPS. -Dalam hal RUPS diselenggarakan atas permintaan Pemegang Saham sebagaimana dimaksud dalam Pasal 11 ayat 3, selain memuat hal yang disebut pada ayat 7 Pasal ini, pengumuman pemberitahuan RUPS sebagaimana wajib memuat informasi bahwa Perseroan menyelenggarakan RUPS karena permintaan dari Pemegang Saham.
8. Pengumuman pemberitahuan RUPS kepada Pemegang Saham sebagaimana dimaksud dalam ayat 6 Pasal ini paling kurang melalui : a. 1 (satu) Surat Kabar harian berbahasa Indonesiayang berperedaran nasional; b. Situs Web Bursa Efek ; c. Situs Web Perseroan dalam 2 (dua) bahasa, bahasa Indonesia dan Inggris. -Pemanggilan RUPS yang menggunakan bahasa Inggris wajib memuat informasi sama dengan informasi dalam pemanggilan RUPS yang menggunakan bahasa Indonesia. -Perbedaan penafsiran informasi dalam bahasa Inggris dan bahasa Indonesia, maka informasi yang digunakan sebagai acuan adalah Bahasa Indonesia.
9. Bukti pengumuman pemberitahuan RUPS sebagaimana dimaksud pada ayat 8 huruf a) wajib disampaikan kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah pengumuman RUPS.
10. Dalam hal RUPS diselenggarakan atas permintaan Pemegang Saham, penyampaian bukti pengumuman pemberitahuan sebagaimana dimaksud dalam ayat 9 Pasal ini juga disertai dengan salinan surat permintaan penyelenggaraan RUPS sebagaimana dimaksud dalam Pasal 11 ayat 3.
11. Ketentuan ayat 6, 7, 8, dan 9 Pasal ini mutatis mutandis berlaku untuk pemanggilan RUPS oleh Pemegang Saham yang telah memperoleh penetapan pengadilan untuk menyelenggarakan RUPS sebagaimana dimaksud dalam ayat 4 Pasal ini.
12. Pemanggilan untuk RUPS harus dilakukan paling lambat 21 (dua puluh satu) hari sebelum tanggal RUPS dengan tidak memperhitungkan tanggal pemanggilan dan tanggal RUPS. -Pemanggilan untuk RUPS harus disampaikan kepada Pemegang Saham, paling kurang melalui :
a. 1 (satu) Surat Kabar harian berbahasa Indonesiayang berperedaran nasional; b. Situs Web Bursa Efek c. Situs Web Perseroan dalam 2 (dua) bahasa, bahasa Indonesia dan Inggris. -Pemanggilan RUPS yang menggunakan bahasa asing wajib memuat informasi sama dengan informasi dalam pemanggilan RUPS yang menggunakan Bahasa Indonesia. -Perbedaan penafsiran informasi dalam bahasa asing dan bahasa Indonesia, maka informasi yang digunakan sebagai acuan adalah Bahasa Indonesia.
13. Bukti pemanggilan RUPS sebagaimana dimaksud pada ayat 10 huruf a) wajib disampaikan kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah pemanggilan RUPS.
14. Pemanggilan RUPS sekurang-kurangnya memuat informasi : a) Tanggal dan hari penyelenggaraan RUPS; b) Waktu penyelenggaraan RUPS; c) Tempat penyelenggaran RUPS; d) Ketentuan Pemegang Saham yang berhak hadir dalam RUPS; e) Mata acara RUPS termasuk penjelasan atas setiap mata acara RUPS
tersebut;dan f) Informasi yang menyatakan bahan terkait mata acara RUPS tersedia bagi
Pemegang Saham sejak tanggal dilakukan pemanggilan RUPS sampai dengan RUPS diselenggarakan.
15. Ketentuan ayat 12, 13, dan 14 Pasal ini mutatis mutandis berlaku untuk pemanggilan RUPS oleh Pemegang Saham yang telah memperoleh penetapan pengadilan untuk menyelenggarakan RUPS sebagaimana dimaksud dalam ayat 4 Pasal ini.
16. Perseroan wajib menyediakan bahan mata acara Rapat bagi Pemegang Saham dan tersedia sejak tanggal dilakukannya pemanggilan RUPS sampai dengan penyelenggaraan RUPS. -Dalam hal ketentuan peraturan perundang-undangan lain mengatur kewajiban ketersediaan bahan mata acara Rapat lebih awal, penyediaan bahan mata acara Rapat dimaksud mengikuti ketentuan peraturan perundang-undangan lain tersebut. -Bahan mata acara Rapat yang tersedia dapat berupa salinan dokumen fisik dan/atau salinan dokumen elektronik. -Salinan dokumen fisik bahan mata acara Rapat diberikan secara cuma-cuma di kantor Perseroan jika diminta secara tertulis oleh Pemegang Saham. -Salinan dokumen elektronik bahan mata acara Rapat dapat diakses atau diunduh melalui situs web Perseroan. -Dalam hal mata acara Rapat mengenai pengangkatan anggota Direksi dan/atau anggota Dewan Komisaris, daftar riwayat hidup calon anggota Direksi dan/atau anggota Dewan Komisaris yang akan diangkat wajib tersedia dan diumumkan pada saat penyelenggaraan RUPS sebelum pengambilan keputusan mengenai pengangkatan yang bersangkutan sebagai anggota Direksi dan/atau anggota Dewan Komisaris atau pada waktu lainnya yang mungkin diperlukan berdasarkan ketentuan hukum dan perundang-undangan yang berlaku.
17. Pemegang Saham dapat mengusulkan mata acara RUPS kepada Direksi Perseroan. Mata acara RUPS yang diusulkan oleh Pemegang Saham harus disertakan dalam RUPS dan dimasukkan ke dalam pemanggilan RUPS apabila: a) Usul yang bersangkutan telah diajukan secara tertulis kepada Direksi oleh
seorang atau lebih Pemegang Saham yang memiliki sedikitnya 1/20 (satu per dua puluh) dari jumlah seluruh saham dengan hak suara yang sah yang telah dikeluarkan oleh perseroan;
b) Usulan telah diterima oleh Direksi sedikitnya 7 (tujuh) hari sebelum tanggal pemanggilan RUPS yang dimaksud dengan ketentuan dilakukan dengan itikad baik, mempertimbangkan kepentingan Perseroan, menyertakan alasan dan bahan usulan mata acara Rapat tersebut dan tidak bertentangan dengan Peraturan Perundang-undangan; dan
c) Usulan mata acara Rapat dari Pemegang Saham tersebut merupakan mata acara yang membutuhkan keputusan RUPS.
18. Perseroan wajib melakukan Ralat Pemanggilan RUPS jika terdapat perubahan informasi dalam pemanggilan RUPS sebagaimana dimaksud pada ayat 14 Pasal ini.
19. Dalam hal ralat pemanggilan RUPS sebagaimana dalam ayat 18 Pasal ini yang memuat informasi atas perubahan tanggal penyelenggaraan RUPS dan/atau penambahan mata acara RUPS, Perseroan wajib melakukan pemanggilan ulang RUPS sesuai tata cara pemanggilan sebagaimana dimaksud dalam ayat 12 sampai dengan 14 Pasal ini.
20. Kewajiban pemanggilan ulang sebagaimana dimaksud ayat 16 Pasal ini tidak berlaku apabila Ralat Pemanggilan RUPS mengenai perubahan tanggal penyelenggaraan RUPS dan atau penambahan mata acara RUPS yang dilakukan bukan karena kesalahan Perseroan.
21. Bukti ralat pemanggilan bukan kesalahan Perseroan sebagaimana dimaksud dalam ayat 20 Pasal ini disampaikan pada Otoritas Jasa Keuangan pada hari yang sama saat dilakukan ralat pemanggilan.
22. Media ralat pemanggilan RUPS paling kurang melalui: a) 1 (satu) Surat Kabar harian berbahasa Indonesia yang berperedaran nasional; b) Situs Web Bursa Efek; c) Situs Web Perseroan dalam 2 (dua) bahasa yaitu bahasa Indonesia dan
Inggris. -Pemanggilan RUPS yang menggunakan bahasa Inggris wajib memuat informasi yang sama dengan informasi dalam pemanggilan RUPS yang menggunakan Bahasa Indonesia. -Perbedaan penafsiran informasi dalam bahasa asing dan bahasa Indonesia maka informasi yang digunakan sebagai acuan adalah Bahasa Indonesia.
23. Bukti ralat pemanggilan RUPS tersebut wajib disampaikan pada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah ralat pemanggilan RUPS.
PIMPINAN DAN RISALAH RUPS
Pasal 15
1. RUPS dipimpin oleh seorang anggota Dewan Komisaris yang ditunjuk oleh Dewan Komisaris. Dalam hal semua anggota Dewan Komisaris tidak hadir atau
berhalangan, maka RUPS dipimpin oleh salah seorang anggota Direksi yang ditunjuk oleh Direksi. Dalam hal semua anggota Dewan Komisaris dan Direksi tidak hadir atau berhalangan maka RUPS dipimpin oleh Pemegang Saham yang hadir dalam RUPS yang ditunjuk oleh dan dari peserta RUPS.
2. Dalam hal anggota Dewan Komisaris yang ditunjuk oleh Dewan Komisaris mempunyai benturan kepentingan akan hal yang akan diputuskan di dalam RUPS, maka RUPS dipimpin oleh anggota Dewan Komisaris lainnya yang tidak mempunyai benturan kepentingan, yang ditunjuk oleh Dewan Komisaris. Apabila semua anggota Dewan Komisaris mempunyai benturan kepentingan, maka RUPS dipimpin oleh salah seorang Direksi yang ditunjuk oleh Direksi, dalam hal salah seorang Direksi yang ditunjuk oleh Direksi mempunyai benturan kepentingan atas hal yang diputuskan dalam RUPS, maka RUPS dipimpin oleh anggota Direksi yang tidak mempunyai benturan kepentingan. Apabila semua anggota Direksi mempunyai benturan kepentingan, maka RUPS dipimpin oleh salah seorang Pemegang Saham bukan pengendali yang ditunjuk olehPemegang Saham lainnya yang hadir dalam RUPS.
3. Perseroan wajib membuat Risalah RUPS dan Ringkasan Risalah RUPS. 4. Dari segala hal yang dibicarakan dan diputuskan dalam RUPS dibuat Risalah
RUPS oleh Notaris. Risalah RUPS tersebut menjadi bukti yang sah terhadap semua Pemegang Saham dan pihak ketiga tentang keputusan dan segala sesuatu yang terjadi dalam RUPS.
5. Risalah RUPS wajib disampaikan kepada Otoritas Jasa Keuangan paling lambat 30 (tiga puluh) hari setelah RUPS diselenggarakan. Dalam hal waktu penyampaian Risalah jatuh pada hari libur Perseroan wajib menyampaikan risalah paling lambat pada hari kerja berikutnya.
6. Ringkasan Risalah RUPS wajib memuat informasi paling kurang sebagai berikut: a) Tanggal dan hari RUPS,tempat pelaksanaan RUPS, waktu pelaksanaan RUPS,
dan mata acara RUPS; b) Anggota Direksi dan Dewan Komisaris yang hadir pada saat RUPS; c) Jumlah saham dengan hak suara yang sah yang hadir pada saat RUPS dan
prosentasenya dari jumlah seluruh saham yang mempunyai hak suara yang sah;
d) Ada tidaknya pemberian kesempatan kepada Pemegang Saham untuk mengajukan pertanyaan dan/atau memberikan pendapat terkait mata acara Rapat;
e) Jumlah Pemegang Saham yang mengajukan pertanyaan dan/atau memberikan pendapat terkait mata acara, jika Pemegang Saham diberi kesempatan;
f) Mekanisme pengambilan keputusan; g) Hasil pemungutan suara yang meliputi jumlah suara setuju, tidak setuju, dan
abstain (tidak memberikan suara) untuk setiap mata acara Rapat, jika pengambilan keputusan dilakukan dengan pemungutan suara.
h) Keputusan RUPS; dan i) Pelaksanaan pembayaran dividen tunai kepada Pemegang Saham yang berhak
jika terdapat keputusan RUPS terkait dengan pembagian dividen tunai.
7. Perseroan wajib mengumumkan Ringkasan Risalah RUPS kepada masyarakat paling lambat 2 (dua) hari kerja setelah RUPS diselenggarakan paling kurang melalui: a. 1 (satu) Surat Kabar harian berbahasa Indonesia yang berperedaran nasional; b. Situs Web Bursa Efek; c. Situs Web Perseroan dalam 2 (dua) bahasa yaitu bahasa Indonesia dan
Inggris. -Ringkasan Risalah RUPS yang menggunakan bahasa Inggris wajib memuat informasi yang sama dengan informasi dalam Ringkasan Risalah RUPS yang menggunakan Bahasa Indonesia. -Perbedaan penafsiran informasi dalam bahasa Inggris dan bahasa Indonesia maka informasi yang digunakan sebagai acuan adalah Bahasa Indonesia.
8. Perseroan wajib menyampaikan bukti pengumuman kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah Ringkasan Risalah RUPS tersebut diumumkan.
9. Ketentuan-ketentuan ayat 5 dan 7 dari Pasal ini mutatis mutandis berlaku untuk: a) pengajuan dari Berita Acara RUPS dan pengumuman dari Berita Acara
Ringkasan RUPS ke Otoritas Jasa Keuangan; dan b) pengumuman dari Berita Acara Ringkasan RUPS, untuk RUPS yang diadakan
oleh Pemegang Saham yang telah memperoleh penetapan pengadilan untuk mengadakan RUPS sebagaimana dimaksud pada ayat 4 Pasal 14.
10. Dalam hal keputusan RUPS yang berkaitan dengan dividen tunai, pembagian dividen tunai kepada Pemegang Saham yang berhak harus dilaksanakan selambat-lambatnya 30 (tiga puluh) hari setelah penerbitan Ringkasan Risalah RUPS yang memutuskan untuk membagikan dividen tunai.
11. Mereka yang hadir dalam RUPS harus membuktikan wewenangnya untuk hadir dalam RUPS, yaitu sesuai dengan persyaratan yang ditentukan oleh Direksi atau Dewan Komisaris pada waktu pemanggilan RUPS, yang demikian dengan ketentuan untuk saham yang tercatat di Bursa Efek dengan mengindahkan peraturan perundang-undangan yang berlaku di bidang Pasar Modal.
KUORUM, HAK SUARA DAN KEPUTUSAN RUPS
Pasal 16
1. a. RUPS dapat dilangsungkan apabila dihadiri oleh Pemegang Saham yang mewakili paling sedikit lebih dari 1/2 (satu per dua) bagian dari jumlah seluruh saham dengan hak suara yang sah yang telah dikeluarkan oleh Perseroan kecuali Undang-undang atau Anggaran Dasar ini menentukan jumlah kuorum yang lebih besar.
b. Dalam hal kuorum sebagaimana dimaksud dalam ayat 1 huruf a Pasal ini tidak tercapai maka dapat diadakan RUPS kedua.
c. Pemanggilan RUPS kedua sebagaimana dimaksud dalam ayat 1 huruf b Pasal ini harus dilakukan dalam waktu paling lambat 7 (tujuh) hari sebelum RUPS kedua diselenggarakan dengan tidak memperhitungkan tanggal pemanggilan dan tanggal Rapat dengan menyebutkan telah diselenggarakan RUPS pertama tetapi tidak mencapai kuorum.
d. RUPS kedua diselenggarakan paling cepat 10 (sepuluh) hari dan paling lambat 21 (dua puluh satu) hari terhitung sejak RUPS pertama.
e. Ketentuan mengenai media pemanggilan dan ralat pemanggilan RUPS kedua sebagaimana dimaksud pada Pasal 14 ayat 13, 14, 18, 19, 20, 21, 22 dan 23 mutatis mutandsi berlaku pada RUPS kedua.
f. RUPS kedua adalah sah dan berhak mengambil keputusan yang mengikat apabila dihadiri oleh Pemegang Saham atau kuasa yang sah yang memiliki paling sedikit 1/3 (satu per tiga) bagian dari jumlah seluruh saham dengan hak suara yang sah yang telah dikeluarkan Perseroan.
g. Keputusan RUPS sebagaimana dimaksud pada huruf a) dan huruf d) adalah sah jika disetujui oleh lebih dari 1/2 (satu per dua) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS kecuali Undang-undang atau Anggaran Dasar ini menentukan jumlah kuorum yang lebih besar.
h. Dalam hal kuorum kehadiran RUPS kedua sebagaimana dimaksud huruf f ayat ini tidak tercapai, Perseroan dapat melakukan pemanggilan RUPS ketiga dengan ketentuan pemanggilan RUPS ketiga ditetapkan oleh Otoritas Jasa Keuangan atas permohonan Perseroan dengan menyebutkan RUPS kedua telah dilangsungkan dan tidak mencapai kuorum kehadiran.
i. RUPS ketiga dapat diadakan dengan ketentuan RUPS ketiga sah dan berhak mengambil keputusan jika dihadiri oleh pemegang saham dari saham dengan hak suara yang sah dalam kuorum kehadiran dan kuorum keputusan yang ditetapkan oleh Otoritas Jasa Keuangan atas permohonan Perseroan.
2. Pemegang Saham dapat diwakili oleh Pemegang Saham lain atau orang lain dengan surat kuasa. Surat kuasa harus dibuat dan ditandatangani dalam bentuk sebagaimana ditentukan oleh Direksi Perseroan, dengan tidak mengurangi ketentuan undang-undang dan peraturan perundang-undangan yang berlaku tentang bukti perdata dan harus diajukan kepada Direksi sedikitnya 3 (tiga) hari kerja sebelum tanggal RUPS yang dimaksud. Ketua RUPS berhak meminta agar surat kuasa untuk mewakili Pemegang Saham diperlihatkan kepadanya pada waktu RUPS diadakan.
3. Dalam RUPS, tiap saham memberikan hak kepada pemiliknya untuk mengeluarkan 1 (satu) suara.
4. Anggota Direksi, anggota Dewan Komisaris dan karyawan Perseroan boleh bertindak selaku kuasa dalam RUPS, namun suara yang mereka keluarkan selaku kuasa dalam RUPS tidak dihitung dalam pemungutan suara.
5. Dalam pemungutan suara, suara yang dikeluarkan oleh Pemegang Saham berlaku untuk seluruh saham yang dimilikinya dan Pemegang Saham tidak berhak memberi kuasa kepada lebih dari seorang kuasa untuk sebagian dari jumlah saham yang dimilikinya dengan suara berbeda.
6. Pemungutan suara mengenai diri orang dilakukan dengan surat tertutup yang tidak ditandatangani dan mengenai hal lain secara lisan, kecuali apabila Ketua RUPS menentukan lain tanpa ada keberatan dari 1 (satu) atau lebih Pemegang Saham yang secara bersama-sama mewakili sedikitnya 10% (sepuluh persen) dari jumlah seluruh saham dengan hak suara yang sah.
7. Suara blanko atau abstain dianggap mengeluarkan suara yang sama dengan suara mayoritas Pemegang Saham yang mengeluarkan suara.
8. Semua keputusan diambil berdasarkan musyawarah untuk mufakat. -Dalam hal keputusan berdasarkan musyawarah untuk mufakat tidak tercapai maka keputusan diambil dengan pemungutan suara berdasarkan suara setuju sesuai dengan ketentuan Anggaran Dasar ini. -Apabila jumlah suara yang setuju dan tidak setuju sama banyaknya maka usulan harus dianggap ditolak.
9. Keputusan berkenaan dengan transaksi yang mempunyai benturan kepentingan harus diambil dalam RUPS yang khusus diadakan untuk keperluan tersebut yang dihadiri oleh Pemegang Saham Independen atau Pemegang Saham yang tidak mempunyai benturan kepentingan yang memiliki lebih dari 1/2 (satu per dua) dari jumlah seluruh saham dengan hak suara yang sah yang dimiliki seluruh Pemegang Saham Independen dengan tidak mengurangi ketentuan ayat 1 huruf a Pasal ini, dan keputusan tersebut diambil berdasarkan suara setuju dari Pemegang Saham Independen yang memiliki lebih dari 1/2 (satu per dua) dari jumlah seluruh saham dengan hak suara yang sah yang dimiliki seluruh Pemegang Saham Independen. a. Keputusan yang diambil Pemegang Saham Independen tersebut dinyatakan
mengikat sebagai keputusan yang telah disetujui oleh kuorum RUPS keseluruhan, yang diikuti oleh seluruh Pemegang Saham yang hadir dalam RUPS, termasuk pula Pemegang Saham yang mempunyai benturan kepentingan.
b. Jika dalam RUPS yang pertama tersebut, ternyata jumlah Pemegang Saham Independen yang hadir atau diwakili ternyata tidak mencukupi persyaratan kuorum yang ditentukan oleh RUPS pertama tersebut, maka atas permintaan Perseroan dapat diadakan RUPS kedua setelah diadakan pemanggilan RUPS sebagaimana dimaksud dalam Pasal 14, asalkan dalam RUPS kedua tersebut hadir atau diwakili Pemegang Saham Independen yang memiliki lebih dari 1/2 (satu per dua) dari jumlah seluruh saham dengan hak suara yang sah yang dimiliki Pemegang Saham Independen dan keputusan diambil berdasarkan suara setuju lebih dari 1/2 (satu per dua) dari jumlah saham yang dimiliki Pemegang Saham Independen yang hadir/diwakili dalam RUPS kedua.
c. Dalam hal kuorum kehadiran pada RUPS kedua sebagaimana dimaksud pada ayat 9 huruf b Pasal ini tidak tercapai, RUPS ketiga dapat diadakan dengan ketentuan RUPS ketiga sah dan berhak mengambil keputusan jika dihadiri oleh Pemegang Saham Independen dari saham dengan hak suara yang sah, dalam kuorum kehadiran yang ditetapkan oleh Otoritas Jasa Keuangan atas permohonan Perseroan.
d. Keputusan RUPS ketiga adalah sah jika disetujui oleh Pemegang Saham Independen yang mewakili lebih dari 1/2 (satu per dua) saham yang dimiliki oleh Pemegang Saham Independen yang hadir.
e. Pemegang Saham yang memiliki konflik kepentingan dianggap telah memberikan keputusan yang sama dengan keputusan yang disetujui oleh Pemegang Saham Independen yang tidak memiliki konflik kepentingan.
10. Dalam hal:
a. Pengalihan aset Perseroan, yang lebih dari 50% (lima puluh persen) dari jumlah aktiva bersih Perseroan dalam 1 (satu) atau lebih, baik yang berkaitan satu sama lain atau tidak;
b. Konversi aset bersih Perseroan menjadi jaminan utang Perseroan, yang lebih dari 50% (lima puluh persen) dari jumlah aktiva bersih Perseroan dalam 1 (satu) atau lebih, baik yang berkaitan satu sama lain atau tidak;
RUPS harus dilakukan dengan ketentuan sebagai berikut: i. RUPS dapat diadakan jika dihadiri oleh Pemegang Saham yang mewakili
paling sedikit 3/4 (tiga perempat) dari jumlah seluruh saham dengan hak suara yang sah.
ii. Keputusan RUPS sebagaimana dimaksud pada butir i Pasal ini adalah sah jika disetujui oleh lebih dari 3/4 (tiga perempat) dari jumlah seluruh saham dengan hak suara hadir dalam RUPS.
iii. Dalam hal kuorum sebagaimana dimaksud pada butir ii diatas tidak tercapai, RUPS kedua dapat diadakan dengan ketentuan RUPS kedua sah dan berhak mengambil keputusan jika RUPS kedua dihadiri oleh Pemegang Saham yang mewakili paling sedikit 2/3 (dua pertiga) dari jumlah seluruh saham dengan hak suara yang sah.
iv. Keputusan RUPS kedua adalah sah jika disetujui oleh lebih dari 3/4 (tiga perempat) dari jumlah seluruh saham dengan hak suara hadir dalam RUPS kedua.
v. Dalam hal kuorum kehadiran di RUPS kedua sebagaimana dimaksud pada butir iv Pasal ini tidak tercapai, RUPS ketiga dapat diadakan asalkan RUPS ketiga adalah sah dan berhak mengambil keputusan jika dihadiri oleh Pemegang Saham dengan hak suara yang sah, dengan ketentuan kuorum yang ditetapkan oleh Otoritas Jasa Keuangan atas permohonan Perseroan.
DIREKSI Pasal 17
1. Perseroan diurus dan dipimpin oleh suatu Direksi yang jumlahnya disesuaikan
dengan kebutuhan Perseroan dengan ketentuan paling sedikit 2 (dua) orang anggota Direksi, seorang di antaranya diangkat sebagai Presiden Direktur. Perseroan dapat pula mengangkat Wakil Direktur Presiden Direktur (jika diperlukan).
2. Para anggota Direksi diangkat dan diberhentikan oleh RUPS. 3. Yang dapat menjadi anggota Direksi adalah orang perseorangan yang memenuhi
persyaratan pada saat diangkat dan selama menjabat: a. Mempunyai akhlak, moral, dan integritas yang baik; b. Cakap melakukan perbuatan hukum; c. Dalam 5 (lima) tahun sebelum pengangkatan dan selama menjabat;
1) Tidak pernah dinyatakan pailit; 2) Tidak pernah menjadi anggota Direksi dan/atau anggota Dewan Komisaris
yang dinyatakan bersalah menyebabkan suatu perusahaan dinyatakan pailit;
3) Tidak pernah dihukum karena melakukan tindak pidana yang merugikan keuangan negara dan/atau yang berkaitan dengan sektor keuangan; dan
4) Tidak pernah menjadi anggota Direksi dan/atau anggota Dewan Komisaris yang selama menjabat: a) Pernah tidak menyelenggarakan RUPS tahunan. b) Pertanggungjawaban sebagai anggota Direksi dan/atau anggota Dewan
Komisaris pernah tidak diterima oleh RUPS atau pernah tidak memberikan pertanggung-jawabannya sebagai anggota direksi dan/atau anggota Dewan Komisaris kepada RUPS;
c) Pernah menyebabkan perusahaan yang memperoleh izin, persetujuan, atau pendaftaran dari Otoritas Jasa Keuangan tidak memenuhi kewajiban menyampaikan laporan tahunan dan/atau laporan keuangan kepada Otoritas Jasa Keuangan;
d. Memiliki komitmen untuk mematuhi peraturan perundang-undangan; dan e. Memiliki pengetahuan dan/atau keahlian dibidang yang dibutuhkan Perseroan.
4. Pemenuhan persyaratan dimuat dalam surat pernyataan dan disampaikan kepada Perseroan, yang selanjutnya diteliti dan didokumentasikan oleh Perseroan.
5. Pengangkatan anggota Direksi yang tidak memenuhi persyaratan sebagaimana dimaksud pada ayat 3 Pasal ini batal demi hukum sejak saat anggota Direksi lainnya atau Dewan Komisaris mengetahui tidak terpenuhinya persyaratan tersebut. Perseroan harus menyelenggarakan RUPS berkaitan dengan anggota Direksi yang tidak memenuhi persyaratan sebagaimana dimaksud pada ayat 3 Pasal ini.
6. Masa jabatan anggota Direksi adalah untuk jangka waktu 2 (dua) tahun terhitung sejak tanggal yang ditetapkan oleh RUPS yang mengangkatnya dan berakhir pada penutupan RUPS Tahunan ke- 2 (kedua) setelah tanggal pengangkatannya. Seorang anggota Direksi yang masa jabatannya telah berakhir dapat diangkat kembali dengan tidak mengurangi hak RUPS untuk memberhentikan anggota Direksi tersebut sewaktu-waktu sebelum masa jabatannya berakhir dengan menyebutkan alasan setelah anggota Direksi yang bersangkutan telah diberikan kesempatan untuk membela diri dalam RUPS tersebut. -pemberhentian demikian berlaku sejak penutupan RUPS yang memutuskan pemberhentianya anggota Direksi yang dimaksud, kecuali ditentukan lain dalam RUPS tersebut. -masa jabatan sebagaimana disebutkan di dalam ayat ini juga berlaku bagi anggota Direksi yang diangkat oleh RUPS untuk menggantikan anggota Direksi yang berakhir jabatannya namun belum menyelesaikan keseluruhan periode masa jabatannya.
7. Para anggota Direksi dapat diberi gaji dan/atau tunjangan yang jumlahnya ditetapkan oleh RUPS dan wewenang tersebut oleh RUPS dapat dilimpahkan kepada Dewan Komisaris.
8. Usulan pengangkatan, pemberhentian, dan/atau penggantian anggota Direksi pada RUPS harus mempertimbangkan rekomendasi dari Dewan Komisaris atau komite yang melakukan fungsi nominasi.
9. Jika karena sebab apapun, posisi anggota Direksi lowong sehingga total anggota Direksi menjadi kurang dari jumlah sebagaimana dimaksud dalam ayat 1 pasal ini, dalam periode 60 (enam puluh) hari terhitung lowong, RUPS harus diadakan untuk mengisi kekosongan, dengan memperhatikan ketentuan sebagaimana dimaksud dalam ayat 2 dan 7 dari Pasal ini.
10. Apabila oleh suatu sebab apapun Perseroan tidak mempunyai anggota Direksi, maka untuk sementara Dewan Komisaris berkewajiban untuk menjalankan pekerjaan Direksi yang sedang berjalan, akan tetapi hanya dengan hak untuk melakukan perbuatan pengurusan yang bertalian dengan hal-hal dan kegiatan yang sedang berjalan, dengan kewajiban dalam waktu selambatnya 60 (enam puluh) hari setelah terjadi lowongan, untuk menyelenggarakan RUPS guna mengisi lowongan tersebut.
11. Anggota Direksi dapat merangkap jabatan sebagai: a) anggota Direksi paling banyak pada 1 (satu) Perseroan lain; b) anggota Dewan Komisaris paling banyak pada 3 (tiga) Perseroan lain;
dan/atau c) anggota komite paling banyak pada 5 (lima) komite di Perseroan dimana yang
bersangkutan juga menjabat sebagai anggota Direksi atau anggota Dewan Komisaris.
-rangkap jabatan diperbolehkan sejauh tidak bertentangan dengan syarat dan ketentuan lainnya yang berlaku dalam Undang-Undang tentang Perseroan Terbatas, peraturan di Pasar Modal dan peraturan perundang-undangan lainnya yang terkait dengan kegiatan usaha Perseroan. -dalam hal terdapat peraturan perundang-undangan lainnya yang mengatur ketentuan mengenai rangkap jabatan yang berbeda dengan ketentuan dalam Anggaran Dasar ini, berlaku ketentuan yang mengatur lebih ketat.
12. a. Seorang anggota Direksi berhak mengundurkan diri dari jabatannya dengan memberitahukan secara tertulis mengenai maksudnya tersebut kepada Perseroan dengan tembusan kepada Dewan Komisaris.
b. Perseroan wajib menyelenggarakan RUPS untuk mengukuhkan pengunduran diri anggota Direksi dalam jangka waktu paling lambat 90 (sembilan puluh) hari setelah diterimanya surat pengunduran diri;
c. kepada anggota Direksi yang mengundurkan diri tersebut tetap dapat dimintakan pertanggung jawabannya sejak pengangkatan yang bersangkutan sampai dengan tanggal pengunduran dirinya menjadi efektif.
d. Perseroan wajib melakukan keterbukaan informasi kepada masyarakat dan menyampaikan kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah diterimanya permohonan pengunduran diri Direksi dan hasil penyelenggaraan RUPS.
13. Anggota Direksi dapat diberhentikan untuk sementara waktu oleh Dewan Komisaris dengan menyebutkan alasannya satu dan lain tidak terbatas pada tindakan yang bertentangan dengan Anggaran Dasar ini atau terdapat indikasi melakukan kerugian Perseroan atau melalaikan kewajibannya atau terdapat alasan yang mendesak bagi Perseroan, yang diberitahukan secara tertulis kepada anggota Direksi yang bersangkutan, dengan memperhatikan ketentuan-ketentuan sebagai berikut : a. keputusan Dewan Komisaris mengenai pemberhentian sementara anggota
Direksi dilakukan sesuai dengan tata cara pengambilan keputusan Rapat Dewan Komisaris;
b. pemberhentian sementara dimaksud harus diberitahukan secara tertulis kepada yang bersangkutan disertai alasan yang menyebabkan tindakan tersebut dengan tembusan kepada Direksi;
c. pemberitahuan sebagaimana dimaksud dalam huruf b ayat ini disampaikan dalam waktu paling lambat 2 (dua) hari setelah ditetapkannya pemberhentian sementara tersebut;
d. anggota Direksi yang diberhentikan semen tara tidak berwenang menjalankan pengurusan Perseroan sesuai dengan maksud dan tujuan Perseroanserta mewakili Perseroan baik di dalam maupun di luar pengadilan;
e. pembatasan kewenangan berlaku sejak keputusan pemberhentian sementara oleh Dewan Komisaris sampai dengan terdapat keputusan RUPS yang menguatkan atau membatalkan pemberhentian sementara atau lampaunya jangka waktu.
14. Dalam hal terdapat anggota Direksi yang diberhentikan untuk sementara waktu, Dewan Komisaris harus menyelenggarakan RUPS untuk mencabut atau menguatkan keputusan pemberhentian sementara tersebut.
15. RUPS sebagaimana dimaksud pada ayat 13 Pasal ini harus diselenggarakan dalam jangka waktu paling lambat 90 (sembilanpuluh) hari setelah tanggal pemberhentian sementara. -dengan lampaunya jangka waktu penyelenggaraan RUPS atau RUPS tidak dapat mengambil keputusan, pemberhentian sementara menjadi batal. -dalam RUPS anggota Direksi yang bersangkutan diberi kesempatan untuk membela diri.
16. Perseroan wajib melakukan Keterbukaan informasi kepada masyarakat dan menyampaikan kepada Otoritas Jasa Keuangan mengenai keputusan pemberhentian sementara dan hasil penyelenggaraan RUPS atau informasi mengenai batalnya pemberhentian sementara oleh Dewan Komisaris karena tidak terselenggaranya RUPS sampai dengan lampaunya jangka waktu, paling lambat 2 (dua) hari kerja setelah terjadinya peristiwa tersebut.
17. Jabatan anggota Direksi berakhir apabila: a. Pengunduran dirinya efektif sebagaimana dimaksud dalam ayat 11 Pasal ini; b. meninggal dunia; c. masa jabatannya berakhir; d. diberhentikan berdasarkan RUPS; dan/atau e. tidak lagi memenuhi persyaratan sebagai anggota Direksi berdasarkan
peraturan perundang-undangan. 18. Bagi anggota Direksi yang berhenti sebelum maupun setelah masa jabatannya
berakhir, kecuali berhenti karena meninggal dunia, maka yang bersangkutan wajib menyampaikan pertanggungjawaban atas tindakan-tindakan yang belum diterima pertanggungjawabannya oleh RUPS.
19. Usulan pengangkatan, pemberhentian, dan/atau penggantian anggota Direksi kepada RUPS harusmemperhatikan peraturan perundang-undangan.
TUGAS DAN WEWENANG DIREKSI
Pasal 18
1. Direksi bertugas menjalankan dan bertanggungjawab atas pengurusan Perseroan untuk kepentingan Perseroan sesuai dengan maksud dan tujuan Perseroan yang ditetapkan dalam Anggaran Dasar. Dalam rangka mendukung efektivitas pelaksanaan tugas dan tanggung jawab Direksi dapat membentuk komite.
2. Setiap anggota Direksi wajib dengan itikad baik dan penuh tanggung jawab menjalankan tugasnya dengan mengindahkan peraturan perundang-undangan yang berlaku.
3. Direksi berhak mewakili Perseroan di dalam dan di luar Pengadilan tentang segala hal dan dalam segala kejadian, mengikat Perseroan dengan pihak lain dan pihak lain dengan Perseroan serta menjalankan segala tindakan, baik yang mengenai kepengurusan maupun kepemilikan, akan tetapi dengan pembatasan bahwa untuk: a. membeli atau memperoleh dengan cara apapun, menjual atau dengan cara
lain mengalihkan barang tidak bergerak, termasuk hak atas tanah, apabila pembelian, penjualan, atau peralihan tersebut melebihi jumlah yang ditetapkan oleh Rapat Dewan Komisaris;
b. menerima pinjaman uang dari siapapun, apabila jumlah dan jangka waktu pinjaman tersebut melebihi jumlah dan jangka waktu yang ditetapkan oleh Rapat Dewan Komisaris;
c. memberi pinjaman uang atau mengalihkan piutang Perseroan kepada siapapun, apabila jumlah dan jangka waktu pinjaman atau piutang tersebut melebihi jumlah dan jangka waktu yang ditetapkan oleh Rapat Dewan Komisaris;
d. memberi jaminan atau penggantian kerugian atas hutang untuk kepentingan seseorang, badan hukum atau perseroan, apabila jumlah dan jangka waktu jaminan atau ganti rugi tersebut melebihi jumlah dan jangka waktu yang ditetapkan oleh Rapat Dewan Komisaris;
e. menggadaikan atau dengan cara lain mengagunkan harta kekayaan Perseroan, apabila jumlah dan jangka waktu gadai atau agunan tersebut melebihi jumlah dan jangka waktu yang ditetapkan oleh Rapat Dewan Komisaris;
f. mendirikan perseroan baru atau turut serta dalam perseroan lain atau meningkatkan atau melepaskan penyertaan modal atau mengalihkan atau melepaskan hak atas perusahaan-perusahaan termasuk tetapi tidak terbatas tindakan mengalihkan atau tidak menggunakan hak terlebih dahulu untuk mengambil atau membeli saham (pre-emptive right) baik di dalam maupun diluar negeri, apabila jumlah penyertaan atau peningkatan atau pelepasan penyertaan modal, atau pengalihan atau pelepasan hak atas perusahaan-perusahaan tersebut melebihi jumlah yang ditetapkan oleh Rapat Dewan Komisaris.
-Direksi wajib memperoleh persetujuan tertulis terlebih dahulu atau dokumen yang berkaitan turut ditandatangani oleh Dewan Komisaris. -dalam pelaksanaannya untuk pihak ketiga, Persetujuan Dewan Komisaris tersebut cukup dibuktikan dengan kutipan dari keputusan persetujuan Rapat Dewan Komisaris yang ditandatangani oleh anggota Dewan Komisaris yang ditunjuk dalam Rapat Dewan Komisaris.
4. Dua orang anggota Direksi yang ditunjuk oleh Rapat Direksi berhak dan berwenang untuk bertindak untuk dan atas nama Direksi serta mewakili Perseroan.
5. Tanpa mengurangi tanggung jawabnya, Direksi untuk perbuatan tertentu berhak pula mengangkat seorang atau lebih sebagai wakil atau kuasanya dengan
memberikan kepadanya kekuasaan yang diatur dalam surat kuasa khusus, wewenang mana harus dilaksanakan sesuai dengan Anggaran Dasar.
6. Pembagian tugas dan wewenang setiap anggota Direksi ditetapkan oleh RUPS, dalam hal RUPS tidak menetapkan, maka pembagian tugas dan wewenang anggota Direksi ditetapkan berdasarkan keputusan Rapat Direksi.
7. Dalam hal hanya ada seorang anggota Direksi, maka segala tugas dan wewenang yang diberikan bagi para anggota Direksi dalam Anggaran Dasar ini, berlaku pula baginya.
8. Setiap anggota Direksi bertanggung jawab secara tanggung renteng atas kerugian Perseroan yang disebabkan oleh kesalahan atau kelalaian anggota Direksi dalam menjalankan tugasnya.
9. Tindakan yang dilakukan oleh anggota Direksi di luar yang diputuskan oleh Rapat Direksi menjadi tanggung jawab pribadi yang bersangkutan sampai dengan tindakan dimaksud disetujui oleh Rapat Direksi.
10. Anggota Direksi tidak dapat diminta pertanggungjawaban penuh secara pribadi atau sebagaimana dimaksud ayat 8 Pasal ini atas kerugian Perseroan apabila dapat membuktikan : a. kerugian tersebut bukan karena kesalahan atau kelalaiannya; b. telah melakukan pengurusan dengan itikad baik, penuh tanggung jawab, dan
kehati-hatian untuk kepentingan dan sesuai dengan maksud dan tujuan Perseroan;
c. tidak mempunyai benturan kepentingan baik langsung maupun tidak langsung atas tindakan pengurusan yang mengakibatkan kerugian;
d. telah mengambil tindakan untuk mencegah atau berlanjutnya kerugian tersebut.
11. Anggota Direksi tidak berwenang mewakili Perseroan apabila: a. Terdapat perkara di pengadilan antara Perseroan dengan anggota Direksi yang
bersangkutan; dan b. Anggota Direksi yang bersangkutan mempunyai kepentingan yang
berbenturan dengan kepentingan Perseroan. 12. Dalam hal terdapat keadaan sebagaimana dimaksudpada ayat 11 Pasal ini, yang
berhak mewakili Perseroan adalah: a. Anggota Direksi lainnya yang tidak mempunyai benturan kepentingan dengan
Perseroan; b. Dewan Komisaris dalam hal seluruh anggota Direksi mempunyai benturan
kepentingan dengan Perseroan, atau c. Pihak lain yang ditunjuk oleh RUPS dalam hal seluruh anggota Direksi atau
Dewan Komisaris mempunyai benturan kepentingan dengan Perseroan.
RAPAT DIREKSI Pasal 19
1. Direksi wajib mengadakan Rapat Direksi secara berkala paling kurang 1 (satu) kali
dalam setiap bulanatau setiap waktu bilamana : a) dipandang perlu oleh seorang atau lebih anggota Direksi; b) atas permintaan tertulis dari seorang atau lebih anggota Dewan Komisaris;
atau
c) atas permintaan tertulis 1 (satu) orang atau lebih Pemegang Saham yang bersama-sama mewakili 1/10 (satu per sepuluh) atau lebih dari jumlah seluruh saham dengan hak suara yang sah.
-Rapat Direksi dapat dilangsungkan apabila dihadiri mayoritas dari seluruh anggota Direksi. -Direksi wajib mengadakan Rapat Direksi bersama Dewan Komisaris secara berkala paling kurang 1 (satu) kali dalam 4 (empat) bulan. -hasil Rapat Direksi dituangkan dalam risalah Rapat, yang harus ditandatangani oleh seluruh anggota Direksi yang hadir dan disampaikan kepada seluruh anggota Direksi. -hasil Rapat Direksi bersama Dewan Komisaris dituangkan dalam risalah Rapat, ditandatangani oleh anggota Direksi dan anggota Dewan Komisaris yang hadir, dan disampaikan kepada seluruh anggota Direksi dan anggota Dewan Komisaris. -dalam hal terdapat anggota Direksi dan/atau anggota Dewan Komisaris yang tidak menandatangani hasil Rapat, yang bersangkutan harus menyebutkan alasannya secara tertulis dalam surat tersendiri yang dilekatkan pada risalah Rapat yang didokumentasikan oleh Perseroan.
2. Kehadiran anggota Direksi dalam Rapat diungkapkan dalam laporan tahunan Perseroan.
3. Direksi harus menjadwalkan Rapat Direksi untuk tahun buku berikutnya sebelum berakhirnya tahun buku.
4. Pada Rapat yang telah dijadwalkan bahan Rapat disampaikan kepada peserta paling lambat 5 (lima) hari sebelum Rapat diselenggarakan.
5. Dalam hal terdapat Rapat yang diselenggarakan diluar jadwal yang telah disusun, bahan Rapat disampaikan kepada peserta Rapat paling lambat sebelum Rapat diselenggarakan.
6. Pemanggilan Rapat Direksi harus mencantumkan acara, tanggal, waktu dan tempat Rapat.
7. Rapat Direksi diadakan di tempat kedudukan Perseroan atau tempat kegiatan usaha Perseroan. Apabila semua anggota Direksi hadir atau diwakili, panggilan terlebih dahulu tersebut tidak disyaratkan dan Rapat Direksi dapat diadakan dimanapun juga asalkan dalam wilayah Negara Republik Indonesia dan Rapat Direksi berhak mengambil keputusan yang sah dan mengikat.
8. Rapat Direksi dipimpin oleh Presiden Direktur, dalam hal Presiden Direktur tidak dapat hadir atau berhalangan hal mana tidak perlu dibuktikan kepada pihak ketiga, Rapat Direksi akan dipimpin oleh salah seorang anggota Direksi yang dipilih oleh para anggota Direksi yang hadir dan atau diwakili dalam Rapat Direksi.
9. Seorang anggota Direksi dapat diwakili dalam Rapat Direksi hanya oleh anggota Direksi lainnya berdasarkan surat kuasa.
10. Rapat Direksi adalah sah dan berhak mengambil keputusan yang mengikat apabila lebih dari 1/2 (satu per dua) bagian dari jumlah anggota Direksi yang sedang menjabat hadir atau diwakili dalam Rapat Direksi.
11. Keputusan Rapat Direksi harus diambil berdasarkan musyawarah untuk mufakat. Dalam hal keputusan berdasarkan musyawarah untuk mufakat tidak tercapai, maka keputusan diambil dengan pemungkutan suara berdasarkan suara setuju lebih dari 1/2 (satu per dua) bagian dari jumlah suara yang dikeluarkan secara sah dalam Rapat Direksi.
12. Apabila suara yang setuju dan yang tidak setuju berimbang, ketua Rapat yang akan menentukan.
13. a. Setiap anggota Direksi yang hadir berhak mengeluarkan 1 (satu) suara dan tambahan 1 (satu) suara untuk setiap anggota Direksi lain yang diwakilinya;
b. Pemungutan suara mengenai diri orang dilakukan dengan surat suara tertutup tanpa tanda tangan, sedangkan pemungutan suara mengenai hal-hal lain dilakukan secara lisan kecuali ketua rapat menentukan lain tanpa ada keberatan berdasarkan suara terbanyak dari yang hadir;
c. Suara blanko dan suara yang tidak sah dianggap tidak dikeluarkan secara sah dan dianggap tidak ada serta tidak dihitung dalam menentukan jumlah suara yang dikeluarkan.
14. Tanpa mengesampingkan ketentuan yang diatur di atas, Rapat Direksi dapat juga dilakukan dengan menggunakan sarana telepon konferensi atau sistem komunikasi lain sejenis dimana para anggota Direksi yang berpartisipasi dalam Rapat tersebut dapat saling berkomunikasi dan partisipasi demikian dianggap kehadiran secara langsung dalam Rapat. Pembicaraan dan keputusan dari Rapat yang menggunakan sarana telepon konferensi atau sistem komunikasi lain yang sejenis tersebut harus dituangkan dalam suatu risalah atau Berita Acara Rapat dan kemudian ditandatangani oleh Ketua Rapat dan seorang anggota Direksi yang hadir dalam Rapat yang ditunjuk oleh Rapat, untuk memastikan kelengkapan dan kebenaran berita acara tersebut.
DEWAN KOMISARIS
Pasal 20
1. Dewan Komisaris terdiri atas 2 (dua) orang anggota atau lebih yang jumlahnya ditetapkan oleh RUPS sesuai dengan kebutuhan. -Dalam hal Dewan Komisaris terdiri lebih dari 1 (satu) orang anggota maka salah seorang anggota Dewan Komisaris diangkat sebagai Presiden Komisaris. -dapat juga diangkat Wakil Presiden Komisaris (jika diperlukan) -dalam hal Dewan Komisaris terdiri lebih dari 2 (dua) orang anggota Dewan Komisaris, jumlah Komisaris Independen wajib paling kurang 30% (tiga puluh persen) dari jumlah seluruh anggota Dewan Komisaris.
2. Para anggota Dewan Komisaris diangkat dan diberhentikan oleh RUPS. 3. Dewan Komisaris yang terdiri atas lebih dari 1 (satu) orang anggota merupakan
majelis dan setiap anggota Dewan Komisaris tidak dapat bertindak sendiri-sendiri, melainkan berdasarkan keputusan Dewan Komisaris.
4. Yang dapat menjadi anggota Dewan Komisaris adalah orang perseorangan yang memenuhi persyaratan pada saat diangkat dan selama menjabat : a. Mempunyai akhlak, moral, dan integritas yang baik; b. Cakap melakukan perbuatan hukum; c. Dalam 5 (lima) tahun sebelum pengangkatan dan selama menjabat :
1) Tidak pernah dinyatakan pailit; 2) Tidak pernah menjadi anggota Direksi dan/atau anggota Dewan Komisaris
yang dinyatakan bersalah menyebabkan suatu perusahaan dinyatakan pailit;
3) Tidak pernah dihukum karena melakukan tindak pidana yang merugikan keuangan negara dan/atau yang berkaitan dengan sektor keuangan; dan
4) Tidak pernah menjadi anggota Direksi dan/atau anggota Dewan Komisaris yang selama menjabat: a) Pernah tidak menyelenggarakan RUPS tahunan; b) Pertanggungjawaban sebagai anggota Direksi dan/atau anggota Dewan
Komisaris pernah tidak diterima oleh RUPS atau pernah tidak memberikan pertanggung-jawabannya sebagai anggota direksi dan/atau anggota Dewan Komisaris kepada RUPS;
c) Pernah menyebabkan perusahaan yang memperoleh izin, persetujuan, atau pendaftaran dari Otoritas Jasa Keuangan tidak memenuhi kewajiban menyampaikan laporan tahunan dan/atau laporan keuangan kepada Otoritas Jasa Keuangan.
d. Memiliki komitmen untuk mematuhi peraturan perundang-undangan; dan e. Memiliki pengetahuan dan/atau keahlian dibidang yang dibutuhkan Perseroan.
5. Selain memenuhi ketentuan sebagaimana dimaksud pada ayat 4 Pasal ini, Komisaris Independen wajib memenuhi persyaratan sebagai berikut: a. Bukan merupakan orang yang bekerja atau mempunyai wewenang dan
tanggung jawab untuk merencanakan, memimpin, mengendalikan, atau mengawasi kegiatan Perseroan tersebut dalam waktu 6 (enam) bulan terakhir, kecuali untuk pengangkatan kembali sebagai Komisaris Independen Perseroan pada periode berikutnya;
b. Tidak mempunyai saham baik langsung maupun tidak langsung pada Perseroan tersebut;
c. Tidak mempunyai hubungan Afiliasi dengan Perseroan, anggota Dewan Komisaris, anggota Direksi, atau Pemegang Saham utama Perseroan; dan
d. Tidak mempunyai hubungan usaha baik langsung maupun tidak langsung yang berkaitan dengan kegiatan usaha Perseroan tersebut.
6. Persyaratan sebagaimana dimaksud pada ayat 4 dan ayat 5 wajib dipenuhi anggota Dewan Komisaris yang dimaksud selama menjabat.
7. Pemenuhan persyaratan dimuat dalam surat pernyataan dan disampaikan kepada Perseroan, yang selanjutnya diteliti dan didokumentasikan oleh Perseroan.
8. Pengangkatan anggota Dewan Komisaris yang tidak memenuhi persyaratan sebagaimana dimaksud pada ayat 4 dan 5 Pasal ini batal demi hukum sejak saat anggota Dewan Komisaris lainnya atau anggota Direksi mengetahui tidak terpenuhinya persyaratan tersebut. Perseroan harus menyelenggarakan RUPS berkaitan dengan anggota Dewan Komisaris yang tidak memenuhi persyaratan sebagaimana dimaksud pada ayat 4 dan 5 Pasal ini.
9. Anggota Dewan Komisaris dapat merangkap jabatan sebagai: a. Anggota Direksi paling banyak pada 2 (dua) Perseroan lain. b. Anggota Dewan Komisaris paling banyak pada 2 (dua) Perseroan lain. c. Dalam hal anggota Dewan Komisaris tidak merangkap jabatan sebagai
anggota Direksi, anggota Dewan Komisaris yang bersangkutan dapat merangkap jabatan sebagai anggota Dewan Komisaris paling banyak pada 4 (empat) Perseroan lain.
d. Anggota Dewan Komisaris dapat merangkap sebagai anggota komite paling banyak pada 5 (lima) komite di Perseroan dimana yang bersangkutan juga menjabat sebagai anggota Direksi atau anggota Dewan Komisaris.
e. Rangkap jabatan sebagai anggota komite hanya dapat dilakukan sepanjang tidak bertentangan dengan peraturan perundang-undangan lainnya.
f. Dalam hal terdapat peraturan perundang-undangan lainnya yang mengatur ketentuan mengenai rangkap jabatan yang berbeda dengan ketentuan dalam Anggaran Dasar ini, maka ketentuan yang berlaku adalah ketentuan yang mengatur lebih ketat.
10. Masa jabatan anggota Dewan Komisaris adalah untuk jangka waktu 2 (dua) tahun terhitung sejak tanggal yang ditetapkan oleh RUPS yang mengangkatnya dan berakhir pada penutupan RUPS Tahunan ke-2 (kedua) setelah tanggal pengangkatannya, Seorang anggota Dewan Komisaris yang masa jabatannya telah berakhir dapat diangkat kembali dengan tidak mengurangi hak RUPS untuk memberhentikan sewaktu-waktu dengan menyebutkan alasannya setelah anggota Dewan Komisaris yang bersangkutan diberi kesempatan untuk membela diri dalam RUPS tersebut. -pemberhentian demikian berlaku sejak penutupan RUPS yang memutuskan pemberhentian tersebut, kecuali bila tanggal pemberhentian yang lain ditentukan oleh RUPS tersebut. -masa jabatan sebagaimana disebutkan di dalam ayat ini juga berlaku bagi anggota Dewan Komisaris yang diangkat oleh RUPS untuk menggantikan anggota Dewan Komisaris yang berakhir jabatannya namun belum menyelesaikan keseluruhan periode masa jabatannya.
11. Anggota Dewan Komisaris diberikan honorarium dan tunjangan/ fasilitas termasuk santunan purna jabatan yang jenis dan jumlahnya ditetapkan oleh RUPS dengan memperhatikan ketentuan peraturan perundang-undangan yang berlaku.
12. Apabila oleh suatu sebab jabatan anggota Dewan Komisaris lowong sehingga Perseroan tidak memiliki satu pun anggota Dewan Komisaris, maka selambat-lambatnya dalam jangka waktu 90 (sembilan puluh) hari sejak terjadinya lowongan, harus diselenggarakan RUPS untuk mengisi lowongan tersebut.
13. a. Seorang anggota Dewan Komisaris berhak mengundurkan diri dari jabatannya dengan memberitahukan secara tertulis mengenai maksudnya tersebut kepada Perseroan;
b. Perseroan wajib menyelenggarakan RUPS untuk mengukuhkan pengunduran diri anggota Dewan Komisaris dalam jangka waktu paling lambat 90 (sembilan puluh) hari setelah diterimanya surat pengunduran diri;
c. Kepada anggota Dewan Komisaris yang mengundurkan diri tersebut tetap dapat dimintakan pertanggungjawabannya sejak pengangkatan yang bersangkutan sampai dengan tanggal pengunduran dirinya menjadi efektif;
d. Perseroan wajib melakukan keterbukaan informasi kepada masyarakat dan menyampaikan kepada Otoritas Jasa Keuangan paling lambat 2 (dua) hari kerja setelah diterimanya permohonan pengunduran diri Direksi dan hasil penyelenggaraan RUPS.
14. Jabatan anggota Dewan Komisaris berakhir apabila: a) Pengunduran dirinya efektif sebagaimana dimaksud dalam ayat13 Pasal ini; b) meninggal dunia;
c) masa jabatannya berakhir; d) diberhentikan berdasarkan RUPS; dan/atau e) tidak lagi memenuhi persyaratan sebagai anggota Dewan Komisaris
berdasarkan peraturan perundang-undangan yang berlaku. 15. Dalam hal anggota Dewan Komisaris mengundurkan diri sehingga mengakibatkan
jumlah anggota Dewan Komisaris masing-masing menjadi kurang dari 2 (dua) orang, maka pengunduran diri tersebut sah apabila telah ditetapkan oleh RUPS dan telah diangkat anggota Dewan Komisaris yang baru sehingga memenuhi persyaratan minimal jumlah anggota Dewan Komisaris.
16. Bagi anggota Dewan Komisaris yang berhenti sebelum maupun setelah masa jabatannya berakhir, kecuali berhenti karena meninggal dunia, maka yang bersangkutan wajib menyampaikan pertanggungjawaban atas tindakan-tindakan yang belum diterima pertanggungjawabannya oleh RUPS.
17. Komisaris Independen yang telah menjabat selama 2 (dua) periode masa jabatan dapat diangkat kembali pada periode selanjutnya sepanjang Komisaris Independen tersebut menyatakan dirinya tetap Independen kepada RUPS. a. Pernyataan Independensi Komisaris Independen harus diungkapkan dalam
laporan tahunan. b. Dalam hal Komisaris Independen menjabat pada Komite Audit, Komisaris
Independen yang bersangkutan hanya dapat diangkat kembali pada Komite Audit untuk 1 (satu) periode masa jabatan Komite Audit berikutnya.
18. Usulan pengangkatan, pemberhentian, dan/atau penggantian anggota Dewan Komisaris di dalam RUPS harus memperhatikan Undang-Undang tentang Perseroan Terbatas, peraturan di Pasar Modal dan peraturan perundang-undangan lainnya yang terkait dengan kegiatan usaha Perseroan.
TUGAS DAN WEWENANG DEWAN KOMISARIS
Pasal 21
1. Dewan Komisaris bertugas melakukan pengawasan dan bertanggung jawab atas pengawasan terhadap kebijakan pengurusan, jalannya pengurusan pada umumnya baik mengenai Perseroan maupun usaha Perseroan yang dilakukan oleh Direksi serta memberikan nasihat kepada Direksi termasuk pengawasan terhadap pelaksanaan Rencana Jangka Panjang Perseroan, Rencana Kerja dan Anggaran Perseroan serta ketentuan Anggaran Dasar dan Keputusan RUPS, serta peraturan perundang-undangan yang berlaku, untuk kepentingan Perseroan dan sesuai dengan maksud dan tujuan Perseroan.
2. Dalam kondisi tertentu, Dewan Komisaris wajib menyelenggarakan RUPS tahunan dan RUPS lainnya sesuai dengan kewenangannya sebagaimana diatur dalam peraturan perundang-undangan dan Anggaran Dasar.
3. Ketentuan RUPS yang disebutkan dalam ayat 2 Pasal ini mengikuti ketentuan mengenai RUPS dalam Anggaran Dasar ini.
4. Dalam melaksanakan tugas sebagaimana dimaksud pada ayat 1) Pasal ini, maka : a) Dewan Komisaris berwenang untuk :
i) melihat buku-buku, surat-surat, serta dokumen-dokumen lainnya, memeriksa kas untuk keperluan verifikasi dan lain-lain surat berharga dan memeriksa kekayaan Perseroan;
ii) memasuki pekarangan, gedung, dan kantor yang dipergunakan oleh Perseroan;
iii) meminta penjelasan dari Direksi dan/atau pejabat lainnya mengenai segala persoalan yang menyangkut pengelolaan Perseroan;
iv) mengetahui segala kebijakan dan tindakan yang telah dan akan dijalankan oleh Direksi;
v) meminta Direksi dan/atau pejabat lainnya di bawah Direksi dengan sepengetahuan Direksi untuk menghadiri Rapat Dewan Komisaris;
vi) mengangkat sekretaris Dewan Komisaris, jika dianggap perlu; vii) memberhentikan sementara anggota Direksi sesuai dengan ketentuan
Anggaran Dasar ini; viii) membentuk Komite-komite lain selain Komite Audit, jika dianggap perlu
dengan memperhatikan kemampuan perusahaan; ix) menggunakan tenaga ahli untuk hal tertentu dan dalam jangka waktu
tertentu atas beban Perseroan, jika dianggap perlu; x) melakukan tindakan pengurusan Perseroan dalam keadaan tertentu
untuk jangka waktu tertentu sesuai dengan ketentuan Anggaran Dasar ini;
xi) menghadiri Rapat Direksi dan memberikan pandangan-pandangan terhadap hal-hal yang dibicarakan;
xii) melaksanakan kewenangan pengawasan lainnya sepanjang tidak bertentangan dengan peraturan perundang-undangan, Anggaran Dasar, dan/atau keputusan RUPS.
b) Dewan Komisaris berkewajiban untuk : i) memberikan nasihat kepada Direksi dalam melaksanakan pengurusan
Perseroan; ii) meneliti, menelaah dan menandatangani serta memberikan persetujuan
atau pengesahan terhadap Rencana Kerja dan Anggaran Perseroan yang disiapkan Direksi, selambat-lambatnya sebelum dimulainya tahun anggaran;
iii) mengikuti perkembangan kegiatan Perseroan, memberikan pendapat dan saran kepada RUPS mengenai setiap masalah yang dianggap penting bagi kepengurusan Perseroan;
iv) melaporkan dengan segera kepada RUPS apabila terjadi gejala menurunnya kinerja Perseroan;
v) meneliti dan menelaah laporan berkala dan laporan tahunan yang disiapkan Direksi serta menandatangani laporan tahunan;
vi) membuat risalah Rapat Dewan Komisaris dan menyimpan salinannya; vii) melaporkan kepada Perseroan mengenai kepemilikan sahamnya dan/atau
keluarganya pada Perseroan tersebut dan Perseroan lain; viii) memberikan laporan tentang tugas pengawasan yang telah dilakukan
selama tahun buku yang baru lampau kepada RUPS; ix) melaksanakan kewajiban lainnya dalam rangka tugas pengawasan dan
pemberian nasihat, sepanjang tidak bertentangan dengan peraturan perundang-undangan, Anggaran Dasar, dan/atau keputusan RUPS.
5. Dalam melaksanakan tugasnya tersebut setiap anggota Dewan Komisaris harus:
a) mematuhi Anggaran Dasar dan peraturan perundang-undangan serta prinsip-prinsip profesionalisme, efisiensi, transparansi, kemandirian, akuntabilitas, pertanggungjawaban, serta kewajaran;
b) beritikad baik, penuh kehati-hatian dan bertanggung-jawab dalam menjalankan tugas pengawasan dan pemberian nasihat kepada Direksi untuk kepentingan Perseroan dan sesuai dengan maksud dan tujuan Perseroan.
6. Dewan Komisaris dapat melakukan tindakan pengurusan Perseroan dalam keadaan tertentu untuk jangka waktu tertentu.
7. Wewenang tersebut ditetapkan berdasarkan Anggaran Dasar atau keputusan RUPS.
8. Dalam rangka mendukung efektivitas pelaksanaan tugas dan tanggung jawabnya Dewan Komisaris wajib membentuk Komite Audit dan dapat membentuk komite lainnya.
9. Dewan Komisaris wajib melakukan evaluasi terhadap kinerja komite yang membantu pelaksanaan tugas dan tanggung jawabnya setiap akhir tahun buku.
10. Setiap anggota Dewan Komisaris bertanggung jawab secara tanggung renteng atas kerugian Perseroan yang disebabkan oleh kesalahan atau kelalaian anggota Dewan Komisaris dalam menjalankan tugasnya.
11. Tindakan yang dilakukan oleh anggota Dewan Komisaris di luar yang diputuskan oleh Rapat Dewan Komisaris menjadi tanggung jawab pribadi yang bersangkutan sampai dengan tindakan dimaksud disetujui oleh Rapat Dewan Komisaris.
12. Anggota Dewan Komisaris tidak dapat diminta pertanggungjawaban penuh secara pribadi atau sebagaimana dimaksud ayat 10 atas kerugian Perseroan apabila dapat membuktikan : a) kerugian tersebut bukan karena kesalahan atau kelalaiannya; b) telah melakukan pengurusan dengan itikad baik, penuh tanggung jawab, dan
kehati-hatian untuk kepentingan dan sesuai dengan maksud dan tujuan Perseroan;
c) tidak mempunyai benturan kepentingan baik langsung maupun tidak langsung atas tindakan pengurusan yang mengakibatkan kerugian;
d) telah mengambil tindakan untuk mencegah atau berlanjutnya kerugian tersebut.
RAPAT DEWAN KOMISARIS
Pasal 22
1. Segala keputusan Dewan Komisaris diambil dalam Rapat Dewan Komisaris. 2. Keputusan dapat pula diambil di luar Rapat Dewan Komisaris sepanjang seluruh
anggota Dewan Komisaris setuju tentang cara dan materi yang diputuskan. 3. Hasil rapat Dewan Komisaris dituangkan dalam risalah rapat, ditandatangani oleh
seluruh anggota Dewan Komisaris yang hadiryang berisi hal-hal yang dibicarakan (termasuk pernyataan ketidaksetujuan / dissenting opinion anggota Dewan Komisaris jika ada) dan hal-hal yang diputuskan dan disampaikan kepada seluruh anggota Dewan Komisaris.
4. Hasil rapat Direksi bersama Dewan Komisaris dituangkan dalam risalah rapat, ditandatangani oleh anggota Direksi dan anggota Dewan Komisaris yang hadir, dan disampaikan kepada seluruh anggota Direksi dan anggota Dewan Komisaris.
5. Dalam hal terdapat anggota Direksi dan / atau anggota Dewan Komisaris yang tidak menandatangani hasil rapat, yang bersangkutan harus menyebutkan alasannya secara tertulis dalam surat tersendiri yang dilekatkan pada risalah rapat yang didokumentasikan oleh Perseroan.
6. Dewan Komisaris wajib mengadakan rapat paling kurang 1 (satu) kali dalam 2 (dua) bulan, yang dapat dilangsungkan apabila dihadiri mayoritas dari seluruh anggota Dewan Komisaris.
7. Dewan Komisaris wajib mengadakan rapat bersama Direksi secara berkala paling kurang 1 (satu) kali dalam 4 (empat) bulan.
8. Kehadiran anggota Dewan Komisaris dalam rapat diungkapkan dalam laporan tahunan Perseroan.
9. Rapat Dewan Komisaris dianggap sah apabila diadakan di tempat kedudukan Perseroan atau di tempat kegiatan usahanya yang utama di dalam wilayah Republik Indonesia.
10. Rapat Dewan Komisaris yang diselenggarakan di tempat lain selain tersebut pada ayat 9 Pasal ini, dianggap sah dan dapat mengambil keputusan apabila dilaksanakan di dalam wilayah Republik Indonesia dan dihadiri oleh seluruh anggota Dewan Komisaris.
11. Dewan Komisaris dapat mengadakan Rapat sewaktu-waktu atas permintaan 1 (satu) atau beberapa anggota Dewan Komisaris, permintaan Direksi, atau atas permintaan tertulis dari 1 (satu) atau beberapa Pemegang Saham yang mewakili sekurang-kurangnya 1/10 (satu per sepuluh) dari jumlah saham dengan hak suara, dengan menyebutkan hal-hal yang akan dibicarakan.
12. Panggilan Rapat Dewan Komisaris disampaikan secara tertulis oleh Komisaris Utama atau oleh anggota Dewan Komisaris yang ditunjuk oleh Komisaris Utama dan disampaikan dalam jangka waktu paling lambat 3 (tiga) hari sebelum Rapat diadakan atau dalam waktu yang lebih singkat jika dalam keadaan mendesak, dengan tidak memperhitungkan tanggal panggilan dan tanggal Rapat.
13. Panggilan Rapat sebagaimana dimaksud pada ayat 12 Pasal ini harus mencantumkan acara, tanggal, waktu dan tempat Rapat.
14. Panggilan Rapat tersebut tidak disyaratkan apabila semua anggota Dewan Komisaris hadir dalam Rapat.
15. Rapat Dewan Komisaris adalah sah dan berhak mengambil keputusan yang mengikat apabila dihadiri atau diwakili oleh lebih dari 1/2 (satu per dua) jumlah anggota Dewan Komisaris.
16. Dalam mata acara lain-lain, Rapat Dewan Komisaris tidak berhak mengambil keputusan kecuali semua anggota Dewan Komisaris atau wakilnya yang sah, hadir dan menyetujui penambahan mata acara Rapat.
17. Seorang anggota Dewan Komisaris dapat diwakili dalam Rapat hanya oleh anggota Dewan Komisaris lainnya berdasarkan kuasa tertulis yang diberikan khusus untuk keperluan itu.
18. Seorang anggota Dewan Komisaris hanya dapat mewakili seorang anggota Dewan Komisaris lainnya.
19. Semua Rapat Dewan Komisaris dipimpin oleh Komisaris Utama. 20. Dalam hal Komisaris Utama tidak hadir atau berhalangan, Rapat Dewan Komisaris
dipimpin oleh seorang anggota Dewan Komisaris lainnya yang ditunjuk oleh Komisaris Utama.
21. Dalam hal Komisaris Utama tidak melakukan penunjukan, maka anggota Dewan Komisaris yang paling lama menjabat sebagai anggota Dewan Komisaris bertindak sebagai Ketua Rapat Dewan Komisaris.
22. Dalam hal anggota Dewan Komisaris yang paling lama menjabat sebagai anggota Dewan Komisaris lebih dari satu orang, maka anggota Dewan Komisaris sebagaimana dimaksud pada ayat 21 Pasal ini yang tertua dalam usia bertindak sebagai Ketua Rapat.
23. Semua keputusan dalam Rapat Dewan Komisaris diambil dengan musyawarah untuk mufakat.
24. Apabila melalui musyawarah tidak tercapai mufakat, maka keputusan Rapat Dewan Komisaris diambil dengan suara terbanyak biasa.
25. Setiap anggota Dewan Komisaris berhak untuk mengeluarkan 1 (satu) suara ditambah 1 (satu) suara untuk anggota Dewan Komisaris yang diwakilinya.
26. Apabila jumlah suara yang setuju dan tidak setuju sama banyaknya, maka Ketua Rapat memutuskan hasil Rapat, kecuali mengenai diri orang, pengambilan keputusan Rapat dilakukan dengan pemilihan secara tertutup.
27. Suara blanko (abstain) dianggap menyetujui usul yang diajukan dalam Rapat. 28. Dalam hal usulan lebih dari dua alternative dan hasil pemungutan suara belum
mendapatkan satu alternative dengan suara lebih dari 1/2 (satu per dua) bagian dari jumlah suara yang dikeluarkan, maka dilakukan pemilihan ulang terhadap dua usulan yang memperoleh suara terbanyak sehingga salah satu usulan memperoleh suara lebih dari 1/2 (satu per dua) bagian dari jumlah suara yang dikeluarkan.
29. Suara yang tidak sah dianggap tidak ada dan tidak dihitung dalam menentukan jumlah suara yang dikeluarkan dalam Rapat.
30. Kehadiran anggota Dewan Komisaris dalam rapat diungkapkan dalam laporan tahunan Perseroan, dengan kewajibanmenjadwalkan rapat untuk tahun berikutnya sebelum berakhirnya tahun buku.
31. Pada rapat yang telah dijadwalkan bahan rapat disampaikan kepada peserta paling lambat 5 (lima) hari sebelum rapat diselenggarakan.
32. Dalam hal terdapat rapat yang diselenggarakan diluar jadwal yang telah disusun, bahan rapat disampaikan kepada peserta rapat paling lambat sebelum rapat diselenggarakan.
RENCANA KERJA, TAHUN BUKU DAN LAPORAN TAHUNAN
Pasal 23
1. Sebelum dimulainya tahun buku yang akan datang, Direksi menyampaikan rencana kerja yang memuat juga anggaran tahunan Perseroan kepada Dewan Komisaris untuk mendapat persetujuan.
2. Tahun buku Perseroan berjalan dari tanggal 1 (satu) Januari sampai dengan tanggal 31 (tiga puluh satu) Desember. -Pada akhir bulan Desember tiap tahun, buku Perseroan ditutup.
3. Direksi menyusun Laporan Tahunan sesuai ketentuan peraturan perundang-undangan yang berlaku yang ditandatangani oleh semua anggota Direksi dan Dewan Komisaris untuk diajukan dalam RUPS Tahunan.
-Laporan tahunan tersebut harus sudah disediakan di Kantor Perseroan paling lambat 14 (empat belas) hari sebelum tanggal RUPS tahunan diselenggarakan, agar dapat diperiksa oleh para pemegang saham.
4. Perseroan wajib mengumumkan neraca dan laporan laba/rugi dalam surat kabar berbahasa Indonesia dan berperedaran nasional menurut tata cara sebagaimana diatur dalam peraturan di bidang Pasar Modal.
PENGGUNAAN LABA DAN PEMBAGIAN DIVIDEN INTERIM
Pasal 24
1. Rapat Direksi harus mengajukan usul kepada RUPS Tahunan mengenai penggunaan dan/atau pembagian keuntungan yang belum dibagi yang tercantum dalam neraca dan perhitungan laba rugi yang diajukan untuk persetujuan RUPS Tahunan, dalam usul mana dapat dinyatakan berapa keuntungan yang belum dibagi tersebut dapat disisihkan untuk dana cadangan sebagaimana dimaksudkan dalam Pasal 25 dibawah ini serta usul mengenai besarnya jumlah dividen yang mungkin dibagikan, satu dan lain dengan tidak mengurangi hak dari RUPS untuk memutuskan lain.
2. Dividen hanya dibayarkan sesuai dengan kemampuan keuangan Perseroan berdasarkan keputusan yang diambil dalam RUPS dalam keputusan mana juga harus ditentukan waktu, cara pembayaran dan bentuk dividen dengan memperhatikan ketentuan peraturan perundang-undangan yang berlaku di bidang Pasar Modal, serta peraturan Bursa Efek di tempat dimana saham-saham Perseroan dicatatkan. -Dividen untuk saham dibayarkan kepada orang atau pihak atas nama siapa saham itu tercatat dalam Daftar Pemegang Saham. -Hari pembayaran harus diumumkan oleh Direksi kepada pemegang saham.
3. Dalam hal RUPS Tahunan tidak menentukan penggunaan lain, maka laba bersih setelah dikurangi dengan cadangan yang diwajibkan oleh Undang-undang dan Anggaran Dasar dibagi sebagai dividen.
4. Berdasarkan keputusan Rapat Direksi, Direksi dapat membagi dividen sementara (dividen interim) setelah memperoleh persetujuan Dewan Komisaris dan jika pembagian tersebut tidak menyebabkan jumlah kekayaan bersih perseroan menjadi lebih kecil daripada modal ditempatkan dan disetor ditambah cadangan wajib, dengan ketentuan bahwa dividen sementara (dividen interim) tersebut harus diperhitungkan dengan dividen yang dibagikan berdasarkan keputusan RUPS Tahunan berikutnya yang diambil sesuai dengan ketentuan-ketentuan anggaran dasar ini dengan memperhatikan ketentuan peraturan perundang-undangan yang berlaku di bidang Pasar Modal serta peraturan Bursa Efek di tempat dimana saham-saham Perseroan dicatatkan.
5. Apabila perhitungan laba rugi pada suatu tahun buku menunjukan kerugian yang tidak dapat ditutup dengan dana cadangan, maka kerugian itu akan tetap dicatat dan dimasukkan dalam perhitungan laba rugi dan dalam tahun buku selanjutnya Perseroan dianggap tidak mendapat laba selama kerugian yang tercatat dan dimasukkan dalam perhitungan laba rugi itu belum sama sekali tertutup, demikian dengan tidak mengurangi ketentuan peraturan perundang-undangan yang berlaku.
6. Dengan memperhatikan pendapatan Perseroan pada tahun buku yang bersangkutan, dari pendapatan bersih seperti tersebut dalam neraca dan perhitungan laba rugi yang telah disetujui oleh RUPS Tahunan, dapat diberikan tantiem kepada anggota Direksi dan Dewan Komisaris Perseroan yang besarnya ditentukan oleh RUPS.
7. Laba bersih yang dibagikan sebagai dividen yang tidak diambil dalam waktu 5 (lima) tahun setelah tanggal yang ditetapkan untuk pembayaran, dimasukkan ke dalam dana cadangan yang khusus diperuntukkan untuk itu. -Dividen dalam dana cadangan khusus tersebut dapat diambil oleh pemegang saham yang berhak sebelum lewatnya jangka waktu 10 (sepuluh) tahun dengan menyampaikan bukti haknya atas dividen tersebut yang dapat diterima oleh Direksi Perseroan. -Dividen yang tidak diambil dalam jangka waktu 10 (sepuluh) tahun tersebut menjadi milik Perseroan.
PENGGUNAAN DANA CADANGAN
Pasal 25
1. Bagian dari laba yang disediakan untuk dana cadangan ditentukan oleh RUPS setelah memperhatikan usul Direksi (bilamana ada) dan dengan mengindahkan peraturan perundang-undangan yang berlaku.
2. Dana cadangan sampai dengan jumlah sekurang-kurangnya 20% (dua puluh persen) dari modal yang ditempatkan hanya digunakan untuk menutup kerugian yang diderita oleh Perseroan.
3. Apabila jumlah dana cadangan telah melebihi jumlah sekurang-kurangnya 20% (dua puluh persen) dari modal yang ditempatkan tersebut, maka RUPS dapat memutuskan agar jumlah dari dana cadangan yang melebihi jumlah sebagaimana ditentukan dalam ayat 2 Pasal ini digunakan bagi keperluan Perseroan.
4. Direksi harus mengelola dana cadangan agar dana cadangan tersebut memperoleh laba, dengan cara yang dianggap baik olehnya dengan persetujuan Dewan Komisaris dan dengan memperhatikan peraturan perundang-undangan yang berlaku.
5. Keuntungan yang diterima dari dana cadangan harus dimasukan dalam perhitungan laba rugi Perseroan.
PENGUBAHAN ANGGARAN DASAR
Pasal 26
1. Pengubahan Anggaran Dasar ditetapkan oleh RUPS, yang harus dihadiri Pemegang Saham atau kuasa mereka yang sah yang bersama-sama mewakili paling sedikit 2/3 (dua per tiga) bagian dari seluruh saham yang telah dikeluarkan yang mempunyai hak suara yang sah dan keputusan diambil berdasarkan musyawarah untuk mufakat. Didalam hal keputusan berdasarkan musyawarah untuk mufakat tidak dapat tercapai, maka keputusan disetujui oleh Pemegang Saham atau kuasa mereka yang sah yang bersama-sama mewakili lebih dari 2/3 (dua per tiga) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.
-Pengubahan Anggaran Dasar tersebut harus dibuat dengan akta Notaris dan dalam Bahasa Indonesia.
2. Pengubahan ketentuan Anggaran Dasar yang menyangkut nama Perseroan dan atau tempat kedudukan Perseroan, maksud dan tujuan serta kegiatan usaha, jangka waktu berdirinya Perseroan, besarnya modal dasar, pengurangan modal ditempatkan dan disetor dan/atau pengubahan status Perseroan yang tertutup menjadi Perseroan Terbuka atau sebaliknya, harus mendapat persetujuan dari Menteri Hukum Dan Hak Asasi Manusia Republik Indonesia.
3. Pengubahan Anggaran Dasar selain yang menyangkut hal-hal yang tersebut dalam ayat (2) Pasal ini cukup diberitahukan kepada Menteri Hukum Dan Hak Asasi Manusia Republik Indonesia.
4. Apabila dalam RUPS yang dimaksud dalam ayat (1) kuorum yang ditentukan tidak tercapai, maka paling cepat 10 (sepuluh) hari dan paling lambat 21 (duapuluh satu) hari setelah RUPS pertama itu dapat diselenggarakan RUPS kedua dengan acara dan syarat yang sama seperti yang diperlukan untuk RUPS pertama, kecuali mengenai jangka waktu pemanggilan harus dilakukan paling lambat 7 (tujuh) hari sebelum RUPS kedua tersebut, dengan tidak memperhitungkan tanggal panggilan dan tanggal RUPS serta untuk pemanggilan RUPS kedua tersebut tidak perlu dilakukan pemberitahuan/pengumuman terlebih dahulu. Dalam RUPS kedua tersebut harus dihadiri Pemegang Saham atau kuasa mereka yang sah yang bersama-sama mewakili paling sedikit 3/5 (tiga per lima) bagian dari seluruh saham yang telah dikeluarkan dengan hak suara yang sah dan keputusan diambil berdasarkan musyawarah untuk mufakat. Didalam hal keputusan berdasarkan musyawarah untuk mufakat tidak dapat tercapai, maka keputusan disetujui oleh Pemegang Saham atau kuasa mereka yang sah yang bersama-sama mewakili lebih dari 1/2 (satu per dua) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS kedua.
5. Jikalau kuorum dalam RUPS kedua tersebut juga tidak terpenuhi, maka atas Permohonan Perseroan, kuorum kehadiran, jumlah suara untuk mengambil keputusan, pemanggilan dan waktu penyelenggaraan RUPS ketiga ditetapkan oleh Otoritas Jasa Keuangan.
PENGGABUNGAN, PELEBURAN,
PENGAMBILALIHAN, DAN PEMISAHAN Pasal 27
1. Dengan mengindahkan ketentuan peraturan perundang-undangan yang berlaku di
bidang Pasar Modal maka penggabungan, peleburan, pengambilalihan, pemisahan, pengajuan permohonan agar Perseroan dinyatakan pailit dan perpanjangan jangka waktu berdirinya Perseroan hanya dapat dilakukan berdasarkan keputusan RUPS yang dihadiri oleh pemegang saham yang mewakili sedikitnya 3/4 (tiga perempat) bagian dari jumlah seluruh saham dengan hak suara yang sah dan keputusan adalah sah jika disetujui oleh lebih dari 3/4 (tiga per empat) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.
2. Apabila kuorum kehadiran RUPS pertama tidak tercapai, maka dapat diselenggarakan RUPS kedua. Panggilan untuk RUPS kedua dilakukan dengan paling lambat 7 (tujuh) hari sebelum RUPS kedua dilakukan dengan tidak
memperhitungkan tanggal panggilan dan tanggal RUPS dan disertai informasi bahwa RUPS pertama telah diselenggarakan tetapi tidak mencapai kuorum. -RUPS kedua diselenggarakan paling cepat 10 (sepuluh) hari dan paling lambat 21 (dua puluh satu) hari dari RUPS pertama. -RUPS kedua adalah sah dan berhak mengambil keputusan yang mengikat apabila dihadiri oleh pemegang saham yang mewakili sedikitnya 2/3 (dua pertiga) bagian dari jumlah seluruh saham dengan hak suara yang sah dan disetujui oleh lebih dari 3/4 (tiga perempat) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.
3. Dalam hal kuorum RUPS kedua tidak tercapai, maka atas permohonan Perseroan kuorum, jumlah suara untuk mengambil keputusan, panggilan dan waktu penyelenggaraan RUPS ditetapkan oleh Ketua Otoritas Jasa Keuangan.
4. Sepanjang diatur secara khusus dalam peraturan perundang-undangan di bidang Pasar Modal, ketentuan mengenai penggabungan, peleburan, pengambilalihan dan pemisahan Perseroan harus mengikuti ketentuan yang berlaku dalam peraturan perundang-undangan di bidang Pasar Modal.
PEMBUBARAN DAN LIKUIDASI
Pasal 28 1. Dengan mengindahkan ketentuan peraturan perundang-undangan yang berlaku,
maka pembubaran Perseroan hanya dapat dilakukan berdasarkan keputusan RUPS yang dihadiri oleh pemegang saham yang mewakili sedikitnya 3/4 (tiga per empat) bagian dari jumlah seluruh saham dengan hak suara yang sah dan keputusan adalah sah jika disetujui oleh lebih dari 3/4 (tiga per empat) bagian dari jumlah seluruh saham dengan hak suara yang hadir dalam RUPS.
2. Apabila kuorum kehadiran RUPS kedua tidak tercapai, maka dapat diselenggarakan RUPS kedua. Panggilan untuk RUPS kedua dilakukan dengan paling lambat 7 (tujuh) hari sebelum RUPS kedua dilakukan dengan tidak memperhitungkan tanggal panggilan dan tanggal RUPS dan disertai informasi bahwa RUPS pertama telah diselenggarakan tetapi tidak mencapai kuorum. -RUPS kedua diselenggarakan paling cepat 10 (sepuluh) hari dan paling lambat 21 (dua puluh satu) hari dari RUPS pertama. -RUPS kedua adalah sah dan berhak mengambil keputusan yang mengikat apabila dihadiri oleh pemegang saham yang mewakili sedikitnya 2/3 (dua pertiga) bagian dari jumlah seluruh saham dengan hak suara yang sah dan disetujui oleh lebih dari 3/4 (tiga perempat) bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.
3. Dalam hal kuorum RUPS kedua tidak tercapai, maka atas permohonan Perseroan kuorum, jumlah suara untuk mengambil keputusan, panggilan dan waktu penyelenggaraan RUPS ditetapkan oleh Ketua Otoritas Jasa Keuangan.
4. Apabila Perseroan dibubarkan, baik karena berakhirnya jangka waktu berdirinya (jika didirikan untuk jangka waktu tertentu) atau dibubarkan berdasarkan keputusan RUPS atau karena dinyatakan bubar berdasarkan penetapan Pengadilan, maka Perseroan harus dilikuidasi oleh satu atau lebih likuidator.
5. Direksi bertindak sebagai likuidator apabila dalam keputusan RUPS atau penetapan sebagaimana dimaksud dalam ayat 4 tidak menunjuk likuidator.
6. Peraturan mengenai pengangkatan, pemberhentian sementara, pemberhentian, kewenangan, kewajiban, tanggung jawab dan pengawasan terhadap Direksi berlaku juga bagi likuidator.
7. Upah bagi para likuidator ditentukan oleh RUPS atau penetapan Pengadilan. 8. Anggaran Dasar seperti yang termaktub dalam akta pendirian beserta
pengubahannya dikemudian hari tetap berlaku sampai dengan tanggal disahkannya perhitungan likuidasi oleh RUPS dan diberikannya pelunasan dan pembebasan sepenuhnya kepada para likuidator.
PEDOMAN KODE ETIK
Pasal 29
1. Direksi dan Dewan Komisaris wajib menyusun pedoman yang mengikat setiap anggota Direksi dan anggota Dewan Komisaris.
2. Pedoman paling kurang memuat: a) Landasan hukum; b) Deskripsi tugas, tanggung jawab, dan wewenang; c) Nilai-nilai; d) Waktu kerja; e) Kebijakan rapat, termasuk kebijakan kehadiran dalam rapat dan risalah rapat;
dan f) Pelaporan dan pertanggung jawaban.
3. Perseroan mengungkapkan dalam laporan tahunan Perseroan informasi bahwa Direksi dan/atau Dewan Komisaris telah memiliki pedoman yang juga telah dimuat dalam situs web Perseroan.
4. Direksi dan Dewan Komisaris menyusun kode etik yang berlaku bagi seluruh anggota Direksi dan anggota Dewan Komisaris, karyawan/ pegawai, serta pendukung organ yang dimiliki Perseroan.
5. Kode etik paling kurang memuat: a) Prinsip pelaksanaan tugas Direksi, Dewan Komisaris, karyawan/ pegawai,
dan/atau pendukung organ yang dimiliki Perseroan wajib dilakukan dengan itikad baik, penuh tanggung jawab, dan kehati-hatian; dan
b) Ketentuan mengenai sikap profesional Direksi, Dewan Komisaris, karyawan/pegawai, dan/atau pendukung organ yang dimiliki Perseroan apabila terdapat benturan kepentingan dengan Perseroan.
6. Kode etik disosialisasikan kepada seluruh karyawan/pegawai yang bekerja pada Perseroan, yang juga telah dimuat secara lengkap dalam situs web Perseroan. -Setiap anggota Direksi dan/atau anggota Dewan Komisaris dilarang mengambil keuntungan pribadi baik secara langsung maupun tidak langsung dari kegiatan Perseroan selain penghasilan yang sah.
PERATURAN PENUTUP
Pasal 30
-Segala sesuatu yang tidak atau belum cukup diatur dalam anggaran dasar ini, maka RUPS yang akan memutuskan.

NAME AND DOMICILE
Article 1
1. This limited liability company shall bear the name of PT HERO SUPERMARKET
Tbk (hereinafter shall be sufficiently abbreviated to the "Company"), domiciled and
having its head office in South Tangerang.
2. The Company may open offices or establish branch offices, sub-branch offices, and
representative offices or any other business units in any other places, in as well as
outside the territory of the Republic of Indonesia as specified by the Board of
Directors at the written approval of the Board of Commissioners.
DURATION OF THE COMPANY
Article 2
This Company shall commence as of the fifth day of October one thousand nine hundred
and seventy-one (5-10-1971) and have its legal entity status pursuant to Decree of Minister
of Justice of the Republic of Indonesia dated the fifth day of August one thousand nine
hundred and seventy-two (5-8-1972) number: J.A.5/169/11, as well as shall be established
for an indefinite period of time.
PURPOSE, OBJECTIVE AND BUSINESS ACTIVITY
Article 3
1. The objectives and purposes of the Company are:
a. To engage in the business activity of trading;
b. To engage in the business activity of industry;
c. To engage in the business activity of agriculture;
d. To engage in the business activity of warehousing;
e. To engage in the business activity of construction and real estate;
f. To engage in the business activity of transportation and services; and
g. To engage in the business activity of tourism.
2. In order to achieve such objectives and purposes, the Company may conduct the
following business activities:

a. To engage in the business of Department Store, Supermarkets,
Hypermarkets, Minimarkets, wholesale in form of grocery and other retail
business including but not limited to food and clothing and households,
pharmacies, drug stores, health and beauty stores;
b. To engage in the business as a retailer, purveyor, supplier, wholesaler,
distributor and agent/representative of foreign and domestic companies;
c. To engage in the business of construction and property, including
development, sale and purchase, leasing and management of property; and
d. To provide management services, consulting services, advisory operation
services, evaluation, strategy, and support services also other related
activities.
2. The Supporting Business Activities are:
a. To engage business in the field of trade, including trade by export import,
local and inter-island, either based on self calculation, or based on the
guarantee and calculation of another party by way of commission or
mandate, and trade all kinds of electronic goods, kitchen appliances and
garden, as well as furniture and other household appliances.;
b. To engage business in the field of industrial of food, beverages, garment,
shoes, household appliances and equipment, bedroom and bathroom
equipment, and stationery;
c. To engage business in the field of agriculture, plantation, forestry, farm,
inland and marines fisheries and embankment;
d. To engage business in the field of warehousing activities (not veem);
e. To engage business in the field of construction in general including
contracting;
f. To engage business in the field of land transportation, such as travel agent,
and transportation;
g. To engage business in the field of services in general, except services in the
field of law and tax;
h. To engage franchising business in order to support the main business
activities of the Company.; and

i. To engage business in the field of tourism and catering services, such as
provision of food and beverages among others: restaurant, cafeterias, and
bakeries.
CAPITAL
Article 4
1. The authorized capital of the Company shall be four hundred and fifty billion Rupiah
(Rp 450,000,000,000.-) divided into nine billion (9,000,000,000) shares, each share
having a nominal value of Rp 50.- (fifty Rupiah) .
2. Of the authorized capital that has been placed, taken part, and paid in cash by the
shareholders whose names are registered in the Register of Shareholders a number
of 4,183,634,000 (four billion, one hundred eighty-three million six hundred and
thirty four thousand) shares with a nominal value Rp 50 (fifty Rupiah) or with a
nominal value of Rp 209,181,700,000 (two hundred and nine billion one hundred
and eighty one million seven hundred thousand Rupiah)
3. The shares in portfolio shall be issued according to the capital requirement of the
Company at the time and price as well as on conditions as stipulated by a Board of
Directors Meeting with the approval of a General Meeting of Shareholders
(hereinafter shall be referred to as “GMS”) with due observance of the provisions
inserted in the Articles of Association, Law of Limited Liability Companies (“UUPT”)
and laws and regulations prevailing in Capital Market and regulations of Stock
Exchange where the Company’s shares are listed, provided that the issue of shares
shall not be at a price below par.
4. The payment of shares in the form other than cash either tangible or intangible
objects shall comply with the following provisions:
a. the objects to serve as capital deposit shall be announced to public at the
summons of GMS on the deposit;
b. the objects to serve as capital deposit shall be appraised by an Appraiser
registered in Otoritas Jasa Keuangan and is not under any encumbrance;
c. to obtain the GMS’ approval at the quorum as regulated in Article 16 of
these Articles of Association;

d. in case the objects to serve as capital deposit are in the form of
Company’s shares listed on Stock Exchange, the price shall be fixed based
on the fair market value; and
e. In case the deposit comes from retained earnings, paid-in surplus, net
profit of the company, and/or equity element, then the retained earnings,
paid-in surplus, net profit of the company, and/or other equity element
shall have been contained in the latest Annual Financial Statement audited
by an Accountant registered in Otoritas Jasa Keuangan with unqualified
opinion.
5. If shares in portfolio are to be issued by rights issue, (hereinafter shall be sufficiently
referred to as the “Rights Issue”) to the shareholders, the entire shareholders whose
names are recorded in the Company’s Register of Shareholders on the date
determined by the Board of Directors based on an GMS that approves the Rights
Issue shall have preemptive rights to purchase the shares to be issued (those rights
shall also be referred to as the Rights or abbreviated to HMETD) proportionate to the
total shares they hold. The Rights can be sold and assigned to another party with
due observance of the provisions of the Articles of Association and laws and
regulations prevailing in Capital Market. The Board of Directors shall announce the
resolution for issue of shares by rights issue in at least one (1) Indonesian daily
newspaper having a national circulation at the Board of Directors’ discretion. The
shareholders, or Rights holders shall be entitled to purchase the shares to be issued
according to the number of Rights they hold at the time, and on conditions as
stipulated in a resolution of GMS as referred to in paragraph 3 of this Article 4. If
within the period stipulated in the aforementioned resolution of GMS, the
shareholders or the Rights holders do not exercise the rights to purchase the shares
offered to them according to the number of Rights they hold by paying off in cash to
the Company the price of the offered shares, the shares will be allotted to the
shareholders who intend to buy the shares in the number greater than their
HMETD portion provided, however, that if the number of equity securities
subscribed exceeds the number of equity securities to be issued, the unsubscribed
equity securities shall be allotted proportionate to the number of HMETD
exercised by the respective shareholders who subscribe to the additional equity

securities, with due observance of provisions of the Articles of Association and laws
and regulations as well as laws and regulations prevailing in Capital Market in
Indonesia.
If after the allocation, there are shares remaining unsubscribed:
In case there is a standby purchaser in the Rights Issue, the remaining shares
shall be allotted to the ready purchaser, as such at the same price and conditions
as those specified in the GMS’ resolution; and with due observance of the
provisions of the Articles of Association and the laws and regulations and the laws
and regulations applicable in Capital Market;
6. The provisions of paragraphs 3,4, and 5 above shall also mutatis mutandis be
effective in case the Company intends to issue Convertible Bonds, Warrants or other
convertible securities (“Equity Securities”) that can affect the ownership composition
of shares in the Company, one and another with due observance of the laws and
regulations prevailing in Capital Market and without prejudice to the permission of
the competent authorities insofar as required based on the prevailing laws and
regulations.
7. If shares in portfolios are to be issued by the Company to the holders of Equity
Securities issued by the Company based on approval from an GMS, then the Board
of Directors shall be authorized to perform the relevant issue of shares without
giving rights to the then existing shareholders to first purchase the shares which will
be issued, one and another with due observance of the provisions inserted in the
Articles of Association and laws and regulations prevailing in Capital Market in
Indonesia.
8. The issue of equity securities without giving HMETD to the shareholders can be
conducted in case of issue of shares are:
a. addressed to the Company’s employees;
b. addressed to the holders of bonds or other Securities convertible into shares,
issued at GMS’ approval;
c. conducted in the framework of reorganization and/or restructuring approved
by GMS; and/or

d. conducted based on regulation in Capital Market that allows capital addition
without HMETD (including but not limited to Regulation of Otoritas Jasa
Keuangan No. 38/POJK.04/2014 on Rights Issue Without Preemptive Rights).
9. Addition to the Company’s authorized capital may be conducted only based on
GMS’ resolution. The amendment to the articles of association in the framework
of alteration to the authorized capital is subject to an approval of the Minister of
Law and Human Rights.
10. Any addition to the authorized capital causing the subscribed and paid-up capital
to become less than twenty five percent (25%) of the authorized capital may be
conducted provided that:
a. it has obtained the GMS’ approval for addition of the authorized capital;
b. it has obtained the approval of the Minister of Law and Human Rights;
c. the addition of the subscribed and paid-up capital to become at least twenty
five percent (25%) of the authorized capital shall be conducted within the
period of no later than 6 (six) months after the approval of the Minister of Law
and Human Rights as referred to in paragraph 10 letter b of this Article;
d. In case the additional paid-up capital as referred to in paragraph 10 letter c of
this Article is not fully complied with, the Company shall re-amend its articles
of association in order for the authorized capital and paid-up capital to comply
with the provisions of Article 33 paragraph (1) and paragraph (2) of UUPT
within the period of two (2) months after failure to comply with the period
referred to in paragraph 10 letter c of this Article;
e. The GMS’ approval as referred to in paragraph 10 letter a of this Article shall
also include the approval to amend the articles of association as referred to in
paragraph 10 letter d of this Article.
11. The amendment to the articles of association in the framework of addition of
authorized capital shall become effective after there is the capital deposit causing
the amount of paid-up capital to become at least twenty five percent (25%) of the
authorized capital and having the rights equal to other shares issued by the
Company, without prejudice to the Company’s obligation to procure the approval
on the amendment to the articles of association of the Minister with respect to the
paid-up capital addition.

12. The paid-up capital addition shall become effective after the deposit has been
made and the shares issued shall have the rights equal to the shares having the
same classification as those issued by the Company, without prejudice to the
Company’s obligation to arrange the notification to the Minister of Law and
Human Rights.
SHARES
Article 5
1. All the shares issued by the Company shall be registered shares.
2. The Company may issue shares with or without the par value.
3. The issue of shares without the par value shall be conducted based on the laws
and regulations in Capital Market.
4. The Company shall only acknowledge one person or one (1) legal entity as owner of
one (1) share, namely the person or the legal entity whose name is recorded as the
owner of relevant share in the Company’s Register of Shareholders.
5. If one (1) or more shares, due to any reason, become property of several persons,
those joint owners shall be under an obligation to appoint in writing one of them, or
another person to be their joint proxy and only the appointed or authorized person's
name shall be recorded in the Company’s Register of Shareholders and shall be
deemed as the beneficial holder of the relevant share(s) and shall be entitled to
exercise any rights conferred by law on such share(s) under the authorization
contained in the appointment letter or power of attorney provided to him.
6. As long as the provision in paragraph 5 above has not yet been complied with, such
shareholders shall not be entitled to vote at GMS, while the dividend payment for
such a share shall be suspended.
7. Each shareholder shall by law be subject to the Articles of Association and to all
resolutions lawfully adopted at GMS as well as to the prevailing laws and regulations.
8. The Company's shares listed on the Stock Exchange shall be subject to the
regulations prevailing in the Stock Exchange where the Company’s shares are
listed.
9. All shares issued by the Company can be pledged with due observance of the
provisions of the laws and regulations on the pledge of shares, the laws and

regulations in Capital Market and UUPT.
SHARE CERTIFICATES
Article 6
1. The Company may issue share certificates.
2. If share certificates are issued, one share certificate shall be for one share.
3. Collective certificates may be issued as evidence of ownership of two (2) or more
shares by a shareholder.
4. The certificate shall at least bear:
a. The name and address of the shareholder;
b. The serial number of the share certificate;
c. Number of shares;
d. The nominal value of the share;
e. The date of issue of the share certificate; and
f. The identity card as the one to be determined by the Board of Directors.
5. The collective certificate shall at least bear:
a. The name and address of the shareholder;
b. The serial number of the collective certificate;
c. Number of shares;
d. The nominal value of the share;
e. The date of issue of the collective certificate; and
f. The identity card as the one to be determined by the Board of Directors.
6. The share certificate and collective certificate shall be printed according to the laws
and regulations prevailing in Capital Market in Indonesia and signed by Director(s)
lawfully representing the Board of Directors, or the signatures shall be printed
directly on the relevant share certificate or collective certificate.
7. The provisions in the aforementioned paragraph 6 shall also mutatis mutandis be
applicable to the printing and signing of convertible bonds, warrants or any other
similar convertible securities.
8. The shares included in the Collective Custody at the Depository and Settlement
Institution or at the Custodian Bank (especially in the framework of the collective
investment contract) shall be issued in the form of certificate or written confirmation

signed by any member of the Board of Directors who is entitled to represent the
Board of Directors or the signatures shall be printed directly on the relevant
certificate or written confirmation.
DUPLICATES
Article 7
1. If a share certificate is damaged or cannot be used any longer, at a written request
of the owner of share certificate to the Company's Board of Directors by submitting
the damaged or unusable share certificates, the Board of Directors shall issue its
duplicate, bearing the same number as its original number.
2. The original share certificate as referred to in paragraph 1 shall then be destroyed
and the Board of Directors shall draw up minutes thereof.
3. In case the share certificate is lost, any replacement of the share certificate can
be given if:
a. The party submitting the request for replacement of shares shall be the share
certificate owner;
b. The Company has obtained the reporting document from the Police of the
Republic of Indonesia regarding the lost share certificate;
c. The party submitting the request for replacement of shares shall give a
guarantee deemed adequate by the Company’s board of directors;
d. The issue of share certificate replacement due to a loss or total damage shall
be announced in the Stock Exchange, where the Company’s shares are listed,
at least fourteen (14) days before the issue of share certificate replacement.
4. After the duplicates of share certificates have been issued, the original share
certificates shall no longer be valid to the Company.
5. All expenses incurred for the duplicates of share certificates shall be borne by the
shareholder concerned.
6. The provisions in this Article 7 shall also mutatis mutandis be applicable to the issue
of duplicates of collective certificates, bonds, warrants and other securities or
duplicates of the written confirmation.

REGISTER OF SHAREHOLDERS AND SPECIAL REGISTER
Article 8
1. The Board of Directors shall keep and maintain a Register of Shareholders and
Special Register at the Company's domicile.
2. The following shall be recorded in the Register of Shareholders:
a. Names and addresses of shareholders;
b. Total number, serial number and acquisition date of share certificates or
collective certificates owned by the shareholders and the classification thereof in
the event that there is more than one classification of shares;
c. Amount to be paid for each share;
d. Names and addresses of individuals or legal entities having liens on the shares or
fiduciary security grantee on shares and acquisition dates of the liens as well as
the registration date of the deed of fiduciary transfer;
e. Particulars of share payment in forms other than cash; and
f. Other particulars considered necessary by the Board of Directors and or required
by the prevailing laws and regulations.
3. The Special Register shall record particulars of share ownership of the members of
the Board of Directors and Board of Commissioners as well as their families in the
Company and/or in another Company along with dates when the shares are
acquired.
4. The shareholders shall inform every change of address in writing to the Company's
Board of Directors.
-As long as the notice is not yet served, any summons and notice to the
shareholders shall be valid, if sent to the shareholders' addresses last recorded in the
Company’s Register of Shareholders.
5. The Board of Directors shall be under an obligation to keep and maintain the
Company’s Register of Shareholders and Special Register as best as possible.
6. At the request of the relevant shareholder or the pledge, a pledge of shares shall
be recorded in the Register of Shareholders in the manner specified by the Board
of Directors based on the proof satisfying and acceptable to the Board of Directors
regarding the relevant pledge of shares.
-The acknowledgement of the pledge of shares by the Company as required in
Articles of Association 2016

Article 1153 of the Civil Code is evident only from the recordation of the pledge of
shares in the Register of Shareholders
7. Any registration or recordation in the Register of Shareholders, including the
recordation of a sale, transfer, encumbrance, pledge, cession with respect to the
shares or rights or interests in shares shall be made in accordance with the
provisions of the Articles of Association and any shares listed on the Stock Exchange
shall be subject to the laws and regulations prevailing in the Stock Exchange where
the shares are listed, without prejudice to the prevailing laws and regulations.
8. Any shareholder shall be entitled to see the Register of Shareholders and Special
Register relevant with the identity of the shareholder concerned during the
Company’s office hours.
COLLECTIVE CUSTODY
Article 9
1. Shares in the Collective Custody at the Depository and Settlement Institution shall be
recorded in the Register of Shareholders in the name of the Depository and
Settlement Institution in the interest of the account holder at the Depository and
Settlement Institution.
2. Shares in the Collective Custody at the Custodian Bank or the Securities Company
recorded in the Securities account at the Depository and Settlement Institution are
recorded in the name of the Custodian Bank or the Securities Company concerned in
the interest of the account holder at the Custodian Bank or the relevant Securities
Company.
3. If the shares in the Collective Custody at the Custodian Bank are a part of the
portfolio of Investment Fund in the form of a collective investment contract and not
included in the Collective Custody with the Depository and Settlement Institution,
the Company shall record the shares in the Register of Shareholders in the name of
the Custodian Bank in the interest of the owner of the Participation Unit of
Investment Fund in the form of such collective investment contract.
4. The Company shall issue a certificate or written confirmation to the Depository and
Settlement Institution or the Custodian Bank as evidence of their recordation in the
Register of Shareholders.

5. The Company shall transfer the shares in the Collective Custody registered in the
name of the Depository and Settlement Institution or the Custodian Bank for
Investment Fund in the form of collective investment contract in the Register of
Shareholders to become in the name of the party designated by the Depository and
Settlement Institution or the Custodian Bank concerned. The request for transfer
shall be submitted by the Depository and Settlement Institution or the Custodian
Bank to the Company or the Securities Administration Bureau appointed by the
Company.
6. The Depository and Settlement Institution, Custodian Bank or Securities Company,
shall be under an obligation to issue written confirmation to the account holder as a
recordation proof in the Securities account.
7. In the Collective Custody each share issued by the Company of the same type and
classification shall be equal and exchangeable one to another.
8. The Company shall reject any shares registration into the Collective Custody if the
share certificate is lost or damaged, unless the party requesting the transfer can
provide adequate evidence and/or guarantee that the party concerned is really the
shareholder and the share certificate is actually lost or damaged.
9. The Company shall reject to register the share into the Collective Custody if the
share is subject to encumbrance, seizure based on a Court order or is seized for the
examination of a criminal case.
10. Any securities account holder whose shares are recorded in the Collective Custody
shall be entitled to be present and/or to vote in GMS proportionate to the number of
shares he owns in the account. The securities account holder entitled to be present
and/or to vote in GMS shall be a party whose name is recorded as securities account
holder at the Depository and Settlement Institution, the Custodian Bank or Securities
Company one (1) business day before the date of summons to GMS.
11. The Custodian Bank and the Securities Company shall submit the register of the
securities accounts and the number of the Company's shares owned by any of the
account holders at the Custodian Bank and the Securities Company to the
Depository and Settlement Institution, which will further deliver it to the Company at
the latest one (1) business day before the summons to GMS to be registered in the
Register of Shareholders especially maintained for such GMS holding.

12. The Investment Manager shall have the right to be present and vote at an GMS for
the Company’s shares belonging to the Collective Custody at the Custodian Bank
that form a part of the securities portfolio of the Investment Fund in the form of a
collective investment contract and are not included in the Collective Custody at the
Depository and Settlement Institution, provided that the Custodian Bank shall notify
the Company on the name of the Investment Manager at the latest one (1) business
day before the summons to GMS.
13. The Company shall deliver the dividends, bonus shares or any other entitlement in
connection with the shares ownership to the Depository and Settlement Institution
with respect to shares in the Collective Custody at the relevant Depository and
Settlement Institution, and further the Depository and Settlement Institution shall
deliver the dividends, share bonus or other entitlement to the Custodian Bank and
the Securities Company in the interest of the respective account holders in the
Custodian Bank and the Securities Company.
14. The Company shall deliver the dividends, bonus shares or any other entitlement in
connection with the share ownership to the Custodian Bank with respect to the
shares in the Collective Custody at the Custodian Bank which is a part of the
portfolio of the Investment Fund in the form of collective investment contract and
not included in the Collective Custody at the Depository and Settlement Institution.
15. The time limit of determination of the securities account holders entitled to obtain
the dividends, bonus shares or any other entitlement in connection with the share
ownership in the Collective Custody shall be determined by GMS, provided that the
Custodian Bank and the Securities Company shall submit the list of names of
Securities account holders and the number of the Company’s shares owned by each
account holder to the Depository and Settlement Institution, no later than the date
to serve as the basis for deciding the shareholders entitled to receive the
dividends, bonus shares or any other entitlement, to be further presented to the
Company no later than one (1) business day after the date that serves as the
basis for deciding the shareholder entitled to obtain the dividends, bonus shares
or any other entitlement.

TRANSFER OF SHARES
Article 10
1. In the event of change in the ownership of a share, the original owner registered in
the Register of Shareholders shall be deemed to remain as a holder of the relevant
share until the name of a new shareholder has been entered in the Company’s
Register of Shareholders, one and another without prejudice to the permits from the
competent authorities and the prevailing laws and regulations, provisions of the
Articles of Association and the Stock Exchange where the shares are listed.
2. Any transfer of shares shall be carried out based on a deed of transfer signed by the
transferor and the transferee or their authorized representatives.
3. The form and procedure of transfer of shares traded in Capital Market shall
comply with the laws and regulations in Capital Market.
4. The deed of transfer as referred to in paragraph 2 shall be in the form as
determined or approved by the Board of Directors and its copy shall be conveyed to
the Company, provided that the form and procedure of transfer of shares listed on
the Stock Exchange shall comply with the regulations prevailing at the Capital Market
and the Stock Exchange where the shares are listed.
5. Any transfer of shares included in the Collective Custody shall be conducted by
account transfer from one securities account to another securities account in the
Depository and Settlement Institution, Custodian Bank and Securities Company.
6. Any transfer of shares shall only be allowed if all provisions in the Articles of
Association have been complied with.
7. In respect of the shares of the Company listed on the Stock Exchange, every refusal
to record such transfer of shares shall be subject to the regulations prevailing at the
Stock Exchange where the shares are listed.
8. The Register of Shareholders shall be closed on the last business day of the Stock
Exchange before the summons to GMS is advertised in order to determine the
names of shareholders entitled to attend the relevant GMS.
9. Any person obtaining entitlement to the shares due to the death of a shareholder, or
due to another reason making the ownership of a share transferred by law, by
presenting an entitlement proof as required at anytime by the Board of Directors,
can submit an application in writing to be recorded as a shareholder.

-The recordation can only be carried out if the Board of Directors can well-accept the
entitlement proof, without prejudice to the provisions in the Articles of Association.
10. All restrictions, limitations and provisions in the Articles of Association stipulating the
right to transfer the shares and recordation of the transfer of shares shall also
mutatis mutandis be applicable to any transfer according to paragraph 9 of this
article.
GENERAL MEETINGS OF SHAREHOLDERS
Article 11
1. General Meeting of Shareholders (GMS) of the Company are:
a. Annual GMS, as referred to in Article 12 of the Articles of Association;
b. Other GMS, which shall hereinafter in these Articles of Association be referred to
as Extraordinary GMS, which can be held at any time as required for the
interest of the Company, as referred to in Article 13 of the Articles of
Association.
2. The term GMS in the Articles of Association means both the Annual GMS and
Extraordinary GMS, unless expressly stated otherwise.
3. GMS can be held at the request of one or more Shareholders who either alone or
jointly representing 1/10 (one-tenth) or more of the total shares with valid voting
rights issued by the Company, in compliance with the provisions of the Articles of
Association and legislation.
4. Request of the GMS as referred to in paragraph 3 shall be submitted to the Board
of Directors by registered letter with reasons for such request.
5. Request of the GMS as referred to in paragraph 3 shall:
a. be carried out in good faith;
b. consider the interests of the Company;
c. be a request that requires a resolution of the GMS;
d. include the reasons and related material things to be decided in the GMS; and
e. not contravene the legislation and the Articles of Association of the Company.
6. Board of Directors shall make a GMS announcement to shareholders within a
period of at least 15 (fifteen) days from the date of request of the GMS as
referred to in paragraph 3 received by the Board of Directors.

7. In the event that the Board of Directors do not make the GMS announcement as
referred to in paragraph 6, shareholders may resubmit the request of the GMS to
the Board of Commissioners.
8. The Board of Commissioners shall make a GMS announcement to the
shareholders within a period of at the latest 15 (fifteen) days from the date of the
request of the GMS as referred to in paragraph 7 is received the Board of
Commissioners.
9. In the event that the Board of Directors or the Board of Commissioners had not
made the GMS announcement within the period referred to in paragraphs 6 and
8, the Board of Directors or the Board of Commissioners shall announce:
a. there is a request of a GMS from the shareholders referred to in paragraph 3;
and
b. the reason for not convening the GMS.
10. Announcement referred to in paragraph 9 to be made within a period of at the
latest 15 (fifteen) days of receipt of request of the GMS from the shareholders
referred to in paragraphs 6 and 8.
11. Announcement referred to in paragraph 9 shall be announced through:
a. 1 (one) Indonesian language daily newspaper with national circulation;
b. Stock Exchange website; and
c. Company website, in 2 (two) languages, Indonesian and English.
12. Announcement in English as referred to in paragraph 11 letter c of this Article
shall contain the same information as the information in the announcement made
in the Indonesian language.
13. In the event of any difference of interpretation of information published in English
with that announced in the Indonesian language referred to in paragraph 12,
information used as reference information is that in Indonesian language.
14. Evidence of announcement referred to in paragraph 11 letter a together with a
copy of the letter of request of the GMS referred to in paragraph 4 shall be
submitted to the Otoritas Jasa Keuangan no later than two (2) working days after
the announcement.
15. In the case of the Board of Commissioners did not make the GMS announcement
referred to in paragraph 8, the shareholders referred to in paragraph 3 may

submit a request to convene a GMS to the chairman of the district court whose
jurisdiction covers the domicile of the Company to determine a permit on
convening of a GMS.
16. Shareholder referred to in paragraph 3 of this Article shall not transfer the
ownership of its shares within a period of at least 6 (six) months from the GMS if
the request of a GMS is fulfilled by the Board of Directors or the Board of
Commissioners or as determined by the court.
17. At the opening of the GMS:
a. Rules of the GMS should be distributed to the shareholders in attendance.
b. Principles order of the GMS to be read before the GMS begins.
c. Chairman of the meeting at the opening of the GMS are required to provide an
explanation to shareholders at least about:
1) The general condition of the Company briefly;
2) Meeting agenda;
3) Decision-making mechanism about the order of the Meeting; and
4) The procedure for the use of the right of shareholders to ask questions
and/or opinions.
ANNUAL GENERAL MEETING OF SHAREHOLDERS
Article 12
1. Annual GMS must be held every year, no later than 6 (six) months after the
financial year of the Company ends.
2. In the Annual GMS:
a. The Board of Board of Directors shall submit:
1) The Annual Report for approval by GMS;
2) The Financial Statement for ratification by GMS;
b. Determination for the use of profits.
c. Appointment of Public Accountant.
d. The appointment of members of the Board of Commissioners and the Board
of Directors, if necessary.

e. A decision on other agenda that have been put forward as it should be in
accordance with the provisions of the legislation and the Articles of
Association.
3. Approval of the Annual Report and ratification of the Financial Report by the
Annual GMS mean giving a full release and acquittal to the members of the Board
of Directors for the management responsibilities and to the members of the Board
of Commissioners for the supervision that have been implemented during the past
financial year, to the extent such actions are reflected in the Annual Report and
Financial Statements.
If the Board of Directors or the Board of Commissioners did not hold an Annual
GMS on the predetermined time, then 1 (one) or more Shareholders who jointly
represent 1/10 (one tenth) or more of the total shares with valid voting rights can
legitimately by themselves at the expense of the Company make an invitation to
hold an Annual GMS after obtaining permission from the Chairman of the District
Court whose jurisdiction covers the domicile of the Company which
implementation refers to Article 11, paragraphs 3 to 17.
EXTRAORDINARY GENERAL MEETINGS OF SHAREHOLDERS
Article 13
1. Extraordinary GMS is held each time, if deemed necessary by the Board of
Directors and/or the Board of Commissioners and/or Shareholders.
2. The Board of Directors shall convene and hold an Extraordinary GMS at a written
request of a Board of Commissioners Meeting or of one (1) or more shareholders
jointly representing one-tenth (1/10) of the total valid voting shares.
-The written request shall be sent in writing to the Board of Directors of the
Company stating the matters to be discussed together with the reasons thereof
and its copy shall be presented to the Board of Commissioners.
PLACE AND INVITATION OF GENERAL MEETING OF SHAREHOLDERS
Article 14
1. GMS shall be held in the territory of the Republic of Indonesia, to be held at the
domicile of the Company or at its main activity or capital city of the province

where the domicile or place of business of the Company or at the domicile of the
Stock Exchange where the shares of the Company are listed.
2. The Company must inform the agenda of the GMS clearly and in detail to the
Otoritas Jasa Keuangan no later than five (5) business days prior to the GMS
announcement, excluding the date of the GMS announcement.
3. In the event of any changes to the agenda of the GMS which has been submitted
to the Otoritas Jasa Keuangan as stated in paragraph 2, the Company shall
submit changes to the agenda referred to the Otoritas Jasa Keuangan no later
than when the GMS invitation is made.
4. Shareholders who have obtained a court decision for holding a GMS as referred to
in Article 11, paragraph 15 shall:
a. Make the GMS announcement, GMS invitation, and announcement of the
summary minutes of the GMS, on the GMS to be held in accordance with
Legislation in Capital Market and the Articles of Association.
b. Make a notification of GMS to be held and submit the evidence of GMS
announcement, evidence of GMS invitation, the minutes of the GMS, and the
evidence of summary of the minutes of the GMS announcement on GMS held
to the Otoritas Jasa Keuangan in accordance with Legislation in Capital Market
and the Articles of Association.
c. Attach a document that contains the names of shareholders and the number
of their shareholding in the Company that has obtained a court decision for
organizing the GMS and the determination of the court in the notice referred
to in letter b to the Otoritas Jasa Keuangan related to the upcoming GMS.
5. The provisions of paragraphs 2 and 3 of this Article mutatis mutandis apply to
notifications of the convening of a GMS by shareholders who have obtained a
court stipulation to convene the GMS as referred to in paragraph 4 of this Article.
6. At least 14 (fourteen) days before the GMS invitation excluding the date of the
GMS announcement and GMS invitation, the party entitled to make the GMS
announcement shall make the GMS announcement to Shareholders.
7. A GMS announcement referred to in paragraph 6 of this Article shall at least
contain:
a. Provisions of Shareholders entitled to attend the GMS;

b. Provisions of Shareholders entitled to propose the agenda of the meeting;
c. The date of the GMS; and
d. The date of the GMS invitation.
-In the event that the GMS are held at the request of Shareholders as referred to
in Article 11, paragraph 3, in addition to containing matters referred to in
paragraph 7 of this Article, the GMS announcement shall contain the information
that the Company is holding the GMS due to a demand from Shareholders.
8. GMS announcements to the Shareholders referred to in paragraph 6 of this Article
shall be made at least through:
a. 1 (one) Indonesian language daily newspaper with national circulation;
b. Stock Exchange website;
c. Company’s website in 2 (two) languages, Indonesian and English.
-GMS announcements using English must contain the same information with the
information in the GMS announcement using Indonesian language.
-Differences of interpretation between the English and Indonesian languages, the
information used as the reference is the Indonesian language.
9. Evidence of GMS announcement referred to in paragraph 8 letter a shall be
submitted to the Otoritas Jasa Keuangan no later than 2 (two) working days after
the GMS announcement.
10. In the event that the GMS is held at the request of Shareholders, the submission
of evidence of the GMS announcement referred to in paragraph 9 of this Article
has also to be accompanied by a copy of the letter of request of the GMS as
referred to in Article 11 paragraph 3.
11. The provisions of paragraphs 6, 7, 8, 9 and 10 of this Article mutatis mutandis
apply to GMS announcements for the convening of a GMS by shareholders who
have obtained a court stipulation to convene the GMS as referred to in paragraph
4 of this Article.
12. GMS invitations must be made no later than 21 (twenty one) days prior to the
date of the GMS excluding the date of the GMS invitation and the GMS.
-GMS invitations must be made at least through:
a. 1 (one) Indonesian daily newspaper with national circulation;
b. Stock Exchange website

c. Company’s website in 2 (two) languages, Indonesian and English.
-GMS invitations using English must contain the same information with the
information in the GMS invitation using Indonesian language.
-Differences of interpretation between the English and Indonesian languages, the
information used as the reference is the Indonesian language.
13. GMS invitation evidence referred to in paragraph 12 letter a shall be submitted to
the Otoritas Jasa Keuangan no later than two (2) working days after the GMS
invitation.
14. GMS invitations shall at least contain the following information:
a. Date and day of the GMS;
b. Time of the GMS;
c. Venue of the GMS;
d. Provisions of Shareholders entitled to attend the GMS;
e. Agenda of GMS including an explanation for each of the agenda of GMS; and
f. Information stating the related materials of agenda of the GMS is available to
Shareholders from the date of the GMS invitation up to the GMS is held.
15. The provisions of paragraphs 12, 13, and 14 of this Article mutatis mutandis apply
to GMS invitations for the convening of a GMS by shareholders who have obtained
a court stipulation to convene the GMS as referred to in paragraph 4 of this
Article.
16. The Company shall provide materials for the agenda for shareholders and is
available from the date of GMS invitation up to the GMS is held.
-In the event of the provisions of other legislations stipulate the obligations of the
availability of the agenda of the meeting earlier, the availability of agenda
material referred to shall comply the provisions of such other legislation.
-Available material for agenda item can be either in a form of a copy of a physical
document and/or copies of electronic documents.
-Copy of physical documents of agenda item materials are provided free of charge
at the Company's office if requested in writing by Shareholders.
-Copy of Electronic documents of agenda item materials can be accessed or
downloaded through the Company's website.
-In the event that the agenda item relates to the appointment of members of the

Board of Directors and/or members of the Board of Commissioners, curriculum
vitae on prospective members of the Board of Directors and/or members of the
Board of Commissioners to be appointed must be available and announced during
the GMS before the decision regarding the appointment of the members
concerned as members of the Board of Directors and/or members of the Board of
Commissioners or at such time as may be required under applicable laws and
regulations.
17. Shareholders may propose GMS agenda to the Board of Directors. The agenda
proposed by the shareholders must be included in the GMS and incorporated into
the GMS invitation if:
a. The related proposal has been submitted in writing to the Board of Directors
by one or more shareholders who own at least 1/20 (one-twenty) of the total
shares with valid voting rights issued by the company;
b. The proposal was received by the Board of Directors at least 7 (seven) days
prior to the date of the GMS invitation provided that it was made in good faith,
considering the interest of the Company, accompanied with the reason and
materials of the proposed agenda item and not contrary to the legislation;
c. The proposed agenda of the Meeting from the Shareholders is a matter that
requires GMS decision.
18. The Company shall make Correction on the GMS Invitation if there is a change in
the information of the GMS invitation as referred to in paragraph 14 of this Article.
19. In the event of a correction on the GMS invitation as stated in paragraph 18 of
this Article contains information on the changes in the date of the GMS and/or
adding additional agenda to the agenda of the GMS, the Company is obligated to
make a re-invitation to the GMS according to the GMS invitation procedure as
referred to in paragraphs 12 to 14 of this Article.
20. The obligation to re-invite as referred to in paragraph 19 of this Article does not
apply if the Correction for GMS Invitation regarding the change of the date of the
GMS and/or the agenda of GMS was made not due to the mistake of the
Company.

21. Evidence of GMS invitation correction not due to the mistake of the Company as
referred to in paragraph 20 of this Article must be submitted to the Otoritas Jasa
Keuangan on the same day of the invitation correction.
22. The GMS invitation correction shall be conducted at least through:
a. 1 (one) Indonesian daily newspaper with national circulation;
b. Stock Exchange website;
c. Company’s website in 2 (two) languages, namely Indonesian and English.
-GMS invitation corrections using English must contain the same information with
the information in the invitation of GMS using Indonesian language.
-Difference information interpretation between the English and Indonesian
languages, the information used as the reference is the Indonesian language.
23. Evidence of GMS invitation correction must be submitted to the Otoritas Jasa
Keuangan no later than two (2) working days after the GMS invitation correction.
CHAIRMAN AND MINUTES OF GENERAL MEETING OF SHAREHOLDERS
Article 15
1. GMS is chaired by a member of the Board of Commissioners appointed by the
Board of Commissioners. In the event that all members of the Board of
Commissioners are absent or unavailable, the GMS is chaired by a member of the
Board of Directors appointed by the Board of Directors. In the event that all
members of the Board of Commissioners and Board of Directors are absent or
unavailable, the GMS is chaired by a shareholder attending the GMS who was
appointed by and from the participants of the GMS.
2. In the event of the member of the Board of Commissioners appointed by the
Board of Commissioners has a conflict of interest on the matters to be decided at
the GMS, the GMS is chaired by another member of the Board of Commissioners
who does not have a conflict of interest, who is appointed by the Board of
Commissioners. If all members of the Board of Commissioners have a conflict of
interest, the GMS is chaired by a Director appointed by the Board of Directors. In
the event that the Director appointed by the Board of Directors has a conflict of
interest on matters to be decided in the GMS, the GMS is chaired by another
member of Board of Directors who does not have a conflict interests. If all

members of the Board of Directors have a conflict of interest, the GMS is chaired
by a non-controlling shareholder designated by other shareholders present in the
GMS.
3. The Company shall make Minutes and Summary Minutes of the GMS.
4. Of all matters discussed and decided in the GMS Minutes of the GMS are to be
made by Notary. Said Minutes of the GMS are valid evidence to all Shareholders
and third parties regarding the decision and everything that happens in the GMS.
5. Minutes of the GMS must be submitted to the Otoritas Jasa Keuangan no later
than 30 (thirty) days after the GMS is held. In the event of the submission of the
Minutes falls on a holiday the Company shall submit the minutes no later than the
next business day.
6. Summary of the Minutes of the GMS shall contain at least the following
information:
a. Date and day of the GMS, venue of the GMS, time of the GMS, and the
agenda of the GMS;
b. Members of the Board of Directors and members of the Board of
Commissioners present at the GMS;
c. Number of shares with valid voting rights present at the GMS and the
percentage of total shares with valid voting rights;
d. Whether or not the Shareholders were given the opportunity to ask questions
and/or give opinions related to the agenda of the Meeting;
e. The number of shareholders who asked questions and/or gave opinions
related to the agenda, if the shareholders were given the opportunity;
f. Decision-making mechanisms;
g. Results of voting that includes the number of votes which agree, disagree, and
abstain (not vote) for each agenda item, if decisions were made by voting.
h. GMS decisions; and
i. The implementation of the cash dividend payment to shareholders who are
entitled to if there were GMS decision related to the distribution of cash
dividends.
7. The Company shall announce the Summary Minutes of GMS to the public no later
than two (2) working days after the GMS is held at least through:

a. 1 (one) Indonesian daily newspaper with national circulation;
b. Stock Exchange website;
c. Company website in 2 (two) languages, namely Indonesian and English
languages. Summary Minutes of the GMS using English must contain the same
information with the information as in the summary of the minutes of the GMS
using Indonesian language and if there are differences in the interpretation of
information between the English and Indonesian languages; the information
used as the reference is the Indonesian language.
8. The Company is obliged to submit evidence of the announcement to the Otoritas
Jasa Keuangan no later than two (2) working days after it was announced.
9. The provisions of paragraphs 5 and 7 of this Article mutatis mutandis apply to:
a. submissions of Minutes of the GMS and announcements of the Summary
Minutes of GMS to the Otoritas Jasa Keuangan; and
b. announcements of the Summary Minutes of GMS, for a GMS convened by
shareholders who have obtained a court stipulation to convene the GMS as
referred to in paragraph 4 of Article 14.
10. In the event of the GMS decision relating to cash dividends, the distribution of
cash dividends to shareholders who are entitled shall be implemented not later
than 30 (thirty) days after the publication of a summary of the minutes of the
GMS decided to distribute cash dividends.
11. Those who attended the GMS must prove their authority to be present at the
GMS, which is in accordance with the requirements specified by the Board of
Directors or the Board of Commissioners at the time of the GMS invitation, as
such provided that for shares listed on the Stock Exchange are subject to the
legislations applicable in the Capital Market.
QUORUM, VOTING RIGHTS AND RESOLUTIONS
OF GENERAL MEETING OF SHAREHOLDERS
Article 16
1. a. GMS can be held if attended by Shareholders representing at least more than
1/2 (one half) of the total shares with valid voting rights issued by the

Company unless the law or these Articles of Association determines of a
larger quorum.
b. In case the quorum referred to in paragraph 1 letter a of this Article is not
reached, a second GMS can be held, without any prior GMS announcement.
c. GMS invitations for a second GMS as referred to in paragraph 1 letter b of
this Article must be made at the latest 7 (seven) days prior to the GMS
excluding the date of the invitation and the date of the meeting by stating
that a first GMS has been held but did not reach a quorum.
d. Second GMS is held at the earliest 10 (ten) days and at the latest 21 (twenty
one) days from the first GMS.
e. Provisions concerning the media for the invitation and correction of a GMS
referred to in Article 14 paragraphs 13, 14, 18, 19, 20, 21, 22 and 23 apply
mutatis mutandis to second GMSs;
f. Second Meeting is valid and is entitled to adopt binding resolutions if
attended by Shareholders or authorized attorneys having at least 1/3 (one
third) of the total shares with valid voting rights issued by the Company.
g. The GMS decisions referred to in letters a and f are valid if approved by more
than 1/2 (one half) of the total shares with voting rights present at the GMS,
unless the law or these Articles of Association determines of a larger voting
requirement.
h. In the event that the second GMS attendance quorum set forth in letter f of
this paragraph is not reached, the Company may make a third GMS with the
following stipulations:
-Invitations for third GMSs are determined by the Otoritas Jasa Keuangan
upon request by the Company, stating that a second GMS has been held and
no quorum was reached.
i. The third GMS can be held provided that the third GMS is valid and entitled to
make decisions if attended by shareholders of shares with valid voting rights
in attendance quorum and decision quorum stipulated by the Otoritas Jasa
Keuangan at the request of the Company.
2. Shareholders may be represented by another shareholder or other person with
power of attorney. Power of attorney must be made and signed in the form as

prescribed by the Board of Directors, without prejudice to the provisions of the
laws and regulations in force on civil evidence and must be submitted to the
Board of Directors at least 3 (three) working days prior to the date of the relevant
GMS.
-Chairman of GMS is entitled to request that the power of attorney to represent a
Shareholder is shown to him at the time of the GMS is held.
3. In the GMS, each share entitles its owner to cast 1 (one) vote.
4. The Board of Directors, the Board of Commissioners and employees of the
Company may act as the proxy at the GMS, but the vote that they cast as proxy
at the GMS are not counted in the voting.
5. In voting, votes cast by the shareholders applies to all of their shares and
shareholders are not entitled to authorize a power of attorney to more than one
attorney over a portion of the number of shares they owned with different vote.
6. A vote on individuals will be made by an unsigned sealed letter, and on other
things verbally, except if the Chairman of the GMS decides otherwise without any
objection from 1 (one) or more Shareholders who jointly represent at least 10%
(ten percent) of the total shares with valid voting rights.
7. Blank or abstain vote is considered as casting vote similar to votes cast by the
majority of the Shareholders.
8. All decisions are taken by deliberation to consent.
-In the event of a decision based deliberation to consent is not reached then the
decision will be made by voting in the affirmative votes in accordance with these
Articles of Association.
-If the affirmative and rejecting votes are equal then the proposal shall be
deemed rejected.
9. Decisions with regard to transactions that have a conflict of interest should be
taken in a special GMS held for such purpose attended by independent
Shareholders owning more than 1/2 (one half) of the total shares with valid voting
rights owned by all of the Independent Shareholders without prejudice to the
provisions of paragraph 1 letter a of this Article, and the decision was taken by
the affirmative vote of the Independent Shareholders owning more than 1/2 (one

half) of the total shares with valid voting rights owned by all of the Independent
Shareholders.
a. The decision taken by the Independent Shareholders are declared binding as a
decision that has been approved by overall quorum of the GMS, which was
attended by all shareholders present at the GMS, including the shareholders
who have conflict of interest.
b. If in the first GMS, it appeared that the number of Independent Shareholders
present or represented did not meet the quorum requirements specified by the
first GMS, then at the request of the Company a second GMS may be held
after an invitation for second GMS has been made as referred to in Article 14,
provided that at the second GMS the Independent Shareholders owning more
than 50% (fifty percent) of the total shares with valid voting rights owned by
the Independent Shareholders was present or represented and the decisions
were taken by the affirmative votes of more than 50% (fifty percent) of the
total shares owned by the Independent Shareholders present/represented at
the second GMS.
c. In case attendance quorum at the second GMS as referred to in paragraph 9
letter b of this Article is not reached, a third GMS can be held provided that
the third GMS is valid and is entitled to take decisions if attended by
Independent Shareholders of shares with valid voting rights, with attendance
quorum as set by the Otoritas Jasa Keuangan upon request of the Company.
d. Third GMS decision is valid if approved by the independent shareholders
representing more than 1/2 (one half)) of the shares held by independent
shareholders in attendance.
e. Shareholders who have conflict of interest deemed to have given the same
decision by the decision approved by the Independent Shareholders who do
not have a conflict of interest.
10. In the event of:
a. Transfer of assets of the Company, which is more than 50% (fifty percent) of
the Company's total net assets within 1 (one) or more transactions, whether in
relation to one another or not;

b. Encumbering assets of the Company which is more than 50% (fifty percent) of
the Company's total net assets within 1 (one) or more transactions, whether in
relation to one another or not;
the GMS must be conducted under the following conditions:
1) GMS can be held if attended by shareholders representing at least 3/4
(three quarters) of the total shares with valid voting rights.
2) GMS decisions referred to in paragraph a of this paragraph is valid if
approved by more than 3/4 (three quarters) of the total shares with voting
rights were present at the GMS.
3) In case the quorum referred to in paragraph b of this paragraph is not
reached, a second GMS may be held with the provisions of the second
GMS valid and may take a decision if the GMS is attended by shareholders
representing at least 2/3 (two thirds) of the total shares with voting rights
legitimate.
4) The second GMS decision is valid if approved by more than 3/4 (three
quarters) of the total shares with voting rights were present at the second
GMS.
5) In case attendance quorum at the second GMS as referred to above is not
reached, a third GMS can be held provided that the third GMS is valid and
is entitled to take decisions if attended by shareholders of shares with
valid voting rights, with attendance quorum as set by the Otoritas Jasa
Keuangan upon request of the Company.
THE BOARD OF DIRECTORS
Article 17
1. The Company is managed and led by a Board of Directors whose number is
adjusted to the needs of the Company provided that there are at least 2 (two)
members of the Board of Board of Directors, one of whom appointed as President
Director. The Company may also appoint Vice President Director (if necessary).
2. The members of the Board of Directors shall be appointed and dismissed by the
GMS.

3. Those that may be appointed as members of Board of Directors are individuals
who meet the requirements upon appointment and during their term of office
that:
a. Has good character, morals, and integrity;
b. Is legally competent;
c. Within 5 (five) years prior to the appointment and during his/her term of
office;
1) Has never been declared bankrupt;
2) Have never been a member of the Board of Directors and/or member of
the Board of Commissioners found responsible for causing a company to
go bankrupt;
3) Have never been convicted of a criminal offense that harm the country's
financial and/or relating to the financial sector; and
4) Have never been a member of the Board of Board of Directors and/or
members of the Board of Commissioners that during the term of office:
a) Have ever not held an annual GMS.
b) Accountability as a member of the Board of Directors and/or members
of the Board of Commissioners has ever been not accepted by the GMS
or has ever not given the accountability as Board of Directors and/or
members of the Board of Commissioners to the GMS;
c) Have caused the Company which has obtained a permit, approval, or
registration from the Otoritas Jasa Keuangan not fulfilling the
obligation to submit an annual report and/or financial report to the
Otoritas Jasa Keuangan;
d. Having the commitment to comply with legislations; and
e. Have knowledge and/or expertise in the field required by the Company.
4. The fulfillment of the requirements is contained in the statement letter and
submitted to the Company, which further to be examined and documented by
the Company.
5. Appointment of members of the Board of Directors who does not meet the
requirements referred to in paragraph 3 of this Article is legally void as of the time
when the other members of the Board of Directors or members of the Board of

Commissioners became aware of non-fulfilment of those requirements. The
Company must convene a GMS to change the members of the Board of Directors
that do not meet the requirements referred to in paragraph 3 of this Article.
6. Term of office of members of the Board of Directors is for a period of 2 (two)
years as of the date determined by the GMS appointing them and ends at the
closing of the 2nd (second) Annual GMS after the date of their appointment. A
member of the Board of Directors whose term of office has expired can be
reappointed without prejudice to the rights of GMS to dismiss them at any time by
mentioning the reason after the members of the Board of Directors concerned have
been given opportunities to defend themselves at GMS.
-Such dismissal shall be effective as of the conclusion of GMS deciding such
dismissal, unless otherwise stated by the GMS.
-The term of office referred to in this paragraph also applies to members of the
Board of Directors that are appointed by the GMS to replace outgoing members of
the Board of Directors who have not served the entire period of their term of office.
7. The Board of Directors may be given salaries and/or allowances with amount as
determined by the GMS and such authority may be delegated by the GMS to the
Board of Commissioners.
8. Proposed appointment, dismissal, and/or replacement of members of the Board of
Directors at the GMS shall consider the recommendation of the Board of
Commissioners or a committee that performs the nomination function. [HERO:
added by referring to Article 7 of the OJK Regulation No. 33/2014 on the BOC and
BOD.]
9. If due to any reason, the position of a member of the Board of Directors is vacant so
the total members of the Board of Directors become less than the number as
referred to in paragraph 1 of this article, within the period of the latest sixty (60)
days as of the vacancy, a GMS shall be held to fill the vacancy, with due observance
of the provisions referred to in paragraph 2 and 5 of this Article.
10. If for any reason the Company does not have any Board of Directors, then the
Board of Commissioners is temporary obliged to carry out the ongoing work, but
only with the right to perform maintenance actions related to the things and

activities that are ongoing, with the obligation that no later than 60 (sixty) days
after the vacancy occurs, organize a GMS in order to fill the vacancy.
11. Member of the Board of Board of Directors may hold concurrent positions as:
a. Member of the Board of Board of Directors at no more than 1 (one) other
Issuer or Public Company;
b. Members of the Board of Commissioners at most in 3 (three) other Issuer or
Public Companies; and / or
c. Committee member at most in 5 (five) committees in an Issuer or Public
Company where such person is also a Director or a member of the Board of
Commissioners of the Company.
-Concurrent positions are allowed to the extent that they do not conflict with
other terms and conditions prevailing in Company Law and, laws and regulations
in Capital Market and other laws and regulations related to the Company’s
business activities.
-In the event of any other legislation governing the provision regarding concurrent
positions differs from the provisions in this Articles of Associations, the more
stringent provisions applies.
12. a. A member of the Board of Directors is entitled to resign from office by giving a
written notification of its intention to the Company with a copy to the Board of
Commissioners;
b. The Company shall hold the GMS to confirm the resignation of such Director
within a maximum period of ninety (90) days after receipt of the letter of
resignation;
c. The resigning member of the Board of Directors may still be held accountable
for their actions as of the appointment up to the effective date of the
resignation.
d. The Company shall make disclosure of information to the public and submit to
the Otoritas Jasa Keuangan no later than 2 (two) working days after the
receipt of the resignation of members of the Board of Directors and the results
of the GMS.
12. Members of Board of Directors may temporary be dismissed by the Board of
Commissioners stating the reasons thereof and not limited to their actions

contrary to this Articles of Association or there are indications causing a loss to
the Company or neglect to perform its obligations or there are compelling reasons
for the Company, which shall be notified in writing to the member of the Board of
Directors concerned, taking into account the following provisions:
a. the decision by the Board of Commissioners regarding the suspension of the
Director is carried out in accordance with the procedures of decision-making in
the meeting of the Board of Commissioners;
b. the suspension is to be notified in writing to the Director concerned with the
reasons that led to such action with a copy to the Board of Directors;
c. notification referred to in letter b of this paragraph is submitted within the
period of 2 (two) days after the determination of the temporary dismissal;
d. the suspended member of the Board of Directors are not authorized to carry
out the management of the Company in accordance with the purpose and
objective of the Company nor represent the Company both in and out of
court;
e. restrictions of their authorities apply as of the decision of the suspension by
the Board of Commissioners until there is a decision from GMS reinforcing or
revoking GMS suspension or the lapse of the 90-day period as referred to in
paragraph 14 of this Article.
13. In the event of a temporary dismissal of a member of the Board of Directors, the
Board of Commissioners shall hold a GMS revoking or reinforcing the decision of
suspension.
14. GMS as referred to in paragraph 13 of this Article must be held within the period
of no later than 90 (ninety) days after the date of temporary dismissal.
-With the lapse of a period of holding the GMS or the GMS cannot take a decision,
the suspension become void.
-In the GMS, the concerned member of the Board of Directors is given the
opportunity to defend themselves.
15. The Company is obliged to perform a Disclosure of information to the public and
communicate to the Otoritas Jasa Keuangan the decision regarding the
suspension and the results of the of the GMS or information regarding the
revocation of the suspension by the Board of Commissioners unable to hold a

GMS until the elapse of the time period, no later than 2 (two) business days after
the occurrence those events.
16. The term of office of member of the Board of Directors ended if:
a. the resignation becomes effective as referred to in paragraph 11 of this
Article;
b. passed away;
c. the term expires;
d. dismissed by the GMS; and/or
e. no longer qualify as a member of the Board of Directors by legislation.
17. For members of the Board of Directors who resign before or after their term of
office expires, unless due to a death, the concerned member of the Board of
Directors shall submit their accountability for actions that have not been accepted
by the GMS.
18. Propose appointment, dismissal, and/or replacement of member of the Board of
Directors to the GMS has to be in compliance to the terms and conditions
prevailing in Company Law and, laws and regulations in Capital Market and other
laws and regulations related to the Company’s business activities.
DUTIES AND AUTHORITY OF THE BOARD OF DIRECTORS
Article 18
1. The Board of Directors shall be fully responsible to perform their duties to manage
the company in the interest of the Company in accordance with its purpose and
objective. In order to support the effectiveness of the implementation of the duties
and responsibilities of the Board of Directors may form committees.
2. Each member of the Board of Directors shall, in good faith, full responsibility and
prudently, discharge their duties with due observance of the prevailing laws and
regulations.
3. The Board of Directors shall be entitled to represent the Company inside and outside
the Court in respect of any matters and in any events, bind the Company to another
party, and another party to the Company as well as take any measures either
pertaining to the management or ownership, however under restrictions, that :

a. to buy or acquire in any manner, to sell or otherwise transfer immovable
objects, including titles to land, if the purchase, sale or transfer exceeds the
amount stipulated by a Board of Commissioners Meeting;
b. to receive a loan from any party, if the amount and term of the loan are in
excess of the amount and term stipulated by a Board of Commissioners
Meeting;
c. to give a loan or transfer the Company’s receivables to anyone whosoever, if
the amount and term of the loan or the receivable exceed the amount and
term stipulated by a Board of Commissioners Meeting;
d. to give guarantee or compensation for debt in the interest of any person, legal
entity or company, if the amount and term of guarantee or compensation are
in excess of the amount and term stipulated by a Board of Commissioners
Meeting;
e. to pledge or otherwise encumber the Company’s assets, if the amount and
term of the pledge or encumbrance are in excess of the amount and term
stipulated by a Board of Commissioners Meeting;
f. to establish a new enterprise or participate in any other enterprise or increase
or release the capital participation or transfer or dispose of any enterprise,
including but not limited to action of transfer or failure to exercise the pre-
emptive right to subscribe to or buy shares, both at home and abroad, if the
amount of participation or increase or release of equity participation, or the
transfer or disposal of the enterprise exceed the amount stipulated by a Board
of Commissioners Meeting.
-The Board of Directors shall have prior written approval of, or the relevant
document shall be counter-signed by the Board of Commissioners.
-In its implementation for any third party, the Board of Commissioners’ Approval
is adequately proven by any except of resolution of the Board of Commissioners’
approval signed by members of the Board of Commissioners appointed in a Board
of Commissioners Meeting.
4. Two members of the Board of Directors appointed by the Board of Directors has
the rights and authority to act for and on behalf of the Board of Directors and
represent the Company.

5. Without prejudice to their responsibilities, for certain actions the Board of Directors
shall also be entitled to appoint one or more persons to be their representative or
proxy by conferring on him authority set forth in a special power of attorney, such
authority shall be performed pursuant to the Articles of Association.
6. The distribution of duties and authority of each member of the Board of Directors
shall be determined by an GMS, in the event that GMS is silent about it, the
distribution of duties and authority of each member of the Board of Directors shall
be determined pursuant to resolutions of a Board of Directors Meeting.
7. In the event that there is only one member of the Board of Directors, all duties and
authority granted to the members of the Board of Directors under this Articles of
Association shall also apply to him.
8. Actions taken by the Board of Directors outside those decided by the Meeting of
the Board of Directors are the responsibility of the individuals concerned until the
actions are approved by the Board of Directors Meeting.
9. Each Director jointly and severally is liable for damages caused by the members
of the Board of Board of Directors of the Company for errors or omissions in
performing their duties.
10. Members of the Board of Board of Directors shall not be held accountable
personally or as referred to paragraph 8 of this Article for any loss of the
Company if they can prove that:
a. the loss is not due to their fault or negligence;
b. they manage the Company in good faith, full of responsibility, and prudence
for the benefit and in accordance with the purposes and objectives of the
Company;
c. they do not have a conflict of interest, either directly or indirectly, for the
management resulting concerned losses;
d. they have taken actions to prevent the continuation of such losses.
11. Members of the Board of Board of Directors is not authorized to represent the
Company if:
a. There are litigation between the Company and the members of Board of
Directors concerned; and

b. The Board of Directors concerned have conflicting interests with the interests
of the Company.
12. In the event of a situation as described in paragraph 11 of this article, those who
have the rights to represent the Company are:
a. Other members of the Board of Directors who do not have a conflict of
interest with the Company;
b. The members of the Board of Commissioners in cases where all members of
the Board of Directors have a conflict of interest with the Company, or
c. Other parties appointed by the GMS in cases where all Board of Directors or
members of the Board of Commissioners have a conflict of interest with the
Company.
MEETING OF THE BOARD OF DIRECTORS
Article 19
1. The Board of Directors shall hold regular meetings at least 1 (one) time in every
month or at any time when:
a. deemed necessary by one or more members of the Board of Directors;
b. at the written request of one or more members of the Board of
Commissioners; or
c. at the written request of 1 (one) or more Shareholders jointly representing
1/10 (one-tenth) or more of the total shares with valid voting rights.
-The Board of Directors meeting can be held if attended by a majority of all
members of the Board of Directors.
-The Board of Directors must convene a meeting between the Board of Directors
and the Board of Commissioners periodically at least 1 (one) time every 4 (four)
months.
-Result of Board of Directors meeting are put in the minutes of meetings, which
must be signed by all members of Board of Directors who are present, and
submitted to all members of the Board of Directors.
-Result of Board of Directors and the Board of Commissioners meeting must be
stated in a minutes of meeting, signed by the Board of Directors and members of
Articles of Association 2016

the Board of Commissioners present, and submitted to all members of the Board
of Directors and the Board of Commissioners.
-If there are members of the Board of Directors and/or members of the Board of
Commissioners who do not sign the results of the meeting; the members
concerned should mention the reasons in writing in a separate letter attached to
the minutes of meetings documented by the Company.
2. The presence of members of the Board of Board of Directors in the meeting shall
be disclosed in the Company's annual report.
3. The Board of Directors should schedule the Board of Directors meetings for the
next fiscal year before the end of the fiscal year .
4. For meetings which have been scheduled the materials shall be delivered to
participants no later than 5 (five) days before the meeting is held.
5. In the event of any meetings held outside the scheduled meetings, the materials
to be submitted to the meeting participants at the latest before the meeting is
held.
6. The invitation of Meetings of the Board of Directors shall state the agenda, date,
time and place of the Meeting.
7. Meetings of the Board of Directors shall be convened at the domicile of the Company
or the place where the Company has its business activities. If all members of the
Board of Directors are present or represented, the prior invitation shall not be
required and a Board of Directors Meeting may be held anywhere provided that it is
within the territory of the Republic of Indonesia and shall be entitled to adopt valid
and binding resolutions.
8. Meetings of the Board of Directors shall be chaired by the President Director, in the
event the President Director is absent or prevented from attending due to any
reasons whatsoever, of which impediment no evidence to third parties shall be
required, the Meeting shall be chaired over by any member of the Board of Directors
are present and or represented at the Meeting.
9. A member of the Board of Directors may be represented at a Board of Directors
Meeting only by another member of the Board of Directors by virtue of a power of
attorney.

10. A Board of Directors Meeting shall be authorized and entitled to adopt valid and
binding resolutions if more than a half (1/2) of the incumbent members of the Board
of Directors who are present or represented at the Meeting.
11. Resolutions of a Board of Directors Meeting shall be adopted in deliberation for a
consensus. Failing to reach settlement in deliberation for a consensus, the resolution
shall be adopted by voting based on affirmative votes of more than a half (1/2) of
the total votes lawfully cast at the Meeting.
12. In a tie vote, the chairman shall have the casting vote.
13. a. Each member of the Board of Directors present shall be entitled to cast one (1)
vote and one (1) extra vote for each other member of the Board of Directors he
so represents.
b. Voting concerning individuals shall be by unsigned folded ballots, whereas
voting concerning any other matters shall be done verbally, unless the
Chairman determines otherwise, without any objections being raised by the
majority attendees.
c. Blank and void votes shall be considered unlawfully cast and nonexistent as well
as shall not be counted in determining the number of votes cast.
14. Without prejudice to provisions regulated above, a Board of Directors Meeting may
be held by telephone conference or any other similar telecommunication means by
which participating members of the Board of Directors may communicate and the
participating members of the Board of Directors shall be considered personally
attending the meeting. Any discussion and resolution of the Meeting using such
telephone conference or any other similar telecommunication means shall be
recorded in meeting minutes to be subsequently signed by the Chairman and any
member of the Board of Directors present at the Meeting appointed by the Meeting
to verify the completeness and accuracy of the minutes.
15. The decision may also be taken outside the meeting of the Board of Directors to
the extent that the entire members of the Board of Directors agree on the
manner and the matter that has been decided.
-The resolutions adopted in such a manner shall have the same legal force as the
resolutions lawfully adopted at a Board of Directors Meeting.

THE BOARD OF COMMISSIONERS
Article 20
1. The Board of Commissioners consists of 2 (two) members or more as determined
by the GMS in accordance with the needs.
-In the event that the Board of Commissioners consists of more than 1 (one)
member then one of the members of the Board of Commissioners is appointed as
President Commissioner.
-It can also be appointed a Vice President Commissioner (if necessary).
-In the event that the members of the Board of Commissioners consists of more
than 2 (two) members of the Board of Commissioners, the mandatory number of
Independent Commissioners shall be at least 30% (thirty percent) of the total
members of the Board of Commissioners.
2. The members of the Board of Commissioners shall be appointed and dismissed by
the GMS.
3. The Board of Commissioners is a committee and each member of the Board of
Commissioners could not act severally, instead based on the Board of
Commissioners’ resolution.
4. Those who may be a member of the Board of Commissioners are individuals who
meet the requirements upon appointment and during their term of office that:
a. Have a good character, morals, and integrity;
b. is legally competent;
c. Within 5 (five) years prior to the appointment and during their term of office:
1) have not been declared bankrupt;
2) have never been a member of the Board of Board of Directors
and/members of the Board of Commissioners who was found guilty for
causing a company to go bankrupt;
3) have never been convicted of a criminal offense that harms the country's
financial and/or relating to the financial sector; and
4) have never been a member of the Board of Board of Directors and/or
members of the Board of Commissioners that during their term of office:
a) Have ever not held an annual GMS;

b) Their accountability as members of the Board of Directors and/or
members of the Board of Commissioners have ever not been accepted
by the GMS or have ever not give its accountability as members of the
Board of Directors and/or members of the Board of Commissioners to
the GMS;
c) Have caused the company which has obtained a permit, approval, or
registration from the Otoritas Jasa Keuangan not fulfilling the
obligation to submit an annual report and/or financial report to the
Otoritas Jasa Keuangan.
d. Have the commitment to comply with laws and regulations; and
e. Have the knowledge and/or expertise required in the field required by the
Company.
5. In addition to fulfilling the provisions referred to in paragraph 4, a member of the
Independent Commissioner shall also fulfil the following requirements:
a. Not an individual who works or has the authority and responsibility to plan,
direct, control, or supervise the activities of the Company within the last six
(6) months, except for reappointment as Independent Commissioner in the
next period;
b. Have no shares, either directly or indirectly of the Company;
c. Have no affiliation with the Company, the Board of Commissioners, Board of
Directors, or principal shareholders of the Company; and
d. Does not have a business relationship, directly or indirectly related to the
Company's business activities.
-The Company shall hold a GMS to replace Independent Commissioners that
during their term no longer meet the requirements of an Independent
Commissioner.
-The Company shall hold a GMS to replace members of the Board of
Commissioners that during their term no longer meet the requirements of a
commissioner.
6. Requirements referred to in paragraphs 4 and 5 shall be fulfilled by each of
concerned members of the Board of Commissioners during their tenure.

7. The fulfillment of the requirements is contained in the statement letter and
submitted to the Company, which further to be examined and documented by the
Company.
8. Appointment of members of the Board of Commissioners who do not meet the
requirements referred to in paragraphs 4 and 5 of this Article is legally void as of
the time when the other members of the Board of Commissioners or members of
the Board of Directors became aware of non fulfillment of those requirements.
The Company must convene a GMS to change the members of the Board of
Commissioners that do not meet the requirements referred to in paragraph 4 and
5 of this Article.
9. Members of the Board of Commissioners may hold concurrent positions as:
a. Members of the Board of Board of Directors at no more than 2 (two) other
Issuers or Public Companies.
b. Members of the Board of Commissioners at no more than 2 (two) other
Issuers or Public Companies.
c. In the event that the members of the Board of Commissioners do not hold a
position as a Director, the Board of Commissioners concerned may hold
concurrent positions as members of the Board of Commissioners at no more
than 4 (four) other Issuers or Public Companies.
d. Members of the Board of Commissioners may serve as committee members at
most 5 (five) committees in Issuer or Public Company in which they also
served members of the Board of Directors or members of the Board of
Commissioners.
e. Concurrent positions as committees members can only be done as long as not
contrary to other legislation.
f. In the event of any other legislation, governing the provision regarding
concurrent positions differs from the provisions of the Articles of Association,
the regulations with more stringent provisions govern.
10. Term of office of members of the Board of Commissioners is for a period of 2
(two) years as of the date determined by the GMS and ends at the closing of the
2nd (second) Annual GMS after the date of the appointment. A member of the
Board of Commissioners whose term of office has expired can be reappointed,

without prejudice to the rights of GMS to dismiss them at any time by mentioning
the reason after the members of the Board of Commissioners concerned have been
given opportunities to defend themselves at GMS.
-Such a dismissal shall be effective as of the conclusion of GMS deciding such
dismissal, unless GMS decides another effective date of the dismissal.
-the term of office referred to in this paragraph also applies to members of the
Board of Commissioners that are appointed by the GMS to replace outgoing
members of the Board of Commissioners who have not served the entire period of
their term of office.
11. Members of the Board of Commissioners may be given salaries and/or allowances,
the amount of which shall be decided by GMS and subject to the provisions of
legislation in force.
12. If by some reason the post of a member of the Board of Commissioner is vacant
or the Company does not have a single member of the Board of Commissioners, a
GMS must be held in the period of no later than 90 (ninety) days after the
vacancy occurs, to fill the vacancy.
13. a. A member of the Board of Commissioners is entitled to resign from office by
giving a written notification of its intention to the Company;
b. The Company shall hold the GMS to confirm the resignation of such
Commissioner within a maximum period of 90 (ninety) days after receipt of
the letter of resignation;
c. The resigning member of the Board of Commissioner may still be held
accountable for their actions as of the appointment up to the effective date of
the resignation.
d. The Company shall make disclosure of information to the public and submit to
the Otoritas Jasa Keuangan no later than 2 (two) working days after the
receipt of the resignation of member of the Board of Commissioners and the
results of the GMS.
14. The term of the members of the Board of Commissioners shall expire if:
a. the resignation is effective as referred to in paragraph 13 of this Article;
b. passed away;
c. term of office expires;

d. dismissed by the GMS; and / or
e. no longer qualify as a member of the Board of Commissioners by the
legislation in force.
15. In the case of members of the Board of Commissioners resign, resulting in the
number of members of the Board of Commissioners to become less than 2 (two)
person, the resignation is valid if it has been determined by the GMS and new
members of the Board of Commissioners have been appointed so that it meets
the minimum requirements of the Board of Commissioners.
16. For members of the Board of Commissioners who resign before or after their term
ends unless due to death, then they will still be held accountable for actions that
have not been accepted by the GMS.
17. Independent Commissioners who have served for 2 (two) periods of term of office
may be reappointed for the next period to the extent that the Independent
Commissioners declared themselves to remain independent to the GMS.
a. Statement of the independence of the Independent Commissioners should be
disclosed in the annual report.
b. In the case of Independent Commissioners served on the Audit Committee,
the Independent Commissioners concerned can only be reappointed to the
Audit Committee for 1 (one) period of term of office of the next Audit
Committee.
18. Propose appointment, dismissal, and/or replacement of members of the Board of
Commissioners to the GMS has to be in compliance with the terms and conditions
prevailing in Company Law and, laws and regulations in Capital Market and other
laws and regulations related to the Company’s business activities.
DUTIES AND AUTHORITY OF THE BOARD OF COMMISSIONERS
Article 21
1. The Board of Commissioners shall exercise control over the policy of the Board of
Directors in running the Company, and give advice to the Board of Directors.
2. Under certain conditions, the Board of Commissioners shall hold Annual GMS and
other GMS in accordance with its authority as stipulated in the legislations and the
Articles of Associations.

3. GMS provisions mentioned in paragraph 2 of this Article shall comply with the
provisions of the GMS in this Articles of Associations.
4. In carrying out the duties each member of the Board of Commissioners should:
a. comply with the Articles of Associations and legislations as well as the
principles of professionalism, efficiency, transparency, independency,
accountability, responsibility, and fairness;
b. act in good faith, full of prudence and responsibility in carrying out the duties
of supervising and providing advice to the Board of Directors for the benefit of
the Company and in accordance with the purposes and objectives of the
Company.
5. The Board of Commissioners, jointly or severally shall, at any time during office
hours of the Company, be entitled to enter any buildings, offices, and premises used
or controlled by the Company, and shall be entitled to examine all books, letters,
notes and documents as well as other evidence, examine and verify the Company’s
cash position and assets, and any other things, and shall be entitled to know all
actions taken by the Board of Directors to perform their duties.
6. The Board of Commissioners may manage the Company in certain circumstances
for a certain period of time.
7. Such authority is designated based on the articles of associations or decision of
GMS.
8. In order to support the effective implementation of the duties and responsibilities
the Board of Commissioners shall form an Audit Committee and may establish
other committees.
9. The Board of Commissioners shall evaluate the performance of the committees
that help the implementation of duties and responsibilities at the end of each
financial year.
10. Each member of the Board of Commissioners is responsible jointly over the losses
of the Company caused by the fault or negligence of the members of the Board of
Commissioners in carrying out their duties.
11. Actions taken by the Board of Commissioners outside those decided by the
Meeting of the Board of Commissioners are the responsibility of the individuals
concerned until the actions are approved by the Board of Commissioners Meeting.

12. Members of the Board of Commissioners cannot be held fully accountable
personally or as referred to in Paragraph 10 for damages of the Company if they
can prove:
a. the loss is not due to their error or negligence;
b. they have managed in good faith, full of responsibility, and prudence for the
benefit and in accordance with the purposes and objectives of the Company;
c. do not have a conflict of interest, either directly or indirectly, for the
management of the resulting losses;
d. have taken action to prevent the continuation of such losses.
MEETING OF THE BOARD OF COMMISSIONERS
Article 22
1. The Board of Commissioners shall hold regular meetings at least 1 (one) time in 2
(two) month or at any time when:
a. deemed necessary by the President Commissioner; or
b. at the written request of one or more members of the Board of
Commissioners; or
c. at the written request of 1 (one) or more Shareholders jointly representing
1/10 (one-tenth) or more of the total shares with valid voting rights.
-The Board of Commissioners meeting can be held if attended by a majority of all
members of the Board of Commissioners.
-The Board of Commissioners must convene a meeting between the Board of
Commissioners and the Board of Directors periodically at least 1 (one) time every
4 (four) months.
-Result of Board of Commissioners meeting are put in the minutes of meetings,
which must be signed by all members of Board of Commissioners who are
present, and submitted to all members of the Board of Commissioners.
-Result of Board of Commissioners and the Board of Commissioners meeting must
be stated in a minutes of meeting, signed by the Board of Commissioners and
members of the Board of Directors present, and submitted to all Board of
Commissioners and the Board of Directors.

-If there are members of the Board of Commissioners and/or members of the
Board of Directors who do not sign the results of the meeting; the members
concerned should mention the reasons in writing in a separate letter attached to
the minutes of meetings documented by the Company.
2. The presence of members of the Board of Commissioners at the meeting is
disclosed in the Company's annual report.
3. The Board of Commissioners should schedule meetings for the next fiscal year
before the end of the fiscal year.
4. For meetings which have been scheduled the materials shall be delivered to
participants no later than 5 (five) days before the meeting is held.
5. In the event of any meetings held outside the scheduled meetings, the materials
to be submitted to the meeting participants at the latest before the meeting is
held.
6. The invitation of the Meeting shall state the agenda, date, time and place of the
Meeting.
7. Meetings of the Board of Commissioners shall be convened at the domicile of the
Company or the place where the Company has its business activities. If all
members of the Board of Commissioners are present or represented, the prior
invitation shall not be required and a Board of Commissioners Meeting may be
held anywhere provided that it is within the territory of the Republic of Indonesia
and shall be entitled to adopt valid and binding resolutions.

ACTION PLAN, FINANCIAL YEAR, AND ANNUAL REPORTS
Article 23
1. Before the coming financial year commences, the Board of Directors shall submit
the work plan that also contains the Company’s annual budget to the Board of
Commissioners for approval.
2. The Company's financial year shall run from the first (1st) day of January to the
thirty-first (31st) day of December.
-At the end of December each year, the books of the Company shall be closed.
3. The Board of Directors shall prepare the annual report according to the provisions of
prevailing laws and regulations, signed by the entire members of the Board of
Directors and the Board of Commissioners to be submitted to an annual GMS.
-The annual report must be made available at the office of the Company at the
latest fourteen (14) days before the date of the Annual GMS, for inspection by the
shareholders.
4. The Company shall be under an obligation to announce the balance sheet and profit
& loss statement in Indonesian daily newspapers having a national circulation under
the procedure set forth in the regulations in Capital Market.
PROFIT APPROPRIATION AND INTERIM DIVIDEND DISTRIBUTION
Article 24
1. A Board of Directors Meeting shall submit a proposal to the annual GMS for
appropriation and/or the distribution of the Company's undistributed profit as
inserted in the balance sheet and profit and loss calculation submitted to the Annual
GMS for its approval, which proposal can state the undistributed profit amount that
will be set aside as reserve fund as referred to in Article 25 below and, a proposal for
the amount of dividends possibly distributed, one and another without prejudice to
the right of the GMS to decide otherwise.
2. -The dividends can only be paid according to the Company's financial capacity based
on a resolution adopted in an GMS, which resolution shall also determine the time,
terms of payment and form of dividends with due observance of the laws and
regulations prevailing in Capital Market and regulations of Stock Exchange where the
Company’s shares are listed.

-Any dividend for one share shall be paid to any person or party in whose name the
share is recorded in the Register of Shareholders.
-The payment day shall be announced by the Board of Directors to the shareholders.
3. If the annual GMS does not determine another appropriation, the net profit, after
being deducted by the reserve fund required by the Laws and the Articles of
Association, shall be distributed as dividends.
4. Based on a resolution of a Board of Directors Meeting, the Board of Directors may
distribute interim dividends after having obtained the Board of Commissioners’
approval and if the distribution does not cause the total company’s net assets to
become smaller than the subscribed and paid-up capital plus the required reserve,
provided, however, that the interim dividends should be offset against the
dividends distributed under the next Annual GMS’ resolution adopted based on the
provisions of these articles of association with due observance of the provisions of
the laws and regulations prevailing in Capital Market and the regulations of Stock
Exchange in the place where the Company’s shares are listed.
5. In the event the profit and loss statement in one (1) financial year shows a loss that
cannot be covered by the reserve fund, the loss will remain to be recorded in the
profit and loss statement and in the coming years the Company shall not be
considered gaining any profit as long as the loss recorded in the profit and loss
statement has not yet been completely covered, as such without prejudice to the
provisions of the prevailing laws and regulations.
6. In consideration of the Company's income of the relevant financial year, bonuses
may be distributed to members of the Board of Directors and the Board of
Commissioners of the Company, out of the net income as inserted in the balance
sheet and profit and loss statement approved by the annual GMS, the amount of
which shall be determined by GMS.
7. The profit distributed as dividends left unclaimed within five (5) years after being
made available for payment shall be put into the reserve fund specially earmarked
therefore.
-The dividends in the special reserve fund may be claimed by the eligible
shareholder before the passage of the ten (10)-year period by presenting his
entitlement proof on the dividends which is acceptable to the Company's Board of

Directors.
-The dividends left unclaimed after the passage of such period shall become the
Company's property.
APPROPRIATION OF RESERVE FUND
Article 25
1. A part of the profit that is set aside for reserve fund shall be determined by GMS
having considered the Board of Director’s proposal (if any) and with due observance
of the prevailing laws and regulations.
2. The reserve fund reaching an amount of at least twenty percent (20%) of the
subscribed capital shall only be used to cover any loss suffered by the Company.
3. If the amount of the reserve fund has exceeded the amount of at least twenty
percent (20%) of the subscribed capital, GMS may decide that the amount of the
reserve fund having exceeded the amount stipulated in paragraph 2 of this Article be
used for the benefits of the Company.
4. The Board of Directors shall manage the reserve fund in order to bring it in, in a
manner considered proper by the Board of Directors with approval from the Board of
Commissioners and with due observance of the prevailing laws and regulations.
5. Any profit received from the reserve fund shall be entered in the Company's profit
and loss statement.
AMENDMENT TO ARTICLES OF ASSOCIATION
Article 26
1. Amendments of the Articles of Association, except for changes in the Articles of
Association in order to extend the period of establishment of the Company are
determined by the GMS, which must be attended by Shareholders or their lawful
proxy which together represent at least 2/3 (two thirds) of the total issued shares
with valid voting rights and decisions are taken by deliberation to reach a
consensus. In the event of a decision based on deliberation for consensus cannot
be reached, the decision is approved by Shareholders or their lawful proxy which
together represent more than 2/3 (two thirds) of the total shares with voting
rights were present at the GMS.

-Amendment of the Articles of Association must be made by Notary Deed and in
the Indonesian language.
2. Amendment of the Articles of Association concerning the Company's name or
place of domicile of the Company, purpose and objectives as well as business
activities, the establishment period of the Company, the amount of authorized
capital, issued and paid-up capital reduction and/or change of the status of the
Company from a closed into a publicly listed company or otherwise, should obtain
the approval from the Minister of Law and Human Rights of the Republic of
Indonesia.
3. Amendment of the Articles of Associations other than those concerning matters
referred to in paragraph 2 of this Article a notification to the Minister of Justice
and Human Rights of the Republic of Indonesia would suffice.
4. If the GMS referred to in paragraph 1 specified quorum was not achieved, then at
the earliest in 10 (ten) days and no later than 21 (twenty one) days after the first
GMS a second GMS can be held both with the same agenda and terms as required
for the first GMS, for the period of invitation that must be made no later than 7
(seven) days prior to the second GMS, excluding the date of the GMS invitation
and the GMS and as for the second GMS prior to the GMS announcement is not
necessary. The second GMS must be attended by Shareholders or their lawful
proxy which together represent at least 3/5 (three-fifths) of the total shares
issued with valid voting rights and decisions are made based on deliberation for
consensus. In the event of a decision based on deliberation for consensus cannot
be reached, the decision is to be approved by Shareholders or their lawful proxy
which together represent least 3/5 (three-fifths) of the total shares with voting
rights present at the second GMS.
5. If the quorum in the second GMS is also not met, then upon the Request of the
Company, the attendance quorum, the number of votes to take the decision,
invitation and holding a third GMS will be determined by the Otoritas Jasa
Keuangan.
MERGER, CONSOLIDATION, ACQUISITION AND SEPARATION

1. With due observance of the laws and regulations prevailing in the Capital Market,
merger, consolidation, acquisition, separation, submission of application in order that
the Company is declared bankrupt and the extension of the Company’s
establishment period may only be carried out by virtue of a resolution of an GMS
attended by the shareholders representing at least three fourths (3/4) of the total
number of shares with valid voting rights and the resolution shall be valid if it is
approved by more than three fourths (3/4) of the number of shares with voting
rights present at GMS.
2. Failing to reach the quorum of the first GMS, the second GMS may be held. The
summons to the second GMS shall be served no later than seven (7) days before
the second GMS is held without calculating the date of summons and the date of
GMS along with the information that the first GMS has been held but failing to
reach a quorum.
-The second GMS shall be held at the earliest ten (10) days and at the latest
twenty-one (21) days as of the first GMS.
-The second GMS shall be valid and is entitled to adopt binding resolutions, if it is
attended by the shareholders representing at least two thirds (2/3) of the total
shares with valid voting rights and approved by more than three fourths (3/4) of
the total shares with voting rights attending the GMS.
3. Failing to reach the quorum of the second GMS, at the Company’s request, the
quorum, number of votes for adopting any resolution, the summons and time of
GMS shall be stipulated by Otoritas Jasa Keuangan.
4. In so far it is specifically regulated in the laws and regulations in Capital Market,
the provisions on merger, consolidation, acquisition and separation of the
Company shall be subject to the provisions applicable in the laws and regulations
in Capital Market.
DISSOLUTION AND LIQUIDATION
Article 28
1. With due observance of the prevailing laws and regulations, the dissolution of the
Company may only be carried out by virtue of a resolution of an GMS attended by
the shareholders representing at least three fourths (3/4) of the total shares with

valid voting rights and the resolution shall be valid if it is approved by more than
three fourths (3/4) of the total shares with voting rights present at GMS.
2. Failing to reach the quorum of the second (2nd) GMS, the second GMS may be
held. The summons to the second GMS shall be served no later than seven (7)
days before the second GMS is held without calculating the date of summons and
the date of GMS along with the information that the first GMS has been held but
failing to reach a quorum.
-The second GMS shall be held at the earliest ten (10) days and at the latest
twenty-one (21) days as of the first GMS.
-The second GMS shall be valid and is entitled to adopt binding resolutions, if it is
attended by the shareholders representing at least two thirds (2/3) of the total
shares with valid voting rights and approved by more than three fourths (3/4) of
the total shares with voting rights attending the GMS.
3. Failing to reach the quorum of the second GMS, at the Company’s request, the
quorum, number of votes for adopting any resolution, the summons and time of
GMS shall be stipulated by Otoritas Jasa Keuangan.
4. If the Company is dissolved either due to expiry of the company's duration (if it is
established for a definite period) or based on a resolution of GMS or because of
being declared dissolved by a Court's order, the Company shall be liquidated by one
or more liquidators.
5. The Board of Directors shall act as a liquidator if no liquidator is appointed at GMS or
in the order referred to in paragraph 4.
6. The regulations on the appointment, suspension, dismissal, authority, obligation,
responsibility and supervision on the Board of Directors shall also apply to
liquidators.
7. The remuneration for liquidators shall be stipulated by GMS or a Court's order.
8. The Articles of Association contained in the deed of establishment and any
subsequent amendments thereof shall remain in force until the date the liquidation
account is ratified by GMS, and a full discharge and acquittal is given to all
liquidators.

Article 29
1. The Board of Directors and Board of Commissioners are required to formulate
guidelines that bind every member of the Board of Directors and the Board of
Commissioners.
2. The guidelines referred to in paragraph 1 of this Article must at least contain:
a. Legal foundation;
b. Description of duties, responsibilities, and authority;
c. Values;
d. Working hours;
e. Meeting policy, including meeting policy regarding attendance and minutes of
meetings; and
f. Reporting and accountability.
3. The Company must disclose in the annual report of the Company informing that
the Board of Directors and/or the Board of Commissioners has established
guidelines that have also been posted on the Company website.
4. Board of Directors and Board of Commissioners must draw up a code of conduct
that applies to all members of Board of Directors and members of the Board of
Commissioners, workers/employees, as well as supporting organ of the Company.
5. The code of conduct referred to in paragraph 4 of this Article must at least
contains:
a. The principle of implementing the duty of Board of Directors, Board of
Commissioners, workers/employees, and/or supporting organs of the
Company to be conducted in good faith, full of responsibility, and
prudence; and
b. The provisions concerning the professional attitude of Board of Directors,
Board of Commissioners, workers/employee, and/or supporting organ owned
by the Company if there is any conflict of interest with the Company.
6. The Company must make the code of conduct available in its website.
CONCLUDING PROVISIONS
Article 30
Anything that is not provided or inadequately covered in these articles of association shall

be subject to the provisions of the laws and regulations in Capital Market and UUPT or
shall be decided based on the resolution of the Board of Directors Meeting, Board of
Commissioners Meeting, and/or GMS that is not in conflict with the provisions of the laws
and regulations in Capital Market and the Law on Limited Liability Companies.
