  • Tahun 2018 merupakan awal dari tahap kedua program transformasi MNC Bank yaitu Focusing Business.

    Untuk mempertajam fokus bisnisnya, MNC Bank melakukan perbaikan proses internal dan memperkuat sinergi di seluruh tingkatan organisasi. Tidak kalah penting, Bank terus menyempurnakan transformasi digitalnya yang diwujudkan dengan menyediakan berbagai produk dan layanan inovatif demi memenuhi kebutuhan nasabah.

    Keseluruhan elemen ini menjadi bagian yang tak terpisahkan dari fokus usaha MNC Bank dalam rangka memberikan nilai tambah kepada para pemegang saham dan nasabah Bank, yang pada akhirnya akan meningkatkan rentabilitas dan profitabilitas Bank.

    The year 2018 was the beginning of the second phase of MNC Bank’s transformation program, namely Focusing Business.

    To sharpen its business focus, MNC Bank has made improvement in its internal process and strengthen the synergy in all levels of the organization. No less important, the Bank has continuously improved its digital transformation, realized by providing various innovative products and services to fulfill the customers’ needs.

    All of the aforementioned elements have become inseparable from MNC Bank’s business focus. This all is to give added values to the Bank’s shareholders and customers, which in turn will increase the Bank’s rentability and profitability.

    2018 Business Performance Highlights

    MNC Bank menghimpun Dana Pihak Ketiga (DPK) sebesar Rp8,47 triliun pada tahun 2018 dengan komposisi dana murah (CASA) dengan Deposito sebesar 18% berbanding 82%. MNC Bank compiled Third-party Fund (DPK) of Rp 8,47 trillion in 2018 with low cost composition (CASA) and Deposit are 18% compared to 82%.

    Penyaluran kredit wholesale serta UKM sebesar Rp3,31 triliun atau mencapai 44% dari total kredit. The distribution of wholesale and SMEs credit was Rp 3,31 trillion or reached 44% of total credit.

    Kredit konsumer mendominasi 56% dari total kredit atau sebesar Rp4,20 triliun. Produk yang menjadi segmen konsumer adalah Mortgage, Multifinance, Kartu Kredit dan Implant Banking. Kartu kredit merupakan salah satu produk Konsumer yang mengalami pertumbuhan yang sangat baik dimana mencatatkan pertumbuhan jumlah penerbitan kartu baru sebanyak 43 ribu kartu baru di tahun 2018.

    Consumer Credit was dominated by 56% of total credit or Rp 4,20 trillion. There are several products of Consumers’ segments, such as Mortgage, Multifinance, Credit card and Implant Banking. Credit card is one of the Consumer products that experienced such encouraging growth which recorded a number of new card issuance of 43 thousand new cards in 2018

    Pendapatan bunga bersih (Net Interest Income/NII) naik 12,41% YoY menjadi Rp387,47 miliar di tahun 2018 dari tahun 2017 sebesar Rp344,69 miliar.

    Net Interest Income/NII rose 12.41% YoY to Rp 387.47 billion in 2018 from 2017 Rp 344.69 billion.

    Pendapatan Operasional Selain Bunga sebesar Rp237,79 miliar, naik 106,07% YoY dari tahun 2017 sebesar Rp 115,40 miliar.

    Other Operating Income was Rp 237.79 billion, increasing 106.07% YoY to 2017 by Rp 115.40 billion.

    Laba Operasional sebesar Rp80,2 miliar, dimana pada tahun 2017 mencatatkan Rugi Operasional sebesar Rp917 miliar.

    Operating Profit was amounted to Rp 80.2 billion, that in 2017, the Bank had recorded Operating Loss totaling to Rp 917 billion

    Laba bersih tercatat sebesar Rp57,02 miliar di tahun 2018, dimana pada tahun 2017 mengalami rugi Rp685,19 miliar.

    Net Profit was recorded to Rp 57.02 billion in 2018, that in 2017, had experienced loss by Rp 685.19 billion.

    Bedasarkan hasil RUPSLB tanggal 30 Mei 2017 pemegang saham MNC Bank telah menyetujui pelaksanaan Penambahan Modal dengan Hak Memesan Efek Terlebih Dahulu (HMETD).

    Pada tanggal 28 Mei 2018, MNC Bank memperoleh surat pernyataan efektif dari Dewan Komisioner Otoritas Jasa Keuangan No. S-58/D.04/2018 untuk melakukan Penawaran Umum Terbatas VI dalam rangka penerbitan Hak Memesan Efek Terlebih Dahulu (HMETD). Jumlah saham yang diterbitkan sebanyak-banyaknya 4.780.327.410 lembar saham dengan harga penawaran Rp 100 per saham yang disertai dengan penerbitan Waran Seri IV sebanyak-banyaknya 4.780.327.410 saham, dimana setiap 1 (satu) saham hasil pelaksanaan HMETD melekat 1 Waran Seri IV yang memberikan hak kepada pemegang saham untuk membeli saham baru dengan harga pelaksanaan Rp 100 per saham.

    MNC Bank berhasil memperoleh dana dari hasil Penawaran Umum Terbatas (PUT) VI sebanyak 273.580.271 saham dengan nilai nominal RP 100 per saham setara dengan Rp 27,3 miliar. Dimana 1 (satu) saham hasil pelaksanaan HMETD melekat 1 (satu) Waran Seri IV yang dapat dikonversi menjadi saham baru dengan harga pelaksanaan Rp 100 per saham, dimana pelaksanaan waran seri IV dapat dilaksanakan mulai 21 Desember 2018 sampai dengan 20 Juni 2023. Pada tanggal 31 Desember 2018, jumlah waran seri IV yang belum dilaksanakan adalah sebanyak 273.580.271.

    Pada tanggal 31 Desember 2018, jumlah saham Bank yang telah dicatatkan di Bursa Efek Indonesia sejumlah 21.567.203.082 lembar saham.

    Pursuant to the resolution of the Extraordinary GMS on May 30, 2017, MNC Bank shareholders approved the implementation of Capital Addition with Preemptive Rights (HMETD).

    On May 28, 2018, MNC Bank obtained an effective statement from the Financial Services Authority Board of Commissioners No. S-58/D.04/2018 for conducting Limited Public Offering VI in issuing Preemptive Rights (HMETD). The total shares issued is a maximum of 4,780,327,410 shares with an offering price of Rp 100 per share. It is accompanied by the issuance of Series IV Warrants in a maximum of 4,780,327,410 shares, which every 1 (one) share resulting from HMETD is attached to 1 Series IV Warrants that give the shareholders the right to buy new shares at an exercise price of Rp. 100 per share.

    MNC Bank managed to obtain funds from the proceeds of the Limited Public Offering (PUT) of 273,580,271 shares with a nominal value of Rp. 100 per share equivalent to Rp. 27.3 billion. 1 (one) share resulting from the exercise of Rights is attached to 1 (one) Series IV Warrants that can be converted into new shares at an exercise price of Rp. 100 per share. The execution of series IV warrants can be carried out from December 21, 2018 to June 20, 2023. On December 31, 2018, the total of series IV warrants that have not been implemented is 273,580,271.

    As of December 31, 2018, the total of Bank shares listed on the Indonesia Stock Exchange amounted to 21,567,203,082 shares.

    Sepanjang tahun 2018, Dewan Komisaris telah melaksanakan tugas dan tanggung jawab sesuai dengan Anggaran Dasar dan Pedoman Kerja Dewan Komisaris serta melakukan pengawasan terhadap pelaksanaan tugas Direksi atas implementasi kebijakan strategis Bank, prospek usaha serta penerapan tata kelola Perusahaan yang baik di lingkungan Bank. Kami bersyukur MNC Bank berhasil melalui tahun 2018 yang penuh tantangan, dengan menunjukkan pertumbuhan kinerja yang cukup baik.

    Perekonomian global masih mengalami ketidakpastian dan penuh tantangan selama tahun 2018, hal tersebut disebabkan kenaikan Fed Funds Rate (FFR), perlambatan pertumbuhan ekonomi negara maju, tingginya risiko perang dagang Amerika Serikat (AS) dan Tiongkok dan geo-politik yang masih tinggi berdampak pada tetap rendahnya volume perdagangan dunia. Meskipun dipengaruhi oleh kondisi global namun pertumbuhan ekonomi Indonesia relatif stabil yang ditopang oleh peningkatan investasi dan permintaan domestik.

    Perekonomian Indonesia di tahun 2018 menunjukkan kondisi yang stabil dengan tingkat pertumbuhan dan inflasi yang terjaga. Meskipun begitu, pertumbuhan ekonomi Indonesia sedikit mengalami gejolak, khususnya pada indikator nilai tukar, cadangan devisa dan defisit neraca pembayaran. Sepanjang 2018, Badan Pusat Statistik mencatat perekonomian Indonesia tumbuh 5,17%. Pertumbuhan ekonomi tersebut lebih tinggi dari capaian sepanjang 2017 yang tumbuh 5,07%, tetapi di bawah target Anggaran Pendapatan dan Belanja Negara (APBN) yang dipatok 5,4%. Ekonomi Indonesia triwulan IV-2018 dibanding triwulan III-2018 mengalami kontraksi sebesar 1,69%. Stagnasi pada triwulan IV tersebut tak terlepas dari kondisi perlambatan perekonomian global.

    Dear distinguished shareholders and stakeholders,

    Throughout 2018, the Board of Commissioners carried out their duties and responsibilities in accordance with the Articles of Association and Work Guidelines of the Board of Commissioners. The Board of Commissioners also supervised the implementation of the Board of Directors’ duties on the implementation of the Bank’s strategic policies, business prospects and the implementation of good corporate governance within the Bank. We are grateful that MNC Bank successfully has been through 2018 that was full of challenges, by showing good performance growth.

    The global economy has still met uncertainty and challenges during 2018, due to the increase in the Fed Funds Rate (FFR), slowing economic growth in developed countries, high risk of the US trade wars and China and geo-politics that still gave a high impact to the low volume of world trade. Although affected by global condition, Indonesia’s economic growth is relatively stable, supported by increased investment and domestic demand.

    The Indonesian economy in 2018 showed a stable condition with maintained growth and inflation rates. Even so, Indonesia’s economic growth has experienced a slight upheaval, particularly in the exchange rate indicators, foreign exchange reserves and balance of payments deficits. Throughout 2018, the Central Bureau of Statistics noted that the Indonesian economy grew by 5.17%. It was higher than the achievement in 2017 grew by 5.07%, but below the State Budget (APBN) target that set at 5.4%. Indonesian economy in quarter IV-2018 compared to quarter III-2018 contracted by 1.69%. The stagnation in the fourth quarter was inseparable from the condition of global economic downturn.

    Secara keseluruhan, pertumbuhan ekonomi Indonesia di 2018 masih dipengaruhi oleh komponen produksi seperti sektor pertanian, industri pengolahan non-migas, perdagangan besar dan pengadaan listrik dan gas. Komponen lain yang mempengaruhi pertumbuhan perekonomian Indonesia adalah komponen pengeluaran seperti pengeluaran konsumsi ibu rumah tangga khususnya kelompok restoran dan hotel.

    Stabilitas Sistem Keuangan dinilai masih stabil. Hal tersebut diindikasikan oleh pertumbuhan tingkat inflasi yang stabil dan berada pada level yang rendah. Inflasi Indeks Harga Konsumen (IHK) pada 2018 tetap terkendali dalam kisaran sasaran 3,5%±1% (yoy). Inflasi IHK pada Desember 2018 tercatat 3,13% (yoy), lebih rendah dibandingkan dengan inflasi tahun sebelumnya 3,61% (yoy) dan rerata pencapaian inflasi tiga tahun terakhir 3,33% (yoy). Perkembangan ini membuat inflasi IHK tetap dapat dijaga berada dalam kisaran sasarannya dalam empat tahun terakhir.

    Sementara pada industri perbankan khususnya Bank Umum Konvensional, Capital Adequacy Ratio (CAR) perbankan berada di level 22,97 %, likuiditas yang memadai dengan Loan to Deposit Ratio (LDR) sebesar 94,78 % serta risiko yang masih dapat ditekan dengan penurunan angka non-perfoming loan (NPL) gross 2,74% dan NPL nett 1,11%.

    On the whole, Indonesia’s economic growth in 2018 was still influenced by production components such as the agricultural sector, non-oil and gas processing industry, large trade and procurement of electricity and gas. Another component that affects the growth of the Indonesian economy is the component of expenditure such as consumption expenditures for housewives, especially restaurant and hotel groups.

    Financial System Stability was still considered stable. This was indicated by the steady growth in the inflation rate and at a low level. The Consumer Price Index (CPI) inflation in 2018 remained under control in the target range of 3.5% ± 1% (yoy). CPI inflation in December 2018 was recorded at 3.13% (yoy), lower than the previous year’s inflation (3.61% yoy) and the average achievement of inflation in the last three years (3.33% yoy). This development has kept CPI inflation within its target range in the past four years.

    Meanwhile in the banking industry, especially Conventional Commercial Banks, banking Capital Adequacy Ratio (CAR) was at 22.97%, adequate liquidity with an LDR of 94.78% and risk that could still be reduced by a decrease in gross non-perfoming loan (NPL) 2.74% and NPL nett 1.11%.

    PEniLAiAn TErhAdAP KinErjA dirEKSi Secara umum, Dewan Komisaris menilai bahwa kinerja Direksi tahun 2018 cukup baik, hal tersebut tercermin dari perbaikan kinerja keuangan Bank dibandingkan tahun sebelumnya serta pencapaian aspek operasional, keuangan dan aspek lainnya yang berkaitan erat dengan perkembangan usaha bank sebagaimana dirumuskan pada awal tahun 2018.

    Penilaian Dewan Komisaris didasarkan pada sejumlah indikator utama yang tercapai. MNC Bank berhasil membukukan laba sebesar Rp 57,02 miliar di tahun 2018 setelah kerugian yang dialami oleh Bank ditahun 2017. Pertumbuhan kredit terus meningkat, tahun 2018 tercatat penyaluran kredit sebesar Rp 7,51 triliun meningkat 5,58% dari tahun 2017 sebesar Rp 7,11 triliun. Sementara Dana Pihak Ketiga mengalami perubahan komposisi dengan meningkatkan CASA pada 2018 sebesar Rp 1,53 triliun meningkat 4,43% dari tahun 2017 sebesar 1,47 triliun.

    Assessment of Directors PerformAnceIn general, the Board of Commissioners considers that the Board of Directors' performance in 2018 is quite sound. This is reflected in the improvement of the Bank's financial performance compared to the previous year as well as the achievement of operational, financial and other aspects closely related to the bank's business development as formulated in early 2018.

    The Board of Commissioners' assessment is based on a number of key indicators that have been achieved. MNC Bank managed to record a profit of Rp. 57.02 billion in 2018 after the losses suffered by the Bank in 2017. Credit growth continued to increase. In 2018, it recorded the credit lending of Rp. 7.51 trillion increased 5.58% from 2017 amounting to Rp. 7.11 trillion. While Third Party Funds experienced a change in composition by increasing CASA in 2018 by Rp 1.53 trillion, an increase of 4.43% from 2017 at 1.47 trillion.

    Dalam menyikapi kondisi ekonomi dan industri tahun 2018, Bank menuangkan fokus yang besar terhadap konsolidasi dan perbaikan terhadap proses-proses internal untuk menjadikan Bank lebih profitable. Upaya tersebut tidak lepas dari kerja keras Direksi dan seluruh karyawan Bank.

    Tahun 2018, terdapat perubahan dari komposisi manajemen dengan tujuan mempersiapkan struktur organisasi Bank yang lebih efisien, baik secara operasional maupun pengelolaan. Hal tersebut agar pengambilan keputusan dapat menjadi lebih efektif terutama di fase kedua transformasi yaitu Focusing the Business. Berbagai perubahan tersebut menunjukkan komitmen Bank untuk mampu beradaptasi kepada setiap tantangan dengan tujuan akhir memungkinkan pertumbuhan bank yang berkelanjutan.

    Selain itu, terdapat beberapa pencapaian yang sudah terpenuhi di 2018. Pertama, peraihan kinerja positif dengan Laba bersih Rp 57,02 miliar, kemudian telah terisinya beberapa posisi strategis organisasi dengan kualifikasi yang mumpuni. Hal tersebut memberikan rasa percaya diri bagi Bank dalam menghadapi tahun-tahun yang akan datang.

    PEniLAiAn TErhAdAP KinErjA KOMiTE-KOMiTE diBAwAh dEwAn KOMiSAriSDewan Komisaris telah memiliki beberapa komite dibawah Dewan Komisaris yang berperan membantu pengawasan Bank secara efektif dan efisien, yaitu Komite Audit, Komite Pemantau Risiko, dan Komite Remunerasi dan Nominasi. Dewan Komisaris menilai bahwa ketiga komite tersebut telah menjalankan tugas dengan baik sesuai fungsi dan kapasitasnya.

    Komite Audit telah membantu memberi pengarahan dan evaluasi kinerja keuangan serta memantau laporan keuangan agar sesuai dengan standar akutansi yang berlaku. Selain itu komite telah memantau dan mengevaluasi efektifitas audit baik yang dilaksanakan auditor internal maupun auditor eksternal, meliputi rencana audit, pelaksanaan dan pelaporan audit, pencapaian KPI, serta kecukupan sumber daya audit. Selanjutnya komite juga membantu pemantauan tindaklanjut atas temuan audit baik oleh Audit Internal, OJK, maupun Audit Eksternal lainnya. Secara keseluruhan, komite dinilai telah memainkan peranan positif dalam melaksanakan fungsi sebagai pengawas independen dalam berbagai aspek organisasi terkait keandalan laporan keuangan. Komite Audit telah melakukan 10 pertemuan sepanjang 2018.

    Komite Pemantau Risiko telah membantu evaluasi kesesuaian kebijakan manajemen risiko dengan pelaksanaan kebijakan Bank. Hal tersebut dilakukan dengan memberikan rekomendasi kepada Dewan Komisaris mengenai kebijakan manajemen risiko untuk memastikan bahwa Bank telah mengelola risiko-risiko secara memadai melalui kebijakan, ketentuan, sistem, prosedur dan kegiatan usaha yang

    In addressing the economic and industrial conditions in 2018, the Bank has put a great focus on consolidation and improvement of internal processes to make the Bank more profitable. These efforts were inseparable from the hard work of the Board of Directors and all Bank employees.

    In 2018, there was a change in the composition of management with the aim of preparing the Bank's organizational structure to be more efficient, both operational and management. It aimed to make the decision making become more effective, especially in the second phase of transformation, Focusing the Business. These changes showed the Bank's commitment to adaptability on every challenge with the ultimate goal of enabling sustainable bank growth.

    In addition, several achievements have been obtained in 2018. First, the Bank achieved a positive performance with a net profit of Rp. 57.02 billion. Moreover, several strategic positions of the organization with qualified qualifications has ben filled. This gives confidence for the Bank in the facing the upcoming years.

    Assessment of PerformAnce of committees UnDer the BoArD of commissionersThe Board of Commissioners has several committees under the Board of Commissioners whose role is to help oversee the Bank effectively and efficiently, namely the Audit Committee, Risk Monitoring Committee and Remuneration and Nomination Committee. The Board of Commissioners considers that the three committees have carried out their duties properly according to their functions and capacities.

    The Audit Committee has helped guide and evaluate financial performance and monitor financial statements to comply with the applicable accounting standards. In addition, the committee has monitored and evaluated the effectiveness of the audit, both carried out by internal auditors and external auditors, including audit plans, audit implementation and reporting, achievement of KPIs, and adequacy of audit resources. Furthermore, the committee also assists in monitoring the follow-up of audit findings both by Internal Audit, OJK, and other External Audit. Overall, the committee is considered to have played a positive role in carrying out its functions as an independent supervisor in various aspects of the organization regarding the reliability of financial statements. The Audit Committee has conducted 10 meetings throughout 2018.

    The Risk Monitoring Committee has helped evaluating the suitability of risk management policies with the implementation of Bank policies. This is done by providing recommendations to the Board of Commissioners regarding risk management policies to ensure that the Bank has managed risks adequately through policies, regulations, systems, procedures and business activities carried out

    dijalankan Bank telah sesuai dengan regulasi OJK dan ketentuan peraturan perundang-undangan yang berlaku. Selanjutnya, komite juga melakukan pemantauan dan evaluasi dari pelaksanaan tugas Komite Manajemen Risiko dan unit kerja Risk Management selaku satuan kerja manajemen resiko. Menyampaikan rekomendasi kepada Dewan Komisaris atas kebijakan yang telah diambil oleh Direksi berkaitan dengan manajemen risiko. Komite Pemantau Risiko telah melakukan 10 pertemuan sepanjang 2018.

    Komite Remunerasi dan Nominasi telah memberikan rekomendasi kepada Dewan Komisaris mengenai Komposisi Direksi dan Dewan Komisaris, kebijakan dan kriteria dalam proses nominasi, dan kebijakan evaluasi kinerja Direksi dan Dewan Komisaris. Selain itu komite juga telah melakukan penilaian kinerja anggota Direksi dan Dewan Komisaris, memberikan rekomendasi mengenai program pengembangan kemampuan, serta rekomendasi terkait fungsi remunerasi. Komite Remunerasi dan Nominasi telah melakukan 5 kali rapat sepanjang 2018.

    PAndAngAn ATAS PrOSPEK uSAhA Tahun 2019 diprediksi tidak akan lebih mudah dibandingkan dengan tahun 2018. MNC Bank akan menghadapi banyak tantangan baik internal maupun eksternal. Meskipun banyak tantangan, terdapat prospek di tahun depan yang mendorong MNC Bank untuk bekerja lebih efisien, cerdas, dan bisa memanfaatkan segmen pasar yang menjadi target Bank.

    MNC Bank masih memiliki prospek yang baik di tahun yang akan datang mengingat komitmen para shareholders yang besar dan berbagai upaya yang dilakukan oleh Direksi. Tahun 2019 dan tahun-tahun yang akan datang diharapkan akan memberikan prospek yang baik. Tiga hal utama yang perlu menjadi perhatian Direksi adalah: 1) Memperbaiki margin usaha, 2) meningkatkan kualitas portofolio kredit, dan 3) meningkatkan kontribusi kantor cabang dalam pencapaian target profitabilitas Bank. Selain itu, perkembangan dunia Fintech dan teknologi perbankan menjadi salah salah satu bidang yang prospektif bagi profitability Bank.

    View of BUsiness ProsPects2019 is predicted to be no easier compared to 2018. MNC Bank will face many challenges both internally and externally. Despite many challenges, the prospects for the next year still comes that encourage MNC Bank to work more efficiently, smartly, and be able to utilize the market segments that are targeted by the Bank.

    MNC Bank still has good prospects in the upcoming year given the commitment of the large shareholders and the various efforts made by the Directors. 2019 and the years to come are expected to offer the good prospects. The three main things that need to be addressed by the Directors are: 1) Improving business margins, 2) improving the quality of the loan portfolio, and 3) increasing the contribution of branch offices in achieving the Bank’s profitability targets. In addition, the world development of Fintech and banking technology has become one of the prospective lines for the Bank’s profitability.

    PAndAngAn ATAS PEningKATAn KuALiTAS SdM dAn TATA KELOLA MNC Bank memberikan perhatian lebih pada peningkatan kualitas sumber daya manusia (SDM) dan Tata Kelola dalam rangka meningkatkan rentabilitas bank secara berkelanjutan. Apresiasi bank kepada SDM didasari pandangan bahwa karyawan merupakan aset paling berharga Bank. Oleh karena itu, berbagai program pelatihan diterapkan untuk peningkatan pengetahuan dan kemampuan sehingga pada akhirnya akan berkontribusi positif pada kinerja bank secara keseluruhan.

    Di samping peningkatan kualitas SDM, Bank juga memberikan perhatian lebih pada peningkatan kemampuan dari unit kerja manajemen risiko, audit internal, dan kepatuhan dalam rangka meningkatkan kualitas pengendalian internal. Dengan kualitas tata kelola perusahaan yang lebih baik, maka Bank akan lebih mampu mengelola bisnis dan aset secara lebih hati-hati (prudent) dan memastikan ketaatan terhadap regulasi dari otoritas terkait.

    PEruBAhAn KOMPOSiSi dEwAn KOMiSAriS

    Berdasarkan Rapat Umum Pemegang Saham (RUPS) Tahunan 2018 yang diselenggarakan pada 31 Mei 2018, MNC Bank melakukan perubahan atas komposisi anggota Dewan Komisaris. RUPS Tahunan 2018 menyetujui untuk mengangkat Ponky Nayarana Pudijanto sebagai Presiden Komisaris Independen, Peter Fajar sebagai Komisaris dan Jeny Gono sebagai Komisaris Independen Bank dengan masa jabatan sampai dengan RUPS Tahunan Bank pada tahun 2021.

    Views on QUAlity imProVement of hr AnD GooD corPorAte GoVernAnceMNC Bank gives more attention to improving the quality of human resources (HR) and Corporate Governance in order to increase Bank profitability on an ongoing basis. The Bank’s appreciation to HR is based on the view that employees are the Bank’s most valuable assets. Therefore, various training programs are implemented to increase knowledge and capabilities so that they will ultimately contribute positively to the overall performance of the Bank.

    In addition to improve the quality of human resources, the Bank also pay more attention to improve the capabilities of risk management work units, internal audit, and compliance in order to improve the quality of internal controls. Through the quality of better corporate governance, the Bank will manage the business and assets more prudently and more competent thus ensuring the compliance with regulations from the related authorities.

    chAnGes in comPosition of BoArD of commissionersBased on the 2018 Annual General Meeting of Shareholders (GMS) held on May 31, 2018, MNC Bank made changes to the composition of the Board of Commissioners members. The 2018 Annual GMS agreed to appoint Ponky Nayarana Pudijanto as Independent President Commissioner, Peter Fajar as Commissioner and Jeny Gono as Bank Independent Commissioner with a term of office up to the Bank’s Annual GMS in 2021.

    Pemegang Saham dan Pemangku Kepentingan yang Kami Hormati,

    Tahun 2018 merupakan masa awal dari tahap kedua dalam program transformasi MNC Bank yaitu Focusing Business. Berkat konsistensi dalam melakukan konsolidasi serta fokus kepada pemulihan kinerja, MNC Bank kembali meraih hasil positif dengan laba yang meningkat signifikan dibandingkan periode sebelumnya. Hal ini menambah keyakinan kami untuk tidak hanya mempertahankan momentum, tetapi juga meningkatkan kinerja dan memberikan nilai lebih baik bagi pemegang saham maupun segenap pemangku kepentingan.

    Implementasi program transformasi berada di jalur yang tepat sehingga rentabilitas MNC Bank semakin baik dan sustainable. Hal tersebut terindikasi dari meningkatnya komposisi dana murah dibandingkan dengan dana mahal (deposito) serta berkurangnya beban bunga, yang pada akhirnya berkontribusi pada peningkatan net interest margin.

    KOndiSi PErEKOnOMiAn dAn induSTriPertumbuhan ekonomi global dinilai mengalami perlambatan pada akhir tahun 2018. Perlambatan tersebut tidak terlepas dari berbagai faktor diantaranya melemahnya perdagangan dan manufaktur dunia, masih tingginya ketegangan perdagangan, dan tekanan pasar keuangan di beberapa negara.

    Amerika Serikat (AS) yang tengah dalam negosiasi dagang akibat konflik perdagangan dengan Tiongkok, mengalami perlambatan laju pertumbuhan ekonomi menjadi 2,2%. Angka tersebut merupakan revisi ketiga dari rilis pertama Biro Analisis Ekonomi AS yang sebesar 2,9%. Hasil pertumbuhan ekonomi yang dibawah ekspetasi tersebut mengakibatkan the Fed memotong ekspetasi pertumbuhan ekonomi AS di 2019. Disisi lain, perlambatan ekonomi dan tingkat inflasi yang cenderung dapat diprediksi membuat the Fed mempertahankan suku bunga Federal Fund Rate di antara 2,25% hingga 2,5% sepanjang 2019.

    Perlambatan pertumbuhan ekonomi juga dialami oleh Tiongkok. Pertumbuhan ekonomi Tiongkok pada 2018 tercatat sebesar 6,6%, yang merupakan laju terendah sejak 1990. Perlambatan tersebut tidak terlepas dari menegangnya perdagangan antara AS dan Tiongkok.

    The year 2018 marked the beginning of phase two of MNC’s Bank transformations, which is focusing on business. Through our consistency in consolidating and focusing on performance recovery, MNC Bank again achieved positive result with significantly increase profits compared to the previous period. This positive result has increased our confidence to not only maintain our momentum, but also improve our performance and provide better value for shareholders and all stakeholders.

    The implementation of the transformation program is on the right track. Therefore, the profitability of MNC Bank is better and also more sustainable. This was indicated by the increasing composition of low-cost funds compared to expensive funds (deposits) and reduced interest expenses, which ultimately contributed to the increase in the net interest margin.

    economic AnD inDUstriAl conDitionsGlobal economic growth is observed to experiencing a slowdown at the end of 2018. This condition is inseparable from various factors including the weakening of world trade and manufacturing, high trade tensions, and financial market pressures in several countries.

    The United States (US), which was in trade negotiation due to trade conflicts with China, experienced a slowdown in economic growth to 2.2%. This number is the third revision from the first release of the US Bureau of Economic Analysis by 2.9%. The results of economic growth that are below expectations have caused the Fed to cut expectations of US economic growth in 2019. On the other hand, the economic slowdown and inflation rate that tends to be predicted make the Fed maintain Federal Fund Rate rates between 2.25% to 2.5% throughout 2019.

    China also met the downturn in economic growth. China’s economic growth in 2018 was recorded at 6.6%, the lowest rate since 1990. It was inseparable from the tense trade between the US and China. The growth realization occurred amid the efforts of the Chinese government to deal with the

    Realisasi pertumbuhan ini terjadi di tengah usaha pemerintah Tiongkok untuk menangani perlambatan laju pertumbuhan ekonomi melalui berbagai kebijakan finansial. Diharapkan pemerintah Tiongkok akan mengeluarkan berbagai kebijakan sepanjang 2019 untuk menstimulasi laju pertumbuhan ekonominya kembali.

    Perlambatan ekonomi global pada 2018 berdampak pada transaksi ekspor Indonesia yang merupakan sumber pertumbuhan ekonomi nasional. Nilai ekspor Indonesia per Desember 2018 mencapai US$14,18 miliar atau menurun 4,89% dibandingkan November 2018 atau menurun 4,62% dibandingkan Desember 2017. Kondisi tersebut membuat Indonesia mengalami defisit neraca perdagangan sebesar USD 1,10 miliar pada Desember 2018. Dengan demikian sepanjang 2018, neraca perdagangan Indonesia defisit sebesar USD 8,57 miliar. Sementara itu, menurut Badan Pusat Statistik (BPS), inflasi Indonesia per Desember 2018 tercatat 0,62%, dengan keseluruhan inflasi 2018 sebesar 3,13%. Meskipun jumlah inflasi tersebut di atas ekspektasi pasar, namun secara keseluruhan momentum pertumbuhan ekonomi Indonesia tetap terjaga.

    Momentum pertumbuhan ekonomi Indonesia terus terjaga sebagaimana tercermin pada pertumbuhan ekonomi Indonesia sepanjang 2018 yang tetap kuat. Sepanjang 2018 ekonomi Indonesia tercatat 5,17% (yoy), meningkat dari 5,07% pada tahun sebelumnya dan merupakan pencapaian tertinggi dalam lima tahun terakhir. Terjaganya momentum tersebut tidak terlepas dari kebijakan moneter serta upaya Pemerintah Republik Indonesia dalam mendorong permintaan domestik.

    Stabilnya sistem keuangan dan ekonomi Indonesia juga ditunjang oleh industri perbankan yang memiliki struktur permodalan kuat, likuiditas memadai, dan risiko kredit yang terkendali. Hal tersebut ditunjukkan dari kinerja Bank Umum Konvensional dimana Capital Adequacy Ratio (CAR) perbankan berada di level 22,97%, likuiditas yang memadai dengan LDR sebesar 94,78% serta risiko yang masih terkendali dan dapat ditekan dengan penurunan angka Non-perfoming loan (NPL) gross 2,74% dan NPL nett 1,11%.

Sepanjang tahun 2018, berbagai langkah strategis telah dijalankan dengan memperkuat jaringan distribusi, pengembangan digitalisasi layanan, memperkuat sinergi dengan berbagai unit bisnis MNC Group untuk memberikan nilai lebih bagi nasabah dan Bank, pengembangan sistem teknologi guna menunjang bisnis dan senantiasa

    The global economic slowdown in 2018 gave an impact on Indonesia’s export transactions as a source of national economic growth. Indonesia’s export value as of December 2018 reached US $ 14.18 billion or decreased by 4.89% compared to November 2018 or decreased by 4.62% compared to December 2017. This condition made Indonesia underwent a trade balance deficit of USD 1.10 billion in December 2018. Therefore throughout 2018, Indonesia’s trade balance was a deficit of USD 8.57 billion. Meanwhile, according to the Central Statistics Agency (BPS), Indonesia’s inflation as of December 2018 was recorded at 0.62%, with overall inflation in 2018 at 3.13%. Although the amount of inflation was exceeding the market expectation, the overall momentum of Indonesia’s economic growth kept maintained.

    The momentum of Indonesia’s economic growth continually maintained as reflected in Indonesia’s economic growth throughout 2018 that remained strong. Throughout 2018, the Indonesian economy recorded by 5.17% (yoy), increasing from 5.07% from the previous year. It was the highest achievement in the last five years. The momentum was kept up due to the monetary policy and the efforts of the Republic of Indonesia Government in pushing the domestic demand.

    The stability of Indonesian financial and economic system is also supported by the banking industry that has a strong capital structure, adequate liquidity and controlled credit risk. This is indicated by the performance of Conventional Commercial Banks as banking Capital Adequacy Ratio (CAR) is at 22.97%, adequate liquidity with LDR of 94.78% and risks are still under control and can be reduced by a decrease in numbers of gross non-perfoming loan (NPL) by 2.74% and NPL nett by 1.11%.

Dilihat dari tren peningkatan laba operasional bank sepanjang 2018, proses transformasi yang dijalankan dapat dikatakan berada pada jalur yang sesuai.

    Tidak bisa dipungkiri bahwa teknologi sudah berkembang dan merambah ke setiap sektor industri termasuk industri perbankan. MNC Bank siap menghadapi kemajuan teknologi dengan terus mengembangkan infrastruktur pendukung bisnis berbasis teknologi digital serta melakukan pengembangan terhadap platform-platform digital yang telah dimiliki antara lain mobile banking, internet banking dan aplikasi punyakartu agar dapat memenuhi kebutuhan pasar yang terus berubah.

    Dalam hal konsolidasi jaringan kantor cabang, penataan dan pengembangan jaringan kantor (branch network) dilakukan sebagai kelanjutan dari evaluasi menyeluruh terhadap potensi cabang yang meliputi lokasi, SDM, infrastruktur dan kinerja cabang. Penataan dan pengembangan jaringan kantor dilakukan dengan melakukan relokasi serta peningkatan status cabang agar lebih produktif. Selain itu MNC Bank juga memanfaatkan teknologi digital guna menkonversi layanan kantor cabang ke jaringan elektronik melalui peningkatan mobile banking untuk nasabah individu dan internet banking untuk nasabah korporasi. Selain itu Bank juga meningkatkan kemampuan layanan beberapa aplikasi mobile yang telah diterbitkan pada tahun 2017, antara lain aplikasi punyakrtu, aplikasi mobile kartu kredit yang ditujukan untuk para pengguna kartu kredit Bank dimana nasabah akan mendapatkan informasi transaksi, tagihan dan penawaran spesial. Selaras dengan agenda transformasi di bidang bisnis, kami juga terus meningkatkan kompetensi SDM dan kualitas manajemen risiko sebagai bagian dari tata kelola perusahaan yang baik. Evaluasi secara komprehensif terkait SDM dilakukan secara berkesinambungan agar lebih fokus mendukung sasaran bisnis Bank.

    KinErjA TAhun 2018Implementasi strategi MNC Bank tercermin dalam pencapaian kinerja sepanjang tahun 2018. Seperti telah dijelaskan sebelumnya, kami memfokuskan diri untuk meningkatkan laba dan produktivitas Bank. Hasilnya dapat dilihat dari meningkatnya kinerja keuangan secara signifikan dimana pada akhir tahun 2018 telah membukukan laba bersih sebesar Rp 57,02 miliar. Kinerja positif dapat dilihat juga pada beberapa parameter lain seperti Peningkatan Net Interest Margin (NIM) pada Desember 2018 sebesar 4,10% dibanding Desember 2017 sebesar 3,04%. Selain itu Bank juga berhasil melakukan efisiensi operasional tercermin dari Beban Operasional terhadap Pendapatan Operasional Desember 2018 sebesar 93,51% turun signifikan dibandingkan Desember 2017 yang sebesar 180,62%.

Arrangement and development of office networks were carried out by relocating and improving branch status to be more productive. In addition, MNC Bank also utilizes digital technology to convert branch office services to electronic networks by increasing the use of mobile banking for individual customers and internet banking for corporate customers. Other than that, the Bank will improve the service capabilities of several mobile applications that was published in 2017, namely punyakartu, a credit card mobile application intended for credit card users where customers will get information, transaction, bills and special offers.

    In line with the transformation agenda in the business field, we also continue to improve HR competencies and improving the quality of risk management as part of good corporate governance. Comprehensive evaluation of HR is carried out continuously so that it is more focused on supporting the Bank’s business objectives.

    oUr PerformAnce in 2018The implementation of the MNC Bank strategy is reflected in the achievement of performance throughout 2018. As explained earlier, we focus on increasing profits and increasing organizational productivity.
