REQUEST FOR QUALIFICATIONS FOR DEMOLITION AND REMEDIATION OF THE FORMER CENTURY ALUMINUM PLANT

MILLWOOD, JACKSON COUNTY, WEST VIRGINIA

The West Virginia Economic Development Authority (WVEDA) solicits Statements of Qualifications (SOQ) from demolition and remediation firms interested in performing all aspects of project management and professional services involved with the demolition, removal, remediation, and disposal associated with the former Century Aluminum Plant located near Millwood, Jackson County, West Virginia. The former aluminum plant is located between Millwood and Ravenswood, WV adjacent to the Ohio River. The demolition and remediation services are subject to terms and conditions set forth in detail in the Request for Qualifications (“RFQ”). Copies of the RFQ may be obtained at the above address, Monday through Friday between 9:00 AM and 3:00 PM (holidays excepted) or may downloaded from https://eda.wv.gov/about/Pages/Meeting-Minutes-&-Public-Information.aspx Procurement of said services shall be in accordance with 2 CFR 200.320 (d) (5) and West Virginia Code Chapter 5G. All firms interested in being considered for this project must submit a SOQ detailing qualifications, technical expertise, management and staffing capabilities and related prior experience. Respondents will be required to provide proof of insurance and policy limitations including workers’ compensation insurance, in the form of an insurance certificate. Additionally respondents will be required to provide proof of good standing with the State of West Virginia Tax Department. Respondents should demonstrate proof, in the form of a letter from a surety company, of the ability to obtain a payment and performance bond in the minimum amount of the contract amount. The object of the competitive process is to objectively identify qualified firms who will provide the highest quality of service. Accordingly, technical qualifications and experience will be weighed heavily. Selected respondents will be interviewed, and the WVEDA will rank the three most qualified respondents, who will then be asked to proceed under a request for proposal process to submit bids for the project. REQUEST FOR QUALIFICATIONS

1.0 Project Overview and Background The West Virginia Economic Development Authority (WVEDA) owns approximately 2,200 acres of land that includes the site of the former Century Aluminum of West Virginia, Inc. (CAWV) plant near Millwood, Jackson County, West Virginia. The site is the location of the former Kaiser Aluminum plant that was established in 1954. The former aluminum plant is located between Millwood and Ravenswood, WV along Century Road and adjacent to the Ohio River. Refer to Appendix A – Site Maps for site maps showing the location of the site and the approximate property boundaries. The plant was idled by CAWV in 2009 and closed in 2015. The site was purchased by Applied Partners, Inc. in 2017. Applied Partners, Inc. planned to demolish the aluminum smelter and other site structures to facilitate redevelopment of the site. Demolition was started in late January 2017 and partially completed. WVEDA acquired the site via a deed in lieu of foreclosure in 2020. There are currently several structures that are partially demolished, some of which may contain Asbestos Containing Materials (ACM). In August 2021, WVEDA retained Greenbrier Environmental Group, Inc. (GEG) to visit the site, meet with the West Virginia Department of Environmental Protection (WVDEP) and review available regulatory files associated with the site. Refer to Appendix B – Environmental Regulatory Summary for a document prepared by GEG that summarizes the discussions with the WVDEP and known environmental regulatory issues associated with the site. The WVEDA solicits Statements of Qualifications (SOQ) from demolition and remediation firms interested in performing all aspects of demolition and environmental remediation of the former Century Aluminum Plant located near Millwood, Jackson County, West Virginia. The selected firm will work with the WVEDA to develop a scope of work that will include, but not be limited to, the following tasks:

Disposal of, recycling, or management of all existing demolition debris including abatement and management of ACM;

Demolition and/or decommissioning of structures, equipment, storage tanks, apparatus, piping, infrastructure present at the site;

Waste characterization and disposal/management; Remediation of the site to address all known environmental issues identified in the document

prepared by GEG and included as Appendix B; and, Site reclamation to facilitate redevelopment.

Environmental remediation must be completed in accordance with all applicable Federal, State, and local regulations. 2.0 Statement of Qualifications Submission Deadline

3.0 Request for Qualifications Contact The contact regarding this RFQ process is WVEDA Executive Director, Kris Warner. Prospective applicants may make inquiries to obtain clarification of the requirements contained in this RFQ. All questions regarding this RFQ shall be received in writing by email to the Executive Director of WVEDA, Kris Warner ([email protected]). A mandatory site visit will be held on February 15, 2022 starting at 9:00 A.M. Questions are due no later than Wednesday, February 23, 2022. 4.0 Statement of Qualifications Format Proposals should be limited to 20 numbered pages. Please include a cover letter that identifies a contact person and all call information. The following format is not required but is encouraged to provide consistency between proposals, aiding in evaluation and comparison. If the format is modified, please include the following information at a minimum:

i. Project Approach: Describe your team’s approach to successfully delivering the project. Provide details on how each task will be completed. Include any recommendations for maximizing effectiveness and efficiency. ii. Relevant Project Experience: Provide a summary of your experience with similar projects, including location and client contact information. Specify the services provided, the office location from which the work was performed, and staff members’ responsibilities. Web links to recent plans and past work, if available, may be included in addition to project summaries. iii. Project Team: Provide an organizational chart identifying all staff assigned to the project, including any sub-contractors, defining roles, responsibilities, and task assignments of each member for the duration of the project. iv. Qualifications of Personnel: Provide relevant experience and qualifications of all personnel assigned to the project. v. Scope of Work: Provide an outline for keeping the project on schedule and within budget. Include projected workloads and staff availability, as well as a projected schedule for completion of significant milestones. vi. References: Provide contact information for at least three references for clients familiar with your work. vii. Insurance; Good Standing: Provide proof of insurance and policy limitations including workers’ compensation insurance, in the form of an insurance certificate. Provide proof of good standing with the State of West Virginia Tax Department. viii. Bonding Capacity: Provide proof, in the form of a letter from a surety company, of the ability to obtain a payment and performance bond in the minimum amount of the contract amount. 

5.0 Evaluation Criteria SOQs should address all aspects of the RFQ and clearly express an understanding of the requirements and qualifications to conduct these services in a thorough and efficient manner. SOQs will be evaluated by a committee appointed by the WVEDA. SOQs will be evaluated on the firm’s ability to meet the requirements of this RFQ. Some evaluation criteria, among other factors, will include:

I. Project approach and demonstrated understanding of the goals for the site; II. Creativity and vision for overall project;

III. Familiarity with and understanding the nature and challenges of the project; IV. Qualifications and availability of staff assigned to the project; V. Relevant project experience; VI. References.

Candidate firms may be asked to present their proposal to a committee appointed by the WVEDA before the final selection is made. Final selection and contracting will be subject to approval by the WVEDA Board of Directors.

6.0 Project Schedule It is anticipated that the firm will be able to accomplish all tasks and deliver a site that is ready for development within 18 months. 7.0 Administrative Information All proposals become the property of the WVEDA upon submission and will only be returned at the WVEDA’s option. Any restrictions on the use of the data contained within must be clearly stated in the SOQ itself. The cost of preparing, submitting and presenting a SOQ is the sole expense of the proposing firm. The WVEDA is not liable for any costs prior to issuance of a signed contract. The WVEDA reserves the right to reject any and all SOQs, to consider alternatives, to waive irregularities and to re-solicit a RFQ. The WVEDA reserves the right to cancel the RFQ in part or in its entirety. This solicitation of SOQs in no way obligates the WVEDA to award a contract. The WVEDA makes no guarantees to any proposing firm until such time the WVEDA approves the negotiated contract. The WVEDA will provide information and assistance in this project where available. Dear Mr. Warner:

The purpose of this correspondence is to provide an overview of the environmental conditions at the site based on the site visit completed by Greenbrier Environmental Group, Inc. (GEG) on August 5, 2021, meeting with West Virginia Department of Environmental Protection (WVDEP) staff on October 15, 2021, and our review of available files.

Scope of Work

The following scope of work was completed by GEG.

Site Visit – August 5, 2021

GEG completed a site visit on August 5, 2021 to tour the site, meet with West Virginia Economic Development Authority (WVEDA) staff and WVDEP, and obtain information regarding the location and nature of the environmental issues at the site. A summary of the site visit was prepared by John Meeks with the WVDEP Office of Environmental Remediation (OER). The summary lists environmental issues observed and potential options to address each. Refer to Attachment I – WVDEP OER Site Visit Summary for a copy of the summary letter prepared by Mr. Meeks. Photographs taken during the site visit are included to this correspondence as Attachment II – Photographic Documentation.

Regulatory Agency Meeting – October 15, 2021

GEG met with WVEDA staff and representatives from the WVDEP to discuss the known environmental issues at the site and potential short and long-term compliance and remediation options. The WVDEP recommended

addressing compliance issues immediately and then remediation of the site. WVDEP also recommended that compliance and remediation of any areas that drain to the Ohio River should be dealt with first. The following WVDEP staff were present at the meeting on October 15, 2021:

Jeffrey Cavender, Aboveground Storage Tank (AST)/Underground Storage Tank (UST) Section Joe Sizemore, Environmental Enforcement/Hazardous Waste John Meeks, OER Jesse Adkins, Division of Air Quality Jacob Rhodes, Asbestos Inspector-In-Training Jeff Hedgecock, Division of Air Quality/Asbestos John Killion, Hazardous Waste Inspector Supervisor Brad Wright, Water and Solid Waste Inspector Ryan Harbison, Waste Inspector

The following environmental issues were discussed:

AST Compliance WVDEP indicated the WVEDA needs to be listed as the owner of the ASTs at the site. The ASTs would need brought into compliance within 30 days after the transfer of ownership to WVEDA. The ASTs would need to be closed by August 1, 2023. There are Level I and Level II ASTs at the site, which means that a release from the ASTs has the potential to impact a downstream water intake or source water protection area. One leaking AST at the site was discussed and should be closed as soon as possible. WVDEP recommended the West Virginia Bureau for Risk Insurance Management (BRIM) for AST insurance.

Unsatisfactory Compliance Evaluation Inspection, WV/NPDES Permit Number WV0000779 WVDEP issued a Report of Compliance Evaluation Inspection for WV/NPDES Permit Number WV000079 on May 6, 2021. The report listed several unsatisfactory environmental conditions. Refer to Attachment III - Compliance Evaluation Inspection, WV/NPDES Permit Number WV0000779 (May 6, 2021) for a listing of the unsatisfactory environmental conditions that must be corrected at the site that were included in the Compliance Evaluation Report dated May 6, 2021. The WVDEP discussed the requirement to correct each unsatisfactory environmental condition.

Violation No. W21-18-001-RTH

WVDEP issued a Notice of Violation (NOV) for Violation No. W21-18-001-RTH on May 6, 2021. The NOV cited Applied Partners, Inc (WVEDA) for an unpermitted discharge from the roadbed constructed with contaminated demolition material located at the northern portion of the facility discharging into the Ohio River. Refer to Attachment IV – WVDEP Notice of Violations for a copy of the NOV for Violation No. W21-18-001-RTH dated May 6, 2021.

The WVDEP indicated that excavation and temporary covered storage of the contaminated material (cryolite) used to construct the roadway may be acceptable with coordination of the WVDEP.

Violation No. W21-18-002-RTH

WVDEP issued a NOV for Violation No. W21-18-002-RTH on May 6, 2021. The NOV cited Applied Partners, Inc (WVEDA) for the following violations of WV/NPDES Permit Number WV0000779:

o Used mineral oil leaking from an AST located on the southeastern portion of the facility. The

leaking mineral oil was contaminating the soil within the mineral oil AST secondary containment area.

o Stained pavement and soil from previous spill adjacent to tote containing molasses. o Petroleum contaminated soil from previous spill adjacent 4,000-gallon diesel tank. o Tote containing used oil adjacent to the Carbon Press AST's leaking and contaminating the

adjacent soil. o Discharge associated from removed waste material from the demolition of the facility that had been

used to create a roadbed used for offloading pipe from train cars onto waiting trucks. The stormwater runoff from this area was discharging into the Ohio River creating an unpermitted Outfall.

The WVDEP indicated that excavation and temporary covered storage of the contaminated material (cryolite) used to construct the roadway may be acceptable with coordination of the WVDEP.

Refer to Attachment IV – WVDEP Notice of Violations for a copy of the NOV for Violation No. W21-18-002-RTH dated May 6, 2021.

Violation No. W21-18-003-RTH

WVDEP issued a NOV for Violation No. W21-18-003-RTH on May 6, 2021. The NOV cited Applied Partners, Inc (WVEDA) for exceeding the effluent limits at permitted Outfall 003 and 004. It was discussed that addressing the violations listed in Violation Number W21-18-002-RTH will likely reduce contaminant levels in the effluent samples. Refer to Attachment IV – WVDEP Notice of Violations for a copy of the NOV for Violation No. W21-18-003-RTH dated May 6, 2021.

Violation No. W21-18-004-RTH

WVDEP issued a NOV for Violation No. W21-18-004-RTH on May 6, 2021. The NOV cited Applied Partners, Inc (WVEDA) for drums containing material that have the potential to contaminate groundwater and required proper storage so that spills and leaks are contained. Addressing the violations includes several drums and other storage containers at the site that need to be characterized (hazardous versus non-hazardous) and properly disposed of. Refer to Attachment IV – WVDEP Notice of Violations for a copy of the NOV for Violation No. W21-18-004-RTH dated May 6, 2021.

Additional NOVs have been issued to the site, but were not discussed during the meeting with WVDEP on October 15, 2021.

Notice of Violation No. 2105-590

Applied Partners, Inc. was issued NOV# 1909-599 after a September 30, 2019 Focused Compliance Inspection. A follow-up inspection was completed on May 6, 2021. WVDEP noted that the mineral tanks at the site are continuing to leak the contents into the secondary containment. There was also no evidence that the containment was holding the material, as no pooling water or oil has been observed by inspectors during the inspections. Several other hazardous was violations were also noted. Refer to Attachment IV – WVDEP Notice of Violations for a copy of the NOV for NOV No. 2105-590 dated May 19, 2021.

On-Site Waste Management

The WVDEP mentioned a ½-acre exemption for burying debris waste. The WVDEP recommended discussing the burying of fire brick with WVDEP’s Solid Waste Permitting Supervisor, John Lockhart, as a Class D landfill permit may be required. The potential of low-level radiation emanating from the fire brick was discussed, but an NOV has not been issued by the WVDEP for radiation exceedances. WVDEP recommended discussing the radiation concern with Michelle Cochran of the West Virginia Division of Health and Human Resources (DHHR). WVDEP agreed that permitting of an on-site hazardous waste landfill at the site to store cyrolite is an option, but they advised against it due to the permitting and long-term monitoring requirements.

Resource Conservation and Recovery Act (RCRA) Corrective Action WVDEP recommended discussing the status of the RCRA Corrective Action with the WVDEP Division of Water and Waste Management. On December 1, 2021, GEG contacted WVDEP OER to obtain a copy of the Environmental Covenant executed between Century Aluminum of West Virginia, Inc. and the WVDEP on December 2, 2016. The Environmental Covenant limits use of a portion of the property and is the result of RCRA Corrective Action at the site. Refer to Attachment V – Environmental Covenant (12/2/2016).

File Review

GEG submitted a Freedom of Information Act (FOIA) request to the WVDEP on October 4, 2021 to obtain all WVDEP files available for the site. The following responses were received by GEG from the WVDEP:

10/5/2021 – WVDEP Division of Air Quality responded by directing GEG to WVDEP’s electronic document management system located at https://documents.dep.wv.gov/appxtender. The latest WVDEP Division of Air Quality Inspection Report is dated August 1, 2018. The inspection Report is included as Attachment VI – WVDEP Division of Air Quality Inspection Report.

10/5/2021 – WVDEP Division of Air Quality/Asbestos responded by directing GEG to the WVDEP Electronic Submittal System (ESS) and https://dep.wv.gov/daq/CandE/Pages/AsbestosRemovalandDemolition.aspx to obtain demolition notifications. GEG downloaded the demolition notifications associated with the site on November 8, 2021. Refer to Attachment VII – WVDEP Asbestos Notifications for a copy of the notifications downloaded by GEG.

10/6/2021 – WVDEP UST Program responded indicating that no USTs are registered at the site. 10/18/2021 – WVDEP Environmental Enforcement responded by directing GEG to the WVDEP’s public

FOIA website located at www.dep.wv.gov. 10/18/2021 – WVDEP AST/Tanks Corrective Action Program responded by providing a spreadsheet

listing all ASTs owned by Constellium Rolled Products. GEG obtained the list of ASTs owned by Applied Partners, Inc. from the WVDEP website on October 16, 2021. GEG has been working with WVEDA and WVDEP to transfer ownership of the ASTs from Applied Partners, Inc. to WVEDA.

GEG reviewed the documentation obtained from the FOIA request and other documentation sent by WVEDA. Recommendations GEG recommends the development of a written plan of action to address all violations and unsatisfactory environmental conditions at the site. GEG recommends development of the written plan of action by a demolition and remediation contractor that is experienced in and capable of completing and/or managing all of the tasks necessary to ready the site for redevelop, as well as address all violations and unsatisfactory environmental conditions at the site. The plan of action should be developed in coordination with WVEDA. GEG can assist

WVEDA with review of the plan and development of an effective and efficient pathway to remediation and redevelopment of the site. In the interim, GEG recommends completion of the following administrative tasks, which will result in resolution of some of the NOVs issued by the WVDEP:

Transfer of WV/NPDES Permit Number WV0000779 to WVEDA; Transfer of ownership of ASTs at the site to WVEDA; Transfer of the waste generator identification number to WVEDA;
