Mr. Schuetze was the Commission's Chief Accountant from January 1992 through March 1995. Before he came to the Commission, he was a partner in KPMG Peat Marwick from 1965 to 1973 and again between 1976 and 1992. Between his years at KPMG Peat Marwick, Mr. Schuetze was a charter member of the Financial Accounting Standards Board. He also has served on various committees of the American Accounting Association and the American Institute of Certified Public Accountants, including as a member and chairman of the Accounting Standards Executive Committee of the American Institute of Certified Public Accountants. RULES AND RELATED MATTERS

LOST SECURITYHOLDERS

The Commission has issued a release adopting two new rules under the Securities Exchange Act of 1934. The new rules are intended to address the problem of lost securityholders. Rule 17Ad-17 under the Exchange Act requires that transfer agents exercise reasonable care in an effort to locate securityholders with whom they have lost contact. In order to meet this requirement of reasonable care,transfer agents must conduct two data base searches in an information data base in order to obtain an updated address. Such updated information will permit transfer agents to deliver dividends and interest they are holding for such securityholders. Rule 17a-24 under the Exchange Act requires transfer agents to file information relating to lost securityholders on an annual basis with the Commission. Specifically, transfer agents are required to disclose

the aggregate number of lost securityholder accounts as of June 30 of each year and the percentage of total accounts represented bysuch lost securityholder accounts. In addition, these figures must be reported for specified periods of time: one year or less, three years or less, five years or less, or greater than five years. Rule 17a-24 also requires transfer agents to report information on an annual basis on lost securityholder accounts that escheat to state unclaimed property administrators. (Rel. 34-39176)

ENFORCEMENT PROCEEDINGS

ADMINISTRATIVE PROCEEDINGS SETTLED WITH FORMER INVESTMENT ADVISOR HEAD

The Commission has instituted and simultaneously settled publicadministrative proceedings against Mark A. Ritacco, formerlypresident of Integrated Wealth Management, Inc., an Oregoninvestment advisory firm. The Commission alleged that Ritacco made material misrepresentations in connection with the sale of approximately $2.2 million in promissory notes, mainly to clients of Integrated, from 1992 to 1995; and caused Integrated to fail to properly report Ritacco's financial interest in a company for whom Integrated sold promissory notes and also the existence of certain disciplinary proceedings against Ritacco.

As a result of these proceedings, Ritacco is barred from association with any broker, dealer, municipal securities dealer, investment adviser, or investment company.

The administrative proceedings are based upon the entry of a permanent injunction against Ritacco in the Commission's previouslyfiled civil action (SEC v. Ritacco, et al., Civil Action No. 97-1307-ST, D. Or. 1997; LR-15483). Ritacco consented to the administrative order and injunction without admitting or denying the allegations.

The permanent injunction prohibits Ritacco from violating Section 17(a) of the Securities Act of 1933; Section 10(b) of the Securities Exchange Act of 1934 (the "Exchange Act") and Rule 10b-5 thereunder;Section 15(a) of the Exchange Act; Section 204, of the Advisers Act and Rule 204-1(b) (1) thereunder; Sections 206(1) and 206(2) of the Adviser's Act; and Section 206 (4') of the Adviser's Act and Rule 206(4)-4.3 thereunder. Because of Ritacco's demonstrated inabilityto pay, the court declined to impose penalties and waived payment of disgorgement in excess of $315,213, which amount will be repaid by a third-party relief defendant that received certain loans from companies controlled by Ritacco. PUBLIC ADMINISTRATIVE PROCEEDINGS INSTITUTED AGAINST FRANK KLAUS

The Commission today announced the institution of publicadministrative proceedings against Frank Klaus (Klaus). Klaus was

the Executive Vice President, Chief of Staff, Compliance Director,general principal and a director of Government Securities Corporation (GSC), a broker-dealer registered with the Commission. Without admitting or denying the findings, Klaus consented to the issuance of the Order which found that he failed reasonably to supervise the activities of certain registered representatives at GSC who violated the antifraud provisions of the federal securities laws by selling public fund clients high-risk Collateralized Mortgage Obligations (CMOs), including Inverse Floaters, Interest Only and Principal Only CMOs by referring to the high-risk CMOs as "Fannie Mae," IIFreddie Mac," or "FMMA" securities, while omitting to disclose that the instruments were volatile CMO tranches. Moreover,these registered representatives misrepresented these CMOs as suitable investments which were consistent with clients' objectivesof safety of principal, liquidity, market stability, short duration and low risk. In addition, these clients were not informed that these instruments were highly sensitive to changes in interest rates. These registered representatives also misrepresented the lOs and Inverse lOs as government guaranteed instruments whose principalwas fully protected, and failed to disclose that these instruments carried an inherent risk of loss of principal and illiquidity. The Commission's order suspends Klaus from association with any broker, dealer, investment company, investment adviser or municipalsecurities dealer for 6 months, followed by a bar from such association in a supervisory capacity, with a right to reapply after one year, and orders him to pay a $15,000 civil penalty within 21 days. COMMISSION DENIES MOTION OF ROBERT AINBINDER TO SET ASIDE DEFAULT

The Commission has denied the motion of Robert E. Ainbinder of West Hempstead, New York, to set aside a 1993 Commission order that barred Ainbinder from association with any broker, dealer,investment company, investment adviser or municipal securities dealer. The 1993 order was based on Ainbinder's default in failingto answer the charges against him.

Ainbinder sought to blame the default on his former attorney.However, the Commission stated that, having voluntarily chosen the attorney as his representative, Ainbinder could not avoid the consequences of the attorney's acts or omissions. The Commission also concluded that Ainbinder's motion had not been filed within a reasonable time after the default order was entered, as required by

investment company, or a member of a national securities exchange or

COLLATERAL BAR IMPOSED ON MEYER BLINDER

The Commission stated that it has the authority to issue a collateral bar under Section 15(b) (6) of the Securities Exchange Act of 1934. In reaching this determination, the Commission examined that section and other related statutory provisions governing the admission and exclusion of certain securities professionals from other aspects of the securities business, relevant legislativehistory, and the purposes of the securities laws. Commissioner Hunt dissented from the Commission's conclusion that it has the authority to impose a collateral bar. (ReI. 34-39180)

COMMISSION DISMISSES PROCEEDING AGAINST RUSSO SECURITIES, INC. AND FERDINAND RUSSO

The Commission dismissed an administrative proceeding against Russo Securities, Inc. and Ferdinand Russo. The respondents were chargedwith aiding and abetting a fraudulent scheme by the CooperCompanies, Inc. relating to Cooper's interest rate reset obligationon certain high-yield bonds issued by the Company, in violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The respondents also were charged with being a cause of Cooper's fraud, which is actionable under Section 21C of the Exchange Act.

The Commission determined that the record did not support a findingof liability. (ReI. 34-39181)

COMPLAINT FOR PERMANENT INJUNCTIONS AND OTHER RELIEF FILED AGAINST JEFFREY SUDIKOFF, EDWARD CHERAMY AND RUDY WANN

The Commission announced the filing of a complaint on September 30,1997, in the United States District Court for the Central District of California against three former officers of IDB Communications Group, Inc. (IDB): Jeffrey Sudikoff (Sudikoff); Edward Cheramy(CheramY)i and Rudy Wann (Wann). The complaint alleges that the defendants fraudulently inflated IDB's 1994 first quarter earningsfrom $9 million to $15 million and disseminated the inflated earnings in a press release and a Form 10-Q. The complaint allegesthe defendants concealed the fraud by fabricating documents, makingfalse adjusting entries on IDB'~ books in circumvention of IDB's internal controls and lying to IDB's auditor.

The complaint also alleges that Sudikoff and Cheramy engaged in insider trading by selling IDB stock in March 1994 and May 1994 before IDB announced on May 31, 1994, that its auditor had resigneddue a dispute with IDB over first quarter earnings. The complaintfurther alleges that Sudikoff tipped his parents of IDB's inflated earnings and that the parents sold IDB stock while in possession of this information.

By this conduct, the complaint alleges that Sudikoff, Cheramy and

Wann violated Section 17 (a) of the Securities Act and Sections 10(b), 13(a), 13(b) (5) and 16(a) of the Exchange Act and ExchangeAct Rules 10b-5, 12b-20, 13a-11, 13a-13, 13b2-1, 13b2-2 and 16a-3. The complaint seeks permanent injunctions, civil penalties and officer and director bars against the defendants, and seeks disgorgement from Sudikoff and Cheramy of losses avoided from the insider trading plus prejudgment interest. FINAL JUDGMENTS ENTERED AGAINST SMITCO DEFENDANTS

The United States District Court for the Western District of Kentucky entered on September 30 a final judgment permanentlyenjoining John E. Burse, a former securities salesman with Smitco Oil, Inc. of Albany, Kentucky, from committing future violations of the antifraud and registration provisions of the federal securities laws. Similar final judgments were entered against Burse's co-defendants James O. Foust on July 16, and Russell S. Smith and James E. Fisher on June 25. The defendants neither admitted nor denied wrongdoing in consenting to the Judgments.

The Commissions's complaint in SEC v. Russell S. Smith, et al.,alleged that Smith, president of Smitco, Foust, a former principalof Smitco, and Burse and Fisher, two salesmen formerly employed bySmitco, over a period extending from fall of 1992 to the fall of 1993, raised approximately $1.4 million from investors sellingundivided working interests in oil leases in an unregistered publicoffering. The offering employed high-pressure telephone calls and written offering materials that portrayed the working interests in a misleading fashion and failed to adequately state the risks of the investments. IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGE

A proposed rule change filed by the Chicago Stock Exchange related to the treatment of stopped orders under the Enhanced SuperMAXprogram (SR-CHX-97-23) has become effective under Section 19(b) (3) (A) of the Securities Exchange Act of 1934.
