RECOMMENDATION: That Council:

1. Resolves in accordance with section 235(a) and 235(b) of the Local Government Regulation 2012 that it is satisfied that the nominated suppliers listed in Attachment 1 are Sole or Specialised Suppliers and that they be added to the Sole Supplier Register for the 2021/22 financial year.

2. Delegates authority to the Chief Executive Officer in accordance with the Local Government Act 2009 to enter into contracts, negotiate, finalise and execute any and all matters associated with or in relation to Sole Suppliers subject to Council’s normal procurement policies and practices.

EXECUTIVE SUMMARY:

Section 235(a) and 235(b) of the Local Government Regulation 2012 allows an exemption to inviting written quotes or tenders where Council resolves that there is only one sole or unique supplier, or a specialised supplier, who is reasonably available to meet operational needs. Sole or Specialised Suppliers are used in instances where only one supplier is available due to specialised or unique services, or where services are confidential in nature that makes it disadvantageous or impractical to undertake a competitive procurement process.

A consolidated report is coordinated to enable a register of Sole or Specialised Suppliers to be established and ensure that appropriate legislative exemptions requirements are in place. BACKGROUND:

The Local Government Regulation 2012 (Regulation) requires written quotations or tenders be invited for procurement of works or the supply of goods or services that are greater than $15,000 (medium sized contracts) or $200,000 (large sized contracts) respectively. Council’s Procurement Policy contains provisions or guidelines for obtaining quotes for less than $15,000. The Regulation acknowledges that there are instances when it is not always possible to meet these procurement guidelines in the market and therefore it provides a number of exceptions, including the following under sections 235(a) and 235(b):

235(a) – “The local government resolves it is satisfied that there is only one supplier who is reasonably available.” 235(b) – “The local government resolves that, because of the specialised or confidential nature of the services that are sought, it would be impractical or disadvantageous for the local government to invite quotes or tenders”.

This report is a continuation of a practice which commenced in 2012. There may still be occasions where it will be necessary to present an individual Council report during the year if an unforeseen need arises for a Sole Supplier. To be listed as a Sole Supplier or a Specialised Supplier, Council officers must provide evidence that the supplier is the only supplier that can reasonably provide a particular good or service required because of their unique, specialised or confidential nature. The emphasis is on the word “reasonably”. For the purposes of this report, this means that if there is only one supplier in the rate-paying region of Cairns or Queensland and they are considered to be providing a competitive service or offer unique products, then they can be deemed a sole supplier. The purchase of goods and services from a sole source to support the service and maintenance of existing assets from an original equipment manufacturer who has proprietary rights can also be deemed a sole supplier. The commentary to section 235(a) and 235(b) of the Local Government Regulation 2012 states that this section might be applied where Council wishes to upgrade a proprietary computer software program to add functionality. There is generally only one possible supplier and the calling of tenders or quotes “would be a manifest waste of time and resources”. This interpretation of the legislation has also been used to support and validate the inclusion of a number of sole supplier recommendations with regards to ICT software and maintenance of manufacturer’s proprietary equipment. COMMENT:

Council’s Procurement Policy states that a report will be prepared every six months (biannually) and presented to Council, which includes new nominations and summarises all estimated expenditure with sole suppliers.

During the 2020/21 financial year, Council approved a total of 66 Sole Suppliers. A total of 80 Sole Suppliers are being nominated for the 2021/22 financial year. Of these 80 nominations, 28 suppliers are new and the remaining 52 have been re-nominated from earlier years. 10 suppliers have been removed from last year’s Register where:

• suppliers have not been re-nominated, or

• suppliers have been appointed to ROPS, PSA or Local Buy arrangement, or

• Council has entered into a direct contract with that supplier, or

• market conditions have changed and that supplier can no longer be deemed a sole supplier.

In summary, this report recommends 80 suppliers be identified as sole suppliers for the 2021/22 financial year. Proposed supplier details for inclusion on the Sole Supplier Register can be found in Attachment 1. When nominating a sole supplier, Council officers must provide justification or rationale why this legislative exception should be considered for each supplier and a summary of the supporting justification is also provided in Attachment 1. OPTIONS:

Option 1: (Recommended) That Council: 1. Resolves, in accordance with section 235(a) and 235(b) of the Local Government

Regulation 2012, that it is satisfied that the nominated suppliers listed in Attachment 1 are Sole or Specialised Suppliers and that they be added to the Sole Supplier Register for the 2021/2022 financial year.

Option 2: • It is recommended that Council does not accept that these proposed suppliers are

Sole Suppliers and Council officers proceed to call quotes and tenders for the supply of these products and services.

Suppliers that have been deemed not to meet the exemption requirements as per the definition of sole supplier and specialised supplier in the Regulation have been excluded from this report.

Council Finance and the Local Economy: The financial risk to Council is mitigated by Council officers having assessed these products and services as being suitable and the suppliers as being the only reasonable option from which Council can obtain these relevant products and services. The process of selecting sole suppliers supports the Corporate Plan Strategic Goals of: • Economy – ‘Support a strong and diverse community’; and • Serving the Community – ‘Encourage an organisational culture of continuous

improvement and business efficiencies’ and ‘Collaborate and build working partnerships between community and government to plan and deliver better services’.

The sole supplier nomination has been conducted in accordance with legislative requirements under the Local Government Act 2009 and the Local Government Regulation 2012. Policy:

All relevant Council Officers undertaking procurement processes are consulted via email notification on a biannual basis and asked to nominate suppliers for the report. A Sole Supplier Nomination Form must be completed and signed off by a relevant Branch Manager and General Manager. Procurement undertakes relevant checks to verify the information and have also provided expenditure information for this report. ATTACHMENTS:
