The county council reserves the right to revkse the annual

ground rental payaible horeunder after the expiration of the 33rdand 66th years of the term granted; such rental will 'ba atthe rate of 4 per cent of the unimproved freehold value ofthe land assessed by the county couneil.

1983, duly signed by 'lhe parties was reccived by the court on7th February, 1984, together with thc statutory certificate signedby the Labour Commissioner.The origin of this dispute dates back to the 'time of the East '

Afrlcan Railways 'Corporation 'IE.A.R.C.) which used to operatetlnder the now defunct East African Community. It should bcnoted that the respondents who are the Kenya Railways Corpo-ratîotl came înto rbeing i:l 1978 after the break-up of the com-munity an'd were established as a result of an Act of Parliament.It is a matter of history when the army took ovcr the Govern-

mcnt in Uganda in 1971 and towards t'he end of 1972 the secu-rity situation in 'that country dcteriorated to such an extent thatmany leading 'personalities working in 'the community lost thelrlives wktlz the result that about 100 elnployees of thc E.A.R..C.left Uganda for Kenya. It appzars 'that 'the claimants the'n maderèprescntations on thzlr behalf to the Kenya region at the timeand/or to the 'headquarters of the E.A.R.C. In dua course afterconsultations 41 employees were persuaded 'to go back toUganda. Sifty, howevcr, refuscd to go. These employees weretold to take their leave which was due and after that they weretold that they would be on leave without pay. Thesa employeeswere told 'that if they refused to rdzurn to Kom pala in duecourse where their posts were vacant then it would b'e daemcdthat they no longcr wished to continue serving the E.A.R.C. andwould be bslieved to have resigned.In August. 1973, the claimants involved the M inkster for

Labour, Kenya in this dispute. 'On 29th August, 1973, the thendirector-gcneral of 'E.A.R..C. issued a circular stating that outof the hundred who fled Uganda about seven months ago alittle over 30 had not returned to Uganda and were still onleave without pay. The board of directors had discussed thefuture of these employees and he decided that the E.A.R.C.should absorb 'them into existing vacancies outsidc Uganda andhe asked his various departmental heads to make end.eavoursto absopb 'these employees into existing vacancies either in Kenyaor Tanonia. The claimants then sought a definite assurance fromthe director-gzneral before they would withdraw the tradcdispute which they had reported .to the M inister for Labour,Kenya, that al1 'these employees aflkcted would be treated ashaving been on leave with pay or on duty with pay from thedate they arrived in Kenya from Uganda and then they continueto be 'treated as such until such time as they will physically beabsorbed in Kenya or Tanzania. They asked al1 thtse employeesto be paid thelr salaries in arrears. The directcr-gcneral, how-cvcr, rejectcd the attittlde of 'treating them as though they ha'dbeen o!1 leavc with pay after they 'had exhausted their earnedleave and .informed thq claimants that the decision by thecorporation' tô absorb them in'' Ken'ya or Tanzania was (zattially

It should, however, be notedthat during a1l this time these employees had either throughthe claimants or individually made representationj to theE.A.R.C. asklng for payment for the pzriod when thzy wereon leave without pay but wl.thout any success. The claimantsthen started making represcntations to the respondents afterthey were created.The M inistry of Labour, Kenya, then set the conciliation

machinery into motion ancl the claimants alleged that the res-pondents deliberately dclayed conciliation proceedings on onepretext or the other like asking for unnecessary details con-cernkng thcse employezs. The M inistry of Labour then withdraw the original conciliatorand appointed another omcer to look into the matter and from1981 till early 1983 the matter was under conciliation but itseems. that most of 'the time the conciliator was busy arrangingmeetings between the parties which for one reason or the otherdid not take off.The claimants' principal submissions in this dispute are that

it was the employers' duty both legal and motal to ensure thatthe employees worked in a secure and safe place. It was not indispute that Uganda at that critical period was not a safeplace to work in. Afld 'that since thz respondents were the loglcalsuccessors of the E.A.R.C. as far as Kenya was concernedthey had to discharge a1l the obligations which rested onB.A.R.C. in respect of their employees. They 'referred to section94 and 95 of the Kenya Railways Act and maintained that thercspondents could no't escape their Iiability.The claimants referred to court to 'the treatment t'hat the

respondents had accarde'd to another cmployee by the name ofJoseph W . 'Odipo who was a tenior oëcial and stated tha't thisoëcer was exactly' in the same position a.s the 22 other workersinvolved in this dispute and tha't he was given full pay for thedays he was forced to avail lèave without pay after his qightfrom Uganda. They added tha,t the respondents should not beallowed to discriminate in treating their empfoyees on thc basisof a. worker's position. Thay also informed the court that theservices of thcse employees had continued wlthout a break andthat on .their arrival in K'enya they had joined the claimantsa-hd had paid a11 the dues ln cash and that the respondentsh'ad acknowlzdged that' 'the claimants were fully entitltd torepresent them as thzy had negotiated on their behalf. Theclaimantss prayer to 'the court was for an order declaring thatthese employee: remained lawfully !he employee.s of the resppn-dcnts after their llight from Uganda and were entitled to theirjobs and that having Iled from Uganda due to unavoidablegrounds they were for a1l intents and purposes on duty imme-diately they arrived in Keny: hence they we' re entitled forpayment during the perio'd they werc forced ta avail l'eave with-out pay.Thc respondqnts have very strongly resisted ' thls demand on'

The respondents gave details of the set up of the E.A.R.C.at that time and pointed out that no provlslon had been madefor the salaries of these employees who had suddenly run awayfrom Uganda in the approved estimates in the Kenya regionand 'therafore there was no money with which to pay theirsalaries if 'they were taken immediately they rettlrned. M oreoverthere were no posts in Kenya for them to occupy. lt was inthe light of this that a 'decision was taken to first 1et 'themcxhaust their earned leave and t'hen to treat them as being onleave without pay. They stressed 'that every employee was awarerlght from the beginning that he wil'l not 'be 'paid for any timeafter his accrued leave was exhausted and that i't was an actof dishonesty on the part of these employees to now turn roundand demand payment for the pcriod tlzey did not work forthe railways.

The respondents submitted that their ju.rksdiction extendedto only Kenya and not beyond and 'therefore there was noqucstion of the respondents providing security for the employees.The respondents' main submission, however, is that at tlte time'these employees fled Uganda, E.A.R.C. was still in existenceand that the respondents had not even been created at thattime. The then board of directors of E.A.R.C. had 'decidedthat these employees should 'be absorbed in existing vacanciesin Kenya and Tanzania. This showed it was an East Africanresponsibility and no't a Kenya Railways 'Corporation respon-sibility. If somc expenditure was to arise as a result of paying'these employees durlng the period they were on leavc withoutpay then àhe expenditure invgl' ved should have been borne bythe Uganda region.

As far as the case of M r. Olipo was concerned th/y statedtha't the facts of hij case were diserent from those of the 22employees and that in any case even if M r. Olipo's decisionwas at variance with the omcial positlon which had bcen heldby the then director-general then the claimants should not beallowed to capitalize on tha,t mistake as 'two wrongs don't makea 'right.

Finally the respondents pleaded that these employees had in 'actual fact deserted their employment and should considerthemselves very lucky that 'the Kenya region subsequentlyabsorbed them and that any expenditure from the public fundswould not be justilhble as demanded a.s 'they did not workfor the respondents. Nor is i.t proper for anyone to be paidfor services not rendede' d.

The court notes 'that the principal Vcts . of thi's dispute aremore or less agreed by b0th the parties. The court now has'to decide if the respondents are liable to assume an'd dischargethe liabilities of the now defunot E.A.R.C. lt is obvious thatthese emplojcees at tha material tima wera employaes of theE.A.R.C. but working in the Uganda region where thelr salaricsand other expenses had 'been budgeted. About 50 of themreturnld to Uganda and the remaining found jûbs ikTanzania and Kenya. The ceourt has carefully considered thismatter and' fmds tlzat the E.A.R.C. had quite cloarly told themthat they should first exhaust their earned leave after which'they would be on unpaid leave Fhile posts were found forthem in Kenya. lt was up to thcse employees then either toaccept the terms or to return to Uganda. They acceptcd 'thcterms and stayed in Kçnya although they were not at 'that timeunder the responsibility of . the Kenya region. In 'these circum-stances the court cannot find that sections 94 and 95 of theKenya Railways Corporation Act apply to these employeèsbecause at tha! tlme t'hey were undor the responsibility of theUganda region and not the Kenya regio' n.

The court must theréfore reject the Jlaimants' demnn'd inthis dispute and while doinj so 'the court would like to saythat th: Kenya region indeed acted very humanly in respcctof them and gave tham jtybs here and did not force them togo back to Uganda, wher'e they rightly belonged as far as thciremployment was concerned. It may well be that the claimantsmight consider raising their claims through some other forumbut this court cannot help them.

The court notes with great surprise that 'this person who was entrusted with the key to 'the manager'somce was a casual employee ! On 24th Septemb er while M rs.Kirubi had the 'balance she worked for sometime a't the clockingsection. W hile t'here she 'told M r. Kibai .to clock out and the .other askari, Mr. Limbere, whose job wa% 'to maintain orderamong casuals while they were being paid, was also told to goas his work had finished. M r. Kibai after clocking out wenthome with the key to lhe manager's oflice so .M.rs. Kirubi wasleft with the aforesaid amount which she had to lock in the .drawer. In the morning another employee came and 'told herat her .house that (hc oëce had been broken into. 'She wentto the olce, opened i't and found that Ksh. 5,667.30 had been 'stolen. The matter had been reported to the police and they .were already there.The court has now to determine if M rs. Kirubi was an accom-

plicc in this theft or she was grossly negligent in any manner.Slle told the court that along with the respondents' money shehad also kept her o'wn personal rnortey amounting to KSh. 3,000ln the drawer as she did not want to take it home where the .szcurity was very poor at 'the thne. 'Kyulc at that stagc was complctelyhelpless and could not do anything and was therefore sent home.The court cannot 'Iind any evidence to sho:w that M 1'. Kyule

was suffering from malaria and had asked for some .tablets. Tha court can find no mitigatingcircumstances in thls dispute in favour of M r.
