GUIDELINES STATEMENT

The NRLA Board of Directors has approved switching investment firms from Windhaven Investments

COMMUNICATIONS & PR

The Communications Department is working on the May/June issue of Lumber Co-operator, which will

focus on the “Business Barometer” – a look at what are the current economic trends for LBM dealers

and what is on the horizon for the rest of 2016 and 2017. The issue will also feature a story about NRLA

dealers using solar power and how it cuts costs. Every archived issue of Lumber Co-operator will be

back online and searchable in late April. Additionally, the 2017 edition of The Source will be available

to retail and associate members in late April.

LEGISLATIVE & REGULATORY AFFAIRS

National

Thank you to all of the state and locals which subsidized the Northeastern contingency to Washington!

The Washington, D.C. Legislative Conference is set for April 18-20. 43 members will join dealers from

across the country to advocate for regulatory reform, healthcare reform, product liability reform, and E-

Fairness (Marketplace Fairness Act).

Regulatory Issues

From late March through April huge regulatory issues will effect members and small businesses. The

final persuader rule was released in late March, which greatly limits attorney-client privilege when it

comes to owners seeking advice on union elections. Also in late March, new regulations on silica

exposure were released that many fear are not feasible for the construction industry. The new rule would

reduce the permissible exposure limit (PEL) to 50 micrograms per eight-hour shift, require engineering

controls to limit exposure, require a written exposure plan, and require training on limiting exposure all

by June 23, 2017. Both of these rules are likely to end up in court, and their effective dates may be

delayed.

Expect to see rules concerning overtime eligibility, combustible dust, powered industrial trucks,

workplace surfaces, and crane operator qualifications this year. NRLA will continue to monitor these

issues and update the members as information becomes available.

This committee shall be responsible for overseeing the finances of the organization. Included in this committee’s responsibilities is an annual review of the Bylaws. It shall be chaired by the 1st Vice President and shall include the Treasurer, the 1st Year Mentor Director, The Ex-Officio, The NYLE rep to the NRLA’s Investment Committee and at least one non-Exec Cmt member. Re: Summary of Conflict of Interest Policy adopted by the NRLA Board on 5-20-15.

New York State requires nonprofit corporations such as the NRLA and the LBMDF to adopt a Conflict

of Interest policy. The purpose of the policy is to protect the NRLA and LBMDF when entering into a

transaction that might benefit the private interest of a director, officer, or key employee of the

corporation. Below is a summary of the proposed Conflict of Interest Policy. Please understand that

the Conflict of Interest Policy itself, if adopted, will be the last word, and will prevail over any error or

omission in this summary:

1. No “related party” (defined below) may be present at, or participate in, a Board or

committee deliberation or vote concerning that person’s compensation. The Board or

committee may request that the related party present information as background, or

answer questions at a Board or committee meeting prior to the deliberation.

2. A “related party” is any director, officer, or key employee of the corporation, or an affiliate; any relative of such individual; and any entity in which such individual has a 35% or greater ownership interest or, in the case of a partnership or professional corporation, a greater than 5% direct or indirect ownership interest.

3. A Board or committee may not enter into a related party transaction unless the Board

determines that the transaction is fair, reasonable and in the corporation’s best interest

at the time of determination.

4. A related party transaction is an agreement or other arrangement in which a related

party has a financial interest and in which the corporation, or affiliate, is a participant.

5. A director, officer, or key employee who has an interest in a related party transaction

must disclose the facts concerning that interest. Failure to disclose is grounds for

removal from the Board, or termination of employment.

6. No related party with a self-interest in a transaction may participate in deliberations, or

vote on the related transaction.

7. All conflicts of interest must be documented in the corporation’s records, including

detailed minutes of any meeting at which the conflict is discussed, or voted on.

8. Prior to election, and annually thereafter, each director must submit a signed written

statement identifying any entity of which the director is an officer, director, trustee,

member, owner or employee, with which the corporation has a relationship.

9. Directors must also disclose any transaction in which the director might have a conflict

of interest. Copies of all statements must be provided by the NRLA President to the

Chair of the NRLA Audit Committee, or the LBMDF President.

10. Effective January 1, 2016, no employee may serve as chair, or hold any other title with

similar responsibilities.
