KELBER CATERING FOOD AND BEVERAGE CONTRACT

ThefollowinginformationoutlinestermspertainingtofoodandbeverageservicesintheMinneapolisConventionCenter.ThiscontractrepresentsanagreementbetweenKelberCateringInc.anditsclient,andissubjecttothefollowingconditions:

1. Permittee to perform a review and signature of the following contract and returned within thirty (30) business days prior to

first food and beverage function.

2. Client specifications submitted no fewer than 21 days prior to first event date, to ensure staff & product availability.

DEPOSIT AND PAYMENT 3. KelberCateringInc.,hereafterKCI,isaseparateentityfromtheMinneapolisConventionCenter.

4. DepositsandpaymentforfoodservicesarealsoseparateandinadditiontoanydepositsorpaymentsmadetotheMinneapolisConventionCenter.Foranyfunctionthatfallsintothecategoriesof:Religious,Social,Political,Subgroups,NewShow/EventorExhibitorBoothService,signedfunctioncontract(s),andonehundredpercent(100%)advancepaymentisrequiredatleastthirty(30)dayspriortothefirst(1st)dayofservice.Personalchecksarenotaccepted.

5. Forcorporateevents,withapprovedcredit,signedfunctioncontract(s),andaminimumofseventyfivepercent(75%)depositinadvanceontheestimatedtotalatleastthirty(30)dayspriortothefirst(1st)dayofserviceisrequired.Ifthispaymenttimeismissed,KCIwillrequirefullpaymentnolaterthantwenty-one(21)dayspriortothefirsteventorder.

6. Anyamountspaidonestimatedchargesinexcessoftheactualfinalbillingwillberefunded.

7. Allbillingsaredueandpayableuponreceipt.Anychargesnotpaidwithinthirty(30)daysofbillingdatewillbesubjecttolatepaymentchargesofoneandahalfpercent(1.5%)permonth,beginningafterthirty(30)days.

8. KCIacceptsMasterCard,Visa,DiscoverandAmericanExpressforuptoamaximumoftenthousanddollars($10,000.00),perevent.CreditCardrequiredforalleventsforconsumptionchargesoroutstandingbalances.Paymentnotreceivedwithin30daysofbillingdatewillincuranadditionalthreepercent(3%)processingfee.Outstandingbillingandadditionalprocessingfeewillbechargedtotheonfilecreditcard.

9. KelberacceptsElectronicFundTransfer(EFT)andAutomatedClearingHouse(ACH)deposits.

10. MeetingPlannerUse:Whenathirdpartyplanningserviceisbeingutilized,theclientutilizingsuchplanningservicewillbeconsideredtheultimateresponsiblepartyforfullpayment.AllfoodandbeveragecontractswillbewrittenundersamecompanyandclientnameastheMinneapolisConventionCentercontract.

GUARANTEES 11. Custommenusmayrequireearlierguaranteessetforthinthecustomproposaldocument.Afirmguaranteeformeals(including

multipleentréemenubreakdowns)isrequirednolaterthanfive(5)businessdays,excludingweekends&holidays,priortotheeventdate.Groups of one thousand (1000) guests or more will require final guarantees ten (10) business days, excluding weekends & holidays, prior to event date. *Final Guarantees not received by twelve o’clock (12:00) Noon on scheduled due date will default to the preliminary guarantee as final guarantee.

12. KCIpolicyistoprepareanoverageofthreepercent(3%)uptoamaximumoftwenty(20)entreemealsandtheirappropriateaccompaniments(alacarteitemsNOTincluded).Theseareconsidered“extrameals”.KCIreservestherighttopreparevegetarianornear-comparablefoodsubstitutionswithinthisoverage(KCI’sstandardishalfoftheoverageinvegetarianmealsandtheotherhalfinnear-comparablefoodsubstitutions).Theclientwillnotbechargedfortheextramealsunlesstheyareservedtoattendees. Physiciandirectedspecialmeallistsmustbesubmittedone(1)day,bytwelveo’clock(12)noon,priortoguaranteeduedate.Physiciandirectedspecialmealrequest(s)notreceivedwithinthetimelineforguaranteeswillbeconsideredadditionalmealsabovethefinalguarantee.Thesespecialmealrequestswillincuranadditionaltwodollarandfiftycent($2.50)feeplustaxandservicechargeabovetheperpersonmenuprice.Specialmealrequestsonsitewillbechargedanadditionalfourdollar($4.00)feeplustaxandservicechargeabovetheperpersonmenuprice.

14. Workorders,assigningofpersonnel,andorderingoffoodprovisionswillnotbearrangeduntilanauthorizedsignedcontractandsufficientpayment/creditagreementshavebeenfinalized.Failuretoadheretotheguaranteetimelinemayimpacteventstaffingandfoodproducts.

15. Pre-setfoodandbeverageitemsabovefinalguarantee(notincludingoverage)willbechargedatalacartepricing.

16. Kosher,OrganicandcertainPhysicianDirectedMealswillbechargedataminimumoffifty-fivedollars($65.00)eachplustaxandservicecharge,ormore,dependinguponrequest.PleaseconfirmpricingwithCateringSalesManager.

CANCELLATIONS 17. Five (5) to ten (10) days prior to event:CancellationFeeis50%oftheestimatedfoodandbeveragetotalperpreliminaryguarantees.

18. After Twelve (12) Noon on the Guarantee Due Date:CancellationFeeis100%oftheestimatedfoodandbeveragetotalperfinalguarantee.

19. Twenty-one (21) days prior to event for Custom/Special Orders: CancellationFeeis100%ofthequotedpricebasedonpreliminaryguarantees.

SERVICE CHARGES AND APPLICABLE TAXES

20. Aservicechargeoftwenty-twopercent(22%)isappliedtoallfoodandbeverageorders.Thischargeisnotthepropertyofanyone(1)employeeandisdispersedinaccordancewithourUnionCollectiveBargainingAgreement.Theresultingtotalisalsosubjecttoelevenpointzerotwofivepercent(11.025%)salestax.

21. AlcoholicBeveragepurchasesaresubjecttothirteenpointfivetwofivepercent(13.525%)salestax.

TICKETING 27. Iftheclientintendstoissuemealticketsanddoesnotintendtosupplypersonneltocollecttickets,KCIwillattempttocollectticketson

behalfoftheclientasmealsareserved.However,KCImustchargeforthenumberofmealsactuallyserved,ortheguarantee,whicheverisgreater,eveniftheticketscollecteddonotequalthenumberserved.

FOOD RESTRICTIONS 28. TheMinneapolisConventionCenterManagementdoesnotpermitoutsidefoodorbeveragesontothepremises.Allfoodandbeverages

servedorconsumedonthepremisesmustbepurchased,servedandpreparedbyKCI.

29. TheMinneapolisHealthDepartmentprohibitsthepackagingand/orremovalofleftoverfoodsfromthepremises.AttheconclusionofthefunctionsuchfoodandbeveragebecomethepropertyofKCI.Allnon-consumedfoodisdonatedtolocalfoodshelves,andallotherusablefoodwasteiscollectedanddonatedtoalocalhogfarm.

DISCLAIMERS 30. KCIcannotbeheldresponsibleforanyfoodorbeveragerelatedinjuriesorillnessresultingfromfoodorbeveragesnotprepared

byKCI.

31. KCIcannotbeheldresponsibleforanydamageorlossofanymerchandiseorpersonalbelongingsplacedorleftinfoodfunctionareas.

32. “ActofGod”:KCIshallnotbeliablefornon-performanceofthiscontractwhensuchnon-performanceisattributabletolabordisputes,accidents,government(Federal,StateorMunicipal)regulations,restrictionsupontravelortransportation,non-availabilityoffood,beverage,orsupplies(includingunforeseenproductcostincreaseand/orunforeseenshortages/recalls),riots,nationalemergencies,actsofGod,andothercauseswhetherenumeratedhereinornot,whicharebeyondthereasonablecontrolofKCI,throughpreventingorinterferingwiththecateringcompany’sperformance.Insuchevent,KCIshallnotbeliabletothecustomerforanydamages,eitheractualorconsequential,whichmayresultfromsuchnon-performance.

33. Everyeffortismadetohonorphysiciandirecteddietaryneeds,however;allfoodispreparedinacommercialkitchenthathandlespeanuts,treenuts,fish,shellfish,eggs,dairy,soyandwheat,andnon-exposuretothesepotentialallergenscannotbeguaranteed.

34. Consumingraworundercookedmeats,poultry,seafood,shellfishoreggsmayincreasetheriskoffood-borneillnessandwillonlybepermittedupontherequestoftheconsumer.

Bysigningbelow,theclientacknowledgesreceiptofthe“KelberCateringFoodServicePolicies”andagreestoallconditions.ChangestoFunctionContractsaresubjecttoadditionalcharges.Signed KCI Contract must be returned no later than thirty (30) business days prior to first event date.
