Part IINSTRUCTION TO BIDDERS

Chapter IREQUIREMENTS ON THE BIDDING PROCEDURES

A. GENERAL INFORMATIONItem 1. Contents of the bidding1. The Bid Solicitor would like to invite qualified

Bidders to participate in the construction package underthe Project mentioned in BDS. Name of the package and maincontents are described in BDS.

2. Contract performance period as defined in BDSshall be from valid date of the Contract to warrantyperiod. Contract performance period is stated in BDS.

3. Capital source for the package is defined in BDS. Item 2. Eligibility for tender 1. Ensuring legal status as stipulated in BDS;2. Submitting only one Bids as an independent Bidder

or joint-venture. It is necessary for the joint-venture tosubmit joint-venture agreement signed by all members inaccordance with Form 3, Chapter IV, clarifying name of theleading member, general and individual responsibilities ofeach member in the bid package;

3. Sastifying all requirements of the Bid Solicitoras stated in the Invitation to Bid.

4. Ensuring competitiveness as stated in BDS.5. Not being prohibited from tender activities as

specified in Article 89, Bidding Law. Item 3. Validity of materials, machine, equipment to

be used1. Materials, machinery and equipment used in the

construction activities must be of legitimate and clearorigin and meet other requirements mentioned in BDS. TheBidder shall provide origin of materials, machinery, andequipment; marking and brand of products.



2. “Origin of materials, machinery and equipment” isunderstood as the country or region where the wholematerials, machinery and equipment are manufactured, or,where the final process is carried out in case productionprocess consists of a number of countries or regions.

3. Bidders must provide evidences for (suitability)compliance of materials, machines, equipments and goods inaccordance with requirements as stated in BDS.

Item 4. Bidding expenses The Bidders shall be responsible for any expenses

arising out of or in connection to bidding from theacquisition of the Bidding Document to letter ofacceptance, or to the signing date of contract in case ofwinning.

Item 5. Bidding Document and clarification1. Bidding Document consists of the contents stated

in the Table of Contents herein. The Bidders shall beresponsible for checking and reviewing contents of BiddingDocument to prepare their Bids.

2. Any difficulties of contents in the BiddingDocument shall be notified in writing to the Bid Solicitorfor clarification in the period and address as stated inBDS (A bidder may send a prior notice to the bid solicitorby fax, etc.). Upon receipt of request for clarificationin the period as stipulated in BDS, the Bid Solicitorshall provide a written feedback to all bidders.

If required, the Bid Solicitor shall organize a pre-tender meeting to discuss and clarify contents of theBidding Document. The contents of meeting shall berecorded in minutes and then forwarded to Bidders.

Item 6. Site inspection1. The Bidders are responsible for inspecting the

site for preparation of Bids. The Bid Solicitor shallfacilitate and instruct the Bidders to survey the site asstated in BDS. Any arisen expenses shall be borne by theBidders.



2. The Bid Solicitor holds harmless from any riskssuffered by Bidders relating to site inspection includingaccident, loss of assets and other risks.

Item 7. Amendment to the Bidding DocumentIn case of amendment to the Bidding document, if

required, the Bid Solicitor shall amend the BiddingDocument (including extension of bids submission deadline,if required) by notifying Bidding Document amendment tothe Bidders prior to closing date of the bid package asstated in BDS. This amendment is an integral part of theBidding Document. The Bidder shall notify his receipt inwriting or by fax to the Bid Solicitor.

B. PREPARATION OF BIDSItem 8. Applicable languageBids as well as all communications between the Bid

Solicitor and Bidders in relation to the tender shall bemade in writing in the language as specified in BDS.

Item 9. Contents of BidsBids prepared by the Bidder shall include the

following contents:1. Technical proposal as stipulated in Chapter IV;2. Financial proposal as stipulated in Chapter V;3. Other contents specified in BDS.Item 10. Change in legal status of BiddersIn case of any changes in legal status of Bidders

after acquisition of the Bidding Document, such changesshall comply with provisions in BDS.

Item 11. Bid application The bid application of Bidders comprises bid

application for technical proposal in accordance with Form1 of Chapter IV and for financial proposal in accordancewith Form 13 of Chapter V of the Bidding Document. Thebid application shall be prepared and filled by the Bidderin accordance with Form 1 of Chapter IV with signature ofthe legal representative of the Bidder (the legal



representative or the authorized person of the Bidder asspecified in the Power of Attorney in accordance with Form2 of Chapter IV). In case of authorization, all relevantdocuments shall be submitted by the Bidders.

In case of joint-venture, the bid application shouldbe signed by the legal representatives of each member,unless otherwise the leading member is authorized to signon behalf of the joint-venture as specified in the joint-venture agreement. In that case, written authorization isenclosed by each member as if each member was anindependent bidder.

Item 12. Alternative technical proposal in Bids1. The techncial proposal stated in Bids (new design

alternative) replacing technicial proposals in BiddingDocument shall not be evaluated.

2. The Bidder desiring to submit an alternativetechnical proposal shall prepare Bids in accordance withBidding Document (the main alternative). In addition, theBidder shall provide all neccessary information includingshop drawing, bid price for alternatives specifying costs,specifications, construction methods and other contentsrelated to the alternative. The alternative shall beconsidered for bidder at lowest evaluated price only.

Item 13. Proposal of construction method in BidsExcept for the construction methods required to

comply with specified in the Bidding Document, bidder isentitled to propose construction methods for other worksin accordance with their abilities and characteristics ofthe package, but must sure to meet the technicalrequirements to complete the construction work asdesigned.

Item 14. Bid price and price list1. The bid price means price mentioned in the bid

application, price list including total expenses requiredto perform the bid package in accordance with requirementsof Bidding Document.



2. The Bidder is required to fill the unit price andamounts for each work item in Bill of Quantity inaccordance with Form 14 and 15 of Chapter V. Bidapplication must consist of factors stipulated in BDS.

In case of any difference between the Bill ofQuantity and design found by either Bidder, such Biddermay send a notice to the Bid Solicitor and prepare aparticular price list for this difference for the BidSolicitor’s consideration. Such difference shall not beincluded in the bid price.

3. In case of a discount letter issued by eitherBidder, such Bidder may submit it together with theFinancial Proposal or separately; however, it should besubmitted before bid closing. In case the Bidder does notsubmit the discount letter with the Financial Proposal,the Bidder shall notify the Bid Solicitor prior to or atthe bid closing or shall prepare list of elements offinancial proposal including discount letter. The discountletter must be coverd with a sealed envelop stating“discount letter” with the warning text of not openingwith technical proposal. In the discount letter, thecontents and the method of discount to the specific itemsin the Financial Proposal, the Bidder shall notify Billof Quantity must be clarified.

4. Bidder analyzes the bid price according torequirements as stipulated in BDS, Bidder also fills allnecessary information in the Analysis of Bid price (as inForm 16A or 16B, Chapter V), Price list of materials inthe bid price (as Form 17, Chapter V).

Item 15. Currency of BidsThe bid price shall be offered by the currency

specified in BDS.Item 16. Evidence of legality, qualification, and

experience of Bidders1. Evidence of legality of the Bidders:a) For an independent Bidder, he should provide his

evidence of legality as stated in the BDS.



b) For joint-venture, following documents should beprovided:

The documents described in Point a, this Item foreach member in the joint-venture;

The joint-venture agreement signed by all membersas stated in Sub-point 2 of Item 2 of this Chapter.

2. Evidence of qualification and experience: a) Capacity of mobilizing construction equipments

listed in accordance with Form 4 of Chapter IV (Biddermust prove its mobilizing all main equipment forconstruction); list of key personnel at the site in Form7A, 7B of Chapter IV; list of on-going similar contractsin Form 8 and 9 of Chapter IV; Summary of Bidder’sactivities in Form 10 of Chapter IV; Financial capacity ofBidder in Form 11 of Chapter IV. The qualification andexperience of joint-venture Bidders refer to those of eachmember in relation to works taken by them. Each member isrequired to prove its experience and qualification to meetrequirements of Bidding Document for the assigned tasks inthe joint-venture.

b) Other documents specified in BDS.Item 17. Bid security1. Upon bidding, a bid security is provided by

either Bidder as stated in the BDS. In case of joint-venture, a bid security will be provided in one or twomanners as follows:

a) Each joint-venture member shall provide its bidsecurity separately but should ensure that the total valueis not lower than the required amount in Item 17.1 of BDS;in case of any illegal bid security, Bids of the joint-venture shall be rejected in accordance with the precedentconditions.

b) Joint-venture members agree on a member beingresponsible for the bid security of the joint-venture. Inthis case, bid security shall include name of the joint-venture or of the member being responsible for bidsecurity of the joint-venture but the total value is not



lower than the required amount as specified in Item 17.1of this BDS.

2. Bid security shall be null and void in one offollowing cases: lower value, incorrect currency, shortervalidity, wrong name and address of the Bid Solicitor) andtime as stipulated in the Bidding Document, incorrect nameof package, Bidder (in accordance with Point 1 of thisItem for the associate Bidder), non-original and withoutlegal signature (for guarantee of bank, financialinstitution). In case of necessity, the Bid Solicitorshall require the Bid to provide documents proving thevalidity of bid security (Power of Attoney, duties of bankor financial organization, and authorized representativeof bid security), the bidder shall be resposible forproviding these full documents.

3. The bid security of the unsuccessful Bidder shallbe returned within the period specified in the BDS. Forthe successful Bidder, bid security shall be returnedafter contract performance security is provided byBidders.

4. The Bid Solicitor shall confiscate bid security ofBidder in the following cases:

a) Bidding Document and proposal are withdrawn by theBidder after bid closing but the Bidding Document is stillvalid;

b) The Bidder violates the bidding law resulting inbidding cancellation in accordance with regulations inArticle 17.4 of Bidding Law No. 43/2013/QH13;

c) The Bidder does not provide contract performancesecurity in accordance with regulations in Article 66 andArticle72 of Bidding Law No. 43/2013/QH13;

d) The Bidder fails or refuses performing contractconclusion within 20 days from the letter of acceptanceprovided by the Bid Solicitor or contract conclusion butnot sign other than force majeure;

Item 18. Validity of Bids



1. The validity of Bids should be in strictaccordance with the provisions specified in BDS and takeeffect as of the bid closing; Bids of shorter validityshall be null and void.

2. The Bid Solicitor may request in writing theBidder to extend validity of Bids one or many times butshall not be later than 30 days in attachment with therequest for the extension of validity of bid guarantee. Ifthe Bidder rejects the extension, this Bids shall receiveno further consideration and the bid security of suchBidder shall be returned.

Item 19. Bids specifications and signature in Bids1. The Bidder should prepare one original and some

copies of Bids specified in the BDS and mark the relevant"original" and "copy ." The Bidder shall be responsible forthe accuracy and satisfaction between the copies and theoriginal. During assessment, if the Bid Solicitor finds anytechnical mistake such as blur copy, unclear text, pagemissing, etc., the content of the original shall prevail.In case the content of the copy is different from theoriginal, subject to the level of difference, the BidSolicitor shall provide suitable handling decision (thatdifference is not significant, making little change to thenature of the Bids) shall be deemed as acceptable; if thatdifference causes great change to the fundamental contentof the Bids as compared with the original, it shall bedeemed as fraud and rejected, and the Bidder will also betreated in accordance with the provisions in the BiddingLaw.

2. The Bids should be typed, printed in inerasableink, paged in continuous order. The Bid application,discount letter (if any), the additional documentclarifying the Bids, price list and other forms of ChapterIV should be signed by the legal representative of theBidder.

3. The inserted, deleted and overlapped letters onthe typing original shall only be valid when it is



provided with the signature of the bid application signerbeside and sealed (if any).

C. SUBMISSION OF BIDSItem 20. Sealing and Marking of Bids1. Bids shall include the contents mentioned in Item

9 of this Chapter. The original and copy of Technicalproposal should be contained in the envelop with outsideseal stating “Technical proposal”. Similarly, FinancialProposal should be contained in sealed envelop and marked“Financial proposal” with the warning text “Do not open atthe time of opening Technical proposal” (sealing methodshall be stipulated by the Bidder). The layout ofinformation on Bids envelop shall be specified in BDS.

2. In case Bids includes many documents, the Biddershall carry out packaging the whole document so that thereceipt and preservation of all Bids of the Bid Solicitorshall be convenient, ensuring the intactness of Bids andavoiding loss. If possible, the Bidder should package inseveral little envelops for easy transportation, eachshould be specified with number to ensure the consistencyand shall be packaged, sealed, and specified in accordancewith the provisions in this Item.

Item 21. Deadline for Bids submission 1. Bids directly submitted by the Bidder or sent to

the address of the Bid Solicitor but should make sure thatthe Bid Solicitor receives it before bid closing specifiedin BDS.

2. The Bid Solicitor can extend the time-limit forBids submission (time of bid closing) in case it isrequired to increase the number of Bids or amendment tothe Bidding Document in accordance with the provisions inItem 7 of this Chapter or the requirements of the Bidderwhen the Bid Solicitor find it necessary.

3. Upon Bids extension, the Bid Solicitor shallnotify in writing to the Bidder purchasing BiddingDocument, and the time-limit for Bids should be printed in



the Bidding Newspaper at least one period and theelectronic information page (excluding the cases notspecified as compulsory); for the international bidding,it must be printed on a widely distributed Englishnewspaper. Upon notification, the Bid Solicitor shallspecify the new bid closing time so that the Bidder shallchange the validity of Bidsif necessary. The Biddersubmitted Bids can get it back and change Bids. In casethe Bidder has not got Bids yet or does not get it back,the Bid Solicitor shall manage the document as“confidential.”

Item 22. Late submission of BidsAny documents including the discount letter (if any)

received by the Bid Solicitor after bid closing shall bedeemed as invalid and shall be returned to the Bidderintact except the documents clarifying Bids as requestedby the Bid Solicitor in Item 25 of this Chapter.

Item 23. Bids amendment or withdrawal When it is desired to amend or withdraw the

submitted Bids, the Bidder should provide proposaldocument and the Bid Solicitor shall only approve if hereceives such document before bid closing; the proposaldocument for Bids withdrawal should be sent in separationwith Bids.

D. BID OPENING AND EVALUATION OF BIDS

Item 24. Opening Technical proposal:The Technical proposal opening shall be publicly

carried out within 1 hour right after bid closing inaccordance with time and location specified in BDS. TheTechnical proposal should be only openned before bidclosing as required in the Bidding document before thewitness of the attendants and shall not be dependent onthe absence or presence of the invited Bidders;

The bid opening shall be performed according to thealphabetical order for the name of the bidders and inaccordance with following consequence:



- Checking the seal of Bids;- Opening Bids and stating main information: Name of

Bidders; number of originals, Bid application in Technicalproposal, Valid time of Technical proposal, Time ofContract implementation, Value, validity and bidsecurity; and other related information;

The Bid opening minutes: Information stated in Point bof this Clause should be included in the Bid openingminutes.

The bid opening minute should be signed forconfirmation by the representatives of the Bid Solicitor,present Bidders and the concerned agencies. Copies of thebid opening minutes shall be sent to all bidderssubmitting bids;

The representative of the Bid Solicitor shall sign forconfirmation on the original of bid application and powerof attorney of legal representative of the Bidders (ifany); associate agreement (if any); Bid sercurity;important contents of each Technical Proposal;

The Financial proposal Financial Proposal of all Bidders shall be sealed in a

separated envelop by the Bid Solicitor and shall be signedby representatives of the Bid Solicitor and participatingBidder.

Item 25. Bids clarification 1. During bids assessment, the Bid Solicitor can

require the Bidder to clarify the content of Bids. In caseof lack of documents proving eligibility, qualificationand experience. For Technical proposal, the Bidder isrequired to supplement documents proving the eligibility,qualification and experience given that no change in bidsand unit price is resulted.

2. In case the bidder finds that his bid lacksdocuments proving eligibility, qualification andexperience, the bidder is allowed to submit documents tothe Bid Solicitor to clarify his eligibility,qualification and experience. The Bid Solicitor shall beobligated to receive these documents of the Bidder for



review, evaluation; additional documents provingeligibility, qualification and experience shall be deemedas part the Bid.

3. The clarification of Bids shall only be performedbetween the Bid Solicitor and the Bidders with Bids to beclarified and shall ensure principle of no change innature of bidders. The content of Bid clarification shownin the document shall be preserved as a part of Bids.

Item 26. Assessment of Technical proposal1. The legality of the Technical proposal shall be

checked, including:a) Checking the quantity of originals, copies off

Technical proposal;b) Checking contents of Technical proposal, including:

Bid application in Technical proposal, Associate Agreement(if any), Power of Attorney for signing Bid Application(if any); Bid Security; documents proving eligibility;technical proposal; other contents in Technical Proposal;

c) Checking the consistency between the original andthe copy to serve the detailed assessment process oftechnical proposal;

d) Attached appendix, documents to the Technicalproposal stated in BDS.

2. Assessing the validity of the technical proposal:Technical proposal of Bidders are considered valid

when including full contents as follows: a) The original of the Technical Proposal;b) Bid Application in Technical Procedures signed and

sealed by the bidder’s legal representative (if any); Inthe Bid Application, the Bidder shall specify schedule forpackage implemantation in accordance with technicalproposal. For joint venture bidders, the Bid Applicationshould be signed and sealed by each member (if any) or thehead of the joint venture bidders on behalf of the joint



venture bidders in accordance with responsibilityassignment in the associate agreement;

c) The validity of the Technical proposal that meetrequirements shall be in accordance with regulations inBidding Document;

d) Bid Security with value and validity period meetrequirements of Bidding Document. In case the submit ofBid Sercurity is stipulated in the form of susbmit ofguarantee letter, the guarantee letter should be signed bylegal represeantative of credit institutions or branch offorreign bank established under Vietnamese Law with valueand validity period, benificiary in accordance withrequirements of Bidding Document;

d) The name is not included in two or more Technicalproposal as the main bidder (independent bidder or amember of the joint venture);

e) Joint venture Agreement signed and sealed (if any)by legal representative of each member of the jointventure;

g) The Bidder is not prohibited from participating inbid activities under regulations of Bidding Law;

h) The Bidder ensure eligibility in accordance withClause 1 in Article 5 of Bidding Law

The Bidder having eligible Technical proposal shall beconsidered for assessment of capability and experience.

3. Assessment of capability and experience:a) Capability and experience assessment of the Bidder

shall be in conformity with the standards for capabilityand experience specified in Item 1 of Chapter III;

b) The Bidder having eligible Technical proposal,capability and experience meeting reuirements shall beconsidered for technical assessment;

4. Technical assesment:



a) Techncial assessment shall be performed inaccordance with assessment standards stipulated in Item 2,Chapter III;

b) The Bidders meeting technical requirements shall beconsidered for assessment of Financial Proposal.

5. The list of Bidders meeting technical requirementsshall be approved in writing and based on the statement,appraisal report on results of technical assessment, thelist is delivered to all Bidders and the Bidders meetingtechncial requirements are invited to the opening ceremonyand open Financial Proposal.

Item 27. The opening of Financial proposal1. Checking the seal of the Financial proposal. 2. Opening the Financial proposal:a) Only Financial proposal of the Bidders named in the

list of Bidders meeting technicial requirements shall beopened in the presence of represenatives of Bidderattending the opening ceremony of Financial Proposal, notdepending on the presence or absence of the Bidders;

b) Represenative of each attending Bidder is requiredto open Financial proposal corfirming whether or notinclude discount letter in his Financial proposal;

c) The opening of Financial proposal shall be carriedout for each Financial Proposal in alphabetical order ofthe name of Bidders in the list of Bidders meetingtechnical requirements and shall be in the followingsequence:

- Checking the seal;- Opening the Financial proposal and Reading

information: The name of the Bidder; the quantity oforiginals, copies; the validity time of Financialproposal, Bid Price stated in the Bid Application;discount value (if any); technical point of bids meetingtechnical requirements, other relevant information.

3. The minutes of opening Financial proposal:



a) Information stated in Clause 1 and Clause 2 of thisArticle shall be included in the minutes of openingFinancial proposal. The minutes of opening Financialproposal should be signed for confirmation by therepresentatives of the Bid Solicitor, Bidders attendingthe opening of Financial proposal. This minutes shall besent to all Bidder meeting technical requirements;

b) Representative of the Bid Solicitor shall sign forconfirmation on all originals of Financial Proposals.

Article 28. Assessment of Financial proposal1. The legality of the Financial proposal shall be

checked, including:a) Checking the quantity of originals, copies of

Financial proposal;b) Checking contents of Technical proposal, including:

Bid application in Technical proposal, consolidated Pricelist, detailed Price list, detailed unit price analysis(if any), other contents in Financial Proposal;

c) Checking the consistency between the original andthe copy to serve the detailed assessment process offinancial proposal.

2. Assessing the validity of the financial proposal:Financial proposal of Bidders are considered valid

when including full contents as follows: a) The original of the Financial proposal;b) Bid Application in Technical Procedures signed and

sealed (if any) by the bidder’s legal representative inaccordance with requirements of Bidding Document; bidprice in bid application must be detailed, fixed in numberand in words logically consistent with total bid price inthe consolidated price list. Do not propose different bidprices or enclosed with conditions detrimental to theEmployer and the Bid Solicitor. For joint venture bidders,the Bid Application should be signed and sealed by eachmember (if any) or the head of the joint venture bidders



on behalf of the joint venture bidders in accordance withresponsibility assignment in the associate agreement;

c) The validity of the Financial proposal that meetrequirements shall be in accordance with regulations inBidding Document.

The Bidder having eligible Financial proposal shall beconsidered for detailed financial assessment.3. Detailed assessment of financial proposal and bidderranking:

The financial assessment shall be perfomed usingcopies. The Bid Solicitor carry out mistake correction anddifference adjustment of Financial proposal in accordancewith regulations in Item 29 and 30 of this Chapter andFinancial proposal shall be assessed in accordance withfinancial assessment standards stated in Item 3 of ChapterIII.The Bidder having lowest price assessment was rankedfirst.

Item 29. CorrectionMistake correction means the mistakes in Bids

including the arithmetic, other mistakes and shall becarried out in the following principles:

a) For the arithmetic mistakes including those causedby inaccurate addition, subtraction, multiplication,division when calculating bid price. In case BiddingDocument require detailed unit price analysis, figures indetailed unit price analysis shall prevail for arithmeticmistake correction. In case of inconsistency between unitprice and amount, the unit price shall prevail for mistakecorrection; if abnormal diferences are found in the unitprice due to decimal mistakes (10 times, 100 times, 1000times), amount shall prevail for correction;

b) For other mistakes: -The amount column filled with no relevant unitprice, the unit price shall be additionally identified bydividing the money to quantity; When unit price isprovided, but the amount column is left blank, the amount



shall be additionally identified by multiplying quantitywith unit price; If any content filled with unit price andamount but left with no filling of quantity, the quantityshall be additionally by dividing the amount to the unitprice of that content. In case the number is additionallyidentified mentioned different from that referred to inthe Bidding Document shall be deemed as variation in scopeof supply and shall be adjusted in accordance with theprovisions in Clause 2 of this Chapter;

- Unit confusion: Correct in accordance withrequirements of Bidding Document;

- In case of inconsistency between the contents ofTechnical proposal and Financial proposal, contents ofTechnical Propossals shall prevail for mistake correction. - In case of inconsistency between the number andtext, the text shall be the basis for variationadjustment. If the text is wrong, the number shall prevailfor arithmetic mistake correction (if any) in accordancewith provisions in point a of this clause; - In case of difference between the pricespecified in the bid application (excluding discount) andthe price in the consolidated price list, the variationadjustment shall be based on the consolidated price listin accordance with the detailed price list.

2. After making the mistakes basing on the aboveprinciples, the Bid Solicitor shall notify the Bidder inwriting. The Bidder should provide the notificationdocument for the acceptance to the aforesaid correction.In case the Bidder does not accept the correction, hisBids shall be rejected. In case Bids has the arithmeticmistake whose total absolute value is over 10% of bidprice shall also be rejected. The arithmetic mistakecalculated in accordance with total absolute value,independent on the increase or decrease after correction.

Item 30. Variation adjustment Variation adjustment means the adjustment to the

contents of insufficiency or redundancy in Bids in



comparison with the requirements for the Bidding Document.The variation adjustment shall be as follows:

a) In case of variation about the scope of supply,the missing offer shall be added; the redundant one shallbe subtracted in accordance with corresponding unit pricelevel bids with variation of the Bidder; in case no unitprice is inluded in bids of bidders with variation, thehighest offer price for this content among other Bidspassing technical assessment shall prevail for variationcorrection; If no unit price is inclued in Bids of theBidders passing technical assessment, unit price rate inestimation shall prevail for correction; If no bid packageestimation is made, unit price forming bid package priceshall prevail for correction;

In case only one Bidder passes technical assessment,corresponding unit price in Bids of these Bidders shallprevail for variation adjustment; If no unit price isinclued in Bids of the Bidders passing technicalassessment, unit price in estimation shall prevail forcorrection; If no bid package estimation is made, unitprice forming bid package price shall prevail forcorrection;

b) In case the Bidder offers with lack of taxes, feesand charges payablr under requirements stated in theBidding Document, the Bid Solicitor shall add these coststo the bid price. The costs shall not be included ininsufficiency prescribed in Point d Clause 1, Article 43of Bidding Law;

c) In case the Bidder has a discount letter, themistake correction and variation adjustment are performedon the basic of bid price that has not subtracted discountvalue. The percentage (%) of i insufficiency shall bedetermined by comparing to the bid price stated in the bidapplication;

d) In case the Bidder whose variation adjusted bidsranks the first, is invited for contract negotiation, thelowest unit price among other bids passing technical



assessment shall be taken for negotiation ofinsufficiency.

Item 31. Conversion to a common currencyIn case the Bidders offer price in different

currencies in accordance with the provisions in Item 16 ofthis Chapter, Bid offered with other currencies shall berejected.

Item 32. Contacting the Bid SolicitorUnless otherwise requested to clarify Bids in

accordance with the provisions in Item 25 of this Chapter,contract negotiation (for complex erection package, ifany), contract completion, no Bidder is entitled tocontact the Bid Solicitor about the issues in relation tohis Bids as well as in relation to the bid package frombid opening until the tender result is announced.

Item 33. Contract negotiation1. On the basic of the Employer’s decision, the Bid

Solicitor invites the Bidder ranked first in the list ofapproved Bidder ranking for contract negotiation. In caseof contract negotiation authorization, the Bidder shallhave a valid Power of Attorney in accordance with Form 2of Chapter IV of this Bidding Document.

2. Contents of contract negotiations a) Negotiating the contents that are not detailed,

unclear or inappropriate, in consistent between theBidding Document and Bids, between different contents inBids resulting in disputes or affecting liability of theparties in the course of contract performance;

b) Negotiating deviations found and proposed by theBidder in the Bidding Document (if any), includingchanging proposals or alternatives of the Bidder if aregulation allowing the Bidder to offer alternative isincluded in the Bidding Document;

c) Negotiation of personnel:



During negotiation, the Bidder shall not change thekey personnel proposed in Bids to the position of Sitemanager except the case the proposed key personnel cannotparticipate in contract performance because bid assessmenttime extends longer than prescribed or because of forcemajeure. In that case, the Bidder is entitled to changethe key personnel ensuring that expected personnel havequalification, experience and capability equal to orhigher than proposed personnel and the Bidder shall notchange the bid price;

d) Negotiating the issues arising in the process ofselecting Bidder (if any) aiming at completing detailedcontents of the bid package;

d) Negotiating other necessary contents.3. During contract negotiation, the parties attending

negotiation complete draft of contract documents, contractappendices including detailed list of the scope of work,price list, implementation schedule.

4. In case the Bidder is invited to negotiate thecontract with time specified in the BDS fails to reach anagreement, the Bid Solicitor shall notifies the Employerto consider and decide the next ranked Bidder tonegotiate; in case the negotiation with the next rankedBidder is not successful, the Bid Solicitor shall notifiesthe Employer to consider or decide tender cancellationunder regulations in Clause 1 Article 17 of Bidding Law.

E. CONTRACT AWARD Item 34. Conditions for consideration of Contract

Award recommendationThe Bidder shall be considered for Contract Award

recommendation when he meets all the following conditions:1) Having valid Bids;b) Meeting requirements on capability, experience in

Bidding Document;



c) Providing technical proposal which is assessed assatisfactory to the requirements in accordance withBidding Document;

d) Insufficiency does not exceed 10% of bid price;d) Having lowest bid price after mistake correction

and difference adjustment and subtraction of discount (ifany) under assessment method in Item e3 of Chapter III;

e) Having the proposed Contract Award price nothigher than the approved bid package.

Item 35. Right of the Bid Solicitor for accepting,rejecting bids or cancelling tender

The Bid Solicitor shall be entitled to accept orreject any Bids or cancel tender but obeying Law ontender, amended law and implementation instructiondocuments.

Item 36. Bid result notificationAfter the approval for the bid result, the Bid

Solicitor shall send the document notifying the bid resultto the participants (including successful and unsuccessfulbidders).

Item 37. Contract completion and signingAfter achieving the negotiation result and completing

the contract, the Employer and the Bidder shall carry outcontract signing. In case of associate, the contractsigned should include the signature of all the members ofthe associate.

Item 38. Performance securityThe successful Bidder is required to perform the

measures ensuring contract performance in accordance withthe provisions in Item 3 of Chapter X to ensure his ownobligation in contract performance.

The Bidder shall not receive the performance securityin case of refusal to contract performance after thecontract takes effect, violating agreements in thecontract and delay in contract implementation due to their



fault but refusing to extend validity of performancesecurity.

Water ZoneGround levelThe port is situated on the concave bank ofThi Vai River. Form of water zone at the coastline to themargin of navigational channel is sloping from the bankoutwards, in this scope, ground level (as per Chart Datum)ranges as below:

At the existing coastline, the ground level variesfrom +1.0 to +2.4m;

For line which is 50m far from the current coastline:the ground level varies from ±0.0 to -1.0m;

For line which is 100m far from the current coastline:the ground level varies from -4.0 to -7.0m;For linewhich is 150m far from the current coastline: theground level varies from -5.0 to -7.0m on theupstream and varies from -10.0 to -11.0m on thedownstream. From this line to the navigational channelmargin, the ground level varies from -11.0 to -12.0mon the downstream and from -5.0 to -9.0m on theupstream.

Geological conditionsThe geological investigation report numberred 16/2011/KSĐCby CMB, Ho Chi Minh City Branch, conducted on 11/2011 hassummarized physico-mechanical properties of soil layers asper investigation results produced in 4/2011 and 11/2011,in favo of Design stage of shop drawings for Thi Vai Port– Phase I. Stratum structure of the ground from the upperto the lower includes 9 soil layers:



On the basis of geological investigatino results at sitelocation, it is found that stratum under investigationincludes soil layers with following characteristics:

Layer 1a is backfilling soil layer, small thickness,limited distribution.

Layer 1 is levelled soil layer, small thickness, withmedium to rather high bearing force, andinconsiderable settlement.

Layer 2, 2a, 2b, 4a and 5a are soft soil layers, withlow bearing capacity and high settlement

Layer 2c, 3b, 3, 4, 4b, 5, 6a, 6b, 6, 7 and 7a havemedium to rather low bearing capacity, with mediumsettlement..

Layers 3a, 6c, 8 and 8a are soil layer types of ratherhigh bearing capacity, low settlement.

Layer 9 is type of high bearing capacity, lowsettleemnt

Hydrology conditionsTide – Water levelTide of Ganh Rai Bay-Thi Vai River and the neighbouringplaces is unusual semi-diurnal tide, the value of tideheight is over 4m. The average sea water levels of dryseasonal months are higher than that of rainy seasonalmonths; resulting from rising of sea water level in theEast Sea under monsoon influences.On Thi Vai River: The average tide height is 281cm;maximum tide height is 415cm; minimum tide height is143cm. Generally, tide height rises alongside Thi VaiRiver to up stream, getting the maximum height of 465cm atGo Dau (Long Bar, Dong Nai).In Vung Tau: The characteristics of tide height range from329cm in October and 407cm in June every year. The averageyearly tide height is 368cm.Physical – Chemical properties of water

River water



pH degree: pH = 7.20÷7.66.Salty degree: S = 23.6÷27.4‰.Suspended sediment: TSS = 9.1÷175.8 mg/l.Turbidity: NTU = 9.4÷154.7 mg/l.

Underground waterBased on the testing results of of 8 undergroundwater samples at the site, ground water has total ofaverage chemical-mineral concentrations ofM=35.68g/litre.Evaluation on structure corrosionAccording to Vietnam standard TCVN3994:1985 “Anticorrosionin Construction - Concrete and reinforced concretestructures– Classification of corrosive medium”, this areais subject to medium corrosive medium. In order to protectconcrete structures against corrosion, all concretestructures must have high density (TCVN 149:1986).

Flow DirectionBased on measurement results of flow direction on: 01÷03,November, 2005, it is showed that in construction site ofthe Plant, flow direction is nearly parallel with thebank.

WaveWave on Thi Vai River is not high. Result of wave observation for coastal area in period of hurricane influences (October, November), shows that:

Wave only occurs in direction of East, Southeast,South, and Southwest. Maximum frequency is Southeast(57.47%), following by the South direction (29.88%),East (8.05%) and Southwest (4.6%).

The average wave height observed from the East,Southeast, South and Southwest is 1.25m, 1.46m, 1.06mand 1.00m, respectively.



Meteorology conditionsAir temperatureAnnual average air temperature is 26.8oC, maximumtemperature is 33oC, minimum temperature is 20.0oC. Thehottest month is May whereas January is the coldest month.Annual average air temperature varies inconsiderably(26.8oC¸27.2oC). Maximum temperature varies from 30.7oC to38.0oC and minimum temperature varies from 14.1oC to22.5oC.Humidity

The average relative air humidity for years(1986÷2000) is 79%;

The lowest relative air humidity for years is 41%(26/2/1994);

WindAccording to data measured at Vung Tau meotereological station, some main characteristics of wind are shown as follows:

In dry season: the main direction is East andNortheast, average wind speed is 4.7 m/s (ranging from4.0 to 5.7m/s); max value is 5.7m/s in July;

In rainy season, the main direction is Southwest andWest – Southwest, average wind speed in rainy seasonreaches 3.6m/s (ranging from 3.5 to 4.2m/s).

The yearly average wind speed is 4.1 (m/s).RainfallRainy season occurs from May to October; total rainfall inrainy season accounts for about 91%. Total annual averagerainfall is 1,508mm. June and July are months witnessingthe highest frequency of precipitation. Dry season starts from November of previous year to thenext April; Rainfaill of this season is very little, evenit has no rain for month.



Special weather phenomenon (thunderstorm, storm, fog,…)In rainy seaons (from May to November), maximum number ofrainy days ranges from 18÷27. Number of rainstorm daysoccurs on the same (9÷25 days/month). Maximum number ofrainstorm days occur from February to November. The lowestmonth has only 8 rainy days, the highest month has 28rainy days (August). Maximum number of foggy days occursform previous October to next April (6÷26 days/month).

Storm: The southern area is under very little impact ofstorms. Revetment along Thi Vai RiverConstruction Scale

The length of revetment along Thi Vai River is 285m, 20mcandle cone at barge berth, 10m at phase 2 adjacentposition, so that the total length of revetment is 315m.The control points of revetment position are shown inTable 3-8 (Volume 4- Detailed design report).Area plan of revetment is shown in drawing No: TV-2014-KB-03Technical solution

Structural revetment is retaining wall by reinforcedconcrete M350 supported by PHC pile D500, combineswith slope embankment. The top elevation of revetmentis + 5.50m (Chart datum level).

To ensure the stability of the revetment duringoperation, must use two layers of high-strengthgeotextile 400kN/m, the length of high-strengthgeotextile is 46m at +4.00m elevation and 48m at+4.50m elevation.

Structural revetment detail is shown in drawings No: From TV-2014-KB-06-1/5 to 4/5Due to the area of reclamation of package PK2 overlaping20m at boundary line between phase 1 – phase 2 so the 80min total length of slope of reclamation(river side) atsegment No.5 (to SN7’ point) is covered by rubble with50cm thickness, crushed stone with 25cm thicknes under,the last layer is geotextile to prevent loss of sand whenwater level fluctuate. Control points of slopereclamationprotection revetment are shown in Table 3-9(Volume 4- Detailed design report).

To ensure the stability of the slope of surchargematerial, must use two layers of high-strength geotextile400kN/m (50m for each layer) at the + 5.30m and +6.00melevation. Also at the toe of slope of surcharge material(+ 4.7m elevation) and on surface of slope (to + 7.0melavation) – Thi Vai River side must be covered by sandbag.High-strength geotextile detail cross-section is shown in drawings No:TV-2014-CTĐK-05ObservationParameters need for observationing in the reclamation workis as follow:

At the +5.30m elevation, after the completion PVDinstalation and observational equipment set up iscompleted, all parameter must be observed to process theresults later.Surcharge material are filled up with 20cm thickness pertimes or 1 times per day depending on smaller thickness.After finishing surcharge work, observation work isstarted with frequency of 7 days / 1 times. The totalobservation period does not less than 40 times.The frequency of observation should be sufficient toensure the allowable appropriate tolerances fill forsettlement and ensure the design elevation in the finalstages of Reclamation.Before removing surcharge material, settlement value mustwithin 90% - 95% of the estimated consolidationsettlement.The observational equipment installation andobservational data processing detail are presented in the

The 2nd period surcharge and removing time regulationThe 2nd period surcharge starting condition (fill up to+8.5m elevation): consolidation degree is at least 68% andsettlement in the regions not less than the values listedin Table 3-4.Removing condition: consolidation degree (U) is at least90% and residual settlement S ≤ 20 cm (at the yard), S ≤20 cm (at the storage) and the settlement before removingis not less than the value in Table 3-4. Structural revetment is retaining wall by reinforcedconcrete M350 supported by PHC pile D500, combineswith slope embankment. The top elevation of revetmentis + 5.50m (Chart datum level).

The height of retaining wall is 2.5m, Vertical wall is30cm thick, bottom slab is 2m wide and 50cm thick,supported by 20m length PHC pile D500 with 1, 4, 5segment and 22m length PHC pile D500 with 2, 3segment. The pile spans are 2m longitudinally, 1.5m



horizontally. Outermost pile row (river side) isleaning (6:1), the rest of pile row is vertical.

Under the bottom slab is poor concrete M100 layer with10cm thick, next layer is rubber stone with 10 ÷ 30kg/piece weight, next layer is 2x4cm crushed stone,next layer is non-woven geotextile and the last issand Reclamation.

The slope revetment is rock fill cofferdam with 20 ÷30 kg /piece weight, slope m = 1.5, 50cm thickness.The top elevation of slope revetment is + 3.5m, theelevation of toe varies follw cut- off (varies from +1.0m to + 2.0m).

The cut-off elevation has 3 types : + 2.0m elevationwith 105m length includes the entire segment 1 and45m of segment 2; + 1.0m elevation with 140m lengthincludes 15m of segment 2, 3, 4 and 5m of segment 5;+ 1.5m elevation with 35m length of segment 5. Thewidth of cut-off is 2m. The slope of cut-off is m =1.5. Structure of cut-off is rubber with 50 ÷ 100kg /piece weight.

Behind of the bottom slab is a reinforced concreteM350 transitional slab with 20cm thickness, under thetransitional slab is 1x2cm crushed rock with 20cmthickness, next layer is 2x4cm crushed rock with 30 cmthickness, the last layer is rock fill cofferdam.

Above of transitional slab is non-woven geotextilelayer, compacted sand with k = 0.98 and structurallayer of pavement belongs to CS3 package.

To ensure the stability of the revetment duringoperation, must use two layers of high-strengthgeotextile 400kN/m, the length of high-strengthgeotextile is 46m at +4.00m elevation and 48m at+4.50m elevation

At the expansion joint, use tarpaulin to chork, woodgroup 7 above with 2cm thickness and 50cm width, andtwo layers of geotextile with 1m width.

Revetment construction



This work is conducted after the reclamation workcompleted. The order of execution is following:

1) Clearance 50cm thickness of rubber stone and capconcrete;

2) Construction of test pile to determine the actuallength of the pile;

3) Contruction of mass pile after pile length decisionfrom design consultation;

4) Construction of filter layer, cut-off, stone layerunder the bottom slab of retaining wall;

5) Cut the top op pile (with the excess length of piles)and construction of concrete of retaining wall;

6) Installation of transitional slab, then constructionof 2 layers of high-strength geotextile 400kN/mcombine with sand backfill behind the revetment inthe rarea from + 4.00m elevation to bottom ofstructural layer of pavement. Before laying thegeotextile at + 4.0m elevation, the surface of theexisting sand layer must be compacted with k≥0.98,from + 4.0m elevation above and from inner edge ofretaining wall to the end of geotextile sand must becompacted layer by layer with k≥0.98.

7) Completion and Acceptance .Construction of pile of revetment must be coordinated withthe construction of pile of access bridge, in areasadjacent especially, not allow finishing revetmentconstruction progresses construction of pile of accessbridge to ensure that piles not being displaced because ofthe influence of the pile construction.

3. Requirements on materials

Applicable standards

The used materials supplied by Bidder must comply withcurrent regulations and standards and must be approved by



Thi Vai International Port Co.,Ltd before signing a formalcontract for major materials.

Requirements on materials

All kinds of supplies, materials, equipment andaccessories that Bidder recommented to provide forthis package should have a clear origin, legal, inaccordance with the requirements of the BiddingDocument and meet the minimum requirements accordingto current regulations and standards of Vietnam and /or international standards (Bidder should make a listof categories and codes, the origin of the supplies,materials, equipment, accessories).

The Bidder must present their bids, catalog (releasedby manufacturer or genuine representative in Vietnam)of goods and supplies, equipment and accessories thatBidder recommented to provide for the project.

The contractor must present the documents relating tothe source, origin (C / O for imported materials,equipment, accessories), C / Q, Quality InspectionCertificate for materials and equipment beforedelivering to construct.

All supplies and materials used for construction mustbe 100% brand new. Supplies and materials inwarehouse must remain intact parcels, stamps and codein the stamps should be clear, no peeling; theoriginate and brand of the category must matchrequirements in bids.

The major materials and equipments

The major materials, equipments and other accessories needto meet the requirements Tender documeent and DetailedDesign qualified by manufactures of Vietnamese standard orequivalence.In which, the “equivalence” means the supplies, materialsand equipments, etc sharing the same technicalcharacteristics or functions with mentioned materials andequipments.The contructors need to list of all materials andequipments provided by constructors to implement theproject in Table 10, chapter IV. In case the constructordoes not list the specific pofolio, the Bidding documentof the constructor will not be taken in consideration.

4. Requirements on human resource Considering volume, geographic conditions of the Site

and completion time, construction personnel isrequired to be qualified and personnel arrangement issuitable for construction methods so that quality,safety and schedule are ensured.



Site leader shall be experienced with more than 5years of working, meeting requirement for Site leaderGrade II according to the regulation of Decree12/2009/ND-CP, key officers shall meet therequirement on scale and conditions of the Works,technicians are qualified for items of works heundertakes. The Contractor shall provide identitydocument (including notarial copies of degrees andcertificates...), meeting requirement of BiddingDocument for these positions.

The number of labor shall be more than 50 people,among them they are basically trained according toForm No. 7A, Chapter IV

The Contractor shall provide with full information onpersonnel for the Works. The Employer shall have theright to inspect the correctness of each part or thewhole of this information.

5. Requirements on construction equipment The Contractor shall supply with machine, specialized

equipment and equipment related to the construction. The equipment shall conform to the notes of

construction methods in Bidding Document, ensuretechnical functions and required capacity, andreaches quality specification according to applicableregulation.

- The equipment as mentioned shall be hired or boughtby the Contractor and be identified with relevantdocument (vehicle registration or invoice; agreementon purchase and hire or other documents for theiridentification). The equipment shall meet requirementfor environment hygiene, fire prevention throughvehicle registration, insurance. The operator shallbe well-qualified as stipulated and submit drivinglicense, master’s certificate, motor vehicle drivinglicense along with equipment’s document. Theequipment of waterway traffic used for leveling and



backfilling shall be licensed by functional agencies.Bidding document shall not be considered if therelacks relevant documents as mentioned. Theinstrumentation and experiments shall have validownership documents and verified paper.

6. Requirements for labor safety and environment hygiene

Labor Safety: The Contractor shall comply withregulations on labor and equipment safety for eachitem of work during the construction.

There shall be trained officers in charge of laborsafety.



The Contractor shall buy insurance for personnel andequipment, and shall be responsible for any accidentand damage on the Site due to no ensure of laborsafety.

Environment hygiene: During the construction, theContractor shall take measures to make sure thatentire Site is clean and material waste (remainingsoil, waste…) is treated and collected to the rightplace. Building material shall be covered when theyare transported by truck so as not to fall on theroad; otherwise this affects public traffic and thesurrounding area. The Contractor shall make anagreement with local agencies about the gatheringplace and shall bear total expense of transportationto the right place.

After completing the construction, the Contractorshall transport remaining building material andequipment out of the Site for the purpose ofacceptance.

7. Requirements on method and technique of construction Basing on the requirement in Tender Document, designdocument, specifications and regulations of Vietnam,relevant documents; the Contractor shall prepare methodsand techniques in his Bidding Document. Technical documentshall include the following contents: 1. Statement of the Contractor’s knowledge of the Works:scale and characteristics of the Works; source ofmaterial, electricity and water supplier. 2. Statement of principles of organization, technicalmanagement, construction quality of the Contractor.3. Statement of standards and specification ofconstruction 4. Methods of construction include:

Base for preparation of construction methods;



Arrangement of management regime in the head officeand on the Site;

Unit of quality management in the head office; Unit of construction technical management, labor

safety and environment hygiene on the Site; Unit of technical supervision on the Site; Unit of material supply; Administrative unit and serving unit on the Site; Workers; Preparation of the Site; Protection of the Works; Electricity and lighting system for construction

period; Communication system for construction period.

5. Technical methods: the Contractor shall submitstatement and drawing.5.1. In the statement, the Contractor shall present fullbasic contents as the following:

Organization of the Site: Layout for temporary works, construction equipmentand storage place of material and waste.

Arrangement of gate, barrier and signs; Remedies for water and electricity supply, waterdrainage, traffic, communication during theconstruction.

General construction methods: Excavation of foundation; Items of concrete (include blinding concrete,assembly of formwork, steel bars, casting concrete…);

Completion; Installation of electrical water equipment ; Cleaning and transporting waste;



Schedule of the Works and the chart for overallschedule

Remedy for improving the quality of the Works: listof equipment, inspection tool for quality. Procedureand remedy for inspection of material quality. Repairfor damage, warranty of the Works;

Applying the advance of technical science to theconstruction of the Works

Security, labor safety, fire prevention, environmenthygiene, traffic safety;

Assurance about safety and schedule in the rainyreason.

5.2. Drawing includes: Layout of Executing Site; Surveying method; Excavation and backfilling construction method Concrete casting method: (Include assembly of

formwork, steel bars, casting concrete maintenance); Drawing of completed works; Drawing of method of labor safety.

8. Technical SpecificationsSpecific technical requirements are presented in Volume 2:Specification of Bidding Document. The following are onlythe main requirements for major materials used for theconstruction and necessary notes on technical methods andmanagement. a. Requirements on materials All major materials such as steel bar, concrete, concreteaggregate, Horisontal absorbent sponge, Prefabricatedvertical drain, Geotextile, PHC D500-300 pile….are statedin Section 5- Volume 4: (Technical Report) and in Volume2: Specification of Bidding Document.



b. Requirements of construction works1) Positioning

Referring to the Detailed design and standardlandmarks on the site handed over by Investor, theContractor shall determine and bear responsibilityfor reasonable data about positioning theconstruction scale of the project.

The contractor is responsible for safekeepingstandard landmarks on the construction site handedover by Investor.

2) Preparation for construction

The contractor is supposed to be well-prepared forconstruction site in accordance with the Detaileddesign and provisions signed with Investor aboutsite clearance, thus ensuring the smooth progress ofconstruction.

3) Land Reclamation

Because the surface of reclamtion area contains claymud, vegetation and peat coal, dirt band shoud beremoved after the area is leveled. After finishingsite clearing, the contractor must conduct aninvestigation into re-measurement of site level inorder to accurately calculate the volume of levelingsand for acceptance and liquidation.

Leveling materials are delivered to the constructionsite by waterway and by motorised vehicles, and thenreclamation is done by bulldozers. The contractorneeds to carry out the project in a certain way andembank dykes with soil sacks to protect two sides.

Filling period shall divide in layers with thicknessof(25 ¸ 40)cm. They need to be compacted and wateredto keep the humidity. Before being used for leveling,the filling sand needs to be put to the test first.Each backfilling layer requires a set of experimentsamples.



The design elevation level for leveling +4.70m (Chartdatum) and foundation compactness after layercompated density must be guaranteed. Requiredcompated density value of 2 top layers (50cm thick)is K>=0.95; compated density value of below lowerslayers is K 0.90 and elastic modulus of the toplayer is E 400 kg/cm2. On the reclamtion area,there is a measuring point on each 1,000m2. Checkinglayer compated density is carried out alternately.

4) Pavement work

After removal up to +5.00m (Chart datum) in order tobuild internal road and yard, the Contractor needs toundertake leveling work and use sand to compensatefor the surface slop in accordance with the designslope before constructing the pavement.

In order to ensure the completion of constructionworks, the Contractor needs to consider referenceDesign documents about relevant facilities such as:Reclamation, Soil Improvements, Surface waterdrainage systems, Revetment, ... to arrangeconstruction layout, locating construction stops aswell as preparatory technical infrastructurepositions. This helps avoid the overlap ofconstruction.

5) Construction of Revetment

Construction of revetment foundation and accessbridge pile foundation must be carried out at thesame time, especially at bordering areas. The purposeof this is to make sure that pile foundations are notdisplaced under the influence of piling work.

The Contractor needs to consider reference Designdocuments about relevant facilities such as:Reclamation, Soil Improvements, Surface waterdrainage systems, Revetment, ... to arrangeconstruction layout, locating construction stops as



well as preparatory technical infrastructurepositions. This helps avoid the overlap ofconstruction.

6) Excavation work

Methods of excavation work are chosen by theContractor and approved by Investor.

Excavation work must be done in accordance with TCVN447- 1980. The contractor is responsible for ensuringsafety and stability of nearby construction sites aswell as security for workers and constructionequipment in the construction process.

Shape, size and height of foundation hole shall becompliant to the design and be inspected beforeexcavation. The bottom of foundation pits must beclean, flat and dry.

Foundation hole backfilling is only carried out afterconcrete is maintained in a required period of time.The compacted density of backfill must be inagreement with the design. The Contractor shall holdresponsibility for construction transition whenexcavation work is not accepted.

7) Formworks and working platform

Quality of formworks and working platform. Recommendations for the Contractor using steelformworks. If wooden formworks are used, they arenot supposed to be warfed, cracked and theirsurface in contact with concrete must be clean andflat.

Formworks and working platform must be secure,strong, stable, collapsible and convenient forsteel installation, concrete casting and tamping.Calculation of formwork design done by theContractor must comply with TCVN 4453- 1995.



The Contractor is responsible for design andsupply as well as ensuring safety in formwork andworking platform for construction.

Formwork and working platform construction Formwork clean-up

When exposed to concrete, formworks must be kept in cleanplaces and brushed with a suitable kind of oil or anothersubstance approved by Investor. This oil coating or othersubstance is not allowed to get exposed to rebar or mixwith concrete.8) Steel Reinforcement

Steel cutting and bending The Contractor is responsible for re-checking sizespecifications in accordance with the designdrawing before steel cutting and bending are done.

Steel cutting and bending are done with mechanicalmethods unless there is another directive fromInvestor. Only when Investor’s approval ispresented in written forms, reinforcing bars arebended in hot temperatures. Hot bended steelarenot allowed to be dipped in cold water.

Bending or straightening steel is done within aradius of rebar less than 4 times greater than thediameter of flexible steel or 6 times greater thanthat of highly-intensified steels.

Making any changes to steel shall be approved byInvestor in written.

Steel connection In a cross-section, the joining connectionaccounts for less than 25% of the total area ofreinforced steel compared with round plainreinforcements and less than 50% compared withrebars. Dead soft steel wires with a diameter of1mm are recommended.



Steel welding Steel welding cannot be carried out unless it isindicated on the design drawing and that kind ofsteel is weldable.

Allowable tolerance is that the weld is notallowed to exceed the value in conformity withSection 4.3 TCVN 4453-95. At least 6 samples of100 connected welds will be experimented, with 3samples being bended and the other 3 being pulled.If necessary, Investor can request to haveadditional examination of steel welding with theexpense of the Contractor.

Steel delivery and installation On delivery of processed steel, the contractorshall ensure that steel products are not damagedor deformed.

Steel installation needs to meet the followingrequirements :

+ Previous installation parts do not negativelyaffect subsequent installation parts.

+ In order to avoid displacement during concretecasting, steel must be firmly fixed. It is vitalto come up with solutions to protect steel usedfor concrete structures against damages and otherdeformations

+ Using zinc in order to bind steel bars connection.The number of steel bar connections occupies atleast 50% of the number of joining points in analternate order. In all case, the angle of steelwire and reinforcing steels needs to be 100% tiedor welded.

Protective concrete layers Protective concrete layers are calculated from thesurface to the edges of steel bar inclusive of



joining points. The thickness of protectiveconcrete layers must abide by the design drawing.

9) Concrete

Design concrete aggregate The contractor shall be responsible for designingconcrete aggregate which is suitable for actualorigin of material and designed concrete strength.Designing concrete aggregate shall be performed bya laboratory which have legal entity status.Certificate of designed concrete aggregate shallbe submitted to Investor before carrying outconcrete work.

Because the work mostly uses cast insitu concrete,the Contractor shall prepare document ensuringquality of concrete aggregate such as : cement,sand, stone, gravel and addition (if any) andassign staff to follow mixing process. Concreteslump shall be measured prior to pouring concrete.Never add water into concrete once concrete slumpis measured.

Mix concrete If concrete structure used in small volume must bemixed in site, only concrete mixer is allowed to mixconcrete. Under no circumtances, is manually mixingconcrete allowed.

Transport concrete Transporting concrete from mixing place to pouringplace shall be ensured so that concrete mixture isnot be segregated and grout is not flowed out.

In case that addition is used to prolong settingtime, the Contractor shall submit testingcertificate of setting time based on weatherconditions, type of concrete and used addition toInvestor for considering.



Pour concrete Unless there is proper covering method, concreteshall not be poured under bad weather (rain,storm)

Positions of steel bars, formwork and thickness ofconcrete cover shall not be deviated duringpouring concrete. The Contractor shall supervisestatus of formwork, abutment and steelreinforcement to give timely remedies.

Concrete shall not be poured from height of 1.5min order to avoid segregation. If height of freefall is more than 1.5 m, inclined chute ordedicated equipment shall be used. For pile andwall, some holes in fromwork wall shall be made inorder to ensure concrete is poured continuouslywith free fall- heightt of less than 1.5 m.

Compact concrete Compacting concrete must be ensure so that aftercompacting, concrete is compact and there is noporous spot. Signs to identify the concretecompacted carefully are cement mortar emerging thesurface and no air bubble. When using the spudroller machine, its pitch does not exceed 1.5 ofits effective radius and it must be plugged deeplyinto the 10 cm previously poured concrete layer.

Under no circumstance, shall compactor contactwith steel reinforcement or formwork.

It is neceaasry to assign a qualified reinforcingworker for from first to last- following in orderto correct movement of the steel reinforcement.

Constructional joint Conduct constructional joint according to designdocument.

Prior to pouring concrete again, concrete surfacein structure joint shall be cleaned with water



injector and the largest exposed aggregate shallbe made free from roughness with wire-brush. Steelreinforcement surface in constructional jointshall be cleaned before concrete is poured.

Maintain concrete: Process of natural moist-aircuring for concrete shall be divided into 2 stages : The first maintenance : after forming concrete,the concrete surface shall be covered withhumidified material (sackcloth, canvas, nylon) toprevent concrete from losing water uder impact ofsunshine, wind and temperature. Covering will lastfor 2.5- 5 hours after concrete dried.

The next humidity mainteance : Shall be conductedright after the first one and last for 4-7 days(according to weather conditions). During thisstage, it is necessary to water in orer to keephumidity of structure surface. Times of wateringis based on necessary level of each area, howeverkeeping concrete surface wet is important. Fordeck roof, during this stage, cement in concretesurface shall be macerated.

All completed surfaces, corners and edges shall beprotected from damages caused by collisions. Never walk or load into concrete if its strength isinsufficient.

Remove formwork and working platform Formwork is removed only when concrete strength issufficient and the structure can bear its weightand other loads in the next construction stage.After removing formwork, the constractor shall notdemolish concrete, especcially corners and adgesand pre-burried parts.

Time for removing formwork of each concretestructure is based on specification or specifiedin design document.



The Contractor must take full responsibilitiesfor all damages of concrete caused by impropermethod and removal time of formwork.

After removing formwork, the Contractor shallreport to Investor and Investor shall conductinspection. In case of repair requested byInvestor, the contractor shall carry out withoutdelay. The concrete structure shall not beaccepted in case the contractor solves problem onits own initiative prior to Investor’s inspection.

Check of water proof of reinforced concrete The outer surface of structure shall be revisedand in case of any sign of water penetrationdetected, the Contractor shall take fullresponsibility for repairing with solutionaccepted by Investor. The Contractor will pay forall expenses for inspection and remedy.

Check of concrete quality Concrete sampling

* A group of concrete compressive strength sampleincluding 3 samples with dimension of (150x150x150) mmshall be taken at the same time and in a same place. Incase of request from Investor, a group of samples fortesting water proof including 6 cylinder samples withdiameter and height of 150 mm shall be taken at the sametime and in a same place. * If necessary, Investor has right to conductunscheduled inspection for quality of concrete work. Thecontractor shall provide in sufficient amount of 12 castconcrete pattern sets to use in. * Samples shall be taken in exit end of mixer inpouring position. Samples shall be produced and testedaccording to TCVN Standard with condition that the sampleshall be compacted in the same way with concrete in site.Strength of the sample is determined by average strength



of all briquettes in sample group. The sample shall beconsider as satisfying requirement on strength if there isno sample whose strength is 15% less than average. Additional tests shall be conducted for followingcases: * Casted -in place sample does not satisfy requiredstrength when compacting * Number of samples is insufficient as required According to characteristic of the structure,Investor shall decide additional test method (takingsample in place by drilling, using echography or reboundhammer...) * When the concrete is rejected, it must be removedfrom work according to decision of Investor. If concretecan be remedied, the Contractor shall submit remedy methodto Investor and carry out remedies only when receivingapproval in writing of Investor. * The Contractor shall bear all expense arising fromremedy, test or removal due to unqualified concrete. Building mortar must be mixed by mixer and complywith designed aggregate. Mortar is mixed until it ishomogeneous in more than 2 minutes. In case mortar volumeis small, mixing can be conducted manually in more than 3minutes. Hardened mortar with insufficient strength mustnot be used. * During construction, if there is any crack ofconcrete detected the Contractor shall determine thecauses and find solution and notify to Investor. TheContractor shall actively mark up to keep track of thecrack.10) Paint work

Use paint with correct color and type according todesign document.



Painting construction shall comply with instructionsof the manufacturer enclosed with goods lot.

Surface of all structure to be painted shall becleaned before conducting.

Painting surface must be even, smooth, shining,evenly colored without condensed paint and covered toavoid being dirty or scratched until delivery.Measures to cover completed painting parts shall betaken in position where many people go pass or doother works to avoid dirty or stain or other matterssticking.

11) Install water drainage and water supply system

Installing pipe and water supply and drainageequipment according to design, meeting requirements ontechnique and urban aesthetic; pipe is installed insidethe wall. Prior to acceptance, even prior to tiling, it isnecessary to carry out pressure testing according to4159:1998 standard, testing of appearance and operation ofthe entire water supply and drainage system. Clean pipebefore putting into use. c. Requirements on warranty

The Contractor is responsible for performing thewarranty of the Works after handover to the Investor.Contents of warranty include repair, maintenance andreplacement of damage or abnormal operations of the Worksnot caused by users.

Warranty period is 12 months from the Commencementdate to Handover date by Constructor to Investor. Warranty mechanism for solving damage ordeflection arising during use of the work within warrantyperiod: when detecting any deflection or damage, theInvestor shall notify the Contractor about them; theContractor shall carry out repairing the damage or



deflection after 02 days since receiving notification ofthe Investor. The Contractor shall bear all costs risingfrom repairing.As built drawing is required 15 days since the date ofcompletion.d. Other requirements

During construction, the Contractor shall comply withregulations on technique and labor safety and otherregulations on safety issued by the State.

Comply with Standard and Specification on qualitymanagement.

Construction supervision and acceptance. Comply with regulations on construction technique and

supervision (In Decree No. 12/2009/ND-CP dated12/02/2009 of the Government on Management ofinvestment projects on the construction of works,Decree No. 15/2013/ND-CP dated 06/02/2013 of theGovernment on management of quality on theconstruction of works).

Part IIIREQUIREMENTS ON THE CONTRACT

Chapter XIGENERAL CONDITIONS OF CONTRACT

A. GENERALArticle 1: Interpretation of terms In this Contract, Terms below are understood as

follows:1. “Contract” is the agreement agreed by the Employer

and the Contractor in writing, signed by two parties,including appendix and attached documents.

2. “Contract price” is total amount that the Employeragrees with the Contractor in the Contract.

3. “The Employer” is an organization as mentioned inSCC.

4. “The Contractor” is the successful Bidder(independently or in association) shown in SCC.

5. “Sub-contractor” is the Contractor that signs anagreement with the main Contractor to implement one partof construction as expected in BIDS.

6. “The Engineer” is consulting bidder selected by theEmployer to work regularly and continuously at theconstruction site to supervise the execution of theconstruction and work items. Name of consulting bidder islisted in SCC.

7. "Commencement day " is the day that the Employerallows the Contractor to start executing the construction.

8. "Completion time” is a necessary period of time toexecute the construction starting from commencement dayuntil the construction is delivered and accepted.

9. “Date” is the calendar day, continuouslycalculated, including holidays and weekend.

10. “Warranty period” is the time that the Contractorshall be liable on repairing defects of the construction.Warranty period is started from the day that theconstruction is delivered and accepted.

11. "Site " is a place that the Employer hands over tothe Contractor to execute the construction as mentioned inSCC.



Article 2. Applicable law and languages used inContract

Language of the Contract is Vietnamese, governing lawis Vietnamese law, unless otherwise stated in the SCC.

Article 3. Contract performance security 1. The Contractor shall issue contract performance

security with required contents in SCC to ensure theirliabilities fulfillment for contract performance.

2. The Contract performance security is made in favorof the Employer, as an indemnity for any loss caused bythe Contractor in case of failure to fulfill theircontractual obligations.

3. The Employer must return the contract performancesecurity to the Contractor in the duration stipulated inSCC.

Article 4. Contract form.Contract form is stipulated in SCC.Article 5. Sub-contractor1. The Contractor may sign agreements with Sub-

contractor listed in SCC to implement one part of workshown in BIDS. The employment of Sub-Contractors does notchange liabilities of the Contractor. The Contractor hasto be responsible to the Employer for quantity, quality,supply progress and other liabilities of work done by Sub-Contractors.

The replacement and amendment of Sub-Contractors otherthan those to be listed in the SCC shall be applied oncegetting approval of the Employer.

2. The value of work done by Sub-Contractors isstipulated in Section 1 of this Article and does notexceed the percentage of the Contract stipulated in SCC.

3. The Contractor is not allowed to employ the Sub-Contractors to implement other works besides tasks listedin BIDS.

4. Other requirements of Sub-Contractors arestipulated in SCC.

Article 6. Cooperation with other Contractors



The cooperation with other contractors to jointly usethe construction site shall be implemented as stated inSCC.

Article 7. The Contractor’s personnel1. The Contractor shall employ key personnel as named

in List of Key personnel as in DKCT to implement works inthis list or use other officers under the approval of theEmployer. The Employer shall only approve the replacementof officers in case that capacity and qualification ofreplacement officers are the same or higher than that ofofficers in the list.

2. If the Employer requires the Contractor to dismissone or more members in the Contractor’s personnel withexcusable reasons, the Contractor shall ensure that suchemployees must leave the site within 5 working dayswithout any relation with the contract performance.

Article 8. Compensation for damage1. The Contractor shall compensate and be responsible

for damages, losses and other relevant expenses to theEmployer and the Employer’s staff including:

a) Injury, disease, illness or death of any personhappen in or outside the construction process or resultfrom the Contractor’s drawings, execution, constructioncompletion, defect repair, unless such defects are theEmployer’s faults, Employer’s staff are negligence,intentional breach or contract violation;

b) Damage or loss of any property (not Works) happensin or outside the construction process or result from theContractor’s drawings, execution, construction completion,defect repair, unless such defects are the Employer’sfaults, Employer’s staff are negligence, intentionalbreach or contract violation.

2. The Employer shall compensate and bear cost to theContractor, Contractor’s personnel for damages, losses andother expenses related to injury, disease, illness ordeath caused by negligence, intentional breach or contractviolation of the Employer or the Employer’s staff.

Article 9. Risks of the Employer



From the commencement day to the expiration day of theContractor’s guarantee obligation, the Employer shall beresponsible for following risks:

1. Risks of injury, death of human, loss or damage ofassets (except Works, machines, materials and equipmentcaused by the mistake of Employer).

2. Risks of damages for Works, machines, material andequipment caused by the mistake of the Employer or forcemajeure.

Article 10. Risks of the Contractor1. Risks of the Contractor include:a) Risks are not the Employer’s risks including risk

of injury, death, loss or damage of assets (Works,machines, materials and equipment) from the commencementday to the expiration day of guarantee obligations.

b) Risks of damage or loss from the date of acceptanceand work delivery to the expiration day of guaranteeobligations of the Contractor due to:

- Any defect occurs on the date of completion;- Any event occurs before the completion date while

this event is not Employer’s risk;- Operations of the Contractor at the site after the

date of completion.2. The Employer shall be responsible for all the

Contractor’s risks as stated in Item 1 of this Article.Article 11. Limitation of liability 1. Neither party shall bear liability for the other

party due to loss in using the Works, loss of profits, orindirect loss related to this contract, except for otherprovisions of penalty for delayed contract performance,defect repair, payment due to contract termination andcompensation for damage.

2. The liability of the Contractor to the Employerunder this contract or related to this contract exceptregulations on the compensation as referred in Article 8,shall not exceed the total amount as in SCC.

3. It is not limited liability in terms of fraud,intentional defects or negligent acts of the violatingparty.



Article 12. Force Majeure 1. In this Contract, force majeure is understood as

uncontrollable or unforeseeable event; for instance: war,riot, strike, fire, flood, diseases, isolation due toquarantine, embargo etc.

2. If force majeure occurs, the affected party has toinform in writing to the other party about the event andcauses of the events. Furthermore, such party sends theother a confirmation letter of force majeure issued by anAuthority Organization in the country where force majeureoccurs.

During the time construction is impossible due toforce majeure, the Contractor, under guidance of theEmployers, still continues to perform contractualobligations under actual circumstances and the Contractorshall seeks reasonable measures to implemented remainingparts. In this case, the Employer shall reimburse for theContractor necessary additional and reasonable expensesthat the Contractor has to be suffered from.

3. If one party fails to perform its obligations dueto force majeure, such party shall not compensate fordamage, or bear any penalty or contract termination.

In the case of disputes arising between parties due tothe occurence of force majeure, such disputes shall besettled by regulations as prescribed in Article 19.

Article 13. Insurance Requirements of insurance is stipulated in SCC.Article 14. Temporary worksRequirements of temporary work is stipulated in SCC.Article 15. Safety The Contractor shall be responsible for implementing

all safety measures at the construction site in accordancewith regulations of applicable law.

The Contractor shall comply with regulations of theState and other competent authorities for any mattersbeyond the scope of work and take full responsibilitiesbefore law for including but not limited to truck load,sanitation, safety and environment at the disposal site.



The Contractor shall be responsable for applying licenseat the competent authority in accordance with theapplicable law (if any).

Article 16. Fossils at the site Any historical or valuable things discovered by

chance at the site shall be the property of the SocialistRepublic of Vietnam. The Contractor shall promptly makenotification to the Employer about this discovery tosettle according to regulations of applicable law.

In case of delay due to fossil discovery, theContractor shall handle, maintain and transport fossilsand notify to the Employer for approval.

Article 17. Site use rights The Employer shall assign the site use rights to

the Contractor on the date as mentioned in SCC. Article 18. The Engineer (Supervision Consultant) 1. The Engineer shall be responsible for implementing

works as specified in the contract. 2. The Engineer can provide guidance to the Contractor

on the construction and repair defect at any time. theContractor shall comply with guidance of the Engineer.

3. In the case that the Employer changes the Engineer,the Employer shall give notice in writing to theContractor.

Article 19. Dispute settlement 1. The Contractor and the Employer are responsible

for settling disputes arising between two parties throughnegotiation.

2. If the dispute is not settled by negotiation inthe duration as stipulated in SCC since the date ofdispute arising, any Parties can solve the dispute as inthe regulations defined in SCC.

B. SCHEDULE MANAGEMENT Article 20. Date of completion The Contractor can start executing the construction on

the date of commencement as in SCC and shall execute in



accordance with the Detailed schedule of constructionprogress submitted by the Contractor and approved by theEmployer. The Contractor shall complete all works on theexpected completion day as mentioned in SCC.

Article 21. Detailed construction schedule 1. During the period of time as stipulated in SCC, the

Contractor shall submit the Detailed construction scheduleto the Employer for consideration and approval withfollowing contents:

a) Execution order of works of the Contractor andexpected construction time for each main phase of theconstruction;

b) Process, inspection time and testing time asspecified in the contract;

c) Attached reports including: General report on themethods which the Contractor shall apply for theconstruction and major phases in construction execution;the number of staff, employees, workers and equipment ofthe Contractor shall be used at the site for these majorphases.

2. The Contractor shall comply with Detailedconstruction schedule after approved by the Employer.

3. The Contractor shall submit to the Employer forconsideration and approval of the Detailed constructionschedule which has been updated on the time no later thanthe required time as stipulated in SCC. If the Contractorfails to submit Detailed construction schedule to theEmployer which has been updated on the time as mentionedabove, the Employer shall retain amount of money asstipulated in SCC for next payment. This amount of moneyshall be paid at the next payment after Detailedconstruction schedule is submitted and approved.

4. The approval of Detailed construction schedule bythe Employer shall not replace obligations of theContractor. the Contractor can adjust the Detailedconstruction schedule and submit to the Employer at anytime.

Article 22. Changing the contract period



1. The Employer and the Contractor shallnegotiate about the extension for contract performance incases as follows:

a) The Employer fails to hand over the site use rightfor the Contractor at the time stipulated in Article 17;

b) The Employer disagrees to sub-contractors excludedin the list as referred in Item 1 Article 5 withoutexcusable reasons;

c) The Employer delays in providing the acceptancecertificate of the construction without reasonablereasons.

d) Other cases are described in SCC.2. The Employer can require the Contractor to suspend

the commencement or delay the progress of any activity ofthe construction.

3. In the case that it is necessary to shorten thetime of contract performance, The Employer shall negotiatewith the Contractor about relevant contents.

Article 23. Prediction of incidents The Employer should early predict to the

Contractor about incidents that can happen and its badlyimpacts on construction quality leading to the increase ofcontract price or the delay of the contract performance.The Employer can require the Contractor to predict theimpact of these incidents for contract price and contractperformance. The Employer shall cooperate with theContractor to provide appropriate remedy.

C. QUALITY MANAGEMENT Article 24. Inspection of quality of materials and

equipment 1. The Contractor shall ensure all materials and

equipment to be in accordance with technical requirements.2. The Contractor shall provide samples, test results

of materials, equipment as specified in SCC to check andmake a basis for the acceptance of work.

3. The Employer shall test materials and equipment atplaces of exploitation, production or at the constructionsite at any time.



4. the Contractor must ensure the appropriatearrangement of staff and other necessary conditions forthe inspection of materials and equipment as mentionedabove.

Article 25. Defect correction 1. The Engineer shall be responsible for testing,

assessing the quality of works of the Contractor. In thecase of defects, the Engineer shall require the Contractorto find out causes for such defects and provide remedy.Such inspection and assessment shall not impact on theliability and obligations of the Contractor.

2. In the event that the Engineer requires theContractor to implement a test that is not specified inthe technical standards to check defect of any work. Ifthe test shows defect in any work, the Contractor shallpay costs for this test. If there is no defect, this costshall be included in the contract price and the Employershall pay for such cost.

Article 26. Construction guarantee 1. The time for construction guarantee shall be from

the date that the Employer signs the acceptancecertificate of the work item, the Works is completed to beput into operation and as specified in SCC. The time forconstruction guarantee shall be extended until all defectscaused by the Contractor are repaired.

2. Requirements on construction guarantee is describedin SCC.

3. During the guarantee period, the Employer shallgive notification to the Contractor about any damagerelated to the construction due to the Contractor’s fault.The Contractor, on its own expenses, shall be responsiblefor remedy for defects within the required time by theEmployer.

4. In the case that the Contractor fails to giveremedy in the required time, the Employer shall determinethe cost for remedying such defects and the Contractorshall have to pay for these costs.

D. COST MANAGEMENT



Article 27. Contract price listContract price list is an intergal part of this

Contract including work items which the Contractor shallperform and price unit of such work items. The work volumethat the Contractor must implement to complete the design,might be more or less than the work volume as described inContract price list (if any), but not change the contractprice.

Article 28. TaxRequirements on tax are described in SCC.Article 29. Adjustment of Contract priceThe adjustment of the Contract price is applied for

price unit applying work. Content, method and time ofadjustment, input data for adjustment are stipulated inSCC.

Article 30. Revision and amendment of the Contract1. The revision and amendment of the Contract can be

implemented in following cases:a) Supplementing necessary work items, materials,

equipment or services out of the work volume that must beimplemented according to the design and out of the scopeof work as stipulated in the contract;

b) Changes of design;2. The Employer and the Contractor may negotiate to

sign supplementary appendix for the Contract in case ofrevision and amendment of the Contract.

3. In the case of revision and amendment of theContract, the Contractor shall provide the work volumethat is supplemented to the Detailed constructionschedule.

Article 31. Payment in advance 1. The Employer shall pay in advance for the

Contractor according to contents as stipulated in SCC.2. The return of payment in advance shall be implemented

according to regulations as in SCC.Article 32. PaymentThe Employer shall pay for the Contractor according to

contents as stipulated in SCC.



Article 33. Reward and punishment in case of contractviolation

1. For cases as stated in SCC, the Contractor shall berewarded with amount of money according to regulations asstated in SCC for the Contractor’s initiatives, for eachearly completion day of the construction compared toexpected completion day. The total reward shall not exceedthe total amount as stipulated in SCC.

2. The Contractor shall be punished according toregulations as stipulated in SCC for each delayed daycompared to the expected completion day or extension daysof expected completion day. The total fines shall notexceed the total money as stipulated in SCC. The Employercan deduct the fines from due payments of the Contractor.

3. In case of failure to make payment, the Employershall be incurred a penalti as specified in SCC.

E. CONTRACT COMPLETION AND TERMINATIONArticle 34. Acceptance The Employer shall accept in accordance with current

regulations of the construction law. The acceptancecertificate shall be signed by the Employer’srepresentative, the Engineer and the Contractor.

The Employer is entitled to access the site and theconstruction within the number of days as stipulated inSCC since the Contractor is issued the acceptancecertificate of construction.

Article 35. As-built drawing, operating instructions 1. the Contractor shall complete and submit to the

Employer for as-built drawing in accordance with currentregulations of applicable law, operating instructions ofinstalled equipment (if any) on the time specified in SCC.

2. If the Contractor fails to submit as-built drawingor operating instructions on the date specified in SCC orthese documents are not approved by the Employer, theEmployer shall retain the amount as specified in SCC fromthe due payments for the Contractor.



Article 36. Contract termination 1. The Employer or the Contractor can terminate the

Contract if one of two parties violates the contract asfollows:

a) The Contractor stops to execute the construction inthe period of time as stipulated in SCC while thiscessation is not mentioned in the Detailed constructionschedule and not approved by the Employer;

b) The Employer requires the Contractor to prolong theconstruction progress exceeding the time as stipulated inSCC;

c) The Contractor goes bankruptcy or winds up;d) Other actions shown in SCC.2. In the case of contract termination, the Contractor

shall promptly stop every work, keep safe condition forthe site and leave the site at the require of theEmployer.

Article 37. Payment for contract termination 1. If the contract is terminated due to the

Contractor’s faults as referred in Article 36, theEmployer shall establish the certificate of value ofcompleted works and purchased materials minus the advancethat the Contractor has received. If the advance is higherthan the value of completed works and purchased materials,the Contractor shall be responsible for paying to Employerfor this difference amount. Otherwise, the Employer shallbe responsible for paying this difference amount to theContractor.

2. If the contract is terminated due to the Employer’sfaults or force majeure as referred in Article 36, theEmployer shall establish the certificate of value ofcompleted works, purchased materials and reasonableexpenses for removing equipment, personnel repatriationthat the Employer has hired for the construction and theContractor’s expenses for construction protection minusthe advance payment that the Contractor has received. the



Employer shall be responsible for paying this differenceamount to the Contractor.

3. All materials, equipment, machines and temporaryworks at the site shall be deemed as the Employer’s assetsif the contract is terminated due to the Contractor’sfaults.

a) Payment for the Fixed unit-pricecontract is carried on the basis of fixedprice for works multiplied by the actualvolume of completed works which is acceptedaccordingly. The fixed price unit shall notbe changed during the contract performance;

b) If the accepted work volume is less ormore than (in consistent with the design) thevolume in signed contract, payment is carriedout according to the actual accepted volume. In case that there is eligibleadditional work aroused out of scope of theBidding Document, the Employer shallnegotiate with the Contractor to calculateadditional works and report to responsiblepeople for review and decision. Unlessotherwise, contents of such additional worksshall form a new bid package and a newcontractor will be selected.The payment of additional volume (out of thescope of Contract) without price unit setforth in the Contract, the two parties shallcomply with additional contract agreementsas specified and in accordance with relevantregulations of the law.

14 Requirements of temporary works: Theconstruction of temporary works shall beagreed and approved by the Employer. TheContractor shall submit designs and otherspecifications used for such temporary worksto the Employer for approval. The Employer’sapproval shall not change any responsibilityof the Contractor in terms of design of thetemporary works. Construction costs oftemporary works shall not be paid if they arenot accepted and approved by the Employer.
