Consumer advisory - The PayPal payment service is regarded as a stored value facility underSingapore law.

PayPal Pte. Ltd., the Holder of the PayPal stored value facility, does not require the approval ofthe Monetary Authority of Singapore. Consumers (users) are advised to read these terms and

conditions carefully.

This Agreement, the Privacy Policy and each of these policies may be changed from time to timeupon reasonable notice to you. Upcoming material changes will be posted 30 days prior to theireffective date on the "Policy Updates" page, accessible from "Policy Updates" link on theAccount Overview page once you have logged in. In addition, you can set your Preferences toreceive email notification of policy updates. You may review the current Agreement prior toinitiating a transaction at any time at our User Agreement page. In addition, when usingparticular Services, you agree that you are subject to any policies or rules which are posted inconjunction with those Services. Payments received in your PayPal account may be held or reversed at a later time(in some instances up to 180 days following the time of receiving the payment) if

such a payment is subject to a chargeback, reversal, Claim or otherwise invalidated.This means that for some of our sellers, payments received into their Account may

be returned to the sender or otherwise removed from their Account after they have

been paid and/or delivered any goods sold.

You can help protect yourself from the risks of your payment being removed from

Centre", accessible via every page of the PayPal website.

You should be aware of the possibility of unauthorised transactions from youraccount or receiving payments from unauthorised transactions from a third partys

account.

You can help protect yourself from the risks of unauthorised transactions by

regularly checking your Account transaction history. Refer to PayPals Electronic

Fund Transfer Rights and Error Resolution policy.

We may close, suspend, or limit your access to your Account or our Services, and/orlimit access to your funds for up to 180 days if you carry out activities which are in

contravention of this Agreement and its associated policies incorporated by

reference.

You must consider such risks and guidance, as well as any other risks set out in thisAgreement and its associated policies, before using PayPal.

This User Agreement ("Agreement") is a contract between you and PayPal Pte. Ltd. and appliesto your use of the PayPal payment service and any related products and services availablethrough PayPals websites located at any URL such as: www.paypal.com, www.paypal.com.sg,www.paypal.com.hk, www.paypal.com.mx etc.. (collectively, the "Services"). The Services areprovided by PayPal Pte. Ltd. and if you do not agree to be bound by the terms and conditions ofthis Agreement, please do not use or access the Services.

You must read, agree with, and accept all of the terms and conditions contained in this

Agreement and the Privacy Policy, which include those terms and conditions expressly set outbelow and those incorporated by reference, before you may become a member of PayPal. Westrongly recommend that, as you read this Agreement, you also access and read the informationcontained in the other pages and websites referred to in this document, as they may containfurther terms and conditions that apply to you as a PayPal user. Please note: underlined wordsand phrases are links to these pages and websites. By accepting this Agreement, you also agreethat your use of other PayPal websites and Services will be governed by the terms and conditionsposted on those websites.

In this Agreement, "you" or "your" means any person or entity using the Services ("Users").Unless otherwise stated, "PayPal," "we" or "our" will refer collectively to PayPal, Inc. and itssubsidiaries including PayPal Pte. Unless otherwisespecified, all references to a "bank" in this Agreement include savings associations and creditunions, and all references to a "credit card" include Visa- and MasterCard-branded debit cards.

Eligibility. In order to use the Services, you must register for an account. Users may only hold

one Personal account and either one Premier or one Business account. Our Services are onlyavailable to individuals acting in an individual capacity; you may not act as an agent for anotherperson nor open a PayPal account for another person (no beneficial ownership is permitted). Youmay open a business account, but PayPal may require additional information regarding you orthe business to verify your ability to act on behalf of such business. You must be able to form

legally binding contracts under applicable law. Without limiting the foregoing, our Service is notto all individuals and businesses and PayPal reserves the right to deny access to the PayPalservice to any individual or business for any reason or no reason at all. PayPal is not available tominors (as defined in your jurisdiction, generally those under 18), persons who are suspendedfrom our Service, or to persons who present an unacceptable level of risk.

1. The Legal Relationship between You and PayPal.

1.1 User Relationship. PayPal acts as a facilitator to help customers accept payments and tohelp customers make payments. PayPal has independent relationships with the sender and thereceiver of payments. We act based upon your direction and your requests to use our Services

that require us to perform tasks on your behalf. PayPal will at all times hold your funds separatefrom its corporate funds, will not use your funds for its operating expenses or any other corporatepurposes, and will not voluntarily make funds available to its creditors in the event of bankruptcyor for any other purpose. You acknowledge that (i) PayPal is not a bank and the Service is apayment processing service rather than a banking service, and (ii) PayPal is not acting as atrustee, fiduciary or escrow with respect to your funds, but is acting only as an agent andcustodian.

You are not required to carry a balance in your PayPal account in order to use the Service, exceptin certain circumstances where PayPal reasonably determines your account poses a risk. PayPalwill pool your funds together with funds from other Users, and will place those funds in accounts

at one or more financial institutions ("Pooled Accounts").

You agree that you will not receive interest or other earnings on the funds you may keep in yourPayPal Account. PayPal may earn interest on those funds, or may receive a reduction in fees orexpenses charged for banking services by the banks that hold your funds.

By initiating and making payments through the Service or, where available, adding funds to yourbalance, you authorize PayPal to charge your credit/debit card or to instruct your financialinstitution to obtain the funds on your behalf, or accept funds on your behalf, and to send thefunds to the recipient that you designate or into PayPals Pooled Account, subject to the termsand restrictions of this Agreement. When you initiate a payment, PayPal will offset funds from

the Pooled Account for your benefit to the recipient. When you make a payment, until thatpayment clears our risk checks and is accepted by the recipient (which may occur instantly ortake a few days), you remain the owner of those funds and PayPal holds those funds for yourbenefit and on your behalf, but you will not be able to withdraw those funds or send the funds toany other recipient unless you cancel the initial transaction.

By receiving payments through the Service, you appoint PayPal as your agent to cause the fundsto be deposited on your behalf in the Pooled Accounts until you further instruct PayPal with

respect to the transmission of your funds. Through the PayPal website, you may provideinstructions to withdraw the funds or send the funds to a third party, in each case subject to theterms and restrictions of this Agreement. If you receive a notice that a payment has been sent toyou through PayPal but you have not registered for the Service, PayPal will not become youragent and you will have no claim to those funds unless and until you register for the Service and

indicate your acceptance of the payment.

1.2 PayPal is only a Payment Service Provider. PayPal acts as a payment service provider bycreating, hosting, maintaining and providing our Service to you via the Internet. PayPal is not aremittance business or a money transfer service and the Personal Payments feature may not beused to remit funds to third parties.

We do not have any control over, and are not responsible or liable for, the products or servicesthat are paid for with our Service. We cannot ensure that a buyer or a seller you are dealing withwill actually complete the transaction.

PayPal is not a common carrier or public utility.

1.3 Identity Authentication.

We use many techniques to identify our users when they register on our site. A user's Verifiedstatus (as defined below) is only an indication of increased likelihood that a User's identity iscorrect. You authorise PayPal, directly or through third parties, to make any inquiries weconsider necessary to validate your identity and registration. This may include requiring you toprovide PayPal with fax or scanned documentation such as a government issued identificationcard, address verification documentation, ordering a credit report and performing other creditchecks or verifying the information you provide against third party databases. However, because

user verification on the Internet is difficult, PayPal cannot and does not guarantee any user'sidentity.

1.4 Licence grant. If you are using PayPal software such as an API, developers toolkit or othersoftware application that you have downloaded to your computer, device, or other platform thenPayPal and its licensors grant you a limited nonexclusive license to use PayPals software inaccordance with the documentation, including all updates, upgrades, new versions andreplacement software, as described herein for your personal use only. You may not rent, lease orotherwise transfer your rights in the software to a third party. You must comply with theimplementation and use requirements contained in all PayPal documentation, together with anyinstructions provided by us from time to time accompanying the Services (including, without

limitation, any implementation and use requirements we impose on you to comply withapplicable laws and card scheme rules and regulations). If you do not comply with PayPalsinstructions, implementation and use requirements you will be liable for all resulting damagessuffered by you, PayPal and third parties. You agree not to alter, reproduce, adapt, distribute,display, publish, reverse engineer, translate, disassemble, decompile or otherwise attempt tocreate any source code which is derived from the software. You acknowledge that all rights, titleand interest to PayPals software are owned by PayPal. Any third party software application youuse on the PayPal website is subject to the license you agreed to with the third party that provides

you with this software. PayPal does not own, control nor have any responsibility or liability forany third party software application you elect to use on the PayPal website and/or in connectionwith the PayPal Services. If you are using the PayPal services on the PayPal website, or otherwebsite or platform hosted by PayPal, or a third party, and are not downloading PayPalssoftware or using third party software applications on the PayPal website, then this section does

not apply to your use of the hosted PayPal services.

1.5 Third Party Permissions. If you grant express permission to a third party to take specificactions on your behalf or access particular information about your Account either through youruse of the third partys product or service, or in the API Access, Manage API Permissionssection of your Profile, you acknowledge that PayPal may disclose the information about yourPayPal Account to this third party that is specifically authorized by you. You also acknowledgethat granting permission to a third party to take specific actions on your behalf does not relieveyou of any of your responsibilities under this Agreement. Further you acknowledge and agreethat you will not hold PayPal responsible for, and will indemnify PayPal from, any liabilityarising from the actions or inactions of this third party in connection with the permissions you

grant. You may change or remove these permissions at any time by logging into your Account,choosing the Profile subtab under the My Account tab, and selecting API Access, then ManageAPI Permissions.

1.6 Release. In the event that you have a dispute with one or more users, you release PayPal (andour officers, directors, agents, subsidiaries, joint ventures and employees) from any and allclaims, demands and damages (actual and consequential) of every kind and nature arising out ofor in any way connected with such disputes.

1.7 No Warranty. WE, OUR PARENT, SUBSIDIARIES, RELATED ENTITIES,EMPLOYEES AND OUR SUPPLIERS PROVIDE OUR SERVICES "AS IS" AND WITHOUTANY WARRANTY OR CONDITION, EXPRESS, IMPLIED OR STATUTORY TO THEMAXIMUM EXTENT PERMITTED BY LAW. PayPal shall make reasonable efforts to ensure that requests forelectronic debits and credits involving bank accounts, credit cards, and check issuances areprocessed in a timely manner and but we make no representations or warranties regarding theamount of time needed to complete processing because our Service is largely dependant uponmany factors outside of our control, such as delays in the banking system or the Singapore orinternational mail service. Some countries do not allow the disclaimer of implied warranties, sothe foregoing disclaimer may not apply to you. This warranty gives you specific legal rights andyou may also have other legal rights that vary from state to state.

1.8 Limitation of Liability. 1.9 Indemnification. You agree to indemnify and hold PayPal, its parent, subsidiaries, affiliates,officers, directors and employees harmless from any claim or demand (including lawyers fees)made or incurred by any third party due to or arising out of your breach of this Agreement or thedocuments it incorporates by reference, or your violation of any law or the rights of a third partyrelating to your use of the Service.

1.10 Liability for Violations of the Acceptable Use Policy. If you engage in the followingbehavior, PayPal may suspend or restrict your access to the services, hold your funds up to 180Days, fine you, as explained below, or report you to law enforcement officials.

i. Using the PayPal service to receive payments for any sexually oriented or obscene materials orservices in violation of the Acceptable Use Policy.

ii. Using the PayPal service to receive payments for any narcotics, other controlled substances,steroids or prescription drugs in violation of the Acceptable Use Policy.

iii. Using the PayPal service to receive payments for wagers, gambling debts or gambling winnings,regardless of the location or type of gambling activity in violation of the Acceptable Use Policy.

iv. Using the PayPal service to receive payments for tobacco products in violation of the AcceptableUse Policy.

You and PayPal agree that the damages that PayPal will sustain as a result of the behavioroutlined above will be substantial, including (without limitation) fines and other related expensesfrom its payment processors and service providers, but may be extremely difficult andimpracticable to ascertain. In the event that you engage in such activities, then PayPal may fineyou up to $2,500.00 USD for each such violation and/or PayPal may take legal action againstyou to recover losses that are in excess of the amount fined. You acknowledge and agree that afine up to $2,500.00 USD is presently a reasonable and genuine minimum estimate of PayPalsdamages, considering all currently existing circumstances, including (without limitation) therelationship of the sum to the range of harm to PayPal that reasonably could be anticipated andthe anticipation that proof of actual damages may be impractical or extremely difficult. You

agree that PayPal is entitled to deduct such amounts directly from any existing balance in theoffending account, or any other PayPal account owned by you.

If you use the PayPal service in a manner that violates theAcceptable Use Policy,including butnot limited to the four categories described above, your account will be subject to limitation orimmediate termination, as stated in theClosing Accounts and Limiting Account Access Policy.

You further understand that, if you use the PayPal service in a manner that violates theAcceptable Use Policy, including but not limited to the four categories described above, PayPalmay incur substantial liability and/or suffer significant damages, including (without limitation)fines and other related expenses from its payment processors and service providers. By sellinggoods or services (including access to content) in contravention of the Acceptable Use Policy or

the Restricted Activities section of this User Agreement (currently Section 5.2), youacknowledge liability to PayPal for any and all damages suffered by PayPal. Without limiting theforegoing, you agree to reimburse PayPal for any and all costs, expenses, and fines levied onPayPal by third parties such as its payment processors and/or service providers as a result of youractivities.

You agree that, if either you or PayPal commence litigation or arbitration in connection with thisparagraph, the prevailing party is entitled to recover reasonable lawyers fees and any other costsincurred in such proceeding in addition to any other relief to which the prevailing party may beentitled.

2. Fees.

All fees are set forth in the Fee Schedule. All fees will be assessed in the currency of thepayment. Additional information about PayPal's fees is available in theFees Policy. Youraccount and all transactions are made and displayed in U.S. dollars unless otherwise specifiedand may be subject to exchange rates. All fees related to the Service, are made free and clear of,and without any deduction or withholding for and on account of, any taxes, duties or otherdeductions. Any such deduction or withholding, if required by the laws of any country, shall beon your account and be borne by you.

4. Sending, Receiving, and Withdrawing.

4.1 The policies and procedures for sending, topping up, receiving and withdrawing funds are set

forth in thePayments Policy

In order to open your account or allow you to send, receive or withdraw funds, PayPal may be

required by law or local regulation to verify your identity, source of funds, or other informationand as may be determined from time to time. Failure to provide the required information willdelay access to your funds as PayPal is prohibited for processing transactions if the requiredinformation is not received when requested. This information may include, but is not limited tothe following: fax or email scanned copies of identity verification documentation such asnational ID, Passport, drivers license, and address verification information such as a mobilephone bill or utility bill. Additionally, PayPal may ask for financial statements, such as profit andloss, cash flow, and balance sheet, or other financial or business documents as may be

determined from time to time. Failure to provide the information when requested will result inyour account being restricted and any funds in your account to be held until you provide therequired information in the form and manner requested.

Please note: if you do not reside in a Withdrawal Country, you may not be able to withdraw

funds from your PayPal Account and should therefore only accept payments if you know youwill send payments in equal amounts out of your account. For more details and guidelines aboutwithdrawals, please refer to our Payments Policy.

4.2 Risk of Reversal of Payments and the Seller Protection Policy ("SPP").

1. 4.2.1 Definitions. For the purposes only of this section 4, the terms set out below aredefined as follows:

a. "Disputed Payment" means a payment via PayPal which is the subject of a SellerProtection Reversal.

b. "Item Not Received" means goods are purchased on a eligible eBay website butnot received by the buyer.c. "Merchandise" means the item purchased through an eBay website associatedwith the Disputed Payment and applies to tangible items only.

d. Proof of Delivery means authentic viewable online documentation issued by theshipping company which includes the following: 1. Date item delivered, 2. therecipients address, showing at least the city/state or zip code (or internationalequivalent) and 3. Signature Confirmation for payments of $250 USD (or localcurrency equivalent) or more (see Foreign Currency Equivalents below).

e. Proof of Shipment means an authentic online or paper document issued by theshipping company demonstrating proof of shipment that includes the followinginformation: 1. date item shipped, 2. recipients address showing at least thefollowing: name, address (City, State, Country, postal code).

f. "Seller Protection Reversal" occurs when PayPal places a hold on funds in youraccount under any of the following circumstances:

i. An unauthorized transaction where a credit card or debit card chargebackhas been requested by an eBay buyer where the sender of the payment wasusing improperly obtained funds or a fraudulent payment has been made.

ii. A credit card or debit card chargeback has been requested by an eBaybuyer for the reason of Item Not Received.iii. A claim filed via the PayPal Online Dispute Resolution process has beenrequested by an eBay buyer where the sender of the payment was usingimproperly obtained funds or a fraudulent payment has been made.

iv. A claim filed via the PayPal Online Dispute Resolution process has beenrequested by an eBay buyer for the reason of Item Not Received.

v. PayPal reverses a payment for an eBay item it believes to be fraudulent.vi. A bank reverses a payment for an eBay item it believes to be fraudulent.

g. "Transaction Details Page" means the page on the PayPal website titled"Transaction Details" that displays information about the transaction. This page isaccessible from the "Details" link on the "Overview" and "History" subtabs of the

"My Account" tab on the PayPal website.

4.2.2 Risk of Reversals of Payments and the Seller Protection Policy ("SPP").

viii. Risks of Reversals. You are responsible for all Reversals, Chargebacks, Claims, fees,fines, penalties, and other liability incurred by PayPal, a PayPal User, or a third party. In theevent of any of these events, you will owe PayPal for the amount of the reversal, chargeback,Claim, plus any fees imposed on or incurred by PayPal as a result of the reversal or chargeback.PayPal will seek to recover these funds from you by debiting your PayPal balance and, if thereare not sufficient funds in your PayPal balance, PayPal reserves the right to take your accountnegative and to collect your debt to PayPal by any other legal means.

ix.

Seller Protection Policy. However, under the Seller Protection Policy, sellers on eBaywebsites, will not owe PayPal any amounts in connection with a Seller Protection Reversal thatresults from a Disputed Payment and where the relevant transaction meets the applicableeligibility requirements, set out in section 4.2.3. The policy will protect you for the full amountof the eligible payment and waive a Chargeback Fee, if applicable. There is no limit on thenumber of payments for which you can receive coverage.

4.2.3 Transaction Eligibility Requirements for the Seller Protection Policy.

10. Subject to the limitations set forth below a transaction (where the buyer makes a PayPalpayment on or after June 7, 2009) will be eligible for protection under the Seller ProtectionPolicy where the following requirements are met:

i. You sold the Merchandise via an eBay website; andii. You provide PayPal with valid Proof of Shipment of the Merchandise for

unauthorized transactions or valid Proof of Delivery of the Merchandisefor claims of an Item Not Received; andiii. You are a PayPal customer in a country that has both receive and

withdraw capabilities; andiv. You must ship the item within 7 days of receipt of payment (unless

otherwise permitted under the Authorized Use Policy); andv. You sent the Merchandise to the address specified by the sender of the

payment which is highlighted on your account Transaction Details Page orotherwise notified to you by PayPal through a PayPal applicationprogramming interface ("API").

4.2.4 Limitations on the Seller Protection Policy.

11. Note: The item must be listed and sold on eBay and paid for with PayPal. Sellers mustprovide one Proof of Shipment for each separate PayPal payment. The Seller Protection Policywill not apply to a transaction if any of the following apply:

i. You combine eBay items purchased through separate PayPal paymentsinto a single shipment,

ii. You accept more than one payment for a single eBay transaction,iii. You ship an item that is under payment review by PayPal and you have

been advised via email or in your transaction details page not to ship theitem as it is under review,

iv. You do not provide Proof of Shipment or Proof of Delivery as required orrespond to PayPal's other requests for information in a timely manner asspecified by PayPal,

v. The item sold was an intangible good, quasi-cash, gift certificate,downloadable or streaming content, a business, real estate, license fordigital content, motor vehicle (including cars, motorcycles, boats, andplanes) or a service,

vi. You hand deliver the item,vii. You charge a surcharge to accept PayPal,

viii. The buyer has claimed that the item was significantly not as described(SNAD), or

ix. You have not complied with the terms of the PayPal User Agreement, thePayPal Acceptable Use Policy, any PayPal policy or any specificdirections provided by PayPal.

4.2.5 Seller Protection Process.

xii. If a Seller Protection Reversal occurs for a specific transaction, PayPal will send you anemail to let you know that it will place a temporary hold on the funds in your PayPal account to

cover the amount of the Seller Protection Reversal and will ask you to provide Proof of Shipmentor Proof of Delivery as required and any other information that PayPal may require to enable itto assess and determine if the transaction meets the eligibility requirements set out at section4.2.3 above.

xiii. If PayPal determines in its sole discretion that the transaction meets the eligibilityrequirements, then PayPal will lift the temporary hold and restore the funds to your PayPalaccount.

xiv. If PayPal determines that the transaction does not meet the eligibility requirements, thenPayPal will return the funds to the buyer's account or other rightful owner and the funds whichhave been on temporary hold will be debited from your PayPal account, together with any feesimposed on or incurred by PayPal as a result of the Seller Protection Reversal. If there are notsufficient funds in your PayPal balance, PayPal reserves the right to take the account negativeand collect your debt to PayPal by any other legal means.

xv. In the event that you receive an excessive or unreasonable number of Seller ProtectionReversals, as determined by PayPal in PayPal's sole discretion, having regard to all the relevantcircumstances, PayPal may notify you that you are hereby excluded from this policy and take

any other actions pursuant to the User Agreement.xvi. PayPal reserves the right, in its absolute discretion, to terminate or amend the terms andconditions of the Seller Protection Policy or the transaction eligibility requirements at any time.

4.2.6 PayPal's Right to Hold Funds. In order to ensure the integrity of a transactionPayPal reserves the right to hold funds or proceeds from transactions. PayPal may do thisin order to mitigate risk related to transactions it considers suspicious.

4.2.7 Payment Holds.

q. You agree that if either:i. you receive a payment that involves the risk of PayPals position being adversely

affected with respect to any liability of yours to PayPal or any third party(Transaction Risk); or

ii. there may be a higher than acceptable level of risk or exposure associated withyour Account (based on the information available to PayPal at the relevant timeand what in its sole discretion it regards as an acceptable level of risk or exposureto PayPal under all the circumstances), PayPal may, in its sole discretion (actingreasonably) place a hold on that or any payment. PayPals determination may bebased on a number of different factors and PayPal may rely on information itreceives from its third party partners such as eBay. If PayPal places a hold onfunds in your Account, we will notify you about it (including, without limitation,how long the hold may last) - the funds will appear in your Pending Balanceand the payment status will show as Completed Funds not yet available.

r. PayPal will release the hold made on your payment under this provision after 21days from the date the payment was received into your Account or when PayPaldetermines that the Transaction Risk; or risk or exposure associated with yourAccount, no longer exists. PayPal, in its sole discretion, may release the holdearlier under certain circumstances, for example, PayPal may release the holdearlier if you have uploaded tracking information. Please note that,notwithstanding the above, if you receive a Dispute, Claim, Chargeback, orReversal on the transaction payment subject to the hold, the funds (or an amount

equal to the relevant payment) may be held in your Account until the matter isresolved pursuant to this Agreement.

s. You agree to provide to PayPal any information as PayPal may reasonably request toallow PayPal to determine whether the Transaction Risk or risk or exposure to yourAccount has passed. You may close your Account if you object to the hold under thisprovision. If your Account is closed for any reason, PayPal has the right to hold a

payment under this provision for a period of up to 180 days from the date the completeobligations under the contract for sale (to which the payment in question relates) havebeen discharged.

4.2.8 Reserves for Premier and Business Accounts. PayPal, in its sole discretion, mayplace a reserve on funds held in your Premier or Business Account when PayPal believesthere may be an increased level or risk associated with your account. If PayPal places areserve on funds in your Account, the will be shown as pending in your PayPalAccount. If your Account is subject to a Reserve, PayPal will provide you with noticespecifying the terms of the reserve. The terms may require that a certain percentage of theamounts received in your Account are held for a certain period of time, or that a certain

amount or percentage is held in reserve. PayPal may change the terms of the reserve byproviding you with notice of the new terms. In the event you do not agree to the terms ofthe reserve, you may terminate your account with PayPal.

5. Your Information and Restricted Activities.

5.1 Definition. "Your Information" is defined as any information you provide to us or otherusers in the registration, payment process, stores or other features of our Service. You are solelyresponsible for Your Information, as we act as a passive conduit for your online distribution andpublication of Your Information. Failure to provide true and accurate identification informationis prohibited. PayPal will restrict your account and limit your access to funds should you fail toprovide true and accurate information at registration.

5.2 Restricted Activities. Your Information and your activities (including your payments andreceipt of payments) through our Service shall not: (a) be false, inaccurate or misleading; (b) befraudulent or involve the sale of counterfeit or stolen items; (c) consist of providing yourself acash advance from your credit card (or helping others to do so), (d) be related in any way togambling and/or gaming activities, including but not limited to payment or the acceptance ofpayments for wagers, gambling debts or gambling winnings, regardless of the location or type ofgambling activity (including online and offline casinos, sports wagering and office pools);

(e)violate PayPal's Acceptable Use Policy; (f) infringe on any third party's copyright, patent,trademark, trade secret or other property rights or rights of publicity or privacy; (g) violate anylaw, statute, ordinance, contract or regulation (including, but not limited to, those governingfinancial services, consumer protection, unfair competition, antidiscrimination, or falseadvertising); (h) be defamatory, trade libelous, unlawfully threatening or unlawfully harassing;(i) be obscene or contain child pornography; (j) contain any viruses, Trojan horses, worms, timebombs cancelbots, easter eggs or other computer programming routines that may damage,detrimentally interfere with, surreptitiously intercept or expropriate any system, data or other

personal information; (k) use PayPal to facilitate the sale of counterfeit goods; (l) create liabilityfor us or cause us to lose (in whole or in part) the services of our ISPs or other suppliers; (m)involve the sale or transfer of your PayPal balance to any person for monetary consideration; (n)integrate the PayPal Services in a manner inconsistent with PayPals integration guidelines; (o)cause PayPal to receive excessive complaints regarding your Account or business; or (p) present

to PayPal a risk of non-compliance with PayPals anti-money laundering obligations (including,without limitation, where we cannot verify your identity or you fail to complete the steps to liftyour sending, receiving or withdrawal limit in accordance with the terms of this User Agreement.If you use, or attempt to use the Service for purposes other than sending and receiving paymentsand managing your account, including but not limited to tampering, hacking, modifying orotherwise corrupting the security or functionality of Service, your account will be terminated andyou will be subject to damages and other penalties, including criminal prosecution whereavailable.

5.3 License. Solely to enable PayPal to use the information you supply us with, so that we arenot violating any rights you might have in that information, you agree to grant us a non-

exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensible (through multiple tiers)right to exercise the copyright, publicity, and database rights (but no other rights) you have inYour Information, in any media now known or not currently known, with respect to YourInformation. PayPal will use and protect Your Information in accordance with our PrivacyPolicy.

5.4 Trademarks. PayPal.com, PayPal, and all related logos, products and services described inthis website are either trademarks or registered trademarks of PayPal, Inc., or its licensors, and(aside from the circumstances described below) may not be copied, imitated or used, in whole orin part, without the prior written permission of PayPal. In addition, all page headers, customgraphics, button icons, and scripts are service marks, trademarks, and/or trade dress of PayPaland may not be copied, imitated, or used, in whole or in part, without the prior writtenpermission of PayPal.

Notwithstanding the above, HTML logos provided by PayPal through its Affiliate Program,Website Payments features, or Auctions Tools features ("Logos"), may be used without priorwritten consent for the purpose of directing web traffic to the Service. These Logos may not bealtered, modified, or changed in any way, or used in a manner that is disparaging to PayPal or theService. Logos may not be displayed in any manner that implies sponsorship or endorsement byPayPal. PayPal is a payment service, and no partnership, joint venture, employee-employer orfranchiser-franchisee relationship is intended or created by this Agreement.

5.5 Use of PayPal on eBay.

Sellers who offer PayPal as a payment method in their eBay listings must follow theserequirements:

a. Accept PayPal if the eBay listing includes PayPal as a payment method.b. Accept all PayPal funding sources from a buyer, including but not limited to eCheck and

credit cards.

c. Accept international PayPal transactions if the eBay listing offers shipping outside oftheir country.

6. Access and Interference.

Our web site contains robot exclusion headers and you agree that you will not use any robot,spider, other automatic device, or manual process to monitor or copy our web pages or thecontent contained herein without our prior expressed written permission. You agree that you willnot use any device, software or routine to bypass our robot exclusion headers, or to interfere orattempt to interfere with the proper working of the PayPal site or any activities conducted on oursite. You agree that you will not take any action that imposes an unreasonable ordisproportionately large load on our infrastructure. You may close your account at any time by clicking the Close Account link in your Profile onthe PayPal website. Upon closure of an account, any pending transactions will be cancelled andany balances associated with Redemption Codes (for programs such as eBay Anything Points,Gift Certificates, or Coupons) will be forfeited. Any funds that we are holding in custody for youat the time of closure, less any applicable fees, will be paid to you by check, assuming all

withdrawal related authentication requirements have been fulfilled (for example, you may notuse closure of your account as a means of evading withdrawal limits on new Unverified users).You may not use closure of your account as a means of evading investigation - if aninvestigation is pending at the time you close your account, PayPal may continue to hold yourfunds for up to 180 days as appropriate to continue the investigation and, if necessary, reportfraudulent or illegal behavior to regulators or law enforcement. PayPal may hold your fundsindefinitely or so long as it takes for a formal investigation to be completed if you are suspectedof fraud or other illegal behavior. If you are later determined to be entitled to some or all of thefunds in dispute, PayPal will release those funds to you. You will remain liable for all obligationsrelated to your account even after such account is closed. If you do not access your account for aperiod of three years, it will be terminated. After the date of termination, we will use the

information you provided to try to send you any funds that we are holding in custody for you. Ifthat information is not correct, and we are unable to complete the payment to you, your fundswill be subject to applicable laws regarding escheat of unclaimed property.

9. Remedies and PayPal's Right to Collect From You.

Without limiting other remedies, we may at any time and without notice to you update inaccurateor incorrect information you provide to us, contact you by means other than electronically,immediately warn our community of your actions, place a hold on funds in your account, limit

funding sources and payments, limit access to an account and any or all of the account'sfunctions (including but not limited to the ability to send money or making withdrawals from anthe account), limit withdrawals, indefinitely suspend or close your account and refuse to provideour Services to you if: (a) you breach this Agreement or the documents it incorporates byreference; (b) we are unable to verify or authenticate any information you provide to us; (c) webelieve that your account or activities pose a significant credit or fraud risk to us; (d) we believethat your actions may cause financial loss or legal liability for you, our users or us; or (e) youruse of your PayPal account is deemed by PayPal, Visa, MasterCard, American Express orDiscover to constitute abuse of the credit card system or a violation of credit card rules,including (without limitation), using the PayPal system to test credit card behaviors. Even iftransactions have been recorded as completed in the recipients Recent Activity or History

Transaction Log, PayPal reserves the right to reverse transactions if the funds can not be or havenot been charged to the customer's funding source or confirmed from the senders bank account).In addition, PayPal reserves the right to hold funds beyond the normal distribution periods fortransactions it deems suspicious or for accounts conducting high transaction volumes to ensureintegrity of the funds. If we close your account, we will provide you notice and pay you all of theunrestricted funds held in your PayPal account. Additionally, to secure your performance of thisAgreement, you grant to PayPal a lien on and security interest in your account. In addition, youacknowledge that PayPal may setoff against any PayPal accounts you own for any negative

balance in your other PayPal accounts, at any time and for any reason allowed by law. Further,PayPal may setoff against any PayPal accounts you own for any obligation you owe eBay Inc. orany of its subsidiaries that is 180 days or greater past due. These obligations include both securedand unsecured debts, and debts you owe individually or together with someone else.

Liability for claims filed directly with eBay through the eBay Buyer Protection resolutionprocess. If you are an eBay seller, eBay requires that you comply with the eBay BuyerProtection resolution process. As such, you have provided eBay with permission to make a finaldecision on a claim that a buyer files against you directly with eBay. If eBay makes a finaldecision that you lose a claim, you agree to allow PayPal to remove funds from your PayPalAccount in order to reimburse eBay for your liability. Any claim filed directly with eBay is notcovered by PayPal Seller Protection.

If you sell to a buyer and the buyer files a Significantly Not As Described (SNAD) Claim, youwill generally be required to accept the item back and refund the buyer the full purchase priceplus original shipping costs. You will not receive a refund on your PayPal fees. If you lose a

SNAD Claim because the item you sold is counterfeit, you will be required to provide a fullrefund to the buyer and you will not receive the item back (it will be destroyed).

SNAD Definition

An item is Significantly Not as Described if it is materially different than what the sellerdescribed in the item listing. Here are some examples:

The buyer received a completely different item. Example: The buyer purchased a book andreceived a DVD or an empty box.

The condition of the item was misrepresented. Example: The listing said "new" and the item wasused.

The item was advertised as authentic but is not authentic. The item is missing major parts or features which were not disclosed in the listing. The buyer purchased three items from a seller but only received two. The item was damaged during shipment.

An item is notSignificantly Not as Described if it is materially similar to the sellers item listingdescription. Here are some examples:

The defect in the item was correctly described by the seller. The item was properly described but the buyer didn't want it after he or she received it. The item was properly described but did not meet the buyers expectations.

The item has minor scratches and was listed as used condition.

10. Errors.

If PayPal discovers a processing error, we will rectify the error. If the error resulted in yourreceiving less money than you were entitled to, PayPal will credit your Account for the

difference. If the error results in you receiving more money than you were entitled to, PayPalmay debit the extra funds from your PayPal Account. If the error resulted in our not completing atransaction on time or in the correct amount, we will be liable for your actual losses or damagesdirectly caused by this failure, unless: (a) through no fault of ours, you did not have enoughavailable funds to complete the transaction, (b) our system was not working properly and you

knew about the breakdown when you started the transaction, or (c) circumstances beyond ourcontrol (such as fire or flood or loss of Internet connection) prevented the transaction, despite ourreasonable precautions.

11. Assignability.

You may not transfer any rights or obligations you may have under this Agreement without theprior written consent of PayPal. PayPal reserves the right to transfer this Agreement or any rightor obligation under this Agreement without your consent.

You shall comply with all applicable Singapore and international laws, statutes, ordinances,regulations, contracts and applicable licenses regarding your use of our Services.

13. Release of PayPal.

If you have a dispute with one or more Users, you release PayPal (and our officers, directors,agents, joint ventures, and employees) from any and all claims, demands, and damages (actualand consequential) of every kind and nature arising out of any or in any way connected with suchdisputes.

the pages within the PayPal website and/or delivered to your e-mail address. You may print acopy of any Communications and retain it for your records. All Communications in eitherelectronic or paper format will be considered to be in "writing," and to have been received nolater than five (5) business days after posting or dissemination, whether or not you have receivedor retrieved the Communication. PayPal reserves the right but assumes no obligation to provide

Communications in paper format.

14.2 Electronic Evidence. You agree that in the event of a dispute between You and PayPal orYou and another user, that PayPal's electronic records of your transactions, the PayPal UserAgreement, the PayPal Privacy Policy, any identity verification information provided in a paperformat and subsequently scanned or otherwise converted into an electronic format, and any otherinformation stored or created electronically shall be admissible in a court of law or in relation toa law enforcement or regulatory investigation or prosecution.

14.3 Third Party Verification. You agree that where available PayPal may engage third parties,such as credit reporting agencies or identity verification companies order and review your credit

report with the sole purpose of assessing your fitness to hold a PayPal account and/or your abilityto use the Service or features thereof.

14.4 Procedure. Except as explicitly stated otherwise, any notices shall be given by postal mailto PayPal Pte. Ltd., Attn: Legal Department, 5 Temasek Boulevard, #09-01 Suntec Tower Five,Singapore 038985 (in the case of PayPal) or to our online message center or the email addressyou provide to PayPal during the registration process (in your case). Notice shall be deemedgiven 24 hours after posted or email is sent, unless the sending party is aware that the electroniccommunication was not received. Alternatively, we may give you notice by mail to the addressprovided to PayPal during the registration process. In such case, notice shall be deemed given 3days after the date of mailing.

15. Legal Disputes.

In the event a dispute arises between you and PayPal, our goal is to provide you with a neutraland cost effective means of resolving the dispute quickly. Accordingly, you and PayPal agreethat any controversy or claim at law or equity that arises out of this Agreement or PayPal'sservices ("Claims") shall be resolved in accordance with one of the subsections below, or asotherwise mutually agreed upon in writing by the parties. Before resorting to these alternatives,PayPal strongly encourages users first to contact PayPal directly to seek a resolution. PayPal will

consider reasonable requests to resolve the dispute through alternative dispute resolutionprocedures, such as mediation, as an alternative to litigation.

Disputes between you and PayPal regarding the Services may be reported to Customer Supportonline through the PayPalHelp Centerat any time, or by calling +1402 935 2050 from 6 AM tomidnight Central Time.

15.1 Arbitration. For any Claim (excluding Claims for injunctive or other equitable relief)

where the total amount of the award sought is less than $10,000.00 USD, you or PayPal mayelect to resolve the dispute through binding arbitration conducted by telephone, on-line, and/orbased solely upon written submissions where no in-person appearance is required. In such cases,the arbitration shall be administered by the Singapore International Arbitration Centre, or anyother established ADR provider mutually agreed upon by the parties. Any judgment on the

award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

15.2 Court. Alternatively, any Claim may be adjudicated by a court of competent jurisdictionlocated in Singapore or where the defendant is located (in PayPal's case, Singapore, and in yourcase, your home address or principal place of business). You and PayPal agree to submit to thepersonal jurisdiction of the courts located in Singapore.

15.3 Violations of Section 15. All Claims (excluding requests for injunctive or equitable relief)between the parties must be resolved using the dispute resolution mechanism that is selected inaccordance with this Section by the party first to assert a Claim, either through a court filing orcommencement of arbitration. Should either party file an action contrary to this Section 15, the

other party may recover lawyers fees and costs up to $1,000.00 USD, provided that the partyseeking the award has notified the other party in writing of the improperly filed Claim, and theother party has failed to withdraw the Claim.

16. General.

Except as set forth herein, this Agreement is governed by and interpreted under the laws ofSingapore as such laws are applied to agreements entered into and to be performed entirelywithin Singapore. For Malaysian residents who register for the PayPal service with a Malaysian

address, this Agreement is governed by and interpreted under the laws of Malaysia as such lawsare applied to agreements entered into and to be performed entirely within Malaysia. We do notguarantee continuous, uninterrupted or secure access to our service, and operation of our sitemay be interfered with by numerous factors outside of our control. If any provision of thisAgreement is held to be invalid or unenforceable, such provision shall be struck and theremaining provisions shall be enforced. You agree that this Agreement and all incorporatedagreements may be automatically assigned by PayPal, in our sole discretion, to a third party inthe event of a merger or acquisition. Headings are for reference purposes only and in no waydefine, limit, construe or describe the scope or extent of such section. Our failure to act withrespect to a breach by you or others does not waive our right to act with respect to subsequent orsimilar breaches. This Agreement and the documents it incorporates set forth the entire

understanding between us with respect to the subject matter hereof. Sections (3) Fees, (2.4)Release, (7) Access and Interference, (2.6) Limitation of Liability, (2.7) Indemnity, and (15)Legal Disputes shall survive any termination or expiration of this Agreement.

PayPal Pte. Ltd. is exempted from being approved as a holder of stored value facility pursuant tothe Payment Systems (Oversight) Act 2006 (Cap. 222A). Please be advised that the PayPal services are provided by PayPal Pte. Ltd., a Singaporecompany. PayPal accepts payments from buyers on behalf of the sellers. As a Seller, you agreethat once PayPal accepts payments from the buyer, you release and discharge the buyer of any

further liability for the amount of the payment. When persons make donations through PayPal,PayPal accepts payments from such donors on behalf of the donees. As a donee, you agree thatonce PayPal accepts payments from the donor, you release and discharge the donor of anyfurther liability for the amount of the donation.

Notwithstanding Section 15.1, for any Claim (excluding Claims for injunctive or other equitablerelief) where the total amount of the award sought is less than $10,000.00 USD, you or PayPalmay elect to resolve the dispute through binding arbitration. In such cases, the arbitration shall beadministered by the Japan Commercial Arbitration Association, or any other established ADRprovider mutually agreed upon by the parties. Any judgment on the award rendered by thearbitrator may be entered in any court having jurisdiction thereof.

Alternatively, notwithstanding Section 15.2, any Claim may be adjudicated by a court ofcompetent jurisdiction located in Japan or where the defendant is located (in PayPal's case,Singapore, and in your case, your home address or principal place of business). You and PayPalagree to submit to the personal jurisdiction of the courts located in Japan.

South Africa:

You are required to comply with South African exchange control regulations. This means that:

1. If you receive amounts into your PayPal balance from a PayPal user:a. you may not send those amounts to another PayPal user for a purchase or for any other

reason.b. you must withdraw the amounts in your PayPal balance to your FNB bank account*

within 30 days of receipt of funds.2. If you would like to send amounts to another PayPal user:

DEFINITIONS

"Balance" means the Buyer's Charge paid by the Buyer as reduced by the (a) Commission Fee,(b) the Reserve Amount (defined below) and (c) amount deducted towards charge back in respect

of a previous transaction (if any) which will be displayed in your PayPal account and remittedinto your bank account by the authorized dealer bank.

"Buyer" means a person resident outside India who desires to purchase product or service fromyou and make payment which may be received by you into your bank account through thePayPal Service (defined below).

"Buyer's Charge" means the sale price of the product or service purchased by the Buyer plusshipping charge (if any) and all other taxes, duties, costs, charges and expenses in respect of theproduct or services which are required to be paid by the Buyer to you provided that the value ofthe product or service shall in no event exceed USD 500 per transaction.

"Commission Fee" means the fee charged by PayPal for the provision of the PayPal Service.

"PayPal Service" means the payment gateway processing service offered by PayPal to its usersresident in India for facilitation of receipt of payments from Buyer for remittance into their bankaccount.

"Reserve Amount" means the amount out of the Buyer's Charge calculated and determined byPayPal and the authorized dealer bank which is deposited with the authorized dealer bank inorder to meet your po
